Cleveland has created and sustained a great orchestra because of people who are passionate about quality. The Cleveland Orchestra’s mission is to provide inspirational experiences by serving the art of music at the highest levels of excellence at every performance — whether we are on stage at Severance Hall or Blossom, at the Knight Concert Hall in Miami, touring Europe’s music capitals, or performing for students in a high school gymnasium. Maintaining and enhancing excellence and being relevant in a changing society requires constant effort by everyone. I thank all those dedicated to this pursuit: my colleagues in the Orchestra and Chorus, our trustees and volunteers, and our management and staff team. I am deeply committed to the Northeast Ohio community. To each and every patron of the Orchestra, I want to convey my heartfelt gratitude for your generous support. It is an honor for me to serve this institution and community.

past year has been a year of success and progress. We have reached the mid-point of a ten-year plan and fundraising campaign to ensure the artistic preeminence, institutional strength, and long-term financial stability of The Cleveland Orchestra as we approach our centennial anniversary in 2018. With ongoing, thorough, and rigorous analysis of the challenges facing the Orchestra, we are making great strides toward our future. Our objectives include fully engaging and serving the community that supports us, building a sound financial foundation, strengthening the institutional fabric across all our constituencies, and, above all, continuing to grow and excel artistically. Under the leadership of Franz Welser-Möst, now in his twelft h season as Music Director, the Orchestra continues to produce music of the highest artistic quality. Franz challenges the musicians with innovative artistic programming, while engaging new corners of the community with new styles of music, new venues, and new artforms. The musicians have challenged themselves, too, to become evermore involved in educating and engaging people of all ages. Emblematic of this dedication to the community’s musical enrichment was a special night of music in March 2013 featuring The Cleveland Orchestra performing for the first time with all of its youth ensembles. In May 2013, the Orchestra launched its “Cleveland Orchestra At Home” neighborhood residency program, partnering with organizations throughout the Gordon Square Arts District to serve the community with a week of free public presentations, ensemble performances, and education concerts, and culminating in a Cleveland Orchestra concert in a neighborhood church. The Make Music! concert in March and the Neighborhood concert in May were both recorded and telecast on WVIZ/PBS ideastream, reaching audience members throughout the region. I am inspired by

our musicians’ dedication to serving the community, to educating young people, and to ensuring that the beautiful sounds of the Orchestra reverberate throughout Northeast Ohio, both inside and outside Severance Hall. The Orchestra’s financial outlook has brightened considerably since the economic collapse in 2008. The Fiscal Year 2014 budget projects another year of break-even results, as was achieved in Fiscal Year 2013. Record-breaking ticket sales and record numbers of young people attending Orchestra concerts helped drive operating revenue to the highest level in the Orchestra’s history. Thousands of individual donors, corporations, and foundations contributed over $10 million to the 2012-13 Annual Fund — a record — which supported over 20% of the Orchestra’s operating costs. Continued successes like these are essential to assuring the people of Northeast Ohio that The Cleveland Orchestra is an asset deserving of the community’s ongoing support and pride. For these achievements, we owe a debt of gratitude to all those who continue to nurture the Orchestra’s advancements. I extend my thanks to our devoted and generous patrons who make up the audiences of Severance Hall, Blossom, and venues far and wide, and who continue to support and demand the best from this Orchestra. To our musicians, for consistently performing music to the highest artistic standards while actively partnering with staff and trustees to accomplish all our objectives. To our multitude of volunteers, who welcome guests to our concerts, perform in the choruses, and serve on committees with loyalty and enthusiasm. To our dedicated and hard-working staff, who have helped initiate new programs to educate, engage, and delight the community, attracted younger and new audiences to Orchestra concerts, and pursued ambitious fundraising goals. And to our engaged and enthusiastic Board of Trustees, who, through tremendous philanthropic leadership and personal generosity, have contributed and helped raise endowment, annual, and special support. Together, we have maintained our practice of rigorous cost

control within a balanced budget, while maintaining musical quality and important community and education programs. To build on these successes, and to begin our second century on a secure footing, we must sustain our focus on artistic excellence. Simultaneously, we must continue evolving the ways in which we serve the community, while we establish a sound foundation of financial resources that allow us to do both to the best of our ability. To accomplish these goals by 2018, we have undertaken the most ambitious fundraising campaign in our history — the Sound for the Centennial Campaign. The Orchestra’s Endowment has reached $150 million from a low of $97 million following the financial crisis in 2008, and covers 15% of the Orchestra’s operating costs. The Endowment must expand, through cash gifts and deferred commitments, to provide up to 30% of the Orchestra’s annual operating budget. Until that is achieved, contributions to special fundraising will couple with our robust, ongoing, and increasing Annual Fund to balance the budget and maintain artistic and community programming as the Endowment grows. By establishing a thousand new legacy commitments by 2018, the Endowment will continue to expand beyond the Campaign. We are making steady progress toward financial stability thanks to the generosity of thousands of individuals, corporations, and foundations. The strength of this institution across all constituencies is essential to the successful achievement of our artistic, financial, and operating goals. We must embrace adaptive change in a fundamentally different cultural environment than the one that allowed us to thrive in the last century. I have been encouraged by new and dynamic working partnerships among all members of the Orchestra family. To further develop the collaboration between trustees and musicians, we plan to add musicians to several Board committees. This past year also saw the successful achievement of a mutually beneficial long-term operating agreement for The Cleveland Orchestra’s Miami residency, which began in 2007 as the first annual adaptation of our residency programs from around the world. This ongoing relationship with Miami is opening the Orchestra to new audiences of music lovers while benefiting the Miami community and

contributing to the Orchestra’s overall artistic growth and financial success. Our focus must always be on tomorrow, toward a second century of changing lives through the power of music. As we approach the Orchestra’s centennial anniversary, we seek to build the youngest audience of any orchestra in the country. Our efforts are already bearing fruit: 20% of the average Cleveland Orchestra audience consists of young people. These students, young people, and their parents all make up the next generations of concertgoers and supporters, helping to ensure the long-term success of this great institution. As much as our centennial is about securing The Cleveland Orchestra’s future, and sustaining the artistic and institutional excellence we are known for worldwide, it is first and foremost about celebrating the community that has supported us through these first one hundred years. We are evolving partnerships with institutions throughout Northeast Ohio. We are seeking new ways to engage and serve this community. We are dedicating ourselves to becoming evermore relevant to our supporters, and to sustaining the practices that have made The Cleveland Orchestra an enduring symbol of this community’s spirit and pride.

THE 2012-2013 SEASON

was a period of achievement and advancement for The Cleveland Orchestra. Over the course of the year, many collective and individual performances stand out, and in this letter I want to share a few of the acclaimed highlights. At this writing, at the start of December 2013, our fabulous orchestra, led by Music Director Franz Welser-Möst, has just completed an eight-city concert tour that began in New York and finished in Vienna. In four of the cities, the Cleveland Orchestra Chorus added their wonderful voices to the ensemble. In my twenty-five years of hearing our concerts all over the world, these thirteen concerts in November reached the highest artistic heights in memory. The performances were transcendent, the result of Franz’s uncompromising artistic commitment, together with each and every performer onstage. An artistic triumph of this magnitude is exciting and brings extraordinary international attention to Northeast Ohio. Nevertheless, our ambassadorial role in Europe’s great music halls is no match for our commitment to performing year-round here at home for the community that has sustained the Orchestra for almost a century, and which we serve with great pride and humble dedication. A SEASON OF ARTISTIC HIGHLIGHTS

Over the course of the 2012-13 subscription season at Severance Hall, Franz and the Orchestra covered wide-ranging repertoire, including a notable opening week of performances of Mahler’s Symphony No. 3 and a mid-season presentation of Haydn’s “The Seasons,” both programs featuring Robert Porco’s luminous Cleveland Orchestra Chorus. At Severance Hall and at Blossom, Franz continued his probing exploration of Shostakovich symphonies, which culminated in the successful “Fate and Freedom Festival” at Severance Hall this autumn. Cleveland Orchestra Miami benefited from three full weeks of Franz’s performances, highlighted by major

works of Mahler and Shostakovich. A long list of distinguished and notable guest conductors also appeared with the Orchestra over the course of the season. Ton Koopman completed his special three-year commitment as artist-in-residence; Mitsuko Uchida continued her celebrated Mozart series. Alan Gilbert, our former assistant conductor who is now the music director of the New York Philharmonic, had a triumph with Mahler’s Symphony No. 7, stepping in for an ailing Pierre Boulez. And James Feddeck, in his final year as the Orchestra’s assistant conductor and the Youth Orchestra’s music director, had an extraordinary season of artistic, education, and community engagement successes. Giancarlo Guerrero, principal guest conductor for our Miami residency, appeared twice on the Severance Hall subscription series, in addition to his appearances as part of Cleveland Orchestra Miami. And at the 2013 Blossom Music Festival our former assistant conductor Tito Muñoz led the presentation of Stravinsky’s The Rite of Spring in collaboration with The Joffrey Ballet. GROWING AUDIENCES, YOUNGE R AUDIE NC E S

By the time we reached the middle of the season, the media was enthusiastically reporting on the Orchestra’s record-breaking sales and the growing presence of young audience members at Severance Hall. The Plain Dealer’s front-page coverage noted that The Cleveland Orchestra “is seeing attendance and ticket revenues skyrocket, mostly as a result of new programs aimed at children and students.” In an editorial, Crain’s Cleveland Business wrote that the Orchestra “deserves bravos for the hard work it and its supporters have done to secure the future of this ensemble of skilled musicians, who together remain the city’s most visible global ambassadors.” These efforts to develop new generations of audiences for The Cleveland Orchestra are funded by our Center for Future Audiences. The Center was created in 2010 with a $20 million lead endowment gift from the Maltz Family Foundation. Our objective is to have the youngest audience of any symphony orchestra in the country, and huge strides have been made toward that ambitious goal. Last season, the number of young people attending Cleveland Orchestra concerts at Severance Hall grew exponentially, a result of the programs supported by the Center, including those funded by a $5 million endowment gift from Alexander and Sarah Cutler to encourage student attendance.

FINANCIAL EQUALIBRIUM

Alongside last year’s artistic and audience development achievements, the financial results for fiscal year 2012/13 were equally successful. I invite you to turn to the statements on pages 12-13, which show our balanced annual budget and strengthening balance sheet. Both accomplishments owe much to record operating results, successful fundraising, and ongoing prudent cost control. For the extraordinary fundraising results, we can thank first and foremost the dedicated members of the Board of Trustees who have undertaken an ever-expanding solicitation effort under the passionate and dedicated leadership of Chairman Dick Bogomolny. In addition to bringing the annual budget into balance, our comprehensive Sound for the Centennial Campaign is seeking the major long-term commitments needed to ensure the Orchestra can survive long into the future. Dick and the members of the Fundraising Committee have numerous Trustee partners in this effort, most notably the Officers, Executive Committee members, and Board Committee Chairs, whose names are featured on page 8 of this report. The Trustees themselves are committing tens of millions of dollars in current and future support. In all, this annual report devotes more than fourteen pages, from 14 to 29, to recognizing the thousands of generous donors who support The Cleveland Orchestra. On behalf of everyone in the Orchestra family, I extend our heartfelt gratitude for each and every philanthropic gift. EMBRACING CHANGE , S U PP O R T I N G I N N OVAT I O N

Throughout the season, we continued on our path of ongoing innovation. In addition to sweeping changes in audience development, much was accomplished and new directions were set in our education programs and in our work to build strong and meaningful partnerships across Northeast Ohio. Inside Severance Hall, the impetus for transformation and the management of change was a daily activity supported by the creative efforts of all our musicians and staff. For their tireless efforts, I owe a debt of gratitude in particular to the nine department leaders who comprise the senior staff, as well as to the Orchestra Committee, a group of five musicians elected annually by their colleagues who volunteer their time to work directly with management and the Board. An important component of our strategic imperative for change is the alignment between and

among members of the Board, Orchestra, and Staff. In particular, Dennis LaBarre is an architect of and tireless champion for greater cooperation and collaboration across the Orchestra’s constituencies. At the end of March, we received an extraordinary endorsement of these efforts. The Orchestra was the grateful recipient of a ten million dollar, five-year grant from The Cleveland Foundation — the largest such commitment to an arts organization in the foundation’s history and one of the largest gifts ever received by the Orchestra. The Cleveland Foundation grant was described in a Plain Dealer editorial as “a ringing vote of confidence in the future of this treasured local institution and its pacesetting innovations.” LOOKI N G TOWARD TH E C E NTE N N IAL

Our one-hundredth season, 2017-2018, begins in less than four years. As we look toward the centennial and beyond, our goal is to lay the foundation for The Cleveland Orchestra’s next century. To do so, as we work to build a sound financial base for the future, we must also create a solid foundation artistically and programmatically. The greatest honor we can pay to this institution’s storied and acclaimed past is to build upon it as a prelude to a future in which we serve the Northeast Ohio community to the fullest. 2 01 2 - 2 01 3 Overview Severance Hall and Northeast Ohio From September 2012 to the end of May 2013, the Orchestra performed 101 concerts at Severance Hall. These included 68 regular subscription concerts, plus December holiday concerts, Celebrity Series concerts, Family Concerts, and Education Concerts for students. Included as well was a Make Music! Showcase Concert featuring The Cleveland Orchestra performing for the first time in its history onstage with all the organization’s youth ensembles, including a side-by-side performance conducted by Franz Welser-Möst with the Cleveland Orchestra Youth Orchestra. These performances drew in 158,500 total admissions. The annual Gala benefit event, which took place on November 3 in Severance Hall, featured Yo-Yo Ma and raised funds in support of the Orchestra’s education initiatives. The Orchestra also returned to downtown Cleveland with five sold-out performances of The Nutcracker, presented in collaboration with Chicago’s Joff rey Ballet and performed at PlayhouseSquare. Also during the year, the Orchestra continued two longstanding regional engagements, with annual performances in Oberlin at Finney Chapel and at Akron’s EJ Thomas Hall. In partnership with the Cleveland Museum of Art, the Orchestra presented “California Masterworks,” a two-concert series taking place in spring 2013. During the summer of 2013, The Cleveland Orchestra partnered with Oberlin College in the annual Cooper Competition, performing the concerto final round, and also played the final two evenings of the Cleveland International Piano Competition.

Music Education and Community

The musicians of The Cleveland Orchestra were in the spirit of the "Halloween Spooktacular" Family Concert in October. The Orchestra gave a live performance of the musical score of Charlie Chaplin’s classic silent film "Modern Times" in December as part of the Celebrity Series. Among new works in the season, the Orchestra presented Stewart Copeland's "Gamelan D’Drum" in October, with percussion ensemble D’Drum featuring over 70 percussion instruments from around the world.

The Orchestra’s education programs served more than 60,000 in 2012-13 and included school fieldtrip Education Concerts at Severance Hall, a full Orchestra performance at Shaker Heights High School in October, and literally hundreds of presentations linking music and learning in local schools, as well as youth ensemble performances, concerts for families, and adult learning opportunities. Notable in 2013 was

Make Music!, a new initiative to highlight the value of music in our community and encourage active music-making for students and adults. As part of ongoing efforts to fully serve and engage with the entire Northeast Ohio community, The Cleveland Orchestra offered many free public presentations, including the annual Martin Luther King Jr. Celebration Concert and Community Open House and, in July, the Star-Spangled Spectacular on Public Square. In the spring of 2013, the Orchestra also launched its new “At Home” neighborhood residency program with “The Cleveland Orchestra at Home in Gordon Square,” which culminated in a free public concert at Saint Colman Catholic Church and also featured sixteen other events, including ensemble performances in local hot spots and schools, free and open to everyone.

Audience Development As part of an ongoing initiative to build the youngest orchestra audience in the country, The Cleveland Orchestra has sparked a strong youth movement in Northeast Ohio to attend the Orchestra’s concerts. A variety of programs help make Orchestra presentations affordable and accessible. Subsidized ticketing programs for young people helped attract over 13,000 students to Severance Hall concerts at discounted prices. The Orchestra’s “Under 18s Free” program, in its third year, enabled some 5,000 ticket buyers to bring over 11,500 young people to Blossom and Severance Hall performances.

Residencies and Touring Each year, the Orchestra allots several weeks of its performance schedule to residencies and touring activities. These enhance both the artistic and financial strength of the organization overall, and extend and enhance the Orchestra’s worldwide reputation for excellence. The Cleveland Orchestra’s annual residency in Miami, Florida, expanded in its seventh season from three to four weekends of subscription concerts, drawing in over 16,000 in paid admissions. The 2012-13 season at Miami’s Arsht Center for the Performing Arts of MiamiDade County featured three weekends conducted by Franz Welser-Möst and

one with the residency’s principal guest conductor, Giancarlo Guerrero. Under the name Cleveland Orchestra Miami, the residency continued its community and education programs, including 2 free Education Concerts for Miami-Dade County public school students and 4 Musical Rainbows, as well as a variety of after-school programs, mentoring sessions, and masterclasses. In August and early September 2012 The Cleveland Orchestra and Franz Welser-Möst performed a tour of European Festivals, their twelft h international tour together. The tour included performances at the music festivals of Edinburgh, Stuttgart, Grafenegg, and Salzburg. The Orchestra also performed two concerts at the Abbey of St. Florian near Linz, Austria, where they recorded Bruckner’s Fourth Symphony for DVD release on the Clasart label. The Orchestra’s concert activities away from home also featured a performance at New York’s Carnegie Hall, and concerts in Chapel Hill, North Carolina, and in Naples and Sarasota, Florida. In January 2013, the Orchestra also participated in its second residency at Indiana University’s Jacobs School of Music.

Severance Hall Rentals Beyond the Orchestra’s own concerts and presentations, there were 120 rental events and performances at Severance Hall in 2012-13, hosting over 65,600 attendees.

Blossom 2013 The Orchestra’s 2013 Blossom Music Festival featured 19 concerts across nine weekends from July to early September, including 17 by The Cleveland Orchestra. Despite a number of rainy days early in the season, the Festival had a strong series of concerts, including a two-night run of Stravinsky’s The Rite of Spring with The Joff rey Ballet. The summer ended with a record-breaking two-night presentation of Pixar in Concert that drew 30,000 people. Average attendance was 6,330 per concert, with total admissions of 120,350. The summer also featured 21 non-Festival concert performances and 7 other events hosted by Live Nation, which operates Blossom Music Center for the Musical Arts Association. Attendance at these concerts and events totaled 323,100 with an average of 14,050 per concert.

Orchestra Personnel Franz Welser-Möst made two appointments of musicians for The Cleveland Orchestra during the 2012-13 season: Alexandra Preucil (violin) was promoted to the position of assistant concertmaster, and Yun-Ting Lee (violin) officially joined the Orchestra in May 2013. Two members retired during the season, with a total of over 70 years of service: Richard Solis (horn) and Lev Polyakin (assistant concertmaster).

The following describes the Association’s classes of endowment net assets:

Organization: The core purpose of the Musical Arts Association (the Association) is to provide an inspirational experience by serving the art of music at the highest levels of artistic excellence. The Association operates The Cleveland Orchestra; owns and operates Severance Hall, located in Cleveland, Ohio; and owns Blossom Music Center (BMC), situated on approximately 198 acres of land in Summit County, Ohio.

Unrestricted endowment net assets consist of funds which have been designated by the Board of Trustees to function as endowment. The classification includes life income instruments and gains on permanently restricted endowment net assets for which the use of income is not governed by donor imposed restrictions and that have been appropriated by the Board.

Basis of Accounting: The Association’s accounting records are maintained on the accrual basis of accounting.

Temporarily restricted endowment net assets are subject to donor imposed restrictions that will be met by actions of the Association and/or the passage of time. This classification includes all unspent gains on permanently restricted endowment net assets for which the use of income is governed by donor imposed restrictions.

Basis of Presentation: The Association records all unconditional promises to give (pledges) as receivables and revenue in the period made and classifies such contributions into three net asset classes based upon external (donor) imposed restrictions. A description of the three net asset classes follows: Unrestricted Net Assets — Net assets that are not subject to any donor imposed restrictions. Temporarily Restricted Net Assets — Net assets subject to donor imposed restrictions that will be met by actions of the Association and/or the passage of time. Permanently Restricted Net Assets — Net assets subject to donor imposed restrictions that will neither be met or otherwise removed by actions of the Association nor the passage of time. Land, Buildings, and Equipment: Severance Hall opened in 1931 and is located on land leased from Case Western Reserve University. The Association has a 99-year lease, which expires in 2029 and is renewable for additional 99year periods in perpetuity. The lease (including the option period) provides for a nominal rental charge and requires the Association to pay all taxes and assessments that may be levied on the premises. Blossom Music Center opened in 1968 and is now situated on 198 acres of land in Summit County. The Association owns the land and all buildings thereon. Purchased land, buildings, and equipment are stated at cost. Depreciation is computed on a straight-line basis over the estimated useful lives of the respective assets, averaging 20 years for land improvements, 40 years for buildings, and 5 to 20 years for equipment, using a half-year life convention in the year of acquisition. Routine repairs and maintenance and individual capital expenditures of less than five hundred dollars are expensed as incurred. The Association’s music library and archives and its equity in the Medical Center Company are carried at no value in the financial statements. In July 2008, the Association signed a letter of intent with The Trust for Public Land, a national, nonprofit, land conservation organization, to sell a portion of the Association’s Blossom land, which originally totalled approximately 800 acres. The first phase of the land sale was completed in March 2011 providing gross proceeds of $3,980. The second and final phase of the land sale was completed in October 2011 providing gross proceeds of $5,286. After payment of the related expenses, the net proceeds of the sale were used to partially reduce operating deficits. Collective Bargaining Agreements: The Association’s orchestra musicians, stagehands, ticket sellers, and service employees are covered by collective bargaining agreements. The Cleveland Federation of Musicians, Local No. 4 three-year collective bargaining agreement expires on August 30, 2015. The Service Employees International Union Local No. 3, AFL-CIO collective bargaining agreement expires December 31, 2013. The Stage Employees Local No. 27 of The International Alliance of Theatrical Stage Employee’s collective bargaining agreement expires August 31, 2014, and The Treasurer’s and Ticket Sellers Union No. 756, AFL-CIO collective bargaining agreement expires December 31, 2013.

NOTE B Endowment Because the endowment assets include funds derived originally from permanently restricted contributions, management thereof is subject to Ohio State law. In July 1996, the 121st General Assembly of the State of Ohio passed Substitute House Bill No. 391. Under the provisions of this Bill as interpreted by the Association, the Association is permitted to expend the gains, both realized and unrealized, on its permanently restricted endowment contributions unless specifically restricted by the donor. Effective June 1, 2009, Ohio’s version of the Uniform Prudent Management of Institutional Funds Act (UPMIFA) became law. The Association has interpreted UPMIFA as requiring the preservation of the fair value of the original gift as of the gift date of the donor-restricted endowment funds absent explicit donor stipulations to the contrary. As a result, the Association classifies as permanently restricted net assets (a) the original value of gifts donated to the permanent endowment, (b) the original value of subsquent gifts to the permanent endowment, and (c) accumulations to the permanent endowment made in accordance with the direction of the applicable donor gift instrument at the time the accumulation is added to the fund.

Permanently restricted endowment net assets are subject to donor imposed restrictions that require the assets to be maintained in perpetuity. Certain of these net assets are maintained by the Association and others, charitable perpetual trusts, are in the control of third party trustees or administrators. The Association records its interest in charitable perpetual trusts at its pro-rata share of the fair market value of the assets. The Association’s annual draw is based on a total return philosophy, and is calculated as the prior fiscal year’s draw amount weighted 70%, plus 5% of the prior fiscal year’s average quarterly endowment market value net of investment fees weighted 30%, plus 5% of the current fiscal year’s endowment cash contributions pro-rated based on the fiscal quarter received. Because the amount drawn in a given year is heavily weighted by the market value of the endowment in prior years, the percentage drawn of a given year’s endowment market value often varies from the 5% draw factor used in the calculation. NOTE C Cleveland Orchestra Miami Cleveland Orchestra Miami (COM) was launched in 2007 and for three-four weeks annually, has served adults and youth in the Miami-Dade community through a variety of concerts and community engagement activities. It is supported by the Miami Music Association (MMA), a Florida corporation that was formed in 2005 and is exempt from income tax under section 501(c)(3) of the Internal Revenue Code. In April 2013, MMA’s tax exempt status was changed from a supporting organization to a public charity, and in June 2013 a Summary Operating Agreement and Memorandum of Understanding between MMA and the Association was executed.

NOTE D Cuyahoga Falls Concerts, Inc. Agreement Effective November 1, 1999, the Association entered into an amended and restated 15-year agreement with Cuyahoga Falls Concerts, Inc. (CFCI) (the “Agreement”). CFCI will operate Blossom Music Center (BMC) and will book, promote and present special attractions, upon which it will pay the Association annual rentals based upon a percentage of CFCI’s gross receipts from BMC special attractions. Upon signing of the Agreement, CFCI granted the Association $6,000 to fund future Association operations. This grant has been recorded as temporarily restricted revenue and is being amortized into unrestricted revenue on a straight-line basis over the 15-year term of the Agreement beginning in fiscal 2001. The obligations of CFCI under the Agreement are guaranteed by HOB (House of Blues) Entertainment, Inc.

NOTE E Pension and Other Retirement Benefi ts The Association has a frozen noncontributory defined benefit pension plan covering substantially all employees. The benefits are based on years of service and the employee’s compensation level. The Association’s funding policy is to contribute annually at least the minimum amount required by the Employee Retirement Income Security Act of 1974. In addition to the defined benefit pension plan, the Association provides executive supplemental retirement benefits, which are included as accrued benefits on the statement of financial position.

The portion of the defined benefit pension plan covering hall and office employees was frozen effective April 1, 2009. At that date, a new contributory 403(b) plan was established. Association contributions to the 403(b) plan for hall and office employees totaled $321 and $311 for the years ended June 30, 2013 and 2012, respectively. Per the terms of the collective bargaining agreement with the Cleveland Federation of Musicians, Local No. 4 (Union), the portion of the defined benefit pension plan covering these employees was frozen effective August 1, 2009. Effective August 1, 2009, the Association began contributing a percentage of the musician’s minimum weekly salary to the American Federation of Musicians and Employers’ Pension Fund (AFM&EPF). Per further agreement between the Union and the Association: (a) effective March 30, 2010, the Association withdrew from and ceased participation in the AFM&EPF with respect to all contributions provided under the collective bargaining agreement, and no contributions shall be due to the AFM&EPF under the collective bargaining agreement after that date, and (b) effective April 1, 2010, the Association began contributing a percentage of the musicians’ minimum weekly salary into the 403(b) plan. Association contributions to the 403(b) plan for the musiciains totaled $1,346 and $1,385 for the years ended June 30, 2013 and 2012, respectively. During 2013, the Association changed the amortization period over which net actuarial gains or losses are recorded from the average remaining service to the average remaining life expectancy of participants in the defined benefit pension plan. The cumulative effect of $1,976 reduced the accumulated operating results deficit to ($5,297) at June 30, 2013.

NOTE F — Debt On December 1, 2003, the Association issued $28,150 of County of Cuyahoga, Ohio, Economic Development Revenue Refunding Bonds, Series 2003, due December 1, 2028 (maturity date). No principal payments are required prior to the maturity date. Proceeds from this issue were used to redeem the County of Cuyahoga, Ohio, Economic Development Revenue Bonds, Series 1998, due April 1, 2028. The Series 1998 Bonds, which were issued as part of the overall financing plan for the renovation, restoration, and expansion of Severance Hall, were called and paid in full in February 2004. The Series 2003 Bonds were issued and continue to function in a floating rate mode, with the interest rate re-set on a weekly basis. From July 1, 2012, to June 30, 2013, the interest rate for the Series 2003 Bonds ranged between 0.51% and 0.66%. The Series 2003 Bonds are supported by a Financial Guaranty Insurance Policy which expires on December 1, 2028. In connection with the issuance of the bond insurance policy, the Association agreed to certain covenants, including limits on additional indebtedness, ratios of unrestricted cash and investments to outstanding debt, and periodic financial reporting. These covenants were met for the year ended June 30, 2013. The Association maintains agreements with KeyBank and PNC Bank that extend through September 2015 and May 2014, respectively, providing committed unsecured lines of credit aggregating $10,000. There were no outstanding balances or commitment fees under these agreements at June 30, 2013 and 2012.

NOTE G Cost of Fundraising The Association charges to operations on the Statement of Operating Activities expenses related to fundraising for annual fund, government grants, special fundraising and endowment pledges and contributions. In addition, the Association netted the direct costs of its planned giving program, $228 and $322 for the years ended June 30, 2013 and 2012, respectively, against realized planned giving expectancies..
