Dear Friends, As we embark on The Cleveland Orchestra’s second century, I am filled with enormous pride in the one-hundred-year collaboration between the Orchestra and this community. The exceptional musicianship and dedication of this Orchestra are acclaimed anew with each passing season — here at home and around the world — and are bolstered by your incredible interest in what we do. Your devotion inspires us each and every day. Your musical curiosity and intellect drive us forward, to study more, to dream beyond the past, and to continue exploring new boundaries in music. Conducting each performance is as exciting an adventure for me as the first time I stepped on the podium at Severance Hall. Our 1OOth season in 2017-18 serves as an historic milestone, not only to celebrate our rich history, but to look forward to everything this institution will accomplish in the century to come. All of this is only possible because of you, through the passionate and devoted hometown that supports us, seeks answers, and eagerly attends our concerts. Against the ever-increasing and fractious challenges of today, I believe that we have an obligation to harness the life-changing power of music to make the world a better place — to push the limits of our art to create deep, meaningful experiences. Music is an incredible tool for good — to inspire people, as Beethoven believed, in the “fight for good,” for what is right and true. Music inspires creativity, engages the imagination, and fosters learning and understanding. I truly believe that The Cleveland Orchestra’s next 1OO years will indeed be exceptional. Together, we are launching a century that will be filled with extraordinary, unexpected, and emotionallycharged musical experiences for everyone. Thank you for joining us on the adventure!

ANNUAL REPORT 2017
Report
December 2O17
Dear Friends,
From the President and Executive Director
We are in the midst of an historic moment. The Cleveland Orch estra’s 1OOth season represents a special opportunity to consider and celebrate all that has come before and all that is yet to be. From this or chestra’s bright beginnings in 1918, as a hopeful and enthusiastic regional music ensemble, to today, when Cleveland’s orchestra leads the industry in artistry, innovation, audience diversification, and growth. Collectively, these talented musicians — under the direction of the brilliant and inspir ing leadership of Franz Welser-Möst — serve as our city’s ambassador to the world. In turn, the Orchestra’s devotion and service to our hometown community continues to grow. From this unique vantage point, it is use ful and humbling to examine the current state of The Cleveland Orchestra as we set our course forward into a vital and successful Second Century. A HOMETOWN ORCHESTRA — OUR COMMITMENT TO NORTHEAST OHIO
RICHARD K. SMUCKER
The 1OOth season is a milestone anniversary not just for The Cleve land Orchestra, but for the community that created and sustains it. A century of hard work has connected all of us together as a community through decades of memorable musical experiences — including day time school concerts for, literally, millions of students and evening and weekend performances for millions more adults. Today, we are recom mitting this institution to continue bringing excellence to Northeast Ohio for the next hundred years and beyond. In doing so, we believe that a handful of shared values and prom ises are central to serving this great city in the years ahead:
ANDRÉ GREMILLET
2O1 7-18
CENTENNIAL SEASON
Believing in the Value of Excellence: Everything we do is built on a foundation of offering the best possible musical experience. The Cleveland Orchestra’s reputation for excellence is a direct reflection of the values of this community, built on the firm belief that there is a difference between good, better, and best. We employ and expect the best in order to present the highest-quality musical experiences. The Orchestra’s ex cellence leads by example — for young and old alike. Sharing the Power and Passion of Music: The Cleveland Orch estra’s fundamental mission is to share great musical experiences with people from across Northeast Ohio and the world — because we believe that music enriches lives, augments learning, and inspires creativity and understanding. Inspiring Future Generations: Education has been at the fore front of The Cleveland Orchestra’s mission since the very beginning — and through the art of music we have been able to inspire, to teach, to transform lives. Today, we are redoubling our efforts — to touch the lives of young people throughout the region through powerful performances, free tickets, and compelling education initiatives. Celebrating and Serving Community: Each and every year, we work to fulfill the promise of those who created The Cleveland Orchestra. Our greatest strength is the people of Northeast Ohio, who created this Orchestra and continue to expect and demand great things from us. We believe in the power of music because you do. Music is about sharing and joining together. Your support and belief in us carries us forward.

THE CLEVELAND ORCHESTRA
The Cleveland Orchestra has championed these values for a hundred years, and we begin our Second Century with a renewed commitment to upholding these promises for our home community. To ensure that we are moving forward on the stron gest possible footing — and making the best possible choices for this orchestra and this community — we have taken a long and concentrated look at how far we’ve come and how far we have yet to travel. Only by evaluating the successes and challenges of the past century, and espe cially in examining the trends of the past decade, can we embark on a clear course forward into a vibrant future. THE PAST DECADE — STRENGTHS, SUCCESSES, AND CHALLENGES Today, we can say without reservation or hesitation that The Cleveland Orchestra has never been stronger artistically. The past decade has also seen success and achievement across the financial components of our op erations — realizing that even a strong institution cannot be entirely free from challenges and occasional setbacks. Over the past year, we have been examining our strengths alongside potential areas for concern: Achieving Acclaim — At Home and Abroad. Un der Franz Welser-Möst’s artistic leadership, Cleveland’s orchestra is second to none. The recent European Tour in October 2017 was just the latest in a decades-long string of performances, internationally and around the United States, that reaffirms the enduring artistic strength and vibrancy of The Cleveland Orchestra and the incredible partnership that Franz and the Orchestra have formed. We are proud to carry the name of Cleve land around the globe, as testament to our hometown’s ongoing strengths and potential. Annual tours sustain and grow the Orchestra’s reputation as one of the best in the world. And, because of that strong reputation, the Orchestra’s performances away from home also offer economic value in today’s classical music market. Responding to Change. The world around us con tinues to change, demanding that The Cleveland Orches tra change also — to remain true to the traditions that matter while evolving for the expectations and under standings of new audiences brought up in the 21st cen tury. To meet the evolving needs of our audience and community while maintaining focus on our mission and core values, we are working to bring new perspectives and fresh thinking to our work. Within a framework of stability and evolution, we have implemented leadership changes for both staff and board — with a clear focus on how to best serve the Northeast Ohio community. Reaffirming Our Commitment to Education and Community. Across the last decade, we’ve expanded and expended more on education and community as a

central and essential part of what The Cleveland Orch estra is and does. We understand that education and community programming is an essential part of this insti tution’s DNA — and that the importance of these offer ings will only grow in the future. During our Centennial Season, we are presenting a special “Around the Region Celebration,” a series of unique performances beyond Severance Hall, presented throughout Northeast Ohio. We are proud to be strengthening and extending our education and community offerings, to serve our home region through the power of music to inspire young and old alike. Growing Audiences of All Ages. With new pro grams implemented in the past decade — including Stu dent Advantage, Under 18s Free, Members Club, and The Circle for young professionals — we are attracting young audiences at a rate that has caught the attention of ev ery other orchestra in the country. The explosion in the number of young audience members attending Cleve land Orchestra concerts has helped add to the vibrancy of performances and fuels renewed confidence in our artform. Especially noteworthy are the careful choices we have made to attract new, expanded, and young audiences without dumbing down the quality or detail ing of the works or performances presented. Simply put, we present great music, unadulterated and unadorned, made available and accessible through varying options of time, format, and place. We craft the concert experi ence to serve the music, adding creative innovation on stage for specific purpose, including opera and ballet. Serving More People Across Northeast Ohio. Here at home, more people are enjoying more music performed by Cleveland Orchestra musicians than ever before. In the past decade, we have diversified our pro gramming across a variety of formats, concert lengths, and venues. We have worked to enhance the amenities we offer before and after concerts, and have successfully introduced flexible attendance options, from a buildyour-own ticket series to monthly-ticketing member ships to shorter performances for popular Friday evening concert series. Blossom, the Orchestra’s bucolic summer home, continues to attract concertgoers of all ages, and will reach its own milestone 5Oth Anniversary season in 2018. As a result of all these efforts, ticket sales have shown strong gains and an overall increase across the past decade — during a period when many other orches tras have experienced declines. We recognize that there is still more work to do, to continue improving and en hancing our offerings, but we can be proud of all that we have accomplished in the past decade. A Tradition of Generosity and Support. The unri valled musical excellence of The Cleveland Orchestra and our ongoing commitment to serving the Greater Cleve land community have inspired the devotion of donors for
the past century. The past decade in particular has seen renewed growth in donor support, in numbers and dol lars. The Orchestra’s Annual Fund — which quite literally carries us forward each year — has grown to support both innovative new programs and time-tested initia tives that continue impacting lives. Within this list of achievements and success, there is much good news. Yet, across all these strengths, there is also a potential for shortcomings and challenges as we move into the Orchestra’s next hundred years. THE ORCHESTRA’S SECOND CENTURY — DREAMS AND CHALLENGES We are proud to offer wide-ranging opportunities for people across Northeast Ohio and around the world to experience the life-changing power of music through Cleveland Orchestra performances. We are dedicated to serving our audiences with an artistic product of the highest quality. But we continually face the fact that the programs we offer and the performances we present cost money. The efficiencies that we have implemented across the past decade can only address part of the chal lenge — a symphony written for a 100-piece orchestra still requires 100 musicians, and always will. Even with an effective series of rigorous cost-efficiency measures in place to ensure we remain as streamlined and efficient as possible, The Cleveland Orchestra’s finances — like most orchestras’ today — require significant attention and a series of simultaneous, forward-looking solutions. We need look no further than the financial results of this past year as evidence of these challenges. On the plus side, within a framework of ongoing efficiency mea sures and continued innovations in program offerings we bested goals in operations and ticket sales to come in under budget by $500,000. Despite this good news, however, we ended the FY17 fiscal year with a significant deficit of $4.2 million. Even in a year of many good results — artistically and institutionally — we may fall short of a balanced budget, as we did in FY17. However, such a deficit is not necessarily indicative of long-term trends. Variances (positive or negative) are normal — especially in times of growth and evolving change — and we believe that they are best viewed in the context of overall trends in past results and our financial goals and plans for the future. The FY17 results are a sober reminder of the chal lenges we face and the careful balancing act required to sustain and strengthen The Cleveland Orchestra’s financ es. There is very little room to maneuver in each year’s budget, especially once a season is underway. Only through long-term planning, coupled with specific steps forward, can we work to better minimize the see-sawing potential of annual budget results.
6
THE CLEVELAND ORCHESTRA
The deficit in FY17 was caused by three related factors. First, there was a shortfall in revenue from the Orchestra’s annual Miami residency. To this were added shortfalls in annual donations here in Northeast Ohio, within the Annual Fund itself and within the area of spe cial fundraising (which ties directly to the Orchestra’s undersized Endowment). Despite solid growth and strong achievement across the past decade for both the Annual Fund and Endowment, FY17 fell short of goals. The budgetary challenges in Miami were addressed in the spring of 2017 with the application of a revised business model going forward. When launched in 2007, the Miami residency was an innovative experiment. For a decade, with some finetuning, it operated as hoped, drawing new audiences and paying for itself (with the cost of weeks devoted to Miami paid for through the ticket revenue and donations of that community). As the demands of audiences both in Cleveland and in Miami continued to change, however, economic realities also evolved, contributing to overall deficits for The Cleveland Orchestra in FY16 and FY17. By streamlining the Miami residency beginning this season, we are cutting expenses while maintaining a significant presence in South Florida — with the goal to right-size our offerings to match avail able contributed and ticket revenues. Similarly, we have addressed the financial challeng es here at home in Northeast Ohio through an institu tion-wide strategic planning process, begun in 2016. Within this process, we have worked to build a revised framework — financial and artistic — for moving forward into the institution’s Second Century. The Board in June 2017 approved a newly articulated and delineated road map for the future — building on current strengths while addressing evolving challenges within our business as a major American and international symphony orchestra. Among the issues we are addressing is the fact that, each year, for more than a decade, we have relied on some kind of special fundraising to balance the bud get — a strategy that is not sustainable for the longterm. This reliance has been directly related to the size of the Orchestra’s Endowment. The Endowment has achieved notable growth in recent years through well-managed investments and a series of important gifts — and is now valued at an historic high of $192 million. Despite this good news, the Orchestra’s Endowment has long been undersized and remains too small to truly secure the Orchestra’s future finances. Increasing the Endowment — thus increasing its contribution toward each year’s budget — is a necessary step toward guaranteeing the sustainability of this Orchestra for the longterm, and will reduce the need for special fundraising above and be yond the Annual Fund. Hard work and dedication to this task now will help ensure that future generations can en joy The Cleveland Orchestra’s music-making.
ROADMAP TOWARD AN EXTRAORDINARY FUTURE
WORKING TOGETHER, BUILDING FOR SUCCESS
The Cleveland Orchestra’s year-long strategic plan ning process was completed in March 2017, reaffirming the Orchestra’s shared goals and values of who we are and what we do. This collaborative process resulted in a renewed understanding of the Orchestra’s mission as it relates to today, tomorrow, and the century ahead.
As we applaud the achievements of the past and the successes of today, we must continually look to the future. For all the progress made in the past decade, each new year presents challenges. The power of music to inspire must be offered to new generations in positive and creative ways. Dreams must become reality through careful and effective planning. The art of music must be balanced with available resources of time and budget. Our ongoing and future success is assured only through creativity, continuing excellence, and the committed support of everyone involved — musicians, donors, students, volunteers, community leaders, ticket buyers, staff, and people from across Northeast Ohio.
To help ensure that we focus on the Orchestra’s core mission to serve the Northeast Ohio community, we have established new metrics to measure progress and power the institution forward. These metrics will help monitor and focus our work across artistic planning, au dience and community engagement (including educa tion programs), and financial health. Together, these goals and measurable targets set a clear picture of financial needs and opportunities. Impor tantly, they also expand our planning windows across a range of artistic and community initiatives to ensure stra tegic advancement of the Orchestra’s mission and vision. The five-year financial plan now in place includes strategies for propelling ongoing increased annual fun draising goals and successfully driving strong growth to the Endowment. This roadmap forward gives us clear direction and meaningful goals toward being as success ful financially as we are artistically, but it will require hard work and diligence from all involved. Several additional pieces of recent good news are helping to propel us forward. These include a group of visionary corporations who have signed on as Sec ond Century Sponsors, helping to fund the 2017-18 and 2018-19 seasons. Their generous sponsorship of these anniversary seasons continues our longstanding part nerships with important corporations and foundations to carry the Orchestra’s mission forward. In addition, the Smucker Second Century Chal lenge is inviting wider and deeper community support. Designed to not merely increase the Orchestra’s funding through a single generous gift, the Challenge structure also encourages others to join in the institution’s collab orative tradition of community support. Whether large or small, from a new donor, or increased gift from a cur rent donor, the initial Smucker Challenge of $500,000 matches each gift, dollar for dollar, through the end of 2017. The people of this community — our donors and concertgoers — are the lifeblood of this institution. Across the years, the Orchestra has grown and soared through your support. Your efforts and enthusiasm on behalf of The Cleveland Orchestra will remain funda mental to our continued strength and vitality, now and in the decades ahead.

ANNUAL REPORT 2017
We are truly excited to be part of this Orchestra at this time, as we embark together into a future even more glorious and wondrous than what we have witnessed over the past 100 years. In commemorating the Orchestra’s centennial, we are also celebrating the special relationship between The Cleveland Orchestra and its home community — and looking ahead to the bright future that awaits all of us together. After all, The Cleveland Orchestra is a prod uct and a promise of great partnerships, between music director and musicians, staff and volunteers, senior lead ership and trustees, all of us and our hometown commu nity, everyone together. These bonds have created and fueled the Orchestra’s greatness and placed it among the world’s best. As we unite and dedicate ourselves to future suc cess, there is hard work ahead. The future will present new challenges and opportunities. But there is no limit to what we can accomplish together through commit ment of time, energy, and financial resources. Our suc cess will set the stage for new generations to experience extraordinary music-making — in unrivaled performanc es onstage, in the classroom, and around the community. With hard work and dedication from everyone who loves this Orchestra and believes in the life-changing power of music, an extraordinary future — built on ex cellence, innovation, dedication, and collaboration — is ours for the making.

Overview / Just the Facts Over 300,000 people — students and adults — experienced The Cleveland Orchestra live in concert in Northeast Ohio in the year from September 2016 through August 2017. Thousands more heard them in performance on radio broadcasts, or experienced them live in concert in a series of tour concerts away from home during this same period, while an untold number enjoyed the en semble’s artistry through an expansive discography — audio and video record ings — made during the past century.
Severance Hall and Northeast Ohio The 2016-17 season was Franz Wels er-Möst’s fifteenth year as music director. Highlights of his concerts during the sea son included Yefim Bronfman as soloist in a piano concerto by Jörg Widmann, per formances of Bach’s Saint John Passion, and a challenging all-Stravinsky program that featured voices from Seraphic Fire in Threni. Later in the season there was a new work by Anthony Chueng and Men delssohn’s music from Shakespeare’s A Midsummer Night’s Dream with narration from the play by Israeli actor Itay Tiran. Early May featured a new production of Debussy’s Pelléas and Mélisande directed by Yuval Sharon. The staging’s mixture of technology and stagecraft to illumi nate the opera’s enigmatic story drew strongly positive reviews, as did the mu sical performance under Franz’s baton. From September 2016 through Au gust 2017, the Orchestra performed 103 concerts at Severance Hall. These per formances included 70 regular subscrip tion concerts, plus the annual Holiday Festival in December, three At the Movies presentations, the Summers@Severance and Family Concert series, plus weekday Education Concerts. One special highlight of the year was a unique gathering at Severance Hall on March 17 to announce details of the Orchestra’s Centennial Season in 2017-18. Three musicians spoke passion ately from the stage, and Franz WelserMöst talked at length about the value of music and the arts — and his vision for the Orchestra’s second century. All together, The Cleveland Orches tra’s Severance Hall concerts during the year drew in just over 160,000 total ad missions. An additional 16,500 enjoyed the Orchestra’s presentation of George Balanchine’s The Nutcracker in December in partnership with Pennsylvania Ballet.
9
Community and Education The Cleveland Orchestra contin ued engaging with more people across Northeast Ohio throughout 2016-17, building on an expansive variety of ed ucation and community programs and presentations — including the ongoing series of Family Concerts and Musical Rainbows. In March, the Orchestra’s Educa tion Concerts for students encored pre sentations of Violins of Hope, presented at Case Western Reserve University’s Maltz Performing Arts Center. Two in-school performances also were fea tured, one to inaugurate the new audi torium at Beachwood High School and the other at East Professional Center in Hough. Overall, nearly 16,000 students experienced the season’s school con certs. Throughout the spring of 2017, in preparation for The Cleveland Orches tra’s Centennial Season presentation of The Prometheus Project, Orchestra musi cians and staff worked with students at the Cleveland School of the Arts to pre pare a unique multi-media concert on the theme of Beethoven, Prometheus, and heroes. The resulting concert for high school students opened the 201718 season under Franz Welser-Möst’s direction, tying together regular season programming and education offerings to amplify learning opportunities and connections between the arts and ev eryday life. All together, the Orchestra’s core education programs once again served tens of thousands, including literally hundreds of presentations linking music and learning in local partner schools. The season’s free community con certs included the Orchestra’s 37th Mar tin Luther King Jr. Celebration Concert in January. The planned-for 28th annual Star-Spangled Spectacular in downtown Cleveland was cancelled due to severe thunderstorms throughout the after noon and evening on June 30.
Touring and Residencies Each year, the Orchestra appor tions several weeks of its performance schedule to residencies and touring ac tivities beyond Northeast Ohio. These are designed to enhance both the artis tic and financial strength of the organi zation overall, and extend and enhance the Orchestra’s worldwide reputation. In January 2017, the Orchestra
ANNUAL REPORT 2017
visited the heartland of America with a four-concert tour, performing in Indi ana, Iowa, and Illinois, reminding audi ences and critics in those cities of the high level of Cleveland’s playing and the unrivaled partnership that Franz and the Orchestra have created. The Cleveland Orchestra’s annual residency in Miami, Florida, featured four weekends of concerts, presented in partnership with Miami’s Adrienne Arsht Center for the Performing Arts of Miami-Dade County. These public concerts drew just over 13,500 in ad missions, in addition to free Education Concerts for Miami-Dade County public schools and a side-by-side concert with Coral Reef high school students.
Severance Hall Rentals Beyond the Orchestra’s own con certs and presentations, there were 111 rental events and performances at Sev erance Hall in 2016-17, hosting just over 57,900 attendees.
Blossom 2017 The Orchestra’s 2017 Blossom Mu sic Festival featured 21 concerts across ten weekends in July, August, and Sep tember, including 19 by The Cleveland Orchestra. The Festival also featured two concerts by the Blossom Festival Band. The season resulted in solid at tendance against a summer of mixed weather and with revenue coming in under goal. With more Festival con certs than the previous year, average at tendance came down to just over 5,650 admissions, against total admissions for the season of 118,750. The summer’s numbers were driven by strong sales of Lawn Ticket Books and continuing fam ily attendance spearheaded through the Orchestra’s Under 18s Free subsi dized ticketing program. The summer also featured 27 non-Festival concert performances and 2 other events hosted by Live Na tion, which operates Blossom Music Center for the Musical Arts Association. Attendance totaled 398,000, with an av erage of 14,700 per concert.
Orchestra Personnel During the year, Franz Welser-Möst appointed two new members to The Cleveland Orchestra, who joined the Orchestra as the year progressed: Yann Ghiro as bass clarinet and clarinet (Janu ary 2017) and Afendi Yusuf as principal clarinet (September 2017).
Notes to Financial Statements NOTE A Summary of Significant Accounting Policies Organization: The Musical Arts Association (the Association) works to enable, encourage, and ensure that The Cleveland Orchestra can fulfill its mission to “inspire and enrich lives by creating extraordinary musical experiences at the highest level of artistic excellence.” The Association operates The Cleveland Orchestra; owns and operates Severance Hall, located in Cleveland, Ohio; and owns Blossom Music Center (BMC), situated on approximately 198 acres of land in Summit County, Ohio. Basis of Accounting: The Association’s accounting records are maintained on the accrual basis of accounting. Basis of Presentation: The Association records all unconditional promises to give (pledges) as receivables and revenue in the period made and classifies such contributions into three net asset classes based upon external (donor) imposed restrictions. A description of the three net asset classes follows: Unrestricted Net Assets — Net assets that are not subject to any donor imposed restrictions. Temporarily Restricted Net Assets — Net assets subject to donor imposed restrictions that will be met by actions of the Association and/or the passage of time. Permanently Restricted Net Assets — Net assets subject to donor restrictions that the corpus be invested in perpetuity and the income be utilized for designated purpose(s). Land, Buildings, and Equipment: Severance Hall opened in 1931 and is located on land leased from Case Western Reserve University. The Association has a 99-year lease, which expires in 2029 and is renewable for additional 99-year periods in perpetuity. The lease (including the option period) provides for a nominal rental charge and requires the Association to pay all taxes and assessments that may be levied on the premises. Blossom Music Center opened in 1968. The Association owns the land and all buildings thereon. Purchased land, buildings, and equipment are stated at cost. Depreciation is computed on a straight-line basis over the estimated useful lives of the respective assets, averaging 20 years for land improvements, 40 years for buildings, and 5 to 20 years for equipment, using a half-year life convention in the year of acquisition. Routine repairs and maintenance and individual capital expenditures of less than five hundred dollars are expensed as incurred. The Association’s music library and archives and its equity in the Medical Center Company are carried at no value in the financial statements. Collective Bargaining Agreements: The Association’s orchestra musicians, stagehands, ticket sellers, and service employees are covered by collective bargaining agreements. The Cleveland Federation of Musicians, Local No. 4, three-year collective bargaining agreement expires September 2, 2018. The Service Employees International Union, Local 1 collective bargaining agreement expires December 31, 2019; the Stage Employees Local No. 27 of the International Alliance of Theatrical Stage Employees have entered into a memorandum of understanding for a new collective bargaining agreement expiring August 31, 2020; and the Treasurers and Ticket Sellers Division, AFL-CIO Local 756 collective bargaining agreement expires December 31, 2017.
NOTE B Endowment Because the endowment assets include funds derived originally from permanently restricted contributions, management thereof is subject to Ohio State law. In July 1996, the 121st General Assembly of the State of Ohio passed Substitute House Bill No. 391. Under the provisions of this Bill as interpreted by the Association, the Association is permitted to expend the gains, both realized and unrealized, on its permanently restricted endowment contributions unless specifically restricted by the donor. Uniform Prudent Management of Institutional Funds Act (UPMIFA) requires the preservation of the fair value of the original gift as of the gift date of the donor-restricted endowment funds absent explicit donor stipulations to the contrary. As a result, the Association classifies as permanently restricted net assets (a) the original value of gifts donated to the permanent endowment, (b) the original value of subsquent gifts to the permanent endowment, and (c) accumulations to the permanent endowment made in accordance with the direction of the applicable donor gift instrument at the time the accumulation is added to the fund. The following describes the Association’s classes of endowment net assets: Unrestricted endowment net assets consist of funds which have been designated by the Board of Trustees to function as endowment. The classification includes split interest agreements and gains on permanently restricted endowment net assets for which the use of income is not governed by donor imposed restrictions and that have been appropriated by the Board. Temporarily restricted endowment net assets are subject to donor imposed restrictions that will be met by actions of the Association and/ or the passage of time. This classification includes all unspent gains on permanently restricted endowment net assets for which the use of income is governed by donor imposed restrictions. Permanently restricted endowment net assets are subject to donor imposed restrictions that require the assets to be maintained in
10
(IN THOUSANDS) (CONDENSED)
perpetuity. Certain of these net assets are maintained by the Association and others, charitable perpetual trusts, are in the control of third party trustees or administrators. The Association records its interest in charitable perpetual trusts at its pro-rata share of the fair market value of the assets. The Association’s annual draw is based on a total return philosophy, and is calculated as the prior fiscal year’s draw amount weighted 70%, plus 5% of the prior fiscal year’s average quarterly endowment market value net of investment fees weighted 30%, plus 5% of the current fiscal year’s endowment cash contributions pro-rated based on the fiscal quarter received. Because the amount drawn in a given year is heavily weighted by the market value of the endowment in prior years, the percentage drawn of a given year’s endowment market value often varies from the 5% draw factor used in the calculation. Endowment investments are summarized as follows as of June 30: Large-cap US equity Small-cap US equity International equity Marketable alternatives Cash / fixed income
2017 2016
$ 77,447 10,290 33,010 35,447 36,018 $ 192,212
$ 71,512 8,063 26,569 38,503 29,109 $ 173,756
At June, 30, 2017, the Association had borrowed $980 from the unrestricted, board designated portion of the endowment to meet cash flow needs. The borrowing is within the initial $5,000 limit authorized by the Board of Trustees in February 2017 and the cumulative $9,000 borrowing limit authorized by the Board in June 2017. Borrowings under the authorization are part of the 5-Year Financial Plan to build a sustainable financial model, which was also approved by the Board in June 2017, and are to be repaid to the endowment with foregone investment income by June 30, 2022.
NOTE C Miami Residency Since 2007, for three to four weeks annually, The Cleveland Orchestra has engaged in a Miami residency, which serves adults and young people in Florida (primarily in the Miami-Dade community) through a variety of concerts and community engagement activities including school programs and coaching with university students. During these weeks, the Orchestra performs concerts at the Adrienne Arsht Center for the Performing Arts of Miami-Dade County and partners with numerous community organizations. The Orchestra’s Miami residency is referred to locally in Florida as Cleveland Orchestra Miami. The Miami Music Association (MMA) is a Florida corporation that was formed in 2005 and is exempt from income tax under Section 501(c)(3) of the Internal Revenue Code. MMA operates under its own separate Board of Trustees. The Association employs some staff that are dedicated to the operations of MMA; other members of the Association’s staff devote some (but not all) of their time to the activities of MMA. The Association and MMA entered into a Summary Operating Agreement and Memorandum of Understanding (MOU) that governs the relationship between the Association and MMA. In April 2017, the Association and MMA agreed to terminate the Summary Operating Agreement effective June 30, 2017. The Cleveland Orchestra will continue its Miami activities under a new business model without the involvement or support of MMA. In accordance with the terms of the MOU, the Association recorded $266 and $1,643 of pledges receivable from MMA at June 30, 2017 and 2016, respectively.
NOTE D Cuyahoga Falls Concerts, Inc. Agreement Effective November 1, 2014, the Association entered into an amended and restated 15-year agreement with Cuyahoga Falls Concerts, Inc. (CFCI) (the “Agreement”) that expires October 31, 2029. CFCI will operate Blossom Music Center (BMC) and will book, promote, and present special attractions, upon which it will pay the Association annual rentals based upon a percentage of CFCI’s gross receipts from BMC special attractions. Upon signing of the Agreement, CFCI granted the Association $7,500 to fund future Association operations. This grant has been recorded as temporarily restricted revenue and is being amortized into unrestricted revenue on a straight-line basis over the 15-year term of the Agreement. The obligations of CFCI under the Agreement are guaranteed by HOB (House of Blues) Entertainment, Inc. In addition, under this agreement, the Association and CFCI are charging One Dollar for each ticket sold for concerts at Bllossom Music Center to fund a capital improvements program.
NOTE E Pension and Other Retirement Benefits The Association has a frozen noncontributory defined benefit pension plan covering substantially all employees. The benefits are based on years of service and the employee’s compensation level. The Association’s funding policy is to contribute annually at least the minimum amount required by the Employee Retirement Income Security Act of 1974.

The portion of the defined benefit pension plan covering hall and office employees was frozen effective April 1, 2009. At that date, a new contributory 403(b) plan was established. Association contributions to the 403(b) plan for hall and office employees totaled $328 and $267 for the years ended June 30, 2017 and 2016, respectively. Per the terms of the collective bargaining agreement with the Cleveland Federation of Musicians, Local No. 4 (Union), the portion of the defined benefit pension plan covering these employees was frozen effective August 1, 2009. Effective August 1, 2009, the Association began contributing a percentage of the musician’s minimum weekly salary to the American Federation of Musicians and Employers’ Pension Fund (AFM&EPF). Per further agreement between the Union and the Association: (a) effective March 30, 2010, the Association withdrew from and ceased participation in the AFM&EPF with respect to all contributions provided under the collective bargaining agreement, and no contributions shall be due to the AFM&EPF under the collective bargaining agreement after that date, and (b) effective April 1, 2010, the Association began contributing a percentage of the musicians’ minimum weekly salary into the 403(b) plan. Contributions to the 403(b) plan for the musiciains totaled $1,408 and $1,441 for the years ended June 30, 2017 and 2016, respectively. In addition to the defined benefit and 403(b) pension plans, the Association provides executive supplemental retirement benefits, which are included as accrued benefits on the statement of financial position.
NOTE F — Debt On December 1, 2003, the Association issued $28,150 of County of Cuyahoga, Ohio, Economic Development Revenue Refunding Bonds, Series 2003, due December 1, 2028 (maturity date). No principal payments are required prior to the maturity date. Proceeds from this issue were used to redeem the County of Cuyahoga, Ohio, Economic Development Revenue Bonds, Series 1998, due April 1, 2028. The Series 1998 Bonds, which were issued as part of the overall financing plan for the renovation, restoration, and expansion of Severance Hall, were called and paid in full in February 2004. The Series 2003 Bonds were issued and continue to function in a floating rate mode, with the interest rate re-set on a weekly basis. From July 1, 2016, to June 30, 2017, the interest rate for the Series 2003 Bonds ranged between 1.19% and 3.23%. The Series 2003 Bonds are supported by a Financial Guaranty Insurance Policy which expires on December 1, 2028. In connection with the issuance of the bond insurance policy, the Association agreed to certain covenants, including limits on additional indebtedness, ratios of unrestricted cash and investments to outstanding debt, and periodic financial reporting. These covenants were met for the year ended June 30, 2017. The Association maintains agreements with KeyBank and PNC Bank that extend through September 2019 and May 2018, respectively, providing committed unsecured lines of credit aggregating $10,000. There were no outstanding balances or commitment fees under these agreements at June 30, 2017 and 2016.
NOTE G Cost of Fundraising The Association charges to operations on the Statement of Operating Activities expenses related to fundraising for annual fund, government grants, special fundraising and endowment pledges and contributions. In addition, the Association netted the direct costs of its planned giving program, $105 and $168 for the years ended June 30, 2017 and 2016, respectively, against realized planned giving expectancies.
NOTE H Subsequent Event On November 15, 2017, the Association accelerated funding of its defined benefit plan by contributing $12.5 million to the plan. Individual gifts, including one from an estate, are providing these funds over a 5 year period. As of November 15, 2017, $1.6 million of these gifts had been received, which along with a Board of Trustees approved borrowing from the board designated, unrestricted portion of the endowment of $10.9 million funded the $12.5 million contribution. As the remainder of the gifts are received, the endowment will be paid back along with the foregone investment income over the borrowing period.

The Cleveland Orchestra is proud of its long-term partnership with Kent State University, made possible in part through generous funding from the State of Ohio. The Cleveland Orchestra is proud to have its home, Severance Hall, located on the campus of Case Western Reserve University, with whom it has a long history of collaboration and partnership. Concerts and activities of The Cleveland Orchestra are supported in part by grants from the National Endowment for the Arts, State of Ohio, Ohio Arts Council, the residents of Cuyahoga County through Cuyahoga Arts and Culture, and generous donors.
Cleveland Orchestra concerts are supported by significant sponsorships and underwriting from corporations and foundations, and generous individual contributors. The Cleveland Orchestra extends gracious thanks to all our sponsoring organizations and individuals. We regret any errors or omissions in any of the lists printed in this report. Questions or comments can be directed to 216-231-7441.
