SECTION 1 - INTRODUCTION Travel agents used to control access to the products and services provided by suppliers—airlines, car rental companies, hotels, cruise lines, resorts, and the like. But the Internet has revolutionized travel, and consumers—driven primarily by price—now can do their own shopping, and they have bypassed the travel agent middlemen. Consequently, the storefront travel agency has been reduced from 60,000 to fewer than 6,000 in the U.S. The future of the travel industry is clear: the Internet. The superiority of word-of-mouth advertising in Internet marketing has been well documented since the beginning of the dot com days by Jupiter Research and elsewhere. Rovia educates and trains new Leisure Travel Consultants (LTCs), Booking Travel Agents (BTAs), and Travel Reservation Specialists (TRSs) enrolled by WorldVentures, Rovia’s exclusive marketing partner. These new Rovia team members in turn expand their travel business by introducing Rovia’s travel services to their circle of influence and driving customers to their Rovia retail travel portal. Rovia’s objective is to merge the high-tech functionality of the Internet with the hightouch customer service that only a live human being can provide, to offer travel consumers an entirely new travel experience. SECTION 2 - ROVIA TRAVEL TEAM MEMBERS & WORLDVENTURES REPRESENTATIVES 2.1 - Description To understand the Rovia Compensation Plan, it is important to understand the distinction between Rovia and WorldVentures. WorldVentures is a marketing company, contracted by Rovia to acquire new Leisure Travel Consultants (LTCs), Booking Travel Agents (BTAs), and Travel Reservation Specialists (TRSs), collectively: “Travel Team Members.” WorldVentures Representatives market the LTC package to the public. However, once contracted with Rovia, Travel Team Members do not engage in marketing to other prospective Travel Team Members and derive their compensation from the sale of retail travel (air, car, hotel, cruise, etc.). In the event that a Rovia LTC also elects to become a Representative for WorldVentures, they may earn a Management Bonus of 5-10% on the retail travel sales made by those Leisure Travel Consultants they personally enroll, provided they reach the required Achievement Levels.

SECTION 3 - ACTIVE STATUS REQUIREMENT 3.1 - Description Rovia Travel Team Members must be “Active” to be eligible to earn commissions and bonuses. A Travel Team Member remains Active by paying their monthly fee(s). They are as follows: 3

a) Leisure Travel Consultant (LTC): $19.99/month b) Booking Travel Agent (BTA): $29.99/month (+ LTC fee of $19.99/month) c) Travel Reservation Specialist (TRS): LTC & BTA monthly fees 3.2 - Limitations a) If a Travel Team Member remains Inactive for more than four (4) weekly pay periods, they will no longer be eligible for commissions. b) If a Travel Team Member remains Inactive for more than twelve (12) consecutive weekly pay periods at any time, the Travel Team Member’s Agreement shall be terminated and the Travel Team Member shall be reclassified as a Rovia Preferred Customer. 3.3 - Billing Grace Period Travel Team Members are eligible for a Billing Grace Period for their Product(s) of up to one month. A Travel Team Member may have multiple Billing Grace Periods in a calendar year. To return to Active status the account must be brought current before the next recurring order billing date. If, for example, their recurring order did not process on July 21st, they would go into grace period. If it was corrected, bringing them current, prior to the 21st of August they would become Active and would then continue to bill normally on the 21st of August. If the August 21st recurring order date were hit without correcting the grace period, the Travel Team Member would go inactive and at that time they would no longer be eligible for commissions.

SECTION 4 - COMMISSION PAYMENT 4.1 - Description All travel commissions payable to Travel Team Members are based on 100% of the commissions Rovia receives from participating travel industry vendors. All vendor commissions are calculated based on the “base fare,” which does not include taxes, port fees, processing fees, fuel surcharges, government fees or any other fees outside the actual set base fare. 4.2 - Payment Schedule Travel Commissions are only paid to Participating vendors normally issue payment to Rovia 60 to 90 days after travel has been completed. Rovia issues commissions to the LTC each month after the 20th of each month from the prior month commission payment. For example; if Rovia received $100 commission in February for a booking that was completed on-line from an LTC’s website, Rovia would mail a check to the LTC in the amount of $50 (see Accreditation breakdowns below) after the 20th of March. 4.3 - Airlines Domestic airline companies do not pay commissions so Travel Team Members cannot make commissions selling airline tickets. However, some international airlines may offer 1% to 5% commission and in the event that such commission rates are available, Rovia will issue the Travel Team Member generating the sale their share of any commission generated from said vendors. 4

SECTION 5 - ACCREDITATION LEVELS 5.1 - Leisure Travel Consultant (LTC) 5.1.1 - Requirements Purchase the LTC Package from a WorldVentures Representative for $199.99 + $19.99/month. 5.1.2 - Commission Breakdown • LTC Travel Portal (Rovia.com website) Bookings: 50% (Car, Hotel, Cruise, Condo, Activities) • Online Quote Request Forms: 35% (Groups, Tours, Honeymoon Planning, Vacation Packages) • Call Center-Initiated Bookings: 25% (The Rovia Call Center is not available at this time.) 5.1.3 - Privileges and Limitations LTCs are not allowed to contact vendors directly and are prohibited from being involved in the actual booking process or providing quotes. If for any reason an LTC decides not to follow the procedure and books on behalf of a customer from their LTC website, then he/she will be responsible for any errors and financial repercussions. LTCs are financially liable if they book travel on behalf of a customer from their LTC website. By entering a customer's credit card to complete the booking they are taking responsibility for any related errors resulting in change fees, refunding tickets, etc. The LTC website is an end-consumer website where the customer does the work and agrees to the terms and conditions related to their booking request. We strongly advise that LTCs not put themselves in the position of financial liability. If a customer requires help, please direct them to the chat service or complete the online Quote Request Form. 5.2 - Booking Travel Agent (BTA) 5.2.1 - Requirements • Purchase the BTA Package from Rovia for $299 + $29.99/month • Successfully Pass the BTA Exam • Maintain the LTC monthly fee 5.2.2 - BTA Accreditation Courses After purchasing the BTA package, LTCs will have access to 10 BTA courses to prepare them for the BTA Exam. Normally $89 apiece, courses are available at a discounted rate of $65 per course, or lower if purchased in bulk. It is suggested that LTCs complete all 10 courses prior to taking the BTA Exam, however they are not required. In the event that an LTC has previous travel experience and would like to take the BTA Exam without completing the BTA Courses, they may do so at their own risk.. The BTA monthly fee of $29.99 will not be charged until after the LTC has passed the BTA Exam and has been issued access to the BTA back office and travel booking portal. 5

5.2.3 - Commissions & Bonuses • BTA Portal Bookings, completed by the BTA: 70% • LTC Travel Portal (Rovia.com website) Bookings: 50% (Car, Hotel, Cruise, Condo, Activities) • Online Quote Request Forms: 35% (Groups, Tours, Honeymoon Planning, Vacation Packages) • Call Center-Initiated Bookings: 25% (The Rovia Call Center is not available at this time.) 5.2.4 - Privileges and Limitations By completing the BTA Exam, BTAs are able to make bookings, contact vendors directly, and provide quotes to customers. BTAs can also register as an outside travel agent to receive specialized vendor training, earn awards and credits from vendors such as: Sandals, Marriott, Universal studios, Disney and many more hotels, cruise companies, and tour operators. In addition, BTAs receive access to the BTA travel portal website for direct access to vendors, VAX VacationAccess, and the commission tracking system. 5.3 - Travel Reservation Specialist (TRS) 5.3.1 - Requirements • Successfully pass a one-time, non-refundable TRS Background Check ($99) • Successfully pass the TRS Exam • Interview with a BTA/TRS Manager • Maintain the BTA monthly fee • Maintain the LTC monthly fee 5.3.2 - TRS Accreditation Courses BTAs have access to three TRS courses to prepare them for the TRS Exam. Normally $89 apiece, courses are available at a discounted rate of $65 per course, or lower if purchased in bulk. It is suggested that BTAs complete all three courses prior to taking the TRS Exam, however they are not required. In the event that a BTA has previous travel experience and would like to take the TRS Exam without completing the TRS Courses, they may do so at their own risk. 5.3.3 - Commissions & Bonuses • TRS/BTA Portal Bookings, completed by the TRS: 80% • LTC Travel Portal (Rovia.com website) Bookings: 50% (Car, Hotel, Cruise, Condo, Activities) • Online Quote Request Forms: 35% (Groups, Tours, Honeymoon Planning, Vacation Packages) • Call Center-Initiated Bookings: 25% (The Rovia Call Center is not available at this time.) 5.3.4 - Privileges and Limitations Upon completing the TRS Exam, TRSs will select one primary GDS system to use while contracted with Rovia. courses available at the GDS website. Each GDS offers training via password access which will be issued by a Rovia BTA/TRS manager after the TRS exam and background check is complete. Rovia offers access to WorldSpan, Amadeus or Sabre (by the end of Q2 2009) with additional GDS access available (for additional monthly fees) to cover GDS licensing fees. Rovia will make available an optional lead generation system available to select TRSs, based on approval and experience. As a new TRS, you will be required to demonstrate a track record of developing and booking travel for your personal customers before being approved to receive leads.

SECTION 6 - ACHIEVEMENT RANKS 6.1 - Introduction In addition to the Accreditation Levels, Rovia has put together a series of Achievement Ranks to reward the ongoing business-building and continuing education of its LTCs. The following ranks are open to any Travel Team Members, independent of the LTC, BTA, TRS progression. By reaching higher levels of Achievement, Travel Team Members will be eligible for increased perks and benefits. In addition, if a Travel Team Member is also a Representative with WorldVentures, they can qualify for Management Bonuses—overrides based on the performance of Travel Team Members they personally enroll. 6.2 - Bronze 6.2.1 - Qualification • Develop 20 Preferred Customers 6.2.2 - Additional Perks & Benefits • None, recognition title only. 6.2.3 - Compensation • 5% Management Bonus on all personally enrolled LTCs (if Travel Team Member is also an Active WorldVentures Representative) 6.3 - Silver 6.3.1 - Qualification • Develop 50 Preferred Customers • Achieve CLIA Certification 6.3.2 - Additional Perks & Benefits • VIP Seating at all LTC Events. 6.3.3 - Compensation • 10% Management Bonus on all personally enrolled LTCs (if Travel Team Member is also an Active WorldVentures Representative)
