Acceptance of Terms
By placing an order for Warmies products, the Retailer acknowledges and agrees that such order constitutes acceptance of these Retailer Terms and Conditions (“Terms”), which shall apply to the order and any additional future orders unless otherwise agreed in writing by Warmies. The Retailer agrees to abide by these terms and to conduct business in a manner that is consistent with and respectful of the terms set forth herein.
How to Order
• By Mail: Complete an order form and mail it to our address.
• By Phone: Have your order details ready and call our sales team at 844-WARMIES (927-6437)
• By Email: Email a completed order form to our sales team, at orders@warmies.com.
• By Fax: Fax a completed order form to our office, at 847-557-9100.
• Opening order: $350.00
• Reorders: $300.00
• Products are generally ordered in minimum pack quantities of 3. Exceptions for special items or promotions will be specified during the promotion period.
Freight
• Domestic shipments incur a freight charge of 12% of the wholesale value.
• International orders and expedited shipping will be quoted separately based on current rates and chosen carriers.
Payment Terms
• Accepted payment methods include check, major credit cards, and ACH deposits.
• Late payments may incur a late fee of 1% per month.
• For Net 30 terms, submit a credit application for processing and approval.
New Accounts
• New Accounts require a business license, resale certificate, and completed application form for review and approval.
Locations
• Sales are permitted only at Warmies-approved locations, including pre-approved online marketplaces other than Amazon. Retailers with multiple physical locations or websites must obtain approval for each location or site prior to the sale of any Warmies products from that location or site. Location changes must be reviewed and approved by Warmies in advance of any sales of Warmies products from that location.
Returns and Claims
• Returns are limited to non-discontinued and non-sale items.
• Contact us within 5 days of receipt to initiate a return with a required return authorization number (RA).
• Returns that are not pre-authorized will be charged a 20% restocking fee, plus freight charges.
• Merchandise that is returned must be in its original condition with its original tags attached.
Damaged/Defective Product
• Report damaged/defective products within 14 days with supporting documentation for claims processing.
Backorders
• Backorders will be shipped based on product availability. Please notify us at the time of your order if backorders are not allowed.
Internet Sales
• Warmies Retailers are not authorized to sell our brands on third party platforms such as, but not limited to, Amazon, eBay, Walmart, Target, etc. without Warmies’ express, written authorization and a signed MAP agreement.
• Retailers with both a physical location and a website may resell Warmies on their website with a signed and accepted MAP Agreement.
Third-Party Website Sales
• Request permission to sell on non-platform, Retailer-owned websites by submitting a written request and signing a MAP agreement.
MAP Policy
• Violations of the MAP policy will first receive a warning, followed by account closure for subsequent infractions.
Additional Terms
• Exclusivity: No exclusivity is granted unless specified in a separate written agreement.
• Marketing and Branding: Retailers must comply with Warmies’ branding guidelines.
• Confidentiality: Wholesale pricing and proprietary information must be kept confidential.
• Governing Law: This agreement shall be governed by and construed in accordance with the laws of the State of Illinois.
• Jurisdiction: The parties consent to the exclusive jurisdiction and venue of the federal and state courts located in Illinois.
• Amendments: Terms may be amended with 30 days notice, with continued orders constituting acceptance.
