LEGAL STRUCTURE The sale of the apartments of the project “THE LOFTS MOKA” shall take place by way of an OFF-PLAN SALE under the “Vente en État Futur D’achèvement” (“VEFA”) (sale in a future state of completion) scheme pursuant to Article 1601-3 of the Mauritian Civil Code, subject to the usual conditions applicable for sales of immoveable property to be constructed for residential purposes. All sale agreements shall include one of the completion guarantees specified at Articles 1601-31 to 1601-37 of the Mauritian Civil Code. THE LOFTS MOKA LTD offers potential buyers the benefit of a completion guarantee given by a bank or other financial institution (“Garantie Extrinsèque D’achèvement”) in conformity with Articles 1601-34 to 1601-36 of the Mauritian Civil Code. The Building Complex will, upon completion, be placed under the co-ownership rules (co-propriété) as per the provisions of Articles 664 and following of the Mauritian Civil Code. Co-ownership rules and a description of the apartments shall be established for this purpose by the Developer prior to the off-plan sale (VEFA). Potential buyers will have the possibility to sign Preliminary Reservation Contracts (PRC) with the Developer. The developer undertakes to reserve the specified apartment for such period of time as may be agreed between the parties for and in consideration of which potential buyers shall deposit in the escrow account of the notary responsible for the project, as a security deposit, and this in accordance with Article 1601-42 of the Mauritian Civil Code, such percentage not exceeding 25% as may be agreed to between the promoter and the buyers.
