CHEMICAL NEWS BAYER REPORTS IMPROVED RESULTS, WILL DECIDE ON EITHER A SPINOFF OR IPO OF MATERIALSCIENCE Bayer today reported a 7.4% rise in 2014 net income to €3.43 billion ($3.89 billion) on 5.2% higher sales of €42.24 billion. Adjusted for currency and portfolio effects, sales grew by 7.2%. All subgroups contributed to this increase, the company says. Earnings before interest and tax (Ebit) were up 11.6% to €5.51 billion. Ebitda before special items increased by 4.9% to €8.81 billion, despite negative currency effects of around €410 million or 4%. Core earnings per share advanced by 7.3% to €6.02. Bayer had a very successful year in 2014, both operationally and strategically, the company said this morning. It set new records for sales and for Ebitda before special items. “Contributing to this in particular was the continuing growth momentum in our life science businesses, and especially the pleasing development of our recently launched products,” said chairman Marijn Dekkers at the financial news conference in Leverkusen. MaterialScience also registered encouraging gains in sales and earnings before special items. Bayer also set the course in 2014 for the company to focus on the life science businesses – HealthCare and CropScience. MaterialScience is to be floated on the stock market as a separate company by mid-2016 at the latest. The Life Science businesses were additionally
12
strengthened through important acquisitions. Dekkers said the company is targeting further sales growth and a significant rise in earnings in 2015. The HealthCare subgroup expanded by 5.6% in 2014 to €19.98 billion. This increase was mainly driven by the pharmaceuticals business, while sales at consumer health came in slightly ahead of the prior year. Pharmaceuticals sales rose by 11.2% to €12.05 billion. The recently launched products – the anticoagulant Xarelto, the eye medicine Eylea, the cancer drugs Stivarga and Xofigo, and Adempas for the treatment of pulmonary hypertension – contributed significantly to this development with total sales of €2.91 billion. “These products have played a crucial role in making us one of the fastest-growing large companies in the pharmaceutical industry,” Dekkers said. The pharmaceuticals business saw pleasing growth in all regions on a currency-adjusted basis, particularly in China, the United States and Western Europe, the company says. Sales in the consumer health segment increased by 2.1% to €7.92 billion. Consumer Care benefited particularly from the positive development of the Bepanthen/Bepanthol line of skincare products and the analgesic Aleve. At Animal Health, the Advantage family of flea, tick and worm control products grew sales by 3.1%. By contrast, sales of the medical care business were down, particularly in the United States and Europe. Sales of the diabetes care business declined overall, despite positive development in the emerging markets.
Sales at CropScience increased 7% in 2014 to €9.49 billion. “CropScience gained market share, with all business groups and regions contributing to the subgroup's pleasing performance,” Dekkers said. The subgroup registered the strongest growth in Latin America / Africa / Middle East, where sales were up by 20.6%. Business in North America also expanded by a doubledigit percentage on a currencyadjusted basis, followed by Europe and Asia/Pacific at 7.4% and 5.5%, respectively. Sales of the MaterialScience group rose by 3.7% to €11.65 billion. This growth was due to higher volumes for polycarbonates; polyurethanes; and coatings, adhesives, specialties. However, selling prices declined slightly overall. All three subgroups post sales growth in the fourth quarter. Group sales increased by 11.6 % in the fourth quarter to €11.04 billion. Ebit declined by 14.4% to €561 million. Ebitda before special items rose in the fourth quarter of 2014 by 4.4% to €1.85 billion, mainly as a result of higher volumes in all subgroups. Net income declined to €224 million from €455 million in the year earlier period. Bayer confirmed that its plans to focus the company as a pure play life sciences businesses are well on track. “We last year set a course that will shape the future of our company for the long term. We decided to demerge the MaterialScience business and thus initiated our transformation into a pure Life Science company,” Dekkers said. The stock market flotation of MaterialScience – planned for midCHEMICAL BUSINESS WEEKLY
CHEMICAL NEWS 2016 at the latest – is proceeding on schedule. He said the design phase had since been completed. The legal and organizational structures of the new company have been decided and important management positions filled. The economic and legal separation of MaterialScience, also known as the carve-out, is to be completed by August 31, 2015. In the second half of this year, the company intends to decide whether MaterialScience will be floated on the stock market through an IPO or a spin-off. “Furthermore, we have expanded the Life Science businesses through important acquisitions,” Dekkers said. The business with non-prescription products in particular was substantially strengthened through the acquisitions of the consumer care business of Merck & Co. and Chinese-based Dihon Pharmaceutical Group, he said. The integration of these two businesses is proceeding according to plan. The acquisition of the Norwegian company Algeta, with which Bayer had been collaborating since 2009 in the development and commercialization of the cancer drug Xofigo, was successfully completed. The company expects substantial increase in earnings in 2015. “We remain optimistic about the future,” Dekkers said. Bayer is planning sales in the region of €46 billion for 2015. The company expects positive currency effects on sales of about 3% compared with the previous year. Bayer plans to raise Ebitda before special items by a lowto mid-teens percentage, allowing for expected positive currency effects of about 2%. CHEMICAL BUSINESS WEEKLY

EDITORIAL INDUSTRY - ACADEMIA COLLABORATION : NEXT GROWTH DRIVER
T
he Indian market suffers from huge shortage of high quality trained manpower, which warrants for tremendous scope for industry academia collaboration. Evidently, the chemical education system, the way it has evolved, is currently not in best of shape, and will require a lot of help to improve. It is also clear that the Government though traditionally was responsible for higher education, relying on the Government alone will not solve the problem soon enough. Hence, the industry and the established education players will have to pitch in. Certain companies and institutes have started some initiatives of their own on this front. But this seems like a very viable area for collaboration, where joint programs have a better chance of success. However, not much seems to be happening in this area, even though both sides can gain substantially from it. It would not be wrong to say one of the core competencies of academic institutions is teaching. And many institutes engaged in education at high end, have the courseware and ability to provide training for high-end manpower development. Many of these topics are of interest to industry. Hence, a natural collaboration possibility is for the academic faculty and institutes to conduct training in topics of interest for industry. Such a model has been in existence for long time and is reasonably well understood. This form of relationship is also beneficial to both. Typically, in this form of collaboration, continuing education programs are offered which are designed for industry participants. Short courses may be offered by some faculty in some company or some common place. In India, as the level of technology and competence in industry has increased the need for short term training program from academic institutions seems to be reducing. Recently, Saudi Basic Industries (SABIC) has partnered with two Indian Government institutions, the Central Institute of Plastics Engineering and Technology (CIPET) and the Council of Scientific and Industrial Research (CSIR), to strengthen academic and research capabilities. Collaborative projects with well-established scientific organisations and research centres are essential components of SABIC's global research programme. As such the Government of India's two top academic and research institutions, both CIPET and CSIR are natural partners for SABIC. Through these
16
partnerships, SABIC will be able to leverage these institutions' multi-disciplinary research capabilities to achieve research excellence for SABIC that will greatly benefit the nation. The present collaboration should create a value-added ecosystem, involving science and technology institutions, talents, industry, and customers to benefit the people of India. The company's master umbrella adviser programme agreement with CIPET will use expertise and infrastructural facilities to accelerate research in specific areas of polymer processing and computer-aided design / computer-aided manufacturing / computer-aided engineering, as well as mould design for plastics and allied industries. Collaborative projects with well-established scientific organisations and research centres are essential components of SABIC's global research programme. SABIC's strategy in India is aligned with India's economic growth plans and it endeavour to provide customers [with] the products, services and solutions they need in their rapid growth path. The company's agreement with CSIR includes collaborative research using competencies of CSIR laboratories, in particular the National Chemical Laboratory, Indian Institute of Petroleum and the Indian Institute of Chemical Technology. CSIR's chemical laboratories are focused on catalysis, polymer rheology, reaction engineering and petroleum processing, among others. The agreement also provides funding to CSIR for chemicals, petrochemical and polymer research in a consistent way over a period of time. SABIC has research collaborations with IIT MumbaiMonash in India and similar agreements with several universities in Saudi Arabia, the US, the UK, China, Switzerland, Italy and Germany. In sum the need for programs for working professionals seems to be increasing. Programs for working professionals in management are now picking up in India. However, such programs for technology areas have not developed in any serious manner. This is one area that can be potentially developed, and it is best done if both sides collaborate. The Narendra Modi government's 'Make in India' initiative deeply rooted in the two strategic advantages of research and human capital will be the next growth driver for India.

CHEMICAL MACHINERY ARTICLE LED PORTABLE TANK LIGHT FOR ILLUMINATING ENCLOSED AREAS IN CHEMICAL COMPLEX
L
eading manufacturer and supplier of industrial grade lighting Larson Electronics has announced the release of an explosion proof LED tank light mounted to a portable wheelbarrow cart. The new EPL16C-150LED-RT-3EX produces a brilliant flood pattern of light that is ideal for illuminating enclosed areas. The EPL-16C-150LED-RT-3EX is rated Class 1 & 2 Division 1 & 2 and is a cart mounted explosion proof LED light that provides 10,000 square feet of work area coverage while producing 12,000 lumens of light from 150 watts. This portable LED cart light has a removable light head measuring 16 inches wide by 14 inches tall which allows the unit to fit through standard sized manholes or entry passages commonly found in the petrochemical and marine industries. It comes with a three foot extension pole, allowing operators to raise the height of the light when desired. This removable extension allows the unit to become a compact solution for storage and transporting. The portability combined with the 360 degrees of rotation and 90 degrees of tilt offered by the LED light head provides an effective alternative to often cumbersome explosion
20
proof string lights. Included with this portable cart is 250 feet of SOOW cord terminated in an explosion proof plug. This unit is multi-voltage capable and is configured to operate on a range from 120 to 277 volts 50/60 Hz. This explosion proof LED light fixture is IP67 rated, dust-proof, and protected against high pressure jets and temporary submersion. The cast aluminum body and LED lamp give this light excellent durability and resistance to vibration and impacts. The housing is specially designed to dissipate heat which increases the efficiency and lifespan of the LEDs and electronics. This lamp is T5 temperature rated and retains 80% of its lumen output after 50,000 hours of use, far longer than incandescent or fluorescent lamps. “Often simply referred to as a 'tank light', this unit is considered universal due to its ability to be passed through any conventional manhole such as those found in petrochemical containers and ship storage tanks,” Rob Bresnahan with Larsonelectronics.comsaid. “The solid state design, 3' extension pole, and wheeled base make this light cart ideal for areas where explosive gases, vapors,
and dust exist or stand the potential to exist.” Larson Electronics carries an extensive line of LED light towers, portable distributions, explosion proof lights for hazardous locations, portable work lights and industrial grade LED area lights. EXPLOSIONPROOF DROP LIGHT FOR HAZARDOUS LOCATIONS : Industrial lighting specialist Larson Electronics reveals their newly designed Class 1 Division 1 explosion proof drop light. This drop light is ideal for general close work and inspection activities in hazardous locations requiring explosion proof protection. The EPL-DL-12-25-1523 explosion proof drop light from Larson Electronics is designed to operate on 12 volt current and comes complete with 25' of 16/3 SOOW cord ending in a 15 amp explosion proof plug. The drop light housing is constructed of aluminum with a rubber bumper guard designed to provide an effective lighting solution for operators requiring a versatile source of illumination. The housing is equipped with a swivel hook for hanging and hands free operation. This hazardous location hand lamp is Class 1, Division 1 approved and

CHEMICAL MACHINERY ARTICLE equipped with a 100 watt incandescent bulb. This drop light is ideal for hazardous work areas where a ready source of easily managed lighting is desired and is suitable for use in areas where petrochemical vapors and various dusts are present. This explosion proof drop light operates on 12 volts AC or DC. This unit is not equipped with an inline transformer; therefor the operator must have a 12 volt low voltage power source to run this light. “This Class 1 Division 1 explosion proof hand lamp provides portable light within classified locations that require low voltage,” Rob Bresnahan with Larsonelectronics.com. “These hand lamps do not have an inline transformer for low voltage operation. They are designed to work on 12 volts AC or DC so the operator must have a 12 volt power source.” Larson Electronics carries an extensive line of explosion proof LED lights, LED work lights, light towers, intrinsically safe LED lights, portable work lights and industrial grade LED area lights. explosion proof four foot, four lamp fixture that operates on 347 volts AC. The HALS-48-4L-347V from Larson Electronics is a hazardous area fluorescent light fixture that is Class 1 Division 2 Groups A,B,C, and D approved, has a T4A temperature rating and is ideal for open air locations where flammable chemical vapors may be occasionally encountered. This fixture comes standard with four 54 watt T5HO lamps but an optional T12HO or T8 lamps are available. The lamps are protected by an aluminum framed hinged glass door secured with four turn latches. The fixture is constructed of copper free aluminum alloy and the lamp reflector is constructed of a heavy gauge aluminum coated with a high gloss reflective finish. This fixture is configured to operate on 347 volts AC for Canada and is 1598A Marine Type approved for use in marine environments. The HALS-48-4L-347V has an electronic voltage ballast that works specifically with 347 volts AC and wiring connections are made through a ¾” threaded access hole. This fixture is designed to be surface mounted. Each surface mounting bracket is attached on each end of the light and allows the operator to adjust the angle of the entire fixture. Pendant and cable mounting options are also available for operators who wish to mount
these fixtures away from the ceiling surface. Ideal applications would include aircraft maintenance, oil rigs, refineries, solvent and cleaning areas, gas processing plants, chemical manufacturing and waste treatment plants. “This fixture provides operators in hazardous locations with a powerful, reliable and affordable lighting solution for open areas where flammable chemicals and vapors may be present,” said Rob Bresnahan with Larsonelectronics.com. “Although this particular unit was configured to operate on 347 volts, we offer the same fixture that can be operated on 120-277 volts AC.” Larson Electronics carries an extensive line of LED light towers, portable power distributions, explosion proof lights for hazardous locations, portable work lights and industrial grade LED area lights.
