While negotiations continue on Capitol Hill to avert the looming fiscal cliff, a bipartisan group in Congress is pushing for a vote before year’s end on a bill to allow credit unions to increase their lending to small businesses squeezed by tightened bank credit since the financial crisis of 2008. The Small Business Lending Enhancement Act, as the bill’s Senate version is titled, would enable credit unions to lend up to 27.5 percent of total assets to member businesses. Credit unions could raise their lending above the current cap of 12.25 percent of total assets in a graduKirsten Gillibrand ated tier system overseen by the National Credit Union Administration. The change, which requires no additional government spending, could increase business lending by as much as $1 billion among the 422 credit unions in New York state, according to the Credit Union National Association (CUNA). The association calculated that increased amount of lending would spur the creation of up to 11,000 jobs in the state. The legislation, which also has bipartisan sponsorship in the House of Representatives, would free up an additional $233.9 million for potential lending at 39 credit unions in the seven-county Hudson Valley region. The 21 credit unions operating in Westchester County could have an additional $68.9 million available for lending to small

A
t FALA Technologies in Kingston, President Frank J. Falatyn has seen the benefits of partnering with other manufacturers in the state and region to carry on a business started by his father 67 years ago. Started as a tool and die shop, his company is “in our fourth reincarnation,” he said on a recent tour of the 60,000-square-foot FALA plant, a diversifying model of lean manufacturing where 60 employees produce solar-powered signs in the company’s newest division and provide design and engineering services and custom-manufactured parts, fixtures and equipment for the semiconductor and nanotechnology industries. The company survived the loss of much of its business in the mid-1990s as a captive shop of IBM Corp. when the computer giant closed its nearby Kingston campus and greatly cut back its operations and employment across the Hudson Valley. Though often overlooked as an economic force, FALA Technologies is one of about 1,700 manufacturers in the seven-county Hudson Valley region, said company CEO Vincent Cozzolino, a former IBM executive who in 2007 founded The Solar Energy Consortium (TSEC), a nonprofit headquar-

tered in the FALA building. About 95 percent of Hudson Valley manufacturers employ 50 or fewer employees, he said, and lack the resources of an IBM to train uniquely skilled workers and invest in the technology and equipment needed to compete in the new era of high-tech manufacturing. With the U.S. solar energy industry “settling out quite a bit” as startups are unable to compete with China’s cheaper renewable energy products, Cozzolino and Carl Meyer, TSEC president and CEO, have set their sights on applying the TSEC model of “hands-on” business assistance to manufacturers already established in the region. This fall they publicly launched the Center for Global Advanced Manufacturing, a nonprofit partnership of academic institutions and manufacturing and technology organizations in the Hudson and Mohawk valleys. “We’re doing this at this time because we feel there’s a resurgence of manufacturing in the U.S. and we want our manufacturers in the Hudson Valley to grow with it,” Cozzolino said. “They’re not seeing the business that they’d like to.” Open to any manufacturer in the region without membership or service fees, the new group will be a “catalyst” to bring together companies and “make things happen,” Cozzolino said.

“Vinnie calls it ‘connecting the dots,’” said Meyer, referring to the center’s cofounder. FALA Technologies reaped the benefits of those connections this year when it was awarded an approximately $500,000 contract from the Metropolitan Transportation Authority (MTA) to develop and supply emergency drinking water containers for MTA trains. Preparing a price quote, Cozzolino sought advice from Tom Phillips, executive director of the Hudson Valley Technology Development Center in Newburgh. His agency, a partner in the Center for Global Advanced Manufacturing, provides services to small and mid-size businesses in the Hudson Valley in the National Institute of Technology and Standards’ Manufacturing Extension Partnership network and is regional manager of the federal institute’s Next Generation Rail supply chain. Having won the MTA contract, FALA partnered with several New York companies, including Viking Industries in New Paltz, to manufacture, package and deliver more than 1,000 water containers to the MTA. “Basically this is a 100 percent New Yorkbuilt product,” Cozzolino said. “We’re a small 60-man company,” Falatyn said. “There’s a lot of benefit to having manufacturers coalesce together so we can support each other.” With a strong business network, “We can source these products and services locally rather than sending them to other parts of the country.” The new center’s academic partners are SUNY Institute of Technology in Utica, whose information technology faculty and
students are expected to work on technology problems confronting manufacturers, and the Mount St. Mary College business school in Newburgh. Cozzolino said the private school is investing in its business program to focus on manufacturing. That educational initiative will begin in January when Meyer, Cozzolino and industry leaders teach a course on manufacturing processes. “Many of these manufacturers have a need for employees where there’s a mismatch in skills” with their current workforce, Cozzolino said. “The markets that most of our companies are in are very nichey – like that water box” for the MTA. Cozzolino said the new center has applied for a $1.5 million state grant through the MidHudson Regional Economic Council, a part of which would be used to create a machinist training program at SUNY Orange County Community College. The center already has received a $1 million state grant. The center is building a shared equipment facility for Hudson Valley manufacturers in leased space at Gateway Community Industries in New Paltz, where it already operates a thermal chamber used in product testing. Another shared facility for Mohawk Valley manufacturers is expected to open at SUNY Institute of Technology. “It’s something unheard of in New York, resources that people can use together,” Cozzolino said. Other founding partners in the Center for Global Advanced Manufacturing include the Council of Industry in Newburgh, the Manufacturers Association of Central New York and the Mohawk Valley Applied Technology Corp.

he State Thruway Authority board at its Dec. 17 meeting is expected to accept a consortium’s low bid of $3.142 billion to build a new Tappan Zee Bridge. The bid could save about $1 billion on the state’s expected costs for the long-awaited project. Recommended by a selection panel that included artists, architects, engineers and the Metropolitan Museum of Art director, the apparent winning bid is $848 million under the next lowest bid of $3.99 billion. The low bidder proposed to complete the project in about nine months’ less time than two other bidders. State officials would not disclose which of three construction consortia vying for the contract submitted the low bid and bridge design recommended by the panel. Newsday reported it was Tappan Zee Constructors, which includes Fluor Enterprises Inc., American Bridge Co., Granite Construction Northeast Inc. and Traylor Bros. Inc. Construction is scheduled to begin in 2013.

estchester buildings are continuing to go green. Half Moon Ventures L.L.C., a Chicago-based developer of solar and wind energy projects, last week unveiled its first solar electric power generation system at i.Park Hudson, a 24-acre office and industrial complex on Larkin Plaza in Yonkers owned by National Resources. The multimillion-dollar installation is one of the largest in the state of New York. “We are thrilled to bring this cuttingedge solar energy system to i.Park Hudson in Yonkers at no cost to the state, county or city,” said Michael Hastings, CEO of Half Moon Ventures, in a statement. “The environmental benefits are tremendous. This is a win-win on a very large scale and we hope that this project provides a template and role model for future commercial energy projects here in New York and beyond.” Half Moon Ventures said that solar installation projects reduce energy costs, lock in electric rates for the long-term,
increase property values and create jobs. Yonkers Mayor Mike Spano said he was proud his city would be home to the largest commercial rooftop solar power system. “Private sector investments such as this play an important role in helping to blaze the trail toward a greener, stronger New York,” Spano said in a statement. When complete, the solar system will generate more than 1.2 million kilowatt hours of electricity a year – enough to power over 120 homes for a year – while removing the equivalent of the annual harmful greenhouse emissions of more than 160 cars from the environment. Because of the climate and meteorological considerations, the panels, which have a life expectancy of 20 years, will generate the most energy in the summer, when energy is most expensive, and least in the winter, when electricity is at its cheapest. “As a developer and owner with a fervent interest in sustainability and preserving resources, we thought this arrangement with Half Moon made great sense for the National Resources business model,” said Joseph Cotter, president of National Resources, in a statement. “Anything that

helps us operate as a responsible member of the community, take good care of our tenants, and improve our asset is a welcome development.” Grand Prix New York Racing L.L.C. on Bedford Road in Mount Kisco is another complex that now has solar panels and LED lights. Diamond Properties L.L.C., which owns the property, installed 216 solar panels on the roof. The solar panel system will generate 58,360 kilowatt hours annually and shave around $10,000 from the company’s electric bill over the next year. Excess electricity generated by Grand Prix New York’s solar farm will be redistributed to the Con Edison grid. The project cost $217,808, and received an $86,940 rebate from New York State Energy Research and Development
Authority (NYSERDA). The project is also eligible for a 30 percent federal investment tax credit. The LED lighting, manufactured and installed by Mount Kisco-based Xeleum Lighting L.L.C., has the potential to produce an annual energy cost savings of 60 percent to 80 percent from the reduced cost of electric energy and, due to cooler operating temperatures, a reduction in air conditioning usage. “This is a win-win situation for everyone,” said Nat Mundy, vice president and co-founder of Grand Prix New York in a statement. “We’re obviously happy to cut down our electricity costs, but this is also about being good corporate citizens. If more businesses looked at solar power, it would help reduce pollution and decrease dependence on oil.”

Can gamification help your company?
hat I find truly interesting about online games is the psychology behind them. What makes them attractive? Why do people spend so much time playing them? How can games like FarmVille on Facebook attract millions of participants? Is it just for fun or to achieve some goal or notoriety? People are very goal oriented. According to Michael Bernoff, a noted mindset expert, most people set goals for themselves that unfortunately very few believe they successfully reach. Gamification, a recent and rapidly growing approach, builds upon these goals by creating incentives that encourage communication, collaboration, sales or whatever criteria a company sets up in order for people to obtain rewards and reach goals. By utilizing a goal-based system with incentives, employees become more active and responsive. In many gamification applications, for example, points are earned by posting new discussions on various social media platforms or responding to existing posts with comments or additional posts. In short, people are rewarded for their activities. This raises an interesting question: “If I have a job and I’m already working very hard, why do I need incentives?” The answer is that you don’t need these incentives, but having them within the framework of a gamification implementation might make you work a little harder or be more focused – particularly if the reward is a vacation, a night out or some attractive offering. It could also possibly include receiving feedback, some notoriety or maybe just be fun. It all depends on how it’s structured. Consider the incentive of frequent flier miles. Many people use credit cards through which they accrue frequent flier miles or cash back rewards. In fact, there is a whole series of recent commercials on television that denote the satisfaction of cardholders who receive different percentages of cash-back rewards depending on their purchases. Applying this same approach to business and the digital world is more difficult. They are much more complex and can’t just be reduced to the purchase and reward model. Instead, it must engage the corporate culture and prioritize those areas of importance to the company. But the principles of gamification remain the same: utilizing game mechanics, it offers points, badges, awards, accolades and the like to its participants. This in part is the theory behind Foursquare and similarly popular reward-based websites. Savannah Now, an online newspaper, implemented gamification in a 30-day period. Its goal was to get readers to read content
other than the main articles. It used gamification to reward readers for reading these inside articles. After implementing their campaign, the newspaper reported that “registered readers were actually twice as likely to return to the site within the month and were three times as likely to perform actions like watching videos and sharing content.” A nine-week gamification campaign for Buffalo Wild Wings generated “100 million social media impressions on Facebook and Twitter.” Gamification by itself is not a standalone

strategy. It requires careful planning and the construction of a strategy designed to work with the internal processes of a company, particularly if it’s directed at the employees of the company. Conversely, it can also be directed externally toward a company’s audience as in the case of Buffalo Wild Wings and Savannah Now. In either case, it must have clearly defined goals that encourage and reward participation. It’s particularly well suited to work in conjunction with social media. real possibility that people will rapidly tire of these types of programs. Yet, given the strong short-term results of numerous gamification campaigns and its application to all sizes of companies, the number of companies using gamification is expected to rapidly increase in the near future.

In a move typical of developers adapting to the postrecession market, the brothers changed their initial plans to build a mix of condominium units for sale and instead proposed luxury rentals. The project, whose current cost was estimated by Peter Stolatis in the mid-$50-million range, had stalled since 2008 when Plateau Associates submitted a draft environmental impact statement to village planners. The developer plans to submit a final environmental impact statement after the planning board accepts a supplemental environmental report for Hidden Cove, which Stolatis said was expected at the board’s December meeting. But the Hidden Cove development as now proposed would rise on the site of the Brandreth Pill Factory, a 19th-century brick complex distinguished both for its architecture and as one of the first industrial manufacturing sites in Westchester County. businesses, according to CUNA. Nationwide, the bill would free up about $13 billion in capital and create 140,000 new jobs, the association reported. That additional potential lending represents about 2 percent of the approximately $590 billion in outstanding small business loans reported by the U.S. Small Business Administration. Calling it “commonsense legislation,” New York’s junior senator in Washington, Kirsten Gillibrand, in a press release said she is pushing for a vote on the bill this month. “This simple rule change wouldn’t cost a dime from the federal government while giving small businesses more of the capital they need to get off the ground,

on the National Register of Historic Places, it has been vacant since 1979, according to the developer’s planning consultant. The Stolatis brothers initially planned to restore and renovate the mansard-roofed building as condo loft space. Now they plan to demolish it. The Federal Emergency Management Agency (FEMA) in 2007 issued new floodplain maps for Ossining that show the historic property potentially would be under two feet of Hudson River water in a 100-year storm, “of which we’ve had three in the last year and a half,” Stolatis said. Any new development would have to be raised two feet to avoid that flood hazard. The historic mill’s first-floor space would be useless for residential conversion, Nicholas Stolatis said. The river surge from Hurricane Sandy left the factory in four feet of water, Peter Stolatis said. FEMA is expected to issue updated floodplain maps on Dec. 17 that incorporate data from the disastrous October storm. Stolatis said Hidden Cove on the Hudson as designed in Sandy’s aftermath would be raised five to six feet on a parking pedestal. “All these floodplain issues have added
tremendous cost to it,” he said. “The floodplain kills whatever you’re thinking about. We were thinking about adaptive reuse of the mill. The new floodplain plan puts an end to that.” Even without the added impact of climate change and more severe flooding, the Brandreth Pill Factory building “is way past its useful redevelopment value,” Stolatis claimed. “We bought the building in a deteriorated state 10 years ago.” Nicholas Stolatis said that with village officials wanting only one building on the site rather than a spread of residences over eight acres as previously proposed by the developer, “There’s no place for the mill.” Historic preservationists in Ossining would disagree. The village Historic Preservation Commission in November notified Hidden Cove’s development team that the factory complex was nominated for designation as a local landmark. For the owners, it was a bitter pill to swallow at a time when the project was moving “slow but steady” through the village approval process, Peter Stolatis said. If designated a village landmark by the commission and village board of trustees, the Brandreth factory cannot be demolished. Stolatis said he was granted a demolition permit in 2008. The developer could seek a hardship exemption by proving that restoring and reusing the historic property is not economically feasible. Gina Martini, senior project manager at VHB Engineering, Surveying and Landscape Architecture P.C. in White Plains, the developer’s planning consultant, said restoring the factory façade and roof by historic preservation standards would cost $2.8 million. Adding flood barriers to the building’s first floor would cost an additional $400,000, she said. Those additions would alter the fac-
tory’s historic exterior, she said. “There’s no way it would work,” Martini said. “It would cost more to restore than the property’s value.” Even after restoration, the property’s value “is substantially less than the cost there would be to restore it,” Martini said at a recent public hearing on the proposed landmark designation. The developer’s attorney, P. Daniel Hollis III, told commission members the Stolatis brothers were in “a classic Catch-22 situation.” Though they already have some needed village approvals and a demolition permit, the late-hour effort to preserve the Brandreth factory barred them from moving ahead with the project being reviewed by the planning board. Hollis unsuccessfully sought to have three commission members recused from voting on Hidden Cove’s landmarking for having spoken against the Hidden Cove project at planning board meetings. But Mark Malone, village deputy attorney, said none of the members was found to have a conflict of interest in the matter, Commission member Miguel Hernandez, though, voluntarily removed himself from the Hidden Cove proceedings. His home adjoins the Plateau Associates property and Hernandez several years ago negotiated with the Stolatis brothers for the sale of his property before rejecting their offer. At Hollis’ request, the commission adjourned the Hidden Cove hearing and delayed a landmarking vote until its Jan. 14 meeting. A battery of consultants is preparing reports for the developer to counter the landmarking bid and show that restoration is not physically and financially feasible. “This committee asking this, that the mill not be demolished, has really thrown a lot more work and expense that way,” Peter Stolatis said.

The ICBA on its website claims the legislation “would create unnecessary risk in the financial system, exacerbate the competitive advantage credit unions enjoy over community banks and widen budget deficits at the federal, state and local levels.” The group questions whether increasing the credit union lending cap will stimulate economic growth and jobs creation as its supporters claim. An ICBA analyst suggested that increas-
ing the lending cap was not needed, as only 1.6 percent of credit unions are at or over the current 12.5 percent cap and more than 70 percent of credit unions have no member business loans at all. The ICBA argues that additional business lending by tax-exempt credit unions would result in a net loss of federal revenue from taxes paid by commercial banks that otherwise would have made those loans. The lobbying group cited a recent Congressional Budget Office report that estimated the lost revenue at nearly $16 billion. Credit unions with higher ratios of member business loans to total assets account for a disproportionate share of credit union failures, according to the ICBA. Raising the lending cap could result in “a marked increase” in credit union fail-
ure and leave the federal government “on the hook for potentially much larger costs in the future.” Supporters of the bill at Small Business Majority said there is no evidence that credit union loans would significantly displace bank lending to small businesses if the cap is raised. The statutory change, though, would result in more competition for banks. The legislation “would give small businesses a major advantage as they seek capital,” according to the industry lobbying group. Small businesses need that advantage, advocates said, as six in 10 owners said they had difficulty obtaining loans to grow their businesses in a January opinion survey conducted by Small Business Majority and two other national small business groups.

Teaching customers about value buying
We have to do a better job of educating our clients and prospects. There is a lot of mediocrity out there. I find it hard to deal with clients and prospects who demand the level of services we provide and also demand we cut our prices to match some cut-rate, low-quality vendor. Even worse, I find it frustrating when we lose business to a cut-rate vendor after having a client demand we provide a level of service I know that other vendors cannot match. Help!
Thoughts of the day: Educating your buyer is essential to winning and hanging onto business. In a recession, many vendors will cut prices and cut corners to go along with the lower price. Customers may not understand what they’re getting from your company and how that compares with what they might or might not get in the future. There are lots of ways to educate the customer; make sure you take advantage of the many opportunities to do so. Define what the customer gets – above and beyond your time and materials. Build a marketing piece that helps prospects and customers compare apples to apples. Make a checklist of everything that is included in what you provide. Give the checklist to buyers who are comparing services. Ask them to go over the list in detail with other vendors to be sure everything that’s on your list is on the other guy’s list and is included in the base fee. Understand that competing with bottom feeders is crazy. In a recession the temptation is to cut fees and then cut them again to match or beat another vendor. The only company who wins this game is the lowest cost, highvolume provider with the deepest pockets. Everyone else who plays this game just loses money and eventually goes out of business. Develop a bundled price. Refuse to break down pricing into time and materials. When prospects ask for an hourly rate, explain that it is a poor measure of anything. Educate your buyers. One vendor can offer an hourly rate that is half of what you offer. But if they charge for twice as many hours as you do to complete the same job, the customer saved nothing. In fact, lower prices often equate to lower skill level, which translates into higher errors, more re-do and
poorer quality outcomes. Look for buyers who are smart enough to understand this. Talk with customers about the value of the outcomes they seek. For instance, what happens when they are down because a solution doesn’t work correctly? What happens if they lose a piece of business because they can’t deliver properly, due to failure of a low-cost vendor? Find out what kinds of risks buyers aren’t willing to take. And help them place a value on risk-avoidance. Get invested in helping your customers grow their revenue and profit. If you do that, your fees will be covered by the increases. You will become a profit generator rather than an expense. That is where real value kicks in for both of you.
Get onto the same side of the table as the customer. See the world through their eyes. Help them focus on the whole picture of where they’re going and how you can help them get there. Shift the conversation away from picking apart your direct costs. Take a look at the profile of all of your customers. Are there any that are not likely to value growth and profit? Think about getting rid of them. They’re on a downward slope and you don’t want to go down with them. Become predictable. Know what you can deliver. Promise to do exactly that. Find customers who value that. And then do exactly what you said you were going to do. Set up a contract that rewards performance. Take a piece of the profit, knowing you can
always deliver increased profits. Sharing risk with a customer is a compelling sales proposition. Looking for a good book? Xylem eyes lease options for HQ move

ater technology developer Xylem Inc. looks to capitalize on the interstate competition for corporate headquarters as it seeks a new base of operations after being spun off from ITT Corp. last year.
After reporting $3.8 billion in revenues in 2011, Xylem is being courted by Westchester County and Stamford, Conn. officials as it relocates its global headquarters from 1133 Westchester Ave. in White Plains. The U.S. Securities and Exchange Commission has ordered Xylem to physically separate its operations from ITT, which is headquartered in the same Platinum Mile office building. Xylem occupies about 40,000 square feet of space and employs about 100 workers there. The company expects to sign a 10-year

lease for 65,000 square feet of space and invest about $11.6 million in headquarters renovations, according to the company’s recent application to the Westchester County Industrial Development Agency (IDA). The IDA this month approved sales tax exemptions estimated at $562,000 for office furniture and equipment purchases to help keep the company in Westchester. Xylem officials said the company could lease space in the former Starwood Hotels & Resorts Worldwide Inc. headquarters building at 1111 Westchester Ave. in White Plains or at 4 Manhattanville Road on The Centre at Purchase office campus. In Stamford, the company is looking at space at 100 First Stamford Place and at 400
Atlantic St. The company expects to make its leasing choice this month, Xylem officials told the IDA board. Xylem has also received an incentives offer from Connecticut, according to published reports. A spokesman for the Connecticut Department of Economic and Community Development would not confirm or deny the state’s offer, citing confidentiality rules. Xylem and its affiliates employ about 930 full-time workers in New York at eight facilities that total about 695,000 square feet of space. The company in its IDA application said it plans to hire about 15 employees at its headquarters over the next several years.

PepsiCo Inc. will lease the former White Plains headquarters of Starwood Hotels & Resorts Worldwide Inc., where about 700 PepsiCo employees will work during a 2 ½-year renovations project at PepsiCo’s Purchase headquarters. The approximately $243 million project is scheduled to start in the first quarter of 2013 and employ about 1,250 construction workers over 30 months. PepsiCo employees will temporarily be moved from the Anderson Hill Road campus, where the food and beverage giant employs about 1,100 workers, to 234,000 square feet of swing space at 1111 Westchester Ave. in White Plains. Starwood vacated the Platinum Mile office building about one year ago
and relocated about 800 employees to its new Harbor Point headquarters in Stamford, Conn. PepsiCo also will place Purchase employees at its PepsiCo Beverages Americas division headquarters in Somers during the renovations. PepsiCo officials told the Westchester County Industrial Development board that the company will spend about $10 million to renovate the White Plains building. The IDA approved a sales tax exemption for PepsiCo’s purchases to furnish and equip the swing space. Eileen Mildenberger, the county IDA’s executive director, said the exemption will amount to about $90,000 in lost sales tax revenue for the city of White Plains.

mid a walkout, Westchester County’s 2013 budget was signed Dec. 7, earning praise from the business community and criticism from nonprofits. Republican legislators and two Democratic legislators passed the budget 9-0, as eight Democratic legislators walked out of the proceeding, considering the meeting to be adjourned. County Executive Robert P. Astorino signed the budget later that afternoon. The $1.7 billion budget, which was put together by the Republican minority, does not increase property taxes and restores 30 of the 126 positions that were to be eliminated in Astorino’s budget. Legislators and the county executive have been at odds over how to pay for tax certioraris, with Astorino and the Republicans calling for the county to issue bonds, while the legislators prefer to use the fund balance. Both sides are concerned about maintaining the county’s AAA bond rating. Westchester is AAA rated by all three bond rating agencies – Moody’s Investors Service, Standard & Poor’s, and Fitch Group. Westchester is the only county in New York state with three AAA bond ratings. John Ravitz, president and chief operating officer of The Business Council of Westchester, lauded the legislators who passed the budget and Astorino for signing it. “These nine legislators set an example of how well-informed, well-intentioned elected officials can work together,” Ravitz said. “Most successful legislative actions require compromise on tough issues. The budget that has been passed and signed by County Executive Astorino is a model of compromise.” Ravitz supports Astorino and the Republicans’ plan to issue bonds rather than use the fund balance. “We need to have our fiscal health in order to bring economic momentum into Westchester,” Ravitz said. “If you start raiding the fund balance, you go down a slippery slope. This is what we used to do and it got us into trouble.” Ravitz said that the fund balance should not be touched except for major emergencies, like Hurricane Sandy. “The fund balance is one of the key things that bond raters look at,” Ravitz said. “We have such a bad history of taking money out to put into the operating budget. We can’t go back to that. It’s a failed policy.” Issuing bonds is needed if the county wants to protect essential services and not raise taxes, Ravitz believes. The Westchester County Association (WCA) echoed The Business Council, prais-
ing the budget for being fiscally responsible without raising taxes. “The Westchester County Association applauds … those who bravely put public interest ahead of partisan politics to pass a compromise budget,” said Bill Mooney, CEO of the WCA, in a statement. “The 2013 budget demonstrates fiscal responsibility by (not) raiding the reserve fund, important in encouraging economic development and job creation. These are the guiding principles that the WCA has consistently advocated for.” Amy Allen, managing director of advocacy for the WCA, said that issuing bonds, while not ideal, was the best way to maintain the county’s fiscal health. “It’s a better idea, we have good credit,” said Allen. “Borrowing in general is not something we think is great, but there comes a point where choices have to be made and
that’s certainly a better choice.” Nonprofit Westchester, an umbrella organization based in Tarrytown comprising 5,000 Westchester nonprofits issued a statement condemning the approved budget, saying that it will severely compromise the nonprofit sector. “This budget cuts millions of dollars in funding to a wide range of organizations,” the statement reads. “Nonprofits provide vital services that support services for hundreds of thousands of county residents at a lower cost than government and the private sector. Ultimately the county wins from having a strong, caring and quality response mechanism in place. This budget has been hailed as a compromise. A truly compromise budget would take into consideration the needs, capabilities and vulnerabilities of this important sector.” Chairman Ken Jenkins said legislators are
still weighing their legal options and have not ruled out a lawsuit against Astorino over the budget. This would be the fifth lawsuit filed by the legislators against Astorino since he took office in 2010.

or Dwight McLeod, the decision to become a small business owner wasn’t difficult. A full-time employee at Verizon Wireless, in 1997 he established a side venture, Capstone Strategy Group, a provider of business management and technology consulting services and resource staffing in Mount Vernon. At the time, McLeod maintained his position at Verizon, a company he’d worked at for 30 years. Then the economy changed, and McLeod’s destiny along with it: he was offered a buyout three years ago. That was the push that he needed to focus on Capstone full time. “It was tough at first. We had to rob Peter to pay Paul,” McLeod said. He leaned on his wife, Robyn, a partner in the company who also works as a consultant and executive coach. Capstone faced a problem that’s common for minority and women-owned enterprises (MWBEs): lack of capital. Getting a loan was a long process, McLeod explained. Robyn, who like her husband is AfricanAmerican, had gone to great lengths to prove her ethnicity because it wasn’t marked on her birth certificate. MWBEs also face the challenge of becoming certified. Businesses must be certified with Westchester County and New York state in order to have an opportunity to bid on highly sought-after government contracts. Recently, the county hosted a “Road to Certification” seminar to help jumpstart the process for MWBEs. “This seminar was the second in a series,” said Wiley Harrison, treasurer with The Business Council of Westchester’s board of directors. “At that earlier event we asked ‘How many of you are certified?’ Less than 10 percent raised their hands.” Some didn’t even know what it was, he said. The county is addressing the “inequity” in business with seminars like this, Harrison said. Erica Kaufman, program manager at Women Presidents’ Educational Organization in New York, added, “I think the main point is to get the word out. (Many women) haven’t heard of certification and the benefits.” She said her organization explains why certification is so valuable. It makes companies eligible to bid and secure contracts worth thousands and sometimes millions of dollars. McLeod’s company Capstone is certified, and he was just awarded two government contracts, one worth $99,000 with the NYC Administration for Children’s Services, and another valued at $100,000 with the Department of Small Business Services, both

based in New York City. Earlier this year, Mayor Michael Bloomberg’s administration announced “Compete to Win,” an initiative to assist MWBEs in New York City. Also this year, Gov. Andrew Cuomo announced a goal of having 20 percent of state contracts go to MWBEs. McLeod said while he’s seen firsthand the benefit of those programs, his company continues to struggle to win contract bids with Westchester County. The county recognizes the frustration of business owners like McLeod. George Oros, chief of staff to the county executive, said in September a consultant was hired to address why the county is having “a difficult time attracting” MWBEs. “We’ve got to make it work,” Oros said. There’s a lot of qualified minority and women owned businesses out there. We can’t keep going back to the same people.” The county produces weekly bid lists for area business with 20 to 30 opportunities. In an effort ease some of the frustration, Oros said they are combing over lists of MWBEs that have missing, invalid, and incorrect information, so they can get the lists and be contacted. He added that the seminars are intended to help facilitate a relationship between the county and MWBEs. “We do seminars to provide three things: help minority and women-owned businesses get certified, let them know what opportunities exist for them and walk them through the maze of red tape” that he noted comes with doing business with any government entity. For McLeod, those efforts will be in vain if the door to bigger opportunities remains hidden to MWBEs like Capstone. Oros said the county encourages young businesses to go after smaller contract bids first worth $20,000 or less, because it’s a shorter process and they can at least get in the door. But McLeod said Capstone is looking at the opportunities that exist with projects like the Tappan Zee Bridge, a $5 billion venture. He remains hopeful that Cuomo’s initiative will impact how contracted work is distributed. McLeod said that in the past, if a MWBE landed a contract on a larger project, it might get a check but then be shut out of the actual work. “You can’t grow your business that way, you can’t learn anything. We didn’t come here to play, we came to do work.”

Why blow up your business now?
L
ike Isaac Newton’s “eureka” moment, which led to his theory of gravity, leaders know that stable circumstances never last and they must eventually destroy what they’ve created or a competitor will do it for them. Their “eureka” moments have led them to be the destructive forces that chip away the edges of their own organizations. The bestselling business book “Creative Destruction” points out organizations that sustain success understand innovation’s creative process of search, incubate and “eureka.” In the incubation stage, ideas simmer, and it may appear as if work on the problem has stopped. The book’s authors call this the heart of the creative process and point to Newton as having a good description: “I keep the subject constantly before me and wait until the first dawnings open slowly, little by little, into the full and clear light.” Finally, according to the book, we reach the “eureka” stage, which is the point in the process when many unrelated and even contradictory ideas and goals somehow come together and are combined to create something new. A decade after “Creative Destruction,” Peter Denning and Robert Dunham, authors of “The Innovator’s Way,” give more current examples of what Newton described by explaining how the Corning Co., founded in 1851 as Corning Glass Works, serves as a good example of multiple “eureka” experiences that lead it to several new and successful incarnations.
Corning began extending its glass business and introduced new product lines early on. It partnered with Pittsburgh Plate Glass in 1937 to make construction glass, formed Owens Corning with Owens Illinois in 1938 to make fiberglass and formed Dow Corning with Dow Chemical in 1943 to make silicone. Following the creative-destruction mindset, Corning chipped away at its edges and sold off its consumer products division when it still represented half of both sales and employees. Always putting innovation above control, Corning was first to solve the problem of optical fibers losing light over distance. Obviously, it’s exceedingly difficult to strike the right balance between creation and destruction. Recording companies couldn’t abandon vinyl records until they

had tapes in place or abandon tapes until CDs and now digital files were ready. You can’t destroy the core of your business too early, but, to remain in business, you must immediately create a new core as the old one begins to slow down. Many larger corporations are beginning to follow the example of Corning. General Electric (GE) and Cisco are prominent examples. When Jack Welch came to GE in 1981, the company’s philosophy was to defend first and attack only if necessary. Welch turned that thinking around by making 108 acquisitions in a single year and started the process of destroying units unless they ranked first or second in its category. For Cisco, launching intergalactic probes has always been part of its credo because its “eureka” moment was the realization that since most innovations don’t happen in your

company, you must look for them elsewhere. Long-term success demands that leaders and management seize opportunity by letting more new ideas simmer and incubate. That will lead to multiple “eureka” moments and the knowledge of exactly what must be created and what to blow up. How private is your email? Not at all, experts say BY TARICE L.S. GRAY tgray@westfairinc.com
T
he information age has made information gathering easy – too easy, according to some. Privacy matters to people, which is why most bother to add passwords to their email accounts and other online messaging tools. But few people understand doing so doesn’t make their content completely secure. Recently, email security has become a national topic as Gen. David Petraeus, a Cornwallon-Hudson native, had his adulterous affair exposed because of emails. The affair captured the attention of the nation, but the subplot of email security got people asking about their own vulnerability on the Internet. “Assume nothing you’re doing online is private,” said Ann Bartow, professor of law at Pace Law School. “The government can spy on you without any notice. They can contact the service provider, and get your informa-
tion without any notification to you.” That’s a fact many people are unaware of, Bartow added. Some believe Petraeus’ email account was accessed by the government because of his former role as the head of the Central Intelligence Agency (CIA), but anyone’s private email can be accessed by the government, Bartow said. “Service providers have extensive rights. Ads attach to emails, links are monitored. If that doesn’t give people a wakeup call I don’t know what will.” The law that explicitly addresses emails and privacy is The Electronic Communications Privacy Act (ECPA). It was enacted in 1986 when email was in its primitive years. The ECPA protects wire, oral and electronic communications that are processed, transmitted, and stored. According to the law, to access emails the government has to present a subpoena for those stored less than 180 days and emails stored longer need a probable cause search warrant, which means there has to be evidence of wrongdoing.
“Those same rules apply to Facebook messages and tweets,” said David Menken, partner at McCarthy Fingar L.L.P. in White Plains. Facebook and Google “will tell you in their privacy document, which is enormous and complicated, their set of rules of what (information) they’ll give out by subpoena.” However, those rules have been subject to change, Menken added. Last month, the Senate Judiciary Committee approved a bill that would require law enforcement officials to obtain a warrant for most email searches, instead of just a subpoena. The Senate Judiciary Committee’s chairman, Sen. Patrick Leahy (D-Vt.), wrote the original ECPA law and is behind the push to amend it. Congress isn’t expected to address the proposed changes before next year. As it stands, the government and employers can gain access to accounts and monitor information. Also, companies own employees’ company email accounts and can access them at any time, whether they retain
employment or not. What people are starting to realize, said Bartow, is “postings follow you well after you’ve moved on with life.” But companies have to be careful how they react to the information they’re able to access electronically. People sue over privacy issues. Service providers like Google and government agencies like the U.S. Food and Drug Administration have been hit with lawsuits this year. Netflix changed its laws so it no longer holds on to a customer’s rental history after they have ended their service contract. “I think that the laws will evolve to make privacy more of a priority,” Menken said. “Any company has to be aware of how it can use of information on customers and employees.” Likewise, customers and employees should be aware how accessible their personal Ann Bartow, professor of information really is. law at Pace Law School.

Intellectual property (IP) law was previously thought of an esoteric section of the law that no one paid attention to. But with the explosion of smartphones, it has become more relevant than ever, with law firms specializing in IP and patent law cropping up in Westchester. “There was a time when patents were thought of for a new machine or a new transmission in an automobile,” said Jess Collen, attorney and partner at Ossiningbased Collen IP Intellectual Property Law P.C. “The effect wasn’t so well known. IP law involves giving the creator of product exclusive rights to their creation, including copyrights and patents. Collen, who has been active in IP law practice for 25 years, said that smartphones have become a big battleground for patent fights. Patent wars have been brewing, with ongoing litigation between Apple Inc. and Samsung Electronics Co. Ltd. over Samsung’s Android smartphone. Nortel Networks recently sold 6,000 patents for $4.5 billion to Apple. Google Inc. purchased Motorola Mobility for $12.5 billion, paying $5.5 billion for Motorola’s patents. Eastman Kodak Co. is also looking to sell its patents for billions, while Yahoo! Inc. is considering litigation against Facebook over 10 to 20 patents. And as it saw its market share declining, Nokia Corp. sued Apple to protect its patents. “Traditionally patents were an arcane field,” Collen said. “But now every busi-
ness has IP implications. Every business has a website and uses software. There are innumerable IP consequences. In years past, people didn’t understand it.” Further complicating IP law is the fact that each country has different copyright and patent laws, so a product patented in the U.S. isn’t necessarily patented in China. “It’s an area that is very problematic,” Collen said. “There are international conventions and treaties that try to harmonize the laws, but they tend to be territorial. Having protection in one place doesn’t mean you have protection in another place. These issues are very thorny, and are a real problem for companies.” Plus, obtaining a patent can be a long, arduous and expensive proposition that most companies around the world can’t afford to do. “There are 180 countries,” Collen said. “It’s really hard, almost impossible, to patent a product everywhere. Even big companies make this choice because it’s not cost effective.”

Collen advises creators to file patents as soon as possible, because any delay could cause a patent to be taken, leaving the creator with little to no legal recourse. “Patents must be protected and must be protected promptly,” Collen said. “If you don’t protect yourself immediately, you may never be able to get it back.” Peter Sloane, of White Plains law firm Leason Ellis L.L.P., has seen firsthand the explosion in patent and IP law. Sloan said that mobile apps are among the most infringed items and that it’s almost like the Wild West in terms of enforcement. “Trademark owners are still grappling with these issues,” Sloane said. “There’s a question of jurisdiction. Different providers are developing their own policies and guidelines.” At Apple, Sloane said the company tells complainants to deal with the infringers themselves, and generally stays out of the fray, which Sloane said is not always effective. “Trademark owners aren’t overly excited about spending more resources on trademark protection,” Sloane said. “It becomes a negotiation, and some are more reasonable than others. No one is looking to litigate matters. There’s usually a way to come to an agreement.” Sloane said that IP law is a field that has been expanding and evolving, particularly as the economy shifts from manufacturing to service based. “You find it easier for startups to get off the ground,” Sloane said. “Many of them have valuable IP property to protect. Consumers are more brand savvy than they ever were before; the importance of trademarks is ever more important.” Leason Ellis started in 2008 with four attorneys and now has 23 attorneys, all practicing patent, trademark and copyright law. It’s the largest IP firm in Westchester and the 7th largest in the country. “It’s reflective of the growth of IP, especially in Westchester,” Sloane said. “Westchester is home to a lot of talented IP attorneys. People want to bypass the city and work out of where they live.” Alex Poltorak, who runs Suffern-based
General Patent Corp., said patent litigation has become more frequent and important over the course of the past century. “It’s the new currency,” Poltorak said. “There’s this dependency on technology and technological innovation to distinguish competitive features and new products. It raises the importance of patents as primary marketing tactics.”

Poltorak would like to see uniform worldwide copyright laws and create a system similar to Europe. The European Union set up a copyright law that trademarks and patents items throughout the continent, rather than one country. “It significantly simplifies dealing with patent issues,” Poltorak said. “There’s global trade, it’s silly to have different countries with different patent laws. It’s a national monopoly and gives you the right to exclude others. It makes little sense.” Like his contemporaries, Poltorak said he has seen IP and patent law become more appreciated in recent years. “It was seen as an arcane area of the law,” Poltorak said. “We wore pocket protectors and stayed in board rooms, but it’s a different game now.”

Is the patent system broken or simply misunderstood? By Melvin C. Garner and Yuval H. Marcus
L
ike the patent infringement case that resulted in a $612.5 million settlement payment in 2006 by Blackberry-maker Research in Motion to NTP, Apple Inc.’s $1 billion patent infringement verdict against Samsung Electronics Co. this summer has once again placed a spotlight on patents and their impact on businesses. One question that has fueled public debate is whether the patent system encourages or stymies innovation. As explained below, the benefits and rewards of patents are often misunderstood. On Oct. 7, The New York Times published an article by Charles Duhigg and Steve Lohr that recounted the problems of Michael Phillips of Vlingo. Phillips worked for three decades on software to allow computers to understand human speech and which later became part of the Siri software in Apple products. He was hit with six patent infringement suits by a larger company. Apple switched to the larger company and Phillips spent millions of dollars defending the suits. Eventually a jury found that his company did not infringe the
patents, but by that time the company was so weak that Phillips had to sell it to the larger company. Based on this story, the authors of the article took the position that the system that allows the patenting of software is so flawed it often stymies innovation. However, the authors got the wrong message. If Phillips had been working on voice-recognition software for three decades, where were his patents? Rather than hurting small companies, the patent system in many cases is the only protection that they have against larger ones. If Phillips had pursued patenting of his three decades of work, when the larger company came around, it is likely he could have sued. Thus, the result of the litigation would not have been mere attorney’s fees he had to pay, but damages he recovered from the larger company. Also, the existence of his own patents would have been helpful in establishing that his technology was different. His patents could also have been used as the bases of a cross-license with the larger company that could be the basis for a settlement of the dispute. Dean Kamen, best known for his invention of the Segway, is an example of the right way to operate in the modern world. He got his start with the invention of the first drug infusion
pump, which he patented. His company, DEKA, also holds patents for the technology used in portable dialysis machines, an insulin pump and an all-terrain electric wheelchair known as the iBOT. He is a successful and wealthy inventor because he used the patent system the way it was designed to be used. Kamen is working on a product known as the Slingshot that would serve as a water purification system. He hopes the project will help improve living standards in developing countries. A patent has already been issued to Kamen on his water purifier, U.S. Patent 7,340,879, and other patents are pending. The purpose of the patent system is to promote the progress of science and the useful arts. This is accomplished by granting to inventors exclusive use of their inventions for limited times in return for disclosing their inventions in patent applications. The result of the disclosure is to make the technology known to all, which can promote others to invent improvements in the technology or to design around it. The inventor can then use the patent as a basis for his business or license it to generate income. This is what Kamen did, while Philips (of Vlingo) worked in secret and did not benefit himself or society.
When properly utilized, the patent system offers significant benefits to individuals and companies and offers incentives for those inventors to create innovative products and services. The public benefits when the economic motivation of the patent system spurs companies to devote research and development resources to create new products and services. Like any system, it does not work perfectly and it can be used for improper purposes. Too many journalists and academics, however, find fault in the system without having a real understanding of its operation. Articles, such as the one in the Times, sometimes offer a false picture of the system, which results in misleading the public as to the value of the system. It is incumbent on business owners, therefore, to take a close look at the patent system, especially the newly enacted America Invents Act, so that a true understanding of the benefits of patents can be obtained. 2012 survey of top law firms had results that left many in the profession concerned about how to increase profitability. Some of the findings included: • Revenue was up in most firms, but so were expenses. • Profits were up, but at a pace that is likely to be permanently slowed. • Firms were raising their rates, but many do not expect to realize the full increase. • Fully 96 percent of law firm leaders expect the pace of change in the profession to remain the same or accelerate. • Leaders in firms of 250 or more lawyers were especially likely to believe that the recession served as a “permanent accelerator of trends that already existed” or a “game changer.” More than 90 percent of these firms held that opinion. • Three quarters of firms of fewer than 250 lawyers also agreed. These findings suggest that law firms face increased competition from a variety of sources, which has demonstrably affected the

Pam Hart, published poet and the Katonah Museum of Art’s writer-in-residence, has been awarded an NEA Creative Writing Fellowship. Hart was one of 40 individuals to receive the fellowship out of 1,137 applicants. The fellowship, a cash award of $25,000, will fund Hart’s poetry writing over the course of the next two years as she continues working on a book project that is already underway. Westchester Jewish Community Services (WJCS) was recently recognized by GreatNonprofits, a provider of user reviews about nonprofit organizations, as a Top-Rated 2012 Nonprofit. Newsmakers Belinda Roth of Katonah was recently appointed interim executive director at the Katonah Museum of Art. Previously, Roth worked as development officer at the museum since 2008. Roth has a Bachelor of Arts degree in art history from Williams College, a Master of Arts degree in art history from New York Univeresity, and an M.B.A. in marketing, management and strategy from Northwestern University. She will serve as interim executive director until a permanent executive director is engaged. Dr. Anna Kazanskaya was recently appointed by Sound Shore Medical Center (SSMC) to its faculty practice in internal medicine in New Rochelle. Kazanskaya is board certified in internal medicine and geriatric medicine. The Dutchess County SPCA raised $76,000 at the annual Holiday Gift for the Animals dinner and auction. More than 200 guests attended the animal shelter’s largest fundraiser of the year at Christo’s in Poughkeepsie. Kathleen Guzman, managing director of Heritage Auctions in New York City, conducted the auction. Shelter manager Sherry Taylor told the audience about Jade, a Shih Tzu rescued by the shelter, who is unable to walk because she was born with cerebellar hypoplasia. She was traded on the Internet for a video game, until she was rescued by the DCSPCA staff who found her a loving home. Jade raised $16,000 at the event for medical supplies at the shelter. “We are so blessed this holiday season with generous people who care deeply for the animals in need, and wish to help provide for their care,” said Joyce Garrity, executive director of the DCSPCA. Food bank SOS
As a result of Hurricane Sandy and the nor’easter that followed, food pantries and soup kitchens were overwhelmed by displaced families with nowhere else to turn for food and other vital necessities. Many of the pantries the Food Bank of the Hudson Valley serves were also without power and lost much of the food set aside for the coming holidays, including hundreds of turkeys. Because of this devastating loss, many of the less fortunate did not celebrate Thanksgiving with a traditional turkey dinner. The Food Bank was able to buy extra turkeys and with help can get them to those in need. A gift of $12.50 will put a turkey on the table for one fortunate family. A gift of $25 will provide two turkeys and a gift of $50 will provide a full case of four turkeys. Donations can be made online at foodbankofhudsonvalley.org. Washington’s Headquarters State Historic Site in Newburgh is marking the reopening of its renovated museum with an exhibit titled “Unpacked & Rediscovered: Selections from Washington’s Headquarters’ Collection.” More than 1,300 artifacts, many of which have not been seen in decades, are on display. The exhibit features military weapons, domestic implements, dolls, souvenirs of past wars, Newburgh history and memorabilia. The exhibit utilizes an “open storage” format, where a large number of objects, will be on display. An electronic catalog will maximize a visitor’s self-directed learning experience. Movin’ to a generous beat
Eight Zumba instructors recently came together to raise more than $1,000 and collect pet food and other supplies for homeless animals of the Dutchess County SPCA. “Shake Your Paws for a Cause” was organized by instructor Aline Parnagian and held on the Marist campus. Parnagian recruited seven fellow instructors to help teach Zumba’s calorie-burning Latin dances at the event, which attracted more than 115 participants. The funds raised at the event will be used to care for the 400 cats and 60 dogs at the shelter in Hyde Park.
Italian restaurant reopens
On Nov. 15, town of Warwick Supervisor Michael Sweeton, Greenwood Lake Mayor Barbara Moore and members of the Warwick Valley Chamber of Commerce joined owner/chef Tony Kolaj, his partner Jessica Stillman along with friends and staff members for the grand reopening of their restaurant, Al Laghetto. The well-appointed and cozy Italian restaurant is at 40 Route 210 (Jersey Avenue) on the west shore of Greenwood Lake. This past February, Moore and her husband, James, had just finished a meal at the recently opened Al Laghetto when their waitress notified them that they would have to leave because there was a fire in the building and the Greenwood Lake Fire Department was on the way. “One minute we were enjoying a terrific meal,” said Moore, “and the next minute we were helping firefighters pull the hoses.” That night the three-alarm fire, which began in an apartment above the restaurant, was brought under control within about 20 minutes. But the resulting water damage forced Al Laghetto to remain closed for extensive repairs and renovations that were only recently completed. Al Laghetto is open every weekday, except Monday, from 5 to 10 p.m. and on Friday and Saturday from 5 to 11 p.m.
