Chris Loeffler, one of the managing partners of Caliber Companies, cofounded the Airpark-based business when he was around 24 along with his two partners, who are also quite young. As a silver-haired friend remarked to me about the company, “At that age, people are just fearless.”

Loeffler and his partners came up with a unique investment approach to real estate that, appropriately, overcame the fears of prospective clients—and you can read all about it in this issue. We shot the cover photo on the rooftop of Caliber’s latest venture, the Wren hotel, a renovation project across the street from Sky Harbor International Airport. Look closely and you can see the tower as well as the Sky Train station. Talk about location. I happen to be afraid of heights, but I wasn’t going to let that stop me from glorying in an amazing—and rare—360-degree view of Phoenix. Because the Wren is one of the older buildings near Sky Harbor, it predates height restrictions imposed on newer construction; thus the view. There’s a lot to be said for fearlessness, for seeing clearly from new perspectives. From atop the roof of the soon-to-debut Wren, I looked toward the Airpark and contemplated the horizons.

Scottsdale Airport to Expand U.S. Customs Service Hours Scottsdale Airport will offer expanded hours for U.S. customs and immigration service starting Sunday, Feb. 9. Service hours are available from 9 a.m. to 7 p.m. seven days a week for both business and leisure travelers. Increasing demand led to the service expansion, which is expected to generate more international airport activity and enhance Scottsdale’s appeal as an international destination. The cost for this service is based on the size of the aircraft and can range from $50 to $750. “Expanding the service hours supports Scottsdale Airport’s commitment to the international traveler and boosts its base as a business aviation hub,” said Scottsdale Airport Commission Chair Michael Goode. “Foreign aircraft owners destined for the Phoenix area can land at Scottsdale directly every day without an intermediate customs stop.” There are hundreds of foreign businesses with a local presence in Scottsdale. “Many of these businesses seek ready access to air transportation when deciding where to locate facilities,” said Scottsdale Aviation Director Gary Mascaro. Scottsdale Airport generates about $3 billion per year in economic spinoff activity, according to the 2006 City of Scottsdale Economic Impact Study. During the fiscal year 2012-2013, 490 aircraft arriving in Scottsdale were processed by U.S. Customs. The enhanced hours are expected to increase the use of customs in a year’s time. egere Pharmaceuticals, an Airpark fixture since 1977, has expanded its Evans Road operations to include a 12,000-square-foot facility on 15344 N. 83rd Way, behind Fiesta Furnishings. As of Feb. 1, the new location is home to executive offices and fulfillment activities. Legere’s new facility is complementary to the company’s core operating principles and to its roots in the alternative and holistic healthcare markets, said CEO Dr. Ronald Legere. The new structure is 100 percent solar powered, and a net contributor of solar generated energy to the APS power grid. t the height of the global recession, three young entrepreneurs decided to buck the trend and start a real estate investment business, building on their shared experience in flipping houses, design and finance. “This business was born in a period of fear,” says Chris Loeffler, who founded Caliber Companies with partners Donnie and Jennifer Schrader. “It was the beginning of 2009. We had just gone through this hellacious period and people inherently knew that in theory it was a good time to invest, but connecting that theory to reality was difficult.” Working from their homes, Loeffler and the Schraders found their first client. “At the time transactions were being completed quickly and we were able to perform quickly,” Loeffler says. “The way we won the game was through referrals and performance and by aligning our interests with that of our investors. “The old way of doing business was, ‘I sell you a deal and I make a big commission and hopefully you do, too, later on.’ Instead, we don’t make anything unless the property makes money on the other side.” Today, Caliber Companies has 31 employees, is housed in spiffy Airpark offices and has a real estate portfolio worth more than $50 million. The company has expanded its services to buying, renovating and managing commercial

properties including apartment and business complexes and its newest venture, the Wren hotel. Loeffler, 29, whose background is in banking and accounting, oversees Caliber’s business systems, strategic relationships and commercial asset acquisitions. Donnie Schrader, 34, who worked

in finance and insurance before becoming a real estate investor, oversees acquisitions and remodeling. Jennifer Schrader, 32, began her career as a real estate investor after attending architecture school. She oversees the real estate brokerage and design work for Caliber’s projects. “We used to only flip homes, and we
still flip properties, but in 2008 and 2009 we did it in an entirely different way than we do today,” Loeffler says. “Today, we do value-added renovations. Flipping can be taking a small home, adding another bedroom and making the whole property more modern—not just a facelift. That accounts for about 20 percent of our activities at the present time.” The Wren, formerly the Crowne Plaza, is an example of Caliber’s value-added approach. The hotel is undergoing an $8 million renovation, expected to be completed in March. The timeworn interiors are being transformed with sleek, contemporary fixtures and finishes, an updated lobby, pool and cabana areas and a new restaurant (the Post, which opened Jan. 31) and three-level bar (the Perch). Jennifer Schrader was in architecture school until she decided to strike out into real estate. “I realized very early on that I could have a much bigger impact if I could start working immediately in real estate rather than continuing architecture school and working for someone else,” she says. Loeffler describes Jennifer’s experience as an invaluable component of the company. “In combination with the design firm we hired, she designed almost the
whole interior of the Wren,” he says. “When we started planning the renovation, we realized there’s nowhere to eat in that area, nowhere to go for happy hour. We realized there was an opportunity to create a great restaurant and bar for the local community.” When the Caliber team was checking out the hotel’s investment potential, they were impressed by the location. The Wren is at the corner of 44th and Washington streets, right next to the METRO Light Rail station that connects to the Sky Train at Sky Harbor International Airport, so visitors can get to their hotel rooms and back to the airport without ever stepping into a cab. The Wren’s contemporary look reflects the youthful sensibilities of Caliber’s young founders. Their youth hasn’t been an issue for investors though. “If it is, they don’t make a big deal out of it. Once in a while they make a wisecrack,” Loeffler says. While the leaders of the company are for the most part in their 20s and 30s, Caliber has brought in people who bring a lot of experience to the table, Loeffler adds. “I think our young team was what was needed at the time. In this business, the world is changing, and it’s changing
every couple of months. We’re comfortable with adapting to those changes.” Chief Financial Officer Paul Bressan is one of the seasoned professionals brought into Caliber’s management. A CPA, Bressan worked for 25 years in real estate before joining the company, and he has long experience in real estate’s boom-andbust cycles. “Understanding cycles requires experience and restraint,” he says. “When things are going well, you might think you’re bulletproof. You have to keep yourself in check and adapt to changing markets. We started this company on distressed real estate. Four years ago, there were a lot of single-family homes that were in foreclosure. The market is changing. You can’t go out and buy a $50,000 home anymore and expect to make a profit on fixing it up and selling it. We’ve had to redefine how that works going forward.” Caliber has diversified into different types of real estate products—hotels, office complexes, apartment buildings. The company also is looking into construction of its own properties in addition to buying existing properties. The company has had to adapt its investment opportunities as well.
Investment Choices Today, Caliber’s investors have several options. They can put their money in an individual home flip or in a fund that acquires and manages several properties. They may wish to hold on to a renovated home or commercial property but not handle day-to-day renting and management of the property. Caliber provides those services as well. Bridge notes are a popular option, Bressan says. Here’s how they work: Caliber finds a property—say a single family home priced at $100,000. Renovation will cost $25,000 and take about 90 days. The upgraded house is expected to sell for $150,000. The investor provides a bridge loan of $125,000, protected by a deed of trust on the property and paying a 12.125 percent fixed annual rate of return. When the property is sold, the customer’s principal and interest are paid first, and any additional profit is divided between the investor and Caliber. Investors are kept informed of every step in the process. Loeffler says this transparency helps set Caliber apart from other real estate investment companies and reassure potential investors

who may be skit tish after news about real estate swindles, bogus investment schemes and fraudsters. “We communicate with our investors through quarterly reporting that includes information about our investments, along with what’s happening in the market, progress on the property we’ve acquired and other properties we’re looking at,” Loeffler says. “Our investors are constantly in the loop and have an opportunity to ask questions if they’re not clear on something. “We show the source documents—deeds of trust, renovation costs including plans, actual checks. We create transparency. It’s kind of a buzzword today but at the end of the day, we really gave it, and that’s how we built trust.” Clients are relying on Caliber not just to buy the right deals but also to design the right investment structures, Loeffler adds. “Because our company was born in the ashes of this horrible crash that we all went through, we also got to be born in those lessons. For example, we have a $25 million distressed properties fund. I designed the entire structure of that fund so that we can’t borrow, over the long term, more than 60 percent of the value of the assets. If we purchased an income-producing property, such as an apartment complex, at 60 percent of value, and we went through the type of crash that we just experienced, our investors would not be able to get cash flow, but they would be able to hold the properties, weather the storm and then come back through the other end. “Will they make more money if I could borrow 80 percent of the assets? Absolutely. They’ll get better returns from the get-go, but their risk level is too high from my perspective.”
Airpark Hunt Caliber will continue to adapt and grow, Loeffler says. “We are actively hunting very heavily in the Airpark for good opportunities. I think this is a great place to do business. The community around the Airpark is incredibly supportive. You can feel the business when you’re here.” They’re also developing an online software project called Venture Localist, which will allow Caliber to put its investments online. “We’ll continue to raise money and meet people through referrals, and our online platform will be another way to reach potential investors and present our properties and opportunities to the market,” Loeffler says. “You can go online and say ‘Hey, I know that building. I drive by it every day. I can own a portion of that? That sounds phenomenal. It allows you to invest in the community you know.” Social media and online resources will be important for Caliber's future, Loeffler says. “Donnie is obsessive about technology.

He’s always pushing us to think that way. Twenty years ago, technology was really expensive, just out of reach. Today we can get the same type of technology that a multibillion-dollar company will use. For example, our customers can go online on their portal to see what’s happening at the property in which they’ve invested.” Going forward, Caliber is reaching out to new investors and partners. “To the broker community, I would say please call us. We’d like to work with you,” Loeffler says. “To the Airpark community I’d say we’re a good fit, offering professionals and business owners another option for investment. To financial advisors, I’d also say call us. We work with financial advisors all the time to provide their clients with an option they may not have seen before.” The partners are determined to continue their comprehensive approach as their company grows, Jennifer Schrader says. “We haven’t found another company that does all of what we do in this market. A lot of other companies do one piece of what we do. We like to control all aspects of it. It offers greater protection for our clients. If we’re just taking their money and trusting other companies to help with property management or sales, then how can we make a promise to our clients that we’re looking out for their best interests?” Loeffler agrees. “When we directly manage all facets of our operations, we make sure we can deliver on our promises,” he says. “It’s about standing behind our word.” PHOTO BY MARK SUSAN

Full Circle Drivers give Airpark’s new roundabout a spin By Kimberly Hundley
D
rivers began navigating the muchdebated, two-lane roundabout at Northsight Boulevard and Hayden Road on Jan. 11 and, aside from a little horn honking, the debut went smoothly “As we expected, most people are negotiating it just fine; some people have a little bit of difficulty,” said Paul E. Basha, Scottsdale transportation director. When engineers proposed replacing the intersection’s traffic light with a roundabout, the concept was met with resistance by many residents and some city council members. “There was a whole lot of fear and anxiousness because roundabouts are somewhat different,” Basha said, adding that engineering polls show the public is generally 70 percent negative before construction of roundabouts and close to 75 percent positive once they are up and running. The main goal of the Airpark roundabout was to relieve congestion at the nearby Hayden Road and Frank Lloyd Wright Boulevard intersection. Because drivers no longer need to come to a full stop and wait—other than to yield to vehicles already in the circle—traffic keeps flowing. Roundabouts also result in fewer collisions than traffic signals because vehicles are moving slower and there are fewer conflict points, Basha said. The main thing for drivers to remember is they should slow down or stop to yield to traffic approaching from the left, then wait for a gap before entering, he added.
Mike Micco, who lives near Scottsdale Airport and works at GoDaddy in the Airpark, is pleased with the new roundabout. “I think some people are struggling how to use it, but it’s nice you don’t have to stop for the light,” he said. Area resident Erin Pagel, however, remains unconvinced. “I don’t think people in the U.S. are trained to use them, because people aren’t used to them,” she said. “I’ve seen cars circling in there, and I feel bad for the tourists and old people.” The roundabout project includes an extension of Northsight to Frank Lloyd Wright, giving drivers a second option for accessing the FLW roadway from Hayden. The stretch of Northsight linking the roundabout to FLW is flanked by five automobile dealerships and was privately owned. Acquiring and transforming the roadway was one of the most difficult planning aspects of the project, according to Basha. “They used it as overflow parking for their vehicles, so we did need to provide parking facilities for [the dealerships],” he said. “It took a lot of negotiation. They were very cooperative but had concerns.” The city also needed to widen the Northsight extension to make it correspond with public-street standards. Now that the traffic signal is functional, the dealerships are benefiting from increased access and visibility, Basha said. Although several roundabouts are sprinkled throughout the Valey, the one

Premium-products sector growing quickly in oral-care market
T
he oral-care product line CloSYS Oral Health hits the shelves of 1,300 select Walmart stores nationwide this month. Scottsdale Airpark-based Rowpar Pharmaceuticals, the makers of CloSYS, is excited about the new growth. “We truly have products that can positively affect your health and, with the increase in demand, comes the need for balancing our distribution opportunities,” says Andy Gritti, executive vice president for Rowpar Pharmaceuticals. “Strategically our products are better positioned in drugstores like Walgreens and CVS. So when Walmart called and pleaded with us to include CloSYS products in stores that supported our demographic profile, we knew we were making some positive noise.” Intitially, Gritti had turned down Walmart’s offer because he didn’t believe Rowpar’s premium-priced product was a good fit with a low-cost chain, but the megastore convinced him otherwise, explaining that—like many chains— Walmart looks at its stores in “clusters” based on consumer demographics and spending habits, and some of those clusters would be a strong match.

“In this case, they analyzed the oralcare category and the pharmacy customers purchasing habits and have now dedicated shelf space to the premium-priced specialty products in stores that fit a certain profile … We know consumers, as creatures of habit, like to purchase many of their core household items at their favorite retailer, and if their favorite retailer was Walmart we could be missing out on some potential sales,” Gritti says. “As a note, the premium/specialty oral-care products are the fastest-growing segment of the oralcare category, and Walmart, being the highly intelligent retailer they are, wants in on that action.” In general, drugstores tend to have more selection as a way to differentiate themselves, so Rowpar’s products are a better fit with those types of chains, he adds. “Even today, many of the grocery chains and big box stores tend to stick to a limited selection, which is problematic for us.”

W
ith the eyes of the world on the Winter Olympics in Sochi, Russia, this month, it’s interesting to note that despite the 6,815 miles that separate the host from Scottsdale, we have many links to the game and country. Consider these ties to Russia, the Russian Federation and the former USSR: In the 1950s, Alexis Romanoff and his wife moved to Scottsdale, where they became very active in polo, and operated an antique business specializing in Russian items. They lived in the Cattle Track area, between Lincoln and McDonald drives. Some believed that he was a descendant of the Romanov royal family of Russia. In April 1970, Svetlana Stalin, daughter of the late Soviet Union dictator Joseph Stalin, married architect Wesley Peters at Taliesin West in Scottsdale. Svetlana had defected to the United States in 1967, and when she married Peters, it was deemed the local wedding of the year. Although it was written that she didn’t like the “communelike” lifestyle of Taliesin (in Wisconsin) and Taliesin West, she was active in the social activities of the architectural school and Scottsdale. She and Peters divorced in 1972 after having a daughter. An author,

she lived in London, then returned to Wisconsin, where she died in November 2011 at the age of 85. Sculptress Louise Nevelson was born in Kiev, Russia, in 1899, later coming to this country and producing many famous sculptures, including “Windows to the West,” installed in November 1973 between Scottsdale City Hall and the Civic Center Library. During the premiere weekend of Scottsdale’s first signature public art installation, Nevelson stayed with the Ellis family at Cattle Track. Zina Zovalov Stolov Stolinska Kuhn, born in czarist St. Petersburg on the eve of the Russian Revolution, was displaced several times throughout Europe, the Soviet Union and the Middle East during and after World War II until immigrating to the United States in 1951. After marrying a U.S. Air Force pilot, she came to Scottsdale in the 1960s when her husband Cole attended Arizona State University. They retired to Scottsdale in the 1970s, and she spent the rest of her life (until 2005) doing good things for Scottsdale and her adopted country. She led the effort to restore the Gratitude Boxcar at the McCormick Stillman Railroad Park, started Scottsdale’s annual Veterans Day tribute at the railroad park in 1989, was
a docent at the Scottsdale Center for the Arts, was appointed by former Mayor Herb Drinkwater as Scottsdale’s Cultural Ambassador, and frequently spoke to elementary and high school classes about her first-hand experiences of global historic events and her love of America and its freedoms. Renowned violinist Isaac Stern, born in Russia before immigrating to United States as a young boy, was a friend of Zina Kuhn’s from her time in New York City in the 1950s. He came to Scottsdale several times to visit the Kuhns and his sister, who was also living here, and to perform in Scottsdale and Phoenix concerts. In March 1988 then-Mayor Herb Drinkwater made Stern an honorary citizen of Scottsdale. After selling the Scottsdale Progress in 1987, Jonathan and Maxine Marshall established the Marshall Fund, which supported a variety of community projects. In 19881989, they provided funds for a U.S./USSR student exchange. Forty-six local students traveled to the Soviet Union, then 26 Soviet students came to Scottsdale for a three-week visit. Local families vied to host the Russian children in their homes. The exchanges took place just prior to the collapse of the Soviet Union, fall of Communism and rise of the Russian Federation. …continues on page 38

In 1994, an exhibit of Russia and Soviet art took place at the Fleischer Museum, formerly housed in the FFCA Building in the Perimeter Center, just north of the Scottsdale Airpark. The exhibit, arranged by Donna and Mort Fleischer, was promoted as the largest collection of museum-quality Soviet and Russian art from the Cold War
era, with more than 80 pieces created between 1930 and the 1970s. The art was virtually unknown and hidden until the fall of the Iron Curtain, and the exhibit drew record crowds to the Fleischer Museum. 1966 Scottsdale High School graduate John Phillips began his career as a U.S. Navy pilot, then was selected for the NASA astronaut program. Phillips flew a space shuttle mission in 2001. In October 2005, he, along with other crewmembers, launched from the Baikonur Cosmodrome in Kazakhstan aboard Soyuz TMA-6. During the six-month space mission, he served as the NASA Science Officer and Flight Engineer aboard the International Space Station, performed space walks in Russian spacesuits, conducted experiments, then returned to Earth with a landing in Kazakhstan. These are just a few of Scottsdale’s many ties to Olympic athletes and the Olympics: Jim Paul, developer and founder of Rawhide 1880s Western Town in 1971, was a finalist for a spot on the U.S. Olympic boxing team in the 1930s. In February 1961, members of the U.S. Olympic fencing team put on an exhibition at the Judson School, the former private school in Paradise Valley.

Svetlana Stalin, daughter of the late Soviet Union dictator Joseph Stalin, was married to architect Wesley Peters at Taliesin West in Scottsdale. She wrote several books before her death in 2011.
According to the Sept. 16, 1964, Scottsdale Daily Progress, 25 Scottsdale Jaycees and several city officials carried the Olympic Torch through Scottsdale during a cross-country Olympics fundraising drive that kicked off Sept. 1 in New York City with former Olympian Jesse Owens running the first leg. In winter 1966-1967, the city of Scottsdale Parks and Recreation Department offered dry land ski classes at Saguaro High School, taught by Dick Solem, former member of the U.S. Olympic ski team. 1964 Olympic gymnast Marie Walter Bilski was hired by the Scottsdale Girls Club in 1970 as a gymnastics teacher. Jesse Owens, a track star at Ohio State University and member of the 1936 U.S. Olympic team at the Berlin Summer Games, moved to the Scottsdale area in 1972. At the Berlin Olympics, Owens won four gold medals (100 meter, 10.3 seconds; 200 meter, 23.7 seconds; broad jump, 26 feet and 31/64 inches; and as a member of the 400-meter relay team) and set a world record for the broad jump. Until his death in 1980, he was a sought-after speaker at school and civic events in Scottsdale and the Valley. Olympic medalist swimmer Buster Crabbe (1928 and 1932 Olympics), who later became a movie (Tarzan, Flash Gordon) and television (Captain Gallant of the Foreign Legion) actor, retired in Scottsdale, where he lived until his death in April 1983 at age 75. Mohammad Ali, competing under his birth name of Cassius Clay, earned the Light Heavyweight Gold Medal as a member of the U.S. boxing team at the 1960 Olympics in Rome. Ali has lived in the greater Scottsdale area for many years, and has become an advocate and fundraiser for Parkinson’s disease. Olympic figure skater Dorothy Hamill earned a gold medal at the 1976 Olympics in Innsbruck, Austria. In the early 1990s, as owner of the Ice Capades, she moved the troupe’s headquarters, costume shop and practice facility to the Scottsdale Airpark. The street adjacent to the facility was renamed Hamill in her honor until the company moved away a few years later. Gary Hall Jr. became a rare second-generation Olympic swimmer gold medalist, following in his father Gary Sr.’s footsteps (1968, 1972 and 1976 Olympics). Gary Jr., who attended Brophy Prep, garnered a total of 10 medals (five gold) at the 1996 Atlanta Olympics, the 2000 Sydney Olympics, and the 2004 Athens Olympics. During the early

Some have told me that Scottsdale Leadership was “the best thing” they ever did for their business, while others cite lifelong friendships that began in class. Others talk about the year their “Lead it Forward” project group (part of the overall Core Program experience) spearheaded free dental screenings for children, built a community garden, or raised awareness of homelessness with pets—all advancing creative solutions to authentic community needs. owadays, it’s hard to pass through my Facebook feed without coming across some sort of 30-day challenge. Just the other day I was having lunch with the boys (my coworkers) and they were talking about a 30-day challenge of discipline they had begun. Each day there was a long list of tedious tasks that needed to be completed. Some quite normal, some just absurd, and some that were flat-out unspeakable, even for me. Regardless of the comical aspect of their ridiculous routine, it got me thinking about how repetition often morphs into habit. If a 30-day challenge can make you fit or teach you discipline, then it can certainly make you a content marketing guru (okay, lets say a micro-guru)! Don’t know where to start? STEP 1: Commit to a bi-weekly video post For those who already have an existing blog on your website, it’s time to commit to it. STEP 2: Keep a mindset of modification If content is a new arena for you, then you need to stay nimble and flexible. Now that you are committed to a regular video schedule, you also need to commit to analyzing your consumer consumption habits. Take notice which of your videos are getting the highest amount of engagement (i.e., views, length of time watched, shares, comments). VIDEO VIXEN TIP: Google Analytics will be your best friend as you embark on a new video marketing strategy. Join my 30-day challenge and I’ll teach you how to pull and analyze your customers.
STEP 3: Turn your sales funnel into your marketing strategy There is no one who knows your sales funnel better then you. You should turn those sales conversion points into video marketing opportunities so that a potential customer can find what they need to covert at the exact moment they need it, which is when they are most ready to buy. ocally owned and operated, Fired Pie is making its mark in the Valley with the opening of its newest location. The fast casual pizza concept exploded on the scene just seven months ago and recently opened its fourth location in North Scottsdale, just west of the 101 freeway on Raintree Drive and Northsight Boulevard. hen a broken leg resists treatment, resulting in disabling injury and pain, Dr. Anthony Rhorer is there to set things straight “I’m the man patients see when they’re really at the end of their rope, when they’re desperate to have a complex deformity repaired,” says Rhorer, an internationally renowned orthopedic surgeon who founded Sonoran Orthopaedic Trauma Surgeons in Scottsdale. “People in our practice are well trained in taking care of complex fractures and well versed in all the techniques,” Rhorer says. “Each of us has our own forte. For me, that includes treating fractures that won’t heal, called a non-union; treating people who have acquired leg length discrepancies like shortened limbs; and patients with crooked legs. “We have a very high success rate in getting non-united fractures to heal and with getting bones straight. We put our patients back together and get them back to work.” Rhorer trained with some of the world’s leading physicians and professors as a medical student at Duke University School of Medicine and as a resident in Duke’s internationally renowned orthopedic surgery program. He was the first Duke resident to be a fellow at the Lizarov Center for Restorative Traumatology and Orthopaedics in Russia. He later was accepted to a trauma fellowship at the prestigious Tampa General Hospital/Florida Orthopaedic Institute, where he trained with orthopedic trauma surgeons who are recognized as among the best in the world. Rhorer is an expert in treatment using the Lizarov apparatus and Taylor spatial frame. Both are circular fixators that sur-
round the injured leg and are pinned to the bone, then adjusted to correct deformity, differences in leg length and nonunions of broken bones. The Taylor frame is an advanced technique that uses computer software along with surgery. Rhorer’s patients come from all over the country and all walks of life, but they share one thing in common—painful, debilitating bone injury that resists treatment: • Like the motorcycle rider who suffered a broken leg and was facing amputation when complications set in. After numerous surgeries, the man was able to keep the leg and walk normally. • Or the patient who suffered for 15 years after a car accident left him with a thigh bone that healed 3 inches short. • Or the CEO who broke his shin bone. “He was treated by a very good orthopedic surgeon, but the bone became severely crooked and wouldn’t heal properly,” Rhorer says. “He’s an executive who has a high-stress job, who works 70 to 80 hours a week. He’s flying in so we can re-straighten the bone and get it to heal properly so he can have a normal life with his job and family.” Treatment involves more than surgery and other medical procedures—it involves a positive attitude, Rhorer says. “You really have to reach inside of the patient’s spirit and understand them and believe in them and let them know you believe in them,” Rhorer says. “I tell patients that we’re not going to give up on you. We have weapons in our arsenal that we can use to combat the problem that you have, and we’re going to do everything we can to figure it out." Rhorer adds that the Scottsdale locale also plays a role in healing. “Many of our patients are from out of state, and they may stay for several weeks of treatment. They often tell me that they’re grateful that our practice is located in such a nice destination. State of mind is an important element of healing, and being in a pleasant environment where there are activities the patients and their family members can enjoy can help the process.” Rhorer has deep roots in the Valley. A Chandler native and University of Arizona graduate, he returned to the state after completing his Florida fellowship. “I wanted to create a world-class institution here in Arizona for complex fracture management and post traumatic reconstruc-

tion,” he says. In addition to his medical practice, Rhorer serves as the medical director of orthopedic trauma for Scottsdale Healthcare, is the liaison to the Arizona State Trauma Advisory Board representing orthopedic trauma, and is a consultant in medical device development. He writes extensively about orthopedic trauma treatment and is in demand as a lecturer and teacher around the world. In July 2012, Rhorer was named to U.S. News & World Report's list of top doctors. He also was recognized in 2010 as a “Top Doc” in orthopedic medicine by Phoenix Magazine. The awards, which recognize doctors whose quality treatments and outstanding patient care are making a mark on their communities, are based on peer reviews from other local doctors. Because trauma surgeries are extremely complex, Rhorer feels that staying up to date on new options is imperative, allowing him to treat even the most challenging patients. "One of the things I enjoy so much about this field is that it is so dynamic,” he says. “There always are new opportunities to offer my patients even better results.”

n Jan. 1, the Scottsdale Area Chamber of Commerce welcomed former members of the North Scottsdale Chamber of Commerce into its ranks. The Board of Directors of the North Scottsdale Chamber had concluded that the organization was no longer economically viable and initiated discussions with the 67-year-old Scottsdale Area Chamber to accept its members and to offer services and programs of interest to its membership. Now, the 300-plus members of the North Scottsdale Chamber are officially members of the Scottsdale Area Chamber, whose membership now approaches 1,100 businesses. Founded six years ago, the NSCC began as a networking group for businesses centered in North Scottsdale and in recent years diversified its programming to include advocacy. The recent recession posed unique challenges for the business community and, as a result, for business organizations. In late December, the SACOC sent all members of the NSCC a welcome message, followed by a user name and password to the chamber’s new website and database. “The goal will be to get all former members of the North Scottsdale Chamber involved and active with the Scottsdale Area Chamber of Commerce as quickly and as seamlessly as possible,” said Eric Larson, chairman of the Scottsdale Chamber Board. “The goal is a new group of happy, well-served members who see tremendous value in membership with the chamber, including attending events and programs and participating on committees and task forces.”
Appreciation Party On Jan. 9, the Scottsdale Chamber hosted a Member Appreciation Party in the courtyard at its offices in part to welcome the chamber’s newest members and to thank the membership in general. Featuring food from six great Scottsdale
chamberupdate restaurants and “semi-celebrity” bartenders (CEO Rick Kidder and Board Chairman Eric Larson) more than 150 members turned out for the festivities. All North Scottsdale Chamber members were invited to attend one of two orientation sessions conducted in late January at the Wingate by Windham Hotel in North Scottsdale, designed specifically for those members new to the chamber (58 NSCC members were already members of the area chamber as well). The sessions were well attended, and new members commented how pleased they were to be a part of such a vibrant business organization. All Ambassadors from the former organization were invited to continue their good work with the chamber’s Ambassadors Committee, and all members with an interest in North Scottsdale’s economic growth were welcomed to the Chamber’s Airpark Committee. The Scottsdale Area Chamber is committed to serving all of Scottsdale and to being a strong participant in issues related to the economic vitality of the region and the city. The chamber is involved with advocacy on behalf of the business community and is a part of a consortium of seven chambers that collectively are the largest business-lobbying group in the state. More members means the chamber’s voice is stronger, and it will be easier to serve the business community in policy issues. How a Divorce Can Impact Your Business By Alexander Nirenstein, Nirenstein & Garnice PLLC
W
hen a principal in a closely held business goes through a divorce, there are serious implications for the business as well as for the individual. Here are several questions to consider.
Separate Property or Community Property? The first consideration is whether the business interest is community or separate property. A court cannot divest a party of his or her separate property interest. The income generated from the business will generally be community property, even if the underlying business is separate property. But if the compensation received by the community is inadequate, the spouse may be able to recover on a claim for reimbursement for the increased value of the separate business to the extent generated
by the principal’s time, toil and talent. Generally, capital contributions and retained earnings of a corporation or partnership are considered property of the business, and cannot be characterized as separate or community property, while a sole proprietorship does not have an existence separate from the principal.
Who Owns the Business’s Assets? In a sole proprietorship, the business interest will consist of all the business property, minus any liabilities for the business. In a corporation, limited liability company or partnership, the “business interest” represents the right to receive a share of the profits and surpluses. Because the business property is not owned by its shareholders, members or partners, its assets are not characterized as community property or
separate property. Business goodwill is an asset that belongs to the business as well. However, if the principal has disregarded corporate formalities and used the business assets for personal purposes, the spouse may persuade the court to treat the business as the “alter ego” of the owner/ spouse, like a sole proprietorship. This often results in more expensive and hostile divorces with resources being spent to track down witnesses, compel production of relevant records, and retain experts to prepare forensic accountings. Principals who do not want to face such daunting consequences should take care to observe the formalities of the business entity, keeping business and individual property separated and ensuring that the business and its accounts are not used for personal purposes.

What Is the Value of the Business for Divorce Purposes? Business value for divorce purposes will generally be the price at which the business would change hands between a willing buyer and a willing seller. Typically, both parties retain experts to value the business and present complex calculations to the court. The business owner must be prepared to make extensive business records available for expert inspection and know that these experts may testify in depth about the detailed bases for their opinions. If there is a risk of proprietary or other sensitive information being disclosed, the business, as an entity, should give serious consideration to retaining its own counsel, separate from that of the owner, to minimize its exposure by insisting on written agreements to protect confidentiality and unnecessary dissemination of this information to third parties and the retention of this information by non-business personnel following the conclusion of the divorce litigation.
Are There Tax Implications? Transfers incident to divorce may be nontaxable in most instances, but there could nonetheless be tax consequences. The principal should consult with a tax professional with questions about what may result.
So What’s the Bottom Line? Divorce litigation is open to the public. A business principal who desires to keep business operations out of the public eye is well served by ethical counsel, discreet transparency and good faith in the discovery and negotiation process. The business principal should keep in mind that there are many more options in negotiating a division of the marital estate than are available to a court in dividing the interests of the parties in trial. When confronting divorce, it is imperative to secure legal counsel who understands the sensitive financial, emotional and business issues involved. Shea Medical Center among Top U.S. Hospitals for Joint Replacement
S
cottsdale Healthcare Shea Medical Center is the only Phoenix-area hospital ranked among the top 97 hospitals in the country for joint replacement procedures, according to a study released in December by the Centers for Medicare and Medicaid Services (CMS). Hip and knee replacement patients from top-ranked hospitals are least likely to suffer setbacks after a joint replacement procedure, concluded the study. CMS analyzed outcomes of hip and knee replacement surgeries for Medicare patients between July 2009 and June 2012, looking for which hospitals had the lowest rates of readmission within 30 days of discharge and fewest post-operative complications after performing hip or knee replacement surgery. “Scottsdale Healthcare’s multidisciplinary orthopedic team follows evidence-
based protocols in all three of our hospitals that consistently demonstrate positive patient outcomes,” said Kathy Stinson, director of orthopedic services. “This occurs in tandem with a focused approach on the unique needs of each individual patient.” Scottsdale Healthcare has total joint replacement centers in each of its hospitals—Scottsdale Healthcare Osborn Medical Center, Scottsdale Healthcare Shea Medical Center and Scottsdale Healthcare Thompson Peak Hospital— serving orthopedic patients from across the Valley. The Enforceability of Non-compete Agreements in Arizona By Lori N. Brown, Hymson Goldstein & Pantiliat PLLC
O
ver the past year, I have had several clients consult with me after leaving a job where they’d signed a non-compete agreement with their former employer. They were concerned that the non-compete agreements would prevent them from getting new jobs. This is a real concern, as non-compete agreements may be enforceable in Arizona, depending on the facts of each case. Courts analyze the enforceability of non-compete agreements by looking mostly at the reasonableness of three main features of the provision: duration; geographic scope; and the activity restricted. For instance, a non-compete agreement might provide that an employee cannot compete with her former employer for six months, which is more likely to be enforced by a court than would be a fiveyear limitation. A non-compete agreement might say that an employee can’t compete within five miles of the former employer’s office, and that restriction is more likely to be enforced by a court one that is more broad, e.g. anywhere in the United States. Finally, a non-compete agreement for a disk jockey who does not have much repeat business or a long-standing relationships with customers should be much shorter than a non-compete for an employee who sells and services specialized equipment or complex computer networks. Predicting how a court will react to enforcement of these agreements is a problem. Non-compete agreements are contracts for events that may take place in the future. To enforce one, an employer will need to go to court if the former employee will not obey the non-compete agreement’s terms. Language that works for one business or set of circumstances will not necessarily work for another. Also, the law in this area is constantly evolving. What worked even a few years ago, may not work now, based on later case law. Because so much depends on the facts of each situation, if you are ever presented with a non-compete agreement or are an employer thinking about revising
one or having an employee sign, you should strongly consider having an experienced employment lawyer review the agreement to determine its strength and enforceability.

n today’s “want it now” mentality, click-to-call buttons maximize results. Smartphones are widely available and relatively affordable, meaning consumers today are able to enjoy constant access to the Internet. This advancement in technology has made things much more convenient for users, and has also created a great opportunity for businesses. More consumers on the go are now searching for local businesses to find products or services to meet immediate needs. Businesses should be taking advantage of this, altering their online marketing strategies to

include mobile app development and mobile versions of their websites. Look around. Are the people next to you on their phones? Next time you are in line at a grocery store or at a restaurant, note how many people are connected. These people are working, searching and gathering information to make decisions at a later date. Even if they are browsing Facebook, they are being influenced. Industry-specific Numbers Google highlighted a few specific industry results from the survey about the importance of click to call: • Auto Parts: 62 percent of mobile searchers are “very likely” to use click to call; 57 percent would use click to call to compare pricing. • Car Rental Information: 60 percent of mobile searchers would use click to call; 44 percent would call to make a reservation. • Local Services: 76 percent of mobile searchers would call to make an appointment. • Financial Services: 61 percent of mobile searchers are likely to use click to call to make changes to their bank accounts. id you know that the world’s largest girl-led business is none other than the Girl Scouts’ annual cookie program? Or that aside from being delicious, the cookie season—now through March 9—is focused on teaching girls in this community important life skills such as goal setting and giving back— the kind of know-how needed to become a responsible woman. “These are essential values to successfully navigate life, whether working on a high-school science project team, running a household or being a company CEO,” says Susan de Queljoe, senior associate of marketing and communications for the Girl Scouts–Arizona Cactus Pine Council (GSACPC). And this year, local cookie sales are more important than ever. For 2014, GSACPC has set a goal of selling 3.3 million packages of cookies, with the proceeds used to support Girl Scouting in Arizona. “We have a very aggressive goal this year and plan to use the proceeds of every package sold over 3 million to support the transformation of our local camp—Camp Sombrero—into a Leadership Center for Girls and Women,” says de Queljoe. f you’ve driven past the intersection of Northsight and Hayden Road on a Thursday afternoon, you may have wondered what kind of event was going on beneath the colorful awnings of Go AZ Motorcycle’s spacious front entrance at 15500 N. Hayden Road. Every third Thursday of the month (mark your calendar for Feb. 20, March 20 and April 17), 11 a.m.-1:30 p.m., the dealership hosts a bevy of food trucks, organized by Best of Show, an event company owned by the same folks who brought us Short Lease Hotdogs & Sausauges, one of the most popular and critically acclaimed food trucks in the whole Valley. “We simply show up and feed people, and we are able to publicize by using social media,” says Kat Moore of Short Leash, which also organizes Food Truck Friday in downtown Phoenix as well as several other events. The mission of Best of Show is to create responsible venues for locally focused and specialty street food operators. “We partner with neighbors and local businesses who share similar values to create a better community,” Moore says. “We believe in doing the things you love in life, eating well and surrounding yourself with people who make you happy.”
