Acquisition of National Kwikmetal Services (NKS)

Banner Industries, comprising Banner Service Corporation, Banner Medical Innovations, Banner P&M Supply, Edge International, and Supra Alloys, is pleased to announce that MiddleGround Capital, a private equity company that acquired Banner in 2019, has acquired National Kwikmetal Services (NKS) and added it to the Banner platform.
Established in 1989 as a small order specialist, NKS (www.nks.com) , based in Des Plaines, Illinois, has grown to be one of the largest independently owned flat-rolled stainless steel service centers in the USA and is recognized in the industry as a leader in stainless steel slitting and slitting technology. NKS provides differentiated metal products and processing capabilities across the automotive, general industrial, aerospace and defense, power generation, medical, and infrastructure and construction markets.

ED ENGELHARD RECOGNIZED WITH MTI INDUSTRY MERIT AWARD
Souderton, PA, November 8 - As long-time members of the Metal Treating Institute (MTI), Solar Atmospheres employees are actively involved with the Institute. At the recent 2021 Fall meeting held in San Antonio TX, MTI recognized Ed Engelhard, Vice President Corporate Quality, with the MTI Award of Industry Merit. This award is given in recognition of current/ongoing commitment to the betterment of the commercial heat treating industry with one or more significant accomplishments.
Ed currently co-chairs the Technical Standards Committee for the MTI. Additionally, Ed is extremely active with PRI, SAE and at ASTM. Bob Hill President of Solar Atmospheres of Western PA states, “Being a previous business owner coupled with 40 years of metallurgical processing knowledge, Ed knows what it takes to get the job done and to get it finished right the first time. He has the unique ability to separate the utopian desires of auditing agencies versus what is practical on the shop floors because he has been there. KYMERA INTERNATIONAL, LLC ACQUIRES TELEX METALS
Addition of Telex Metals to Enhance Kymera’s Product Offerings to include Tantalum and Niobium Specialty Materials Tantalum and Niobium Specialty Materials

Kymera International, LLC (“Kymera”), a global leading specialty materials company that manufactures nonferrous metal powders, pastes, granules, and master alloys, announced today that it has closed its transaction with Telex Metals (“Telex”), acquiring 100% of the shares of Telex.

Kymera has been owned by affiliates of Palladium Equity Partners, LLC (collectively, “Palladium”), a middle-market private equity firm with approximately $3 billion in assets under management, since 2018. This is the fourth acquisition for Kymera under Palladium’s ownership.
The terms of the transaction were not disclosed.

SANDINOX TEAM: TITANIUM RUNNERS
Article 1. The SANDINOX VIRTUAL SOLIDARY CHALLENGE, can be carried out in the form of running, ride a bike and/or walking, and this virtual event purpose is to raise money for donation in the fight against hunger, and the institution that will receive it will be chosen by SANDINOX. The donation will be communicated to all participants after the challenge conclusion, by email.
Article 2. The SANDINOX VIRTUAL SOLIDARY CHALLENGE, goal is to achieve a total of 8,713 kilometers, that represents the sum between the maximum distance north and south (4,394 km) and western and east of Brazil (4,319 km), a total of 8,713 kilometers
. Article 3. The SANDINOX VIRTUAL SOLIDARY CHALLENGE, is a virtual challenge, with no fixed location or date. The participant can run, ride a bike and/or walk, whenever and wherever he wants and the times that he wants. However, it should be carried out between December 1st, 2021 and June 1st , 2022 or until when the total 8,713 kilometers is achieve
Article 4. The SANDINOX VIRTUAL SOLIDARY CHALLENGE activities are: run/ bike/walk. The activities do not have a defined distance, the participant can choose between all the activities of the challenge and can participate as many times as he wants, in order to reach as many kilometers as possible, between the dates of the virtual challenge.
Article 5. The SANDINOX VIRTUAL SOLIDARY CHALLENGE is exclusively for SANDINOX customers, suppliers or partners.
Article 6. Anyone who performs the run/bike/walk and proves the accomplishment of its participation through any platform for registration such as GPS watch or any mobile application or equivalent equipment and agree with the rules may participate in the virtual challenge.
Article 7. Participants are responsible for the accuracy of the information provided by the system used. Participants agree that email will be the means of communication used by the organizing company to pass on information and updates regarding the virtual challenge.
Article 8. Participation in the virtual challenge is personal and non-transferable, and no participant can be replaced by another in any situation. However, the participant may participate as many times as he wishes, as long as it is according to the rules of these regulation.
Article 9. All the valid participants will receive a participation certificate and medal, and the first three teams that reach the greatest number of kilometers will receive also a trophy. The freight charge for the delivery of the medal and trophy is included as long as it is delivered to the address of the participating company. All medals and trophy, will be delivered at once and the company will be responsible for the internal distribution of its participants.
Article 9. How will it work?
STEP 01: Run/Ride a Bike/Walk and record the kilometers using gps watch, mobile app or treadmill or any equivalent equipment or app;
STEP 02: Fill in the registration form, supplied by SANDINOX, for the validation of your participation.
STEP 03: After receiving the data, it will be validated by SANDINOX and the participant will receive a certificate with validation of their participation, in case it is approved.
STEP 04: The medal will only be sent to participants whose participation are validated by SANDINOX. The trophy will be awarded to the first three teams that reach the greatest number of kilometers. Medal and trophy, will be sent to the participating company by post and the company will be responsible for distributing them to the registered participants. SANDINOX is not responsible for any loss, caused by mail or loss of medals or trophy in distribution within companies. CHAPTER IV – DONATION AMOUNT Article 10. The donation amount will be calculated according to the total distance achieved in end of the SANDINOX VIRTUAL SOLIDARY CHALLENGE. For each 1 (one) kilometer traveled, SANDINOX will donate $ 1.00 (one) Real to the institution chosen by SANDINOX. The donation will be made by SANDINOX according to this regulation. Article 11.
