FOREWORD

2007 will remain a good year for the TPF group.

This provides evidence en n of TPF’s basic good health. The net return (Group share) for 2007 is lower than that of 2006 because TPF had run exceptional operations well during that year but which did not recur in 2007. The annual turnover dropped from 86 MEUR in 2006 to 74 MEUR for the current year. This situation is largely linked to a greater care in the choice of turnkey projects.


FOREWORD

For the special features of 2007, we should turn to four indicators in particular: ■ Continuing to forge ahead, the company has increased its activities in the engineering sector even more. These efforts have resulted in a strong increase in the annual group turnover, and a clear improvement in profitability. ■ In the “Utilities” field, combining the Water and Energy activities, the growth observed over the last few years has been largely confirmed, both by the returns received and by the projects completed. ■ In the Energy Production sector, our cogeneration power plants, as in a lot of other countries, have had to face serious additional costs caused by the strong increase in the price of gas. ■ For the turnkey sector, the annual turnover has dropped because, as we have stated above, of a stricter policy in the choice of projects.

We now turn to TPF’s opportunities from an international point of view. Wanting to develop its establishments, TPF has widely extended its area of operation on the African continent. So the decision was made to create a subsidiary in Algeria, an agency has been set up in Luanda to extend our influence in Angola, and a large project to install a wind farm in Kenya has been agreed. Closer to home, in mainland France TPF’s sphere of influence has been considerably widened by the purchase of the SECMO engineering company in Marseille, particularly renowned for its know-how. We finish this brief overview by congratulating TPF’s performance regarding jobs. It is encouraging. The European ranking given by the “STD Svensk Teknik och Design”, the Swedish federation of consultant engineers and architects, the authority on the subject, placed TPF in 86th position for 2006. In the space of one year, the number of the workforce rose by around a hundred to reach the figure of 750 units at the end of 2006. In a general climate which is however unfavourable to employment, this gratifying distinction has not been made widely known. And what is more, the number of employees rose to 770 at the end of 2007.

We shall now take a look at the main highlights marking 2007 for the TPF group.

On the other hand, this figure could not unfortunately be repeated for the second half of 2007 and TPF Engineering found it difficult to absorb such a growth. Within the subsidiary, three sectors in particular bore up well: exports, the Belgian private industrial sector and the construction of office and industrial buildings, more precisely in the Grand Duchy of Luxembourg. Exports have grown thanks to the drawing up of several operational plans, sometimes in cooperation with some of our subsidiaries, more particularly in India. Finally, efforts made in recruitment in 2007 should be maintained in 2008 despite the problems in the Belgian job market. All these indicators augur well for 2008.

TPF-Utilities Within TPF-Utilities, the strategy for consolidating the activities in the water and energy fields has not failed. Far from it. This policy has been rewarded by the signing of an important contract for the installation of wind turbine installations in Kenya… a brand new symbol for TPF’s future in new horizons… In addition, the emphasis placed on strengthening productivity has led to a noticeable improvement in the financial results. At the same time, both in Belgium and in France, in Poland, Algeria, the Democratic Republic of Congo and in Romania, commercial efforts have been substantially intensified. Also in Romania, a contract relating to the studies for drinking water pipes has been concluded with the Georgiu town council.

B.E. Hubert Louis For this subsidiary based in Liège, 2007 was an excellent year from start to finish. And how! Annual turnover increased by 26 %. This good fortune does not look like drying up, proved by the good performance of the order book at the end of 2007. So this engineering firm finds itself in an excellent position for tackling 2008.

TPF-Basse Sambre Activity here has dropped as the choice of projects has been made with a great deal more care. In addition, this year TPF-Basse Sambre has been able to finally complete a project which has been generating losses for some time. Fortunately these losses have been accounted for in the results relating to the years previous to 2007.

France The year was fruitful. Beterem can take pride in a strong increase in its annual turnover which has increased from 15,500,000 EUR in 2006 to 19,978,000 EUR in 2007. In the same period, net profitability has reached a record level, representing 7.93% of the Group annual turnover. These two results are worth highlighting because they have come about despite strong competition and despite the difficulty in recruiting suitable staff. In addition, TPF has carried out an excellent transaction in acquiring a 100 % stake in the SECMO company. This engineering firm, based in Marseille, specialises in producing working plans for structures. Thanks to the entrance of this efficient partner, Beterem has been able to widen the scope of its services range. The end of 2007 saw the retirement of Mr André Facundo, the long-time director of Beterem. We would very much like to congratulate him here for the boost he has given to the company and the remarkable work he has done throughout the years. His successor, Mr Frédéric Lassale, took over the reins at the start of 2008.

Poland For the subsidiary E&L Architects, 2007 was an excellent year: there was a satisfactory net increase in profitability of 17% on the annual turnover, which increased from 1.5 MEUR in 2006 to 3 MEUR in 2007. This very favourable change is down to two factors: the conclusion of new contracts in the property sector and penetration into the public infrastructures sector by obtaining, in cooperation with our Portuguese engineering firm TPF Planege, two contracts of great importance. The first relates to the construction of a motorway section on the Warsaw ring road and the second relates to the first phase modernisation of the Warszawa – Gydnia section of the E65 railway line.

Portugal Despite a global gloomy economic situation, TPF Planege can take pride in having been able to maintain an excellent profitability threshold. To achieve this, it has been able to adapt itself remarkably to the demand whilst diversifying its field of operation. So the specific Project Management sector, which represented 80% of turnover in 2005, now only reaches 40%. Very fortunately, the company has succeeded

in compensating for this deficit by increasing its overall annual turnover and by the progress in its activities abroad, in particular in Angola, Algeria and Poland. So a subsidiary will be created in Algeria at the beginning of 2008 and an agency has been set up in Angola. Finally, in Portugal, appreciable profits have been made thanks to efforts made specifically in two directions: increased focus on targeted studies and on turnkey projects. Continuing these strategies in 2008 should allow us to maintain, not to say consolidate, these good results.

Bhob has B ha opened two new agencies: ha So, continuing its territorial expansion, S.N. Bhobe n in the north in New Delhi and in the east in Bhubaneshwar (capital of the State of Orissa). In terms of sector, 2007 saw the creation of a new department devoted to rail infrastructures and whose setting up has required the recruitment of highly specialised staff. Regarding outsourcing, TPF Engineering, in association with S.N. Bhobe, is running substantial projects, in particular in the Persian Gulf on behalf of Besix. It goes without saying that 18 months after our entrance onto the Indian market, we can show a balance sheet which is in the black. The strong rise in turnover and the increase in the workforce which should reach 185 units in 2008 is proof of this. In addition, despite the considerable investment needed by this, S.N. Bhobe has succeeded in maintaining profitability on turnover. In absolute value, this feat shows strong growth, which will make 2008 a promising year.

Spain Firstly we shall look at the Bioenergetica company set up in Cabra in the Cordoba region. A pioneer in its field, it was the first biomass unit to be developed on a large scale for the purpose of producing heat and electricity from waste from the manufacture of olive oil. The first results proved to be positive, and so we can be pleased with this initiative which was started 18 months ago. In addition, as you know, the purchase price of gas has risen strongly in 2007. This situation has led to a drop in profitability of our cogenerating plants, more particularly the ones at Gensabon and Sabondel. 2008 will again be difficult but less so than the previous year due to the limited size of the losses, so because of this TPF has decided to transfer Sabondel in 2008 and Gensabon in 2009. As for our third cogenerating plant, Numaco, this has already been transferred at the end of 2007.

On reading this, you will understand that despite a gloomy economic situation, TPF holds all the aces for tackling 2008 with confidence and optimism. Let us leaf through our projects schedule and stop at the engineering and consultancy section. The order books hold significant orders putting the spotlight on Belgium, France, Poland and India. In Portugal, despite a dismal economic situation, thanks to our export activities, the maintenance of our annual turnover is assured. A wonderful success is emerging for our subsidiary TPF Planege. A consultancy contract with a value of 27 MEUR, the largest ever signed by the group, has just been concluded in consortium with the Getsina (Spain) and Saeti (Algeria) engineering firms. It concerns Algeria and relates to the construction of a 170 km long high-speed railway line linking Oued – Tlelat with Tlemcen. Finally, in Romania, the recent changes carried out at management level have already borne fruit: a clear improvement in activity and convincing results could be seen at the end of the year.

We now turn to the turnkey sector, energy production and water treatment plant operation. These have continued their growth, but there is a slight damper on turnkey activities where caution is appropriate. Regarding energy, at the beginning of 2008 we witnessed a major event: the creation of TTR Energy. The purpose of this company is to realise investments in renewable energies. It has been made up in equal parts with the Transcor company, a subsidiary of CNP (Compagnie Nationale à Portefeuille), a listed investment company. The first assignment for this company is that of Investment Manager for the “Degroof Green Fund”, set up in cooperation with the Banque Degroof and whose objective is to take part in wind turbine and hydro-electricity projects, as well as electricity produced from biomass. The countries concerned are France, Spain, Portugal, the Grand Duchy of Luxembourg and Belgium. We cannot finish this introduction without discharging our duty. We would like to thank all the members of staff of the group for the work they have done. TPF’s success is also their success. They strengthen us in our will to forge ahead, because we know we can count on their professionalism, their entrepreneurial ability and their enthusiasm.

On O n an international level, TPF Engine En Engineering ee has strengthened its activities by winning new contracts racts for fo carrying out studies on large building complexes, in particular, in the Republic of Azerbaijan and in the United Arab Emirates.

Amongst the major projects currently being completed, we should especially mention:

LAW COURTS IN LIEGE (STATE BUILDING DEPARTMENT)

As part of the construction of the new Law Courts, the stability studies and supervision of the building work (on behalf of the EPJL temporary partnership) were actively carried out: thus building F, which overhangs the tracks of the Liège - Palais railway station, was completed at the end of 2007. This imposing architectural complex comprises six units spread out over two large blocks for a surface area of 40,000 m2. It will be adjacent to the Palais des Princes-Évêques and so will be standing next to the most prestigious historic edifice in the city.

MÉDIACITÉ - LIÈGE

It was in August 2007, on the former Longdoz site in Liège, that work started on this huge project, based around three sectors of activities in which shops, a cinema and leisure facilities would be grouped together. The end of 2007 saw the completion of three underground parking levels, with a total capacity of 2350 parking spaces. As for the external heavy construction work of the centre, this will be completed in March 2008, with the renovation of the former Longdoz shopping arcade starting in February 2008.

FINANCE TOWER - BRUSSELS

Benefiting from the expertise of its Structural ral & Tec Technical Utilities divisions, TPF Engineering took part, on behalf of the Financietoren NV, in the renovation work of the tower, which will soon be renamed the “Finance Tower”. With its huge surface area of 200,000 m2, this building is the largest office complex in the country. The work, started in 2006, will be completed in April 2008. During November 2007, the new transmission mast and relay erected for the Belgian radio and television companies, the Vlaamse Radio en Televisieomroep (VRT) and the Radio-Télévision Belge de la Communauté Française (RTBF), were opened. TPF Engineering also took part in the construction of a new office building located on the Rue Royale, called the Door Building. This new location provides 18,000m2 of offices spread over a ground floor and 10 upper storeys. Amongst others, it will be home for the new head office of the AFSCA, the Belgian federal organisation for food safety standards.

FERRARI “EXPERIENCE” ABU DHABI (UNITED ARAB EMIRATES)

The future Ferrari theme park will extend over more than 200,000 m2 on an island close to the city of Abu Dhabi. This grandiose project, which opens in 2009, will provide, in addition to 24 attractions linked to the Ferrari company, a driving school and several circuits. One of the attractive features of the complex will unquestionably be the Dubai Formula 1 circuit, the opening of which is scheduled for October 2009. Besix, a civil engineering company known throughout the world, awarded TPF the assignment of drawing up the foundation plans for the theme park. These were drawn up in partnership with our Indian subsidiary, S.N. Bhobe & Associates Ltd.

At the same time in 2007, TPF was awarded several important orders such as:

PALAIS DES CONGRÈS - BRUSSELS

As part of the renovation of this building, constructed for the 1958 World Fair, the CFE-Besix-Jacques Delens companies were awarded the heavy building work. TPF Engineering were appointed firstly to draw up the stability plans for the building called “Coudenberg”, comprising modular conference rooms and office spaces, and secondly, for the plans for the Donation Royale building, providing office and archiving areas. At the end of the renovation work, the Palais des Congrès will change its name to become the “Centre de Rencontre International de Belgique”.

GREATER NAMUR REGION SANITATION

As for civil engineering, a new contract has been concluded with the group of companies carrying out the Greater Namur Region sanitation, managed by Bageci. This project consists of the improvement and construction of thirty-five vortexes, two pumping stations, ten lifting stations, five storm drains, a grit chamber, a depressed sewer under the river Sambre and one hundred and eighteen deviation chambers. 2007 saw the start of the civil engineering design for three works on the Orjo, Wasseige and Pont de Jambes sites. These large-scale works, carried out for the national water management company, will be completed in three years.

DELHAIZE SA - BRUSSELS

TPF Engineering was awarded a two-year framework partnership contract by the Groupe Delhaize, the market leader in large-scale distribution in Belgium. This relates to the stability studies on new supermarkets and convenience stores, as well as carrying out audits relating to the stability of existing supermarkets and stores. As part of this, during 2007, 23 supermarkets and 4 City Delhaize were the subject of an audit.

BRUXELLES-PROPRETÉ

As part of the management of its various sites, the Agence Bruxelles-Propreté awarded several stability study assignments to TPF Engineering. They are mainly to do with surveys relating to the removal of oil tanks buried in four sites in Brussels. It is imperative that, for the whole duration of the work, the stability of the soils and the steadiness of the road surfaces are maintained. At the Vilvorde site, the banks along the river Senne and the administrative building of the Agence Bruxelles-Propreté will be the subject of stability studies linked to the entering and exiting of the agency’s trucks.

TECHNICAL UTILITIES DIVISION 2007 was marked by a sizeable growth in activity in the Grand Duchy of Luxembourg. It has been made tangible by the signing of five contracts relating to the construction of buildings with a total surface area of more than 126,000m2. The first four relate to office building projects: a framework partnership contract for the European Investment Bank and three projects called “West Side Village”, “Royal Monterey” and “Immo Foire”. The fifth, called “Cactus”, concerns the construction of an industrial and commercial complex.

RTL-TVI - BRUSSELS

2007 saw the opening of RTL House, home of the new offices and new studios for RTL-TVI, extending over a total surface area of 30,000 m2. With its radio and television studios, one of which has a capacity to hold an audience of more than 300, RTL House now provides equipment which is counted amongst the most modern in Europe.

WEST SIDE VILLAGE - MAMER (GRAND DUCHY OF LUXEMBOURG)

Here TPF Engineering carried out the technical utilities studies and supervision as part of the construction project of a high-tech office complex. This complex will spread over a constructed surface area to the order of 23,000 m2 and an underground surface area of around 30,000 m2. The integration of a cogenerating plant and an NH3 cooling plant is planned. The whole of the project should be completed during 2009.

MONTOYER 51 - BRUSSELS

Located at the corner of the Rue de Bourgogne and the Rue de Montoyer, in the heart of the administrative centre of Brussels, this office building built at the beginning of the 1980s has 3 levels underground (one level used for offices and two levels for car parking) and 8 floors of offices above ground, the whole complex totalling a surface area of 18,000 m2. This building required heavy renovation involving in particular the demolition of the balustrades and fitting a new façade, the reconstruction of the 7th floor, the construction of a new floor in the roof and finally the conversion of the entrance hall over two floors so as to create a lobby (extension of the patio on level -1 and replacement of the technical installations.

Forming part of the building redeployment of RTBF’s various sites to the French Community, this huge project is aimed at the restructuring, reconstruction and renovation of the existing properties. It has been awarded jointly to TPF Engineering and Archi 2000. All of the structural and technical utilities studies, as well as supervision of the work, have been awarded to TPF Engineering.

BELGOCONTROL (HOLD CANAC) - ZAVENTEM

Strengthened by the experience acquired through construction projects for the new control tower, the administration centre and the air traffic control training centre, TPF established itself in continuing its cooperation with Belgocontrol. In addition, the company concluded a new contract for all the technical studies carried out as part of the conversion of the former air traffic control room, as well as for various developments in the southern area of the airport.

ARTEVELDE HOUSING PROJECT - GAND

This residential project, made up of a ground floor and 5 upper storeys will house 91 apartments and will provide 87 parking spaces in the basement. The Granit Artevelde company has appointed TPF Engineering to carry out the structural and technical utilities studies.

BUILDING DIVISION The Building activity can boast a good year for 2007. It has mainly been concerned with projects in the agro-industry field in which this subsidiary has forged a specialisation that it has been able to sharpen over time. Whether carrying out industrial projects, certification audits or drawing up applications for environmental licences, each of these activities has allowed the company’s know-how to be emphasized.

FOREM - COMPETENCE AND TRAINING CENTRE IN THE AGRO-FOOD INDUSTRY Verviers

Working together with the Arcoteam company, TPF has run several projects: The architectural and technical utilities studies for the “Plant IV” construction project for the Guylian chocolate factory have also been successfully completed. 2007 saw the finalisation of the studies relating to the extension for the Molco-Unipro company, a manufacturer of raw materials for the baking industry. During this financial year, premises with a surface area of 2000 m2 were received on behalf of Forem in Verviers. These premises are to be used for training and teaching purposes in the agroindustrial sector.

Other projects are still in the process of being completed:

2007 saw studies continuing in architecture, interior development, process and technical utilities which were started in 2006 on behalf of the New Mecco Gosset company; they concern the construction of a new production unit for the biopolymers company,

Kitozyme, at Herstal. On the other hand, the construction of the refrigerated warehouse for pharmaceutical products for Fri-Pharma has been delayed following the need for additional studies to be carried out.

In 2007, TPF Engineering has continued its growth in the Grand Duchy of Luxembourg by obtaining new orders:

The Immo-Horizon SARL and Caterman SA companies, members of the Cactus group, have awarded us all studies relating to the construction of the new butchery plant and the cross-docking platform at Mamer-Koerich for Cactus, representing a surface area of 15,000 m2. These same companies have also awarded TPF the studies concerning the extension to the Caterman II ready-meal production unit and the construction of a new bakery-patisserie unit at the Windhof site for a total surface area of 9800 m2. We should also mention the consultancy and project management assignments devolved to our teams as part of the Caterman I and Caterman II projects. Also we should not forget the energy design studies at the Windhof site, relating to the next 15 years.

The infrastructure and structural studies for the new developments on the Charleroi airport site have been finalised on behalf of SOWAER R (the Wallonian airports company). As a reminder, these concern the construction of an aircraft standing area, taxiways and a new covered 4-level 90,000 m2 car park able to hold 5000 parking spaces. The new air terminal will have its official opening in January 2008. The studies to be carried out for the runway extension will start in 2008. Finally, at the same site, the infrastructure and structural studies, started in 2006, are continuing for the creation of a future oil storage depot. Amongst the main projects completed for the MET (Wallonian Ministry of Equipment and Transport) in the road infrastructure sector, we should mention the bypass studies for the towns of Tubize and Jodoigne, as well as the studies for the improvements for the Solvay and Zénobe Gramme boulevards in Liège. 2007 saw the completion of the purification studies for the water E (the intercommunal association and drainage networks for the AIDE for water purification and separation in the towns and villages of the Province of Liège). In the same market, the drainage networks were completely replaced for the SOWAER car park and for the grounds of the Grands Prés site in Mons, on behalf of the AIDE. TPF also put the final touches to an assignment for identifying disused industrial sites for the SPAQUE (the public aid authority

The buildings of the CIB (Belgian property company) at Tournai were the subject of a major conversion. It concerns the creation of office and archiving areas spread over some 18,954 m2. Repairs to the foundations with new facades and the renovation of a 90-space car park are also planned. The consultant engineer assignment has been awarded to the Bureau d’Etudes Hubert Louis. The American federal agency, the American Battle Monuments Commission, responsible for the maintenance of American monuments and cemeteries, has awarded the Bureau d’Etudes Hubert Louis the studies for the internal water networks and drainage systems of the American Neuville-en-Condroz military cemetery in Neupré.

ALGERIA

The execution of numerous contracts has been able to be finalised. Amongst them, we should mention the contract relating to the inspection, repair, sanding and painting of the exterior surfaces of the three LNG (liquid natural gas) storage tanks at the Arzew refinery site. As a reminder, this contract was concluded with the Sonatrach petroleum company, the second largest LNG exporter in the world. As part of the contract signed in partnership with NAFTEC, the Algerian national oil refining company, three automatic lines for filling barrels with 200 litres of fine mineral oil (filling capacity: 3 x 40 barrels per hour) were put into service at the Arzew site. A latest contract is currently being executed for NAFTAL (the national Algerian company for the distribution of petroleum products). This is a contract for the supply of insulated structures of a 125 km pipeline linking the towns of Skikda and Constantine. Amongst other things, the project comprises 1 LPG pumping station (2 x 200 m3 per hour, 85 bars, cryogenic), 2 LPG storage spheres (2 x 2000 m2, 19 bars), LPG networks and anti-fire water networks. The effective completion of the work is planned for the first quarter of 2008.

QATAR

An initial consultant engineering contract concluded in 2003 with the Qatar National Cement Company has come to an end. The contract related to the turnkey construction of a cement plant with a production capacity of 4000 tonnes per day of Portland cement clinkers (line 3).

Following on from this, TPF-Basse Sambre bre has signed a new contract with the Qatar National Cement Company this time relating to the turnkey construction of a cement plant with the production capacity of 5000 tonnes per day of Portland cement clinkers (line 4).

INDIA

A letter of intent was able to be signed for the construction of a glass-making sand processing plant. Negotiations are currently under way. Wanting to strengthen its position even more on the international stage, TPF-Basse Sambre is actively pursuing opportunities in the new markets, especially in China. Recent analysis carried out with a view to assessing the potential of the Chinese workshops relating to the manufacture of industrial equipment has opened up many major negotiations, still currently under way.

BELGIUM

At Virginal, as part of the modernisation of the incineration tools run by the IBW (the Intercommunal of Brabant Wallonia), the co-contractors have had provisional receipt of the new household waste incineration line. In the steel industry, the ArcelorMittal company has passed several orders to TPF-Basse Sambre relating to requests for assistance in the completion of its industrial development programme for the Industeel company. In addition, our subsidiary has been granted the construction of a continual flow water-cooling tower.

To our great satisfaction, we have been asked by the KenGen (Kenya Electricity Generating Company Ltd) to construct a farm of six wind turbines on the Ngong Hills plateau, near Nairobi. It is planned to be put into service in 2010. With an installed power of 5.1mWe, its future annual production is estimated at 14.4gWh.

The design study and selection of the main equipment for the construction of a biomass supplied cogenerating power plant, with an electrical power of 3.5 mWe and a thermic power of 6.5 mWth, has been completed. The construction of a pellet factory (50,000 tonnes per year), used as bio-combustible products for industrial and domestic

ARCELORMITTAL SITES

During the 2007 financial year, the steel giant, ArcelorMittal, once again showed its confidence in us by appointing us to carry out a series of operations in its various production centres.

CORUS (WATER PRODUCTION) - MYRIADE SITE IN LOUVROIE (FRANCE)

The current contract with the Corus group was renewed in 2007 for a period of three years. It concerns the delegated management of the cooling circuits and the process water production plants.

So at the Châtelineau site, TPF-Utilities was responsible for setting up a new control-command and supervision system of the watercooling circuits on the band rolling mill. At Châtelet, for the Décaperie de la Praye, an acid effluent neutralisation plant has been designed and put into service, whilst in Liège, TPF-Utilities looked into the cooling installations and the Flat Products unit. Repair and modernisation work, essential for maintaining the production tool and for water treatment, has been carried out there. Our teams carried out the putting into service of the installations.

TPF-Utilities has maintained its strong presence in the Belgian purification plants market by initiating various projects, in particular for the IBW (the Intercommunal for Brabant Wallonia), the INASEP (the Namur Intercommunal for Public Services), and IPALLE (the Western Hainaut Region Intercommunal for Public Sanitation). In Mornimont, studies for the purification plant (with a population equivalent capacity of 45,000) have been carried out in order to be able to proceed with the appointment of the operator during 2008.

In Rosières, the civil engineering works for the purification plant for the Lasne valley (with a population equivalent capacity of 145,000) have started. They will last over three years. The construction work for the purification plants in Ath, Chercq and Louvain-la-Neuve is coming to an end. Their provisional handover will take place in 2008. Finally, TPF-Utilities has carried out a number of studies for the installation of sections of around 20 km of wastewater collection pipes.

RENOVATION OF THE HOTEL LE BRISTOL - PARIS

Magnificently located on the Rue du Faub Faubourg aubourg Saint-Honoré S in the 8th arrondissement, this venerable erab institution institu i is one of the most famous Parisian palaces. With a huge ge capacity, an impressive number of suites (73), it has 161 rooms, meeting rooms, and a gourmet restaurant (two stars in the Michelin Guide). At the start of the year, Beterem ran a remarkable operation for its size, its short duration (12 weeks) and the quality of the work completed. This assignment included various operations throughout the whole building as well as the complete renovation of the gourmet kitchen. Beterem acted as both contractor for the building work and contractor for the technical batches. Other sizeable operations are still under way, such as a large 3,000 m2 extension (construction of a restaurant and 27 additional rooms, including 4 suites), improvements on a fire safety level and many other works (renovation of the cloakrooms, logistics access, panoramic lift, etc.).

EXTENSION TO THE HAUTE GARONNE DEPARTMENT ADMINISTRATIVE BUILDING - TOULOUSE

Completed only ten years ago, the Haute Garonne Department’s administrative building already has to be substantially modified as it is no longer able to absorb the growing needs caused by decentralisation. At the end of a high-flying competition, the panel’s choice fell on the project presented by the team in which Beterem plays a prominent role. It will be carrying out the engineering and synthesis of the structures and technical equipment. The project comprises the construction of a net surface area of 13,000 m2 of offices and a 9,000 m2 underground car park. As an urban site, the project is subject to strong constraints inherent to the layout of the grounds (the building is next to the Canal du Midi and the new metro station, etc.). SANOFI-SYNTHÉLABO - TOULOUSE

This research site is continuing to expand thanks to the con construction under way of 30,000 m2 of laboratories and combinatorial library projects, along with the construction of 30,000 m² of laboratories in the future. At the end of a two round consultation, Beterem was awarded the assignments for the strategic plan, contractor for production development and energy distribution over the whole site. The completed utilities will comprise two hot water boiler rooms, 18 mW and 24 mW, a 12t/h steam boiler, three 20 kV loops distributing more than 20 mVa, two emergency power plants, 6.5 mVa and 9mVa, and finally two 10 bar compressed air production units, each one 750 Nm3 per hour. The assignment also comprises the construction of technical tunnels, water channels, storm basins, as well as the CCTV installations, covering the perimeter of the site and all the communications infrastructures. The work is already under way and is on schedule to finish in 2011.

HIGH DEFINITION VIDEO TRANSMISSION STUDIO SAINT-CYPRIEN (PYRÉNÉES-ORIENTALES)

On the exceptional Grand Stade site (created by Michel Platini and Yannick Noah, now run by the local council) the Saint-Cyprien town council, in association with the Sud Roussillon regional council, has set up botanical gardens, a museum of modern art and a high definition (HD) video transmission studio. At the end of a high level European competition, the panel chose the project presented by the team within which Beterem will carry out all the construction engineering, the operational and steering coordination assignments, as well as IT coordination. NEW EXTENSION TO VILLAGE IV - PESSAC (BORDEAUX)

The aim of this project is the construction of 120 student flats (three-storey buildings) on the Pessac campus of the University of Bordeaux, the second stage of the general project for the renovation of “Village IV”. The construction work will be carried out during 2008. The site is located next to a motorway ring road, so the level of noise disturbance has been a predominant concern during the design stage, as well as the energy performance which will allow the project to obtain the high energy performance mark. Beterem is responsible for carrying out the whole technical assignment: heavy external construction work, metal structural work, various networks, heating, ventilation, sanitation, electricity and lifts.

SOCIAL HOUSING PROVENCE-ALPES-CÔTE D’AZUR REGION

For the Provence-Alpes-Côte d’Azur region, Beterem, a generalist and multi-disciplinary design office, is unquestionably one of the only companies of its size able to show solid experience in social housing, acquired through a large number of projects carried out over the last thirty years or more. 2007 has been particularly marked in this sector of activity both for the orders taken and for the carrying out of diverse studies such as those for the 450 new dwellings and 2400 renovated dwellings in Marseille, as well as 600 in Nice and 150 in Avignon. In France, this social housing sector is promising to expand well in the years to come.

Beterem is carrying out, in cooperation with the architects Jean-Paul ean-P n l Viguier and Atelier 9, the contractor assignment for the technic technical chnicall work, as well as all the transversal engineering (fire safety, acoustics, oustic , definition of the HQE targets – the French high quality environmental standard, etc.). This project covers a 192-room Hotel Ibis (5700 m2), a 127-room suite hotel (6700 m2), offices (6200 m2), shops (1200 m2) and a 400-space underground car park. This large building in white concrete, graced with an imposing paved patio, will be supplied with hot water by 450 m2 of solar panels incorporated into the guardrails of the roof terrace.

RENOVATION AND EXTENSION TO THE MUSÉE DES BEAUX-ARTS ET D’ARCHÉOLOGIE - VALENCE (DRÔME)

The current museum is located in a former Episcopal palace, right next to the cathedral. The museum renovation and extension project must allow not only the best way of presenting the collections but also to highlight the heritage character of the building and its surrounding area. It is more of a general problem of urban restructuring and promoting the historic centre. This project has a surface area of 4000 m2 and includes permanent exhibition rooms for the fine art and archaeology, a gazebo, temporary exhibition rooms, various reception and service rooms for the general public, logistical, administrative and technical areas as well as exterior areas renovated as part of the project, combining a main courtyard, gardens and terraces. At the end of a European competition which attracted over 70 candidates, the panel awarded the project to the Jean-Paul Philippon/Beterem team. Beterem will, in particular, be responsible for the structure (stability), liquids, the economy of the technical parts, as well as the coordination of the fire safety systems, as part of the overall assignment with the operational studies. Closed during the building work, the museum will be reopening in 2011.

CONSTRUCTION OF A CARDIO-RESPIRATORY REHABILITATION CENTRE - DIEULEFIT (DRÔME)

The Association Dieulefit-Santé manages several private health establishments which take part in the Dieulefit hospital national health service, in the Provencal area of the Drôme region. The aim of the project, which has just been completed, was to bring together onto the same site a group of activities which up until now were spread over three sites (cardiology centre, pneumology centre and medical centre). The new establishment comprises 100 beds as a hospital (distributed over four units, one of which specialises in paediatrics), 2 units for outpatient rehabilitation and external consultants as well as a technical platform for cardio-respiratory testing and a balneotherapy room. The project has a gross surface area of 11,400 m2. In cooperation with the architects firms Groupe 6 and AABD, Beterem carried out the concrete structure, access roads, liquids (electricity and medical liquids), kitchens and balneotherapy assignments as part of a general contract.

CONSTRUCTION OF THE ESPACE JEUNES - RENNES

The construction of this cultural building, located in the centre of Rennes, was one of the major projects of the town council’s cultural policy.

CONSTRUCTION OF A CARDIO-RESPIRATORY REHABILITATION CENTRE Dieulefi t (Drôme)

Located close to the metro, the building had to present a very transparent façade and house both relatively quiet activities (multimedia library and group meeting rooms), along with other deliberately noisy ones (amplified music concert hall, a springboard for student groups). Yves-Marie Maurer, Beterem’s cocontracting architect suggested constructing a double façade in glass, which really attracted the panel. Completing the project demanded detailed work from the protagonists as the technical installation of the façade and the desired architectural expression had to correspond to a perfect synergy. Finally, it was decided to place the main access staircase in the double façade and to design the concert hall on the “box within a box” principle so as to ensure it was soundproof despite the presence of glass everywhere in the main façade. An Experimental Technical Notice file had to be drawn up for the CSTB, the Belgian scientific centre for the construction industry, in order to obtain approval for fitting the glazed double façade. Beterem carried out the technical work, the synthesis, the economy, steering coordination and the IT coordination. The centre was opened in November 2007.

In order to accept a large number of visitors, 2700 parking spaces will be provided. The preliminary studies and the execution plans, for which the property developer Wilhelm & Co used the services of TPF Planege, are under way. The studies relate to, amongst other things, the earthworks, exterior construction work, foundations and various structures, technical utilities and water treatment. The work will be completed by 2010.

NEW PAEDIATRIC HOSPITAL - COIMBRA

TPF Planege was responsible for the supervision of the construction work of this new healthcare establishment. As a reminder, this paediatric unit is composed of two sections: a main building with 14 levels, 7 of which are underground, reserved for all the healthcare services, and a secondary building which will be used for catering, services and technical equipment as well as the thermal power plant. A heliport and two main entrances provide access to the hospital complex. The whole of the project is accompanied by a large amount of construction work and the implementation of technical utilities: hydraulic, mechanical and electrical installations and equipment, exterior construction work, water treatment plant, earthworks, foundations and structures, interior signage, fixed medical equipment, etc. The hospital will open in 2008.

PETROCHEMICAL COMPLEX REPSOL - SINES

2007 saw the completion of work aiming to increase the production capacities of ethylene (from 380 kt per year to 410 kt per year) within the steamcracker of the petrochemical complex at Sines. This work consisted of various operations such as carrying out maintenance work, the complete replacement of the thermal insulation (piping and equipment) carried out in sub-zero temperatures, fitting new installations, modification to existing installations (heat exchangers and reactors), and finally the prefabrication and fitting of some 300 new pipelines. As general contractor, TPF Planege, carried out the coordination between the various subcontractors, supervision of the construction work, schedule control, safety management and coordination, and quality control.

DOUBLING OF THE ANNABA - RAMDANE DJAMEL RAILWAY LINE (ALGERIA)

This year saw the works progressing on the modernisation of the installations on the Annaba – Ramdane Djamel railway line and the doubling of the track over 92 km. This work is part of the modernisation of the Annaba-Alger-Oran rail bypass project, which comprises a total 6 stations, 3 halts, 20 bridges, 3 tunnels with a total length of 6.2 km as well as 125 km of track and 89 switch points. This huge building site is requiring considerable excavation work and earthworks. The Algerian national railway company wanted to improve the capacity and safety of its railway lines and appointed us to carry out several assignments, including the control and approval of the execution plans, the supervision of the construction work, quality control, reception of equipment and finally planning and budget control. The work should be completed in 2010.

The new hospital complex will be made h up of, amongst other things, a paediatric emergency care unit, an emergency department, obstetrics department, an operating block comprising 8 rooms (including operating theatres and recovery rooms), an outpatient surgery unit and an anaesthetics unit. The consultation unit will bring together all the specialist healthcare departments: oncology, medical imaging, clinical pathology laboratory, pathological anatomy, haemodialysis, physical medicine, pharmacy, etc. The many engineering skills of our Portuguese subsidiary have contributed to this project: project management, works supervision, planning and budget control.

MARITIME TERMINAL JARDIM DO TABACO - LISBON

The project consists of the rehabilitation of a terminal for cruise liners. The first phase of the works concerns the extension of the existing quay by around 200 m and widening it by 45 m, which will allow larger capacity cruise liners to dock. The water and electricity supply services will be provided by the installation of supply terminals.

RENOVATION OF THE LUANDA RAILWAY (ANGOLA)

The work relates firstly to the main railway section linking the Baia station (at PK 36+100) to the Malanje station (at PK 423+050), and secondly to the secondary section linking the Zenza station (at PK 133+884) to the Dondo station (at PK 54+736). Essentially, this is the renovation of certain existing tracks and the construction of new single-track railway lines. The project involves a total length of 400 km, with the construction and renovation of hydraulic crossings, the construction of the Mucoso bridge, the renovation

CEMENT PRODUCTION UNIT (CACUACO - ANGOLA)

In Cacuaco, a town around twenty kilometres ilom metres from Luanda Luanda, L the Angolan capital, the construction of a new w cement nt plan plant contin continues, work which started in 2006. It will have a production roduction ion capacity of more than 5000 t per day of OPC (ordinary P Portland tl cement) or 5880 t per day of CPC (calcium phosphate cement). For the supply of the raw materials needed to produce cement, this cement plant can be supplied from calcium and clay quarries very close to the site. TPF Planege has been called on to draw up the operational plans for these quarries using several scenarios. Numerous parameters must be taken into account: preservation of the environment, drainage for the workings, the direction of the excavation, the thickness of the layer and the transportation of the raw materials to the production site. Drawing up the safety plan for the workings and its installations as well as drawing up the waste management plan form part of the assignment. Our Portuguese subsidiary has also been appointed to carry out studies relating to estimating production, analysis of the geological and geotechnical impacts of the workings, the service life of the workings (scheduled for 50 years), drawing up the fire plans and the calculations for the electrical, drinking water and purification networks, etc.

Given the success of the Bioenergetica Egabrense biomass unit (located in Cabra in the Cordoba region), which uses waste from the manufacture of olive oil to produce green electricity and heat on a large scale, Econoler Spain and TPF Planege have decided to repeat the operation: location studies for a biomass unit in the Brinches region in Portugal have reached an advanced stage of negotiation. This new unit will also be designed to use waste from the manufacture of olive oil. Still in Portugal, and in cooperation with our Portuguese subsidiary, feasibility studies have been started relating to a trigeneration project for the Dolce Vita shopping centre in Lisbon.

The food processing company Conesa has consulted Econoler to carry out a detailed study on the establishment of a cogenerating plant for the manufacture of powdered tomato at Villafranco del Guadiana, in the Badajoz region in southern Spain. At the current stage we are waiting for the company’s strategic investments plan. The use of a third party investor plan, initially envisaged, should replace financing on shareholders’ equity.

The cconsortium of TPF T Planege and E E&L Architects has continued construction works co-ordination and supervision, planning and cost control, quality assurance, safety co-ordination in the field of the construction of motorway A1, three lane 15.5 km long, section Sosnica-Belk, the contract awarded in 2006. By the end of December 2007 ten months elapsed from the Works Commencement Date, i.e. 21.02.2007 during which the Contractor mobilized his staff and equipment, carried out tree cutting, finished Motorway sub-grade reinforcement with the application of such methods as: jet grouting, aggregate columns, aggregate geomattresses. Due to poor ground conditions the designed scope of sub-grade reinforcement was increased. In 2007 bridge works were also progressing. Particular attention should be paid to bridge WA 470 which is 850 m long and is located over the Moczury pond, Dworcowa street and a railway station in Knurow town.

Aided by a galloping spend on infrastructure by the Central and State Governments, Urban Local bodies and with the thrust area being developing sustainable urban environments, SNBAPL has made the best of its core competence to increase its revenues, personnel and broadbase its activities in sectors where it was not hitherto present. In addition, SNBAPL has moved to a new state of the art office and is now fully equipped to face the challenges of the future. First of its kind in India, 100 m. span constructed in steel and with a slab in concrete. Constructed for 4 lanes of 2 way traffic with footpaths on either side, the majestic structure constructed over a major river just off the first expressway in India (Mumbai – Pune expressway) with the main span designed to be a signature structure. The approach viaduct is in small spans of RCC solid slabs which are specially designed as sleek slender slabs to match the nature of the signature structure. SNBAPL has rendered design and project management consultancy services. The bridge is now nearing completion.

FLYOVERS AND UNDERPASSES IN BANGALORE

Due to the tremendous increase in traffic, the need for fast traffic dispersal has led to the construction of flyovers and underpasses in the South Indian city of Bangalore – the silicon valley of India. SNBAPL has completed proof checking and project management consultancy for one underpass and one flyover and has several others on hand.

SEWAGE TREATMENT PLANTS

SNBAPL has successfully completed the 3 sewage treatment plants in the city of New Mumbai – 2 plants of 100 million liters per day and one plant of 80 million liters per day. These plants are based on the state of the art C-Tech process from Austria and SNBAPL has been involved with the projects since feasibility and have provided services upto the completion stage. SNBAPL still continues to be involved with the projects as consultants for the operation and maintenance phase for the next 3 years.

The TPF Group has also continued its activity as an energy producer in Belgium and abroad. In Belgium, the Socageth company operates the urban heating network for the town of Charleroi. The installed power is 48 mW. The sales in heat in 2007 rose to 1,302,000 EUR. The French company ESO runs a dispatchable electric power plant, located in the Landes region, with a power of 6620 kW. At the end of the financial year which ended on 31 October, the sales in electricity rose to 539,000 EUR. On the Iberian Peninsula, TPF is a shareholder in four companies operating cogeneration and biomass power plants:

For MESOGEN the installed power is 1000 kW for an annual turnover of 396,000 EUR (industrial customer: Madeiras Beceira, timber manufacturer). The installed power at SABONDEL is 4120 kW for an annual turnover of 969,000 EUR (industrial customer: Inosa, manufacturing expanded polystyrene). For GENSABON, the installed power is 14600 kW for an annual turnover of 3,274,000 EUR (industrial customer: Leyma, a dairy company). Finally, BIOENERGETICA EGABRENSE operates an installed power of 8 mW in cogeneration and 13 mW in biomass for an annual turnover of 9,576,000 EUR.

We should now mention our public-private partnership with the companies Ide Immo and Triage-Lavoir du Centre : IDE IMMO was created in 2004 by the IDEA (the association for the economic development of the Centre and Borinage regions) and TPF. The purpose of this company is to study and carry out urban redevelopment projects in the area covered by the IDEA. For this, IDE IMMO is currently studying the development of the housing zone located on the Grands Prés site in Mons and has chosen the Moulin Dambot district in La Louvière for redevelopment.

In May 2003, the company named Triage-Lavoir du Centre was created on the initiative of five shareholders: the IPW (the institute for Wallonian heritage), Immocita (a subsidiary of the SRIW – the Wallonia regional investment company), SPAQUE (the public aid authority for the quality of the environment), IDEAS (the association for the economic development of the Centre and Borinage regions) and TPF. The social objective relates to the renovation of the former coal sorting and washing centre in Péronnes. Covering a surface area of 19,000 m2, left abandoned for almost 35 years, and by 2000 it was unfortunately doomed to be demolished. Luckily it was decided to renovate it. The repairs to the concrete on the facades was a long drawn out job, but the installation of a new framework has been completed and we are currently deep cleaning the interior of the wash house before starting on the repairs to the roof. Thanks to these sustained efforts, this building, unique in its type and a wonderful example of Wallonia’s mining history, will have a spectacular renaissance in 2010.
