About Angel Investment

Angel investors Angel investors are wealthy individuals who invest in early stage ventures by reserving a portion of their total investment portfolios to provide emerging companies with seed and startup capital through direct, private investments. In the UK, Business Angels are recognised as the most significant source of finance to help start-up and early stage businesses, with nearly ÂŁ1 billion invested annually. Although investing carries risks, the Enterprise Investment Scheme and the Seed Enterprise Investment Scheme can provide tax relief to significantly offset some of these, making investing in early stage companies more attractive. Angel Networks often invest alongside other investors such as the Angel Co-Fund, early stage Venture Capital Funds or other angels.

Angel investment groups The Nottingham Angel Network will not undertake Financial Services Authority regulated activities and will be run on a non-regulated basis. It will provide appropriate information to certified members, and organise and facilitate meetings where selected companies pitch for investment. Members may undertake due diligence and deal negotiation

often on a collaborative or collective basis to reach a conclusion that is acceptable to the company and the investors. Nottingham Angels Network will not provide any investment advice to its members or become involved in the deal process.

FSAÂ Regulations Each Member of the Nottingham Angels Network should be either a Certified Sophisticated Investor or a Certified High Net Worth Individual for the purposes of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005. The Network provides a forum for information to be exchanged between early-stage companies seeking funding, and potential angel investors. The University of Nottingham does not and cannot advise on the merits or risks of any given investment opportunity, nor is it authorised to arrange transactions or circulate offering documents under the Financial Services and Markets Act (FSMA) 2000. Therefore, before investing, potential investors are strongly advised to take advice from a person authorised under the FSMA who specialises in advising on investments of this kind.

Nottingham Angels Network The Vision

The University of Nottingham has an outstanding track record in teaching and research and a strong portfolio of patented technologies, license deals and spin-out companies. Our contribution to world changing innovation dates back to the invention of MRI by Sir Peter Mansfield in the late 1980s, for which he was awarded the Nobel prize for Medicine in 2005. The MRI technology created at the University has accrued revenues of over £150 million. The University of Nottingham’s success in enterprise and innovation has also been recognised through the Queen’s Award for Enterprise, both in 2006

Nottingham Angels Network How it Works

(International Trade) and 2007 (Innovation – School of Pharmacy) and it was the first recipient of the Times Higher Education ‘Entrepreneurial University of the Year’ award in 2008. We are now inviting alumni and friends of the University with an interest in investment, to become part of our Nottingham Angels Network, and support some of the exciting technologies being developed here. In addition, we would also welcome members who want to be more closely involved with the businesses, either by taking board seats or leveraging their network of contacts to assist at an operational level.

The Nottingham Angels network aims to connect potential investors and mentors to entrepreneurs who are seeking assistance to exploit their innovations and develop and grow their businesses.

From the Vice Chancellor

Structure Membership Membership of the Nottingham Angels Network is by invitation only and could be expanded as the initiative matures, to encompass both investment professionals and private investors. Investments It is proposed that investments are made into individual companies to give each investor maximum flexibility. Investments will be structured to take maximum advantage of tax relief where possible, and will typically range from £50k to £500k and take the form of equity investments. Investment Decisions Each member will take their own individual investment decisions. The Network will share investment opportunities so that all members have the option to invest in any given company. The Nottingham Angels Network management will provide administrative support through the circulation of business plans, on behalf of companies seeking investment and facilitate regular investment meetings at which spin-out businesses can present their offer.
