PRE EVENT- USC BLACK ALIGNMENT IN EDUCATION The USC Black Faculty who will share their research as well as experiences in the classroom setting. This panel will be moderated by a peer researcher. The Electronic Entertainment Expo, commonly known as E3, is an annual trade show for the video game entertainment industry. The show is presented by the Entertainment Software Association (ESA). It is commonly used by game publishers and hardware manufacturers to introduce and advertise upcoming games and game-related merchandise. It has been adopted by media and consumers as the central showcase and pace-setting event for the industry 's year. We have a unique opportunity to produce an event that will be promoted to attendees (70,000) and streamed to thousands who cannot attend the show from around the world.

The Goal: The Industry can do more than Give Back. It can jumpstart the lives of high school age students with a gift for music and the desire to get started in life's career path. The Industry can help. The Industry can encourage and excite them and give them a head start. The goal of The High School Digital Media Company is, through learning tools, tutorials, and discussion - online and in person - educate, inspire, open doors and welcome a new generation of talent into the industry. The Strategy: The High School Digital Media Company will bring the expertise of Digital Media Industry executives and artists as a mentoring support system to high school students in setting up an actual “Record Company” with Artist Development, Recording Studio, Marketing and Promotion and Performance of Music. This project is intended to unleash the tremendous talent and energy of high school students and give it a head start through the genius, knowledge, strategy and guidance of top executives and artists in the digital media industry. The immediate goal is to bring focus, education, excitement, and joy to students, both unleashing their energy and talent, bringing media focus on them as individuals as well as to their communities. Most of what needs to be done can be accomplished online - from the recording of music to “learning and tutorial” communication - through live meetings, one-onones, lectures and livestreaming sessions.

SOCIAL MEDIA WEEK LA-LAUNCH TO SUMMER INTERNSHIP JUNE 5TH-9TH, 2017 https://socialmediaweek.org/losangeles/ Social Media Week LA (SMWLA) is an immersive 3-day series, whereby the topics vary from Digital Citizenship to discussions about growing up without means, and the impact making a commitment to catalyze social change through youth advocacy and changing the narrative. The pillars of SMWLA, are education retention, digital creative design, and media production. Dakar, in concert with multiple SOCAL school districts is moving to establish a Digital Media cohorts to actively address the myth of the talent gap that afflict the aspirations of many of the disenfranchised youth around SOCAL industries such Digital Media, Aerospace and the emerging the Silicon Beach Movement. http://ict.usc.edu/ SMWLA will feature student productions in front of and behind cameras and within the technology design of all things media related. The vision and need is to refine our approach and push more of the programs in to elementary school as possible. However, funding for these programs are from sparse coffers and generosity of time. KEY ASSUMPTIONS This agreement is based on the following assumptions that approval will be complete by March 24th ACCEPTANCE CONTRACTOR: Specific duties shall include: 1. Work with the ODMEO to conduct a 360-degree review/program assessment of social, digital, transmedia delivery to target student population. A written report, in a form and in detail satisfactory to ODMEO that includes strategies, measurable goals and recommendations for sustained support of social media metrics, such as likes and followers on target social channel. 2. Analytics will be delivered at the completion of the review. The report will also include recommendations for: (a) program and support activities for targeted student population. (b) curating all data and content that will be shard with ODMEO (c) partnerships and collaborations (d) recruitment and lead generation for ODMEO partners, such as Military and Civilian recruitment. 3. Student Success and Completion – At the direction and pleasure of ODMEO, but not less than monthly engage ODMEO staff to review measurables and milestones. 4. Disclaimers: ODMEO will not be liable for the following expenses and costs, it being agreed that CONTRACTOR shall pay for all those items listed below: Federal, State, or Local Taxes; Agents’ commissions or other expenses or obligations; Damages to CONTRACTOR’S equipment or materials; Compensation for any lost or stolen equipment or materials whatsoever; Workers compensation or other insurance; and Any expenses not approved in advance and in writing by ODMEO CONTRACTOR agrees to indemnify and hold ODMEO harmless from all such costs and liabilities, arising out of the services performed under this Agreement, and understands and agrees that ODMEO will not provide any insurance or other coverage for CONTRACTOR.

5. Modification: Neither party may modify this agreement without the prior written consent of the other party. 6. CONTRACTOR”S work under this agreement including, but not limited to “Scope of Work,” is a “work made for hire” for purposes of the copyright laws of the United States and any foreign countries, and ownership of the work and title to any subject copyright shall vest with ODMEO. 7. Notices: Any notice required under this Agreement shall be in writing and may either be given by personal delivery or sent by regular mail addressed to the following: Notice shall be deemed to be received upon presentment to the other party or upon three (3) days after mailing, if mailed postage prepaid by regular mail at the address set forth above for the respective party or at such changed address as may be subsequently submitted by written notice of either party. 8. Conflict of Interest: CONTRACTOR assures that to the best of CONTRACTOR’S knowledge there exists no conflict of interest and every interest and effort will be made to avoid the appearance of conflict of interest between CONRACTOR, CONTACTOR’S family, business, or financial interest and the services provided under this Agreement. Should this situation change during the time of this Agreement, the CONTRACTOR will advise ODMEO of such change. 9. Choice of Law and Venue: The laws of the state of California shall be used to govern and construe the terms of this Agreement and venue for all actions and proceedings shall be in Los Angeles, County, Canoga Park, Ca. 10. Integration: This document represents the entire agreement between ODMEO and CONTRACTOR. 11. Execution: This Agreement must be executed by CONTRACTOR and ODMEO as a condition of CONTRACOTR receiving any payment arising out of this Agreement. 12. Confidentiality: CONTRACTOR shall maintain in confidence all Confidential Information disclosed to it by ODMEO. Confidential information means the terms of the Agreement and programmatic, educational, business, technical, marketing, financial, employee, planning, and other confidential or proprietary information. CONTRACTOR will be allowed to disclose Confidential Information of ODMEO to the extent that such disclosure is (i) approved in

writing by ODMEO, (ii) necessary for the CONTRACTOR to enforce its rights under this Agreement, or (iii) required by law or by the order of a court or similar judicial or administrative body, provided that the CONTRACTOR notifies ODMEO of such required disclosure promptly and in writing and cooperates with ODMEO, at ODMEO's request and expense, in any lawful action to contest or limit the scope of such required disclosure. Payment: ODMEO shall pay the CONTRACTOR based on a detailed statement of activity, submitted monthly and payable at a rate of $200 per hour and not to exceed $15,000 during the term of this Agreement. Expenses, including travel, will be reimbursed after agreement and approval by ODMEO and in accordance with ODMEO policy. Term: The term of this Agreement is from April 15th 2017 through July 15th 2017 unless sooner terminated as provided for herein. It is the agreement and understanding of both parties that the written report as described within this Scope of Work will be completed to ODMEO's satisfaction and submitted to ODMMEO not later than April 24th, 2017 or earlier.
