WESCO Rewards Program 2016, featuring Eaton Featuring Eaton Power Quality, Lighting, Crouse-Hinds Program Terms & Conditions Rewards Program runs from July 1 to December 31, 2016 BY REGISTERING FOR THIS REWARDS PROGRAM, YOU FULLY AND UNCONDITIONALLY AGREE TO COMPLY WITH ALL OF THE TERMS AND CONDITIONS CONTAINED HEREIN (“PROGRAM TERMS AND CONDITIONS”). The WESCO Rewards Program 2016 (“Program”), featuring Eaton, is offered at the sole discretion of WESCO Distribution - Canada, LP (“WESCO”). Register with this Program and your company could be awarded points based on incremental purchases as compared to your spending last year during the same period. These points can be redeemed for various rewards as offered at the sole discretion of WESCO. How to Join the Program Only approved and registered companies (“Participants”) are eligible to participate in the Program. Contact your WESCO branch account manager or visit www.wesco.ca/winwith to apply and register for the Program. Individuals within the Participant can be named the “Authorized Representative” for the Participant. The Authorized Representative represents and warrants that they are duly authorized to sign and register the company as a Participant. Once a Participant is approved, the Authorized Representative will be given access to a points account with their spending, points level achieved, points awarded, and information about converting points into rewards on behalf of the Participant. At all times the points belong to the Participant and not to the Authorized Representative. Participants shall immediately notify WESCO in writing of any change that may affect their eligibility to participate in the Program, including but not limited to a change of Authorized Representative or bankruptcy of the company. The Program begins on July 1, 2016 at 00:00 EDT, and ends on December 31, 2016 at 23:59 EST (the “Program Period”). After the Program Period, Participant’s registration information can be carried into another rewards program at the request of the Participant. Any opportunities for obtaining additional points during the Program Period will be posted on WESCO’s website, including information about qualifying dates, eligible groups and rules. Each opportunity will be governed according to its own rules and conditions.

No purchase necessary to join the Program, although purchases are necessary to obtain points. This is not a contest. Any Participant can obtain points if they purchase enough qualifying products to achieve at least one reward level as set out below. Employees of WESCO and their immediate family members (including spouse, parents, children, siblings, and their respective spouses) are not eligible to join the Program. Eligible Purchases Points are awarded based on incremental purchases and reward levels, based on qualifying Eaton brand products purchased during the Program Period. Qualifying products are select invoiced shelf good electrical products. Qualifying products included must be Eaton brand power quality, lighting and Crouse-Hinds shelf good products. Qualifying products depend on availability and on the province where the order is placed. Contact your WESCO branch account manager for more information about which products qualify. Only net purchases from a WESCO warehouse are eligible towards achievement of reward levels in the Program. Direct ship products/purchases do not qualify for the Program. Any and all returned products and/or credits will be deducted from Participant’s total purchase for purposes of determining rewards level status. All eligible purchases are determined before sales tax. WESCO reserves the right to audit and/or spot check submitted Program purchases. Any false or misleading information will result in immediate disqualification of participation in the Program. Purchases will only be eligible for use in the Program as of the date on which the Participant’s registration is approved by WESCO. Purchases prior to becoming a Participant do not qualify for the Program. Reward Levels Rewards are based on incremental purchases of qualifying products during the Program Period. Incremental purchases will be calculated from the previous year's purchases during the same time period. Level 4 is the highest level, representing a $60,000 or greater increase in sales over the same time period in the previous year. The following is an example of how the reward levels will be calculated: Purchases from July 1, 2015 to December 31, 2015 = $15,000 Purchases from July 1, 2016 to December 31, 2016 = $22,000 Incremental Growth = $22,000 - $15,000 = $7,000 Reward Level Achieved = Level 1 (being between $5,000 and $9,999 in incremental purchases) There are four reward levels based on incremental purchases: Level 1: $5,000 Level 2: $10,000 Level 3: $25,000 Level 4: $60,000

For Participants that reach or exceed a reward level, a corresponding point balance for that reward level will be added into the Participant’s points account. The Participant can then select a reward(s) using the point balance remaining in their points account. The reward(s) is(are) given to the Participant and not to the Authorized Representative or an individual employed by the Participant. WESCO reserves the right to exclude large negotiated projects from eligibility under this Program. Rewards and Redemption Each reward can be redeemed for a certain number of points. Examples of rewards that can be redeemed at each reward level are available in the points account, or if you contact your WESCO branch account manager. Rewards can be redeemed only at the end of the Program Period when final results are calculated. Final results will be communicated as soon as possible after the Program Period ends, but no later than February 15, 2017. Participant must redeem points within 45 days of WESCO sending the final results email, after which time the points will expire. Points and rewards will not be carried over from this Program to any future program, campaign or the like. Once a reward submission is made through the online points account, it cannot be altered or exchanged. There will be no cash substitutions, and points have no cash value. Any reward level discrepancies or questions must be submitted within 15 business days after the final point results email is sent. WESCO is not responsible for delayed rewards. All rewards follow the manufacturers’ warranties. Should a reward be damaged and/or defective within 48 hours of receiving the reward, the Participant is to contact WESCO Customer Service for a direct replacement of the reward. The damaged/defective reward must be returned to the manufacturer with all original packaging, packing slips and accessories. The shipping costs of the damaged/defective item will be covered by WESCO Customer Service. Should a warranty issue arise after 48 hours of receiving the reward; members can contact Customer Service for further assistance to arrange for warranty claims. WESCO makes no warranties regarding the safety, condition, or fitness of the rewards, and will not be responsible for any loss, damage or injury suffered by a winner through the acceptance or use of the rewards. Rewards and eligibility of rewards may be changed at any time by WESCO without prior notice. WESCO reserves the right to substitute a reward of equivalent value. Privacy We respect the privacy of each individual with whom we come into contact, either as a visitor to its website or as an Authorized Representative. Please see WESCO’s privacy policy, as amended from time to time, located online at: www.wesco.ca/privacy_statement.pdf By providing contact information, Participants and Authorized Representatives consent to receive administrative communications from WESCO for the purposes of managing and administering the Contest, rewards, and as otherwise be related to or necessary for the Program. The Program uses automated email tools for items such as monthly account statement updates and redemption requests. General By joining the Program, Participants agree to abide by the Program Terms and Conditions and the decisions of WESCO which are final. WESCO reserves the right to restrict, suspend, discontinue, terminate, or cancel this Program at any time without written notice, for any reason whatsoever. WESCO reserves the right to cancel a Participant’s participation in the Program for reasons that include, but are not limited to: (1) violation of these Program Terms and Conditions; (2) misrepresentation of any information or misuse of this Program; (3) violation of any national, provincial or local law or regulation in connection with the use of this Program; (4) commission of fraud or abuse involving any portion of this Program; (5) action, in any way, to the detriment of the Program, WESCO, or any of its affiliates; or (6) if the account is not in good standing for serious reasons such as orders that have not been paid for, all as may be determined by WESCO in its sole discretion. After a Participant’s participation is cancelled no points can be redeemed. WESCO reserves the right to change, limit, modify or cancel Program Terms and Conditions, conditions of participation, rewards and reward levels in whole or in part at any time. Participant will be bound by any such changes. Changes to Program Terms and Conditions will be shown on the website www.winwith.wesco.ca and will be effective immediately unless stated otherwise. A notice that a change has been made will be placed on the website for a reasonable period of time. Any changes to any printed version of the Program Terms and Conditions will be contained in the next reprinting of that printed version. Neither the Program nor any benefit offered by the Program creates, constitutes or gives rise to any legal or contractual rights by Participants against WESCO.

All Participants and Authorized Representatives are responsible for compliance with any and all laws, rules, regulations, contractual limitations, and employer’s policies regarding eligibility to participate in rewards programs. If an Authorized Representative is participating in violation of their employer’s policies, the Authorized Representative and the Participant may be disqualified from this Program and/or from receiving rewards. WESCO disclaims any and all liability or responsibility for disputes arising between an Authorized Representative and the Participant related to the Program. WESCO is not liable for loss of misdirected correspondence, requests, or Program results that may be incomplete, illegal, delayed, lost or stolen for any reason whatsoever including telephone, satellite, cable, network or other equipment, electronics, software, service, transmission, connection, processing or other errors, failures, congestion, accessibility or availability issues or for other technical or human error in the receipt or processing of entries, whether online, by telephone or by mail. Program violations, fraud or abuse in relation to Program rewards or usage may be subject to appropriate administration and/or legal action by appropriate governmental authorities and by WESCO. Rewards from this program may be subject to taxes and the Participant agrees and understands they are solely liable for any and all applicable taxes. Declaration to Canada Revenue Agency is the sole responsibility of the Participant. Rewards from this Program are awarded to the Participant and not the Authorized Representative. Participants should contact Canada Revenue Agency or their accountant for more details. By participating in this Program, Participants and Authorized Representatives agree to release and hold harmless each of WESCO, rewards suppliers/merchants, other WESCO authorized representatives, their respective subsidiaries, divisions, related companies, and all of their respective officers, directors, employees, representatives, contractors and agents, from and against, any and all alleged and actual claims and causes of actions whatsoever Participant may have, or which may arise, against any of them for any loss and liability for any matter, cause or thing whatsoever, including but not limited to any personal injury, bodily injury (including but not limited to wrongful death), property damage, or loss or damage of any other kind, whether direct, compensatory, incidental or consequential, arising in whole or in part, directly or indirectly, from Participant’s participation in the Program, Program related activities, use or enjoyment of the reward, and/or any loss, destruction, delay, interruption, modification or cancellation of all or any element of the Program for any reason, including without limitation strikes, boycotts, wars, acts of God, labour troubles, riots, delays of commercial carriers, restraints of public authority or for any other reason, similar or dissimilar, beyond the reasonable control of WESCO. This Program and any action related thereto shall be governed, controlled, interpreted and defined by and under the laws of the Province of Ontario, Canada, without regard to the conflicts of law’s provisions thereof. Any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in the Program, but in no event attorneys’ fees. PARTICIPANTS HEREBY WAIVE ALL RIGHTS TO (I) CLAIM OR BE AWARDED ANY PUNITIVE, DIRECT, INDIRECT, INCIDENTAL, AND CONSEQUENTIAL DAMAGES AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES, AND (II) TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED. Unless there are different or additional terms and conditions contained in a master agreement that modify WESCO’s standard terms, Participant agrees that all eligible purchases shall be governed by WESCO’s terms and conditions of sale, at the time of purchase, found online at http://www.wesco.com/canada_terms_and_conditions_of_sale_english.pdf. This Program or participation in the Program is not valid and/or the granting of rewards is void where prohibited or restricted by law. For Residents of Quebec In the event of any discrepancy or inconsistency between the English language version and the French language version of the Program Terms & Conditions, as applicable, the English version shall prevail, govern, and control.
