THE SCORTON SHORES ASSOCIATION, INC.

Article 1 (Name):

1. The name of the organization shall be The Scorton Shores Association, Inc. (the Association).

2. The Association may, at its pleasure, by a majority of its membership, change its name.

Article 2 (Purposes):

As stated in the Articles of Organization and approved by the Commonwealth of Massachusetts, the primary purpose of the Association is "The preservation, improvement and general upkeep of the area generally known as Scorton Shores, in the Town of Sandwich, Massachusetts." Other purposes are also defined in the Articles of Organization.

Article 3 (Membership):

All property owners in the general area known as Scorton Shores shall be eligible for membership in the Association. This includes all properties along Hammond Road from Route 6A to Cape Cod Bay and all intersecting streets, Captain Teach Road, Captain Towne Road, Captain Kidd Road, Captain Morgan Road, Captain Greaves Road, Captain Hook Road, Captain Crocker Road, Captain Cole Road, Captain Wing Road and Captain Paine Road. The Riverview School, Located on Route 6A, and abutting Hammond Road shall also be eligible for membership. A member of the Association is defined as an eligible member who is current in all financial obligations (maintenance fees, special assessments, etc.) to the Association.

Article 4 (Meetings):

The annual membership meeting of this Association shall be between June 1 and June 30 as fixed annually by the Board of Directors.

The Secretary shall cause to be mailed to every member at his /her address as it appears in the membership roll of this Association, a notice telling the time and place of such annual meeting. In addition, notice shall be posted in a minimum of two locations within the boundaries of the Association.

The presence of the membership representing not less than twenty-five percent (25%) of the properties of the Scorton Shores shall constitute a quorum and shall be necessary

to conduct business of this Association, but a lesser number may adjourn the meeting by majority vote of those attending the meeting, for a period of not more than one week from the date scheduled by the By-Laws. The Secretary shall cause a notice of this scheduled meeting to be sent to all those members who were not present at the meeting originally called. A quorum as hereinbefore shall be required at any adjourned meeting.

The President may call special meetings of this Association when he /she deems it for the best interest of the Association. Notices of such special meetings shall be mailed to all members at their addresses as they appear in the membership roll at least fourteen (14) days before the scheduled date for such special meeting. Such notice shall state the reasons that such a meeting has been called, the business to be transacted at such special meeting and by whom called. Notices of all special meetings shall be posted in at least two locations with the boundaries of the Association.

At the request of four (4) members of the Board of Directors or ten (10) members of the Association the President shall cause a special meeting to be called, but such a request must be made in writing at least fourteen (14) days before the requested schedule date. No other business but that specified in the notice may be transacted at such special meeting without the unanimous consent of all present at such meeting.

Regular meetings of the Board of Directors shall be held as a minimum in the Fall and Spring of each year. Additional meetings may be scheduled as needed by the President of the Association or by request of at least four (4) members of the Board. Committee Chairs may call meetings of the committees, as they deem appropriate. The President and Secretary shall be provided a minimum of fourteen (14) days’ notice of such meetings. All Association meetings shall adhere to the "Open Meeting” laws of the Commonwealth of Massachusetts.

Article 5 (Voting):

At all general meetings, except for the election of officers and directors, shall be via a voice vote or if determined necessary by the presiding officer by a show of voting cards. For election of officers and directors, ballots shall be provided and there shall not appear any place on such ballot any mark or marking that might tend to indicate the person who cast such a ballot. There shall be one vote per property. Members only have voting privileges.

At any regular or special meeting, if a majority so requires, any questions may be voted upon in the manner and style provided for the election of officers and directors. On all votes by ballot, the Chair of such meeting shall immediately, prior to the commencement of balloting, appoint a committee of three members who shall act as Inspectors of the Election and who shall at the conclusion of such balloting, certify

in writing to the Chair, the results and the certified copy shall be physically affixed to the minutes of the meeting.

No Inspector of Election shall be a candidate for office or shall be personally interested in the question voted upon.

Article 6 (Order of Business - General Meetings):

Article 7 (Board Of Directors):

A Board of Directors consisting of a minimum of ten (10) members plus the officers of this Association shall manage the business of this Association. All directors shall be a resident or property owner of Scorton Shores and a member of the Association.

The directors to be chosen for the ensuing year shall be chosen at the annual meeting of this Association in the same manner and style as the officers of this Association and they shall serve a term of one year.

The Board of Directors shall have the control and management of the affairs and business of this Association. Such Board of Directors shall only act in the name of the Association when it shall be regularly convened by its chair after due notice to all directors at such meeting.

Nine members of the Board of Directors shall constitute a quorum and the meetings of the Board of Directors shall be held as specified in Article 4. Each Director shall have one vote and proxy may not do such voting.

The Board of Directors may make such rules and regulations covering its meetings as it may in its discretion determine necessary.

The President of the Association by virtue of his/her office shall be the chair of the Board of Directors.

A director may be removed when sufficient cause exists for such removal. Absence from three consecutive Board meetings shall be deemed as sufficient cause for removal. The Board of Directors may entertain charges against any director. Counsel upon any removal hearing may represent a director. The Board of Directors shall adopt such rules, as it may in its discretion consider necessary for the best interests of the Association, for this hearing,

Article 8 (Officers):

The executive officers of the Association shall consist of a President, first Vice- President, second Vice-President, Secretary (who shall be clerk), and a Treasurer.

Each officer shall, subject to these by-laws, have additional duties and powers, as the Board of Directors shall from time to time designate. Each officer, director, chairman and member of a committee shall be a member of the Association and shall hold office only so long as he or she remains in good standing within the terms of the office defined.

All retiring Presidents shall become members of the Board of Directors, Ex-Officio, with the right to vote thereon, upon completion of their term of office, for the term of the succeeding President.

In case of a temporary absence or disability of the Treasurer or Secretary the Board of Directors shall appoint a member of the Association to perform the duties of such office during such temporary absence or disability. In case of vacancy in any office or on the Board of Directors, the Board of Directors shall elect a member of the Association to perform duties incident to the office, and the vacancy shall be filled by a vote of the membership at the next annual meeting or at a special meeting duly called for such purpose.

Any officer or director may be removed from office by a majority vote of all members of the Association in a meeting of which such notice of the proposed action is duly given.

No officer or director shall for reason of his/her office be entitled to receive any salary or compensation, but nothing herein shall be construed to prevent an officer or director from receiving any compensation from the Association for duties other than as a director or officer.

Article

8A (President and Vice-Presidents):

The President shall be the chief executive officer of the corporation. He/she shall preside at all meetings of the corporation and at all meetings of the Board of Directors.

The President shall be a member, Ex -Officio, of all standing committees with the right to vote therein.

In the absence, disability or at the discretion of the President, the first Vice -President shall assume all the powers and duties of the President, appoint committees in the manner herein provided, and he/she shall perform all other acts which he/she may be authorized to so do by the Board of Directors. In the absence or disability of the first Vice-President, the second Vice-President shall assume all the duties and responsibilities assigned to the first VicePresident.

The President shall appoint as hereinafter provided in Article Ten, all Standing Committees and shall appoint such other temporary committees as may be required during the term of office. The President shall designate one of the appointees to be chair of each such committee, subject to the approval of such chair by the Board of Directors. In case the Board of Directors does not approve such chair, the Board shall thereupon elect a chair. No committee chair may be removed from office without approval of the Board of Directors.

The term of office of the President and Vice-Presidents is one year beginning July 1 and ending June 30. No President or Vice-President shall serve more than three consecutive terms in that specific office

Article 8B {Treasurer):

The Treasurer shall, subject to the direction of the Board of Directors and under its supervision, collect all monies and have care and custody of all funds and valuable papers, and he/she shall have power t endorse for deposit or collection of all notes , checks, drafts, etc. payable to the Association or its order. He/she shall deem or cause to be kept accurate records of all accounts which shall render a statement of the financial affairs of the corporation, and such statement shall be rendered to the Board of Directors whenever they require it, and at each annual meeting shall submit a complete written statement of his/her accounts as Treasurer for the fiscal year last past. If required by the Board of Directors, he/she shall give bond for faithful performance of his/her duties in such form and such sum with sureties as the Board of Directors shall require, all at the expense and cost of the corporation. The Board of Directors must approve any expenditure greater than $500.00. Any expenditures greater than $2000.00 and not approved as a line item in the annual budget, must be approved by at least two thirds of the membership attending the annual meeting or at a meeting called for that purpose or responding to a mail ballot. In the event a catastrophic emergency , the executive officers and/or the Board of Directors may waive this requirement.

The term of office of the Treasurer is one year, beginning July 1 and ending June 30. The fiscal year of the corporation is July 1 to June 30 of the following calendar year.

Article 8C (Secretary):

The Secretary (who shall also be known as the clerk) shall keep an accurate record of the proceedings of all meetings of the membership and all meetings of the Board of Directors in books belonging to the corporation, which books shall be open to inspection to all Association members. He/she shall issue all notices of meetings and cause to be published all notices, the publication of which shall be required as specified in Article 4. He/she shall conduct the general correspondence of the corporation and the Board of Directors and shall maintain files/books of past corporate records.

The Secretary shall be a member, ex-officio, of the Membership Committee. Term of office of the Secretary is one year, beginning July 1 and ending June 30.

Article 9 (Salaries):

The Board of Directors shall hire and fix compensation of any and all employees or contracted services, which they in their discretion may determine to be necessary in the conduct of the business of the Association .

Article 10 (Committees):

The standing committees of this Association shall be:

1. Membership Committee

2. Finance Committee

3. Maintenance Committee

4. Beautification Committee

5. Legal Committee

6. Insurance Committee

Article 11 (Dues):

The dues of this Association shall be established by the Board of Directors, and shall be payable on the first (1st) day of July each year. Membership dues are to be based upon the number of household units. Dues for unimproved lots shall be 50% of the rate of household units.

Article 12 (Amendments):

These By-laws may be altered, amended, repealed or added to by affirmative vote of not less than a majority of members attending the annual meeting, at a special meeting called for that purpose or by mail ballot.

Article 13 {Dissolution):

Upon dissolution of the corporation , The Board of Directors shall, after paying or making provision for the payment of all liabilities of the corporation , dispose of all assets of the corporation exclusively for the purposes of the corporation in such manner, or to such organization or organizations organized and operated exclusively for charitable , educational, religious or scientific purposes as shall at the time qualify as an exempt organization or organizations under section 501(c)(7) of the Internal Revenue Code of 1955 (or the corresponding provision of any future United States Internal Revenue Law) as the Board of Directors shall determine. Any such assets not so disposed of shall be disposed of by the Probate and Family Court Department, Barnstable Division, Barnstable, Massachusetts in which the principal office of the corporation is located , exclusively for such purpose or to such organization or organizations, as such Court shall determine , which are organized and operated exclusively for such purpose.

NEIGHBORHOOD RESPONSIBILITIES - 2023

OUR PRIVATE BEACH: Your Association issued Scorton Shores Beach Pass key chain is your pass to the beach. Beach goers will need to know the name and address of the homeowner of their Scorton Shores property, as the beach attendant will ask. Information regarding the types and uses of beach passes are on the opposite side of this sheet. Please note there are no lifeguards, and swimmers swim at their own risk.

SPEEDING: HAMMOND ROAD IS LEGALLY A PUBLIC WAY AND AS SUCH ALL-MOTOR VEHICLES, INCLUDING GOLF CARTS, ARE SUBJECT TO POSTED SPEED LIMITS. There are many children, walkers and joggers in our area. For your safety and theirs, the speed limit in the neighborhood is 20 MPH. Speed bumps are in place to assist in the slowing of traffic. Golf Carts operators on a public way must have a valid drivers’ license. Please obey the speed limit!

DOGS: Unleashed dogs continue to be a concern. Note that pets are not allowed on the beach between 9:00 a.m. and 6:00 p.m. from May 15 to September 15. As a courtesy to your neighbors, please bring a “scooper” and a bag. Clean up after your pet wherever you walk them (beach or neighborhood roads). Dog feces should be disposed of at the owner’s home. Feces (bagged or unbagged) should not be left on the beach or roads. Per Massachusetts law and Sandwich Town bylaws, dogs must be on a leash at all times when on a public way or space. Service dogs, but not comfort dogs, are allowed on the beaches with their owners.

BEACH ACCESS: When the beach attendant is on duty at the Boardwalk, please show him your key fob, which was issued last year and is good for two years. Because erosion control is critical, dune climbing is prohibited and access to the beach is by the boardwalk and stairs only. The beach grass and dune areas are off limits to all including pets. Do not climb over the snow fencing. Please, no bikes, roller blades, skateboards, scooters, or hoverboards on the boardwalk. In addition, sitting, standing or walking on the boardwalk handrails is Not Allowed.

BEACH AND NEIGHBORHOOD CARE: Please take pride in our beautiful beach and neighborhood. With the exception of kayaks, please remove all trash and other items from the beach as you leave each day (chairs, toys, floats, umbrellas, etc.). Kayaks may be kept only in the area to the east of the main boardwalk (on your right when facing the water). Do not lock kayaks to the fence to prevent damage to the fence at high tides. We ask you to respect the peace and privacy of adjacent homeowners. Do not climb on or walk on top of the stone sea walls. Please pick up trash when you see it.

WATER SPORTS: Fishermen, operators of personal watercrafts, and boaters should respect the quiet enjoyment and safety of other beach-goers. Please fish, boat, and ski well away from people in the water.

BEACH FIRES: Small contained fires are allowed only on the beach below the high tide mark and must be thoroughly extinguished afterward. Fires built above the high tide mark are a danger to bare feet and children digging in the sand. Take any leftover wood (burned or unburned) with you. Before lighting a fire, check with the town fire department at 508-888-0525 Ext 5. You will be asked to leave your name, address, and a call back number. Fireworks are not allowed.

Please, be a good neighbor and protect our dunes and wildlife. Dispose of all refuse including cigarettes in a safe and responsible manner. Thank You!

BEACH PARKING INFORMATION – 2023

The following is an explanation of the parking system for permits and use of Scorton Shores Association (SSA) parking facilities by owners and their guests/renters.

BEACH PARKING AREAS AND PARKING DECAL

HANGTAGS:

Beach parking is at a premium on weekends. No boat trailers are allowed in parking areas. Walking and biking to the beach is encouraged. A bike rack is available adjacent to the beach parking lot.

The Association has Resident Parking Decals for owners to use the parking areas controlled by SSA. These decals will be provided to the owners in the annual mailing (one per household). The decals must be placed on the inside of the driver’s side windshield of vehicles using the parking facilities. The decal must be visible from outside the vehicle.

One portable parking device, a Visitor Parking Hangtag good for two years as indicated, will be provided to owners for their second car and/or guests (including renters) to park in the facilities. Guests and renters must hang their visitor hangtag on the rearview mirror of any vehicle using the parking facilities. The hangtag must be visible from outside the vehicle. Owners are expected to advise guests and renters of the requirements of this notice. Photocopies are not acceptable.

Vehicles using the parking facilities must have either a decal issued by the Association or a hangtag issued by the Association. Vehicles using the facilities with no such decal or hangtag are subject to being removed at the expense of the owner of the vehicle, as set forth in Massachusetts General Laws, Chapter 266, and Section 120 (D).

The term “SSA parking facilities” includes the enclosed parking lot at the flagpole at the north end of Hammond Road and the parking area to the right of the boardwalk.
