THE INVESTMENT OPPORTUNITY Caye Villa Development Ltd is looking for partners to help develop and begin operating the finest luxury eco resort in Belize, on our island, Moho Caye. We are offering 30% ownership of the island and finished 20-unit resort. Based on a modest 30% occupancy rate for the first year with an occupancy growth of 7% per annum; the forecasted return on investment is 6%, 8%, 10%, 12% and 14% for years 1 to 5, respectively, with further increases thereafter.

As well as receiving this high rate of return on your investment, as an owner, you can enjoy complementary use of the resort’s accommodation for a period of time each year based on your shareholding and availability. Additionally, shareholders’ family members and friends will receive a 30% discount on resort stays. Investor dividends will be paid on an annual basis commencing one year following the resort’s opening.

Every $40,000 investment secures 1-week free for life. Weeks are transferable and no fees are attached.

Caye Villa Development Ltd is a privately owned company incorporated in Belize and owns Moho Caye outright, free and clear of any debts and encumbrances. 1

THE ISLAND

MOHO CAYE

Moho Caye is an idyllic 12-acre palm-fringed private retreat, 12 miles east of Placencia and less than 10 miles from the barrier reef. With 1 kilometre of fine white sand beaches, crystal clear waters and a complete ring of healthy vibrant coral reef, Moho Island is the most beautiful island in the whole of Belize.

The island is a comfortable 30 minutes boat ride from Placencia mainland, 10 minutes by helicopter from the Placencia Airport and 45 minutes from Belize International.

The island is solid coral which means we don’t require expensive and unsightly sea walls like all other island resorts in Belize. We are able to retain all of Mohos 1km of natural coral beaches. Mohos prime position, half way between the vibrant town of Placencia and the outer barrier reef means that it is a short comfortable 30-minute boat ride to either. Most islands in Belize, particularly in the north have trouble with access from larger vessels because of the shallow waters.

We have great deep-water access so we can accommodate large private yachts. 2

There are a large number of well-established, beautiful almond trees and palms that will be seamlessly incorporated into the design keeping the island as nature intended and creating natural shade for our guests. The island is also home to pelicans and ospreys that can be seen fishing on the reef. Loggerhead and Hawksbill Turtles regularly frequent the area and have chosen Moho as their nesting ground; currently we have 12 nests. Our guests will be able to experience this rare gift from nature.


THE VISION Belize is already a popular destination for adventure tourism but it does not yet offer a combination of adventure and luxury. Hospitality trends show that today’s discerning travelers expect a holistic travel experience; impeccable service in a wonderful environment, with interesting places to visit and the opportunity to experience unique adventures, all with respect to the local environment.

ARCHITECTURE & DESIGN Our architects, Silvio Rech and Lesley Carstens are the best island designers in the world and the founders of Adventure Architecture, a high-end architectural and interior design practice based in South Africa. They have seventeen years of experience designing and developing boutique hotels, lodges and private houses, many of which have achieved top international travel and design awards.

Silvio and Lesley will bring their unparalleled experience of incorporating luxury eco-resorts into existing natural frameworks. Treading lightly, pathways and beautiful structures will be designed and then built by skilled local craftsmen from local materials. Nature and self-sufficiency will be at the core of all our designs.

CONSTRUCTION & MANAGEMENT Sandy Point Resorts are the highest quality Residential and Resort Developments in Belize, with over 25 years of Belize Real Estate experience and 13 Years of developing quality projects on Ambergris Caye. Sandy Point Resorts are a Belizean based company established in 1998. They have successfully developed and manage six resorts on Ambergris Caye, Belize with another, Venezia Del Caribe, under construction, which will be operated as a 5 star destination

Sandy Point Resorts maintain some of the highest occupancy rates in Belize ranging from 55% - 75% annually and as a result have a large network of travel agents, wholesale agents and travel operators that are anxious to take on additional inventory. Moho Caye will become Sandy Points’ flagship resort.

THE PAVILIONS All Pavilions have a combined bedroom and living room separated from the bathroom area by a decorative wooden screen. The entrance terrace features two daybeds, and the interior is revealed beyond sliding glass doors. A central king-size bed is joined by a writing desk, reading chair and a music docking station and internet. The spacious bathroom features an elegant, freestanding bathtub, twin vanities and a rain shower. Beyond the airy bathrooms are private secluded gardens with outdoor showers. These outdoor areas are accessed through large glass doors that open to cooling sea breezes. Ocean Pavilions are positioned along the beachfront, elevated above the waterline with views of the sea with pathways leading to the beautiful sandy shore. Overwater Pavilions feature a large private deck with stunning 360-degree views of the distant Maya Mountains and turquoise waters, an ideal place to read or take in the sunset. Ladders from the deck make it easy to slip into the clear, warm water.

BOUTIQUE The resort’s boutique shop will offer handmade items from around the Caribbean, as well as high-end logo resort wear, spa products, and convenience items.

HELIPAD The helipad is our welcome mat, where guests are greeted by smiling staff and where they bid farewell to the island and its inhabitants at the end of their stay.

RESTAURANT & BAR Aside from its exceptional beauty, Moho Caye has long been renowned for its fertility and also for the richness of the fishing grounds where it nestles.

Our cuisine will focus on what Belize does best – seafood, and the freshest ingredients indigenous to the country and from our own produce garden.

It is not surprising therefore, that Moho Island will draw upon these exceptional natural resources.

The bar is situated and designed to encapsulate the ocean views, sunsets and the very special quality that is Moho Caye.

THE SPA & WELLNESS

Surrounded by almond trees and coconut palms, the pool overlooks 300 meters of white sand beach. The vanishing-edge and green quartzite tile link seamlessly with the ocean’s horizon.

PROJECT TIMELINE Mar 2015: Pledged funds are then called upon and drawn down into escrow account under the control of Arguelles and Co. and shares of CVD are issued to investor(s) accordingly.

Dec 2014 - Mar 2015: Investment opportunity opens and investors pledge funds until the required total investment of $4,000,000 is reached at which point the investment opportunity is closed.

COMPETITION PROFILE The Belize stay over segment hotel profile is served by 788 accommodation facilities offering a total of 7,263 rooms. With an average size of nine rooms per operation, the Belize tourism sector is dominated by smaller properties. As defined in the Hotel and Tourist Accommodations Act, approximately 25% of the Belize accommodation facilities are considered hotels and another 10% are classified as lodges and inns. The remaining 65% are smaller properties including guesthouses, bed and breakfast facilities, apartments, cabanas, villas and other accommodations.

The handful of higher-end resorts in Belize have excellent occupancy with rates of over 70% and out of the few island resorts, Cayo Espanto, is by far the most expensive and most successful. We will enter the upper end of the market in the upper segment but will be extremely competitive on price and offer far superior experience in all aspects from food and service to design and location.

KEY RISKS Control of build cost Our construction team, Sandy Point Resorts, has 13 years experience of high quality island development in Belize. They fully understand and can accurately calculate costs and therefore able to adhere to budgets. To deal with any unforeseen costs we have built in a healthy build contingency of 10%.

Occupancy rates Our management company already maintain some of the highest occupancy rates in Belize ranging from 55% - 75% annually and as a result have a large network of travel agents, wholesale agents and travel operators that are anxious to take on additional inventory. Moho Caye will become Sandy Points’ flagship resort. We have forecast a very modest 30% for the first year with a 7% yearly room occupancy growth. According to the Belize Tourism Board, occupancy rates for 2014 in Placencia are over 54% and for hotels on islands over 51%. These numbers are set to increase through the

completion of the Placencia International Airport and the expansion of the Belize International Airport to accommodate more flights including the first ever direct flights from Europe. The majority of hotels in Belize are small with little to no marketing budget. Many of the bigger very successful hotels have low marketing budgets. We have allocated a significant percentage of revenue to marketing ($280,000 in year one)

Hurricane Zone The whole of the Caribbean is in a hurricane zone. Despite it being an unlikely event we will monitor the weather forecast to ensure we have ample time to implement our comprehensive hurricane plan. We will install dry and secure storage for the fixtures and furnishings. The island will also be covered by an insurance policy in the unlikely event that damage occurs.

CONSERVATION PROJECT Moho Caye and Fragments of Hope Ltd. Collaboration Director and Founder of Fragments of Hope, Ltd. Lisa Carne (MSc Biodiversity and Conservation) has 20 years of marine biology experience in Belize and has been focusing on Caribbean reef restoration for eight years at Laughing Bird Caye National Park, a neighbouring island to Moho Caye. Lisa and her team, which consists of licensed tour guides, fishermen and community volunteers, have planted more than 11,000 nursery grown corals onto Laughing Bird Caye We are pleased to announce that Moho Caye will begin collaborating with Fragments of Hope. Our project will

contribute to the research behind the success to date by funding additional genetic analyses, growth rate and coral survival studies. Lisa will also be advising Moho on how best to manage the biodiversity of its own reef. Details of the work will be shared on Moho Caye Resort’s and Fragments of Hope’s website and social media pages. Our staff will work alongside and be trained by Fragments of Hope members and our guests will be exposed to the importance of coral reefs and the restoration work and have the opportunity to plant out and monitor the growth of precious corals from Moho’s nursery onto the reef.
