TERMS AND CONDITIONS OF SALES

1. QUOTATION, SUPPLY AND PAYMENT

1.1 Any quotations given by Rapala VMC Australia to the Customer will remain valid for a period of 30 days from the date the quotation was given.

1.2 An order for Goods is binding on Rapala VMC Australia when it processes an order for Goods and arranges the Goods for delivery. Rapala VMC Australia will provide an invoice at the time of delivery of the Goods.

1.3 Goods will be charged to the Customer at the amount specified in the invoice (plus freight costs) (Invoiced Price). If Rapala VMC Australia receives payment for Goods within 30 days of the Invoice Date then the payment price will be 10% less the Invoiced Price.

1.4 Goods delivered by Rapala VMC Australia to a Customer in a capital city in Australia will incur a freight cost of $25, and for Customers outside capital cities, the standard freight charge of $25 will apply from the dispatch location to the customers’ nearest capital city. Any additional freight costs will only be charged from the customers’ capital city to the delivery address, based on the size of the order.

1.5 Rapala VMC Australia may at its discretion make a credit account available to the Customer if the Customer has completed an Account Application Form, and it is approved by Rapala VMC Australia. Until Rapala VMC Australia has approved a credit account, all sales are strictly cash on delivery. Rapala VMC Australia may terminate a credit account to a Customer at any time.

1.6 If the Customer does not pay for Goods supplied under the credit account within 30 days from the invoice date, Rapala VMC Australia will charge 2% interest per month on the outstanding amount and Rapala VMC Australia may suspend delivery of Goods or not accept further orders from the Customer.

2. CANCELLATION OR RETURN OF GOODS

2.1 A Customer may cancel an order by written request provided Rapala VMC Australia has accepted the cancellation. When Rapala VMC Australia accepts a cancellation, the Customer is fully liable for all transportation and administration costs incurred by it in relation to the order up to and including the date of acceptance of cancellation.

2.2 The Customer may return Goods to Rapala VMC Australia for credit within 7 days of receipt of the Goods, if the Customer provides full particulars of the reason for return in writing and Rapala VMC Australia has authorised the return in writing. Goods must be returned to Rapala VMC Australia’s premises by freight at the Customer’s cost with a dispatch note stating Rapala VMC Australia’s original invoice number. Rapala VMC Australia reserves the right to charge a re-stocking fee of 25% of the Invoiced Price for any Goods returned for credit and the Customer must pay that fee.

2.3 Rapala VMC Australia may cancel or suspend delivery of the Goods subject to any event beyond the Rapala VMC Australia’s reasonable control. Rapala VMC Australia is not in breach of the Agreement if it does so.

3. TITLE AND RISK

The Customer agrees that until payment of all moneys owing to Rapala VMC Australia, the Goods remain the property of Rapala VMC Australia. The risk of any loss or damage to the Goods passes to the Customer from the time Rapala VMC Australia dispatches the Goods to the Customer’s place of business or other agreed address.

3.1 Until the Customer has paid all moneys owing to Rapala VMC Australia:

3.1.1 the Goods are held by the Customer as fiduciary bailee of Rapala VMC Australia;

3.1.2 the Customer must store the Goods separately and so that they are readily identifiable as the property of Rapala VMC Australia; and

3.1.3 the Customer will be at liberty to sell the Goods (or any new product) in the ordinary course of business.

3.2 If the Customer sells the Goods before payment in full to Rapala VMC Australia, the Customer holds the proceeds of sale of the Goods on trust for Rapala VMC Australia, and must keep such proceeds in a separate account and must immediately pay that amount to Rapala VMC Australia.

4. LIABILITY AND INDEMNITY

4.1 Except as required by law, all warranties beyond those expressly given in these Conditions, whether express or implied and whether statutory or otherwise, with regard to the Goods as to quality, fitness for purpose or any other matter are excluded.

4.2 The Customer is not liable to Rapala VMC Australia or any other person for any indirect, special or consequential loss or damage or profits due to any neglect or default of Rapala VMC Australia in connection with the performance of Rapala VMC Australia’s obligations under the Conditions or otherwise.

4.3 To the extent permitted by law, the liability of Rapala VMC Australia to the Customer is limited to the replacement of the Goods.

5. GENERAL

5.1 The Conditions are governed by and must be interpreted in accordance with the laws of New South Wales. Customer unconditionally submits to the non-exclusive jurisdiction of the courts of New South Wales determined in accordance with this clause.

5.2 Unless the context otherwise requires in these Conditions:

Account Application Form means an application for credit on the form provided by Rapala VMC Australia.

Conditions means these Terms and Conditions of Sale.

Customer means the party to whom Rapala VMC Australia has agreed to supply Goods pursuant to the Conditions.

Goods means the goods and/or services agreed to be supplied by Rapala VMC Australia and purchased by the Customer pursuant to the Agreement.

Invoice Date means the date that appears on Rapala VMC Australia’s invoice for the Goods, and if no date appears, the date of delivery of the Goods.

PAYMENT TERMS

Less 10% discount if payment is received within 30 days of statement date providing no other prior amounts are outstanding. A merchant fee may apply to all card payments.

OVERDUE ACCOUNTS

A service charge of 2% per month will be charged on all overdue accounts. Accounts that become overdue will automatically lose freight and volume allowances. Shipments will automatically be suspended to any customer whose account becomes overdue. Rapala VMC Australia reserves the right to close any account that does not comply with our trading terms.

RETURNS

No goods returned will be accepted without prior written authorisation from Rapala VMC Australia. In the case of broken rod sections, only the broken section will be replaced. Any goods authorised for return must be sent freight pre-paid and must be labelled with the original purchase invoice number.

CLAIMS

Claims for short delivery or damage in transit will not be recognised unless made in writing to our offices within 7 days of receiving goods.

DELIVERIES TO AUSTRALIAN CAPITAL CITIES

Will incur a freight charge of $25.00

DELIVERIES OUTSIDE OF AN AUSTRALIAN CAPITAL CITY

The standard freight charge of $25 will apply from the dispatch location to the customers’ nearest capital city. Any additional freight costs will only be charged from the customers’ capital city to the delivery address, based on the size of the order.

SPARE PARTS CHARGES

A minimum of $9.00 plus GST will be charged where applicable.
