RULES, REGULATIONS, TERMS AND CONDITIONS OF PUNTOS REWARDS

1 DOLLAR AMOUNT A PAID = 1 PUNTOS REWARDS Independent Zermat Entrepreneur earns Puntos Rewards through various programs and/or commercial promotions. These points are generated at the end of calendar month. PUNTOS REWARDS EXPIRATION / CANCELATION Puntos Rewards will not expire but will be lost or cancelled if an Independent Zermat Entrepreneur has no activity for two (2) consecutive calendar months. If that is the case, on the 1st day of the third month all PUNTOS REWARDS will be cancelled. ACTIVITY Any purchase of product A and B with final payment value greater than zero (0) shall be considered. REDEEMING Redeemed in Zermat Product with Puntos Rewards + Dollar amount. Redeemed in NON-Zermat Product with Puntos Rewards + Dollar amount. In both cases the dollar amount could be zero (0) and it is only charged with PUNTOS REWARDS PERMANENT PROMOTION FOR PURCHASE AMOUNT For every $400 paid an extra 400 Bonus Points will be added. PRODUCTS IN INVENTORY OR OUT-OF STOCK Out-of-stock Products: For reasons beyond Zermat’s control, some rewards may not be immediately available, and your delivery time may vary from 2 to 3 weeks approximately. RULES AND REGULATIONS MAY VARY AT ANY TIME AT ZERMAT USA'S DISCRETION.


We may add and/or change the Puntos Rewards Program Terms and Conditions at any time. For example, we may: • Change the number of Puntos Rewards you can earn for eligible purchases • Change the number of Puntos Rewards required to earn rewards • Impose limits and/or fees to earn and/or use points • Increase annual rates and/or other program fees • Cancel rewards We may also cancel the program at any time, provided we notify you one (1) calendar month in advance. During the monthly trial period, we may change or cancel some or all of the then-current prizes. Once the three (3) month-trial has passed, you will no longer be able to earn or use points. OUR SUPPLIERS AND REWARDS MAY CHANGE AT ANY TIME. Entrepreneurs can only use points for prizes that are currently available. Certain prizes are only available for specific time periods. Some awards may have additional terms and conditions, including those of our suppliers. To view the detailed terms and conditions of a specific prize, find your prize in www.zermatbusiness.com and then click on the "Terms and Conditions" link on the prize details page. When you redeem points for prizes, you release Zermat and all of its associates from responsibility for your use of points, for the prize and how you use it, and for your participation in the program. Zermat and our merchants are not responsible for replacing lost, stolen or damaged certificates, tickets or gift cards. We may reject your request to use points if your Entrepreneur agreement or membership is expired, cancelled or returned or if you are no longer a Zermat Independent Entrepreneur.


While every effort is made to provide the precise points necessary for each prize (or replacement product) on the prize store website, we reserve the right to adjust the value of the points required when redeeming to reflect current prices and, in general, the right at any time with or without notice to cancel or change a particular prize or its value. ALL PRIZES ARE SUBJECT TO AVAILABILITY. All prizes are manufactured and/or provided by independent manufacturers or service providers or suppliers. Certain legal safeguards under consumer protection laws may apply to these products for the benefit of consumers and cannot be excluded. Nothing in these Terms is intended to exclude or restrict the application of such consumer laws, but except for any non-excludable warranties, Zermat and its associated trademarks make no other warranties or representations of any kind, express or implied, with respect to the products, including the warranty of merchantability, fitness for a particular purpose or outside the application of those laws. Points are not your property. You cannot transfer points to any other person or program. In addition, points cannot be transferred by law, such as by inheritance, bankruptcy, or in connection with a divorce. If, at our sole discretion, we determine that you have committed abuse, misuse, or play in connection with earning or using points or may attempt to do so, we may: • Remove any points in your program account • Temporarily suspend your ability to redeem points • Temporarily suspend your ability to earn points • Cancel your Puntos Rewards account. • Zermat will resolve all questions or disputes about program eligibility, earning points, or using points only. • It is your responsibility to find out if you are responsible for federal, state, or local taxes as a result of earning or using points.

FREQUENTLY ASKED QUESTIONS: 1. What do I do if my incentive is defective, damaged, or if I receive the wrong one? All incentives come with a standard manufacturer's warranty. Notify us immediately and we will determine with the provider what to do next. 2. If I change my mind can I return my incentive? Yes, within 30 days of receipt if the product is with all original packaging intact (you are responsible for shipping and insurance). Gift cards and travel certificates are not returnable.

PUNTOS REWARDS CLUB BASES, TERMS AND CONDITIONS

1. The first quarter begins in September 2020. 2. The qualifying period will be based on the following quarters: January –April, May- August, September – December 3. To qualify for CLUB, only Puntos Rewards earned from Personal A Amount PURCHASES, accumulated during the qualifying period, will participate. 4. The Zermat Entrepreneur will receive the BENEFITS and REWARDS described in each of the clubs, once the qualifying period has been closed. 5. The benefits will begin to take effect, from the next current semester and will be in force during this time, to continue with the benefits, you must continue to qualify during the subsequent quarters. 6. The goal to qualify in the Clubs is as follows and must be reached at the end of the semester: Red Club 1,600 PR Green Club 8,000 PR Blue Club 16,000 PR


7. Redeeming of accumulated Puntos Rewards does not affect the qualification to the Clubs. 8. To participate in the Clubs you only have to register through the www.zermatbusiness.com website and select your "wish list" (3 preferred incentives), which can be modified at any time. 9. Registration is PERSONAL and under the virtual office of each Entrepreneur. The registration process can be done as follows: • Identify and click the Club logo at the top. • Register your unique phone number and personal email address, the system will not allow registration of Entrepreneurs with phone number and/or email address • Wait for confirmation and welcome email. 10. In order to enjoy Puntos Rewards Club benefits, you must be registered in the program, otherwise you will only receive the benefits of the current Puntos Rewards Program. (We recommend you to register immediately) 11. All Puntos Rewards earned during and prior the contest period MAY BE USED to exchange for Incentives, Zermat Products and Marketing Material. 12. Puntos Rewards Clubs are independent of any other program. 13. The minimum amount of Puntos Rewards to transfer (Blue Club) will be 250.
