SUMMARY OF MAIN BENEFITS FOR CYPRUS COMPANIES The taxation rules provide scope for establishing holding structures in Cyprus. The main benefits are: • There is an exemption from tax on dividends received from overseas (conditions apply). • Eighty per cent (80%) of the revenue from intellectual property rights deemed as expense thus effectively tax payable on the remaining 20% less other expenses. • Payments of dividends, interest and royalties to non-residents are not subject to any withholding tax. • Profit from dealing in securities is tax free. (This includes trading in securities in Cyprus as well as overseas markets). • Capital gains from the sale of movable asset are tax free. • Large network of tax treaties with very favorable clauses. Many of the treaties impose low or nil withholding tax on dividends, interest or royalties at source. • European Union parent subsidiary directives apply. B. OTHER STRUCTURES In addition to holding structures, Cyprus offers tax planning opportunities for all other activities with the following benefits. • Registration for V.A.T. for E.U. transactions. • E. U. presence. • Low income tax (12.5% on the net profit). • Many others… THE CYPRUS INTERNATIONAL TRUSTS The international trust is a trust whereby: • The settlor and/or a beneficiary were not Cyprus tax residents in the year preceding the year of creation of the trust; • At least one trustee is resident in Cyprus (Cyprus International Business Company) (IBC) or partnership is considered as a resident trustee). Under the law a settlor is deemed to have ability to dispose of his assets to an International Trust if at the time of such transfer is of full age and of sound mind under the law of the country in which he is a permanent resident.
The duration of an International Trust, notwithstanding any provision in the Law of Cyprus or of any other country, and subject to the terms of the trust, can be for unlimited period, and no rule against perpetuities or any analogous rule will apply to a trust or to any advancement, appointment, payment or application of property from a trust.
U.A.E. COMPANIES
The nature of the Cyprus international trust could be “discretionary”.
• 100% full ownership is allowed in all Free Zones and offshore entities in UAE;
As the name suggests the discretionary trust allows the trustee to exercise a large element of discretion with regard to distribution of income and assets, and to choose from a large “pool” of potential beneficiaries. The selection of beneficiaries from the “pool” could vary every year.
• Foreign companies that are registering a representative office or branches in Dubai.
Subject to the provisions of the instrument creating an International Trust the trustee will be allowed at any time to invest the whole or any part of the trust funds in any kind of investment wherever the investment is situated and whether or not the funds have already been invested. Any investment made by the trustee may be varied or retain its original state as long as the trustee exercises diligence and prudence that a reasonable person would be expected to exercise in making such an investment. The possibility to change the proper law of International Trust is expressly provided in the new law both as regards a change to the Law of the Republic of Cyprus as well as to a change from the Law of the Republic of Cyprus to any other jurisdiction. However, for such a change to be allowed under the law the following requirements must be met:(a) In case of a change from the law of the Republic the new proper law recognises the validity of the trust and the respective interest of the beneficiaries, The possibility to change the proper law of International Trust is expressly provided in the new law both as regards a change to the Law of the Republic of Cyprus as well as to a change from the Law of the Republic of Cyprus to any other jurisdiction. However, for such a change to be allowed under the law the following requirements must be met:(b) In case of a change from the law of the Republic the new proper law recognises the validity of the trust and the respective interest of the beneficiaries.

COMPANY OWNERSHIP The general requirement for ownership of companies that are established in the United Arab Emirates is 51% UAE national’s ownership. There are a few exceptions that apply to this rule and the exceptions include:
RESIDENCE PERMIT IN THE UAE The UAE has no permanent residence permit. Long-term residency is only acquired on the basis of residential basis. There are several residence visas types: government, employment/working, investor and sponsor visa. Resident visa is issued for a period of a maximum of 3 years with possible further extension of the visa. The visa may be cancelled following the holder’s absence from UAE for a period of 180 continuous days. This implies that the visa requires you to visit the country at least twice a tear. Grounds for obtaining a residency visa in the UAE include: • Purchaser or real estate • Being an employee in the UAE • Shareholding of a company in the UAE Obtaining a residence visa is acquirable through purchase of real estate with the price of the real estate property being not less than 1 million AED (about US$ 272.000). A visa issued upon purchasing open a bank account but restricts the holder from working in the country. However, if a working permit is required, a Labor Card can be issued after the applicant provides a signed employment contract. Demand for translation services has risen following the expansion of the EU. The analysts are in agreement: the volume of translated documents will increase in the next ten years. Nevertheless, opinions are divided as to the extent to which this will happen. For example, the linguistic diversity following the EU expansion does not only lead to more translations of documents such as records or draft laws within the EU institutions. It has also led to greater demand for translations by commercial firms and processing companies, as the EU requires all technical documents to be translated into the national languages (Directive 79/112/ EEC). Globalization, and its associated growth, will lead to a huge upturn in the GILT sectors (globalization, internationalization, localization and translation). The European Union of Associations of Translation Companies (EUATC) believes that the translation market will record annual growth of around 5% in the coming years. Notwithstanding the use of English as a lingua franca, a further trend has become clear – the protection of cultures and languages. The translation market is bound to benefit from this trend. Furthermore, the growing recognition of an ever-more multilingual population in the US and other countries will increase the demand for language services. In addition to these developments, technological innovations and continually-growing product portfolios require higher translation quality and more flexible translation agencies. The growing demand for translations in the near future will be intensified by the existing lack of translators for many special fields and certain language combinations. International companies that avail of translation services must be prepared to adjust to these developments or to take appropriate measures to avoid this shortage. As part of its strategic positioning for the future a company should first determine what texts have to be translated in the next five to ten years
and what languages are required. Moreover, companies requesting translation services will have to be more transparent toward their translators in the future. This will allow translators to obtain an overview of processes and of the corporate language. Companies should regard translation services as an investment and not purely as a cost factor. Given the rapid increase in language combinations for translations and the ever-shorter delivery times, professional project and quality management will play a more important role in the future. translations will be prepared directly in the customer’s content management system, using the latest technical possibilities. Translation agencies can directly assume some of the project management tasks that are currently performed in the company. In the future it will therefore be critical for companies to collaborate with a translation agency offering as many language combinations as possible and the broadest possible range of technology. While the growing number of documents to be translated and increasing translation volumes may be a cause of concern to many companies, they can also be seen as an advantage. Thanks to the large translation volumes, many chunks of text will be repeated. It will therefore become more and more important to prepare the documentation in such a way that text elements are available not only for further documents, but also for translation, so that they do not constantly have to be retranslated. An efficient data management system (DMS) and content management system (CMS) are the basic prerequisites for implementing cost-effective and terminologically consistent translations. In the future, this will be the only way to meet the growing demand for quality. Use of computer-aided translation (CAT) tools will become indispensable in order to develop terminology databases, glossaries and so on. Although at first glance it may appear as though terminology management is very timeconsuming, the benefits are self-evident
for translators and companies: translators can translate large volumes of text more quickly and at less cost, while customers will have more control over the quality of translations into a language that they do not master. The dispute amounted to more than U$S 40 million and dealt with issues such as additional costs and the impact of exchange controls imposed by Argentine Government on payments due under the contracts, among others. The case was settled in December 2012. The case was handled by Guido Santiago Tawil, María Inés Corrá and, Francisco Gutiérrez. The firm also represented an Argentine real estate company in a contractual conflict with regard to the fulfillment of a hotel operating agreement against the French leading hotel operator. The firm also represents one of Argentina’s main financial institutions in cross-lawsuits filed with minority shareholders, which –once decided– could turn out to be leading cases on novel legal questions. This matter has been handled by rafael Manóvil. The firm is currently acting as lead counsel in an iCC arbitration between a Chilean gas distributor and three Argentine gas producers related to the performance of a gas supply contract. The dispute deals with the impact of the Argentine Government measures on the execution of long term contracts for gas exports to Chile and involves a claim over US$ 500 MM. Should I Care about Translation Quality? Quality as an abstract notion achieves god-like proportions both amongst language service providers (LSPs) and localisation service buyers. It invisibly presides over every transaction in this industry, yet it is highly elusive when it comes to being defined. So, should you care about it? This is the million dollar question for the language industry. Quality and measuring it take centre stage in any event where more than three LSPs are present, and lively discussions revolve around those twin axes. Almost nobody would risk commercial suicide by saying that quality in translation does not matter. Internationally renowned localisation guru renato Beninatto caused a stir in a recent industry event when he said ISPs need not care about it, as quality is irrelevant as a differentiator when it comes to selling translation services. We would like to take his bold statement a step further and say that a prospective buyer should not care about it either. Any prospective buyer looking for a translation provider has their brand message in mind. Their concern is getting it across to their intended audience with all the idiosyncratic aspects in place for another culture, often vastly different from their own. Their logical expectation is that this must be done effective and efficiently, without unnecessary risk, within the allowed timeline, and adhering to the guidelines, all at a reasonable price. But above all else, this cultural transfer must not become a nightmare of proportions for themselves or their company. It has to be just one more item in a business strategy. Definitely not a corporate problem! translation buyers only need to concern themselves in communicating their needs and objectives to the vendors so that getting the message through is guaranteed. And where does translation quality figure into this? Well... it does not. With the communication objectives clearly defined and choosing a vendor with the cultural expertise to achieve them, quality of the language services should be a given; it is a basic expectation, and in this sense it is irrelevant. What is it that really matters, then? Why all this talk about quality instead of quality talk? Why should we devote so much time and effort to the development of Quality Assurance standards and processes? Why the myriad acronyms QA, QC, QI, where the Q always stands for Quality?
Because quality does matter, of course, but if you choose correctly you do not need to care about it in the sense of worry about it. Translation quality is the legitimate concern of the translators and of the whole LSP language team, that which they must consistently deliver. The client, in turn, should be concerned with quality of service, about their experience interacting with their LSP. That is where we like to focus and where our work ethic is put to serve the client's needs. We always say Ushuaia Solutions is not in a B2B market, but in a P2P market (where P2P does not stand for file sharing but for 'People 2 People'). As people establishing and maintaining relationships with other people, quality is to be found in the relationships themselves, in understanding what is important for the other part, and giving them just what they need.
