STOCKLOG ICS Power of Attorney See: STOCKLOGICS Joint Venture Agreement The undersigned hereby irrevocably participates in a joint venture partnership, that the managing partner creates new corporations (see “business interest”) and the joint venture participants desires to participate as a partner both potential profits and expenses The undersigned hereby acknowledges that participation in “STOCKLOGICS” and/or a partnership with 1245093 Ontario Inc. (the “managing partner”) is subject to accept by the “managing partner” and/or nominees of the managing partner. The joint venturer must submit in full a cheque representing full payment being honoured upon presentation for payment. The full amount of the cheque will be returned plus interest to the joint venturer if rejected in thirty days of submission by the joint venturer.

In consideration of the Managing Partner accepting this Power of Attorney: 1. The undersigned agrees to be bound as a participant, under the terms set out in the joint venture agreement, and in effect, the undersigned hereby expressly ratifies and confirms the power of attorney given to the managing partner 2. The undersigned hereby irrevocably constitutes and appoints the managing partner, with full power of substitution, as his/her/its true and lawful attorney and agent, with full power and authority in his/her/its name, place and stead to execute and deliver, for and on his/her/its behalf, the sale of the joint venturer’s participation to purchasers of corporations and or rental or corporations and/or portion of those corporations.

(At no time will the managing partner, and/or joint venturer sell, market, advertise, solicit, or discuss the sale thereof of any portion of corporations for sale/rent) The power of attorney granted herein and therein is irrevocable and is a power coupled with an interest and survives the assignment by a participant of the while or any part of the interest of each such participant in the joint venture agreement and extends to heirs, executors, administrators, successors, assigns and other legal representatives of such participants, and delivered to the managing partner and may be exercised by the managing partner on behalf of each participant in executing such instrument with a single signature as attorney and agent for the participant. Each participant agrees to be bound by a representation or action made or taken by the managing partner.

Power Of Attorney

The undersigned represents and warrants to the Managing Partner that; a) The undersigned is participating in the joint venture agreement at a joint venture partner agreement (see “Joint Venture Agreement”) as a principal for his/her/its account and not for the benefit of any other person b) The undersigned has received a copy of the Joint Venture Agreement, and the undersigned has had as opportunity to ask and be answered any and all questions which he/she/it wishes and with respect to the “business interest” (see “Business Interest”) and has committed to participate in the partnership c) The undersigned is a participant who by virtue of his experience or by virtue of consultation, with or advice from a registered advisor or registered dealer(s) or accounting professional, or experienced agent is able to evaluate the participation on the basis of information respecting the joint venture agreement presented d) He/she/it has the capacity and competence to execute this power of attorney and has reviewed the joint venture agreement

The undersigned confirms that He/She/It would like to participate in this Joint Venture Agreement a) The undersigned will commit $______________ as a participant as a joint venture partner in the joint venture agreement (see “Joint Venture Partner Agreement”) and appoint 1245093 Ontario Inc. as its nominee under this power of attorney b) The managing partner will register a partnership agreement (when and if required) with local government registration, under the partnership act, on behalf of the participant c) List of number of partners will determent the return of both profit and expenses to the participant. (see Projections; note: projections cannot be guaranteed )
