Notre société se réserve en outre le droit de suspendre ou d’annuler la livraison des commandes à venir ou en cours de la part de l’acheteur, découlant de tout contrat avec notre société, sans pour autant perdre son droit à indemnité. RESERVE DE PROPRIETE ET TRANSFERT DES RISQUES La propriété des marchandises livrées ne sera transférée à l’acheteur qu’à compter du paiement intégral du prix et de ses accessoires et intérêts de retard, notre société se réservant le droit, jusqu’alors, de reprendre possession desdits produits. Le cas échéant, tout acompte versé par l’acheteur restera acquis à notre société à titre d’indemnisation forfaitaire, sans préjudice de toutes autres actions que notre société serait en droit d’intenter de ce fait à l’encontre de l’acheteur. Le paiement intégral s’entend par l’encaissement effectif des traites et effets de commerces ou chèques. En revanche, les risques sont transférés à l’acheteur dès l’expédition des produits. En conséquence, l’acheteur s’engage à contracter toute assurance utile pour se prémunir de tous risques que peuvent encourir ou causer les installations. Il devra justifier desdites assurances à toute réquisition de notre société, à peine de résiliation immédiate de la vente si bon semble à notre société. L’acheteur s’interdit de vendre ou de consentir un gage sur les installations et équipements faisant l’objet de la présente clause de réserve de propriété, à peine de résiliation de la vente. L’acheteur autorise d’ores et déjà notre société à pénétrer dans ses locaux, ateliers, magasins, bureaux ou autres pour procéder à la reprise du/ou des biens vendus non payés à l’échéance convenue, et ce, dès le lendemain de ladite échéance. Tous frais y afférents seront à la charge du débiteur défaillant. LIVRAISON Les marchandises sont livrées Départ Usine. Toutes nos marchandises voyagent toujours aux frais, risques et périls du destinataire : il appartient donc à l’acheteur, en cas d’avaries, perte ou retard d’exercer tout recours contre le transporteur, et conformément à l’article L133-3 du Code de commerce, d’effectuer toutes les réserves
nécessaires auprès du transporteur par lettre recommandée avec accusé de réception dans les 48 H de la réception des marchandises, dont copie sera adressée simultanément à notre société. A défaut, lesdits produits seront considérés comme acceptés par l’acheteur. Une livraison partielle ou /et un retard de livraison ne donnent à l’acheteur ni le droit d’annuler la commande, ni de refuser la marchandise, ni de réclamer des dommages-intérêts. Les délais de livraison ne sont donnés qu’à titre informatif et indicatif et tout retard de livraison ne peut donner lieu à aucune pénalité ou indemnité, ni motiver l’annulation de la commande. L’acheteur est tenu de vérifier l’état apparent des produits lors de la livraison. A défaut de réserves expressément formulées par écrit sur le bon de livraison et confirmées par écrit dans un délai de 48 H à compter de la livraison, les produits délivrés par le transporteur seront réputés conformes en quantité et qualité à la commande. Aucune réclamation ne pourra être valablement acceptée en cas de non respect de ces formalités par l’acheteur. Notre société remplacera les produits livrés dont le défaut de conformité aura été dûment prouvé par l’acheteur, notre société se réservant la faculté de procéder, directement ou indirectement à toute constatation et vérification sur place. GARANTIE Notre garantie se limite à la garantie légale contre les vices cachés rendant les produits impropres à l’utilisation, pendant deux ans à partir de la date d’achat. Cette garantie est limitée au remplacement des produits non conformes ou affectés d’un vice. Toute garantie est exclue en cas de mauvaise utilisation, négligence ou défaut d’entretien de la part de l’acheteur, comme en cas d’usure normale du bien ou de force majeure. Afin de faire valoir ses droits, l’acheteur devra, sous peine de déchéance de toute action s’y rapportant, informer notre société, par écrit, de l’existence des vices dans un délai maximum de 3 jours à compter de leur découverte. Notre société remplacera ou fera réparer les produits ou pièces sous garantie jugés défectueux. PRODUITS Aucune réclamation ne pourra être faite concernant : • La porosité de certains composants (socles, accoudoirs), laquelle découle des moules utilisés pour leur fabrication, • Les taches, salissures sur les revêtements, dès lors qu’aucun revêtement simili cuir n’est anti-tache. Ceux-ci doivent être uniquement nettoyés avec de l’eau tiède et du savon, • Les nuances de couleurs des composants, dès lors qu’ils peuvent être modifiés suite à une exposition à la lumière, et que pour des matériaux agglomérés, des vernis, des bois, il est impossible de retrouver des nuances de couleurs identiques, • Les formes et les couleurs etc. des mosaïques, qui sont des pièces d’art uniques faites à la main et qui relèvent de choix du maître artisan en verrerie, • Les bruits relatifs au fonctionnement des systèmes de massage, • La hauteur des fauteuils, donnée à titre purement indicatif, varie en fonction de la base choisie. La hauteur des fauteuils est établie de façon à ce que le siège soit à 48 cm environ du sol (min 46, max 51) en fonction de la base choisie. Recommandations : • Ne pas utiliser de produits abrasifs pour le nettoyage des éléments en aluminium, • N’utiliser que de l’eau tiède et du savon pour nettoyer les revêtements, • Les fauteuils peuvent être garnis avec les revêtements du client. Le cas échéant, aucune réduction de prix ne sera octroyée et notre société ne pourra pas donner de garantie équivalente aux modèles standards. Notre société n’accepte pas de coloris du client à reproduire sur nos bois ou autres matières, • Ne pas soulever les fauteuils par les accoudoirs : ceci peut entraîner une entrée d’air dans la pompe. Le cas échéant, replacer la pompe dans sa position d’origine et actionner plusieurs fois la pédale afin d’expulser l’air. FORCE MAJEURE Les incendies, inondations, tremblements de terre, catastrophes naturelles, attentats, tous types de ruptures ou difficultés d’approvisionnement revêtant le caractère de circonstances imprévisibles, incontournables et indépendantes de notre volonté sont considérés comme cas de force majeure exonératoire de toute responsabilité. PROPRIETE INTELLECTUELLE ET INDUSTRIELLE Le client déclare bien savoir et reconnaît les droits d’auteurs, brevets, et plus généralement les droits intellectuels de notre société, tant sur les marques, dessins et modèles, procédés brevetés, secrets de fabrique, relatifs aux produits qu’elle commercialise. Le client s’interdit en conséquence toute reproduction, réédition, citation, copie servile ou autre des produits, emballages et marques dont s’agit sans l’accord exprès de notre société. DROIT APPLICABLE – LANGUE DU CONTRAT De convention expresse entre les Parties, les présentes Conditions Générales de Vente et les opérations d’achat et de vente qui en découlent sont régies par le droit français. Elles sont rédigées en langue française. Dans le cas où elles seraient traduites en une ou plusieurs langues, seul le texte français ferait foi en cas de litige. LITIGES Tous les litiges auxquels le présent contrat pourrait donner lieu, concernant tant sa validité, son interprétation, son exécution, sa résiliation, leurs conséquences et leurs suites seront soumis au Tribunal de Commerce de LYON. 08/2011

CONDIZIONI GENERALI DI VENDITA 1) IN GENERALE L’accettazione delle seguenti condizioni da parte dei compratore è contestuale all’inizio dell’esecuzione del contratto. Nessuna deroga viene concessa se non effettuata per approvazione scritta da parte della GAMMA &BROS SPA (di seguito La Venditrice). 2) CONDIZIONI DI VENDITA I prezzi si intendono I.V.A. esclusa, merce resa franco fabbrica. 3) IMBALLI Il costo dell’imballo viene indicato sulla conferma d’ordine regolarmente inviata subito dopo la ricezione dell’ordine 4) PAGAMENTO DELLE FORNITURE Ogni ritardo o irregolarità dei pagamenti dà diritto alla venditrice di troncare immediatamente e senza formalità di sorta la fornitura, anche se inerente ad altro contratto. Nel caso di pagamenti con cambiali, cessioni o assegni bancari, questi titoli saranno accettati a maggiore garanzia del rapporto fondamentale dipendente dalla fornitura. In caso di ritardo dei pagamenti il compratore perde il diritto all’eventuale sconto e debe corrispondere gli interessi commerciali in ragione dieci percento dal importo totale dalla scadenza del giorno di pagamento. 5) ORDINI Gli ordini devono essere trasmessi direttamente alla Venditrice, il committente riceverà una conferma d’ordine scritta. Non si accettano variazioni né cancellazioni d’ordine trascorsi 48 ore. dalla data di conferma. I colori dei campioni di rivestimenti, legni, stoffe e lacche sono indicativi. Le tonalità possono variare da consegna a consegna e pertanto la Venditrice non si assume nessuna responsabilità al riguardo. La Venditrice non risponde della eventuale inesatta opposizione del numero di Partita IVA che, obbligatoriamente, deve essere correttamente comunicato per iscritto, anche in caso di successiva variazione, cessazione od altro.

6) CONSEGNA La merce si intende caricata e spedita, sia con mezzi della Venditrice che con mezzi dell’acquirente, per conto e rischio del compratore e senza responsabilità di sorta per la Venditrice, anche qualora essa sia venduta franco destino. I termini di consegna sono indicativi e dipendenti dalla disponibilità e dalla capacità produttiva dello stabilimento al momento della commissione. Tali termini non impegnano comunque la Venditrice la quale non è tenuta a corrispondere alcuna indennità per eventuali danni sia diretti che indiretti dovuti a ritardi di consegna o a risoluzione parziale o totale della fornitura. La Venditrice non risponde di mancata esecuzione, irregolarità o ritardo delle consegne e delle spedizioni dipendenti da interruzioni o sospensioni o insufficienza dei trasporti, soste da deficienza di energia elettrica o di materie prime, da scioperi, serrate, agitazioni sindacali, guasti agli impianti ed in genere a qualsiasi causa di forza maggiore nonché in caso di modifiche richieste dal Committente. In ogni caso il compratore non avrà diritto ad alcun risarcimento danni di qualsiasi natura.
11) RISERVA DI PROPRIETA ‘ La merce consegnata rimane di proprietà della Venditrice, fino al totale pagamento della fornitura. Il compratore non deve né impegnare né dare in garanzia la merce fornita con diritto di proprietà. 12) INDEROGABILITA ‘ Al momento della stipulazione dei contratto il compratore si dichiara d’accordo sul contenuto delle presenti condizioni di vendita e di pagamento. Obiezioni a posteriori sono escluse. Eventuali condizioni in favore del compratore che sono in contrasto con le precedenti non sono valide e non sono impegnative per la Venditrice, anche se da questa non venga fatta opposizione. Nella eventualità che una o più disposizioni delle suesposte CONDIZIONI GENERALI DI VENDITA vengano variate o non siano valide, tutte le altre rimangono impegnative a tutti gli effetti. 13) GARANZIA I prodotti Nelson Mobilier sono garantiti per due anni a partire Della data di fatturazione contro tutti i defetti di fabricazione in condizioni di normale utilizzo. IMPORTANTE 1) Alcune nostre basi, braccioli ed elementi strutturali sono realizzati in fusione. Le eventuali imperfezioni della superficie, dovute alla porosità stessa del materiale, non devono essere oggetto di reclamo. 2) Si consiglia di non usare prodotti abrasivi per la pulizia degli articoli in alluminio. 3) Per le poltrone l’altezza della seduta é sempre indicativa in quanto dipende dal tipo di piede scelto. L’altezza della poltrone è fissata in modo che la seduta sia a circa 48 cm da terra (min 46, max 51) in funzione della base prescelta 4) I colori relativi alla finitura in legno non garantiscono una tenuta costante nel tempo in quanto esposti alla luce, risulta quindi difficile ottenere le stesse gradazioni a distanza di tempo. 5) Sia i legni che le laccature non possono essere garantiti sempre identici nel corso del tempo in quanto trattasi di materiali naturali i primi e leggermente variabili i secondi in ragione delle diverse partite di coloranti. 6) Alcune parti di articoli come i braccioli ed altri elementi strutturali sono in legno massiccio, mentre i mobili sono rivestiti in impiallacciatura, quindi anche se della medesima essenza sarà impossibile ottenere un identicità di colore, gradazione ed effetto. 7) Si consiglia di non muovere le poltrone con pompa idraulica alzandole con presa sui braccioli. Questo tipo di operazione provoca l’immissione di aria all’interno della pompa causando malfunzionamenti. In tal caso è necessario alzare al massimo la seduta e quindi agire ripetutamente sul pedale in modo da far uscire l’aria e ripristinare le condizioni normali. 8) I cristalli mosaici sono del tutto opere d’arte e quindi pezzi unici, non si accettano contestazioni relative a colori, forme e disegni che vengono decisi insindacabilmente dall’artista stesso. 9) Non si accettano campioni di colori da riprodurre sui nostri legni. 10) Gli imbottiti possono essere rivestiti con materiali del cliente, in questo caso non verrà applicata alcuna deduzione. Non garantiamo peraltro la qualità di finitura se il materiale è fornito dal cliente.
7) CONTESTAZIONI La venditrice garantisce la costanza qualitativa dei prodotti e dei loro rivestimenti, ma non si assume nessuna responsabilità circa il loro impiego. La venditrice declina ogni responsabilità per danni a persone o cose derivanti da un uso improprio del prodotto. I materiali usati per il rivestimento degli articoli sono prodotti da terzi ed essendo talora trattati con prodotti chimici, la Venditrice declina ogni responsabilità per danni di qualsiasi natura arrecati a persone o cose imputabili in tutto o in parte all’utilizzo di dette sostanze. 8) RESI DI MERCE Sotto pena di decadenza, ogni eventuale contestazione o reclamo deve essere notificato per iscritto alla Venditrice entro il termine di 8 giorni dal ricevimento della merce. IN CASO DI AMMANCO O AVARIA DELA MERCE IL DESTINATARIO DOVRA‘ SEMPRE PROVVEDERE AL RITIRO, ED A LUI COMPETE, ALL ‘ATTO DEL RICEVIMENTO DELA MERCE, AVANZARE RECLAMO ALLO SPEDIZIONIERE O AL VETTORE PER IL DANO SUBITO. Qualsiasi reso potrà essere accettato solo se preventivamente autorizzato ed accompagnato da regolare bolla comprendente gli estremi dei documenti d’acquisto. La fattura relativa a merce spedita su richiesta di sostituzione verrà messa in pagamento al fine di evitare sospesi. 9) RITIRO, PASSAGGIO DI RISCHI La merce pronta deve essere ritirata immediatamente. Se il compratore è in ritardo con il ritiro, la Venditrice si riserva di cancellare il contratto, chiedere il risarcimento dei danni oppure immagazzinare la merce a rischio del compratore con addebito dei relativi costi. 10) LUOGO DI ADEMPIMENTO E FORO Il luogo di adempimento per la consegna e il pagamento è CHASSIEU - FRANCIA . I contratti sono regolati dalla normativa francese. Per i contratti stipulati con cittadini italiani il foro competente è fissato in LIONE - FRANCIA, anche nel caso in cui il compratore intendesse rivalersi in seguito ad azioni promosse da terzi nei suoi confronti. GENERAL CONDITIONS OF SALE 1) GENERAL The acceptance of the following conditions by the purchaser will be in force from the beginning of the contract execution. No derogation shall be permitted, exception made for any written approval on the part of NELSON MOBILIER (hereinafter called the Seller). 2) CONDITIONS OF SALE The prices shall be intended excluded of VAT , the goods are delivered Ex works. 3) PACKING The price of the packaging will be reported on the order confirmation, which shall be regularly sent immediately after the order receipt. 4) PAYMENT FROM DELIVERIES Any delay or irregularity in the payment shall grant the Seller the right to suspend deliveries immediately and without any formality, even if it is relevant for another contract. Should the payment be done by bills of exchange, assignments or bank cheques, these forms of payment will be accepted as further guarantee for the fundamental relationship deriving from delivery. In case of delay in the payment, the purchaser loses the right to have a possible discount and shall also pay the business interests corresponding to the official discount rate increased by ten percent of the total amount, beginning from the maturity of the payment. 5) ORDERS Any order shall be directly transmitted to the Seller, the purchaser will subsequently receive a written confirmation of the order. After 48 hours from the confirmation date, neither changes nor order cancellations could be accepted. The colours of the samples concerning coverings, woods, fabrics and lacquers are not binding. Their shades can change from one delivery to another, therefore the Seller cannot assume any responsibility as far as this matter is concerned. The Seller cannot be responsible for the possible wrong affixing of the VAT registration number, which should compulsorily be correctly written down, also in the event of subsequent change, suspension, etc...

6) DELIVERY The goods shall be loaded and dispatched, either using the Seller’s means of conveyance, or using the purchaser’s means of conveyance, being agreed that the transportation shall be done at the risk and charge of the purchaser, without any responsibility on the part of the Seller, also in the event the goods are sold free delivered to destination. The terms of delivery are not binding and contingent to the availability and production capacity of the factory at the time of the commission. These terms are, therefore, not binding for the Seller which is not bound to pay any compensation for either direct or indirect possible damages caused by delayed delivery or by either partial or total deliveries. The Seller is not responsible for the non-execution, irregularity or delayed deliveries and for those dispatches affected by stoppage, suspension or inadequate means of transport, stopover caused by supply power or raw materials shortage, strikes, locks-out, union agitation, broken-down systems and by any other cause of force majeure as well as in the event of modifications required by the Purchaser. In any case, the purchaser will no be entitled to damages of any kind. 7) OBJECTIONS The Seller assures constant quality features of the products and their coverings; nevertheless, he is not responsible for their use. The Seller disclaims all responsibility for damages caused to people or things, resulting from improper use of the product. The materials used to cover the articles are manufactured by third parties and, since they are treated with chemical products, the Seller disclaims all responsibility for any kind of damage caused to people or things partially or totally due to the use of the above mentioned substances.
10) SEAT OF FULFILMENT AND LAW COURT The seat of fulfilment for delivery and payment is in CHASSIEU - FRANCE. The contracts are subjected to the French regulation. For those contracts which are stipulated with French citizens, the law court will be in LYON - FRANCE, even in case of a purchaser’s recourse further to actions by third parties against him. For those contracts which are stipulated with foreign citizens, the law Court will be also in LYON - FRANCE. 11) RESERVATION OF TITLE The delivered products remain property of the Seller until the payment obligations have been entirely fulfilled. The purchaser shall not pledge the goods which have been delivered under reservation of title. 12) UNBREAKABILITY At the time of the stipulation of the contract, the purchaser agrees with the sales and payment terms contents. All subsequent claims are excluded. Any possible term in favour of the purchaser, which is opposed to the previous ones, is not valid and binding for the Seller, also in case the latter agrees. In the event that one or more clauses concerning the above mentioned GENERAL CONDITIONS OF SALE are changed or invalid, the remaining clauses are still binding for all practical purposes. 13) GUARANTEE Nelson Mobilier products are guaranteed against all defects for two years from the date of invoice if used under normal conditions. The part to sobject to wear and tear and consumables are not guarantee. IMPORTANT 1) Some of our bases, armrests and structural elements are made with moulds, and therefore there is a possibility of slight surface imperfections, due to the porosity of the material. 2) We suggest that you do not use abrasive products to clean aluminium parts. 3) None of the upholstery is dirt-repellent. If stained, we recommend you to wash immediately the fabrics with tepid water and soap, excluding other products. 4) The height of the chairs is for guidance only, as it depends on the base selected. The height of the chairs is set so that the seat is about 48 cm from the floor (min 46, max 51) according to the selected base. 5) The colours of woods may change slightly when exposed to light over a period of time. 6) Both woods and varnishes cannot be guaranteed to remain identical over time, due to natural product variation or different colouring lots. 7) Some product components, like armrests or other structural elements, are manufactured in solid wood whilst aesthetic elements are laminated. Therefore, there may be slight differences in shade of different components. 8) We suggest that you do not to lift hydraulic chairs by their armrests. This may cause airlocks in the pump causing the chair to malfunction. Should this occur, pumping the chair to its highest point and then repeatedly pumping the pedal in order to expel the air can resolve the situation. Let the chair down in the normal manner and repeat the process until the situation is rectified. 9) We cannot match colour samples to those in our own wood selection. 10) Chairs can be upholstered with a customers own fabrics, however we are not able to offer a reduction in price and finish quality cannot be guaranteed. 11) The massage systems are working with electrical motors and compressors. We do everything to avoid noise causing by the use of the massage. In this case, we cannot accept reclamations regarding sounds from motors or mechanisms which are considered as too noisy.
8) RETURN OF GOODS Any possible objection or claim should be notified in writing to the Seller within 8 days after receipt of the goods, on pain of their lapsing. IN CASE OF SHORTAGE OR FAULTY GOODS, THE CONSIGNEE SHOULD ALWAYS COLLECT THE GOODS AND HE IS ENTITLED TO TRANSMIT A CLAIM FOR THE SUFFERED DAMAGES TO THE FORWARDER OR TO THE CARRIER, AS SOON AS HE RECEIVES THE GOODS. The returned goods could only be accepted if they are provided with a regular bill specifying the details for the purchase documentation. The invoice concerning the goods delivered by substitution request will be included in the total payment as to avoid any unsettled matter. 9) COLLECTION, TRANSFER OF RISKS When the goods are ready, they should immediately be collected. Should the purchaser be late in collecting the goods, the Seller has the right to terminate the contract and is entitled for damages as well as to stock the goods at the purchaser’s own risks, debiting the respective costs. 08/2011

CONDICIONES GENERALES DE VENTA 1) EN GENERAL La aceptación de las condiciones aquí presentes por parte del comprador se aplica al ejecutir el presente contrato. Ninguna derogación se acorda, salvo aprobación escrita de la empresa Nelson Mobilier S.A llamada más tarde la Vendedora. 2) CONDICIONES DE VENTAS Nuestros precios se entienden sin tasas y sin portes (EX-WORKS). 3) EMBALAJES El precio del embalaje viene mencionado en la confirmación de pedido, la cual suele mandarse al recibir el mismo pedido. 4) PAGO DE LAS ENTREGAS Todo retraso o irregularidad de pago otorga a la Vendedora el derecho de interrumpir inmediatamente y sin ningún tipo de formalidad sus entregas, aunque sea inherente a otro contrato. En el caso de que el pago se hace por medio de letras de cambio ; cesión o cheques bancarios, aquellos títulos se aceptarán como garantía ulterior de la relación fundamental vinculada a la entrega. En caso de retraso en el pago, el comprador pierde derecho al descuento otorgado eventualmente y tendrá que pagar intereses bancarios de un importe 6 puntos superior a la tasa de descuento oficial, a partir del día de vencimiento. 5) PEDIDOS Los pedidos tienen que transmitirse directamente a la Vendedora, el comprador recibe una confirmación de pedido por escrito. Todo cambio o anulación del pedido no puede aceptarse más allá de 48 oras después de la confirmación de pedido. Los colores de las muestras de chapado, madera, tapizados, y lacas llevan un carácter indicativo. Los matices pueden cambiar de una entrega a otra, por consiguiente la vendedora declina toda responsabilidad a este respecto. La Vendedora no es responsable de la aposición eventualmente errónea del número de identificación fiscal, el cual tiene que comunicarse de manera correcta por escrito hasta en caso de variación sucesiva, cese, etc.

6) ENTREGA Consideramos la mercancía cargada y expedida tanto por medio del transporte de la Vendedora como por transporte del comprador, ésta viaja a cuenta y riesgo y a cargo del adquiridor, sin ninguna responsabilidad de la Vendedora, hasta en el caso en que la mercancía se vende EX-WORKS. Los tiempos de entrega son indicativos y dependen de la disponibilidad y de la capacidad de producción de la fábrica en el momento del pedido. Estos tiempos de entrega no comprometen la Vendedora, y ésta no está obligada en pagar ninguna indemnización por eventuales daños directos o indirectos engendrados por retrasos de entrega o por anulación de parte o toda la entrega. La Vendedora no se hace responsable de la no ejecución, irregularidad o retraso de entrega y expedición debidos a interrupciones, suspensiones o escasez de medios de transporte, retrasos causados por energía eléctrica o materias primas insuficientes, huelgas, instalaciones averiadas y todo otro caso de fuerza mayor en general, así como en caso de modificaciones requeridas por el adquiridor. En todos los casos, el comprador no tendrá ningún derecho a daños y perjuicios de ningún tipo. 7) RECLAMACIONES La Vendedora garantiza una calidad constante de sus productos y chapeados sin embargo no asume ninguna responsabilidad con respecto a su empleo. La Vendedora declina toda responsabilidad con respecto a daños a personas o cosas causados por una utilización impropia del producto. Los materiales usados para el chapeado de los artículos son producidos por empresas externas y son a veces tratados con productos químicos, la Vendedora declina toda responsabilidad para cualquier tipo de daño causado a personas o bienes imputables totalmente o en parte al uso de las sustancias susodichas.
10) LUGAR DE EJECUCION Y TRIBUNAL El lugar de ejecución de la entrega y del pago es Chassieu-France. Los contratos se someten a la ley francesa y todas las reclamaciones tendrán que llevarse ante el Tribunal de Comercio de Lyón sólo competente en la materia. 11) RESERVA DE PROPIEDAD La vendedora queda propietaria de los productos entregados hasta su pago total. El comprador no debe pignorar o dar en garantía la mercancía entregada con reserva de propiedad. 12) INEVITABILIDAD Durante la estipulación del contrato, el comprador declara su consentimiento respecto al contenido y las condiciones de venta y de pago susodichas. Las reclamaciones hechas a posteriori no son admisibles. Toda condición eventual a favor del adquiridor, en contradicción con las precedentes, no es válida y no compromete a la Vendedora, aunque ésta no se oponga. En el caso de que una o varias disposiciones de las CONDICIONES DE VENTA susodichas vengan modificadas o sean inválidas, todas las demás siguen totalmente apremiantes. 13) GARANTIA Los productos Nelson Mobilier tienen una garantía de dos años a partir de la fecha de facturación, contra todo vicio de fabricación, en condiciones normales de utilización. Esta garantía de dos años no incluye los consumibles y piezas de desgaste. IMPORTANTE 1. Algunos de nuestros zócalos, apoyabrazos y componentes son fabricados a partir de moldes. Ninguna reclamación podrá ser aceptada con respecto a posibles imperfecciones a la superficie, vinculadas a la porosidad del material. 2. Les recomendamos evitar el uso de productos abrasivos para limpiar los elementos de aluminio. 3. Ningún revestimiento de cuero artificial es antimancha. En caso de mancha, les recomendamos limpiar inmediatamente con agua tibia y jabón, evitando todo otro producto. 4. La altura de los sillones es indicativa, cambia con el tipo de base escogido. La altura de los sillones se establece para llegar a 48cm del suelo (min. 46cm, máx. 51cm) según la base escogida. 5. El color de las diferentes maderas puede moficarse ligeramente después de una exposición a la luz, es lo que explica la dificultad en volver a encontrar más tarde el mismo matiz de color. 6. No existe ninguna garantía asegurando la posibilidad de encontrar maderas y barnices idénticos a los modelos originales porque los primeros son materias naturales y los segundos dependen de las entregas de los proveedores. 7. Algunas partes del mobiliario son de madera maciza cuando el resto es de aglomerado. Entonces, aunque el material y el color sean idénticos, es imposible volver a encontrar exactamente el mismo matiz de color y el mismo efecto visual. 8. Les recomendamos evitar levantar los sillones por los apoyabrazos. Eso puede provocar una entrada de aire en la bomba, lo que puede causar una disfunción. En este caso, volver a poner la bomba en su posición de origen y accionar el pedal varias veces para expulsar el aire y volver a encontrar un uso normal. 9. No aceptamos reproducir sobre nuestras maderas o materias colores del cliente. 10. Los sillones pueden tapizarse con revestimiento del cliente. En este caso no se otorgará ningún descuento y no se podrá dar la misma garantía que para nuestros productos estándar. 11. Los sistemas de masaje funcionan con motores y compresores eléctricos. Todo está hecho para reducir al mínimo los ruidos relativos al funcionamiento del masaje. Entonces, ninguna reclamación podrá aceptarse respecto a ruidos de motores o mecanismos considerados como excesivos.
8) DEVUELTA DE MERCANCIA So pena de caducidad, todas contestaciones o reclamaciones eventuales tendrán que notificarse por escrito a la Vendedora en el plazo de 8 días cabales a partir de la entrega de la mercancía. EN CASO DE FALTA O DAÑO DE LA MERCANCIA EL DESTINATARIO TENDRA QUE ENCARGARSE DE SU RECOGIDA. ES SIEMPRE LA RESPONSABILIDAD DEL DESTINATARIO RECLAMAR DIRIGIENDOSE AL TRANSPORTISTA POR LOS DAÑOS CONSTATADOS AL RECIBIR LA MERCANCIA. La mercancía no se podrá devolver sin autorización previa de la Vendedora y tendrá que ser acompañada de los documentos siguientes : factura original, confirmación de entrega, detalles de los daños, albarán de transporte con las menciones claras de los daños constatados. 9) RECOGIDA, TRANSFERENCIA DE RIESGOS Cuando la mercancía está lista, se tiene que recoger inmediatamente. En caso de retraso de la recogida de la mercancía, la Vendedora se reserva el derecho de rescindir el contrato y pedir daños y perjuicios o almacenar la mercancía a riesgos del comprador facturándole los gastos correspondientes.

ALLGEMEINE GESCHÄFTS- LIEFERUNGS- UND ZAHLUNGSBEDINGUNGEN 1. ALLGEMEINES Die folgenden Konditionen treten zu Beginn der Ausführung des Vertrages in Kraft und werden von dem Auftraggeber akzeptiert. Einschränkungen jeglicher Art werden nicht genehmigt, sofern nicht eine schriftliche Einwilligung von seitens der Firma NELSON MOBILIER S.A. vorliegt. 2. VERKAUFSBEDINGUNGEN Die Preise verstehen sich als Netto-Preise ohne Mehrwertsteuer. Die Waren sind Ex-Work (Ab Werk) geliefert. 3. VERPACKUNG Die Kosten der Verpackung werden auf der Auftragsbestätigung, die unmittelbar nach dem Erhalt des Auftrags versendet wird, aufgeführt. 4. ZAHLUNG DER LIEFERUNG Die Zahlungen erfolgen in Chassieu - Frankreich, Hauptsitz von NELSON MOBILIER S.A (nachfolgend der Auftragnehmer genannt). Diese Regel gilt auch für eine eventuelle Ausstellung einer Tratte, eines Schecks oder im Falle einer Übertragung einer Tratte durch einen Dritten, auch wenn er dazu berechtig ist Wechselspesen und Wechselsteuer gehen zu Lasten des Auftraggebers und werden, welcher dies stillschweigend und sofort akzeptiert. Jeder Zahlungsverzug oder eine Unregelmäßigkeit der Zahlungen, berechtigt der Auftragnehmer dazu, die Lieferung ohne Formalitäten abzubrechen, auch wenn dies an andere Verträge geknüpft ist. Im Falle einer Tratte, Schecks oder Konzessionen, werden diese als weitere Garantie akzeptiert für das fundamentale Verhältnis abhängig von der Lieferung. Im Falle eines Zahlungsverzugs verliert der Kunde den Anspruch auf einem eventuellen Skonto und muss die Rechnung begleichen. Darüber hinaus muss der Auftraggeber die, ab dem Tag der Fälligkeit der Zahlung entstandenen Verzugszinsen, ersetzen.

5. AUFTRAG Jede Bestellung muss an NELSON MOBILIER S.A. gerichtet werden und der Auftraggeber erhält eine Auftragsbestätigung. 48 Stunden nach dem Ausstellungsdatum der Auftragsbestätigung können Veränderungen oder Stornierung nicht mehr akzeptiert werden. Die Farben der Musterpalette, vor allem was das Holz, die Stoffe oder die Lacke betrifft, sind nicht verbindlich. Die Tonarten können von Lieferung zu Lieferung variieren und der Auftragnehmer kann deswegen dafür keine Verantwortung übernehmen. 6. LIEFERUNG Die Waren werden immer verladen und geliefert, sei es mit Beförderungsmitteln des Auftraggebers oder des Auftragnehmers, auf Kosten und Risiko des Auftraggebers. Die Liefertermine sind nicht verbindlich und abhängig von der Verfügbarkeit und der Produktionskapazität des Herstellers zur Zeit des Auftrages. Deshalb übernimmt der Auftragnehmer keine Haftung für eventuellen, direkten oder indirekten Schäden, die durch den Verzug oder durch teilweise oder totale Auflösung der Lieferung entstanden sind. Der Auftragnehmer ist nicht verantwortlich für fehlende Durchführung, Irregularität oder Verspätung der Lieferung, die durch Unterbrechungen, Abbruch oder Untauglichkeit der Transport, die abhängig sind von Energieversorgung, von fehlenden Rohmaterial, von Streik, von Arbeiteraussperrung, von gewerkschaftlichen Handlungen oder generell von höheren Gewalt verursacht wurden, als auch in Fällen von Änderungen von seitens des Auftraggebers. In jedem Fall hat der Auftraggeber nicht das Recht auf Schadensersatzforderungen jeglicher Natur. 7. REKLAMATIONEN Der Auftragnehmer garantiert für eine durchgehende Qualität der Produkte, aber er ist nicht verantwortlich für den Gebrauch der Produkte. Der Auftragnehmer übernimmt keine Haftung wegen unzweckmäßige Benutzung, die körperliche Verletzungen oder Schaden der Ausstattung nach zieht. Die Materialien, die benutzt werden, werden nicht vom Auftragnehmer hergestellt und da diese mit chemischen Substanzen behandelt werden, entzieht sich der Auftragnehmer jeglicher Verantwortung für etwaige Schäden an Personen oder Sachen.
10. GESCHÄFTS- UND GERICHTSSITZ Erfüllungsort der Lieferung und der Zahlung ist Chassieu - Frankreich. Die Verträge unterliegen den französischen Bedingungen. Für alle Verträge ist der Gerichtssitz in LYON - FRANKREICH. 11. EIGENTUMSVORBEHALT Die Waren bleiben bis zu vollständigen Bezahlung Eigentum des Auftragnehmers. Der Auftraggeber ist verpflichtet, Pfändungen der Eigentumsvorbehaltsgegenstände dem Auftragnehmer unverzüglich schriftlich anzuzeigen und die Pfandgläubiger von dem Eigentumsvorbehalt zu unterrichten. Der Auftrageber ist nicht berechtigt, die ihm unter Eigentumsvorbehalt gelieferten Gegenstände zu verpfänden. 12. RECHTSGÜLTIGKEIT Ab dem Zustandekommen des Vertrages stimmt der Auftraggeber den oben genannten Konditionen zu. Nachträgliche Einwendungen sind ausgeschlossen. Eventuelle Abweichungen der Konditionen des Auftraggebers mit den oben aufgeführten, sind ungültig und nicht bindend für den Auftragnehmer. Falls eine eine oder mehrere Punkte der oben angeführten Konditionen variieren oder ungültig sind, bleiben die anderen Punkte jedoch gültig und verbindlich für den Auftraggeber. 13. GARANTIE Wir gewähren Ihnen für dir Produkte Nelson Mobilier eine Garantie von zwei Jahre ab Rechnungsstellung gegen Fabrikationsfehler bei Benützung unter normalen Umständen. WICHTIG 1. Einige unsere Untergestellte, Armlehnen und Strukturelementen werden durch Zusammenfügen herstellt. Eventuelle Unebenheiten der Oberfläche, was auf die Porosität des Materials selbst zurückzuführen ist, können nicht Bestandteil einer Reklamation sein. 2. Es empfiehlt sich, keine Scheuer- und Putzmittel für die Reinigung der Teile aus Aluminium zu verwenden. 3. Kein Bezug ist gegen Fleck. Falls es schmutzig ist, empfehlen wir sofort nur mit lauwarmem Wasser und Seife zu putzen und keine anderen Putzmittel zu benutzen. 4. Die Höhe der Stühle ist immer abhängig von dem gewählten Fuß. Die Höhe des Stuhles wird geregelt so dass der Sitz an etwa 48 cm des Bodens (min.46 max 51) steht. 5. Die Farben des Lackes des Holzes haben keine dauerhafte Garantie, inwieweit sie Licht ausgesetzt sind. Es ist daher schwierig, den gleichen Farbton über die Zeit hinweg zu erhalten. 6. Es kann nicht immer im Laufe der Zeit eine gleich bleibende Qualität der Hölzer und der Lacke garantiert werden. Zum einen handelt es sich um Naturprodukte und zum anderen um schnell variierende Materialien in anbetracht der verschiedenen Teile der Farbe. 7. Einige Teile der Artikel, wie Armlehnen und andere Strukturelemente sind aus massivem Holz, während die Möbel überzogen sind mit einer Furnierung. Deshalb ist es auch mit größter Vorsicht möglich, dass sich diese in ihrer Farbe unterscheiden, was von dem Grad des Effektes abhängig ist. 8. Es wird empfohlen, die Stühle mit hydraulischen Pumpen nicht mit Hilfe der Armlehnen zu tragen. Dies kann dazu führen, dass die Luft in der Pumpe kommt und kann somit zu einer Störung der Funktion der Pumpe. In diesem Fall ist es notwendig, den Stuhl auf maximalen Höher zu steigern und dann mit Hilfe des Pedals langsam abzusenken, damit die Luft wieder entweicht. 9. Es werden keine Farbmuster akzeptiert, die auf unserem Holz reproduziert werden sollen. 10. Die Polsterungen können mit Materialien vom Kunden gefüllt werden, in diesem Fall kann keine Vorhersage gemacht werden. Wir garantieren des weiteren nicht für die Qualität der Füllung, falls diese vom Kunden geliefert wird. 11. Unsere Massagesysteme funktionieren mit Motoren und elektrischen Kompressoren. Alles ist getan um wenig Geräusch als möglich zu machen. In diesem Fall, können wir keine Reklamationen akzeptieren, wegen Lärm des Motors oder des Mechanismus, als zu laut berücksichtig.
8. RETOURE Eventuelle Reklamationen müssen innerhalb acht Tage nach Lieferung der Ware schriftlich gerügt werden. Im Fall von Fehlern oder Defekten der Ware muss der Auftrageber diese in jedem Fall abnehmen und eine Reklamation sofort nach Erhalt der Ware an die Spedition senden. Jede Zurücksendung kann nur durch eine vorherige Erlaubnis und mit einem Umschlag, der die Dokumenten des Einkauf enthält, akzeptiert werden. Die Rechnung der Ersatzlieferung wird in die Totalrechnung eingehen. 9. ABNAHME, RISIKOÜBERGANG Die gelieferten Waren müssen sofort abgenommen werden. Falls der Auftraggeber mit der Annahme im Verzug ist, hat der Auftragnehmer das Recht, den Vertrag zu annullieren und kann Schadenersatzanforderungen stellen oder auch die Ware auf Risiko des Auftraggebers mit Verzugszuschlag lagern. 08/2011
