Frequently Asked Questions on the RPA Reforms and EC Important Disclaimer: The answers below are not intended as legal advice and must not be construed or relied upon as such. They are intended only as general information because apparently insignificant facts may result in a fundamentally different result or enable alternatives. They reflect the situation applying at the time that it is given and change is constant. They are given to assist conveyancers in making their own enquiry and are not a substitute for a careful reading of the current applicable legislation: they should not be implemented without detailed legal advice. Note, too, that conveyancing practice and requirements also vary substantially between jurisdictions: the answers are prepared for South Australia and may not be appropriate or correct in another jurisdiction. Q: With the removal of Duplicate Certificates of Title and of the need for formal consents on LTO instruments, what action should a conveyancer take with respect to the mortgagee when one of the registered proprietors is coming off the title (eg noting the death or transfer between spouses)? A: A mortgage may be understood as two documents: • a loan agreement that binds each party to it,; and • a security over the land for repayment of the loan. Consequently, the parties to the loan agreement do not need to be the same as the registered proprietors who have provided the land as security for repayment. Even if one of the parties to the loan agreement ceases to be a registered proprietor, that person’s obligations under the loan agreement continue and the land remains as security for repayment of the total loan. Hence, removing one of the mortgagors as a registered proprietor does not change the individual or collective indebtedness or the security for that debt. Where a person die, their estate remains liable for the debt, even after the death is noted on the Title. However, the Reforms raise another issue. Previously, the removal of a registered proprietor required the production of the Duplicate Certificate of Title by the mortgagee. No production is required now – and a ‘production fee’ does not apply. Nor is a consent required and it should not be necessary because the obligations and security have not changed. But that is not the end of the matter. Standard loan agreements require a borrower to inform the lender of any change in material circumstances. The removal of a mortgagor from the Title would fall into this category because potentially a borrower’s willingness or ability to pay may have changed. Hence, conveyancers should advise their clients that the mortgagee should be informed of the change: in the absence of clear instructions in writing not to do so, the conveyancer should inform the mortgagee of the change in accordance with the loan agreement. Q: Pre-Reforms, the client signed the Transfer and was able to check its accuracy. This ensures any inaccuracies (eg names or consideration) are corrected. I am concerned about signing a Transfer that may not be correct. Are there any strategies that you would suggest to protect myself? A: Your existing letter than accompanies the Transfer undoubtedly suggests that your client carefully checks the information in the Transfer. Going forward, it is suggested that you send your client a letter/email attaching the Transfer and stating that, when you sign it, they will be bound so it is vital that they confirm with you that they have checked the names and consideration for accuracy. Follow up with the client if necessary. For electronic transactions, the electronic document may be printed and a pdf version may become available.

Q: I cannot open ARNECC’s Client Authorisation in its smartform (interactive pdf) format. Why? What can I do about it? A: Whilst normal pdf forms open easily on a PC, interactive pdf documents need to be opened in Adobe Acrobat Reader. Whilst Microsoft’s Internet Explorer can open interactive pdfs, the latest versions of Microsoft’s Edge and Google’s Chrome cannot. The result is that the Client Authorisation in smartform format does not open if accessed on the ARNECC website using the latest versions of Edge or Chrome. Other browsers (including Firefox, Safari, Opera, etc.) have not been tested by AICSA. The smartform format also does not open on a smartphone or tablet. However, even if you have this problem, you can still obtain and use the smartform Client Authorisation. • Option One (for any browser): Try another browser like Internet Explorer. (For Edge users, it is available as an Accessory in Windows 10.) Complete and save the form in the client’s folder. • Option Two (for Edge, Chrome and possibly other browser users): Go to the ARNECC’s Forms page (click here). Hover the curser over the link for the form and right click: from the dropdown menu that appears, click on Save Target As and, after a few seconds your File List dropdown menu appears: you can then save the smartform to your Desktop or another folder. Whenever you want to access the smartform, simply go to Desktop or wherever you have saved the file. If saved on Desktop, clicking on the icon on the Desktop will open it in Adobe Acrobat Reader. If opening from within another folder, you will need to open the file with Adobe Acrobat Reader. When you have completed the fields, simply save it in the relevant client’s folder – from which you can re-open and re-edit it later if necessary. It is also possible to save the smartform in interactive format to Favourites. Instead of Save Target As, click on Add to Favourites and save the link in your Favourites bar. You can then access the smartform from your Favourites bar and save in any folder as above. Adobe Acrobat Reader is available free at https://get.adobe.com/reader/. The latest version is called Adobe Acrobat Reader DC. Upgrading your Microsoft system? Whilst Internet Explorer has been Microsoft’s only browser for many years, Microsoft has replaced it with Edge on its Windows 10 devices. Just a Thought The rejection of the Reforms to the Real Property Act by some conveyancers is reminiscent of the rejection of the Act itself by lawyers in 1858. How to Improve Your Internal Data Search We’d like you to play along with us for a moment in a little experiment to see if you’re facing the same issues as other conveyancers. If you take a moment to visualise your typical work day, with emphasis on the information you handle on a day to day basis, perhaps your day might look something like this… When you arrive at the office on a Monday morning, you probably start by checking your emails, archiving the ones you don’t need, marking the ones you need to action for the day, and responding to a few others as quickly as you can. A colleague might send you a recent report, which you then save in a protected folder on your desktop. Picture your workstation. You probably have several print-outs on your desk and many documents filed in a nearby cabinet, with a rough semblance of organisation. You have spreadsheets and internet tabs open on your laptop. E-Conveyancing has landed! The beginning of July witnessed history in the making for the conveyancing profession in South Australia, as the very first electronic transactions and registrations occurred. The Australian Institute of Conveyancers South Australian Division in conjunction with PEXA bore witness as the state undertook its first steps into the digital age as property transactions were for the first time readily available to be submitted via PEXA rather than the arduous wait times suffered at the LTO. On 4 July a number of various activities occurred across the state as the opportunity to lodge forms online officially opened for business in South Australia. This included the first caveat to be registered by both the law firm Johnston Withers, and conveyancing firm – Conveyancing Matters both AICSA members. The first electronic property settlement occurred on 7 July between Conveyancing Matters and Conveyancing Centre. The duration of the online settlement process was approximately 30 mins. What is great is that this can all happen in the background whilst you get on with other work. The LTO updates in relation to a settlement will occur once the paper transactions that occurred prior to and up to this time are processed - so 2-3 days depending upon paper volumes. Thus the benefit to use a Priority Notice and ensure priority! AICSA is excited for what the future holds...

AICSA celebrates its 43rd Anniversary. The AICSA Council is celebrating this milestone by recognising three Members who have contributed significantly to the Conveyancing Profession in South Australia and at a National level. The AICSA Council would like to congratulate the following Members and thank them for their support and commitment. Presentation of the Honours will take place at the AICSA AGM in September. Life Member ‘Life Membership is the highest Award available to recognise the exceptional contribution of individuals to the AICSA. It is therefore only to be awarded in exceptional circumstances.’ Jeff Stevens – Jeff’s contribution to the AIC at a State and National level is unrivalled. He has served on the AICSA Council for 10 years, including 3 terms as its President. Jeff has further served on the AIC National Council including terms as the National President. During this time Jeff has tirelessly advocated on behalf of the Conveyancing profession at all levels of government, most notably in the Electronic Conveyancing Group (ECG) on the implementation of electronic conveyancing and through the same group with respect to the foreign residents CGT withholding tax. Jeff is presently advocating to government on the privatisation of the LTO. In 2016 Jeff celebrates 20 years in business, he displays to all conveyancers a true dedication to his chosen profession and leads by example. Jeff is never one to shy away from a challenge and illustrates to all conveyancers exactly what can be achieved with hard work and a willingness to step outside what is generally considered to be the limited realm of the conveyancer. Frances is an excellent supporter of AICSA events and professional development opportunities. John Erskine – has been licensed since 1990 and previously served on the AICSA Council. Do you want to give a presentation to Agents on the RPA Reforms and EC? Agents need an awareness about the major Reforms to the Real Property Act and EC. They also need to be aware that advising clients about the complexities is a matter for the conveyancer. Of the alternatives, the best mechanism for reaching the greatest number of Agents is a direct, in-office presentation by a conveyancer. Hence, AICSA has produced a PowerPoint presentation called Real Property Act Reforms – What Agents need to know to enable individual conveyancers to convey that information. About the presentation The 10 slide presentation enables conveyancers to give a brief (10-12 minute) illustrated talk about the topic – eg at the Agent’s sales meeting. The PowerPoint includes a script which the conveyancer can simply read: that script repeats each dot point on the slide interspersed with brief additional information. Topics addressed are – • Background to and scope of the Reforms • Particular reforms (Client Authorisation, VOI, VOA, retention of evidence, abolition of duplicate CTs) • Notable features of electronic transactions • More tasks and costs mean increased fees • What should an Agent do? It highlights the risks of failing to forward the story sheet, contract etc to the conveyancer soon after the contract is made. What should you do? Legal implications of not submitting registered interest to banks Readers are directed to the disclaimer in this publication which may be very simply summarised as the content of articles is not legal advice. Recently an issue has occured in regards to whether one must submit registered interest to banks. This is an issue that has been flagged with the Banks several times and over many months. They have failed, collectively and individually, on this and various other practitioner issues, to develop a policy. There are two parts to the answer. A mortgage may be understood as two documents: •

a loan agreement that binds each party to it and

a security over the land for repayment of the loan.

Media Release: BUDGET Disappointment - Privatisation of SA Land Titles Office announced Conveyancers and property professionals are disappointed with the government’s announcement in today’s budget to privatise the South Australian Land Titles Office, a service that performs a pivotal role in the South Australian economy. ‘We are obviously disappointed and concerned about the privatisation of the Lands Titles Office’ said the CEO of the Australian Institute of Conveyancers (SA Division) (AICSA), Rebecca Hayes. ‘Given the figure touted for the sale is between $300 - $400 million it appears to be a short term gain for the government, with long term, and yet unknown, ramifications for the South Australian public’ “Our land titles system protects consumers, maintains a high level of expertise, is efficient and is a system that has supported

South Australian’s well for 150 years” Ms Hayes confirmed. In the last year property transfers lodged at the Lands Titles Office exceeded 20 billion dollars and 63,300 mortgages provided a slightly lesser amount of capital to people for purchases and development. Ms Hayes says commercialisation should be considered carefully and with caution, as personal data of South Australians will be exposed to unnecessary risk if placed in the hands of the private sector, experienced hard-working South Australians could lose their jobs and costs to the consumer will increase.’

“Unfortunately the information provided today is light on detail and we are yet to see the benefits for our Profession or the Public” said the President of Australian Institute of Conveyancers South Australian Division (AICSA), Tim O’Halloran. “We have significant concerns around the loss of efficiency and expertise, increased costs for consumers, the access and privacy of data, governance and the continued implementation of best practice anti-fraud procedures. The government’s claim that the business case for commercialisation is ‘undeniably strong’ is questionable as far as we are concerned” said Mr O’Halloran Mr O’Halloran said the LTO stimulates the SA Economy and is well regarded as one of the most efficient and transparent systems in the world.

“We will continue to work with the South Australian Government to ensure our concerns under a privatised model are addressed, including legal protections around the titles register, capping LTO fee increases to CPI, ensuring the efficiency of the LTO is maintained and data privacy is preserved. Given the Government has now committed to commercialise the LTO the AICSA will work hard to ensure the best result for the SA Public.” said Ms Hayes

OTHER BUDGET MATTERS ‘The AICSA supports plans that stimulate the economy in particular those that drive growth in the property sector’ said Ms Hayes. ‘Extension of off-the-plan stamp duty concessions along with expansion of the scheme is a win for the consumer and their conveyancer’ ‘This strategy, along with investment and modernisation of the planning system, will help drive investment in property; fostering job and business growth in our sector’ said Ms Hayes.
