RenewableUK’s Chief Executive Hugh McNeal has said the economic uncertainty caused by nation’s decision to leave the EU strengthens the case for supporting onshore wind.

His intervention follows comments by the Prime Minister and the Chancellor about the effects of a period of prolonged economic adjustment and the need for a clear plan for immediate financial stability.

Speaking at Scottish Renewables Onshore Wind Conference in Glasgow on 29th June, Mr McNeal acknowledged that “it is tempting in these unprecedented times, in the period of uncertainty and market volatility since the vote, to focus only on the challenges ahead.

The fears are very real. The stakes very high, in terms of investment, jobs and consumer bills if we lose access to the European Energy Market.

Mr McNeal reminded delegates that “there remains a pipeline of onshore wind plants that are ready to build now, ready to be financed; projects which can generate economic activity and capital investment, projects it makes sense to build given the benefits they will bring and the challenges we now face.

He concluded that “it is vital that onshore wind retains an ability to compete and that it has “a route to market”. The offer is there. We now need to work to build a broad coalition, one that reaches out across industry, across all political parties, to help deliver it”.

RenewableUK’s CEO urged the industry audience to focus on new opportunities, stating that “it is precisely now, at this moment which is so unpredictable and uncertain, that I believe we should reflect on what we can offer; cheap, home-grown electricity able to deliver hundreds of millions of pounds of capital investment for our economy over the next few years, helping companies all over Britain just at a time when we need it most.

HAMILTON AND MCILVEEN ANNOUNCE WORLD LEADING £23MILLION ANAEROBIC DIGESTION PLANT NEAR BALLYMENA Northern Ireland’s Economy and Agriculture Ministers on 20th June announced that an innovative £23million Anaerobic Digestion plant is to be built at Tully Quarry near Ballymena.

The Tully Centralised Anaerobic Digestion Plant being led by Stream BioEnergy Ltd. and built by Xergi and local firm BSG Ltd will use a new innovative nitrogen stripping technology to allow the plant to use up to 100% poultry litter and will be one of the first Anaerobic Digestion plants in the world able to do so. The plant will process 40,000 tonnes of NI poultry litter each year to produce biogas, generate 3MW of renewable electricity and produce a high quality organic fertiliser.

The total cost of the project is £23.3million of which Invest Northern Ireland is providing a repayable £7.4million loan at a commercial based interest rate, and £1.3million equity under the Sustainable Utilisation of Poultry Litter (SUPL) Scheme. The balance of project funding has been provided by a Foresightmanaged fund Recycling and Waste LP, in which the UK Green Investment Bank is a cornerstone investor, as well as Xergi Limited.

The Poultry Meat sector employs approximately 6,000 people in NI and is a significant contributor to the local economy.

However, the poultry litter produced (currently some 270kt per annum and rising) presents a significant environmental challenge.

Economy Minister Simon Hamilton said: “This project has been developed as a result of support under the SUPL SBRI Project and the SUPL Loan Scheme. It is an outstanding example of public sector and private investors coming together to support a new technology for sustainable agriculture and to grow our economy. In addition to helping the local poultry sector to grow, the plant will create up to 100 jobs during the construction phase with a further 11 new jobs available when the plant becomes operational in 2017.”

In 2012, DETI and DARD jointly launched a Small Business Research Initiative (SBRI) competition to address the Sustainable Use of Poultry Litter (SUPL). The SBRI funded nine projects for proof of concept/feasibility stage work. The competition successfully encouraged the technical development of innovative solutions to utilise poultry litter and also provided evidence of the commercial viability of proposed solutions.

INCREASING DEMAND FOR ENERGY-EFFICIENT EQUIPMENT TO BOOST THE GLOBAL FREQUENCY CONVERTER MARKET THROUGH 2020, REPORTS TECHNAVIO UNTIL 2020, SAYS TECHNAVIO Technavio analysts forecast the global frequency converter market to grow at a CAGR of 9.38% during the forecast period, according to their latest report. However, the spending is likely to be unequal, with infrastructure expenses in Western Europe not expected to reach pre-crisis levels before 2018, at the earliest.

High demand for energy-efficient equipment The growing use of high energy consuming products such as compressors, HVAC equipment, pumps, lighting systems, and electrical and electronic devices by both residential and industrial users has led to a significant surge in average annual energy costs. Therefore, devices such as frequency converters that are energy efficient or enable users to attain energy efficiency are gaining popularity. Frequency converters allow energy saving through energy optimisation. FUEL POVERTY STRATEGIC WORKING GROUP The Independent Scottish Fuel Poverty Strategic Working Group updated the Housing Minister on their interim findings in late June.

This short life working group was requested by the former Social Justice Secretary Alex Neill last year. It is independently chaired by Professor David Sigsworth OBE and made up of representatives from a range of organisations with an interest in energy efficiency and fuel poverty.

The Chair of the expert group informed the Minister that the fuel poverty target will not be met this year. He also outlined that the group’s formal report, which will be published later this year, is likely to include recommendations on reviewing the definition of fuel poverty, a renewed strategy and targets for eradicating fuel poverty, and a balanced focus on the causes of fuel poverty.

Mr Stewart said: “I would like to thank everyone involved in helping the Scottish Government’s efforts to eradicate fuel poverty in our country. We know that increasing energy efficiency is the most sustainable way to reducing people’s fuel bills and we remain committed to this.

“We remain committed to continuing our efforts in this area and continue to work with stakeholders to review the fuel poverty action plan, including the fuel poverty eradication target. I look forward to receiving the final report later this year.”

NEW YORK CITY AMBULANCES GOING GREEN, SAVING GREEN The New York City Fire Department is installing Stealth Power’s idle reduction systems on more than 100 of its ambulances, helping prevent hazardous emissions and saving fuel. Emergency response vehicles need electric power to operate vital equipment and provide a controlled environment for medicines and patient care.

Historically, this required ambulances to idle their engines at all times. For every hour of idle – up to 20 hours a day in NYC – one ambulance burns about 1.5 gallons of fuel, emits about 33 pounds of carbon dioxide, and puts 35-50 miles’ worth of wear-and-tear on its engine. Multiply that

by NYC fleet size and operating time of 365 days a year and the numbers – in both dollars and carbon emissions – become exorbitant.

SIEMENS PARTNERS WITH U.S. ARMY’S INSTALLATION MANAGEMENT COMMAND HQS IN GERMANY TO SAVE ENERGY, CUT COSTS Siemens has received another Energy Savings Performance Contract (ESPC) recently to help the U.S. Government save energy and lower its associated costs, the first Siemens’ ESPC with a U.S. military facility outside the continental United States. Siemens and the Defense Logistics Agency Energy (DLA-E) signed a $24.6 million contract to install, operate and maintain a Combined Heat and Power (CHP) plant at the U.S. Army’s Installation Management Command (IMCOM) headquarters in Sembach, Germany, 65 miles from Frankfurt.

Originally an air base, Sembach became part of the U.S. Army Garrison RheinlandPfalz in 2010. The city of Sembach is headquarters not only for IMCOM, but also the home of European Regional Medical Command, 30th Medical Brigade, U.S. Army NATO Brigade and the 18th Military Police Brigade, as well as American Forces Network Europe.

Under this contract, Siemens will install a Combined Heat and Power (CHP) system and a Building Automation and Control System (BAS) at the Sembach Garrison. The Siemens Desigo CC BAS links the central hot water facility including Boilers and CHP with the 54 heating substations optimising hot water distribution while producing low cost electricity. The modifications will cut energy costs by over 33%, reduce carbon emission by more than 26% and serve as a foundation for energy security. In the future, with the implementation of a micro grid, the Army would be able to run a portion of the Garrison’s priority buildings without energy from the commercial grid.

Siemens Government Technologies, Inc. (SGT) and a team of experts from the Frankfurt Siemens office for Energy Efficiency will implement this work through an ESPC. ESPCs provide an alternative financial mechanism which allows federal agencies to reduce their energy intensity and/or energy costs by accelerating investment in cost effective energy conservation measures while incurring no capital costs. Thus at USAG RheinlandPfalz the $7.6 million investment in energy conservation measures as well as the operations and maintenance of the conservation measures for the project term is funded by the $24.6 million in guaranteed energy savings. In this case, the installed CHP also has the potential to generate an additional 12 years of savings after the project is complete.

Innovative technologies, combined with advances in digital solutions, create opportunities for progress, not only in the power sector, but also in the transport, buildings and other industrial sectors. Stable regulatory frameworks that adapt to the changing reality of the power sector are also needed,” said EURELECTRIC President and CEO of EDP António Mexia at a press conference held on the side-lines of the association’s Annual Convention taking place in Vilnius on 6-7 June.

“It is clear that fostering the necessary investments in the sector enables electrification, thus creating the most costefficient path towards a competitive, low-carbon economy,” Mexia added.

“As electricity becomes increasingly low-carbon, replacing fossil based systems with electric technologies which utilise electricity from renewables and other low-carbon sources will provide a promising pathway to decarbonise the rest of the European economy.” Electrification of the non-ETS sectors (such as transport, heating and cooling) is a technically and economically effective way to further enhance the contribution of renewables to the EU’s decarbonisation objectives.

President Mexia also stressed the important role of the ongoing digital revolution in enabling energy companies to focus further on customer needs. By 2020, utilities are expected to be full service providers proposing new products, services and personalised offers (such as demand response, energy efficiency audits, home management programmes, bundled offers) to their customers. Digitisation will however only bring results if the regulatory framework is adequate.

“This is regrettably not the case today. The growing share of taxes and policy support costs in customers’ bills – representing as much as the energy element of the bill in 2014 - holds customers back from actively participating in the market”, Mexia said.

Policymakers should therefore explore how support for power sector-related policies can be minimised to be less

EURELECTRIC Vice-President Phillips-Davies added that strengthening the EU ETS will provide a robust carbon price signal, meaning that emission reductions can be delivered cost-effectively without the need for additional measures which can fragment the internal electricity market. “As a technology-neutral, European wide instrument, strengthening the EU ETS can ensure the cost-effective decarbonisation of the European electricity system, and create a market pull for investment in low carbon technologies,” he said.

EURELECTRIC Secretary General Hans ten Berge stated that investment in the sector has become very risky with respect to all types of technologies, be it thermal generation, renewables, storage or demand response. “The electricity sector has become uninvestable. At a time where the sector needs to invest an estimated $2.2 trillion by 2035 to meet the EU’s energy and climate goals, this is a clear challenge. Europe therefore needs a future-proof market design, which ensures security of supply and allows delivery on the decarbonisation agenda,” he said.

FAIRBANKS ENERGY SERVICES COMPLETES FULLY INCENTIVISED ENERGY EFFICIENCY PROJECT AT GLOBAL REAL ESTATE FIRM

Fairbanks Energy Services, a full-service design/build energy conservation firm and developer of comprehensive commercial and industrial efficiency projects, announced on 21st June the completion of an energy efficiency initiative at The Campus at Marlborough, a four-building a Class A office complex located just west of Boston. To achieve optimal financial and energy savings, Fairbanks Energy secured utility incentives as well as engineered and implemented an expansive LED lighting and advanced controls retrofit for The Campus at Marlborough.

As part of the overhaul, engineers at FES replaced and retrofitted existing fluorescent fixtures with highly efficient LED fixtures with integrated controls. Light levels are finely tuned to match IES standards by dimming down the highend trim of each zone, which along with the automatic daylight harvesting, results in an additional 21% savings.

BREXIT AND THE ENERGY & ENVIRONMENT INDUSTRY – WHAT LIES AHEAD

The result of the referendum for the UK to leave the EU has created quite a bit of uncertainty in the general market, but within the energy and environment sector, the impact is more muted, given that the interests of both the EU and the UK have largely been broadly aligned.

The most immediate effect in the energy sector will be the negative impact of an increase in fuel prices, due to a weaker pound. However, this is merely a result of a fluctuation in the relative value of the currency. ‘With the bank of England providing strong statements to intervene at a moment’s notice, this is not expected to a have sustained impact on the market’. Frost & Sullivan expects the smart meter rollout to continue as planned with a firm commitment from the UK government already in place. The single market has been slow in progressing, but as the UK is one of the most liberalised markets in Europe and has always been supportive of this policy, it will continue to do so after an EU exit. It is likely that any rules the EU would create in this area would be approved and adopted by the UK. In the longer-term, we could see an increase in capital costs for power infrastructure because of increased financing costs – all this will depend on how well the UK can defend its reputation in the financial markets.

The UK energy market is an oligopoly with foreign utilities such as E.ON, RWE (npower), EDF, and Iberdrola (Scottish Power) representing 4 out of the top 6 players. It is likely that the uncertainty caused

by Brexit may decrease the level of commitment these energy companies show to the market.

Historically, the energy sector has been one where the EU has struggled to reach an agreement, and member states have subsequently been given a high degree of independence. Nuclear and coal power generation, for example, are areas where member states have held radically different views.

Having said that, Frost & Sullivan expects the following developments: • The UK is already ahead of the rest of the EU for reducing its coal generation capacity and carbon emissions. With a commitment to close all coal plants by 2025, there is no evidence to suggest that this policy will change. Equally, the UK will continue with its major carbon reduction initiatives - this is part of a global commitment and is not EU centric.

• New nuclear power plant construction in the UK has faced repeated delays and the Brexit vote will cause further challenges to the programme, despite the official statements ahead of the vote that EDF and other players would remain committed to the investment. ‘EDF has been moving at a snail’s pace anyway, but Brexit could make them re-examine the feasibility of the project.’ Jonathan Robinson, Principal Consultant.

• The UK was unlikely to meet its 2020 renewable energy target as part of the EU, and Frost & Sullivan estimates that more than half of EU states will also miss their targets, so there will be little change on this point. ‘Technically the UK would be free of any EU renewable commitments, but the UK had already cut its renewable subsidies and created uncertainty; this had reduced investment prior to the EU vote but planned projects are expected to go ahead, as most of the developers are already active players in

tangible difference with key examples being the Blue Flag certification of beaches. As recently as 2014, a record 99% of the UK bathing waters were either excellent or of good quality - this is largely due the Bathing Water Directive requiring significant investments from the wastewater treatment works discharging to sea. VAST OPPORTUNITY IN DISTRIBUTED POWER GENERATION SOLUTIONS AS DEMAND FOR POWER IN SOUTHEAST ASIA SOARS

The inadequacy of transmission and distribution (T&D) infrastructure and the topographical challenges in isolated islands such as Indonesia and the Philippines have created strong demand for distributed power generation (DPG) in Southeast Asia. Myanmar, marked by low electrification rates of 26 percent and high transmission line losses of 25 percent, will also have significant use for DPG, especially to provide electricity to smaller load centres.

New analysis from Frost & Sullivan, Trends in the Distributed Power Generation Market in Southeast Asia (http://www. frost.com/sublib/display-report.do?id=P900-01-00-0000&src=PR), finds that the overall installed capacity of the DPG market was estimated to be 20,450 MW in 2015 and is forecast to reach 34,747 MW by 2020. The key types of power plants analysed are biomass and waste to power, solar photovoltaic (PV), internal combustion engine (diesel/heavy fuel oil (HFO)/gas engines/gensets)-based power plants and temporary rental power plants.

Despite these issues, DPG is still a more viable option than conventional power solutions. A centralised power plant takes five to ten years to become fully operational due to the obstacles created by environmental laws, the protracted land acquisition process and overall construction delays. During this period, power producers will look to meet the demand for power by setting up temporary rental power plants.

“Indonesia, Myanmar and the Philippines have been facing severe rolling blackouts due to the gap in supply, their geography, and weak power sector infrastructure,” said Frost & Sullivan Energy & Environment Research Analyst Adwaith Visveswaran. “Additionally, prolonged delays in completing base load centralised power generation plants in these countries create vast opportunities for diverse DPG solutions that can be quickly deployed to meet soaring electricity demand.”

Southeast Asia has an annual global horizontal irradiance (GHI) ranging from 1,200 kWh/ sq meter to 1,800 kWh/ sq meter, making it ideal for developing solar power plants.

Besides, more than 60 percent of the land in Thailand, Myanmar and Vietnam is suitable for large-scale solar farms, with substantial irradiance levels between 1,200 kWh/m2/yr and 2,000 kWh/m2/yr. This natural advantage has given a major fillip to the DPG market in Southeast Asia.

Though the opportunities are many, the prohibitive cost of batteries for solar PV panels and the inherent risks in fuel supply contracts affect the returns on investment for project developers.

In any DPG project, except those based on solar PV, 40 percent to 60 percent of the cost is earmarked for obtaining fuel. In some cases, project developers have to import fuel, and the returns from tariffs do not justify this expenditure.

The lack of favourable policies and regulations is another hurdle to the rapid adoption of DPG.

“Across Southeast Asia, gas-fired DPG solutions are likely to find greater uptake than diesel/HFO-fired DPG solutions due to their environment benefits, operational flexibility and shorter implementation time,” noted Visveswaran. “DPG solutions will also become less expensive once developers ensure the security of fuel-supply through long-term partnerships with suppliers and the feedstock community.”

Overall, strong policy support and a change in utilities’ business models will go a long way in unlocking the true potential of the DPG market in Southeast Asia.

WORLD’S FIRST ELECTRIC ROAD OPENS IN SWEDEN

The two-kilometre strip on the E16 motorway sees electrified trucks from Scania driven in open traffic, using conductive technology developed by Siemens.

Scania is supplying the electrically-powered trucks which will travel the road, and will operate under real traffic conditions.

The beauty of the new technology, which is the result of several years of cooperation between the Swedish Government and the private sector, is that it permits the trucks to operate as electric vehicles when on the electrified road and as regular hybrid vehicles at other times. All the Scania trucks on the road are hybrid and Euro 6-certified, running on biofuel.

Scania’s head of Research and Development Claes Erixon, says, “The electric road is one important milestone on the journey towards fossil-free transport.

The truck receives electrical power from a pantograph power collector that is mounted on the frame behind its cab. The pantographs are in turn connected to overhead power lines that are above the right-hand lane of the road, and the trucks can freely connect to and disconnect from the overhead wires while in motion.

When the truck goes outside the electrically-powered lane, the pantograph is disconnected and the truck is then powered by the combustion engine or the battery- operated electric motor. The same principle applies when the driver wants to overtake another vehicle while on the electrified strip of the road.

Scania´s sees the electric road as being a key component in achieving Sweden’s ambition of an energy-efficient and fossil-free vehicle fleet by 2030. It can also help to strengthen Sweden’s competitiveness in the rapidly-developing area of sustainable transport.

The site for the new processing plant, which will have a nameplate capacity of 300 million cubic feet per day (“MMcf/d”) and the capability to extract more than 40,000 barrels per day of NGL, has yet to be determined. The project is anchored by long-term commitments from a major producer. The facility is expected to begin service in the second quarter of 2018.

Lopez Canyon Landfill opened in 1975 and has been closed to refuse collection since 1996. Over 19 million tons of waste in the landfill continues to produce gas from buried trash.

An extensive and sophisticated landfill gas collection and conveyance system delivers the gas to the upgraded facility to convert this landfill gas to renewable energy, helping meet the goal of reducing carbon emissions in a cost effective way.

WATER AND WASTEWATER TREATMENT RECEIVE BOOSTS FROM HEAVY SHALE EXTRACTION CONTAMINANTS Plummeting prices of oil and gas (O&G) has compelled O&G companies to defer investments in water and wastewater treatment technology. The current focus is on cost-effective and sustainable water and wastewater management solutions; however, as the O&G industry rebounds in 2016, there will be increased investment in wastewater treatment and water recycling equipment. The total market, however, will not reach is pre-2014 revenues until 2019.

New analysis from Frost & Sullivan, North American Shale Oil & Gas Water and Wastewater Treatment Market (http:// www.frost.com/nf74), finds that the market earned revenues of $422.2 million in 2015 and estimates this to reach $633.1 million in 2021.

DYNEGY TO ACQUIRE ENERGY CAPITAL PARTNERS’ INTEREST IN ATLAS JOINT VENTURE

Under the terms of the agreement, Dynegy will acquire ECP’s stake in the JV by assuming ECP’s share of the upfront equity funding at closing, then paying ECP the revised discounted floor price of $375 million post-closing for a total transaction value of $750 million (assuming the transaction closes on October 1, 2016).

When the Atlas JV was originally formed, ECP provided Dynegy with the ability to buy its 35% interest in the JV using a predetermined methodology which included a minimum floor price of 2.25x ECP’s net investment in the venture. Based on expected partner equity contributions at the time, the minimum buyout price totalled $934 million including ECP’s initial capital contribution. By taking steps to reduce the upfront capital requirement and the minimum buyout multiple, the cost of the buyout is reduced by $184 million and accelerates the full integration of the ENGIE portfolio into Dynegy’s existing business.

Dynegy Inc. (NYSE: DYN) announced in mid-June its intention to acquire Energy Capital Partners’ (ECP) 35% interest in the Atlas joint venture (JV) which the two companies formed in February 2016 to purchase ENGIE’s 9,058 megawatt U.S. fossil portfolio [1].

Upon completion of the ENGIE portfolio acquisition, Dynegy will own 100% of the acquired business.

As a result of reaching this agreement with ECP, Dynegy envisions financing the acquisition of the ENGIE portfolio at the Dynegy Inc. level instead of pursuing a portfolio-level financing as previously planned with an expected benefit of reducing annual cash interest costs by approximately $40 million. By eliminating the structural and financial complexity of the joint venture, not only does Dynegy expect to reduce the cost of capital associated with the transaction, but also increase potential synergies and efficiently use the company’s NOLs, leading to meaningful increases in free cash flow to Dynegy. Dynegy’s acquisition of ECP’s interest in the JV does not impact ECP’s previously disclosed commitment to purchase $150 million in Dynegy Inc. common stock for $10.94/share at transaction closing which will result in ECP becoming Dynegy’s largest shareholder at that time.

Post-closing, the combined company will have approximately 34,700 MW of generation assets with a presence in all major competitive markets in the U.S. The company’s fleet continues to undergo a significant transition with the addition of ENGIE’s U.S. fossil portfolio and the previously announced shutdown of various coal units, resulting in a portfolio that is 71% gas and 29% coal by year-end 2017.

The acquisition of ENGIE’s U.S. fossil portfolio remains on track to close in the fourth quarter of this year.

EATON TO HELP U.S. ARMY UPGRADE ELECTRICAL UTILITY, CRITICAL POWER AND CYBERSECURITY SYSTEMS AT FORT GORDON IN GEORGIA

Power management company Eaton on 9th June announced a $20 million contract from the U.S. Army Corps of Engineers, Engineering and Support Center, Huntsville, to lead complete electrical utility upgrades for normal and critical power systems at Fort Gordon in Augusta, Georgia. Under the multi-year agreement, Eaton will provide turnkey engineering services, as well as all necessary power distribution, electrical control and power quality equipment.

Eaton was awarded the project under the Utility and Monitoring Control Systems-IV (UMCS-IV) contract for U.S. government infrastructure improvements. The work will help Fort Gordon, which is home of the U.S. Army Cyber Center of Excellence, continue to deliver high-quality power with an adaptable, secure and responsive infrastructure.

Eaton has extensive experience in critical design/build power projects and utilised an innovative approach of supporting electrical utility system optimisation with the Eaton Modular Integrated Transportable Substation (MITS).

The scalable and transportable electrical power assembly is designed to expedite and reduce the cost of substation deployment through factory-assembly, wiring and testing.

FITCH PLACES WESTAR ON NEGATIVE WATCH FOLLOWING ACQUISITION ANNOUNCEMENT

Fitch’s primary concern is the level of GXP consolidated leverage following the acquisition, inclusive of $4.4 billion of parent-level debt plus an undetermined amount of hybrid securities (Fitch typically assigns 50% to 100% debt value to hybrid structures prevalent in the utility sector).

Fitch estimates that consolidated funds from operations (FFO)-adjusted leverage could exceed 6.5x following the merger, which is significantly weaker than the 5x average for utilities rated in the ‘BBB’ category.

Fitch Ratings early this month placed the ‘BBB+’ Issuer Default Ratings (IDRs) of Westar Energy, Inc. (Westar) and Kansas Gas & Electric Co. (KGE) on Rating Watch Negative following the announcement of the proposed acquisition by Great Plains Energy Inc. (GXP; not rated by Fitch) for $12.2 billion, including $3.6 billion of assumed debt. Westar will become a direct wholly owned subsidiary of GXP upon deal closing, which is expected to occur by Spring 2017. A full list of rating actions is at the end of this press release.

Fitch typically limits the notching difference between the parent and its subsidiaries to one or two notches, depending on the level of operational, functional and financial ties. Thus, elevated leverage at GXP would negatively weigh on Westar’s and KGE’s ratings and could result in a one or two notch downgrade. GXP’s long-term financial policy, the amount of hybrids used to finance the acquisition, GXP’s deleveraging plan as well as the level of integration and/or ring-fencing going-forward will become key criteria in assessing Westar’s and KGE’s credit profiles after the acquisition is completed.

GXP plans to acquire Westar for $7.3 billion in cash plus $1.3 billion of GXP common stock. At $60/share, the purchase price represents a 36% premium over the closing price on March 9, 2015, when rumours of a potential transaction surfaced. The transaction value of $12.2 billion, including assumed debt of $3.6 billion, represents a 12x multiple to Westar’s latest 12 months (LTM) EBITDA at first-quarter 2016. GXP has secured $8 billion of committed financing and $750 million of mandatorily preferred convertible equity commitment but intends to ultimately finance the transaction using a mix of debt and equity, including equity-like hybrids.

Key rating drivers High Consolidated Leverage: The sheer size of the acquisition compared to GXP’s current balance sheet will weigh on GXP’s financial profile. Fitch notes that the acquisition-related debt of $4.4 billion, excluding hybrid securities, is larger than GXP’s consolidated reported debt of $4.2 billion at March 31, 2016. Adding Westar’s existing debt of $3.6 billion, Fitch estimates that pro forma consolidated adjusted debt will likely exceed $13 billion while consolidated EBITDA will be close to $2 billion resulting in adjusted debt to EBITDA of about 6.5x. Fitch’s estimates are roughly consistent with management’s guidance of 13%-14% FFO-debt leverage post-merger. These metrics typically equate to a ‘BB’ rating category, absent a firm and credible commitment to deleveraging.

Business Profile Mostly Unchanged: The combination of GXP and Westar brings together similar business models likely to generate synergy savings while presenting low integration risk, in Fitch’s opinion. GXP and Westar operate contiguous service territories with significant connecting transmission lines and co-ownership of large generation assets. Improved scale and greater integration of these assets will likely result in significant synergies. While synergies are unlikely to be retained by Westar or GXP, they should create headroom in the retail rates for further rate-base investments and earnings growth. Furthermore, GXP is already familiar with the regulatory construct in Kansas through its ownership of Kansas City Power & Light (KCP&L).

Regulatory Approvals: State regulatory approval is only needed in Kansas, where the Kansas Corporation Commission (KCC) has 300 days from filings to judge whether the proposed acquisition is in the public interest based on an established list of criteria. The transaction will also need approval from the Federal Energy Regulatory Commission, the Nuclear Regulatory Commission as well as from Westar and GXP shareholders, amongst others.

Management expects the transaction to close in Spring 2017.

Stable Stand-Alone Credit Metrics: Under its base case scenario, Fitch anticipates Westar’s credit metrics will remain relatively stable over the rating horizon with adjusted debt to EBITDAR and FFO-adjusted leverage estimated at 3.5x-3.7x over the 2016-2019 forecast period.

Parent/Subsidiary Rating Linkage: KGE is a wholly-owned operating utility of Westar and its ratings are the same,

reflecting highly centralised operations with shared employees, treasury and corporate functions, and a consolidated capital structure for rate-making purposes.

Business is also conducted under the Westar names in contiguous geographies and WR’s revolving credit facilities are collateralised by KG&E’s first mortgage bonds, which include cross default provisions.

Key assumptions Fitch’s key assumptions within our rating case for the issuer include: • Compound annual kwh sales growth of 0.50%; • Rate increase of $78 million effective October 2015 and with incremental rate increase of $15 million effective July 2017; • Return on equity on FERC-regulated assets of 10.3%; • Capex of about $1.100 billion in 2016, $800 million in 2017, $750 million in 2018 and $700 million in 2019; and • Debt/equity maintained around 53/47; • Acquisition financing includes $750 million of mandatory preferred convertible equity (assigned 100% equity credit), $1.35 billion of hybrids (assigned 100% debt credit), $2.3 billion of equity and $4.4 billion of long-term debt as well as assumption of Westar’s existing debt.

Rating sensitivities Future developments that may, individually or collectively, lead to a positive rating action: • No positive rating action is anticipated in the near term given the pending acquisition and incremental parent leverage.

Future developments that may, individually or collectively, lead to a negative rating action: • Fitch believes that the completion of the acquisition, based on the proposed financing structure as disclosed, would result in a one or two notch downgrade of Westar’s ratings. Fitch would consider a one-notch downgrade if GXP presents a firm and credible path to deleveraging to a capital structure consistent with a ‘BBB-’ rating and/or if regulatory approval of the acquisition results in effective ring-fencing of Westar. On the other hand, Fitch would consider a two-notch downgrade if GXP relies heavily on hybrid issuance to finance the acquisition, follows an aggressive financial policy, and/or there is limited regulatory ring-fencing of Westar post-merger.

RECOM TEAMS UP WITH WEDIS GROUP FOR 10MW PROJECT IN GERMANY

Over 35,000 of RECOM’s Black Panther 285 mono high efficiency panels will be installed and are expected to produce approximately 10,000 MWh/year of energy from the first year of operation. The project highlights RECOM’s expanding portfolio of services, which as of 2016 includes financing solutions in order to support solar projects worldwide.

Germany company RECOM announced on 15th June the construction of a 10MW photovoltaic plant in Fuerstenwalde, Germany as the company continues its positive growth and expansion of services.

Already the second largest EU manufacturer of PV modules, RECOM has partnered with investment group WEDIS Group AG and is providing bridge financing for the construction of the entire project, which began this month.

SUNLINK AND BLATTNER ENERGY COLLABORATE ON NEW UTILITY SOLAR PROJECTS

Expanding on the collaboration that has already seen several hundred megawatts of solar installed, SunLink Corporation was selected earlier this month as the project supplier by Blattner Energy on two additional utility-scale solar plants. One project is in the Southeast U.S. and the second project is located in the Upper Midwest U.S.
