Contractual Agreement This Agreement is made effective as of / / by and between AK Sellers Photography, LLC hereinafter referred to as “Sellers” and , hereinafter referred to as “The Client” relating to the event(s) detailed below, hereinafter referred to as “The Event”. The Event requested by the Client is as follows: 1. _______________Session; on or about ________________________. Beginning at ____________ and Ending upon agreed completion; Session Fee Cost $________.

1. Reservation/Deposit/fees: Sellers requires a non-refundable retainer to reserve the date and time of the event as requested by Client. The deposit is 50% of the Event price payable at the time of the execution of this contract. If the Client cancels the event the retainer fee is non-refundable and is considered liquidated damages to Sellers. Client may re-schedule the event not less than 48 hours prior to the scheduled event without charge. Weather events are considered acts of God and depending on the circumstances there may be no charge to reschedule due to bad weather but it is at Seller’s sole discretion. Prior to the beginning of the Event, the Client shall make full payment of any remaining funds due and owing as set forth above by cash or check. There is a returned check fee of $35.00. The deposit set forth above, if the Event is completed as agreed, will be credited towards the final price set forth above. 2. Print and item prices are separate from session fees and are at the discretion of Sellers. The Session fee pays for photographer’s time, equipment and artistic vision only. Print and item prices are separate from session fees. Session fee payments are payable via cash or check. Please let us know if you would like a credit card option. Credit Cards are subject to a 3% surcharge. Orders are subject to 8.5% sales tax. 3. Event Time/Additions: The Client and Sellers agree that cooperation and punctuality are essential to accomplish the goals and wishes of all parties and time is of the essence. Shooting commences at the scheduled start time and ends at the scheduled end time. All additional time beyond the scheduled end time will be billed to the Client on a per hour. 4. Exclusive rights: Sellers will be the exclusive photographer with no other cameras or recording devices permitted during your event. 5. Travel Expense: All travel expenses are based on the distance between the Event location(s) and Sellers Studio address. For all Events, the first 40 miles roundtrip of travel is included. All miles in excess of 40 miles roundtrip are billed at $ .55 per mile.
6. Event: Sellers is not responsible for “unruly Guests”, lateness of the Client, weather conditions, schedule complications, incorrect addresses provided to Sellers or restrictions of the locations. Sellers is not responsible for backgrounds or lighting conditions which may negatively impact or restrict the photo coverage. The Client is responsible to provide a list of what the priorities of the Client are regarding the event and what the Client’s goals are regarding the event. Seller’s is not liable for missed coverage of any part of the Event. Sellers will not be held accountable for failure to deliver images of any individuals or any objects at the Event. Sellers will not be held accountable for failure to deliver images of any individuals who did not, could not or would not participate in the Event as directed by Sellers. The determination of the type of images delivered to the Client is left to the sole discretion of Sellers. 7. Cost of Services/Images: Additional services/prints/merchandise/digitals are not included in session fees. These services are sold separately. Images and prints are chosen at an in person selection appointment. All images are presented, selected and ordered at the in person selection session. Orders are subject to a $325 minimum order requirement. Minimum orders requirements must be met at that session. In order to begin processing your order, 50% payment is required at the time of order and the 50% balance is due upon delivery of the order. Payment arrangements may be available. Prices in effect at the time of placing the order for the event will be honored for 60 days from the date of selection session for additional purchases beyond the minimum order requirement. Items purchased more than 60 days after the date of the Event are subject to the prices then in effect. We will attempt to retain digital copies of the photographs taken pursuant to this Agreement for not more than 6 months after the Event. If archived files are somehow damaged or destroyed AK Sellers Photography, LLC will not be liable for any loss. All sales are final. 8. Sellers Printing Qualities: If Sellers provides the images of the events, Client acknowledges that color dyes may fade or discolor over time due to the inherent qualities of dyes, and Client releases Photographer from any liability for any claims whatsoever based upon fading or discoloration of any images. 9. Safety: Sellers reserves the right to terminate coverage of the event and leave the location of the event if, at the sole discretion of the photographer, the photographer experiences inappropriate, threatening, hostile or offensive behavior from person(s) at the EVENT(S); or in the event that the safety of the photographer is in question at photographer’s sole discretion. 10. LIMIT OF LIABILITY: In the unlikely event that the assigned photographer from Sellers is unable to perform to the guidelines of this contract due to an injury, illness, act of God, act of terrorism, or other cause beyond the control of Sellers, Sellers will make every effort to secure a replacement photographer. If the situation should occur and a suitable replacement is not found, responsibility and liability is limited to the return of all payments received for the Event and Sellers shall have no further liability with respect to this Agreement. This limitation on liability shall also apply in the unlikely event that photographic materials and digital files are damaged in processing, stolen, lost through camera malfunction, lost in the mail, or otherwise lost, destroyed or damaged without fault and beyond Sellers control, including but not limited to camera, hard drive, or equipment malfunction. Sellers liability to Client is limited to the return of all payments received for the Event. 11. COPYRIGHTS: The Federal Copyright Law applies to this contract. It is unlawful to copy, download or scan any images without permission of Sellers. Even though the pictures may be of you or your child, the Seller’s owns the copyright to the image. The parties agree that the photographs are not works made for hire as defined in accordance with 17 U.S.C. § 101, and that Photographer retains those exclusive rights in the photographs provided by 17 U.S.C. § 106, including the rights to reproduce the copyrighted work, distribute copies of the copyrighted work to the public, and display the work.
12. Modification of images: Sellers is the only entity/person who can or give permission to crop or modify any image produced at the event. Sellers retains the copyright and ownership of all images of the event and reserves the right to reproduce images for the purpose of studio display, gallery display, website, self-promotion, photo contests or any other use as determined by Sellers. If the Client has purchased a High Resolution Digital File from Sellers that has the appropriate online licensing for sharing, the Sellers grants the Client permission to share the images online, on social networking websites, with family and friends via email, and on vendor websites as long as the images remain unaltered in any way and textual credit is explicitly given to Sellers and watermark, if any, is left clear and intact. The Client may not scan, download, copy, print, screenshot, reproduce, alter, crop, edit, change, remove watermarks, transfer, photograph and post or otherwise disseminate the images. Clients are not allowed to reproduce any images produced by the photographer for any purpose. Likewise, clients cannot authorize any reproductions of the images for commercial use, personal use, for photographic competition or display. This includes scanning of work on Kodak picture makers or other printing/scanning machines at local stores (such as Wal-Mart, Walgreen’s, CVS, etc.), or on home printers and scanners. Violators may be subject to prosecution. 13. Liability Release–The Client agrees that by attending the event or session the Client acknowledges that it is not without risk. I agree that Sellers and its heirs, agents, employees or assigns will not be held liable for injury, illness, accident, emergency, death or other related problems arising from the Event. I also agree to hold the Sellers and its heirs, agents, employees or assigns harmless in the event I suffer personal property theft, damage, or loss while attending the event or session. 14. Entire Agreement: This agreement contains the entire understanding between Sellers and the Client. 15. Voluntary Execution: I have read and fully understand the contents and legal ramifications of this Liability Release, Assumption of Risk and Contract. I understand that this is a legally binding and enforceable contract and I sign it of my own free will. I agree that if any portion of this agreement is found to be void or unenforceable, the remaining portions shall remain in full force and effect.
