Although Distributors are allowed to conduct their business by themselves, one must do it ethically. A Distributor must adhere to the ethical codes of the Company as enumerated below: 1. To abide by all rules, regulations, laws and ordinances applicable to the operations as an Independent Distributor of Conybio's Network Marketing business, with the highest standards of honesty and integrity. 2. To refrain from using any Conybio trademarks or trade name, information, literature, meeting, gathering or any Conybio resources, to further other business interests. 3. To conduct oneself in a professional manner and to refrain from making claims for representations about any Conybio Products, other than those found in the Company literature or labels, under such claims or representation that have been approved by the Company in writing. 4. To present Conybio Product and Marketing Plan accurately and honestly, clearly portraying the level of efforts required to achieve Success. 5. To perform all duties of Sponsorship and responsible Leadership, while building the Conybio business and to treat every one, whether in your downline or not, with the same respect. 6. To refrain from producing, selling and / or distributing any business support materials / sales aids, which are deceptively similar to the literature or material published by Conybio to its Distributors, which could create the impression in a reasonable mind, that such literature or materials emanated from Conybio or its publications was authorised by Conybio. To refrain from introducing or selling Products / services not approved by the Company, through the Company's network of Distributors. To ensure that Conybio Products are only sold at the Distributors price to Distributors and at the

Customers Price to Customers as fixed by the Company. To refrain from owning or having a financial interest in more than one Distributorship. The Company reserves the right to terminate outright, a Distributorship, if found to be registered for a second time, arbitrarily without any notice whatsoever and also deem it fit to initiate any proceedings to safeguard its interest. To refrain from selling, assigning or transferring an existing Distributorship business to any other person without the prior written consent of the Company. To refrain from holding the Company responsible / culpable for delays unforeseen or otherwise, in delivery of ordered merchandise leading to a back order situation.

RULES & REGULATIONS All Conybio Healthcare (India) Private Limited Distributors are required to familiarise themselves with the operational policies of the Company. These Policies and Procedures are subject to change for any reason by the Company without notice. All Distributors are personally held responsible, for keeping track of the latest changes from time to time. Such changes, if any will be displayed on the notice boards and Conybio website. The Company will exercise these Rules and Regulations at all times and expects cooperation from all Distributors. ? Enrollment fee is Rs. 1500/-, as determined by the Company and covers: A Starter Kit comprising of a Corporate Handbook and a business building guide book. A Distributor can also buy products with BV and qualify for a bonus cheque accordingly. ? All Distributors are independent / free to solicit and deliver to the Company purchase orders for the Company's Products. Therefore, CONYBIO does not withhold any sum of money from bonus cheques, other than those specified by law, as well as those required for account adjustments. ? An applicant is considered to be a duly authorised Independent Distributor, herein after called “the Distributor�, when the Distributor Application and Agreement Form is accepted by

the Company. Independent Distributor is neither an employee nor an Agent of the Company. ? CONYBIO reserves the right to accept or reject any Distributor Application and Agreement Form, without having to provide any reason for its acceptance or rejection. ? If the applicant wishes to trade as a sole proprietor or partnership using a business name or as a Firm, the Proprietor or Managing Partner's name must be included on the Distributor Application and Agreement Form in the second line. CONYBIO will direct all communication to that individual only. ? A Distributor warrants that: 4 in case of an individual, they are over 18 years of age. 4 in case of a Business entity, it is properly registered in the State of residence of the Firm's Proprietor / Managing Partner. 4 in case of a Corporate entity, it is properly incorporated with the Registrar of Companies and has its registered office in the State of Incorporation. ? A Distributor cannot resign and immediately rejoin under a different name. A Distributor could rejoin only after a period of six volumes after resignation from the date of acceptance of


his / her resignation. ? Those Distributors who have not been doing business for a period of six volumes consecutively, may opt to resign and upon acceptance of their resignation, they could rejoin in any other line of their choice. ? Should a Distributor wish to resign, they must follow the rules set out in the termination of Distributorship clause. ? A Distributor may change his / her status from an individual to a business entity with proper documentation detailing all owners, partners, stock holders, officers and directors of the business entity. The individual submitting the form must provide adequate documentation, verifying that they are authorised to enter into binding contracts for the business entity. ? When submitting a request for change of status, the applicant must certify that no person with an interest in the business has had a Distributorship within six (6) volumes prior to submission of the form, unless it is the continuation of an existing Distributorship that is changing status. ? The Distributor is responsible for bearing all costs and expenses incurred in the conduct of their Distributorship. ? A Distributor must have only one Sponsor. ? An upline is the person who introduces and sponsors you to CONYBIO, as an applicant for appointment as a Distributor, who in turn becomes a Distributor, by virtue of CONYBIO's acceptance of their Distributor Application and Agreement Form. ? All Distributors have equal rights to conduct their business anywhere without any territorial exclusivity, as long as CONYBIO has established a corporate presence in the said country. ? Husbands and wives, married or defacto, may not sponsor each other nor have different sponsors. Therefore, a husband and wife may not be enrolled in different lines or organisations. This restriction also applies to any interlocking directorship or share holding that may exist from a business / Distributors relationship. However, should two Distributors marry and they both have the status of Manager and above, they will be allowed to keep their respective Downlines.

4 Downline in respect to a particular Distributor means that for the Distributor inquestion, all the Distributors personally sponsored by that Distributor, all the Distributors personally sponsored by such personally sponsored Distributor, and so forth down the line from the Distributor in question, to and including those Distributors who have not themselves sponsored other Distributors. 4 A Manager means a Distributor who has qualified as such, pursuant to CONYBIO's Marketing Plan. ? If a married couple divorces, the Distributorship shall be maintained in the name of the principal signatory on the Distributor Application and Agreement Form, unless the Company receives a certified copy of the Divorce Decree, which orders otherwise. ? A Distributor cannot cancel their Distributorship and have their spouse join under another Distributor, whether the spouse was co-applicant or not. ? Any change in status will be recognised by the Company in writing and the change will be effected from the date intimated to you. Non receipt of this letter would mean that the change in status has not been accepted by the Company. The right to accept or reject the change in status with or without assigning reasons shall rest with the Company. Till such occurrence, the existing status will prevail. ? No Distributor shall represent that he / she has any employment with Conybio. Conybio Distributors are “Independent Distributors” operating their own businesses. They shall neither imply that they are employees of Conybio, nor shall they refer themselves as “Agents” or “Company Representatives”, nor shall they use such terminology or descriptive phrases on their stationery or other printed material. Conybio cannot permit any relationship between, or representations by Distributors, which may impose employee liability on Conybio. ? Upon enrolment, a new Distributor must read and understand all terms and conditions as stated behind the Application Form.

STOCKISTS' DO'S & DONT'S 1.

The Stockist Centre should have a meeting room that can accommodate minimum 30 persons in theatre style, equipped with audio-visual aid system. The meeting room should have a white board of suitable size, marker pens, duster, slide projector, slides, projector screen apart from other basic necessities.

e. The Stockist shall under no circumstances sell the Conybio Products above the Distributor Price to the Distributors. Products have to be sold on cash and carry basis and not on credit. The Stockistship is liable to be withdrawn instantaneously, in case such instances are found to have been executed by the Stockist.

The Stockist Centre should have fixed business hours and Programmes of BOM (Business Opportunity Meeting), BBS (Business Building Seminar) and Motivational Sessions for Distributors and Prospects of the Company. The operational timings are to be furnished and displayed immediately upon the Stockist Centre becoming operational.

f. The Stockistship being an exclusive one, the Stockist shall not under any circumstances, either directly or indirectly, buy, sell or deal in any Products, similar to those manufactured by the Company, to the detriment of the interest of the Company.

The Stockist must be self-motivated and service oriented with high ethical attitude. The Stockist must be able to conduct Company's Business Opportunity Meeting (BOM), Business Building Seminar (BBS) and FIR / Product training and presentation to all other Distributors, who may require assistance in these areas.

7.

All Stockist Centres and Meeting Centres will discuss and conduct only Conybio business, as directed by the Company. Stockists are not permitted to discuss or promote other Network Marketing Business in any Stockist Centre. A Stockist runs the risk of termination if he / she violates this rule.

8.

The Centre must provide impartial services to all Conybio Distributors fairly, regardless of their network origin. In addition, the Stockist shall provide whatever Conybio Products demanded by all Conybio Distributors, regardless of any limitation with respect to the minimum Business Value stipulated by the Company from time to time.

All Conybio Products must be displayed prominently.

A Stockist is at liberty to open as many Meeting Centres as required for the promotion and propagation of Conybio's Network Marketing Business, with written consent from the Company.

The Stockist shall not take recourse to the following acts:

The Stockist is encouraged to sponsor prospects to become Distributors, under his sponsorship.

The Stockist shall agree to deliver the Products to the Distributors / Customers in their original packing and under their original trade marks, trade brands or trade names and without the addition of any other trade marks, trade brands or trade names and such original marks, brands or names shall be retained on the Products until delivery to the buyer.

The Stockist shall assist all Distributors irrespective of their origin, to fill up the Distributor Purchase Form correctly, clearly mentioning the name, I.D. No., date, volume month and insisting the individual Distributors to sign on their respective DPFs. The Distributor must insist that the DPF should bear the Stockist

Any arrangement collusive or otherwise, which is likely to affect adversely the sales potentiality and reputation of the Company.

Distributor should compulsorily make weekly submissions to the Stockist, which in turn will set into motion a cyclic process, wherein the Distributor benefits on all fronts. 17.

All payments made to the Stockist should be by local based crossed D/D in favour of Conybio Healthcare India Pvt. Ltd., payable at respective Consignment Agent locations, or at Chennai for States not having Consignment Agents. Distributors should refrain from making cash transactions at Stockist Centres. This will ensure that the submissions are sent by the Stockist promptly every week. Cash transaction are however permitted at the Home office only. Bills / Invoices must be furnished by all Stockists for sales effected to Non-Distributors compulsorily. All Stockists must maintain all records and have a Bill / Invoice, other than the DPF.

The Stockist shall submit the original DPF with payment to the Consignment Agent or to the Company, if there is no Consignment Agent, together with the Summary of Stockist Sales Submission Report Form SSSR on a weekly basis (every Monday of the week.).

All local based / outstation Demand Drafts made payable to CONYBIO HEALTHCARE (INDIA) PVT. LTD., by Distributors towards payment of the Products sold to them, along with relevant DPF by the Stockist to the Consignment Agent or to the Company, if there is no Consignment Agent. No other form of payment is permitted.

The SSSR Form must be duly filled with all the relevant items such as Date, DPF No., I.D.No., Product Code, Product Sizes, Total BV and Total DP, and mode of payment to the Company. The SSSR Form must also bear the Stockist Stamp and signature, as well as the Consignment Agent Stamp and signature, as may be applicable.

The Company shall replenish stock to the Consignment Agent for the Stockist or to the Stockist in case there is no Consignment Agent, according to the items mentioned in the DPF / Sales Submission Summary Form SSSR, within 7 – 10 working days after receipt of submission by the Company, subject to availability of Products.

All fields in the Distributor Application & Agreement Form (DAAF) should be duly filled, in order to avoid the submission being kept on 'HOLD'. The various reasons on account of which a submission is kept on 'HOLD' are: a. No upline found in DAAF. (ID not registered or upline ID wrongly given.) b. ID & Name do not match in DPF. (ID not registered or ID wrongly written for the given name.) c. For registration, DPF is available, but DAAF is not available. d. No proper information in DPF. (ID & name column blank.) e. Payment not received / Demand Draft returned. f. For registration, DAAF available but DPF is not available.

Over writing in DAAF. Proper care must be taken by the Distributor to ensure that the above reasons do not occur while filling in the DAAF and DPF.

13. The Distributor should ensure that corresponding entries are made by the Stockist in the SSR with the Stockist immediately. The Distributor should note down the SSR Number in their copy of DPF. 14.

Distributors must ensure that for all new enrolments, the entire submission should necessarily be made at any one Stockist Centre only.

Stockist must only accept DAAF with all fields filled and with a compulsory passport size photograph of the applicant, along with proof of address as is acceptable to the Company. Submissions made by the Distributors, not complying to these requirements should not be accepted at all.

The Consignment Agent for a State requires a total office space of approximately 1,500 sq.ft., which should house a Meeting Hall of approximately 500 sq.ft., to seat a minimum of 30 persons in a theatrical style, fully equipped with audio- visual aids, white board, marker pens etc. The Godown space for storing our Products should be approximately 500 sq.ft. and the remaining area, can be used for Office Cabin, Cash Counter, Delivery Counter, Computer / Printer Cabin, Lobby, Reception, Toilet etc. The Stockist shall approach the Consignment Agent for their total requirement of Products. Necessary DPF's and SSR should be duly filled by the Stockist correctly and forwarded to the Consignment Agent along with Demand Drafts matching the submission amount. Delivery of Products to the Stockists should be done after verifying the bonafides of the Stockist. The Consignment Agent shall peruse through the Stockists' submissions and if found correct in all respects accept the same, stamp and sign the documents. Whenever the submissions are accompanied with a Demand Draft, the Consignment Agent shall arrange to deliver the Products available with him at that point of time. He will first prepare an Invoice for the total SSSR amount and then prepare a Delivery Order for the Products available for issue. The remaining Products would be listed out as Back Order in a Back Order Note. On receipt of Products from the Company, based on the Invoice details, through a Product

Delivery Advice, the Consignment Agent shall replenish the Back Order Products to the respective Stockist. For this, the Consignment Agent will have to demand the Back Order Note from the Stockist and issue Products only after receipt of the Back Order Note from the Stockist. Back Order Products should not be issued if the Stockist does not produce the Back Order Note. In case of loss of this document, the Consignment Agent should record the loss in his copy of the Back Order Note and upon the Stockist accepting the loss and agreeing to the Back Order items as mentioned in the Consignment Agent's copy, by signing the same, the Back Order Products could be issued to the Stockist. All instructions and notices sent to the Consignment Agent by the Company should be displayed on the notice board for the benefit of all Stockists. The Consignment Agent is prohibited from exchanging BV Products with Non BV Products and vice-versa. The Consignment Agent is an extended arm of the Company. Any queries, challenges, pertaining to your business could be discussed primarily with the Consignment Agent to evolve a workable solution. However, in case the solution requires the involvement of the Home Office, the same may be routed through our Consignment Agent. It will be the primary responsibility of the Consignment Agent to boost the current Sales of all the existing Stockists by providing good service to all the Stockists.

PRODUCT ORDERING PROCEDURES 1.

Orders could either be placed at the Home Office directly or through any of our authorised Stockist. The Distributor must ensure that they sign on the DPF and make sure that the DPF bears the Stockist's signature and stamp

For the former 15th will be the closing and for the later month end will be the last date of the month. Incase, this date falls on a holiday, the preceding day will be considered as the last day of the month.

The Volume end submissions should be sent immediately on the following day by the Stockist to the Consignment Agent, who will compile and send the submissions to the Company on the same evening by courier, such that it reaches the Home Office positively on or before 6.00 PM on 17th of that month in the case of 1st volume and 2nd of the next volume of every month. In case of Chennai or where there is no Consignment Agent, the Stockist must ensure that the month end submission reaches the Home Office on or before 6.00 PM. on 17th of the 1st volume and 2nd of the next volume of every month . All volume submissions received beyond this deadline will be considered for the following volume.

RECEIVING ORDERS 1.

A Distributor / recipient of the Products shall sign the Delivery Note and Proof of Delivery (POD) of the Courier Company, acknowledging receipt of such Products in good condition and the responsibility of the Products shall thereby pass to the Distributor / recipient. All Stockists in locations not catered by a Consignment Agent shall sign the Delivery Note and POD of the Courier Company, acknowledging receipt of all Products as mentioned and arrange to send the duplicate signed copy back to the Home Office within a week. Failure to follow this procedure would automatically mean that all the Products received are in good condition. In the case of Consignment Agents, the Consignment Material Transfer Note will have to be signed acknowledging receipt of all Products as mentioned therein and the duplicate signed copy shall be sent to the Home Office within a week. Failure to abide by this procedure would

automatically stop all further shipments to the Consignment Agent. 4. In the event of shipping discrepancy, the Distributor / Stockist / Consignment Agent shall notify the Company about the discrepancy within (7) working days of such occurrence and specify the quantities of Products missing in the POD of the Courier Company itself. In case the carton boxes are damaged or opened, the same should be accepted as 'Open Delivery' and missing Product details must be mentioned in the POD. 5. Should any Product(s) not be accepted during normal working hours at the Distributor's / Stockist's appointed address on the relevant order form for whatever reason, (other than incorrect address, damaged or defective delivery) the Distributor / Stockist shall be liable for any costs the appointed courier may charge in respect thereof. If the Products are returned to the Company, the Distributor shall reimburse the Company for all charges incurred.

RETURN OF PRODUCTS 1. The sale of all Company's Product to Distributor is final. Unsold inventory shall not be returned for either refund, exchange or credit. However, Stockists, by virtue of purchasing Products in bulk may be permitted to exchange Products

depending on Product movement, on a case to case basis on written representation provided the Products are not used at all. 2. Stockists who are desirous of exchanging such stock will have to first send a Letter / Fax / E-mail of

their intention to exchange the Products lying with them. They will also have to furnish a list of Products, they wish to exchange. The Company shall examine such requests on a case to case basis and shall if awarded approval, intimate the said Stockist to furnish the details in the 'Goods Exchange Form' and arrange to send the goods to the Home Office, through the respective Consignment Agent, directly to the Home Office. For Non Consignment Agent States, on receipt of the goods meant for exchange and the Goods Exchange Form, duly signed & stamped by the Stockist, the same shall be checked by the Company

and if found acceptable, the Products requested in lieu of these products would be sent to the Stockist through the Consignment Agent or directly, as the case may be. 3. Distributors, Stockists and Consignment Agents may return any defective Product, occasioned due to faulty manufacture or transit damage, defective literature, sales aids or promotional material within 30 days from the date of purchase, provided they are in the same condition as shipped by the Company. The defective Products must be accompanied with the 'Damage Claim Form' and the Original Invoice.

COMPUTER SERVICES

4. The Company reserves the right to deduct balances due and owing to the Company from Distributor's bonuses and / or incentives.

A downline tree structure in computer printout will be made available to any active Distributor upon request being approved by the Company on any day of the month except the following dates 5th to 15th and the last day of the month. A minimum service charge of Rs. 15.00 will be imposed for the entire printout plus Rs. 5.00 per page towards print charges. Distributors will have to make the request by filling the “Request for Personal Organisation Chart Form”. These printouts are proprietary and confidential to the Company and are transmitted in confidence. The Distributor agrees that he / she will not disclose this information to any third party directly or indirectly.

PAYMENT OF BONUSES 1.

All the bonuses for a particular month are typically issued out around the 23rd in case of 1st volume and 8th of next month in case of the 2nd volume. The Company will pay the Distributor bonuses on orders with appropriate payment, which have been received by the Company on or before the deadline as mentioned elsewhere. The Company shall not be responsible for any orders received after the deadline as mentioned elsewhere. However, all orders after the deadline will be processed into the following month. A Distributor must always review his fortnightly bonus statements immediately and report any discrepancies within ten (10) days.

SALE OF DISTRIBUTORSHIP Distributorships may be sold with the written approval of the Company (approval may be granted conditionally or unconditionally) as long as in the opinion of the Company no Upline or Downline is at a disadvantage. Only a non-Distributor can purchase a Distributorship. Such a sale should be executed on a Rs. 20/Non-Judicial Stamp Paper, in accordance with the Sales and Purchase Deed draft format, along with DAAF duly filled, with one recent photograph. The Sales and Purchase Deed should necessarily declare the Sale value of the transaction. The sale should be accompanied with consent letters from two generations of immediate active Upline and Downline Distributors, along with a consent letter of the immediate Upline CDM, pertaining to the Seller's ID. The draft format of the consent letters are available at the Home Office. Before the sale of a Distributorship can be approved, written documentation must be sent to CONYBIOâfrom all parties concerned. Distributors who sell their CONYBIO business must wait for at least six (6) months before rejoining the Company. Distributors who are inactive continuously for a period of six months can resign and are free to rejoin any line of their choice, immediately thereafter.

DEATH & INHERITANCE In the event of death of a Distributor, the Distributorship will be passed on to the spouse. If the


spouse does not exist, then the Distributorship shall be passed to the legal successor(s). The following documents must be submitted by the inheriting heir(s):(a) A copy of the Death Certificate. (b) A completed Distributor Application & Agreement Form. (c) A Legal heir Certificate. Official proof of the beneficiaries must be provided to the Company. However, CONYBIO will not be party to any division and will only recognise one inheritor, be it an individual, married couple or a business entity. If more than one legal heir exists, then one among them should be authorised in writing, on a non-judicial stamp paper to continue the existing Conybio business as the sole owner / legal heir of the deceased and the same shall be notorised by any Notary Public.

TERMINATION OF DISTRIBUTORSHIP The Company reserves the right to terminate any Distributorship at any time upon violation of terms & conditions mentioned overleaf in the Distributor Application & Agreement Form, such as providing false or misleading information, or failing to disclose material information; abusing the privileges of the Conybio Marketing Plan; violating any provision of the business manual, or any published rules, regulations, guidelines or policies of Conybio. In addition, all such Distributors who are simultaneously working and promoting other MLM Companies, inducing fellow Distributors to join such other MLM Companies, tarnishing the image of Conybio by indulging in all acts detrimental to the Company, will also be terminated. In a Network, if one of the Distributors is terminated or resigns as a Distributor, status quo in respect of the existing Network created by such terminated or resigned Distributors, will be maintained. However, all benefits in relation to Bonus will be passed over to the immediate Upline of such terminated / resigned Distributors. The terminated or resigned Distributors will continue to remain in the system duly marked with the date of such resignation or termination. The terminated Distributor shall cease to qualify for any bonuses, incentives, prizes and other benefits sponsored by the Company.

DISTRIBUTOR RESIGNATION Should a Distributor choose to resign from Conybio Distributorship, he / she will have to furnish a resignation letter on Rs. 20/- Non Judicial Stamp Paper duly notarised. On acceptance of this resignation letter, if the said Distributor is an active Distributor, then he / she can avail of the Opportunity to rejoin in another line of his / her choice, after a period of 6 months from the date of acceptance of the resignation letter. However if at the time of resignation, the said Distributor has been inactive for a period of 6 months consecutively, then he or she could choose to join under any other line of their choice, immediately on receipt of the acceptance of their resignation letter. Please note that all such rejoining will be as an Independent Distributor afresh. The average time period for acceptance of resignation will be around one week from the date of receipt of all documents as mentioned above.

STOCKIST RESIGNATION In the event of a Stockist choosing to resign from Stockistship for whatever reason, he / she will have to follow the procedure as under: A) Resignation letter as per format, on Rs. 50/- Non Judicial Stamp Paper, duly notarised. B) Return the Stockistship Agreement and Seal. C) A letter indicating the Stockist's desire to resign, clearly mentioning the location where he / she chooses to bank-in the refund of caution deposit lying with the Company. The average time period for refund of caution deposit will be 3 weeks from the date of acceptance of resignation. The individual will still continue to be a Conybio Distributor even after resignation as a Stockist.

SPONSORING All Distributors have the right to sponsor others. A sponsoring Distributor has the responsibility to assist, train, develop and monitor the person they introduce, in various aspects of the Programme. In addition, every person has the initial right to

choose their own sponsor. If two Distributors claim to be the sponsor of the same new Distributor, the Company shall regard the first completed application registered at the Stockist Centre and received by the Home Office as final and binding. As a general rule, it is a good practice to regard the first Distributor as the sole claimant of sponsorship on account of having meaningfully, worked with a prospect. Basic tenets of common sense and consideration should govern. A sponsoring Distributor must not exaggerate the earning potential that may result from this Business Opportunity. A sponsoring Distributor is obliged to fairly and fully explain the Marketing Plan to all prospective Distributors, making sure to stress the importance of sponsoring and Retail Sales and that the degree of Success is directly related to individual ability and effort. By developing proper sales techniques and an honest enthusiastic approach, your Distributorship can be a very profitable business. By retailing, you can make a good living. However, by retailing and sponsoring you can become Financially Independent.

JOINING OTHER NETWORK MARKETING COMPANIES CONYBIO does not permit its Distributors to join other Network Marketing Companies. Distributors should not have any business interest directly or indirectly with any other Network Marketing Company/s. Should it be proven beyond reasonable doubt that a Conybio Distributor has knowingly approached another Conybio Distributor who is a Downline, Upline, Sideline or Crossline, with the intention of introducing them into another Network Marketing Company, the offending Distributor will have their Distributorship terminated immediately.

CHANGING SPONSORS Changing sponsors is not permitted by the Company, due to the destabilising effect it can have on the Distributor force.

When a Distributor signs a Distributor Application & Agreement Form, it is a written contract. Any Distributor wishing to change sponsors will have to resign, leave their entire Downline with their original sponsor and wait for six (6) months before re-applying. Should a Distributor wish to change sponsors the said Distributor must: ? Cancel their current Agreement in writing, by resigning as a Distributor. ? Execute a new Distributor Application and Agreement Form, not sooner than six (6) months after the Company has received the written notice of cancellation of agreement by resignation. ? In the case of Firm Distributorship, the authorised contact person will not be permitted to register as an individual Distributor under a new sponsor, for a period of six months. Any request to change sponsors, as per above conditions, must be submitted to CONYBIO in writing. The Distributor's status upon re-acceptance will be that of a New Distributor starting afresh.

ADVERTISING Before any advertisements are submitted for publication in any advertising medium, whether they use the CONYBIO name, trademarks or logo or not, they must be submitted to the Company, at least 14 days prior to the intended publication, for approval. All submissions must be made in writing. The nature of all such advertisements shall generally be low profile and as determined by the Company. All Distributors agree to indemnify CONYBIO and hold it harmless, from any and all liabilities including judgements, civil penalties, refunds, attorney fees, court costs or lost business incurred by CONYBIO, as a result of any advertising or any unauthorised misrepresentations made by any Distributor.

DISTRIBUTORS & THE LAW Conybio Distributors are prohibited from diagnosing or purporting to diagnose any medical


condition or prescribe a CONYBIO Product as a specific treatment for any disease or condition. To Quote Clause 26 of the DAAF, “A Distributor will not make medical claims for any CONYBIO Products nor specifically CONYBIO Products as suitable for the treatment of any specific ailment. Under no circumstances should CONYBIO HEALTHCARE (INDIA) PVT. LTD. Products be likened to drug Products prescribed for medical or ailment treatments.” To do so, or attempting to do so, may also be a breach of a relevant law or third party rights. Experiencing CONYBIO Products provides the Consumer with an opportunity to reach a personal conclusion without influence or inducement. However, a Distributor may supply current Company literature in relation to CONYBIO Products, provided by the Company from time to time. “Our Products provide you with the goodness of the Sun and conforms to supportive therapy only. Our Products are neither a medicine nor an alternative to medicine and we do not claim preventive and / or curative properties / benefits by usage of our Products.” Distributors, have no authority to bind CONYBIO to any obligation, representation or statement. Each Distributor shall hold CONYBIO harmless from any claim, damage or liability arising out of the conduct of a Conybio Distributorship.

MEETINGS & TRAININGS Distributors are under no obligation to attend CONYBIO Meeting or CONYBIO Training, however, attendance is encouraged and is very beneficial. It is advised to have team meetings conducted by area leaders on the following programs.Conybio will train the area leaders to conduct the following programmes.

Getting Started (GS) and Business Building Seminar (BBS) Getting Started is the begining of "Achieving Your Dreams". It is a module to enhance your Purpose, Dream, Belief, commitment within 72 hours from the time you become a Conybio Distributor. The BBS builds and supports the Business and the main objective is to ensure that the New Distributors fully understand the Conybio Success system by enhancing the Why, What, How about the company, Products and

the Marketing Plan and to ensure their success by taking appropriate actions.

Seminar This Seminar is for all Conybio Distributors and new prospects and provides to create a high level of understanding about the Company, Plan and the Testimonies for those who intend to take up this Business seriously. This Seminar is primarily meant for those who have attended the NDP and provides to create a high level of excitement and motivation level for the new entrants who intend to take up this business seriously. The Seminar should be held in different District venues on rotation, once a month.This seminar will be conducted by the senior leader of that particular area.

Dress code Formal business attire (preferably a suit) is required for those who conduct the Business Opportunity Meetings and Company Training Meetings. Participants should also be encouraged to wear formal wear while attending the Meetings.

ANTI-INVENTORY LOADING The CONYBIO business is built upon Retail Sales to the Customer as well as sponsoring new Distributors. Although the Company recognises the fact, that a Distributor may wish to purchase Products in reasonable amounts, for their own personal consumption or for a significant Customer base, it is the Company Policy to strictly prohibit the purchase of inventory in unreasonable amounts, solely for the purpose of qualifying for bonuses or rank advancement in the Marketing Programme. Although the Company does recognise the capabilities of certain entrepreneurial Distributors to develop a large Customer base with a significant inventory purchase, Distributors may not load inventory nor encourage others in the Network to do so. All forms of stockpiling or pyramiding for the sole purpose of qualifying for bonuses or rank advancement in the Marketing Programme are strictly prohibited.

FORTNIGHTLY MAINTENANCE The fortnightly maintenance of 1500 BV is insisted upon each Distributor, with the sole intent of

making the Distributor share his / her products with Customers, Distributors, Prospects, so that they satisfy themselves about the benefits of the products and eventually join the said “Distributor's Network”. Hence, all Distributors who are eligible for a bonus cheque will have to necessarily comply with the fortnightly requirement of 1500 BV. Failure to do the monthly maintenance will result in the bonus benefits passing on to the upline who has complied with this requirement. CONYBIO reserves the right to change the Maintenance Criteria without prior notification to the Distributors. Purchases of Sales Aids do not count towards monthly Personal and Group business value and no Bonuses are paid on these purchases.

ALLEGATIONS OF UNLAWFUL OR UNETHICAL DIRECT SALE ACTIVITIES The Company takes a serious view of allegations of unlawful or unethical direct sales activities being carried out by any Conybio Independent Distributor. The Company has the right to investigate such allegations, which may sometimes be unfounded, but can be detrimental to the reputation or business of the Company or of Conybio Family of Distributors; instead of coming to know about the allegations indirectly from outside parties or the media, the Company encourages Distributors to report any such allegations of unlawful or unethical direct sales activities being conducted by any Conybio Independent Distributor and will investigate such allegations in order to protect the reputation and business of the Company and Conybio Family of Distributors. The Company will communicate with the Conybio Independent Distributor making the allegation within (30) days of receipt of the allegation. If any Conybio Independent Distributor fails to report any allegation of unlawful or unethical direct sales activities to the Company, but instead makes the allegation to outside parties, whether by himself or indirectly through any related person, without following the above procedure, this shall be deemed to be a conduct by the Distributor, which is detrimental to the reputation and business of Conybio and Conybio Family Distributors.

Compliance with Applicable laws, Regulations and Codes: Distributors shall comply with all laws, regulations and codes that apply to the operation of their Conybio business. They must not conduct any activity, which could jeopardise the reputation of the Company. Applicable laws, regulations and codes vary from State to State in India over a period of time and Conybio does not ensure or make representations with respect to the quantity or extent of effort or expenses required to comply with such laws, regulations or codes. No Distributor shall engage in any deceptive or unlawful trade practice, which has been defined, as such by any Central, State or Local law or regulation.

THE CONYBIO ACTION PLAN FOR SUCCESS 1.

Attend a Business Opportunity Meeting.

2.

Attend the Product Knowledge Seminar.

3.

Attend a minimum of two additional Opportunity Meetings, and bring at least five new people each time.

4.

Master the Conybio Business presentation, including an explanation of how the Marketing


Plan works. 5.

Start holding Weekly Product and Opportunity Meetings regularly.

6.

Attend Getting Started, Business Building Seminars, Team President, C.O.P.E. and all other Structured Training Programmes.
