e asked two dental C.P.A.’s their perspective on this question. Below is their response, based on true scenarios within their business. Stephen Seabolt and Gary Haile, of P.P.M., share practical insights from years of helping dental clients navigate important moments in career planning that in many cases, are life-changing decisions. Their experience, wisdom and care are shared in this article. ______________________________________ As your private practice matures there comes a time when you ask yourself, “When is the right time, financially, to sell my practice?”

Dollars and Sense The answer to the million dollar question (literally!) comes in part from the future earning potential of your independent business. Simply put, Dentistry is lucrative! Dental practices routinely earn net profits of up to 40%. The average 4-operatory practice producing about $850K each year, can earn up to $340k for its owner before taxes. That may seem a little high, but don’t forget to count the many fringe benefits of ownership. After adding retirement plan contributions and other pre-tax benefits, you may be surprised at how attainable a figure like $340k is! By contrast, if the owner of our hypothetical practice had been an associate instead, the doctor could have received less than $190K and in certain practices as little as $140K for the same production. With the recent changes in the dental market, associates don’t earn what they used to. $150K to $200K a year is a lot of money to leave on table, and remember, the losses multiply every year after you sell. The next major element of the million dollar question is your ability to save and continue to invest. Some of you have saved very well, and some of you… well, you have a lot of potential. It is important to keep in mind that every year you work is one more year you contribute to grow your savings. If you have already saved enough money to offset the income you will lose, you may decide that selling early and working for the new owner for a few years is the way to go. Or

if you have done very well, you may decide to retire outright.

Winners and Losers A few years ago, a client of ours was approached by representatives of different organizations interested in buying her multi-million dollar practice. One of the offers was much higher than the going rate for practice transitions in her area. Our client was 10 years or more away from retirement, but found the siren song of that many zeroes hard to ignore. She asked us to run a simulation of her options, including accepting one of the offers on the table or keeping the practice herself for 10 more years. We projected her financial life 10 years into the future, considering the effect on her earnings, taxes, debts and investments. The results were eye-opening. Even using the highest offer, the initial influx of cash for the sale was not enough to overcome the loss of her income over that 10 year period. Our projection showed that by keeping her practice she accumulated $3 million more (after tax) than she would have had she sold early. The proposed transaction(s) had a clear winner and a clear loser, and the winner was not our client! This outcome was even more sobering when you consider that the gap got wider the further into the future the projection went. In other words, the earlier in life the dentist sells, the harder it is to recoup the lost income and savings. Ultimately, she decided it was in her best interest not to sell. Dentists work hard. Most of our clients can’t afford to leave millions on the table. Still, if you realize that selling is not the best decision, you still need to address the challenges that made you consider selling in the first place. Some of you will try to bridge this gap by selling your practice and working long term for the new buyer. We have spoken with doctors that made the transition. A few enjoy the experience of showing up to work with no administrative responsibilities, seeing their patients then going home. For others, working for someone else after running a successful practice for all those years is not the ideal situation. One example where it did not go so well is a dentist Dental Explorer | Third Quar ter 2015

Featured Article in his mid - 50’s who sold his practice after owning it for more than 25 years and was ready to slow down a bit and “enjoy life”. He received top dollar sales price and at the closing felt good about the sale. He would become an employee with no worries for the day to day operations of the dental practice. What the doctor did not realize, until it was too late, was that he was just another employee of the practice and was no longer able to continue with his overall practice philosophy like he had always done. Corporate headquarters replaced his office manager with a new one that was responsible for several other locations. The existing lab relationship was severed because another lab had been predetermined. They even dictated the dentist’s new working hours and his favorite dental products were replaced with a less a desirable selection. Professional relationships like his dental supply company were changed to new companies that deliver less service and value. When the full realization hit like a ton of bricks, it was too late to get back the practice he had built and nourished for 25+ years. The sales price received for the practice was not really an issue; it was that the dentist suddenly had a job to go to not a career. We feel that doctors who love dentistry and truly want autonomy in their practice will be better suited to continue working for a few years, then sell their private practice to a young eager dentist that wants to take over the legacy built by the seller over their career. If you are a doctor that only

wants to show up and do dentistry, and have someone else take over 100%, selling to a corporate entity and staying on as an employee may be an option for you.

Is there a third way? If you conclude you can’t afford to sell your practice, or you want to wait to find a buyer with a similar practice philosophy, but still feel over-burdened with administrative tasks, what should you do? Our recommendation for solving this dilemma is to consider hiring a practice administrator. Hiring someone with Dental management expertise allows you to delegate the responsibilities that distract your focus from your patients, but allows you to retain philosophical control over your business. Simply put, the practice administrator is answerable to you and not the other way around. This strategy can allow you to keep more of the fruits of your labors while delegating many of the tasks that you find tedious. Yes, this will cost you some additional salary, but certainly less than you would give up selling your practice. If you are 3 years or less from retirement and are comfortable with the clinical philosophy of your prospective buyer, your decision of when to sell and to whom, will be part of the natural flow of your successful career. Our advice is to seek guidance and never sign any offer until you know for sure that you are not a loser in the transaction.

Activa BIOACTIVE-RESTORATIVE: A Unique Bioactive Material For Dental Restorative Applications by Robert A. Lowe Robert A. Lowe, D.D.S., F.A.G.D., F.I.C.D., F.A.D.I., F.A.C.D., F.I.A.D.E., F.A.S.D.A. Diplomate, American Board of Aesthetic Dentistry Today’s dental restorative materials are becoming much more than passive materials that fill the prepared cavity. The biological “attack” directed on these materials can vary from patient to patient due to the individuals’ oral environment (pH), quality and quantity of saliva, acidic challenge to natural tooth structures and restorative materials, and the patient’s ability to keep these surfaces plaque free. It stands to reason that there is no one dental restorative that can perform equally well under these varieties of clinical conditions. For the patient with a higher predisposition to the negative effects of tooth decay and restorative breakdown there is a material designed to help the fight to maintain optimal oral health. Activa BioACTIVE Restorative (Pulpdent Corporation) is an excellent choice to use in many of these clinical situations, particularly in Class I and Class II cavities and for root caries. According to the manufacturer, “Activa BioACTIVE products are the first dental resins that mimic the physical and chemical properties of teeth. They contain three key components: 1) A bioactive ionic resin matrix. 2) A shock absorbing rubberized resin component, and 3) Reactive glass ionomers fillers. Activa has been shown in recent studies at Tufts University to have compressive strength compared to conventional nanomicrohybrid composites.1 In another study, Activa showed a “statistically greater fluoride release after recharge at 24 hours, one week, and three weeks”.2 Flexural strength and fatigue is shown to be similar to nanomicrohybrid composites and higher than other resin modified glass ionomers restorative materials.3

Activa BioACTIVE Restorative: Restoration of Root Caries An excellent indication for the use of Activa BioACTIVE is to restore areas of root caries when a new or replacement

restoration cannot be made, for example, due to financial reasons. The benefit here is to extend the lifetime of the existing restoration (Image 1) by removing the root caries and affecting a seal with a material that will provide a recharge of fluoride ions to protect and preserve the marginal integrity while helping to remineralize affected dentin that may still be present in the lesion. One advantage of Activa BioACTIVE Restorative material is the delivery system. With a dual barrel syringe and a bendable metal canula, Activa BioACTIVE Restorative is easily applied to posterior areas where access is difficult for placement of traditional materials. Since finishing is also difficult in these areas as well, it is important to be able to have accurate control over placement of the restorative material and to limit the amount of finishing and polishing that will need to be done. Activa BioACTIVE Restorative excels in both of these areas. Image 2 shows minor surface finishing with a carbidefinishing bur, which is then followed by use of fine rubber abrasives to gain a final surface finish. After completion of

bur (Smart Bur II). Adhesive resins do not perform particularly well in these deep areas of dentin in close proximity to the dental pulp. This type of dentin is better sealed using a glass ionomer type material, rather than traditional adhesive bonding materials. With Activa BioACTIVE Restorative, the clinician now has the “benefits of both worlds” for these types of clinical situations. The material is easy to place using the automix syringe and dispensing canula that can be bent to an appropriate angle for ease of delivery (Image 5 and 6). As with many RMGI products, if desired, the dentin may be etched first for 5 seconds using 37% phosphoric acid then thoroughly rinsed prior to placement of the restorative material. Using Activa BioACTIVE Restorative, enamel and dentin is well sealed, placement is simple and precise enough to eliminate excess, so finishing is little to non-existent. (Image 7) Activa BioACTIVE Restorative can absorb energy from occlusion due to the rubberized urethane component in the material helping to eliminate postoperative sensitivity and excessive marginal wear.

Dental Practitioners: Saddle up!

In dentistry, intermittent forward leaning is a fact of life. Reaching and twisting is inevitable. Holding static postures for long periods of time cannot be avoided. And yes, it is possible to do this work without pain and injury â&#x20AC;&#x201D; with proper use of a saddle seat. LEAN FORWARD WITH EASE The spine should remain straight when leaning forward to minimize strain on spinal discs, muscles, and ligaments. Leaning movement should take place at the hips, not through the back. The pelvis is the base upon which the spine sits. The more the pelvis can tilt forward at the hips, the less the spine must bend. On a conventional dental stool, the hip joints quickly approach their limit of forward motion (i.e., hip flexion) during a forward lean, causing the spine to bend. A higher stool opens the hip angle, which allows the hips to bend further before reaching their limit of motion. A saddle stool opens the hip angle so far that the hips never reach their limit of motion. This allows the practitioner to lean forward easily with a straight spine.

Hip flexion range-of-motion is greatest when the hips are in a position of abduction (i.e., the knees spread apart). Thus, the wide stance dictated by a saddleshaped seat makes forward leaning easier. A forward-sloping conventional seat (forward tilt) with the hips higher than knees improves forward leaning spinal mechanics in the same way as does a saddle stool, but to a far lesser extent. The hip angle cannot open as much, the hips cannot abduct as far (smaller spread of the knees), and the seat pan cannot slope forward more than a few degrees or the practitioner will slide out of it. PERFECT POSTURE The wide hip abduction position in a saddle stool also improves spinal alignment and stability. Hip abduction stabilizes the lumbar spine in an upright orientation; the upper back and neck naturally follow. With a wide stance, it is nearly impossible to slump in a saddle seat, even if you try!

Try it yourself: Sit up as straight as you can with your knees close together. Now spread your knees wider and wider into hip abduction. Do you feel your spine straighten ever taller the wider apart your knees?

reach forward to make space for the patient, placing strain on the neck, upper back and shoulders. (That’s one reason arm support is a necessity when using a conventional dental stool.) In a saddle stool, the practitioner can work safely with arms positioned at the sides, because there is enough space between the practitioner’s arms and thighs to accommodate the patient’s head and chair. (That’s one reason why arm support is optional when using a saddle chair.) Conventional stool (Left) Reaching takes place mostly from the arms. REACH SAFELY Arm reach beyond the knuckles (i.e., reaching into the Far Reach Zone) transfers significant load to the neck, upper back, and shoulder girdle. The further the arm reach, the greater the neck and upper back strain.

Forward arm reach with a vertical (upright) torso requires extending the arms further than if the torso is inclined forward. The more upright the torso, the further the arms must reach to perform certain dental techniques and to access equipment and tools. A saddle stool safely supports a straight-back, inclined torso posture, extending the practitioner’s reach from the hips rather than from the arms and back.

Electromyography (EMG) studies on dental practitioners reveal significantly higher levels of muscle activity in the neck and shoulders when working in a conventional dental stool compared to performance of the same task in a saddle seat. Practitioners who choose to work in an upright posture in a conventional dental stool must support the arms throughout each dental procedure to counteract these loads. FREEDOM TO MOVE By opening the hip angle, saddle stools allow the closest positioning to the patient and the greatest flexibility in practitioner position. In a conventional dental stool, the 12:00 position is the only safe option where the practitioner can work with the arms close to the body. Any other position forces unsafe arm reach or bending/twisting in the back to get around the patient’s body and chair. In a saddle stool there is more flexibility. The practitioner can work more safely even in procedures that require positions outside the 11:00 to 1:00 position range. STRENGTHEN YOUR CORE, IMPROVE CIRCULATION In a conventional seated posture with a backrest to support the torso, the body’s core muscles are dormant. There is virtually no activation of the abdominals, pelvic floor, or large muscles in the legs. During performance of a 2-handed task, muscle loads are concentrated in the neck, shoulders, and upper back. In contrast, when working equestrian-style on a saddle stool, the body’s muscle recruitment patterns Dental Explorer | Third Quar ter 2015

By design, the saddle stool facilitates use of the deep postural stabilizing muscles in the body’s core and legs, while muscle tension in the neck and arms drops significantly. In a saddle stool there is no edge to press against your upper leg, and your buttocks and leg muscles are free of contact pressure. The veins and arteries that carry blood to and from your legs are in their most open position. Leg circulation improves with the active use of the legs, accelerating metabolism, thus reducing fatigue and foot swelling. BETTER HAND CONTROL AND STRENGTH Saddle-sitting enhances hand acuity and strength. Grip strength and hand coordination improve when the body’s core muscles and legs are active. Precision hand activity is facilitated through improved positioning of the shoulder girdle and upper back and a more stable torso. In a conventional dental stool, the body’s core muscles cannot participate in the hand task, thus limiting peak performance of the hands and arms. UROGENITAL HEALTH AND SITTING It is estimated that over half of the adult population suffers from periodic or chronic disorders of the genitourinary organs. Recent studies indicate that sitting may worsen these problems by increasing temperatures and humidity in the pelvic region and restricting blood flow to the pelvic area. Due to anatomic differences, some practitioners find certain styles of saddle stools more comfortable than others. By design, a saddle will be in close contact with the peritoneal area. Saddle designs with a center opening or split seat can relieve pressure and improve ventilation to the pelvic area.

Some practitioners prefer firmer seats that concentrate pressure on the ischial tuberosities (‘sit bones’) as this can lessen compression of the sensitive soft tissues in the pelvic area. Others may prefer more highly padded saddles that disperse pressure over a broader area. EQUESTRIAN-STYLE WORKING POSTURES IN DENTISTRY One study reported 80% of dental practitioners use a saddle seat in Finland. In the USA, the reported number of saddle seats currently in use by dental practitioners is less than 1%. That number is bound to change. A saddle stool, when properly used, provides the safest and most efficient postural support for dental practice. Saddle stools facilitate safe and efficient working postures, are easy to move around the head of the patient, and their low profiles are ideal in confined operatory spaces. In addition, equestrian-style working postures often relieve the neck, arm and back pain that is so common among dental practitioners. See page 33 for more information.

Eileen Vollowitz, PT, is a consultant in ergonomics and specializes in the physical therapy management of neurological and musculoskeletal conditions. She is best known for developing new methodology in the prescription, design and fitting of furniture, ergonomic aids, and orthopedic devices. She was a key contributor to the development of the Competencies for Orthopedic Physical Therapy specialization as the first chairperson of the American Physical Therapy Association Orthopedic Specialty Council. She authored Ergonomic Furniture Specification Guidelines for the National Institute of Health, and is a consultant to major furniture manufacturers in innovative ergonomic furniture design. She has advanced certification in orthopedic manual therapy and proprioceptive neuromuscular facilitation treatments, conducts training courses for occupational health practitioners in ergonomic fitting and prescription techniques, and is a contributor to textbooks in ergonomics and manual therapy. Ms. Vollowitz is the founder and president of Health By Design, a manufacturer and distributor of ergonomic furniture and products, and of Back Designs, Incorporated, an eCommerce resource for ergonomic and health care products and furniture.
