Don't Sell Your Business Just Because You're 'Over It' Why? It's The Worst Possible Time To Sell By Louise Woodbury, co- author of “The Invisible Entrepreneur - How to Grow Your Business by Taking 3 Months Off” and “The Invisible Partnership - How to Work with Your Spouse Without Ending in Divorce”
This is the time most business owners start thinking about selling. And, just because you feel you are done with the business is not a reason to put it on the market. Bottom line: if you do, you won't get what it's worth. So, here are five major symptoms to be aware of as you approach your second five years. 1. Loss of passion You feel as though you are trapped on a never-ending grind of work, work, and work. After going through the same old routine for five years, the passion has gone. While spending so much time at the coalface, you forgot that your original objective was to dig through it. Without your objective sin mind, you become like a ship without a rudder, going around in circles and getting nowhere fast. Without the spark which created the business, how can you light the fire? 2. Lack of focus At the start you had a dream and a goal and you knew why you wanted to get it. Not only did the goal pull you on, it inspired you, your team and your clients. However, as an entrepreneur, you see opportunity after opportunity and can get distracted from your core goal. And if you lose focus, so does your business. 3. Lack of new ideas You instinctively know the gap between you and your competitors has narrowed. 4 Australian Business For Sale ®
They copy your product or service or, as a result of improved communications and technology, they are bringing in innovative ways of improving what you are doing. Your product is not new any more and you are in danger of losing your competitive advantage in the market place. Without fresh ideas, you are going to be left behind. 4. Lack of skills With things succeeding, there are more people and a bigger business to manage. Your management skills are no longer good enough to take your business to the next level. A lack of planning can affect productivity and profitability. You know you don't have the capacity to master all the skills you require, and the solution is to bring in somebody who can help. But your ego doesn't allow you to admit you're out of your depth. The temptation is to put the foot on the brakes and hold the business to within your competencies. And to hold the reins more tightly than ever. 5. Lack of adequate capital Like most small businesses, you're usually running close to the wire with limited funds. This puts pressure on introducing new technology, marketing initiatives and better human resources to improve products or services. You are feeling the pressure of insufficient capital but don't know what to do. These are all key symptoms of becoming tired of a business. The core issue here is that you are exhausted and lack energy. You are at least five years older than when you started and not had enough R & R, if any. Burning the candle at both

Before You Begin Your Next Marketing Program… Take Another Look At Your Customers And Their Needs By Bob Lyon In this article we'll look at the value of your existing customers. Not the lukewarm, wishywashy appreciation of customers that most business has. I mean Bob Lyon the intense insight that it is NOT new customers, but old customers that are the key to growth and profitability. Your best prospects are your existing customers. If you've been putting all your marketing efforts into acquiring new customers, stop and divert some of your resources into reselling and cross selling to those same customers. Do this in every way possible -- through package inserts, regular mailings and special offers -- stay in touch with those customers and get them used to buying from you. Your customer relationships are the number one asset you have, so stay in touch. Provide your customers with post purchase reassurance; give them the best deals and guarantees you can possibly get away with. Give them preferential pricing and build rapport and trust. A frequently overlooked way to gain your customer's trust is to thank them for favouring you with their purchase. Send your customer a letter within 5 days to a week after the customer's first transaction, where you: • Thank them • Resell the value of your company and • Reassure them of prudence of their purchase Such letters program your customer to repurchase from you and are an excellent way to offer additional products and services or upgrade the original sale. The point is you must reinforce the buyer's decision. This simple action can prove extremely powerful because it builds your long term sales. Have you considered how the value of your customer increases if you actively contact them again and again? • Create a special offer to go with every invoice or delivery • Program your data management system to contact customers every month or each quarter • Mail your regular customers every month • Mail delinquent customers and prospects every two months • And if you have a really HOT offer that really works mail your entire customer list. 10 Australian Business For Sale ®
• Offer to up-sell at the point of purchase • And tell your customer why they should buy, how to buy, what to do and why they should do it now.
Before you begin to market these programs you may want to take another look at your customers and their needs Ninety percent of businesses I look at NEVER determine the needs, desires or requirements of the people they're trying to sell to. How can you expect to adequately fill somebody's needs if you never take the time to understand them? It's laughable! Yet few companies seek to meet their customer's needs. Those companies that do understand their customer's needs and attempt to satisfy those needs seem to end up with all the business. You can end up with all the business too, if you'll take the time to learn what your customers need and want. Let's probe that a little … People want products that offer convenience or better quality. They want things that last longer, save time, look better, perform more functions, are state of the art, save money, make life less difficult by saving effort, generate more money, or make their owners more effective. What do your customers want or need most in the product or service you offer? Do they want the convenience of knowing they can go down the block and get it from you or the knowledge that your firm stocks or offers more items, sizes, or products than any other company? Do they want Top-of-the-line products or service? Or, do they want highly personalised service, attention, advice and instruction? Perhaps they merely want to acquire the kind of goods and services you sell at the lowest possible price. Or maybe price alone isn't what they're after - maybe they want the best guarantee or the best service to support the sale. We don't always know which need or which combination of needs you customer is seeking, but once you find and fill that need you'll own your business niche. If you don't know what needs your customer wants you to fill, start by recognising that no one can be all things to all people. You'll dilute your image as a need filler if you try and do that. So first determine which needs you can fill that is consistent with who you are, what your business is and how you operate.
Then talk to your customers and let them tell you specifically what needs they most want filled and decide which of those needs you can actually fill. Then, don't just silently fill those needs. Inform your customers and the entire market place that you've listened and that you've done something to satisfy the needs of your customers. Continually inform, educate and point out that your company is fulfilling the needs of your customers. Change your ads and sales letters and phone your customers and inform them you're prepared to fill their needs. Once you determine precisely what your customer's needs are and you commit to fulfilling those needs … Then do it. If you decide that service is the critical element, offer the best service, the fastest service, the most skilled people and the most knowledgeable staff. If top quality is the need you decide to fill, don't offer mediocre goods! If you claim to be the best quality business, make darned certain you're a regular fusspot about what you sell. If you promise the lowest price, keep that promise. Integrity demands it. If you don't genuinely fill the needs you say you will, your customers will soon abandon you.
The cornerstone of your marketing plan should be to educate your customers. One of the saddest marketing mistakes I see is the failure of businesses to educate their customers about the unique advantages offered them. When you educate your customers you'll see your profits soar. Think about yourself. When you buy or consider buying any item or service you often don't know as much as you'd like to know about the item. If you have any unanswered questions about a product, you're less likely to shell out the money to buy it. When a company takes time and initiative to objectively educate people on all the products they're considering purchasing, it gains trust and favour. Education is a powerful marketing technique. Educate your prospective buyer about everything including a few of the bad or less positive aspects of your product or service and you'll sell almost twice as many people as you do now. This one concept - educating your customers - will gain an inordinate advantage over your competitors.

Take your customers by the hand Few businesses realise that they must lead the customer to action in addition to developing a compelling marketing plan. People need to be told how to act and obtain your product or service. Therefore and this is incredibly important - every sales call, letter, commercial or personal contact should make the case for your product. Give your customer a brief education then take them by the hand and tell them what action to take next.
Tell them why Whenever you ask for a sale, run an ad or offer a product at a specific price, always tell the reasons why. Why can you sell a product or service at lower prices than your competitors? Is it lower overhead or volume buying? Do you buy odd lot inventories? Do you not provide all the services? Why is your price so good? If your price is high, tell your customer why. Do you offer a superior product? Is your product made with demonstrably finer materials? Is your product designed to last or perform longer than your competitors?
If your price or package is especially good value, tell customers why you're making this offer. Is it because the customer is ordering for the first time and it's an exclusive offer for first time customers? Why Do Franchisees Buy Franchises? By Jason Gehrke, Director, Franchise Advisory Centre Research by the Franchise Advisory Centre indicates there are several key motivating factors for the decision to buy a franchise. While most of these factors will be Jason Gehrke present for different people’s decisions, the relative importance given to each of these will vary from one person to another, resulting in unique combinations which might arrive at the same destination, but take different paths to get there. These key decision making factors are: - Lifestyle - Brand Security - Self Direction - Income - Skills Development
Lifestyle By far the greatest factor in the decision to buy a franchise – weighted at 33% - is the perception that franchising will provide an improved lifestyle. Rarely will two people agree on what lifestyle actually is, yet it seems to be something that the overwhelming majority of new franchisees and small business owners value and want. What “lifestyle” is or should be will vary according to individual circumstances, such as age, gender, likes, dislikes, hobbies, sporting interests, family, friends and so on. Lifestyle for some people might involve playing lots of golf, while for others it may mean spending more time with their children. For others, it might mean less stress in their working life so that they are able to enjoy their home life more, even though their working hours may not change. Lifestyle is often considered to be synonymous with leisure. In other words, a quality lifestyle may be one that involves lots of leisure time or activities. Many franchises are even promoted on the basis that operators will enjoy a good lifestyle, with the inference being that they will have more time, income or both to pursue their leisure activities. Lifestyle for most people is not seen as work, but rather the outcome from work. Even though the nature of the work itself may provide lifestyle benefits (eg. travel, social interaction, outdoor activity, etc) these may not be the same leisure benefits sought by a buyer (eg. greater time for family, hobbies, etc). 12 Australian Business For Sale ®
Despite its role as the greatest factor in the decision to buy a franchise, the concept of lifestyle is also dependent on many nonbusiness factors. It does not automatically follow that buying a franchise (or any other type of business) will result in an improved lifestyle. Additionally, lifestyle “needs” change over time. For example, people who choose a certain type of business in the hope of being able to spend more time with their children may find the business no longer suits this need if the children have grown up.
Brand Security The next greatest contributing factor to the decision to buy a franchise is the strength of the brand and the support provided by the franchisor (a decision weighting of 27%). Potential franchisees perceive that franchisors will provide complete training, knowledge, skills and ongoing support in the total front and back end operations of a franchised business. The perception that the all-knowing franchisor will steer the franchisee on a course to prosperity is often based on the success stories of other franchisees in the network, the demand for the product or service in the marketplace, and the franchisor’s own recruitment advertising and PR. Potential franchisees – especially those going into business for themselves for the first time – place a premium on going with a business model that is tried, proven, or otherwise appears successful. By doing so, potential franchisees also assume that the risk of business failure is either eliminated, or massively reduced. The reality is that no business venture is without risk, but franchising is nonetheless perceived to be safer because of the franchisor’s experience, knowledge and support.
Self Direction
boss, and can control the work practices and stability of the business. Taking control through becoming your own boss might solve these problems, but also replaces them with entirely new ones, such as meeting market demand and dealing with competitive forces.
Income In the research, income was perceived as a much smaller contributor to the decision to buy a franchise. Ranking fourth after Lifestyle, Brand Security and Self Direction, income for many potential franchisees appears not to be the most important factor in choosing a franchise. There may be several reasons for this. One is that potential franchisees assume that the income from their business will at the very least match their previous wage or salary, but often arrive at this assumption without any financial analysis to prove that the business is capable of supporting owner’s drawings at such levels. Another reason is that the franchisee may place greater emphasis on lifestyle, and therefore decides to trade off income in order to achieve their desired lifestyle. A further consideration may be that information about income is rarely available from franchisors. Franchise recruitment literature usually promotes lifestyle, the support provided by the franchisor, and the opportunity to be your own boss, but seldom discloses financial information. Advised by their lawyers not to provide financial data for fear of making representations, franchisors are conditioned not to offer this information, and potential franchisees may not pursue it in detail if the idea of lifestyle, support and self-direction are ultimately more appealing.
Skills Development
People who have lost their jobs, or worked in unstable industries or for employers with volatile businesses, poor workplace practices or high levels of staff turnover attach greater importance to controlling their own destiny, and see selfemployment through franchising as a way of achieving this control.
The last of these main factors in the decision to buy a franchise is the development of new skills (weighted at just 3%). Potential franchisees who have been in the workforce for 10-20 years may find that their job is no longer fulfilling or challenging, and that future prospects for advancement are limited or non-existent. The alternative of starting their own business can be very exciting and involve new experiences and the gaining of new skills, confidence, contacts and selfesteem not previously available as an employee.

learning provided in the franchise network, as well as the person’s own desire to learn in order to succeed.
Conclusion If you are reading this article and are contemplating buying a franchise, chances are your decision-making process will be largely governed by these five key factors. The relative importance you attach to each factor will be different from other people on the same search. The weightings you apply to each major factor will change according to your personal circumstances, and even change after you have bought a franchise as you rationalise the purchasing decision to yourself. For example, while lifestyle might appear to be important at the outset, lifestyle alone will not pay the bills and therefore the requirement for an acceptable income may rise in importance following the purchase of a franchise.
Once you know what relative weighting should apply to each of the five key factors for your franchise buying decision, you are ready to start looking for brands that meet your criteria. Be sure to undertake adequate due diligence before making a final purchasing decision. A good rule of thumb is to allow one hour of your time on due diligence for each $1,000 to be invested in the business. Then, if the business is the right fit, be sure to review your buying criteria over time to ensure it continues to meet your needs.

Making Finance Work For Franchising In 2010 Steve Hansen, who has been in the Australian franchising industry for over 20 years and heads up franchise chain CHOOKS fresh & tasty, gives advice on finance for franchisees in 2010. The basics of applying for finance You’ve got to start off with a basic business plan before applying for finance. It will be a prequisite for most financial institutions, and some may also request a cash flow projection. In regards to your own equity, as a rule of thumb, 50 per cent will be required. In bigger franchise systems, the risk will be seen to be less, therefore the financier may accept a lesser equity level from the franchisee. All the banks will say, and they’re probably right, that funds are available but when you have an economic situation like we have seen the past year they become more nervous. What this means for investors is that one needs to tick all the boxes to get a loan for anything – it doesn’t matter if it is a home or business loan. If previously they only ticked 80 of the 100 boxes, now they are requiring that you can tick all of them. And it is a reasonable stance. If you can’t tick all the boxes, you need to ask yourself why, and what can you do to fix this.
Different lending options
A third, and less common option, is for the franchisor to lend to the franchisee. Some systems will assist franchisees into a business, particularly one where you’ve got a potential franchisee who is well skilled but doesn’t have any money and there’s a store that’d be better run as a franchise rather than corporately owned.
Franchisor support on financing As a franchisor, CHOOKS fresh & tasty is accredited with Westpac and we are in the process of gaining accreditation with Commonwealth and NAB. The more banks can understand about our business and model, the better placed they are to look at lending applications from our current or potential franchisees. I support the banks and their education initiatives to assist franchisees and the franchising industry – thereby improving standards and benchmarks for everyone. I believe that franchisors which have accreditation with several banks attest to the strength of their business model.
Strengthening your financial knowledge
The two common options are borrowing against your home or against the business. In most cases you’re not going to be able to borrow 100 per cent against your home or against your franchise. With a well-recognised system such as McDonald’s you might get the ability to borrow at a greater rate than other systems due to the strength of brand. You need to borrow against some security, whether it is your home or a relative’s home. We recommend you spread the loan over the term of the agreement. So if it is a 10 year agreement, spread the loan over a 10 year term.
Business owners cannot afford to let their finance knowledge lapse. And people just starting a business or franchisee are definitely in a position to develop their finance skills. My recommendation to anyone wanting to go into franchising or small business is that they should go to the Westpac Beyond Survival classes, it will give them lots of insights. They’re suitable for almost anyone involved in the franchising industry – I’ve done it myself and I learned truckloads.
When you borrow against the franchise, you are borrowing against the cash flow of business. The term will be shorter and the interest rate will be higher.
Any interest rate rise is always going to impact the bottom line for franchisees, as with the home owner. I survived the 198788 years with interest rates of 20.75 per cent. We were simply paying bank interest (i.e. not making profit); we worked for the bank for three years essentially. Back in those days I did my calculations on 12-16 per cent in 1983. When it got to 20.75 per cent we were in trouble, along with the rest of the country. Having a good relationship with the bank did help in this situation though.
You can use a mix of finance too – e.g. 50 per cent against the security (over a 15 year term for CHOOKS) and 50 per cent on a four or five year term against the business’s equipment (this is anything the bank could come in and sell off like fryers, computers and furniture). The options of financing – loans and lines of credit are normally dependent on the individual/company and the strength of their assets. If the person is reasonably wealthy they can ask a bank for line of credit and get one. 16 Australian Business For Sale ®
What impact will rising interest rates have on zees?
What could be done to support small business growth? Unfortunately, most government ministers don’t comprehend that small
business runs the country, not government. It would be good for Australia if they provided more incentives to small business to employ more people. In my opinion, payroll tax is a major disincentive to business growth. Banks are already fostering small business growth by working with franchisors on accreditation and by providing education programs for business owners. I hope this continues to develop in the future. Steve Hansen’s top tips for franchisees to maximise finance 1.Do your homework first. 2.Talk to your bank manager who is familiar with your finances. If you don’t have a bank manager, choose a bank your franchisor is accredited with, as the bank will have in-depth knowledge of that particular franchise system. 3.Have a business plan (for yourself not only for the bank’s requirements). If you’re not comfortable doing the plan yourself, employ a broker who specialises in franchise lending. Formulate three, five and ten year plans. 4.Be prepared to meet strict requirements in lending applications, near enough is not good enough in this economic environment. 5.Remember that almost everyone underestimates the amount they’ll need for proper cash flow. 6.Look at the long-term and set aside money for known costs (e.g. image upgrades mid-way through or renewing your franchise fee at the end of the agreement). 7.Resist the temptation to splurge your early profits on new cars and other luxuries- reinvest. 8.Use professionals who specialise in franchising – lawyers, bank staff and accountants. 9.Continually re-evaluate your finance needs and get a finance health check from your bank and franchisor regularly. Have You Thought About What Your Business Is Worth? When You Come To Sell It, It May Not Be Worth As Much As You Think In my experience, most business owners don’t start thinking about what their business is worth until they start thinking about getting out. A recent global survey by Grant Thornton identified that 45 percent of Australian owners of privately held businesses are thinking of selling in the next ten years. This figure is only topped by New Zealand, where 69 percent of business owners anticipate selling in the next decade. My question is: who is going to buy them? These figures are consistent with the Baby Boomer population bubble that is affecting many markets in Australia (and NZ) as the baby boomer generation approaches and enters the retirement years. This population bubble means that the number of businesses coming onto the market will certainly rise in the next few years, meaning we could have a glut on our hands. In any market, a glut means that prices will plummet. There will be many more sellers in the market than buyers. We only have to look at the housing market to know what happens when the number of sellers exceeds buyers. Crash go the prices! The reality is that if you are planning to sell your business in the next few years, it may

not be worth what you are hoping for. There are two factors that will work against you getting a good price when it comes to selling up. 1. The disruptive changes that need to be made to extract the owner at the time they choose to leave creates a major distraction to the conduct of normal business, which means that profits (which affect the valuation) may be lower than normal. 2. A business that is reliant on the owner is very hard to sell, or has to be sold at a much lower price than the same business is worth if it is self-reliant.
What does this mean for you? You don’t have to wait until you want to sell to start working on getting the best price. Because of the coming turbulence in the market, you should prepare by creating flexibility with the options you have. You should start to build your business by doing the things that maximise value, but also establish a “Plan B” in case you can’t sell for the price you want. You will be best placed to extract maximum value from your business and achieve maximum price by building a business that
works without you. Whether you have been in business for a while, or just starting out, it’s time to start planning to put your business on autopilot. When your business runs on autopilot without you, you have all options open. You can run your business profitably and have the freedom to live your life as you want. You can still retire, but don’t have to sell your business to achieve that goal, because it will supply you with ongoing residual income without having to work in it. On the other hand, your business is a much more saleable prospect if it runs successfully by itself. It has much more value to an investor if they can walk straight in knowing that there does not have to be a transitional time of weaning the business away from the exiting owner. You need to make the transfer easy and set up your business to be attractive to a potential buyer. There will be many that will end up being un-sellable and worthless by being dependent on the current owner. Only the best businesses will sell in the coming economy. Why not make yours one of them? Thinking about starting up a business? Or are you in the middle of the ride of your life – having established a business, found some finance and started developing – totally focused on making it a success? Take a moment to read this – it may save you from making some of the more common mistakes that entrepreneurs make. These are the mistakes that I made. Humans are funny creatures. Despite our almost unlimited access to the learning and experiences of our parents, partners, siblings, friends, colleagues and associates, as well as whatever we can read, see or hear, we all learn more from our own mistakes than by hearing about the hardfought lessons of others. Business entrepreneurs are no exception to this. Quite to the contrary – being pigheaded is almost a prerequisite to succeed with a new business venture. I am certainly no different, having been directly or indirectly involved with half a dozen startups in my career. There are many lessons I wish I didn’t have to learn, but did, sometimes the hard way. Some of those startups were successful. My first – a company that developed the world’s first hand-held point-of-sale terminal for restaurants – celebrates its 25th year in 2010 and remains a leading provider of restaurant systems in Scandinavia and Europe. Others enjoyed moderate success and were sold or merged. I enjoyed being part of them all, and learnt a lot along the way. But I certainly learnt more than anything from the more spectacular failure of my most recent startup – MobileSelect. I hasten to add, this is not going to be a story about that company, other than to say it was an online venture set up with a vision to help people find the right mobile plan. With startup funding from iSelect, plus a closely-knit group of more or less wealthy private investors, we enjoyed some early success and quite a bit of media attention. But after the initial euphoria, growth stalled, we ran out of funds, and the company was liquidated in July 2008, at significant financial loss to me and my family as well as the other shareholders and creditors. This is also not so much about the specific mistakes I made along the journey, of which there were many, but more about the lessons learnt from those mistakes that I hope can benefit others. 1. Get advice from others, and listen to it. As a matter of fact, mistakes are made in every startup; it is par for the course in any risk-taking venture. It is not admitting to or acting on those mistakes that can end up being costly. Entrepreneurs are by definition blinkered. Carrying the vision forward is your job. Removing obstacles and meeting any challenge front-on is a prerequisite for success. It is easy to see those well-meaning comments and opinions on your venture as distractions, and I know I certainly did a lot of the time. Challenging as it may be, listening to other people can be the 24 Australian Business For Sale ®
difference between success and failure. The point is not about right or wrong, but about being able to constantly evaluate and analyse the business, the market, the products and the money and people that you need around you to make it happen. In short, the more people you listen to along the way, the more support you will find, and the more likely you will be to succeed. 2. Establish a well-functioning board (of advisors) It took me a while to admit it to myself, but failing to establish a board of people that can provide strong advice from day one was one of my biggest mistakes. I was happy that the board “took care of itself” as many of the shareholders were keen to be involved at that level. As Julia Roberts said in Pretty Woman: “Mistake, big mistake; HUGE.” And as Richard Geere’s character would no doubt agree, having shareholders on your board is fine, but being a shareholder doesn’t in itself qualify you for a board position! Whether you are setting up a formal board of directors or an advisory board, make sure it consists of people that have diverse experience in areas related to your venture, and that they are prepared to challenge your wisdom and question your plans. As a matter of fact, having an advisory board can be much more useful than a formal board, as it is much easier to recruit competent people to contribute as an advisor rather than as a director. Being a director carries a huge responsibility and with it considerable risk (just ask the directors of James Hardie), so the people you want may not wish to be involved in that capacity. 3. Investors don’t necessarily agree with how much money you need Another reason for not having a board dominated by investors is that it may well cloud their judgement when it is time to raise more capital. Particularly if things aren’t going exactly to plan in the early stages, and they rarely do, you may find resistance to getting your board to raise sufficient capital for the next stage at a reasonable valuation. “Reasonable” may well be below the initial expectations that you set, and the fear of being diluted can easily lead to irrational decisions being made by a board consisting mostly of your investors. 4. Don’t put a value on your business – the market takes care of that There is no such thing as successful entrepreneur who hasn’t, at one time or another, had an eye on the pot of gold at the end of the rainbow. But whatever expectation you have, reality will be quite
different one way or another (just ask Steve Jobs). When presenting your idea and your vision it is all too easy to dazzle the audience with the size of the market, the uniqueness of the product, the future growth curves and the substantial profits to be expected within a few years of starting up. The investors that “buy” your numbers are in all likelihood not the investors that you want. Any savvy venture capitalist or private investor will make their own assessment regardless of what you say, and valuation (surprisingly for many) is relatively low on their list of investment criteria. They’ll look at you and your key colleagues and business partners, they’ll look at the market potential for sure, and they’ll make sure they understand the risks. If they do decide to invest, the value of your business is merely what they are prepared to pay, plus some room to negotiate, of course. Don’t fall into the trap of using future valuation as your negotiating tactic, it can so easily come back to bite you further down the track when you may need more money. And, in all likelihood, you will need more money. 5. Numbers mean nothing until delivered The same goes for your budget numbers. There is a reason that more and more public companies shy away from giving revenue and profit guidance to the stock market. It creates an expectation that cannot be undone once published. I am not for a moment advocating that you should not budget, but focus on budgeting for what you need to get the business to break-even, then double the expenses and halve the revenue. And avoid setting lofty budget goals for what you’ll achieve in two or three years. Starting up a business is all about focusing on what needs to happen now to fulfil your vision for tomorrow. And a vision that is only about numbers does not have enough depth to be taken seriously. 6. Pay attention to the details There are some entrepreneurs out there who can create amazing things through the extraordinary force of their personality and vision – Richard Branson is a particular hero of mine who seems to be able to create new businesses through the glint in his eyes. But most of us mere mortals cannot do that. We need to focus on the details of the business to make it happen, otherwise it won’t. And truth be told, Branson’s books tell a story of a man that was obsessed with the minutest detail in his early careers, and probably still is.

I also recall a presentation by Graeme Wood at an Anthill function talking about how he got involved in the intricate details of the user-interface of the Wotif website. If I had my time again with MobileSelect, I would have spent a lot more time on the development of our applications, systems and the website, but instead I spent too much time planning, budgeting, reporting, attending board meetings and thinking about “the big picture”. 7. Know what you don’t know In retrospect, I also know that I was missing some key skills – or, rather, I was relying too much on learning on the job and flying by the seat of my pants. Hindsight is a wonderful thing, and I know now that my biggest contribution to the business was the idea itself, as well as selling it to the business partners we relied on to make it happen (the mobile carriers). We lacked skills in some key development areas, and the end result was a product that, although it may have fulfilled “the vision”, in reality was a sub-standard service that our website visitors found difficult to use. So make sure you know what you need to make it happen, and be absolutely certain to identify your own shortcomings. Nobody is good at everything.
8. Act early and decisively – admit mistakes and move on Having our “version one” of the online service we offered being less than fantastic wasn’t in itself the end of the world, and it happens more often than not. However, not doing something about it can be a fatal mistake. No startup can afford to hesitate before rectifying a mistake. If things don’t work, be it related to the product, the market, your sales process or the people you employ, don’t wait. Don’t expect it to sort itself out. Be decisive. Make changes. You are much better off risking a new mistake than trying to persevere with the one you already made. 9. Strive for what is possible – leave perfection to those who can afford it Striving for perfection is a luxury accorded only to companies with deep pockets in mature and regulated industries. One of my early business mentors, a Norwegian entrepreneur with several very successful startups behind him, used to urge me to decide what was “good enough” to do the job – a state typically obtained long before perfection. (Or, as Bill Gates would say, bug-free software is obsolete!) It was good advice then, and it still is. It requires a degree of leadership to tell your designers, your developers or your engineers that today is the day we “go live”,
open the doors to the public, start selling and then hope for the best. Finding that balance between being “finished” and being “ready” can make or break a budding startup. 10. And finally… be prepared – leave something in the bank I am a recreational sailor. I spend most Saturdays on a yacht on Port Phillip Bay. One of the things you learn going into the wind towards the windward mark, trying to get the boat to travel less distance while maximising speed, is that you have to leave something “in the bank”. Go a bit higher into the wind just in case there is a windshift before you get there. The margins can be small in sailing, but missing the mark only reduces bragging rights in the bar after the race. Risky, but not terminal for most of us. Sailing too close to the wind in business is much more dangerous, not just because you may run out of water (money, that is), but being in shallow water reduces your options when you most need them. So make sure you have at least three or four months of negative cash-flow left at any time. Anything less can cost you not just bragging rights, but the key to the bar! Some gullible business owners also become influenced by the promotional material that is shown to them, referring to overseas connections and an incredible success rate in achieved sales. Be aware that interstate brokers are not allowed to sell businesses outside their licensed area. So if you spend large amounts of upfront money with these brokers you will be setting yourself up for disappointment. C. And Unlicensed Brokers
Sellers might go to the agent they perceive as the biggest, or the one with claimed overseas connections or the one with a glossy magazine. Or, the seller might choose the broker that gave the highest expected sale price.
Many vendors have forked out thousands after falling for a great pitch, or promises of potential buyers. These bad experiences make vendors suspicious of everyone in the industry, including the reputable organizations. For this reason we have created this article outlining some key points to help you tell the difference between a Good Broker and a Bad Broker.
Some of these brokers might give an impression that there is an affiliation with well-known financial institutions, when in actual fact there is not.
A. The Ridiculously Low Commission Tactic If the commission is low, you should ask yourself how can the broker make money from the sale on such a low commission? 99% of the time if the broker asks a large upfront fee for marketing and advertising then there is your answer; they are more interested in the upfront fee than the commission resulting from the sale of your business. If you read between the lines it is obvious they are not that interested in selling your business, rather in just listing the business. Note: Most reputable brokers also charge a upfront fee for service and advertising also, so refer to our tips to choosing a reputable broker. B. The Interstate Lister Tactic There are companies that operate outside the state they are based and licensed in. They use listers - slick commission sales people - to list businesses mainly in the country area. These travelling sales people are normally not the actual broker, their job is to list and get out of town, and that is usually the last you will hear from them.
This is scary stuff because these people do not hold the proper broker's license to sell a business. Always ask to see a copy of the license when you engage a broker, or check the Department of Fair Trading or department of consumer affairs in your state.
General Tips for Buyers and Sellers If you are buying a business beware of these traps… 1.Not being honest with yourself about how much money or expertise you have for the business you want to buy. 2.Not thinking through the consequences of owning a business… taking over a new business, no matter how successful it is, will involve you spending considerable time and effort before you can relax and enjoy it. 3.Taking too much advice from family, friends and advisers and neglecting to think the situation through from your personal perspective. 4.Being too focused on purchasing a business in one industry or of one type without looking at the alternatives. 5. Not allowing for all the other expenses in addition to the price, such as the professional fees and stamp duties involved in the process.
