Find out about the franchise system in place? Will it suit your work style? Demand - Is there high demand for the products or services offered by the franchise? Training & Support –What type of Training & Support is offered (e.g. hands on learning, lectures, etc) by the franchisor and for how long? Is there back up or on going support when needed? Competition – Who and where are the competitors? What is their pricing on products and services compared to the franchise you are about to purchase?
Do you have the ability or experience to operate the franchise business? Can you learn quickly? Name Association – In the market place, how well are the franchise products or services recognised and rated by consumers? Is there ongoing and effective franchise marketing? Practicing Customer Empathy Is A Powerful Yet Simple Strategy That Can Single-Handedly Transform Your Business By Bob Lyon Why are
Bob Lyon some people more successful than others? Frequently it’s due to them having a better philosophical strategy. They approach everyone they deal with in a totally different and more effective way than anyone else does. And while their competitors are usually unable to figure out this strategy, it is one that anyone in business can successfully employ by simply changing your focus from “ME” to “YOU”. This is true whether you own a business or work for one. This simple adjustment in your focus is the key to what I believe is the most powerful business strategy you can employ. Once you begin to use it you will stand out in the minds and cheque books of your customers as the very best there is. Creating empathy with your customer is quite simply the ability to put your customer’s needs in ahead of your own. When you master that, your success will naturally follow. If it seems backwards to put your customers interests ahead of your own, that’s understandable. In fact, that is the reason so many businesses are unremarkable, unmemorable, and ultimately unsuccessful. It’s amazing how many people and companies will do whatever it takes to make a one-time sale, rather than taking time to understand the customer’s desired outcome. And then having the courage and concern to tell the customer what they really need is much less than they told you they wanted. You may, when you take this approach end up with a smaller initial sale, but you will have made a new friend, someone who will remember you the next time. And will no doubt, tell their friends about you and your business. Having empathy with your customer is a powerful yet simple strategy that almost single-handedly can transform your 6 Australian Business For Sale ®
business or career. It makes people want to do business with you rather than your competitors. It will give you an uncanny insight into what people want, and why they act and react in various ways. It will turn customers into literally friends for life. And it will strengthen your passion and connection with everyone you associate with.
So, do you sell the father and his son the top of the line, highest profit margin bike in the store? Maybe, if that’s the best solution to your client’s problem. But you should definitely tell the father that you’ve seen hundreds of dad’s come in and buy their child’s first bike and you know what a wonderful experience he and his son are about to have.
You need to understand the true needs of your customers and how to approach them in a way that results in their complete satisfaction and long term loyalty to you.
Possibly a less expensive model would be better for his son. It’s the little fellow’s first bicycle and he may crash into a tree or two. You make the sale and you just became a trusted advisor to the father.
A Client Not A Customer Consider the definition of these two words … Customer: A person who purchases a commodity or service.
The father realises you just didn’t sell him a product. You “protected” him. He became a client. In a couple of years his son will need a new bike. Where do you think he’ll go to buy it?
Client: A person who is under the protection of another.
And at the point of the sale, the high profit margin model might be the best choice. Maybe the entire family will want bikes to ride together.
If you use the word customers, that’s fine. But always think of them as clients. And when you start to serve clients rather than sell clients, the limits on your business success will disappear.
And when the time comes for the little boy to buy his son his first bicycle, where do you think he’ll go?
What exactly does “under your protection” mean? In this case it means not selling a product or service just so you can make the largest one time profit possible. You must understand and appreciate exactly what they need when they do business with you – even if they can’t articulate that exact result themselves. Once you know the final result they need and you lead them to that outcome – you become a trusted advisor who protects them. And they have every reason to remain your client for a lifetime. When a dad comes into your store to buy his six year old son his first bicycle, what’s he looking for? Does he just want a bicycle? No. He’s looking for one of the most joyful, sharing, experiences of a lifetime – teaching his son how to ride a bicycle. Just like his dad taught him to ride a bicycle when he was six. He’s looking for a memory that will last the rest of his life and his little boy’s too. He’s looking for that once in a lifetime moment when his son, smiling ear-toear and speeding down the street, yells, “Look, Dad I’m riding a two wheeler!”
Having empathy with your client doesn’t apply only to selling products and services. This strategy is equally important to anyone in any business situation. If you’re in administration, customer service, shipping – any department – you should use the strategy for dealing with everyone. Be a problem solver, not a problem bringer. Add value to every task you undertake. Clients can look at you as a trusted friend who is providing a service that will benefit them in some way. Not just because you helped them, but because they will want to continue to take advantage of the valuable service you provide them. Whatever you do, if you focus on giving value and advice instead of manipulating and manoeuvring, you will win over many more prospects and you’ll be rewarded in ways you’ve never dreamt of.
Falling In Love One of the biggest mistakes, probably the biggest mistake, people make in any business is that they fall in love with the wrong thing. They fall in love with their

product, service or business. You should believe passionately in your product, service or business. But you should fall in love with your clients. Awesome service is admirable but trite. Falling in love with your clients means taking responsibility for their wellbeing and putting their best interests ahead of your own. Most people say “What do I have to say to get people to buy?” Instead they should say “What do I have to give? What benefits do I have to offer? It has nothing to do with sales shenanigans, trickery or schemes. It has everything to do with the benefits you give your clients. The more value you give others, the more value you generate, not only for your clients but for yourself. The more contributions you make to the richness of your client’s lives, the more bonded you will be with them and they with you, and the more successful you’ll become. Your focus should be that your client’s wellbeing is important to you. And you should see yourself as a creator of value.
Human Nature Mastering the empathy strategy is really understanding and having respect for human nature. Start by considering yourself and how you go about making decisions. Naturally you want to feel good about yourself and the decisions you make in business or just in everyday life. The beauty of the empathy strategy is that it applies to any business. Whether you’re selling life insurance or you own a hardware store. The steps you must take always remain the same. You must first identify what your client really needs, even if your client doesn’t recognize what it is they need. The client may think that a particular item is what they are searching for, but if you probe a bit you might see an entirely different solution might solve your clients problem, maybe even a less expensive solution.
This approach to business may seem obvious to you. But you’d be amazed to find how few people in business understand this very basic concept. It’s hard for them to understand that they’re really selling solutions to problems, not merchandise. Selling people what they need, rather than what you have to sell, will set your business apart and create extra repeat and referral business that will astound you.

Choosing The Right Business Structure By Tim Kilham As you have bought this magazine and are reading this article, you are probably thinking about buying a business. It takes a great deal of courage to buy a business, especially when you are buying a business for the first time. It will help a great deal if you are well informed and if you have educated yourself, but no amount of training or reading can fully equip you for the experience of running a small business. There are many important questions to be answered and decisions to be made in the process of purchasing a business. One of the important decisions is deciding what business structure to use. You have a choice of four possible business structures. 1. To operate as sole proprietor (sole trader). In other words you personally own the business, even though it may operate under a business name. 2. To operate as a partnership. You, together with one or more individuals or entities, operate the business as partners. 3. To operate as a company. A company is a legal entity, quite separate to you, even though you may be the shareholder and director and thereby own and control the company. 4. To operate as a trust. There are many different types of trusts and the most common type is a discretionary trust (often known as a family trust). Many people setting up a business do not understand what a business name is, and many people believe that by registering a business name this creates a separate legal entity (like a company or trust). This is not the case. In all states in Australia, it is simply a requirement that if you are trading using a name (business name) other than your legal name, then that name must be registered. The requirement to register business names allows any person trading with a business to identify who the legal operator of that business is. So if your name is John Smith and you wish to operate a consulting business using the name of John Smith you do not have to register a business name. However, if you wish to call the consulting business “Expert Consulting”, then you will need to register the business name, showing yourself as the owner of that name and anybody who does business with Expert Consulting will be able to establish that you are the legal owner of the business. Each of the four business structures listed
above has its own advantages and disadvantages. There are good reasons why different people choose different business structures. There is no one structure that is best for everybody. A range of factors such as type of business, age, borrowings, risks, family structure, etc. have an influence on the choice of business structure. I practice as an accountant and advise many people on the purchase of a business and the most appropriate structure. In each case I can only determine the most appropriate structure after knowing all the facts about the business and the individual or individuals who are acquiring the business. I set out below some of the considerations to take into account when deciding on a business structure. This is by no means a complete list of considerations and you will always need to seek appropriate professional advice before choosing the best structure for your business. If the most important factor for you is to keep costs down, then operating the business as a sole proprietor, or in partnership with one or more other individuals, will be the best structure. The only cost that you will have to occur to set up as a sole trader or partnership of individuals is to register a business name (about $100), and as I have already indicated, registration will only be necessary if you are using a name other than your legal name. At the other end of the scale, the costs of setting up a structure that involves a family trust and a company, which is often the best structure for flexibility and tax minimisation, is likely to be in excess of $2,000. For some people, a key factor in choosing a structure is simplicity and ease of operation. If this is the case, operating as a sole proprietor or possibly a partnership, is the best structure. Once companies or trusts are involved, a business structure becomes more complicated. There is separation between you, the individual, and the legal entity. For companies, this may involve paying salaries and possibly dividends to you, and will involve the concepts of shareholders and directorships. For trusts, this will involve trustees, beneficiaries, distributions etc. None of these concepts is too difficult to grasp, and a good accountant will help you to ensure that everything is properly managed and explained, but some people just like to keep things simple and avoid these complications. Most people setting up a business want to pay as little income tax as they can. Broadly, individuals pay tax at marginal rates which can vary from 0% to 46.5%,
depending on the level of their income. Individuals pay tax on their share of partnership profits at the same marginal rates. Companies pay tax on their profits at a flat rate of 30%. Trusts do not usually pay tax and their income is distributed to individuals who pay tax at their marginal rates or to companies that pay tax at 30%. Legitimate tax minimisation plays a key role in determining the business structure. Tax planning is often a complicated matter and it is beyond the scope of this article to go into detail as to how taxes can be minimised. Often it involves using a combination of entities – perhaps companies and trusts– and paying a combination of salaries and distributions to individuals and leaving some income in companies. The best structure or structures for tax purposes therefore often depends on the facts of each situation. Suffice it to say that the right structure and proper planning can result in significant tax savings. Capital gains tax is another important consideration. Not enough people consider this when they are setting up their business structure – after all, they are buying a business and sometimes the last thing on their mind is what they might sell the business for. Yet the choice of business structure can have a significant impact on the tax that is paid on the capital gain on sale of the business. Given the correct structure, there are some very attractive tax concessions that can be accessed on sale of a business – not uncommonly, people who access the concessions pay no tax whatsoever on the gains on sale of a business! It is sometimes difficult to access all the concessions if the business operates as a company, so a company is often not the best structure from a capital gains tax perspective. This article has touched only briefly on matters to consider when choosing the right business structure. If it has done nothing else, I do hope this article has pointed out some of the complex issues involved in choosing a structure and convinced you to seek advice from an appropriate adviser before buying a business. Growing a franchise By Jason Gehrke For many people who buy a franchise, it is usually their first time in business. They are enthusiastic and willing to learn about the business, but often this Jason Gehrke enthusiasm is directed only at the technical and operational aspects of the business (ie. the stuff where they work in the business) and rarely at the strategic and tactical level (ie. the stuff where they work on the business). The technical and operational details of running the business (how to serve customers, make or display the products, perform the services, open and maintain the store etc) are often the primary focus of the franchisor’s training program for new franchisees. Without doubt this operational excellence is important to both franchisor and franchisee, yet it may not be enough by itself to ensure a franchisee can profit from and grow a successful business. As a result of prior work or executive experience, plus their due diligence in assessing the business prior to commencement, franchisors may occasionally assume that franchisees will bring a degree of financial acumen to their new franchise. However this may not always be the case. Where the franchisor’s training may concentrate on the specific technical or operational aspects of the business, a franchisee might not be equipped with the full range of business skills to properly grow their franchise. For this reason, every potential franchisee should learn general principles of business even before investing in a franchise. In particular, this involves understanding the difference between sales, profit and cash flow. There is a proverb in business that goes like this:
Turnover is vanity; Profit is sanity, But cash flow is king. The meaning is simple. Sales turnover can be high and look very impressive. 10 Australian Business For Sale ®
Indeed it’s one of the first things franchisees might use to benchmark their performance against others in the same group. However turnover alone is not enough to grow a grow a business unless there is adequate profit, but even this won’t guarantee a successful business unless the cash flow and working capital requirements of the business are kept in balance. Without the right cash flow, even the most successful business can collapse, just like an elite athlete starved of oxygen. If a franchisee does not have a grasp of basic business financials, their long term prospects are limited at best no matter how good the brand in which they have invested.

An intrapreneur is an inside entrepreneur, whose innovation and drive can accelerate their business development within a larger organisation by drawing on its resources, rather than striking out on their own. This term fits perfectly with the concept of entrepreneurial alliance, as franchisee intrapreneurs still require the framework and concept of the franchise system on which to build their own entrepreneurial success. The inference of both of these terms is that profit underlies the nature of the relationship, and that growth in franchisee profits enhances this relationship.
Growing into additional outlets
The nature of an alliance is that there are goals common to both parties, as well as obligations. An alliance also suggests a time or situationally-dependent relationship, which is also in keeping with the concept of the limited term of a franchise grant, and the option to renew usually available to both parties at the end of the term.
Many franchise business models lend themselves to multiple-unit ownership. This provides intrapreneurial growth opportunities for franchisees by acquiring additional outlets (subject to their capacity to effectively manage multiple units). A progression of this nature should be firmly rooted in a solid understanding of the financial concepts explained in this article, and may involve the following stages once the initial outlet has achieved consistently high levels of performance. Growing a franchise requires a fundamental understanding of financial basics, the establishment of key performance indicators (KPI’s) for elements of the business, constant monitoring and management of these KPI’s, and finally, considered growth into additional outlets to maximise the advantages and minimise the disadvantages of multiple unit ownership to become a truly successful franchisee intrapreneur.
In many ways this is more illustrative of the nature of the franchise relationship than a “commerical marriage”, a favourite term often used by franchise observers and media alike, and which draws obvious parallels with real life marriage. However the difference in franchising is that neither party expects to stay together until “death us do part”. Both parties know up front through the disclosure document and franchise agreement what their obligations to each other will be before, during and after the

So to get rid of the stock you may discount it to even below cost so that it is sold and no-longer costs money to store. 3) Increased competition – When the product is new you can price it fairly high to realise maximum profit. However when there are more competing products you will often have to lower the price to compete in the market. 4) To get customers in the store Lowering the price of a particular item even to below cost is a pricing strategy known as a ‘loss leader’. While you have discounted the product to the point where you may be losing money on it, the aim is to get customers in the store so that they may buy other more profitable items.

William de Ora As a human being, you have the intellect to know what is real and what is not. It all depends on how you look at a situation. In this case it’s about how you view fear. To deal effectively with fear, you must separate facts from emotion. The mind is probably the most powerful hard drive you’ll ever operate. Edward De Bono, father of lateral thinking, stated that the brain is a filing cabinet. Scientists describe the brain as an automated warehouse of multisensory records of successive moments (memory records). In selling your business you need to separate facts from emotions you need to ask four specific questions. Question 1: What’s your viewpoint? Look at yourself and be honest about your feelings. Remember there is no right or wrong here. If you think you can’t back up your claims then accept that. If you think your competitors are going to use this opportunity to put the boot in your ribs, then that is real for you too. Acknowledge that this is how you feel. The important thing is to clearly establish what you think about the situation. Question 2: What evidence do you have that supports your view point? How you answer this question will form the basis of the framework you create to help you in order to structure your business for sale. So write down the evidence you have that supports your viewpoint so you can clearly see what you think are the weaknesses in your plan. If you really think that people around you would question your ability then write down any evidence you see of that happening. If you think that your competitors are going to erode your credibility, write down how you think that might happen. We often project the anticipation of dreaded consequences and that projection makes us feel afraid. Then, when crises come into business affairs, it’s easy to become overwhelmed and confused by what action to take next. This leads to discord and fear. Faith, on the other hand, is an inherent attribute of the human soul. So it’s time to draw on it. We’re not talking about blind faith. It’s about knowing in your heart that this is absolutely possible without you having proof or physical evidence just yet. When a business owner is operating from fear, this notion of faith can be difficult to hear and it is very reasonable to ask for proof and evidence. But when you feel like you are taking a big leap, you do have to rely on an element of faith. They don’t call it a leap of faith for nothing! The reality is that you’re never going to know every possible scenario, every single risk or every single opportunity that will come your way. No human being has that kind of knowledge. So we operate by venturing into the unknown at many points of our life—and that’s when we need to rely on faith. But when we get to a stage where we’re comfortable, where the business is running okay and we’re familiar with what to expect from customers, suppliers, and staff, then it can be hard to get out of that comfortable zone. That’s when we stop relying on faith and start depending on familiarity. But remember the faith that you had when you first started your business? Back then you didn’t know if your business was going to succeed. You didn’t know if it would still be operating the way it is today. You had that faith once. Just draw on it again. Step out of your comfort zone and draw on the strength you know is already inside you. In selling a business you are moving on to the next chapter in your life. Remember that when one door closes another opens.
No matter how well prepared you are, setting a goal beyond your comfort zone will generate fear as you move towards it. In addition to what we've already discussed, we believe the following six steps will help you live beyond your fears so that you can accomplish your goals.
