21st Century’s Tax System The tax system in Australia as in other countries, is last century’s tax system. We are in the twenty first century with considerable economic change taking place. The result is that last century’s tax system is struggling. Once again the Federal Government is putting on the agenda so called ‘tax reform’. If the past is any indication the so called ‘tax reform’ is merely either an increase or decrease in tax, or at best, nibbling at small elements of the system. Last century’s tax system has high economic waste and inefficiencies. We have about 125 different taxes in Australia, 10 raise 90 per cent of all revenue. Company tax rates are at the top end of OECD countries and of Asian countries in our region, dragging on our competitiveness. It is time to introduce REAL tax reform to benefit all, raising substantially our already high standard of living. REAL tax reform will mean the eventual dumping of last century’s tax system and in its place a completely different, efficient tax system. The following is The Economic Architectural Summary of the ‘St Clair Tax Reform Model.’ REAL tax reform that will have the eyes and ears of the world glued to these changes. It is up to panels of economists from here and abroad to be the engineers of the system, attending to the detail. The suggested reform model comes in two distinct parts.

On the flip side an increase in electronic fraud could be expected. Special Federal Government legislation would be required to register all Banks and credit and debit card providers including foreign banks and card providers. This legislation would have particular emphasis on financial risk and security. The current credit and debit cards as we know them, could be combined into one card known as a ‘Money Card’ linked to a ‘Money Card Account’. As with today’s banks and credit card providers commercial arrangements may be entered into under the new system. Under this model all transactions are processed through Banks and Money Card providers who as previously mentioned are strictly registered and controlled. All citizens would have bank and/ or Money Cards to use for all transactions. The general technology for this sort of system exists. At commencement of a cash– less society all cash would be withdrawn through the bank and money card providers and crediting the respective providers accounts of the paper money being converted. A similar system would exist for all tourists to Australia. On arranging travel to Australia tourists would establish bank and/ or money cards either through their travel agency, bank or money card providers converting their foreign currency to cards. Money transactions for exports and imports would utilize a similar system.
PART B
PART A THE RECEIPTS BASED TAX SYSTEM. THE CASH FREE ECONOMY which means the end of the cash society worth billions of dollars of uncollected tax. By natural economic progression the use of paper money and coins is dying out. Some banks in Sweden don’t accept paper money and coins. As reported in the Australian Financial Review (24 December 2015), “Bills and coins now represent just 2 per cent of Sweden’s economy, compared with 7.7 per cent in the United States and 10 per cent in the Euro area.” Under the St Clair Tax Reform Model the Federal Government would pass legislation establishing a cash- free economy, thus accelerating the natural process. The result of a cash-free economy would be a saving by the government in producing money including handling costs to the government and business. Other advantages would be easier tracing of drug, taxation avoidance and other criminal activity, including a reduction in burglaries. 6 Australian Business For Sale ®
(1) All 125 taxes would end. (2) Only one tax would exist – a receipts based tax.
money card providers send to the Federal Government. (6) No Tax or other returns would be required from individuals or businesses including companies, trusts and superannuation funds. This massive saving has a direct result of more profits and wealth creation. (7) All workers would receive their gross salary or wage with no deduction of tax (other than the receipts based tax), to spend, save, reduce mortgage or invest as they wish. The gross amount would be subject to the receipts based tax applied by the banks or money card providers. (8) Tax collection would be from the banks and money card providers. This may well be less than 5,000 providers. (9) There would be massive savings for the government and business on dealing with the presently highly complicated tax regime. Everyone would pay their fair share of tax including the multinational companies, the online and Uber style transactions. (10)Tax collection would be considerably simpler with no bad debts for the government. (11)Compensation could be considered for early retirement from the tax office and to firms of tax agents for loss of business, to banks and money card providers for set-up costs and ongoing collection for the government and for pensioners as receipt of pensions would be subject to tax. However the tax in other respects should not penalise pensioners as business and the wealthy would have considerably more transactions, therefore more tax. Furthermore a tax-free threshold would apply to all individuals.
(3) The tax is collected by the banks and money card providers based on a percentage of ALL cash receipts – no exceptions – including transfers from one bank and/ or money card account to another and transferred to the Federal Government immediately it is collected.
On introduction of the receipts based tax would commence a transition period. It would be necessary for outstanding lodgements and collections under the last century’s tax system to continue until all taxpayers have finally completed their tax obligations under that tax regime.
(4) The tax percentage would be low.
As a result the downsizing of the taxation and other tax collection departments would be gradual, probably only through natural attrition.
(5) The tax percentage would be accurately assessed, since it is proposed that the PART B of the change would only be introduced one year (minimum) or three years (maximum) after the PART A has been introduced. This will enable economists to assess the volume of receipts on a daily, weekly, monthly and yearly basis from reports the banks and

enacted, the breaking of which would be subject to penalty. In the case of arm’s length debtors and loan transactions little change may be necessary as a result of the recipients desire to have such transactions completed in accordance with the agreed arrangements. The winners of the new tax system would be those taxpayers who have complied with the tax laws. The losers would be those who have cheated the system and/ or carried out their tax obligations in a very aggressive manner.
Under the St Clair model some of the broad benefits would be:1. One tax only – a receipts based tax – all other taxes would cease, saving billions. 2. No tax returns would be required from individuals or entities, saving billions 3. The government would have no bad debts and no collection problems. Tax would be paid on time – immediately as collected. 4. No so called cash society. Saving billions. However bartering between taxpayers to avoid tax may increase, even though this type of transaction would be illegal and subject to penalty. 5. The considerable number of Australians who should lodge tax returns, and those that have tax debts, would now be paying tax under the receipts based tax system. 6. Considerable savings to governments and business would be made as a result a vast reduction in taxation complexity and ending of so much tax law. 7. The so called ‘sacred cow’ of tax, tax exemption of the main residence would be circumvented under a receipts based tax. 8. International transactions 8 Australian Business For Sale ®

It would be the income that is subject to tax under the suggested model. c) Those individuals who travel relatively often from country to country and avoid paying tax in any country under the old tax system would now be subject to tax. d) In particular those large international companies who earn billions of dollars in Australia and pay little or no tax under the old tax regime, would be subject to tax. e) The new tax model would offer greater ease with less complication in overseas trade transactions. All International Tax Agreements between Australia and other countries would have to be reviewed.

This results in the tax rate percentage being considerably lower. All in all the new tax system offers a 21st century tax model, a fairer tax system, lower tax, with a vast reduction in compliance. More money in the hands of individuals and entities to spend, invest and reduce debt as they may desire.

Going Forward The government should set up a panel of economists to see if in general the model suggested is feasible. If the report is favourable, the debate should begin in earnest, resulting in a referendum. This is a huge change to Australia’s taxing system, the biggest change in taxing in Australia’s history, thus warranting a referendum for the people to decide. Last Thoughts • No comprehensive tax system is perfect; a balance should be struck between the positives and the negatives. • Last century’s tax system is not the best conclusion. • The Suggested model at the very least, should be investigated.

Located in the brain stem reticular formation, the function of this ancient survival mechanism is to tune out the familiar and make note of the new or important. It’s a data filter. As an example, have you ever purchased a new car… and noticed many people have the same car as you? Yet previously, you never saw it on the road. Tips to Buying a Bargain Franchise It’s not often that buying a franchise is described as getting a bargain. Typically, buying a franchise costs more at first than setting-up an independent Jason Gehrke business, but this is usually offset by improved cashflow, faster acheivement of breakeven, more effective marketing, rapid operational deployment and reduced risks to the operator due to the training and support provided by the franchisor. Franchise buyers will generally have a choice of two types of franchise: an existing business that is being sold as a going concern, or a “greenfield” (ie. start-up) which has not yet commenced trading. Depending on a potential franchisee’s willingness to accept a higher level of risk in their business investment, it is possible to occasionally find an undervalued franchise, be it a going concern or a greenfield. Going Concern A going concern outlet in an established network may be sold for a lower price than a greenfield franchise for a variety of reasons, including: Outlet underperformance; The outlet lease or franchise agreement is approaching the end of its term without an option for renewal; If the outlet has ageing equipment, fittings or stock; If the owner is under pressure to sell, particularly within a compressed timeframe. An outlet might underperform for a variety of reasons. It could be in a poor location, the owner may not be managing the business particularly well, the outlet could be presented poorly, it may not offer a complete range of product or services, or any number of other reasons. If you are able to identify the root cause of the underperformance in the business, and are confident that you can overcome those issues, then an underperforming franchise could be an excellent “bargain” for the savvy franchise buyer. Existing franchisees are often excellent candidates to buy underperforming outlet as they have the operational expertise to address the performance issues, and are often capable of taking on an extra outlet close to where they are already trading. 12 Australian Business For Sale ®
End of lease or franchise term A franchise sold toward the end of its lease or franchise term (where no renewal is offered or available) will be worth much less because a buyer will only have the business for the balance of the term available, and consequently will have much less time to earn back the price paid to buy the business. If a business has only one year left on its five-year franchise agreement and retail lease, it is conceivably worth only 20% of the price of a business with a full five-year term available. If you are new to franchising, then buying a business in these circumstances is not recommended unless are prepared to accept the risk that your lease or franchise term will run out before you have made enough money to get a return on your investment. Ageing equipment, fittings, etc A business which has visibly ageing equipment, fixtures, fittings, or aged or depleted stock could potentially be bought under full market value because it needs a level of reinvestment that the current operator cannot afford or is otherwise unwilling to make. An example might be a retail store which is looking old and tired, but which still has a considerable term left on its lease (or which requires a refurbishment as a condition of granting a renewal on its lease). If the existing owner has not set money aside to reinvest in their business their sale price will be reduced accordingly. While a new owner might pick up the business at a lower price, the additional investment required to refurbish the store, upgrade the equipment and fittings, or buy new stock, might bring the total cost of acquiring the business to the same level as buying another at full price. The owner is under pressure to sell A colleague once told me that that to get the best deal when buying a business, you should look for three things: debt, death or divorce. These three things can all put pressure on an owner to sell a business. Too much business or personal debt can force a sale, a death in the family (or of the owner themselves) can force a sale, and the division of assets that usually accompanies a divorce can also trigger a sale. In each of these cases, a sale is likely to be conducted quickly, and in a shorter timeframe than would be undertaken for a business operating under normal circumstances. The need to appease one or
more third parties (eg. secured creditors, ex-spouses, the beneficiaries of an estate) from the proceeds of a sale can provide a strong incentive to sell quickly, even if it is not always for the best price. This might be bad news for a seller, but good news for the buyer. Greenfield locations Undervalued greenfield franchises are harder to find and come without an existing income stream, compared to going concerns. Established franchisors will rarely, if ever, discount new franchises. However every few years they might review their franchise to reduce some of the costs in setting-up a new store. For a retail businses with a set-up cost of say, $400,000, a review might be able to reduce the set-up cost by five or 10 per cent if a different fitout, fixtures or fittings are used, or a lower up-front franchise fee is applied. While this might not be a large enough reduction to qualify as “undervalued”, it is still a valuable saving for a franchise buyer. Generally speaking, undervalued greenfield franchises are most likely to be offered by start-up franchisors who are keen to attract enough early adopters to get their network to achieve a critical mass of outlets as quickly as possible. However this occurs quite rarely as most new franchisors tend to need the capital injection from granting franchises more so than a critical mass of outlets. When it does occur, outlets may only be offered to those who already have a relationship with the new franchisor, and therefore the vast majority of potential franchise buyers will be unaware of the undervalued offer. Regardless of the circumstances of a franchise offer, a potential buyer must always undertake extensive due diligence before commiting to a purchase. So with this in mind, the best chance of finding an undervalued franchise is to look for a going concern that is underperforming, in need of reinvestment, or where the owner is in financial strife or has other serious distractions in their life. Strangely enough, few of these circumstances commonly feature in “For Sale” headlines, so a closer look at the advertisements for existing businesses for sale will reveal whether or not they represent an opportunity to buy a bargain.
