1999: Best Union was founded in Bologna by a software house and EBC Srl, a company specializing in event management and ticketing activity, whose main founders are Luca Montebugnoli, Licia Montebugnoli and Luana Sabattini 2000: Jumpy (a company of the Fininvest Group) acquires the 20% of the Company through a capital increase operation. 2004 - 2005: Luca Montebugnoli acquires shares of Logital SpA and Logilab Srl; the Pavarotti International and Basketball team Fortitudo become shareholders of the company 2008: Best Union Company S.p.A. enters on the Italian Stock Exchange for the management of ticketing services, hospitality, access control and security; in addition, in November, the company acquires 65% of Team 2015 Srl, a company active in the management of exhibition services 2009: Best Union acquires 100% of Omniticket Group, a company with twenty years of international experience in the activity of ticketing; the Group signs an important commercial agreement for three years with Almaviva Finance, and acquired 70% of HB Communication; the most prestigious international sporting events held in Italy are managed by Best Union 2010: Best Union acquires the 100% of the Ticketweb.it, shares, a company of the Cabassi Group, and it acquires the 100% of the Amit S.r.l. shares 2011: Best Union acquires the 55% of Teleart S.r.l. shares (94% in 2012) e the 100% of Charta S.r.l. shares. 2012: The company focuses on the integration of the acquired companies and on efficiency improvement of the Group. 2013: Best Union acquires the 100% of Enta Ticketing Solution Ltd, an english company operating in the ticketing setor with an important customer base;. 2014: on May Best Union acquires the french company IREC Ticketing Technology headquartered in Poitiers and specialised in the ticketing and access control sector in the culture and entertainment.

Vivaticket is the E-ticketing system owned by Charta; it is a brand that in addition to the website www.vivaticket.it identifies all channels in the pre-sales circuit, consisting of: • more than 500 physical points of sale distributed throughout the national territory; • a Call Center; a Groups Office. The website reached 300,000 visits per month and 220,000 unique visitors, with over 2 million page viewed.

Best Union Group is moving more and more towards their business channel B2C (Business to Consumer) directing its range of products directly to the end consumer. B2C sales channel enables the company to move its activities in the areas with higher margins. Recent acquisitions (especially with the Charta’s platform “Vivaticket”) enables Best Union to follow this strategy.

In 2012 Best Union has effected a restyling of the Vivaticket site which has improved its efficiency and usability and it allowed the Company to integrate the four portals of the Group into a single site. 11


Software & Systems: the BOS System The ticketing and access control system currently used by the Company is BOS (Best Overview System); BOS is a project developed and shared between Best Union and Omniticket, and is now replacing the old system (Forum). It will be gradually extended over the entire customer base. Below we report the screen interface with some areas of use of the BOS system.

The Best Union Group abroad The recent acquisitions made by the Group pursued the strategic line of activities’ development abroad with the dual objective of: 1. Positioning in new markets and business sectors; 2. Positioning in geographic areas with strong growth of demand for the entertainment services. The strategic policy undertaken has enabled the Group to maintain its growth trend, maintaining good levels of turnover and profitability. Some Data by Best Union abroad: more than 300 customers in the U.S. and Canada; operating bases in UK, USA, UAE, France, Singapore; next opening in China and India with important ongoing negotiations. Revenues The Group's turnover increased from 11.5 million euros in 2008 to approximately 40 million Euros in 2013. In 2013 the focus was in particular on the activities and B2C sales of software and systems for ticketing, with special attention to the rise in foreign Leasure & Entertainment. The growth of B2C especially abroad, in countries where the Group is already present, it is also one of the objectives of the next three years.

Some important contracts awarded in 2012 We report the major contracts gained by Best Union in the current period: IN ITALY: the role of banking and ticketing partner for EXPO 2015, in joint venture with Intesa Sanpaolo; a ten year concession for the management of the Stadium ATI L. Ferraris in Genoa;

THE MAIN INTERNATIONAL ACTIVITIES: the provision of online ticketing services for the California Science Center; the provision of on site and online ticketing system at Graceland, home of Elvis Presley, entered in the National Register of Historic Places, which welcomes 600,000 visitors each year; the completion of the ticketing system for Historical Royal Palaces of London (including the Tower of London, Hampton Court Palace, the Banqueting House, Kensington Palace and Kew Palace).

Best Union wins the 2015 EXPO

Best Union Company S.p.A. partner of Expo 2015 S.p.A. for ticketing services 2012 is a very important year for Best Union, who got the role (in a joint venture with Gruppo Intesa Sanpaolo) of banking and ticketing partner for EXPO 2015 in Milan; it is a terrific achievement that rewards the strategic choices and investments of the company over the past years. The event will take place in Milan from May 1st to October 31th, 2015; Best Union will have the responsibility for the preparation and management of the platform and ticketing services related to the event. Best Union Company is the only company that has managed 3 EXPO (Lisbon, Hannover, Milan).
