3.2 TheProcessingFee: IfyoucancelanyConfirmedServicesbefore1October,2022, youwillbeliabletopayaprocessingfeeofEUR150(the “ProcessingFee”),regardlessof thequantityofConfirmedServicesthatyoucancel.
Thesetermsandconditionsofsale(“Terms”),whichrelatetothesaleofOfficialTravel PackagesforRugbyWorldCupFrance2023whichwilltakeplaceatfrom8September, to28October,2023(the “Event”),applybetweentheclient(“you” or “Customer”)andBH HospitalityLimited(“BHH”, “we” or “us”)locatedatUnit701,7th Floor,SinoPlaza,255-257 GloucesterRoad,CausewayBay,HongKong.BHHhasbeenappointedasanOfficial TravelAgenttopackageanofficialtickettotheEventalongwithindividualelementsof Services(suchas,butnotlimitedtohotelrooms,airtransportation,groundtransportation andtransfers),asanofficialtravelpackage(eachan “OfficialPackage”).
3.3 TheCancellationFee: Dependingonwhenwereceivenotificationofyourcancellation youwillbeliabletopayacancellationfee(the “CancellationFee”)asfollows:

1.2 Confirmingyourreservation: OnorbeforetheoptiondatereferredtointheProposal (the “OptionDate”),youmustconfirmtousthenumberandtypeofServicesyouwishto retain(beingthe “ConfirmedServices”)bysigningandreturningtheProposaltous(a signedandreturnedProposalbeinga “Confirmation”).AllServiceswhicharenotso confirmedonorbeforetheOptionDatewillbeautomaticallycancelled.Weshallsendyou aninvoicerequestingpaymentinaccordancewiththepaymentschedulewhichyouwill seebelowatClause2.3.
3.1. CancellingConfirmedServices: DependingonwhenyoucanceltheConfirmed ServicesyouwillbecomeliabletopayfeesassetoutatClause3.2andClause3.3below. Thesefeesarecalculatedtocoverourcostofhandlingyourcancellationandareagenuine pre-estimateofourlossandthecostswewillincur.

BysigningandreturningtheProposaltous(asspecifiedinClause1.1)youagreeto purchaseServicesfromussubjecttotheseTerms.EachConfirmation(asdescribedin Clause1.2)shallbedeemedtobeaseparatecontractbetweenus,towhichtheseTerms apply.
1.3 PurchasinganOfficialPackage: IfyouhavepurchasedanOfficialPackagethen,if youchoosetoexerciseyourcancellationrightsinaccordancewithClause3,youmaynot canceltheindividualelementsthatmakeupyourOfficialPackagebutmayonlycancelthe combinedelementsoftheOfficialPackageyouhavepurchased.
2.6 Currency AllpricesandpaymentsaredenominatedinEuros.
2.9TicketssoldbyorobtainedfromanyunauthorisedsourcewillNOTbevalid.
1.1 Makingyourinitialreservation: Oncewehavereceivedarequestfromyou,weshall, subjecttoavailability,reservetheServicesspecifiedexclusivelyforyouandspecifysuch reservation(s)inacorrespondingproposal(the “Proposal”)whichweshallthensendto you.

PayingforYourServices
2.2 IncidentalCharges: TheamountsetoutintheConfirmationdoesnotcoverany incidentalchargesincurredbyoronbehalfoftheperson(s)usingtheConfirmedServices, includingbutnotlimitedtoroomservice,foodandbeverage(unlessexpresslyincluded), telephonecallsandallservicechargesandtaxes.Youoryourguestsmaythereforebe requiredbythehoteluponcheck-in(arrival)toguaranteepaymentofanyandallsuch incidentalchargeswithamajorcreditcardorcashdeposit.
2.1SubjecttoanycancellationsinaccordancewiththeseTermsyouagreetopaythetotal amountpayableassetoutintheConfirmation.Weacknowledgethisamountshallinclude allapplicablechargesandtaxesattheprevailingratesubjecttoClause2.4regarding paymentarrangements.
2.4 PaymentArrangements: Detailsofhowyoucanpaywillbesetoutinourinvoice.We reservetherighttochargeahandlingfeeinrespectofanypaymentsyoumakebycredit ordebitcard.Fulldetailsareavailableonrequestandwillbespecifiedinourinvoice.
AdmissionTickets 2.7 Tickets:TicketswillbeissuedsubjecttotheTicketGeneralTermsandConditionsof Sale(“theTicketGTCs”)ofGIERugbyHospitalitiesetVoyagesandRugbyWorldCup Limited. TheTicketGTCsandtheseTerms&ConditionsofSaleeachformanintegral partoftheagreementbetweenusandyou,andtheCustomerirrevocablyand unconditionallyundertakesandagreestofullycomplywiththeTicketGTCsandthese Terms.TheTicketGTCscomprisetheversiontowhichtheCustomeragreestobebound atthedatetheapplicableProposalissignedbytheCustomer.TheCustomeragreesto acceptandcomplywithanyupdatedversionoftheTicketGTCsissuedsubsequently.
LatePayment: Iffullpaymentofanyamountduetoushasnotbeenreceivedbythe duedateandwehavestillnotreceivedpaymentfromyoufifteen(15)daysafterserving noticeonyourequestingsuchpayment,weshallbeentitledto(a)chargeyouintereston allamountsoutstandingatfourpercent(4%)perannum,(b)refusetosupplyanyServices, (c)claimforallreasonablelossesandcostssufferedbyusasaresultofnon-payment and/orlatepayment,and(d)terminatetheagreementfortheprovisionofConfirmed ServicespursuanttotheConfirmation(the “Agreement)pursuanttoClause4.5below.
2.3 PaymentSchedule: YouagreetopayasfollowsforallConfirmedServicestogether withanyrelevantCancellationFees(asdescribedinClause3.3)andProcessingFees(as describedinClause3.2)(the “Total”): (i)WhentheOptionDateontheProposalfallsonorbefore15January,2023youshall pay: a)Fiftypercent(50%)ofthetotalwithinfifteen(15)daysoftheOptiondate b)Thebalance(ifany)oftheTotal(the “Balance”)onorbefore1February,2023. (ii)WhentheoptiondateontheProposalfallsonorafter15January,2023youshallpay theTotalamountwithin7daysoftheOptionDate.
2.8TheCustomerfurtheragreestoensurethats/heinformanyguestsorthirdpartiesto whoms/heprovidesanOfficialPackage,thatanysuchguestsorthirdpartiesmustfully complywiththeTicketGTCs,andtheCustomer,regardlessoftheCustomer’sfault, remainsprimarilyliabletoBHHforanynon-compliancebyanysuchthirdpartiesorguests.
BH Hospitality Limited The price of the Confirmed Services is fully guaranteed and will not be subject to any surcharges(saveasdescribedinClause2.2and2.4).
Referencebelowto “Services” shallapplytothesaleofOfficialPackages,dependingon whichoftheseservicesyouhaverequestedandpurchasedaspartofyourOfficial Package(s).
ItistheCustomer'sresponsibilitytonotifytoeachofhisorherindividualguestsinwriting oftherequirementsoftheTicketGTCsandtoensurefullcompliancewiththesameby suchguests.
2.10Ticketsmustnotbe:transferred;and/ordonatedorofferedpublicly(includingonany website)forsale;and/oroffered,transferredorusedinthecourseofanybusinessor otherwiseforcommercialpurposes;and/oroffered,transferredorusedinrelationtoany promotionalpurpose,asaprizeorotherwisebundledotherthanaspartofanOfficial Packagewithanyothergoodsorservices(includingaspartofanyhospitalityortravel package(forexample,bycombininganyTicketwithflights,hospitalityoraccommodation)) viawhatevermediaorchannels,includingphysical,electroniccommerce,socialmediaor otherplatforms.Anyticketofferedforsale,sold,transferredorotherwiseusedinbreach ofthisClauseisinvalidanddeemedasanirremediablebreachofthisAgreementbyyou pursuanttoClause4.5,andGIERugbyHospitalitiesetVoyagesandRugbyWorldCup Limitedand/orBHHisnotobligedtoadmitanypersonwhoseekstouseanysuchticketto anypartoftheEventorprovideanyservicetosuchpersondirectlyorviathirdparty suppliers.
Between1October,2022and31January,2023,youwillbeliabletoachargeoffifty percent(50%)ofthevalueoftheConfirmedServicesthatyoucancel.
IfweChangeorCanceltheServices
4.2 YourLiabilitytoUs: Althoughwearrangeyourreservationwiththehotel(s)andthe provisionoftheotherServices,wecannotbeheldresponsiblefortheactsandomissions ofyouandanyofthecheck-invoucherorticketholderswhousetheConfirmedServices reservedbyyou.Intheeventofanyclaim,costorexpensearisingagainstusinrespectof anysuchactoromission,youconfirmthatyouwillbeartheresponsibilityforthis,eitherby settlingandpayingforsuchclaims,costsorexpensesor,ifyoudisputeanysuchclaim, costorexpense,thatyouwillberesponsibleforthecostsarisingindefendingsuchaclaim includingourownreasonablecosts(ifany).
4.4 Amendments: NeitheryounorwemayaltertheseTermswithouttheother’swritten agreement.
OurLiabilitytoYou: InordertosupplyyouwiththeConfirmedServices,wehave contractedwiththirdpartysuppliersthatwehavetakenreasonablecareandskilltoensure arereputable.Ourroleafterthatpointistosecureyourbookingwiththerelevanthoteland arrangeforyoutobeprovidedwiththeotherServicesandalthoughwewilltrytoresolve matterswherethehotelorotherserviceprovidershavenotcompliedwithanyoftheir obligations,weemphasisethatwedonothavecontrolovertheactualservicesprovided toyoubythehotelorotherserviceproviders.

:Itisunlikelythatwewillhavetomakeany changestoyourConfirmedServices,butwedoplanthearrangementsmanymonthsin advance.Occasionally,wemayhavetomakechangesandwereservetherighttodoso atanytime.Mostofthesechangeswillbeminorandwewilladviseyouofthematthe earliestpossibledate.Whenamajorchangeoccurs,wewillinformyouassoonas possibleifthereistimebeforeyourdeparture.Youwillhavethechoiceofeitheraccepting thechangetoyourConfirmedServices,acceptinganofferofalternativearrangementsof comparablestandardfromusifavailable(wewillrefundanypricedifferenceifthe alternativeisofalowervalue),orcancellingyourConfirmedServicesandreceivingafull refundofallthemoniespaid.
Miscellaneous 4.1
4.5 TermandTermination: YoumayterminatetheConfirmationbynoticeinwritinginthe eventthatwecommitanyseriousbreachoftheseTermsandfailtoremedyitwithinfifteen (15)daysofreceiptofnoticeofsuchbreachrequiringremedyofthesame.Weshallbe entitledtoterminateaConfirmationandanyothertransactionbetweenyouandustowhich theseTermsapply,bynoticeinwritingtoyouif:(a)youcommitanirremediablebreach,or aremediablebreachandfailtoremedyitwithinfifteen(15)daysofreceiptofnoticeofsaid breachrequiringremedyofsame;(b)youmakeanyvoluntaryarrangementwithyour creditorsorbecomesubjecttoanadministrativeorderor(beinganindividualorfirm) becomebankruptor(beingacompany)becomesubjectofanywinding-upproceduresor gointoliquidation(otherwisethanforthepurposeofsolventamalgamationor reconstruction)orceaseorthreatentoceasetocarryonbusinessoranencumbrancer takespossessionorareceiverisappointedtoanyofyourpropertyorassetsorifwe reasonablyapprehendthatanysucheventisabouttooccurandnotifyyouaccordingly.
4.8 IndependentContractors: Fortheavoidanceofanydoubt,youandweshalleachbe andremainindependentcontractorswithrespecttoeachotherandwithrespecttoallrights obtainedandservicesperformed.Nothinghereinshallbeconstruedto: Constituteyouandusaspartners,jointventurersorcoowners; Constituteyouorusastheagent,employeeorrepresentativeoftheother; Empoweryouorustoactfor,bindorotherwisecreateorassumeanyobligationson behalfoftheother.
4.9 Notices: Allnotices,demands,requestsorothercommunicationsshallbeinwriting andshallbemailedfirstclassortransmittedbyhanddeliveryore-mailaddressedas follows: IfintendedforusaddressedtoBHHospitalityLimitedatUnit701,7th Floor,Sino Plaza,255-257GloucesterRoad,CausewayBay,HongKongore-mailinfo@bhhopsitality.com.ortosuchotheraddressasmaybedesignatedbyusinwritingto you; Ifintendedforyou,attheaddressore-mailaddressprovidedbyyouandgivenon yourinvoiceortosuchotheraddressasmaybedesignatedbyyouinwritingtous. Suchnotices,demandsorothercommunicationsshallbedeemedgivenuponreceipt.In thecaseoftransmissionbye-mail,confirmationofthetransmissionmustbemadeby mailingtheoriginalnoticedemandorcommunicationnotlaterthanthebusinessday followingthetransmission. 4.10 Severability: Ifanyprovisionorportionofanyprovisionisheldtobeunenforceable orinvalidbyacourtofcompetentjurisdiction,thevalidityandenforceabilityofthe enforceableportionofanysuchprovisionsshallnotbeaffectedbythis.
3.4Providedyoudonotcommitaseriousbreachofcontractandprovidedyouprovide promptpaymentweshallnothaveanyrighttoreducethenumberofConfirmedServices.
Ourliability,exceptincasesinvolvingdeath,injuryorillness,inconnectionwitheach Confirmationshallbelimitedtoamaximumofthree(3)timesthetotalvalueofthe Confirmation.NothinginthisClauselimitsourliabilityfordeathorpersonalinjurycaused directlybywayofourorourstaff’sgrossnegligentactoromission,orforfraudorfraudulent misrepresentation.
Between1March,2022and30September,2022,youwillbeliabletoachargeof twentypercent(20%)ofthevalueoftheConfirmedServicesthatyoucancel.

4.3 Damages: IfweareinbreachofourobligationsundertheAgreement,wewillnotbe responsibletoyouincontract,tort(includingwithoutlimitationnegligence)orotherwise forlossesthatwerenotforeseeablebybothpartieswhentheAgreementwasformed,for lossesthatwerenotcausedbyanybreachonourpartandforanybusinesslossesor
IntheeventthatyoucancelanyConfirmedServicesandincuraCancellationFeeand/or aProcessingFee,wewillapplyallyourpreviouslymadepayments(underanyorall Confirmationsbetweenus)firstlytowardsthesesumsandthentowardspaymentforyour remainingConfirmedServices.Anysumsremainingwillberefundeddirectlytoyou.
4.6 Waiver: NoneoftheseTermsmaybewaivedexceptwiththeexpressconsentofthe partyorpartieswhoisgoingtobeboundbythewaiver.Neitheryourrightsnorourrights undertheseTermswillbedeemedtohavebeenwaivedbyanyactorconductoneither yourorourpart,orbyanyneglecttoexerciseorenforcesuchrightorpowerorbyany delayindoingso.TherightsandpowersthataregiventoeitherofusundertheseTerms shallcontinuetoapplyunlessanduntilthepersonwhoisgoingtobeboundbyawaiver hasspecificallywaivedorreleasedsuchpowers.Nowaivershalloperateasawaiverof anyotherdefaultorofthesamedefaultonafutureoccasion.
SubjecttoClause4.3,wedo,however,acceptliabilitywhereourstafforwehavenot properlyperformedourcontractedobligationsexceptwheresuchfailure/improper performancearose: a)Whollyduetotheactsand/oromissionsoftheperson(s)affected; b)Duetoactsand/oromissionsofapersonunconnectedwiththeprovisionofthe ConfirmedServicesandincircumstancesbeyondourcontrol;and c)Duetoanyeventwhichwasbeyondourcontrolandwhichweorthesupplierofthe servicecouldnothaveforestalledorforeseenevenwithallduecare.
Assignment: EachConfirmationispersonaltoyouandyoumaynotassign,transfer, subcontractorotherwisepartwithanybenefitsorobligationsunderitwithoutourprior writtenapproval,providedhoweverthatyoumayassignortransfertherighttouseany numberofConfirmedServicesbyyourguestsorthirdpartiespursuanttoClause2.8(if any)withoutourpriorwrittenapproval.Pleasenotethat,subjecttoClause2.8,ifyoudo allowsomeoneelsetousetheConfirmedServicesinaccordancewiththisClausethen youagree,andyouagreetoinformeachofanysuchguestsorthirdparties,thattheTerms willapplytothatguestorthirdpartyalso.
Afterthe1February,2023thesaleofallConfirmedServicesshallbeFINAL,and youwillbeliabletopay100%ofthevalueofallConfirmedServicescancelledafter thatdate.

4.17 Passport,VisaandImmigrationRequirements:Yourspecificpassportandvisa requirements,andotherimmigrationrequirementsareyourresponsibility,andyoushould confirmthesewiththerelevantEmbassiesand/orConsulates.Wedonotacceptany responsibilityifyoucannottravelbecauseyouhavenotcompliedwithanypassport,visa orimmigrationrequirements.

beingsuppliedyoushouldimmediatelyinformthehoteland/orprovidersofotherServices andalsoourownrepresentativewhowilldowhattheycantoresolvematterstoyour satisfaction.Ifthedifficultyisnotresolvedatthetimetoyoursatisfactionyoumustcontact usinwritingnolaterthan28daysafteryourreturnattheaddressprovidedtoyouatClause 4.9above.Ifyoufailtoadviseusand/orthesupplierpromptlyaboutsuchdifficultiesthis mayaffectourabilitytoproperlylookintoandresolvethismatterforyou.Intheunlikely eventthatwearenotabletosettleamicablyanyproblemsarisingoutoftheseTermsand yourConfirmation,thenbothpartiesmay,iftheywish,agreetomediatethematter. Mediationshallconsistofaprocessbywhichthepartiesshallattempttoresolvea controversyorclaimbysubmittingittoanimpartial,neutralmediator,whoisauthorisedto facilitatearesolutionofthecontroversyorclaim,butwhoisnotempoweredtoimposea settlementupontheparties.MediationshalltakeplaceinHongKong.

4.15 ForceMajeure: ForthepurposesoftheseTerms, “ForceMajeure” shallmeanActs ofGod,war,governmentaction,policychangesordecree,pandemicorepidemic,disaster, strikes(otherthanstrikesbyourstaff),riotorcivildisorder,actsofterrorismorthreatof anyoftheforegoing,curtailmentoftransportationfacilities(totheextentsuchcurtailment wasbeyondourreasonablecontrol),inclementweather,thepostponementorcancellation oftheEventoritsbeingrelocatedtoanothervenueorotheremergenciesbeyondthe affectedparty’scontrolmakingitillegalorimpossibletoprovideortakeuptheConfirmed ServicesforthepurposeofattendingtheEvent.Intheeventthatperformanceofthe AgreementisnotpossiblebyreasonofForceMajeure,neitherpartyshallbedeemedto beinbreachofthetermsoftheAgreementandneitherpartyshallthenbeobligatedinany mannertotheotherwithrespecttosuchperformance.Compensationwillnotbepayable byeitherparty.TotheextentwerecovermoniesfromourConfirmedServicesproviders (includingthehotels)orinsurancewewillrefundsuchmoniestoyouandwewilluseour reasonableeffortstoobtainsuchrecovery.
4.14 GoverningLaw: YourConfirmationandtheseTermsshallbegovernedby,and construedinaccordancewith,thelawsofHongKongSpecialAdministrativeRegionofthe People’sRepublicofChina(“HongKong”)(withoutgivingeffecttoprinciplesofconflictof lawthereof).InanyproceedingbroughtunderorarisingoutoftheAgreementtheparties’ consenttothejurisdictionofthecourtswithinHongKongandfurtherconsenttoserviceof processbyanymeansauthorisedbyapplicablelaws.
