ow, I can’t believe that I’m writing my fourth message for the PHC magazine already. It seems like I just finished the last article a few days ago, but that’s how fast time flies when your busy with family, work and being involved with this great association. The year started out serving as co-chairman for the state convention at The Great Wolf Lodge in Cincinnati, Ohio Legislative Day in Columbus, National Legislative Day in Washington D.C., National PHCC Convention in Las Vegas and most recently, visited the Cincinnati chapter for their installation banquet. Still have the rest of the chapters to visit and the 2014 Convention to finish my term and it’s all been well worth it. What I enjoy most from serving as president, is meeting new people and working with great people on our board to help and improve our association and the phc industry for our members, employees and customers. It feels good to be part of a group that gets so much accomplished year after year so none of our members will be standing alone.
One accomplishment I would like to point out that everybody participated in, is helping the PHCC/ACCA Specialty Contractors PAC exceed its goal for the year and we thank everyone for their contributions. Oh, by the way, it’s time to start over for 2014. No amount is too small, contribute what you can at your local chapter meetings so we can keep the wheels turning for future legislative issues. I would like to thank all of the board members for their support and taking time to serve, Mary, Debbie and Rocco for all of their hard work and support, our chapter leadership and membership and associate members for making this a great state association. Hope to see everyone at the 2014 Ohio Convention at the Columbus Hilton at Easton in March.

Stay Relevant with PHCC… Keep Moving Forward
I
n mid-October, “Go Big and Innovate” was the message at CONNECT 2013, PHCC’s annual convention. Contractors attending the event participated in a jampacked program of the latest ideas and best practices that will help them take their businesses to the next level. CONNECT is always a great “jump start,” especially on new trends and strategies, but – as smart business people – you must keep the momentum going, from building market share to implementing new technologies. After all, in today’s business world, when a company isn’t moving ahead, it starts falling behind. To keep you progressing in the right direction all year long, PHCC National offers many other exciting programs and opportunities, like: •

Expanding our presence on Capitol Hill by building strong relationships with key lawmakers and regulators, testifying before Congress on important issues like health care reform, and hosting an always-successful Legislative Conference that attracts members and lawmakers alike. ATTEND TO YEAR-END LEGAL MATTERS - Your Checklist 2013 is coming to an end and for most of you that means the end of your fiscal year as well. Don’t let the holiday season frenzies cause you to neglect important year-end business affairs. Here is a handy checklist of some things you need to consider. • Schedule your annual corporate meetings for shareholders and directors; give notice in accordance with your bylaws/code of regulations; set the agenda for the meeting • Review your corporate minute book to make sure it is up-todate; are last year’s minutes in there and are they signed? Did the minutes call for certain actions to be taken during the year and have these items been accomplished? Do the minutes ratify corporate actions, such as contributions to benefit plans, borrowing, auto leasing and monetary distributions? • Has there been a change in the officers, directors or shareholders? Do the corporate records reflect those changes? Do others need to be elected? • Are there shares of stock needing to be transferred or canceled? Is your share ledger in the back of the minute book up-to-date? • Is the statutory agent designated to receive important papers

current and on file with the Secretary of State? – check the State’s website Is your corporation in good standing with the State? – check the State’s website Is the corporation doing business in any other state? Is it appropriately registered and meeting the requirements to do business in those states? Is the annual financial report, including a balance sheet, statement of profit and loss and surplus, and an opinion of the financial position of the corporation being prepared? Do the corporate records verify payments of salaries versus bonuses and dividends? – the IRS can contend that payments to corporate officers or employees or shareholders are not deductible dividends and that payments to its officers who are not shareholders are not deductible – better assure the proper classification of such payments by identifying the payments as deductible compensation and consider identifying the justification

If no, or nominal, dividends are to be paid, and your corporation has a large amount of accumulated earnings, do the minutes include a statement of the reasons why the earnings are being retained? Have you changed financial institutions during the year and not noted it within the corporate records? Are those who are authorized to sign checks still the appropriate names and are the appropriate corporate resolutions contained within the minute book? Have there been loans to officers or shareholders needing to be documented by minutes and promissory notes? Do you have a buy/sell agreement which regulates and restricts the transfer of shares so you don’t end up with an unwanted “business partner?” Have you updated the valuation information which sets the price for which shares are repurchased? Has the buy/sell agreement been amended to include new shareholders? Are your benefit plans, such as retirement, profit sharing, medical reimbursement, Section 125 or 401(k) plan, appropriately documented within the corporate records and in full compliance with the law? Are the summary plan descriptions you give to employees up-to-date? Are you strategizing about the impact of healthcare reform? Have you consulted with your CPA regarding year-end matters, such as tax incentives for such things as equipment purchases, you still may wish to take advantage of before year-end? Have you evaluated the cost of your workers’ compensation

program? Have you shopped for enrolment in a workers’ comp group that provides good savings (discounts) and effective third party administration? Have you gone online and looked at your claims history to identify your major claims? Have you met with your workers’ comp attorney to devise a plan to eliminate costly claims from your experience and reduce your premiums? For those key employees hired this year, do you have employment agreements in place addressing such things as nondisclosure of confidential information and non-competition? It’s not too late. Have you reviewed your general liability insurance and other business coverages with your agent to ensure proper, cost effective coverage? Are your licenses to do business in various locales current? Have you reviewed the exempt and non-exempt wage-hour status of your employees to ensure wages and applicable overtime are being paid properly and records maintained appropriately? Your personnel policies and practices may require modification due to recent NLRB decisions applicable to non-union employers – is your employee handbook up-to-date? Remember to run the numbers on your OSHA 300 logs and to prepare the 300A for posting

Many applications will not perform to their stated specification without determining the amount of air flow. Since all comfort heating, cooling, humidification and dehumidification processes rely on air flow, it is imperative to determine and verify correct airflow.

WHERE DID THE PROFIT GO?
R
ecently, a number of contractors have asked about the difference between profit and cash. One of the questions posed by a contractor was “How come the net profit on my income statement is so much more than the money I have in the bank? Where did it go?” My short answer is to follow the money. While the Income Statement tracks the profitability of the company’s operations, the Statement of Cash Flows is concerned with the flow of cash into and out of the company. It is also known as the Cash Flow Statement. It shows how cash is moving through the business over a specific period of time. This makes the Statement of Cash Flows a good resource to determine the company’s ability to pay its’ bills in the nearterm. Below is the basic equation involved in determining the company’s ending cash balance for a period of time. Statements of Cash Flow are commonly done on a monthly, quarterly and yearly basis. (NOTE: This does not mean that we only look at our cash position at those points in time. Cash flow management should be done on a daily basis!)

have incurred a loss.) Cash is created when you actually collect money from the invoices. Profits do not equal cash! You don’t pay your bill with profits. You pay your bills with the cash received from the sales made. It’s possible for a company to be profitable and yet be cashstarved. How so? payments from the customers come in. That creates a cash-flow gap. It’s also possible for a company to have strong cash flow yet not be profitable. Some examples would be owner’s putting in additional cash to keep the company running, selling an asset (vehicle, etc.) to get some cash or even going farther out on your line of credit with the bank. Of course, this model could not be sustained over the longer-term. You’d eventually run out of cash and have to close the business. Take a look at things from a cashbasis perspective. Look at the sources (inflows) and uses (outflows) of cash for the company. Cash will come into and go out of the company through three types of activities:
The Statement of Cash Flows is probably the hardest of the three primary financial statements for business owners to understand. It’s also the least used on a regular basis. Yet, it’s probably the most important of the three. Because, if cash flow is not managed properly, the company can be out of business very quickly…even at its most profitable point in time!

Operating Activities – These are the transactions that relate to the selling of your goods and service to customers. Some examples of this type are sales to customers, purchasing materials or paying office expenses.

Investing Activities – These are the transactions that relate to the purchase or sale of the company’s fixed assets. Some examples of this type of transaction would be purchasing a sewer machine or selling a used company vehicle.

Financing Activities – These are the transactions that relate to obtaining or repaying loans from creditors and investors. Some examples of this type of transaction include making a payment to the bank on your line of credit account, making a distribution payment to owners or taking a loan out from the bank.
Combining the net cash flow changes from these three areas will show you how the cash position changed from the beginning of the period to the end of the period (month, quarter or year.)
