EVENT DETAILS OUR MISSION The 2015 NY BQE is NY’s premier Latino bridal and quince expo; open to all, but with a particular focus on the Latino community. The goal of the 2015 NY BQE is to create a lively, upbeat, sales driven environment, which will entice motivated brides and quinceañeras to book exhibitor services and products. THE VENUE The 2015 NY BQE will use over 6,000 sq. ft. of the 1st floor of The Museum of the Moving Image, which is located at 36-01 35 Avenue, Astoria, NY 11106, and just minutes away from midtown Manhattan by subway, bus or car. SPONSOR TERMS & CONDITIONS
DEFINED TERMS: 2015 NY Bridal & Quince Expo (the “Event”) also known as 2015 NY BQE is scheduled to be held March 10, 2015 (the “Event Date”), at the Museum of the Moving Image (the “Event Facility”). The Event is produced and managed by bluGarden Events (the “Organizer”), and its respecJve officers, directors, shareholders, agents, affiliates, representaJves, employees and assigns, unless the context requires otherwise. The term “Sponsor” means the company or person or any of its officers, directors, shareholders, employees, contractors, agents, or representaJves that have commibed to sponsoring the Event and agreed to enter into this contract upon acceptance by the Organizer in the manner stated below. The term “ExhibiJng Sponsor” means the company or person or any of its officers, directors, shareholders, employees, contractors, agents, or representaJves that have commibed to sponsoring and applied to exhibit at the Event and agreed to enter into this contract upon acceptance by the Organizer in the manner stated below. PAYMENT TERMS / CANCELLATION POLICIES: Sponsor shall not be permibed to bring any equipment or display any material into the show without prior full payment. If payments are not made in accordance with the due dates negoJated, Organizer may terminate this agreement and reassign space to another Sponsor, where applicable. All payments are nonrefundable and nontransferable, and space reservaJons may not be canceled less than 60 days prior to Event Date. Sponsor shall pay a fee of $30.00 if any check presented for payment is returned by the bank. In the event of breach of this agreement by Sponsor, Organizer reserves the right to cancel the agreement without liability for a refund of fees paid. The Sponsor is considered to be in breach of this agreement if the Sponsor (1) transfers or abempts to transfer exhibit space to another party; (2) files for bankruptcy or is declared bankrupt; (3) fails to fully comply with the terms and condiJons of this agreement. Organizer reserves the right to cancel this Sponsor agreement for any reason by giving 30 days wriben noJce to Organizer. In the event that Organizer cancels this agreement, the liability of Organizer shall be limited to a return of any amounts paid by Sponsor without interest or penalty. CONTRACT AND DEPOSIT ACCEPTANCE: The contract shall become effecJve only when it has been (1) signed by the Sponsor (2) counter-‐signed on the facing page by a duly authorized representaJve of the Organizer and (3) the appropriate sponsorship level fee has been received. EVENT DATES AND ATTENDANCE: Sponsor understands and agrees that Organizer makes no guarantees regarding weather condiJons or abendance at the Event. If Organizer is prevented from producing the Event herein by reason of any act of God, fire, flood, public disaster, act of terror or any other cause or reason either within or beyond the control of Organizer, such condiJon shall be deemed a valid excuse for delay or cancellaJon of the Event. Organizer reserves the right that the Event may be rescheduled for another date and/or locaJon chosen by Organizer. CHANGES AND MODIFICATIONS: The promoJonal and instrucJonal informaJon provided by Organizer to Sponsor is accurate as of its publicaJon; however, Organizer reserves the right to change or modify details of the show without noJce. Organizer may issue addiJonal rules, as it deems necessary for the orderly presentaJon of the show. Any rule may be amended at any Jme by Event management provided that such amendment shall not substanJally diminish the rights or increase the liability of Sponsor. This agreement shall represent the enJre agreement between Sponsor and Organizer. Organizer shall not be bound by any representaJon or understanding not expressly set forth in this agreement. No provision of this agreement shall be modified except by the wriben mutual consent of the parJes. QUALIFICATIONS OF SPONSOR: The Organizer, in its sole discreJon, determines whether a prospecJve Sponsor is eligible to parJcipate in the Event. Applicants who have not previously exhibited at the Event may be required to submit a descripJon of the nature of their business and the promoJonal materials to be distributed. The Organizer reserves the right to restrict or remove any exhibit and/or promoJonal materials, which the Organizer, in its sole discreJon, believes is objecJonable or inappropriate. PUBLICITY / USE OF PHOTOS OR VIDEO: Sponsor agrees that Organizer may list the Sponsor in Event promoJonal materials and use photography and/or video taken at the Event for publicity purposes without compensaJon to Sponsor. INSURANCE AND LIABILITY: Fire and ther insurance covering the Sponsor’s property, if desired, must be taken out by the exhibitor at his/her own expense. Neither Organizer nor the Event Facility will be liable for damage done in your booth such as malpracJce, or any loss of Sponsor’s property through fire, ther, accident or any other cause. Organizer will provide security during the hours of the show, but it is understood that all products, equipment, furniture and furnishings of the exhibitors are placed and exhibited at the sole risk of the ExhibiJng Sponsor and Event management assumes no responsibility of any kind. It is suggested that the ExhibiJng Sponsor remove valuable samples and moveable equipment from the booth reserved if it is ler unabended during set-‐up. ExhibiJng Sponsors are expected to maintain personnel in their exhibit booths at all Jmes during the show hours. LIABILITY AND INDEMNIFICATION: Reasonable precauJons will be taken by Organizer to protect persons and property during the Event; neither Organizer, Event Facility, nor representaJves of any of the same, shall be responsible for the personal safety of the Sponsor or its representaJves from injury, or for the safety of the property of the Sponsor from ther or damage. Sponsor waives all claims of every kind against Organizer, Event Facility, and representaJves of the same including, without limitaJon, all claims for damages based on personal property damage, destrucJon, loss or ther, personal injury or death, and any other act or failure to act of Organizer. Sponsor agrees to indemnify and hold Organizer harmless from all claims, including expenses, damages, costs, and aborney’s fees, by Sponsor, Sponsor’s agents, employees, contractors, or by any other person, arising out of any act or omission in any way related to Sponsor’s parJcipaJon in the show, whether negligent or not. OBSERVANCE OF LAWS: The Sponsor shall abide by all federal, state, and city laws, codes, ordinances, rules and regulaJons, and all rules and regulaJons of the Event Facility (including any union labor work rules). SEVERABILITY: If any clause of this agreement is found to be invalid or unenforceable, the remainder of the agreement shall conJnue in full force and effect without regard to the invalidated clause. FAXED / ELECTRONIC MAILED AGREEMENTS: For the convenience of Sponsor, Organizer will accept submission of this agreement by facsimile and electronic mail. The parJes agree that, if a signed copy of this agreement is transmibed by facsimile or electronic mail, the copy shall be deemed to be an original document and fully enforceable there as. ARBITRATION: All disagreements between the ParJes under this Agreement shall be submibed to arbitraJon under the rules of the American ArbitraJon AssociaJon.
ADDITIONAL SPONSOR TERMS & CONDITIONS
SPONSOR CONTRIBUTIONS. By signing the in-‐kind sponsorship commitment form, Sponsor agrees to pay the cash or in-‐kind amount designated no later than the Event Date, unless otherwise approved by the Organizer. In return, Sponsor shall receive Sponsorship Benefits set forth in Addendum A. Organizer may require Sponsor to provide addiJonal documentaJon to support the value of in-‐kind donaJons prior to accepJng such donaJons. The total value of any goods and services provided by Sponsor as part of its in-‐kind sponsorship of the 2015 NY BQE shall be designated in this Agreement. If applicable, all in-‐kind sponsorship donaJons shall be delivered to Organizer in accordance with the delivery instrucJons provided by Organizer to Sponsor. 2015 NY BQE MARKS. Organizer grants to Sponsor a limited, nonexclusive sublicense to use the 2015 NY BQE logo and marks during the term of this Agreement solely to promote its sponsorship of the 2015 NY BQE in conjuncJon with promoJons, markeJng and adverJsing, as agreed upon in advanced by the Organizer and in accordance with the terms of this Agreement. Sponsor shall not change or alter the 2015 NY BQE logo or marks. At its sole discreJon, Organizer may require the removal of the 2015 NY BQE logo or marks at any Jme from any materials or items. The 2015 NY BQE logo or marks may not be used except as specifically authorized by Organizer. Sponsor agrees that all rights, Jtle and interest in and to the 2015 NY BQE logo or marks shall inure to the sole benefit of Organizer. SPONSOR MARKS. Sponsor grants Organizer a limited, non-‐exclusive license to Sponsor logo or marks during the term of this Agreement, solely for acknowledging Sponsor’s sponsorship of the 2015 NY BQE. Sponsor represents and warrants that it owns Sponsor logo or marks and the Organizer’s use of such logo or marks in accordance with the terms of this Agreement shall not infringe on the rights of any third party. The Sponsor shall inform Organizer of any changes in Sponsor logo or marks that occur following execuJon of this Agreement. Organizer shall make good faith efforts to make the necessary changes to new materials it creates, but shall not be required to make any changes to any materials that have already been created or are in the process of being created at the Jme such noJce is given. Organizer agrees that all rights, Jtle, and interest in and to Sponsor marks shall inure to the sole benefit of Sponsor.
THE FOLLOWING ARE APPLICABLE TO EXHIBITING SPONSORS ONLY:
ASSIGNMENT OF SPACE: Space will be assigned on a first-‐come, first-‐served basis. Exhibit space shall be assigned by the Organizer in its sole discreJon for the Event and for the Event Date only. Any such assignment does not imply that similar space will be assigned for future events. The Organizer reserves the right to change the floor plan or to move an ExhibiJng Sponsor to another booth locaJon prior to or during the Event if the Organizer determines that to do so is in the best interest of the Event. FAILURE TO CHECK IN/EXHIBIT: In the event that the ExhibiJng Sponsor fails to check in by 5 PM to exhibit in the space allocated to him/her on the day of, without noJfying Event management at least two days in advance, Organizer may make such use of said space, as it sees fit, without any liability whatsoever to the ExhibiJng Sponsor who shall remain liable for the payment of the total booth price due under contract, whether or not the space is resold. There will be no late check-‐in allowed, no excepJons. BOOTH AND PRODUCT DISPLAY: Booths can be occupied only by the ExhibiJng Sponsor making the reservaJon and contract. Booths cannot be shared by ExhibiJng Sponsor(s). All efforts to adverJse, demonstrate and operate the exhibit must be conducted so as not to interfere with the rights of other exhibitors and visitors. No exhibit will be permibed which interferes with the use of other exhibits or impedes access to them or impedes the free use of the aisles. All business acJviJes, including the distribuJon of circulars and adverJsing materials, may be conducted by ExhibiJng Sponsor and their representaJves only within the booth area assigned to the ExhibiJng Sponsor. Violators will jeopardize their request to exhibit in future shows. No ExhibiJng Sponsor can display in his/her booth any products, equipment or merchandise of any kind that was not included in the contract descripJon. No ExhibiJng Sponsor may offer for sale or sell or give away or distribute in any manner, any products, equipment or furniture, unless the ExhibiJng Sponsor of such products have also taken a booth space directly through Event management. Any violaJon of the above will result in removal from the venue. All products, equipment and furniture must be confined wholly within the booth space as shown on the official floor plan. No use of any purpose whatsoever may be made of aisles or any other space adjacent to the booth reserved. Chairs or seaJng will be limited to the capacity of the measurements of booths and will not be permibed in aisles or passageways. Any violaJon of the above will result in removal from the exhibit hall or hotel. No exhibit will be permibed which includes any poliJcal (parJsan) fundraising, acJvity, messages or causes; hate or discriminatory divisive speech or messages; indecent or adult language or images. EXHIBITOR SERVICE MANUAL: Approximately three (3) months from the Event, the Organizer will email ExhibiJng Sponsor and post an online Exhibitor Service Manual. The Exhibitor Service Manual will include informaJon integral to your company’s parJcipaJon at the Event, including but not limited to: addiJonal Exhibitor rules and regulaJons, addiJonal markeJng opportuniJes order forms, registraJon, shipping, uJliJes and Event Facility services, decorator, audio/visual, Exhibitor display rules, and move-‐in/move-‐out schedules.
