Terms & Conditions Subject to the following terms and conditions ('Client') has hired Borrow Rentals, to provide furniture and other items listed on the Rental Agreement for the price set forth, plus applicable sales tax (the "Price"). The Furniture and Price are based on current availability, and will only be guaranteed with a completed Payment Form, deposit payment and a mutually signed agreement. Delivery and pickup of the "Furniture" by Borrow to and from the Event Site is in accordance with venue regulations and scheduling of Borrow. The set up and strike schedule must allow sufficient time for the delivery and removal of the Furniture. In the event Borrow Rentals is hired as "Event Designer, Stylist or Third Party Rental Coordinator" all floor plans and design boards are protected and may only be shared with outside sources other than ('Client') if a retainer of $500 is put down or full deposit (50% of total bill) is made. If intellectual property is shared without payment additional fees can apply no greater that $500. The Price shall be paid by Client to Borrow Rentals in the following manner: This price is for a single event or for single order. Rental Furniture shall not be out of Borrow Rentals' warehouses for more than 2 days without incurring additional charges. 50% of the "Price" is due to hold the date. the balance shall be paid at least 7 days prior to the delivery. In the event Client fails to pay any portion of the Price by the due date as set forth above, such action shall constitute Client's election to terminate this agreement with no further obligation to either party except as stated in Paragraph 2 below. In the event Client fails to pay any portion of the Price by the due date as defined in Paragraph 1, Borrow Rentals at its own discretion, may elect to proceed with the agreed upon order as scheduled even if the above conditions are not met. The Client must receive the "Furniture", unless this agreement has been mutually terminated in writing. Orders may be canceled up to 90 days prior to delivery with full refund. Cancellation within 60 days and prior to loading is subject to 30% staging fee. Custom furniture and orders already loaded for delivery are not subject to cancellation ad will require full payment. All Furniture shall be delivered to the Event Site in an "as is" condition. At the time of delivery, Client authorized personnel shall inspect jointly with a Borrow Rentals representative for both the quality and quantity of the Furniture. Any damage, imperfections, or missing Furniture shall be noted in writing at the timing of such delivery. Upon receipt of the Furniture by Client's authorized personnel, except for discrepancies or imperfections specifically noted. Borrow Rentals shall have fulfilled its obligations for delivery of the Furniture, both as to quality an quantity. From the time of delivery through the time of removal, Client shall be responsible for all lost or damaged Furniture. Client shall protect the Furniture from vandalism, theft, damage, or similar risks. Prior to removal of the Furniture from the Event Site, an authorized representative of Borrow Rentals and the authorized representative of Client shall inspect the Furniture, both as to quality and quantity. Any damage to the Furniture, or missing items of Furniture, which were not included in the delivery slip will be noted at pick up. Within 30 days following the Furniture removal. Borrow Rentals shall provide an itemized invoice for repair or replacement cost. Client shall pay the amount submitted by Borrow Rentals within 30 days of receipt. Any logos, graphics, and or images that are affixed to the furniture and not removed prior to strike by the client, shall incur a $25.00 per piece removal fee. Client hereby assumes full responsibility for any risk of bodily injury, death or property damage arising out of or related to Borrow Rentals item(s) whether caused by negligence of client or otherwise. Any litigation under the terms of this Agreement will be brought in the appropriate state of Ohio court, the prevailing party in such litigation, whether at trial or Appellate level or in Bankruptcy Court, shall be entitled to all costs, expenses and reasonable attorney's fees and paralegals' fees. This Agreement may be executed in multiple counterparts, each of which shall be deemed an original but all of which shall constitute but one Agreement, a facsimile of an executed counterpart shall be deemed to be an original. **All orders subject to additional delivery fees if not booked 14 days prior to event date. Borrow As Venue please refer to separate contract to be furnished by Borrow Rep. ** All Custom Upholstery sales require a 50% deposit to begin the project and final payment is due before delivery can be scheduled. All sales final.

Step 3: Finalization / Full Deposit Payment Borrow books all rentals, coordinates drop offs and pickups for most efficient logistics, verifies all info with venue and schedules a walkthrough with vendors if need be. Borrow shares floor plans / design boards and rentals lists with other vendors along with a detailed outline of event logistics.

Step 4: Finalization on rentals / RSVP 7 days prior to event / Final Payment due. Borrow does last call in to all vendors to verify amounts / drop offs and pickups when not getting dropped to Borrow prior and any other logistical questions. Borrow ensures all vendors are paid. Borrow shares timeline one last time.

Step 5: Day of Event Borrow double checks all rental counts and corrects any errors. Borrow completes setup / centerpiece and decorating. Once all vendors are set and ready to go Borrow exits.
