Corporate Transparency Act (CTA) Still in Effect, but Facing Increasing Legal and Regulatory Challenges

The S-Corporation Association of America (S-Corp) is reporting that some notable developments have occurred with respect to the Federal Corporate Transparency Act (CTA), which went into effect this past January.

The CTA requires corporations, LLCs, or similar entities with 20 or fewer employees and $5 million or less in gross receipts or sales, as reflected in the previous year’s federal tax return, to report their beneficial ownership information to a new federal database maintained by the Financial Crimes Enforcement Network (FinCEN). Failure to report could result in criminal penalties of up to 2 years in prison and civil penalties of $500 per day, up to $10,000

CTA Being Legally Challenged in Six States

The Eleventh Circuit Court of Appeals announced a hearing in NSBA v Yellen, the case challenging the constitutionality of the CTA, will take place on September 27 in Birmingham, Alabama. This brings the total number of pending CTA challenges to date at six nationwide: Alabama, Maine, Massachusetts, Michigan, Ohio, and Texas.

Congressional Appeals to Treasury are Going Unheeded

Despite a massive compliance gap -- only 2.7 million filings have been received to date, a fraction of the estimated 31 million businesses that must file by January 1, 2025 -- Treasury Secretary Janet Yellen has stated that Treasury will not unilaterally pause the CTA.

It Gets Worse - Treasury Extends CTA’s Reach to Include Dissolved Businesses

At a recent House Financial Services Committee hearing, Rep Ralph Norman, R-S C , asked Yellen to consider extending the deadline for compliance with the rule, pointing out that many constituents are likely unaware of the reporting requirement Said Norman, “These businesses are struggling your average plumber is not going to a website, and try to find out how to comply with the beneficial ownership,” he said.” Rep. Zach Nunn, R-Iowa added, “My folks back home see a $500 fine per day as not only a gotcha but a very painful impact.” Inc.com reports, “[T]his new guidance, which took effect in January, explains that businesses that began and dissolved this year [2024] must report their beneficial owners. Additionally, if owners started dissolving their companies in 2023 but didn’t finish until 2024, they too need to submit a BOI report.”

Tough Enough to Wear Pink Night is our yearly fundraiser in support of the Tough Enough to Help Cancer Fund. Before and throughout the Rodeo, we will be selling pink merchandise and auctioning chinks and chaps to raise money for the cancer patients in Fremont County.

The Tough Enough to Help Cancer Fund supports those in Fremont County actively undergoing cancer treatment by assisting with regular bills and transportation costs. It is 100% funded by donations like yours and goes directly back to helping those in need in the community. Help for Health is proud to manage the Tough Enough Fund.

In addition to providing services in our Hospice Home, we can also provide services in your home. This can include:

• 2-3 weekly visits from RN case manager and/or CNA

• 24hr availability to speak with an RN for either crisis situations, assistance with symptom control, or care needs

• Social services, spiritual services, bereavement support, and volunteer services provided

• We offer a FREE grief group that meets every 2nd Thursday of the month open to anyone in the community
