The U.S. Government Just Banned Non-Compete Agreements - Is That Bad?

Just last month, the Federal Trade Commission (FTC) issued a ban on noncompete agreements between companies and their employees. Typically, these agreements are legally binding contracts, also known as a “covenant not to compete” or “noncompetition” agreement, that prevents employees from disclosing trade secrets should they secure a new position at a competitor Designed to protect the company and signed prior to employment, such a contract prevents the employee from working for a competitor for a set period of time. (I’ve had to sign two such agreements in my career.) Non-competes negatively impact lowwage workers, stifling their career growth path, and ultimately creating further obstacles to career advancement.

This is not to say that a company’s desire to protect itself against the loss of intellectual property and trade secrets is illegitimate or unethical, but it sets up what can be an adversarial relationship from the start, often resulting in employee resentment, especially among top contributors. Protecting your company’s intellectual property, client databases, proprietary information, systems, financial forecasts, and other trade secrets makes perfect sense The good news is that there are alternatives to the non-compete that can benefit both employers and employees

What are the Alternatives to Non-Compete Agreements?

Even without non-compete agreements, you can still protect all of this you just have to do it differently. Depending on the type and size of your company, you could consider these alternatives: non-disclosure agreements; non-solicitation agreements; incentives to stay; and confidentiality clauses. When we received the news that Dave Kellogg had passed away on April 9, we immediately thought how fitting it was that just one month previous we honored him with our Lifetime Contribution Award at our annual Community Awards Luncheon It took some doing, but were were able to make sure that Dave and his wife Carol were in attendance that day Surely, it was meant to be

In memory of Dave’s tremendous contributions to Lander over the past forty years, we share here the comments that our CEO, Owen Sweeney, made while announcing Dave as winner.

“In 1984, after U.S. Steel permanently closed its Atlantic City iron ore mine, devastating Lander’s economy, a group of local leaders founded the appropriately-named Leader Corporation, which acted as Lander’s major economic development organization for the next three decades. Working closely with the Lander Chamber of Commerce and the Wyoming Business Council, Leader was credited with keeping Lander alive and on the map through some very agonizing times. Dave served as either president or co-president of Leader for ten of the organization’s thirty years, and he was instrumental in helping LEDA, Lander’s current economic development organization, get organized and get moving.

“Speaking of economic development, it was originally because of an economic development opportunity that Dave got involved in getting Wyoming Catholic College located in Lander. Dave was on the board of directors of the college for 15 years and served as chairman for about half of that time. His business acumen successfully guided the fledgling college through some perilous times, and it could be argued that the college could not have survived without his generosity and leadership. He and his wife Carol have donated the use of their apartment buildings as dormitories since Day One. (My family actually lived in those apartments for a time when we first moved to Lander in 2011 and had yet to find a home.) WCC honored Dave with its highest award a few years ago, and during a recent college banquet, while being honored for his retirement from the board, it was pointed out that he and Carol had donated more than $1 million to the college.

“It should be noted that, in addition to their involvement with Leader and Wyoming Catholic, Dave and Carol have been longstanding community leaders in support of the One Shot Antelope Hunt and in boosters of the the annual Lander Community Foundation Challenge for Charities campaign.

“Dave Kellogg has a deep love for Lander and this award is very fitting.”

May Dave rest in peace, and may his family and friends find consolation.

Think Twice Before Hiring or Promoting a “Brilliant Jerk”

Have you ever had to deal with a “brilliant jerk” at your job? “Brilliant jerks” are those who excel in their job while negatively impacting the workplace. While it can be tempting to ignore a person’s flaws for talent’s sake, promoting or hiring such individuals often leads to long-term harm.

Identifying “brilliant jerks” at work can be tricky. Their exceptional performance and creativity may hide toxic behaviors, making it hard for supervisors and colleagues to address their negative impact. Sometimes, these individuals are socially adept, which complicates recognizing their harmful traits. This dual nature causes confusion, as their value as high performers clashes with their negative influence. Their behavior might be situationally toxic, especially under stress, making it challenging to address effectively.

The problem is “brilliant jerks” can significantly impede team unity. Their arrogance or aggression can foster a toxic environment, resulting in widespread reduction in morale and productivity. When collaboration and mutual respect are undermined, innovation and efficiency are inevitably impacted. Studies indicate that toxic work environments lead to nearly $50 billion in annual losses for U.S. businesses, with a toxic culture being the leading cause of employee turnover in the initial six months of the Great Resignation.

Unfortunately, tolerating or rewarding such behavior promotes disrespect, egoism, and a lack of empathy. This can normalize toxicity, driving away talented individuals who seek a positive work environment. In the long run, it undermines trust and collaboration, crucial for innovation and support. This damages the company’s reputation and makes it hard to attract and keep top talent who value a healthy workplace.

Dealing with these individuals can be tough due to their perceived value, even if their behavior is harmful. Leaders may fear losing their skills or impacting key projects, leading to tolerance of their actions. The misconception that high performers can behave differently can cloud decision-making, sending the wrong message to the team.

It can be difficult to spot “brilliant jerks” in the hiring process, but the following red flags can help draw attention to traits that may overshadow stellar performance. If you do hire someone with these qualities by mistake, act quickly: don’t let them stay, and if you do by mistake, fire them as quickly as you can.

Red Flags of Toxic Traits

Empathy Deficit: Failing to grasp or appreciate others’ feelings and viewpoints

Excessive Arrogance: Constantly asserting superiority over colleagues and disregarding their ideas

Resistance to Feedback: Being defensive towards criticism, viewing it as a personal attack

Manipulative Tactics: Using deceit or coercion to further personal objectives at the expense of others; “brilliant jerks” love sharing private information in the form of “secrets”

Social Withdrawal: Drifting apart from team activities and discussions

Scams and fraud are two forms of deception that can wreak havoc on your financial well-being. Scams are designed to manipulate victims into willingly providing their information. Fraud typically involves unauthorized access to personal information without the victim's knowledge or consent.

How To Recognize a Phone Scam

Phone scams come in many forms, but they tend to be similar in the way they make promises or threats. Here's how to recognize a phone scam.

There is no prize.

The caller might say you were "selected" for an offer or that you've won a lottery But if you have to pay to get the prize, it's not a prize.

You won't be arrested.

Scammers might pretend to be law enforcement or a federal agency. They might say you'll be arrested, fined, or deported if you don't pay taxes or some other debt right away.The goal is to scare you into paying. But real law enforcement and federal agencies won't call and threaten you.

You don't need to decide now. Most legitimate businesses will give you time to think their offer over and get written information about it before asking

you to commit. Take your time. Don't get pressured into making a decision on the spot.

There's never a good reason to send cash or pay with a gift card.

Scammers will often ask you to pay in a way that makes it hard for you to get your money back- by wiring money, putting money on a gift card, prepaid card or cash reload card, or using a money transfer app. If someone asks you to pay that way they could be a scammer.

Scammers often tell victims not to talkto your bankorwill tell you what to say to your bank or to officials.

This is another red flag.

• If it sounds too good to be true, it's probably a scam.

Examples of Common Phone Scams

Here are some common angles phone scammers like to use:

Impersonator scams

A scammer pretends to be someone you trust-a government agency like the Social SecurityAdministration or the IRS, a family member, a love interest, or someone claimingthere's a problem with your computer. The scammer can even have

a fake name or number show up on your caller ID to convince you.

Debt relief and credit repair scams

Scammers will offer to lower your credit card interest rates, fix your credit, or get your student loans forgiven if you pay their company a fee first. But you could end up losing your money and ruining your credit.

Business and investment scams

Callers might promise to help you start your own business and give you business coaching, or guarantee big profits from an investment. Don't take their word for it. Check out investment opportunities with your state securities regulator.

Charity

scams

Scammers like to pose as charities. Scams requesting donations for disaster relief efforts are especially common on the phone. Always check out a charity before you give, and don't feel pressured to give immediately over the phone before you do.

Scammers find out what kind of car you drive and when you bought it so they can urge you to buy overpriced, or worthless service contracts.

"Free" trials

A caller might promise a free trial but then sign you up for products - sometimes lots of products - that you're billed for every month until you cancel.

Loan scams

Loan scams target people with a poor credit history and guarantee loans or credit cards for an up-front fee. Legitimate lenders don't

Beware of sales calls

If a company is selling something, it needs your written permission to call you with a robocall.And if you're on the National Do Not Call Registry, you shouldn't get live sales calls from companies you haven't done business with before.Thosecalls are illegal. If someone is already breaking the law calling you, there's a good chance it's a scam.At the very least, it's a company you don't want to do business with.

WhatTo Do ifYou Already Paid a Scammer

Scammers often ask you to pay in ways that make it tough to get your money back. No matter what payment method you used to pay, the sooner you act, the better.

If you paid a scammer with a credit or debit card, you may be able to stop the transaction. Contact your credit card company or bank right away.Tell them what happened and ask for a "chargeback" to reverse the charges.

If you paid a scammer with a gift card, prepaid card, or cash reload card, contact the company that issued the card right away. Tell them you paid a scammer with thecard, and ask if they can refund your money.The sooner you contact them, the better the chance they'll be able to get your money back. If you paid a scammer by wiring money through companies like Western Union or MoneyGram, call the company immediately to report the fraud and file a complaint. Call the complaint department:

• Western Union at 1-800-325-6000

Ask for the wire transfer to be reversed. It's unlikely to happen, but it's important to ask.

Report fraud, scams and bad business practices to the FTC at ReportFraud.ftc.gov. The FTC uses and shares reports with law enforcement partners to helpwithinvestigations.

If you paid a scammer using a money transfer app, contact the company behind the app. If the app is linked to a credit card or debit card, contact your credit card company or bank first.
