ALBION SHARES SHOCK EXCLUSIVE by Greg Hadfield Dick Knight’s act of generosity in offering shares to Brighton and Hove Albion supporters was thrown into confusion last night. Mr Knight, the man credited with saving the club, wants to sell his shares to fans for £1 each. But in an exclusive interview with Brighton & Hove Independent, CEO Paul Barber said the club learned of the plan only when Mr Knight’s book was published on Wednesday. Mr Barber said: “However, under the club’s articles of association, shareholders must notify the club of any intention to sell their shares and then allow the club 28 days in which to respond.” Questions about the possibilty of the offer going ahead were thrown further into doubt by Chris Boakes, of Acumen Business Law. Mr Boakes said: “Private companies are prohibited from offering shares to the public to protect against fraud. “Although it is not a criminal offence to make an offer, the courts may take a dim view on this and potentially the Financial Conduct
Authority may investigate, if a member of the public complains or suffers a loss. From what we understand of the ‘share offer’ it is not an investment opportunity. “Shares cannot be transferred just to anyone; the Model Articles hold that the directors of a company have an absolute discretion to refuse to place a new name on the company register and any shares proposed to be sold must first be offered to the current shareholders. “In most companies of the size of Brighton and Hove Albion, a contract will exist between the various shareholders that provides a mechanism and rules as to how and to whom any shares are transferred. Without sight of that document we are in the dark.” Last night Mr Knight denied his offer was a thinly-veiled PR exercise and money-maker: “I’m not making a penny profit out of it. My objective is purely to ensure that we maintain the tradition that directors listen to the fans, that the fans have a voice in the club.”

Mystery Albion shareholder frustrating Dick Knight’s offer to give fans a voice EXCLUSIVE by Richard Morris @BrightonIndy Dick Knight, the life president of Brighton and Hove Albion - the man considered by many supporters to be the saviour of the Seagulls - has questioned the club’s motives for attempting to block his efforts to sell shares to fans. The former chairman offered supporters the chance to buy some of his shares priced at £1 each, in a bid to make sure Albion fans retained a voice at the Seagulls’ annual general meeting. A total of 262 supporters applied for almost 100,000 shares, ready to pay £1 each for them. So Mr Knight
In his book, Dick Knight offered to sell Albion supporters some of his shares
wrote to the club informing them of his wish to sell that portion of his overall holding of more than one million shares. But the club’s articles of association - which Mr Knight himself redrafted after becoming chairman in 1997 to protect the club against a repeat of the troubles caused by Bill Archer, his predecessor - requires that anyone looking to sell shares must first offer them to other existing shareholders. Mr Knight believed the process would be little more than a formality. Therefore, he was stunned when the club informed him a shareholder, who wishes to remain anonymous – but who Mr Knight suspects is a board member - had offered to buy the lot. Not at £1 a share, but at 1p a share. He said: “I am saddened by this cynical use of the articles to stop genuine Albion fans owning a minute part of the club they love.” Mr Knight was also told that that if he rejected the 1p-a-share offer, it

would be up to Mazars, the club’s auditors, to calculate a fair share price that he would then be forced to sell at - unless he withdrew his intention to sell within seven days. The club is adamant it is simply adhering to the articles of association and maintains there is no conspiracy to block the sale of shares to supporters. But the likely outcome is that none of the 262 supporters who have applied to buy shares at £1 will now be given the opportunity to do so. And that is something Mr Knight feels is a missed opportunity for the club board to endorse the unique supporter culture of the Albion. In an exclusive interview with Brighton & Hove Independent, Mr Knight today reveals new information about the dispute - including why he thinks it is important supporters are allowed to buy the shares, and why he believes 1p per share is insulting. ›› The ‘derisory’ offer that shuts out 262 fans, see page 14

Edward Street transformation underway Edward Street and the surrounding area is set to be transformed with a new scheme that will benefit buses, pedestrians and cyclists and greatly improve the urban environment on another key route through Brighton. Works have started in Edward Street in a plan to create a shared bus, taxi and cycle lane on the southern side, between Upper Rock Gardens and Pavilion Parade. This would be done by reallocating one lane of the dual carriageway from general traffic to buses, bikes and taxis. On the northern side a new cycle lane will run inside one lane of mixed traffic. Other measures aim to make walking safer and more pleasant by calming traffic and creating more pedestrian crossings. Initial works on the central islands also include upgrading street lighting. Once works on the islands are complete, the next stages will see improvements to the footpaths, including repaving and surface treatments to side roads to improve pedestrian use. The whole scheme should be complete by October. Works will take place over the summer to take advantage of lighter traffic during the school holidays. The plan received final cross-party approval at the

Environment, Transport and Sustainability Committee last November. It is being funded by the Department for Transport under the Better Bus Scheme, and will not burden the local taxpayer. It mirrors the new Lewes Road layout which has brought more bus and cycle journeys while only increasing peak time car journey times by one minute, according to initial studies. Consultation took place in May and June last year with over 9,000 homes and almost 800 businesses in the area contacted. Some 62 per cent of respondents supported the
proposals. Around 70 per cent of respondents were local residents, the remainder were businesses in the area or people who have cause to travel through it. Lead councillor for transport, Ian Davey said: “This scheme is all about ensuring bus journeys are quicker and more reliable. It will also make the Edward Street environment more pleasant and hopefully draw more people into the surrounding area, to benefit the shops and other businesses there. We expect it to encourage more walking, cycling and public transport and transform

The Lion and Lobster in Brighton has been sold to the Chelseabased City Pub Company for £4.5million. The price is believed to be the highest paid for a pub in the Brighton and Hove area. Irish actor Gary Whelan, who appeared in Eastenders, bought the pub in July 2001 for almost £1 million. According to the hospitality trade publication M&C Report, the venue turned over £2.4 million last year.

Councillor wins Labour selection run-off A long-serving Labour councillor has been re-selected to stand in Moulsecoomb and Bevendean. Mo Marsh won a run-off against Harris Fitch, who was hoping to become the fourth generation of his family to serve as a councillor. The run-off followed a controversial selection meeting bordering on farce, amid a miscount and claims of an attempted "fix" in favour of Mr Fitch - when the two candidates tied last month. Councillor Marsh will now contest her seat on Brighton and Hove City Council at the local elections in May next year, having topped the poll twice in her ward. She will be standing alongside fellow councillors Anne Meadows and Leigh Farrow. Cllr Marsh said: “I’m thrilled and delighted to be re-selected for the ward I’ve represented since 2007 - with a clear mandate of 11 votes to 1 - and delighted this was done entirely by ward members. “We had a quorum and didn’t need to have any of the executive members having to vote.”

An armed siege in Brighton brought Lewes Road and the surrounding area to a standstill this week. A 34-year-old gunman was arrested shortly after 2.15pm on Monday, April 7 in a house near to the petrol station at the Vogue Gyratory. A number of road blocks were set up and Lewes Road was still closed in both directions during Monday’s evening rush hour. Police are continuing to trace the reported weapon.

Lights, camera, action! The benefits of becoming a film-friendly city Jason Kitcat @jasonkitcat
During the turn of the 20th century, Brighton and Hove played a pivotal role in the film industry. The “Brighton School” of film-makers were among the world's first movie pioneers making, producing, distributing and marketing major films as early as 1897. This rich cinematic heritage has been recognised through our designation by the British Film Institute as a “Film Hub” for the southeast. Our successful bid is a real testament to the joint work of city council officers, the University of Brighton, the Duke of York's Picturehouse, and Lighthouse,
the local arts organisation. We now have £900,000 over the next four years to provide advice and support to the film industry in our region. Brighton and Hove has, over the years, appeared in many featured films - most famously, Brighton Rock. The demand to use our city, however, as a filming location has soared, and extends beyond movies to include productions such as music videos, TV programmes and advertisements. In fact, we now get about 300 requests a year to film in public spaces. Council staff work hard to ensure filming runs smoothly and to help with practical arrangements such as road closures and ensuring local residents and businesses are kept up to date about developments.
Jason Kitcat is leader of Brighton and Hove City Council
|
As well as offering a variety of easily-accessible locations in front of the camera, our city is also host to many local creative and digital companies that support film production, including sound and lighting experts, producers and directors, and scenery design artists. So, as part of our commitment to being a “film-friendly” city, we are setting up a citywide database of local businesses for when film teams come to shoot in Brighton and Hove. All this means a higher profile for Brighton and Hove on screen as a visitor destination, and a clear statement that we are a place for filmmakers to bring their business. The March for England: Patriotic or just fascist? Despite appearing to have no local support, the march has returned to Brighton annually since 2008. However, its nature On Sunday, April 27 the “March has changed dramatically over for England” returns to Brighton. that time. At first the organisers Confusingly the March for tried to follow the BNP's example England is both an event and an of fascism with a smiling face, organisation. The organisation is describing the march as a ‘Patriotic headed up by individuals with a parade’, however, for the past few long history of far-right, racist and years any mainstream support anti-immigrant activity going back for the event has vanished, and to the 80s. They were instrumental the march is now an exclusively in the foundation of the English far-right affair. In previous years, Defence League; an organisation March for England attendees now notorious for anti-Muslim have shouted homophobic abuse, performed Nazi salutes and attacked Muslim families. To allow the March for England to go ahead unopposed is to allow such behaviour to go unopposed. As Albert Einstein said: "The world is a dangerous place to live; not because of March for England returns to Brighton on Sunday, April 27 the people who are racism and violence. Their Brighton evil, but because of the people who event is chiefly an organising tool don't do anything about it." A sea of wild poppies will paint the town red this summer as Brighton and Hove marks the centenary of the Great War. Parks staff at Brighton and Hove City Council are currently sowing hundreds of seeds in public places across the city which will flower in June. The seeds are being sown in all the council’s wildflower sites and near the War Memorial in Old Steine. German music mammoth BMG have bought Fatboy Slim's record label and former Albion shirt sponsor. Skint and Loaded Records, which were based in Brighton, are believed to have been sold for around £5million, and will transfer worldwide rights to five Fatboy Slim albums, including the platinum You’ve Come a Long Way Baby. Loaded Records was started in the city in 1990 by JC Reid and Tim Jeffrey, followed by sisterlabel Skint records in 1995. Fatboy Slim’s latest single, Eat Sleep Rave Repeat, reached number three in the UK charts in October 2013.

Just last week, the French ‘Front Nationale’ won control of eleven towns, a district of Marseille with a population the size of Brighton’s, and numerous council seats in the municipal elections. In the rest of Europe, parties and movements based on aggressive nationalism are on the rise. We cannot view Britain (or even Brighton) as somehow immune to the far-right virus. In the run up to the 2015 elections, politicians across the spectrum are fighting to be seen as ‘tough on immigration’; this can only serve to create a climate in which the far-right can grow. Also, when unemployment and
housing waiting lists are still high, food banks, cuts and privatisation proliferate and politicians and media outlets seek to divert anger towards Romanians, Bulgarians and Muslims, the far-right will grow. Brighton is a more accepting and tolerant place precisely because people have fought for it to be so. We ask that people continue this fight by coming out on the day and opposing the March. We do not seek state bans but we do think civil society and importantly those most threatened by the far-right; ethnic minorities, trade unions the LGBT community should show
active opposition to those who pose a threat to their freedom. Previous years have seen thousands come out into the streets in united defiance of March for England’s message of hate. For those who wish to know more, a public meeting is being held on Tuesday, April 15 at Community Base on Queens Road at 7pm, organised by the umbrella group StopMFE. Ian Llewellyn is an organiser of StopMFE, an organisation which seeks to challenge the March for England. www.stopmfe.wordpress.com

I wonder how many of the 8,670 masochists competing in Sunday’s Brighton Marathon were aware they were commemorating an ancient battle? Or that they were running up to four miles further than strictly necessary? It was in 490 BC that 10,000 Athenian hoplites repulsed an army of more than 100,000 Persian invaders at the Battle of Marathon. Herodotus claims just 192 Athenians were killed, compared with 6,400 Persians. But history, as we know, tends to be written by the victors. Anyway, one of the Athenians, variously named as Pheidippides, Philippides, Thersippus or Eukles, having just fought in the very first of the 15 decisive battles of the world (as formulated by Sir Edward Creasy in 1851 – there have been one or two more since), then, according to legend, ran all the way back to Athens with the good news. “Nike! Nenikekamen!” he declared, as he collapsed at the finishing line, clutching his Gatorade bottle, wearing the number “0001” on his vest, having set a world record that would stand until 1896, when the second marathon was run. “Victory! We’ve won!” Well, two-and-a-half millennia on, everyone wears Victory shoes, and it is usually a Kenyan who has won (William Chebor on Sunday, with compatriots second and third). And the distance has lengthened. Marathon to Athens is 25 miles by the southern route, or 22 miles by the shorter but steeper northern route, whereas the modern race is run over a curiously precise 26 miles 385 yards. Which is actually the distance from Windsor Castle to White City stadium, plus a lap, as required for the 1908 London Olympics and subsequently standardised.
William Chebor won the Brighton Marathon on Sunday with a time of 2:09:25
There are currently more than 500 annual marathons, in cities as varied as Accra, Anchorage, Bangkok, Beijing, Casablanca, Dubai, Havana, Jerusalem, Kathmandu, Mumbai, Omsk, Osaka, Pyongyang, Rio, Singapore, Soweto, Taipei, Utrecht and Zagreb. Whereas what really Games, held at Athens, included puts a city on the global map is such a race to celebrate Greek having something nobody else has. Which, in this age of copycat history. Marathons remained limited to conurbational sprawls, is getting the Olympics until comparatively increasingly rare. Among sporting events, recently. We are a joined-up city now, are we not? The route takes in Hove. Is this the thin end of the predicted wedge? Is Hove destined to become just another district of Brighton, like Kemptown, Hanover, and Seven Dials? What is it about these marathons? Of course, I salute those with the stamina to compete, and who often raise vast sums for worthy causes. But I cannot really account for the enormous worldwide popularity of these

Comic Book Babylon by Tim Pilcher The subheading to this is: A Cautionary tale of Sex, Drugs and Comics. Which does exactly what it says on the tin. This had me hooting with laughter and marvelling at the obsession - and I do not use the word lightly - with all things comic book that Pilcher has. From his first visit at five with his dad to Dark They Were and Golden Eyed - No, I had not got a clue either, but any comic aficionado will tell you that it was the shop to end all shops of any comic-related business - he was hooked. It spawned the Forbidden Planet chain and fed the obsession of many a young boy. Pilcher takes us by the hand and leads us into his world of
the daring deeds of comics. His passion sweeps us along and with it his meetings with the likes of Jonathan Ross, Paul Gambaccini, The Spice Girls, Blur and Adam Ant. Of course, the girlfriends, the recreational drug-taking are, in turn, funny and revealing. But the book really is a love letter to his one and abiding love of comics. Pilcher, a long-time Brighton resident, has a great way of making us part of his passion and I was left wanting to own my very own wooden cut-out figure of Captain America. It would look great in my kitchen. Tim Pilcher will be appearing at The Bookish Supper Society on Wednesday, April 30 at Farm Mews, Hove. Tickets available from Dome ticket office: 01273 709709

Vive la difference: The French can still be a curious bunch Mike Holland @RealMikeHolland
Having just spent a couple of weeks touring Europe, I am as fascinated as ever at the mixed reception one can expect from our nearest neighbours: the occupants of La Belle France. Do not get me wrong, because I am certainly not anti-French; I even lived in the southwest region of Bordeaux for a few years. They are, however, a curious bunch - as I have just been reminded on my latest visit. To begin with, I made the mistake of not checking that my crossing from Dover to Calais was manned by a British crew. I had forgotten how dire the French boats can be with self-service outlets distributing food that only Brits will accept. This garbage can then be eaten in comfort reminiscent of a 1960s Wimpy Bar at its worst. The only saving grace is that the crossing lasts only for an hour-and-a-half. We had arranged to stay in

Oh, hang on, the taps do not work on the bath, must be something wrong, so I ring down. No, it is all fine, I am informed; they used to work, but do not now. Instead, I can use the tap next to the shower fitting and spray myself down. No, I cannot, I explain: there is no shower curtain or screen. Yes,I can, I am told, because I can apparently sit and spray myself if I am careful. Having pointed out that for 167 Euros a night, I expect a bit more and, realising I might as well be talking to the bidet, I gave up having a quick wash and went out for the promised excellent slap-up meal. Great, apart from French there is every other language you could think of, but not a single programme in English. I gave up and watched some awful French television for five minutes before switching off and going to sleep. Waking refreshed, I decide I should mention that perhaps it would be a good idea to have just one of the boasted 90 channels in English, perhaps CNN! After all, English is the business language of the world. Ah, that is indeed a pity, monsieur, explains a lady on reception - who could easily have come straight from a remake of ‘Allo ‘Allo. Binmen strike
More than 350 Open University students from the south east have celebrated their graduation, following years of part-time study, in a ceremony at the Dome. Bruce McGowen, the OU’s assistant director for the south east, said: “The degree ceremony gives us all the opportunity to celebrate the achievements of the people we are proud to call our students. I wish them all my warmest congratulations on their success”.
Talks have been held to try to avert another strike by binmen in Brighton and Hove. The GMB union said that industrial action was still possible almost a year after the last strike started. Mark Turner, GMB Sussex branch secretary, said: “We’ve given them a number of solutions. And we’ve given them until midday Friday.” Otherwise, he said, the union would ballot about whether to take further industrial action.

Water meeting hailed a success in the city Sixty per cent of households in Brighton and Hove are saving, on average, £15 a month because of water metering. That’s £180 a year. More than 35,000 households in Brighton and Hove have had a water meter installed as part of Southern Water’s five-year metering programme which began in 2010. The company is installing meters because, despite experiencing the wettest winter on record, the South East is still classified as an area of serious water stress by the Government. Darren Bentham, Southern Water’s Chief Customer Officer, said: “We have almost completed installing meters in the public footpath for households in Brighton and Hove. We will then begin fitting meters which have to go inside customers’ properties – in these cases we will contact each customer about booking an installation appointment. “With this in mind I would stress that everyone working on Southern Water’s metering programme carries identification and customers should always ask to see this before allowing anyone into their home. If customers are suspicious they should telephone Southern Water on 0845 278 0845. The new meters being installed are

That’s enough water to meet the daily needs of a town the size of Rottingdean 20 times. Household leaks are the responsibility of the homeowner. However, to help everyone save water, Southern Water will fix up to three external leaks on customers’ supply pipes, which typically run under the front garden, free of charge, provided it is practicable to do this. Mr Bentham, said: “We are installing meters to help conserve the environment because customers on a meter tend to use 10-18 per cent less water than unmetered customers. Water for use in taps, baths and showers makes up about 30 per cent of the average household’s energy bill.”

Conscious Uncoupling? Purna Sen
Labour candidate Lisa Nandy, the Labour Party’s shadow minister for civil society, was in Brighton to visit the East Sussex Credit Union, following an invitation from Purna Sen, party’s candidate in Brighton Pavilion. Ms Sen said: “I wanted Lisa Nandy to see at first hand the work the credit union is doing in our area. Since it was set up in East Brighton in 2000, our local credit union has gone from strength to strength. In a time when the high cost of living makes life difficult for so many people, credit unions are vital for many families. “But it is a great shame that at last Thursday’s council meeting Green and Tory councillors combined to water down a proposal from Labour and Cooperative Party councillors which would have seen the city council follow the example of some other councils and ban access to payday lenders'websites on all council computers and via publicly-
You will have heard about Gwyneth Paltrow’s imminent divorce. It reminded me that thestories we tell ourselves when dealing with the breakup of a relationship are important; the words used and names matter. When children are involved this is doubly important – your ex is your ex but not your child’s ex.They are still dad or mum. Divorce may lack the stigma it once had but how we talk about it in order to move on is crucial. Hence Gwyneth’s use of the phrase ‘conscious uncoupling’ In the past she has talked about how her parents’ relationship was an inspiration for her own.Apparently when asking her father how he and her mother stayed married for 33 years. He told her it was due to the fact neither of them had ever wanted to get divorced at the same time. Gwyneth’s marriage seems to have worked for far longer than most in Hollywood. She has been quoted as saying when two people throw in the towel at the same time, then they will break up, but if one of you is saying,“Come on, we can do this,” then you carry on trying to make it work.
By choosing the collaborative legal process rather than the adversarial, when you split up, the process will ultimately be better for everyone’s health – mum, dad and children. I am not about to start using the phrase conscious uncoupling with my clients, but I do recognise Gwyneth’s desire to communicate that they as a couple did work at it rather than just give up. So of course now they will want to engage in a healthiest transition as possible. Gwyneth is trying to find words and phrases that are a more sensitive and communicate that she worked hard and will continue to do so for the sake of her children. That together she and her partner made a positive decision instead of presenting the media with a world where she failed. As with any big change to make something good out of something difficult takes hard work but it is possible.
My experience of Collaborative law has been rewarding And now she, like many of the couples I work with, will probably choose the Collaborative legal route because because I see many couples work together to find new solutions and in so doing they are able to move on from sheLabour wants toparliamentary have the ‘healthiest’ divorce possible. Dick Knight shares his frustrations o EXCLUSIVE by Richard Morris @BrightonIndy Dick Knight is renowned for his ability to talk the wings off a seagull. But in the kitchen of his home in Hove, he cut immediately to the chase. “The fact is,” he said, “the offer is derisory and is clearly designed to stop supporters owning a very small part of the club.” The offer in question, of course, being the 1p a share approach made by an existing Albion shareholder to buy up the 100,000 shares – just 0.15% of the club’s share capital – that Mr Knight had hoped to sell to supporters. Shares that he originally purchased for £1. Shares that helped save Brighton and Hove Albion. Since floating the idea of passing shares on to supporters - coinciding with the release of his “Mad Man” autobiography in November last year, Mr Knight has received 262 letters from fans willing to take him up on the offer at £1 a share. What may come as a surprise to Seagulls fans, though, is the sheer volume of shares those 262 - and counting - people wanted to buy. Despite making it clear to fans they needed only one share to be afforded a voice at the Albion’s annual meeting, Mr Knight revealed interest in a remarkable 95,167 of his 100,000 available shares. In fact, just eight fans applied for a single share. One fan wanted to buy 15,000; others asked for upwards of 1,000. And this is where the dispute starts. Mr Knight argues that this volume is clear evidence that a market exists for his shares at their original price - not the 1p being offered by an existing shareholder, in what Mr Knight sees as a not-so-subtle attempt to stop the sale reaching the fans. That is because the club’s articles of association require that any shares being sold must first

It would have been great that, as we move towards the riches of the Premier League, the club paid respects to our recent history by having fans involved in a small way. Mr Knight has gone on record praising Tony Bloom for his generosity in funding the club and says the fact the Seagulls have a life-long fan at the helm is hugely positive. He believes, however, the share issue runs deeper than allowing supporters a say at the annual meeting. It is, according to Mr Knight, a symbolic way of thanking them for their help in fighting for the club’s survival and winning the battle for the stadium during more than a decade without a I just wanted my legacy to home. “The main theme be that I have ensured fans of I read from people applying for shares,” the Albion will always have a he said, “is that voice in the club” supporters genuinely want a small part of low figure” of just £650,000. the club. Importantly, Brighton & Hove Independent can also reveal that in addition to the 262 supporters who threw their hats into the ring - one existing shareholder who is not a board member has applied to buy a further 1,000 shares at the quoted price of £1 a share. Mr Knight informed the club he would accept that offer, but turn down the offer from the unnamed shareholder – who Mr Knight believes to be a director - of 1p a share. That leaves his remaining 99,000 to be priced by the club’s auditors - unlikely though they are ever to reach the hands of supporters. Which is something Mr Knight believes to be wrong. Speaking from beneath a mountain of well-wishing and supportive emails, Mr Knight questioned the 1p valuation, which he says effectively values the club – which has £65 million of share capital - at the “unfeasibly

The views of some interested fans Dick Knight has received many letters from fans wanting to own shares in Brighton and Hove Albion. Here are some comments from some of them:
The clause which Dick Knight says is being used against him The club's articles of association dictate anyone selling shares must first offer them to fellow shareholders before the wider public - a common practice among businesses. TRANSFER OF SHARES 24. (A) No share shall be transferred unless and until the rights of pre-emption hereinafter conferred shall have been exhausted.
A statement from Brighton and Hove Albion The club wishes to clarify its position concerning Dick Knight’s proposed share sale. Any shareholder of the football club is entitled to sell their shares. Dick is no exception. However, like any other shareholder wishing to sell shares, Dick has to follow the procedure set out in the club's articles of association. This is a process familiar to shareholders of any company. The club has not attempted to block Dick's attempt to sell his shares and would not block any shareholders from selling their shares. It is simply following the procedure set out in the club's articles of association which were put in place during Dick's tenure as Chairman of Brighton & Hove Albion. The articles provide rights for existing shareholders to purchase any shares made available for sale by another shareholder before the shares are made more widely available. This is common practice for UK companies. Following circulation of the notice of Dick’s intention to sell some of his shares, an existing shareholder has exercised his right to purchase the shares Dick is making available but is not prepared to pay £1 per share. The process for valuing any shares offered for sale is also set out in the club's articles of association. Should there be a difference in valuation between a seller and a potential buyer, the articles allow for the fair value to be determined by the club’s auditor. This value is then binding on both seller and buyer. The board remain entirely committed to an open and transparent approach to how the club is run with regular opportunities for all fans (not just shareholders) to question the Chairman, other Directors, and senior staff at regular supporter group forums all over the county and beyond. We also provide all Albion fans with the same open and transparent communications regarding the club's finances, a policy adopted by very few private companies or other privately owned football clubs, supported, once again, with excellent access to key club executives. In summary, the board's motives for this club are very clear: we want to continue to progress with the ultimate aim of competing at the very top level while making the club financially sustainable for future generations.
It is difficult being a long-term and continuing supporter to understand the club’s positioning on this issue - I fully appreciate the club is moving to another level, but they cannot forget what has happened, and what you have done, to provide the launchpad for this." "I think your idea of letting fans own shares in the club is a great move and would like to continue my interest if that is possible. I am sure this is the way to go for football in general."
“I was excited about becoming a shareholder in the club. This was a dream that was only going to be realised by your kind offer.”
‘‘
My main motive is that I would simply be proud to be a shareholder of the club I have supported for nearly 60 years.”
“I only wish to acquire shares to confirm my loyalty to the club and feel a part of it other than just being a season-ticket holder. I would like to have a very minor say at the AGM and be aware of what is happening to our club having supported it for 40 years.” I think it is a great shame that your initiative has led to such division. I would not want to be accused of seeking to widen that rift. However, I do believe the principle of share ownership and representation of fans is extremely important and that you should continue to pursue this matter. "I welcomed the opportunity to take part in this debate and am grateful to the Independent for organising it. It was well attended so I was fortunate to be picked out of the audience to put a question"
"I believe that all clubs, not just Brighton, should have some input from ordinary fans.

The last decade or more has seen a number of investors dip their toe into the buy-to-let market. The reasons for this can be varied: occasionally a parent will purchase a student house for their offspring, at times investors realise that they have insufficient pension arrangements. Becoming a buy-to-let landlord is not for everyone; however, in many cases, in Brighton and Hove, this step has resulted in a significant income stream but moreover an appreciating capital asset. It is hardly a secret that property prices are generally increasing right now in the city. The key is to set about the task in a business-like manner, considering the ever-shifting rental market, location and in some cases scope for adding value to the property. Roger Kay is a director of Just Lets in Hove, who not only provide lettings, but also a property acquisition service. The places I eat
Welcome to the relaunch of Places I Eat Brighton Claire Beveridge @placesieatbtn Sometimes, it is nice to take a moment and to reflect. Flashback to April 2011, I was living in the heart of Kemptown, in a gorgeous split-level Parisian-style flat with two of my best friends. Obsessed with food, cooking, eating, and dining, I would continually drive both my housemates to the point of boredom by fanatically ranting and raving about ingredients, experiences and restaurants. "Why not start a blog? Everyone is doing it," they said, flippantly - yet cleverly persuading me to articulate my thoughts on my laptop, not to them. "Great idea," I thought. Thus, Places I Eat Brighton was born. My first blog entry was written exactly three years ago to this very day: "Welcome. This blog
is all about the places I eat in Brighton; reviews, thoughts, musings, photos etc. I've made this blog because I'm opinionated and want others to hear my thoughts." Quite rightly so! Surely this is why everyone takes up blogging? Flash-forward three years and - while I may not be living in aforementioned apartment in Kemptown, having migrated back to my home turf of Hove I still very much care about sharing my food and restaurant views with the general public. So let us cut to the chase. Today is the day that Places I Eat Brighton relaunches as a brand new food website for Brighton and Hove. Why bother, Claire? Why
Places I Eat Brighton, providing food and drink reviews for the city, was born in April 2011
A brand new food website for Brighton and Hove – by Claire Beveridge
not just stick to the failsafe blogging format? Well, dear cynical friend, the question is: Why not try to do something different? Brighton is heaving with bloggers (some truly excellent ones, too). But it is not so filled to the brim with modern, cool and digital-savvy websites full of news, features, reviews, interviews and information about food and restaurants across the city of Brighton and Hove. Places I Eat Brighton is not reinventing the wheel here; it is merely attempting to do something a little different from your average Joe Bloggs (pun intended) and bring together people with a keen interest in culinary arts to form the essential food and restaurant website for Brighton and Hove. Have I "sold out" - as one
friend understandably asked me recently? No, I have not. Nothing will distract us from any amount of honesty on Places I Eat Brighton. People use Places I Eat Brighton in their tens of thousands because they want honest and upfront opinions on the city's food scene - something that will not be changing. Grenache, or Garnacha tinta as it is known in Spain is a hugely popular variety. Its late ripening fruit thrive in the hot dry conditions of southern France, Spain, and parts of California where it smooth peppery fruit flavours develop late into the season. The raspberry and strawberry flavours of the Grenache always shine through though, whether in one of the full bodied Tempranillo or Syrah blends from its native Spain, or the more delicate French wines such as the famous Châteauneuf-du-Pape, of which it makes up a dominant 80% of the blend. The fuller, spicier Spanish blends love to be paired with braised and grilled meat and stews, or the aromatic spices of Morocco and the Mediterranean coast. Whereas the lighter more delicate blends lend themselves to herbaceous Italian Cuisine and roasted summer vegetables. Steer clear of citrus flavours however as they clash unpleasantly, and white fish and lighter oriental cuisine are simply overpowered by this full and flavoursome variety.

A swim that is steeped in American history Tom Gallagher @GallagherTDG
In the land of opportunity, size really does matter. Whether it is the big cars, big views or big food, the United States of America turns it all the way up and its open-water swimming events are no exception. Located in the same area in which the Great Chesapeake Bay hosts its own grand day out, the James River at Richmond, Virginia, plays home to a gruelling marathon event that is itself a big proposition. To the Bridge and Back - apart from sounding like a film of derring-do set in the Second Word War - is a 10-mile open-water challenge starting and finishing at the American Legion Post on the Upper James River. The course follows the river towards the Route 288 Second World War Veterans

Memorial Bridge, west of the Post, before turning back on itself to finish where it began. The river, which eventually flows into the Chesapeake, resonates with Native American history; Colonial Williamsburg is roughly 40 minutes away. To the Bridge and Back is a swim steeped in American history. As an apparently straight-outand-back swim, To the Bridge and Back appears an uncomplicated challenge. But the devil is in the detail - and the devil, in this case, is the distance. Ten miles through unpredictable torrents and temperatures necessitates carefully-monitored entry requirements, seeded start times, regular aid and hydration flotillas, and even personally-appointed safety kayakers. There to provide emergency assistance as well as a helpful nudge in the right direction should it be needed, personal kayakers are a mandatory feature

of the swim – although organisers are very clear that any deliberate contact with the kayak will incur appropriate penalties. The day on the river will also include a five-mile distance in which competitors will set off in 10 waves seeded by their best 1500m time in the last 12 months. Wetsuit and non-wetsuit categories are available for either the 10- or the five-mile distance and a bumper pack consisting of a cap, t-shirt, finisher’s award, and professional photos will greet the weary and spent. And if that was not enough, To The Bridge and Back puts on an extravagant post-race package
featuring hot tubs, massage tents and beer. To the Bridge and Back is a big challenge for a big state and a wonderful excuse to experience one of America’s most fascinating corners. The 911 50th anniversary edition
Marathon runners, rejoice! And focus on your recovery Paul Coneyworth @BeauPilates
Porsche have released a special 911 to celebrate their 50th anniversary, delivering 394bhp and reaching 62mph in just 4.3 seconds
So what does the birthday beast offer? Now this is how you do retro. Porsche is building 1963 examples – the year the 911 first went on sale. On the outside, you can’t miss the Fuchs-style 20in alloys that fill out the wider body donated by the Carrera S. There’s also the special colours reserved for the birthday Porsche. Then there are the details: the smoked mascara headlamps, the chrome edges between the taillamps and on the rear engine cover, and then inside, those beautiful seats and anniversary logos on the instruments. There’s cluster of five dials that are green and white, just like the original 911’s. The mechanicals? The 50th’s mechanicals are the
same as the Carrera S’s, too: that means it’s rear-wheel drive with the more powerful 394bhp 3.8-litre flat-six engine out back, giving it a 0-62mph in 4.5sec. You can shave 0.2sec off if you pay £2525 for the PDK, which you’ll get back with better fuel consumption (29.7mpg plays 32.4). What’s it like to drive? If you’re tired of 911 plaudits, look away now. What a livable performance car this is. The first thing to do once you’ve warmed up that sweet six is push the centre console’s exhaust button to open up its lungs, and then the Sport button for the steering and throttle response. PASM – Porsche-speak for adjustable dampers – is standard, so hit
Sport for these, too, as the ride’s firm but far from backbreaking around town. And in town? You may as well leave the chassis in Sport, but if do choose Normal mode, you’ll have a bit more suspension travel for a tad more comfort. Normal for the engine, too, activates the stopstart (which you can turn off separately) and saves a bit of fuel and won’t interrupt quick takeoffs. In either set-up, you have a car that’s easy to drive, with that precision allowing you to confidently slot between buses and cyclists, down narrow lanes and deal with black cabs with the same assurance as you would in a Golf. Is there anything wrong with this 911? There is one thing against this car: the price. Its £92,257 ask is £8.5k more than the S it’s built on, but if you option the PDK, it’s only £5758 less than a GT3. Yet for that money, you get a car that’s a little bit special, has way more charm and character for a relatively small price. Some will see value in that, others won’t. It’s just enough for most to want to park the 50th in their own garage, as it’s added more desire to an already lust-worthy package. One, please.
Parenting
Despite this early awakening,
Certain memories hold firm no matter how old we get and I am no different: my first day of school, first kiss, the first time my football team reached Wembley (not that long ago) and, of course, the birth of my first child. But I also still vividly remember crossing the finishing line of my first completed marathon. A moment of complete euphoria interjected with excess levels of tiredness and fatigue. Regardless of the tender tendons, days after it was still difficult to comprehend how I had managed the full 26.2 miles. A proud moment and a real bucket-list nomination. Congratulations to all Brighton Marathon runners! No doubt you will have felt similar rushes of feeling that I did. Now that you have crossed the line safely, your strategic training regime has not finished there; after months of training and 26.2miles of intense effort, recovery should be your key concern. Before designing a recovery programme, it is important that we all agree on the damage a marathon can inflict on the body. I like to break these effects down into three main categories: skeletal muscle, cellular damage, and immune system. The skeletal muscles of our lower limbs will be inflamed due to the strenuous nature of a marathon
This impairs the ability of the muscle to exert power and sustain periods of intense exercise. On a cellular level, damage to the proteins in the blood has been empirically recorded to be below normal levels seven days after a marathon. These proteins are normally utilised to ensure the cardio-respiratory system works efficiently. Finally, the immune system in the weeks following a marathon; it is theorised that colds and ‘flu are a common occurrence due to the effort required from the lungs as well as the air temperature during the slog. Immediately after - and in the days following - your mammoth run, it is imperative that you chill out. Literally. Soak in a cold bath - with added ice - for five to 15 minutes; this will decrease the inflammation of your leg musculature. Similarly, we recommend that you stretch those weary muscles to assist in returning them back to their natural length and assist in the healing process by removing unwanted byproducts. Stretching is the name of the game for us, come and see us at our new Hove home. Finally, it is important that you give yourself a break. You deserve it. Paul Coneyworth is master trainer at BeauPilates, 39b Salisbury Road, Hove, BN3 3AA. For more information, visit: www.beaupilates.co.uk

Seagulls supporters are being asked to pack The Amex for the club’s remaining home matches and help cheer the team on to a play-off place. The Albion currently sit one place and two points outside the top six – with 15 points still to play for and an arguably kinder runin their a number of their rivals. Those five remaining games include three at The Amex, starting with tomorrow’s (Saturday) clash with relegationthreatened Charlton Athletic. And the club believes the Seagulls’ home crowd could provide a helping hand in the Albion’s promotion push. Head coach Oscar Garcia was again full of praise for the band of Brighton fans which followed the team to the East Midlands for Tuesday night’s priceless win away at Leicester City. Now he and chief executive Paul Barber are hoping the home support can raise the roof during the Seagulls’ remaining home matches.
Motorway cones have been a familar sight to travelling Albion fans this season
Brighton have an average home gate record so far this season of more than 27,000
Mr Barber said: “The support we’ve received at the Amex - and on the road - has been phenomenal all season. “Our remaining home games are obviously going to be vital in the hunt for another topsix finish and, as ever, we really need our supporters to continue to play their part in what promises to be an enthralling climax to campaign.” He isn’t wrong. The Albion again boast the Championship’s highest average attendance, with the
Seagulls’ 27,211 easily eclipsing the 25,168 of Leeds United. However, the Seagulls have yet to see a 30,000 plus gate this season – a total reached by Leeds, Derby County and Leicester City. The top Amex attendance was 29,093 for the Ipswich Town game. Tickets are still available for all three remaining Albion home matches (online at www.seagulls. co.uk or by calling 0844 327 1901) and Oscar and co are hoping Seagulls fans flock to secure their place in what promises to be a nail-biting finish to the season.
Albion in the Community at the Brighton Fringe Festival AITC is making its debut appearance at this summer’s Brighton Fringe Festival with two events announced this week. The Open Minds Living Library event, which will take place on Monday, May 12 at the University of Sussex is part of AITC’s Gamechangers initiative which aims to help beat stigma around mental health. The event will see Gamechanger volunteers, all with lived experience of mental
health tell their stories to the public alongside awareness workshops, an art exhibition and music from local band Tragic Roundabout. The Gamechangers project which has seen volunteers directly engage with over 700 people since its launch in April 2013 is funded by Time to Change, England’s biggest programme to end the stigma and discrimination faced by people with mental health
problems. The programme is run by the charities Mind and Rethink Mental Illness, and funded by the Department of Health and Comic Relief. For more details about the event and the project e-mail Caroline. orsola@albioninthecommunity. org.uk. AITC will also be part of a special street soccer event on May 31, between 1-5pm on the site of the city’s old Municipal Market on Circus Street.
games away from home is an unbelievable achievement. Whatever happens in the run-in the club is approaching a key period. The push for promotion continues with a host of teams chasing what looks to be one play-off place. Albion hoping for repeat form following season-best win
Kazenga Lua Lua was at his blistering best in the midweek win at Leicester
home start for Kazenga Lua Lua, a player so often restricted to the role of impact sub but who was in match-turning mood at the King Power Stadium. In fact, of his 27 appearances this season, 19 have come from the bench. Nevertheless he has chalked up four assists – more than any other Albion player this campaign. He also boasts a team-high 61 successful dribbles – nearly twice the number of fellow dribble-king Will Buckley (34). Equally impressive at Leicester was Dale Stephens. The midfielder added a touch of creativity toooften missing in the Albion team for long stretches of the season. The former Charlton player was behind three of the Seagulls’ four goals and dovetailed superbly with Keith Andrews and Jesse Lingard

– the former of which registered a match high 73 passes with a completion rate of 89 per cent. Where that leaves Rohan Ince – so often the Seagulls’ stand-out player this season – remains to be seen. The player, who was this week named the 33rd best outside the Premier League by FourFourTwo magazine, remains a key figure but he may find himself temporarily side-lined if Oscar decides to persist with his attacking outlook. Charlton arrive at The Amex with just as desperate a need of the points as their play-off position chasing hosts. The Addicks find themselves just one place and two points above the relegation zone despite an encouraging recent run of good form with three wins in five matches.

I am really pleased because it is not easy to come here and play in the way we did but we were the better team from the start until the end. “We wanted to play with a high tempo and we did that against the best team in the league, and they are a Premier League side. “Stephen Ward played the whole second half with a swollen ankle and I am very proud of him and for Leo’s [Ulloa] confidence it will be very good; he helped us a lot. “With the ball it was one of the best performances of the season. With the best attack in the league it is not easy to not give away any chances but we didn’t concede many and we are capable of fighting with all the big teams.”

(Speaking after 4-1 win at Leicester)

Just as it seemed the Seagulls’ season was at risk of limping tamely toward a mid-table conclusion, an unlikely ownership of league leaders Leicester City has convinced supporters the play-offs are still a possibility. Brighton fans headed to the East Midlands earlier this week on the back of a disappointing stalemate at relegation threatened Barnsley – armed with little more than a handful of straws clutched at en route. They returned buoyed by the Seagulls’ 4-1 win and a renewed sense of play-off possibilities. Albion head coach Oscar Garcia sprung a surprise by unleashing his squad’s attacking potential against the table-toppers, securing a double over the promoted Foxes in the process. He now faces the dilemma of whether to stick with that positive approach ahead of tomorrow’s must-win clash with lowly Charlton Athletic or return to the more cautious build-up which has become the hallmark of his first season at The Amex. Supporters will be hoping the Spaniard opts for the former – particularly after a string of frustrating performances on home turf. That would likely mean a rare
Albion Statistics:
Signed from Charlton Athletic in the last transfer window, Dale Stephens will face his former club tomorrow (Saturday) fresh from a star turn during the Seagulls’ midweek trouncing of leaders Leicester. Stephens has the potential to become a key creative influence on the Brighton midfield and has flourished when used in a more advanced position – clocking up three assists and a goal in his ten Albion outings. Dealing with damp in Brighton and Hove properties Damp in itself is not an insurmountable problem. It can be solved. Quite often though, with double glazing it can be a simple condensation problem with not enough through ventilation. This is common with older properties that have been comprehensively modernised, and ironically it’s often the new double glazing that is to blame. In their original state,
they were generally quite draughty. A combination of sash windows and not fully sealed doorways, plus open fires in most rooms, ensured that there was always good air circulation. As a result: little or no condensation. Now, with many fully or even partially double glazed properties, there is less easy air circulation. Older doubleglazing tended not to have
‘trickle vents’ (apertures above the glass to allow a small draft). If you are a victim of damp condensation, you may need to replace them or see if you can have these trickle vents cut in. Of course, rising and penetrating damp is also common in older properties, especially pre-1900. Nowadays, many of them have been damp-proofed,

Consumer protection Paul Bonett @Bonetts
Until recently, a critical guiding principle of the property market was caveat emptor, or “let the buyer beware.” It basically meant it was ultimately the buyers’ responsibility to satisfy themselves about a property they were buying. Now, it’s all change. With the incorporation into UK law of European consumer legislation, with the Consumer Protection from Unfair Trading Regulations (CPRs), sellers and agents have a duty of care to the buyer too. The main issue is disclosure. The CPRs require sellers and/or their agents to volunteer all material information upfront – good and bad. On the surface, this sounds like a reasonable idea – for buyers, at least. But what about sellers? After all, how will you feel if and when your estate agent is legally obliged to tell potential buyers that in
addition to four bedrooms and two reception rooms, your home also has a chronic damp problem and needs a new roof? We are thankfully in an era of ‘transparency’, so one hopes that both sides in a transaction will see this as a benefit. It’s easier to make good decisions when you have all the information up front, rather than getting ‘surprises’ down the road and having to rethink your purchase. Sellers should not be put off by the “warts and all” approach – it will generally make the sales process quicker and easier with less or no surprises. Buyers are much less likely to rethink the purchase after survey or after replies to solicitor’s enquiries, when problematic ‘issues’ come to light anyway. A good example is when the agent says there is no onward chain and quick completion when in fact, the owners need to find a place to buy before moving. That’s ‘material information’. So, agents and sellers, come clean: you know it makes sense.

A view from the city As an independent estate agent, Jason Dean is passionate about the local community and its residents. This week Sarah Indranie, one of the directors, talks to Robert Nemeth - a local historian and buildings campaigner.
Robert Nemeth @robert_nemeth
1. What’s your favourite street/road and why? In Brighton, Montpelier Villas is the obvious choice but I am going to go with Western Terrace. Each was actually designed by the prolific local architect Amon Henry Wilds but the latter features his crazy home – the Western Pavilion which is essentially a miniature Royal Pavilion with a bathroom in its copper dome. In Hove, I’d happily go with any one of its hidden mews streets. 2. What’s your favourite building in Brighton and Hove and why? It’s a 1930s block of flats in Hove called Furze Croft. This building and others from the period remind me that it’s not blocks of flats that I’m against, it’s bad architecture. I have no idea why modern blocks aren’t built this way. Everyone in Furze Croft enjoys a grand entrance and luxurious hallways, whether they live in a studio flat or have four bedrooms. 3. What’s your most memorable local event? I’m regularly inspired by the Eco Open Houses event. I can probably attribute my interest in gardening to a single house on Lloyd Close that often opens its doors to the public. Otherwise, I like things like Seedy Sunday, the Big Dig and the Sussex Beacon’s Garden Gadabout (at the end of June this year). 4. What do you bring to your local community and how? I am a founding member of the Secret Garden Group
which has involved turning derelict land behind St Leonard’s Church in Hove into a community allotment. I support various charities but do have a particular soft spot for the lovely ladies on the Macmillan committee locally. I’ve also stood for council for the Conservatives before and will be doing so again in Wish Ward in 2015. 5. If you could make one change to your home to improve its efficiency and make it more environmentally friendly, what would it be? I’d probably stock it with more jumpers so that I don’t put on the heating so much. Solar panels seem like a great idea though and I’ve been particularly inspired by the work of the Brighton Energy Co-operative at Shoreham Port. Doubleglazing is a no-brainer these days, even for historic buildings using slim-line glass, but plastic windows, in all cases, are a real no-no for so many reasons. 6. What is your opinion of the current local property market? Demand has inevitably risen because the number of people has increased faster than it is possible to build. The current prices are unsustainable but I don’t think that prices will ever return to what they were 1015 years ago. Property then was unimaginably cheap compared to rents and wages. 7. Has it effected you, if so, how? It wasn’t through luck, as I got on with it off my own back, but I started buying property in 2000 when I was 19. You do what you can to get your first home. I always buy buildings that need major work and I’m always happy to wait. I never overstretch. Prices haven’t really affected me to be honest but the number of landlords who don’t look after their properties bothers me hugely. 8. Inheritance tax – keep or abolish? Abolish
