TECHNICAL ASSISTANCE: DEVELOPMENT OF PROCUREMENT PROCEDURES FOR PURCHASES OVER $50,000 AND OF MODEL REQUEST FOR PROPOSALS AND CONTRACTS FOR REAL ESTATE DEVELOPMENT PROJECTS The Fideicomiso de la Tierra del Caño Martín Peña (Fideicomiso), is a private, nonprofit community land trust that owns and manages over 200 acres of land, through collective land tenure, for the benefit of the residents that live within the Caño Martin Peña Special Planning District (District) and in accordance with the District’s Comprehensive Development and Land Use Plan. It regularizes land tenure for approximately 1,500 families, preventing gentrification as an unintended consequence of the tidal channel’s ecosystem restoration while guaranteeing security of tenure and access to affordable housing. In 2018, the Fideicomiso won the Communities Thrive Challenge, sponsored by the Chan Zuckerberg Initiative and The Rockefeller Foundation. As part of the award, the Fideicomiso request proposals from qualified and experienced attorneys or law firms to provide technical assistance to the Fideicomiso in the following two areas: (a) Development of procurement procedures for purchases of over $50,000. (b) Development of model request for proposals and contracts that the Fideicomiso and its subsidiary, Desarrollos Martin Peña, Inc. (DPM), can use to select the appropriate development team and engage in partnerships that will enable real estate development projects. Attorney or law firm must have capability to operate in Puerto Rico and provide a professional liability insurance policy. Procurement procedures The Fideicomiso has adopted procurement procedures for professional services and for the purchase of goods, works, and services valued under $50,000. The Fideicomiso needs to establish procurement procedures that are within its administrative capabilities and compliant with federal government regulations, within cover the purchase of goods, works, and services valued over $50,000. Such procedures must be available for the Fideicomiso to carry out the upcoming procurement of services related to the rehabilitation of a building. Housing and mixed-use development The Fideicomiso owns several lots that are available for development, as per the District Plan. Although the land cannot be sold, the Fideicomiso can engage in long term leases, grant surface rights, among other property management tools to enable such development. Its priority is to provide and maintain affordable housing within the District, and specifically, to provide housing alternatives targeting the families that are undergoing a relocation process in compliance with the Uniform Relocation Act. Such acquisitions and relocations are led by the Corporación del Proyecto ENLACE del Caño Martin Peña, a public corporation created under Law 489 of September 23, 2004, as amended, tasked with implementing the District Plan. During the upcoming years, the Fideicomiso seeks to build 450 housing units for homeowners and approximately 200 for renters.


To accomplish this strategic goal, the Fideicomiso created the 501c(3) non for profit subsidiary DMP, which will seek certification as a Community Housing Development Organization (CHDO). This recently created entity needs a basic administrative structure to be able to start the process of developing low-income housing within land owned by the Fideicomiso, targeting District residents. The two high priority developments are: Project 1: Development and construction of a mixed-use multifamily housing project. The existing vacant lot has approximately 13,750 sq mts. The zoning is residential (R4). Flood Zone: X. In consultation with residents, most of these units will be offered to homeowners undergoing relocation, and others may be developed for renters. Location pin: https://goo.gl/maps/WEWEUqmVJwD2 Project 2: Development and construction of about 20 single-family housing units on scattered sites on Fideicomiso lands within the District, targeting homeowners undergoing relocation. The housing models designed have an average of 1000 sq ft of construction area. There are opportunities to develop over 120 scattered site homes within the District. Potential funding sources include federal programs and funds, such as the Community Development Block Grant – Disaster Recovery (CDBG-DR), the HOME program, low income housing tax credits (LIHTC), New Markets Tax Credit, opportunity zones, among others.

Scope of work Work under this contract is expected to include, but not be limited to the following: (1) Define the administrative and organizational structure the Fideicomiso needs, in order to find the team, to develop the two projects mentioned above. This includes without limitation: 1. Determine which procurements rule should apply. 2. Draft the request for Qualifications (RFQ) model to identify development companies. 3. Draft the contract models for developers 4. Draft the contract models for construction 5. Draft the bid package model 6. Draft any other model required (in the agreement of the parties) All products to be prepared must comply with all the local, state and federal requirements in all the products to develop. All products must be written in English, but proposer must have the capacity to speak and read existing documentation in Spanish in order to do so. The proposer must present a schedule of work. All products must be finished by July 31, 2019. Proposers must respond in the format delineated below. Failure to submit this information will render your proposal non-responsive. GENERAL EVALUATION OF PROPOSALS: During the evaluation of the proposals, the Fideicomiso, at its sole discretion, may contact individual proposers to clarify aspects of the proposals. The Fideicomiso reserves the right to reject any proposal for any reason that it deems to be in the best interests of the Fideicomiso. The Fideicomiso will notify the chosen proposer and the parties will proceed to enter into a written agreement, subject to compliance with all applicable laws and regulations. Fideicomiso’s decision is final. The selected proposer will enter into an agreement with the Fideicomiso and the sponsor Redstone Strategy Group (the parties). This RFP may be canceled by the Fideicomiso for convenience, including for lack of funds or, if, in the Fideicomiso’s sole discretion, none of the proposals meet its requirements or fulfills its needs. The parties, with or without cause, may terminate any contract resulting from this RFQ by providing thirty (30) days written notice to the other party. Termination may be for convenience.
