PRESIDENT’S REPORT - YEAR 2017/2018 At the outset I wish to congratulate our Commodore Vitor Medina, Flag Officers, General Committee members and all staff members for what has been a successful year. Our Lease. At the forefront of concerns has been the issue of the extension of our lease. For the last 20 years the club has resisted investing capital in improvements to the property since, without the assurance of a continuation, serious expenditure in this regard might have proven to be fruitless. Recent indicators however have been very positive in respect of continuity as has been communicated by our Commodore. This positive outcome has been a result of the diligent effort applied by the club’s leadership in engaging with key PortNet and TransNet representatives. Cementing a platform for communication with our landlord has been a quest for many years. Our Commodore and team continue to apply diligence in maintaining good relations in this regard. This is vital to sustain the relevance of the club’s existence in its present location. Notwithstanding the reference to the favourable position perceived in respect of continuance, notice has been taken of the unfortunate fate delivered to the Algoa Bay and Mossel Bay yacht clubs, where the property leases have been terminated by the authorities. Serious challenges are yet to be faced by our club in this regard. A recent newsletter communicated the keys to the club’s survival. These were, diversity of age, gender, ethnicity. The disparities analysed in these sectors are interesting, but even so, alarming. It would do well for all members to take cognizance of these factors. We are a club with minimal membership of youth and preponderance of the ageing. Most members are aware that the club was never subjected to the apartheid prescription for the exclusion of non-white membership. Despite this our club has not attracted any significant number of members other than as classified as white. In sport the issue of diversity has been of much interest as reported recently in the media. A sporting nation such as ours feeds on the emotions of the nuances related to sensational comment. We as members need to heed the reality of changed circumstances and embrace the future as such. It is heartening to observe that the membership at large is moving forward without resistance in this regard. Our club has, for as long as memory serves, been the embodiment of an egalitarian society, embracing all-comers regardless of class or culture. It is unfortunate that our sport, and by extension our club, is considered to be elitist and exclusive, a domain of the privileged. Notwithstanding the matter that we have not achieved perceived requirements of transformation, the effort to promote sailing amongst less fortunate communities gains increasing traction of notice by the public at large and, in particular, by authorities who will determine the sustenance of our present occupation. Thanks to our club administration for the ongoing perseverance in this regard. The broad acclaim received in respect of our successful Sailing Academy is seminal. Commodore Vitor reports on this aspect in his report. Finances are sound and the Hon.Treasurer’s report engenders positivity where all departments contributed to an increased surplus growing our retained income for our “war chest’ for the years to come. Thank you, Nick Russell, for the hard yards of the past two years.

PRESIDENT’S REPORT - YEAR 2017/2018 Catering offered is of a commendable standard. The challenge of providing diversity of preference of cuisine has been well met. Our Outside House portfolio has been ably managed. In respect of our moorings operation we are unique. Under the prevailing circumstances, we retain control of our water space which is within the domain of government authority. Suitable management both technical and financial serves the club well with regard to providing a good standard of service to boat owners and visiting craft. At the core of our club - Sailing. A full calendar offering a diversity of events was again on offer. A more concerted application of the ORC rating system was employed in the past season which also saw the introduction of the exciting new Cape 31 class. Do read on in the Sailing report about the #sailingforsomething innitiative where boat owners and crews have commendably committed to the aligning of support for various charities. In closing I want to thank Trustees Peter Bazlinton and Trevor Megaw for their continued support. Peter has elected to stand down at the end of this term and I wish to thank him for his years of loyal service contributed to the club. Paul MarÊ President

COMMODORE’S REPORT - YEAR 2017/2018 The 2017/2018 year has flown by and has been a fun yet very busy year for Royal Cape Yacht Club. The main focus of our Committee has been to work towards a positive engagement and negotiation with Transnet and TNPA to hopefully secure our lease for a further term. With the assistance of our Sailing Academy manager Lindani Mchunu, we have devised a presentation which we shared with stakeholders such as the City of Cape Town, Transnet, TNPA, SAIMI, CPUT, Lotto and various others.The result has been overwhelming. These various departments and instances have shown interest in what we are doing and have committed to become involved and assist where they can. For instance Transnet National would like to form a partnership with our club where our students will be able to access their Training Centres with the possibility of a career in the Maritime Industry. South African International Maritime Institute is a government department reporting to the Office of the Presidency. They so believe in what our Academy is doing that they have committed handsomely to fund selected students in obtaining formal qualifications such as Skipper and Yachtmaster tickets. SAIMI recently moved in to our offices at RCYC. SAIMI have suggested that RCYC help replicate our Academy and training model in other Ports around the country. The above engagements are at a critical point of negotiation and that is the main reason why I have made myself available to serve a third year as Commodore. On the club front we have had a successful year both financially, sailing and socially. Inside House led by Joep Schoof flanked by F&B manager Wesley Young, Chef Jacques and Chef Chad, excelled by providing food and beverages at very reasonable prices yet of the highest standard. Dramatic changes were made to spruce up our rather outdated alcove area and we are planning to carry that same theme and standard to the Terrace and Main Hall areas. Alan Haefele ably supported by Boet Koopmans and Elliot Magadlela maintained a well-oiled operation in Outside House and the Marina activities. This department is probably the most important one in the club as it derives a large amount of income for the club with the responsibility of operating efficiently yet safely. For the Sailing Department it has been a challenging year with the weather deciding who has the last say. Several Wednesday night races were cancelled as well as Cape Town Race Week due to winds exceeding 30 knots. This did not dampen the spirit of our sailors - on the contrary the Winter, Summer, Double-handed series ,Mykonos, Fling, Harken, Rob Meek overnight race and Twilight races were all sailed in a fiercely competitive yet sportsmanlike fashion. Well done Neil Gregory , Andrew Collins, Hilary and Kerry. The Sailing Academy is super active with over 70 students regularly participating in training sessions and sailing events. Under the guidance of Joe Heywood, Lindani, Mo and Sibu, the Academy provides a fantastic platform for young students to become part of a professionally run Academy where they are exposed not only to sailing but also the opportunity to experience different initiatives and adventures ,i.e. Youth Regatta trip to Durban and climbing Table Mountain. Club member Joe Van der Westhuizen recently donated the famous Archangel yacht to our Academy and this 36ft beauty will enable our students to progress to the next level by sailing in providing the opportunity to do longer distance sailing and thus increasing seamanship levels. TRANSFORMATION & FUTURE PLANNING REPORT - YEAR 2017/2018 WHAT KIND OF CLUB ARE WE? WHAT KIND OF CLUB WOULD WE LIKE TO BE? Should we be different? How could we be different? I have looked at three aspects influencing the future of the club: Transformation; Membership; and Tenure. These three are intrinsically interlinked, such that I firmly believe we should rely on an integrated approach focussed on all three to ensure a positive future for the club. I do not believe in an “all eggs in one basket approach” to Transformation and Future Planning at Royal Cape, and have been keeping open dialogues going with all who can play a role in our future. We have engaged in a multifaceted, yet highly focused approach to Transformation and Future Planning in the last year. We have focused attention on building relationships with the Port, TRANSNET and other branches of government. We participated in a number of key meetings with the port, and have looked at transformation and diversity, primarily through the RCYC Sailing Academy, and partnering with key port and government structures like the South African International Maritime Institute [SAIMI], in a 5 year plan for the academy. We have built relationships with the V&AWaterfront: Development team, and are participating in their future planning initiatives. We have an open and robust dialogue with South African Sailing. The Transformation and Future Planning initiative in the last year focussed less on monthly committee meetings, and more on a project based approach, where committed participants were encouraged to pick up and drive projects towards the future and transformation of the club. In this regard, club members Vitor Medina, Joe Heywood and I have worked extremely hard together with club management staff Toni Mainprize and Lindani Mchunu, and I believe we have achieved a great deal. In many respects, the Sailing Academy represents the flagship for the future and transformation of the club. Under the management of Lindani Mchunu, the Sailing Academy is an ambitious social and cultural project, engaging and introducing a broader community to sailing and the ocean economy in general. The Academy is a vital organ to the body of the club. The potential is huge: for tenure, for transformation, and for membership. The growing relationship with and support from SAIMI is a key partnership in delivering this potential, and we welcome them to the club, having provided space within the administration office for the regional offices. The club has provided three-year full board and tuition bursaries for two students at Lawhill Maritime College. Apelele Ntshinka and Thapelo Moletsane were selected as the successful recipients, and are exemplary students and boarders. They are both achieving satisfactory results - a credit to the Lawhill Maritime Centre. This initiative was set up by the TFPC from 2015/6, so it is very pleasing that the initiative has now come to fruition, and both Vitor and I appreciate and share the regular reports updating their progress. Thapelo is a keen cyclist and competed in the Cape Town Cycle Tour. In order to ensure consistent support, we have partnered with the General Botha Old Boys Association, which provides a substantial mentorship program for these and other learners at Lawhill. Transformation is a really broad term. There are three areas where I think the club needs to seriously consider and implement a strong diversity or transformation drive: age, gender and ethnicity. Ethnicity goes further than race. For example, ethnicity talks to a social and economic agenda. Roughly half of the world’s population is male; the other half is female. Sailing is definitely a sport that can be enjoyed equally by males and females. There are many modes of sailing including cruising and/or racing on boats of various shapes, sizes and performance capabilities. There is something for everyone. Sailing is a healthy sport, with

TRANSFORMATION & FUTURE PLANNING REPORT - YEAR 2017/2018 a great balance between nature and technology. We know our region and country has an ethnic make-up quite different to our club’s typical membership profile. There is no simple way to change this, but we must change it, together. The younger generation has a fairly positive opportunity here. Older working members can look to introduce and involve colleagues and friends to the sport and lifestyle associated with sailing. DO IT! Here’s what the club’s membership statistics on file reveal: Over 75% of the club membership slots into the “over 50” year old category, and 50% into the “over 60” category: Half the club membership is over 60 years old. There are as many club members over the age of 70 as there are members under the age of 48. Male members outnumber female members by 4 to 1. Less than 3% of the club are under the age of 23, with 6.5% under 30 years old. 1 in 4 members are listed as boat-owners. Just 14 female ordinary members are listed as boat owners. One could look at those numbers and feel quite depressed, or one could look at those statistics and realise that there is an incredible opportunity for growth, simply by focusing on the balance of age, gender and ethnicity. Given that the “older” and “male” membership make up the majority of the club’s membership, it is critical that this grouping realise that they are in control of leading and making this change. It’s not change for change’s sake. It is change required for survival. The TNPA have made that extremely clear in plain and simple terms. We attended the Port’s monthly Strategic Environmental Assessment workshops over a 6 month period in the last year. The numerous 3 hour sessions were interactive, with plenty of opportunity taken up for RCYC to present a wholesome and thorough position statement, making a case for the yacht club to continue its 70 year presence in the Small Craft Basin. The outcome of these SEA workshops was a 126 page consultant report. It is quite startling to advise that the resulting consultant report has just one mention of the RCYC in all of those pages: “Access to the Royal Cape Yacht Club (RCYC) is of concern, in respect to the ISPS code, especially because the RCYC often hosts sailing competitions as well as social functions.” However, the massively positive opportunities that these meetings presented came in the networking and meeting with a variety of port users and port management staff, many of whom place a great deal of value in the stated efforts the club is making towards the broader common good. It is remarkable how much mileage came from the series CNN Inside Africa features on the Club, the Academy and the positive impact the recreational maritime industry can make on young lives. Also, there was positive press in an extensive article by Michael Morris in the Weekend Argus, that focussed attention on what the club is doing to change the social and cultural landscape around sailing. A young, fully integrated team won the Lipton Cup, and SAIMI took notice of it all and actively aligned with the club. We have subsequently engaged directly with the Port management, who have taken very clear note of the positive initiatives in which the club is engaging. They are frank about the shortfalls and that we are far from transformed or diversified. But they have noticed… and others have noticed. The V&AW noticed, and I have engaged in a number of fascinating meetings with them, discussing a far broader social and cultural investment project than simply the tenure of a club and moorings. RCYC could be the heart, mind and soul of this. Most recently, on 11 May 2018, the Port Consultative Committee presented their annual “Roadshow” to port users. Of critical importance across the extensive 5 hour “Roadshow” was the presentation of the Port Development Framework Plan, and the invitation to make formal written submissions to the TNPA with regard to the Port Development Framework Plan [PDFP]. This annually updated plan is a legislated requirement of the Ports Act.

TRANSFORMATION & FUTURE PLANNING REPORT - YEAR 2017/2018 The most critical development and change in the PDFP from the version published last year, is that the medium term plan has been rationalised and no longer indicates the infill of the Small Craft Basin until 2046. It also shows the usage of the Small Craft Basin as remaining “Maritime Community” – which is compatible with a Recreational Sailing facility. It previously indicated the infill of the small craft basin to become maritime engineering after 2023. It is a step in the right direction. We took the opportunity of the invitation to make a very positive written representation, which is documented on the RCYC website. So, what can you do as a club member committed to the future of Royal Cape? Get involved! Find a project that fits your outlook, research it, invest in it, and complete it. When the members of our club embrace this enmasse, we will not just be a leading sailing club in South Africa and Africa, but a real partner and example in the future of sailing having relevance in a broader society worldwide. I’ve heard it said: “To change the world, start with one step. However small, the first step is hardest of all.” In conclusion: Yes, our current lease does expire in December 2023, but with our collective commitment to a positive future; to diversity of and access to the sport of sailing, and its associated supporting maritime industries; to diversifying the membership of the club, I believe a meaningful and lasting future in the Port of Cape Town is within our reach. Frankly, diversifying our membership and introducing a broader audience to sailing should be our strongest focus…the rest will follow in due course. maybe it’s a bucket list thing... maybe it’s a repeat sailing addiction thing... maybe it’s a line honours record thing... maybe it’s a new year’s resolution thing... maybe it’s a double-handed thing... maybe it’s the adventure of a lifetime thing... The Cape to Rio is an Ocean Race across the South Atlantic between Cape Town and Rio de Janeiro. It dates back to 1971. It is the longest single transcontinental race in the world, and attracts club and professional sailors alike. The race connects the iconic, exotic and historic into an incredible cocktail of deep blue water sailing. Whether you are a hard-core racer, a family cruiser, or an avid adventurer, a memorable voyage awaits… The next edition of this Ocean Classic will be incorporated into the centenary celebrations of the Iate Clube Rio de Janeiro. It will also include a visit to St Helena Island, for those electing to enter the Cruising Class.

CAPE 2 RIO 2020 UPDATE For the Cape to Rio 2020 Ocean Race, there will be two starts. The first start, scheduled for 2 January 2020, will be for cruisers and lower handicap boats, and will be routed via a compulsory stop at the island of St Helena. The island is also now accessible via a commercial passenger airline, which adds the opportunity of a pit stop visit from non-sailing family and friends. The island stop is almost half way to Rio, being 1700 miles from Cape Town, and about 2100 miles from Rio. Sailing via the island will route yachts away from the heart of the windless South Atlantic High. By connecting the mid South Atlantic dots, the offering of a stop at St Helena adds considerable interest, value, and safety in numbers for the cruising community, and is sure to be popular. The mandatory 48 hour stop will be deducted from the cruisers elapsed time for the overall race, but there is no reason not to stay longer on the Island if you so choose. Either way, just 48 hours will be deducted. The second start, scheduled for 11 January 2020, will be for racers on higher handicap boats, racing directly between Cape Town and Rio. This is a more technically challenging route as yachts will need to negotiate and navigate the fine line between “cutting the corner� around the South Atlantic High, in a constant dance to save on overall distance sailed while keeping sails full and flying in reasonable wind. For the less conventional and eccentric adventurers, there has always been talk about sailing the other way around the windless South Atlantic high pressure system, especially in the seasons when it has moved further north, but remember that for safety reasons there will be a latitude limit set as to how far south you may sail. Boats in both starts may be eligible for the overall handicap prize of the South Atlantic Trophy for monohulls and the SAR&H Trophy for multihulls. There will be line honours prizes for both starts, but the official race line honours accolades will go to the racing class only, being the De Beers Line Honours Trophy for monohulls and the SA Marine Corp Trophy for Multihulls. The ORC rating platform will be used to calculate handicap times for monohull entries, and the Texel rating system will be used for multihull entries. The race time limit is set for noon on 1 February 2020. Response to the Preview to the Notice of Race, which was posted on the Cape to Rio Facebook page, has been very positive. The post reached 7850 people, was shared 48 times, and the page has an ever growing following numbering 5670 at the time of writing. A number of boats from the last and previous Cape to Rio Races have committed to entering again, and there are very strong indications that the Royal Cape Sailing Academy will enter their very own team aboard the refurbished One Tonner, Archangel. SAILING REPORT - YEAR 2017/2018 Royal Cape Yacht Club had a full and varied sailing season despite the fact we had a number of sailing events that were cancelled due to gale force winds. It was also the first time in Royal Cape’s history that an entire regatta was cancelled due to adverse weather conditions. THE CAPE 31 CONVERGENCE With flashes of vibrant colour and bursting energy, the Cape 31 fleet has inspired and wowed all-comers in its first year as an exciting one-design high-performance sports boat. It is encouraging to see how it has attracted sailors both young and old back into the sport of keelboat sailing. The exhilarating closeness of competition out on the water is nothing less than exceptional. The performance of the boat off the wind is spectacularly swift, and she’s no slouch upwind either. There are now 9 of the Mark Mills designed flyers on the water, representing an investment of over R20 million into the local boat building industry by the boat owners. This over and above the hefty investment in design and tooling made by the class originator, Lord Irvine Laidlaw. With three more launches to follow by August 2018, prospects for an exciting upcoming season of one design racing beckons... CLUB SUMMER AND WINTER SERIES The Sailing Committee took the decision to change the format of both the Club Winter and Summer Series this year by reducing the racing from 2 races to 1 bay race each afternoon. Once again it proved that winter sailing offers fantastic conditions often with light westerlies and flat seas. Krone continued with the sponsorship of the Series, with the provision of bottles of bubbly as prizes and many a crew enjoying an afternoon on the deck after racing. The Cape 31 Fleet joined the Summer Series, thus enabling us to start all the racing from a bridge boat. The Cape 31’s sailed 3 windward / leeward courses. FIN DE LA SAISON At this time of the year, forecasts can change a lot in the run-up to the weekend. At first a howling south-easter was predicted, then a gentle one and finally a south-wester. On the day, we had a flat sea with a light south-wester until the wind died completely forcing the race to be abandoned. Peter Bam from Hors d’Oeuvre summed up the day with a single word - whale-song. Southern Right whales were all over the course, huffing and puffing loudly. The sailing office had organised a prize giving and DJ on the deck afterwards. With no race results to celebrate, prizes were distributed at the whim of the MC, Joep Schoof. Thank you to the 28 boats who made the effort to take part. NOVAMARINE OVERNIGHT RACE It’s something special seeing our members sailing through the night in all kinds of conditions and emerging on the other side grinning from ear to ear. The Novamarine West Coast Offshore Race was a huge success. Race Chairman Geoff Meek, went back to the old format of the Sea Harvest Race, which was well received by the competitors. Conditions were ideal for the start with a howling South Easter gusting above 30kts for the Class A start. Neil Gregory (on Hollard Jacana) provided feedback on their experience: “In summary, the race was about 130 nm downwind in winds between 20 and 35 knots, then a beat / 2 sail tight reach in about 10- to 14 to Stompneus, followed by a couple hours of very light wind beating (between 3 and 8) then a 10 to 14 knot beat to North head, a 16 knot reach/run into Saldanha Bay and finally a two sail reach to the finish. This was a very fast race with us reaching Dassen Island, South Head and the turn mark at Elands Bay in amazing time. New top end records with boat speeds of 24 knots plus. LUFTHANSA TWILIGHT SERIES A total of 69 boats, across 7 classes, participated in the 11 races to make up this series. Out of the 17 races 7 were abandoned due to howling South Easters. The entry fees raised from these series totalled R38 000 and was donated to two benefactors, that being Community Chest and the NSRI. There was huge applause at the final prize-giving in March when Lufthansa announced that they would be back to sponsor another year of our Twilight Series. ON THE #SAILINGFORSOMETHING INITIATIVE This is an RCYC initiative where yachts and their crews align with and support a charity of their choice, raising funds and awareness. This initiative forms part of a broader outreach initiative by the club which also supports the NSRI and Community Chest through the Lufthansa Twilight Series. The above teams have raised tens of thousands of rands over the last two seasons! If you need any pointers, Luke Scott is the person to talk to. HARKEN ROUND ROBBEN ISLAND RACES The two Harken Round the Island races continue to be favourite with all boats at RCYC. Although many of the sailors would love the direction of the rounding of the island to be set by the race committee, leaving it up to each boat to decide makes these races unique. There is always much pre-race banter about which direction each skipper is planning to take. 43 boats entered in the October pursuit race - a 20 knot NW resulting in a beat to the island and exhilarating spinnaker run to the finish. The January race, with 54 rated yachts on the start line was the biggest ORC single start to date in South Africa – a remarkable achievement for local and national keelboat sailing! RISKAFRICA REGATTA The 2017 regatta was the fifth time the RISKAFRICA Regatta has been held and 14 boats were

SAILING REPORT - YEAR 2017/2018 used to host invited guests from around the country. The planned format was to sail a twilight race on the Friday and then a longer pursuit race around the bay on Saturday. Unfortunately Friday’s race was abandoned which forced the Race Chairman to sail two races on Saturday. The boats paraded through the Waterfront on Saturday morning displaying their corporate battle flags to the crowds on the water’s edge before heading out into the bay and onto the race course. DOUBLE HANDED SAILING Around the world, short-handed sailing is a popular format. It is a challenge to race a boat with only two people on board, but it also far easier to organise racing when you only need to find one other crew member in order to take part. The rationale behind open course racing is that people have less time and it is increasingly difficult to find a large crew that can race regularly. Double handed sailing has always been popular at RCYC and this season has been no exception. The camaraderie starts during the skippers briefing in the foyer, continues on the water and finishes with the drinks, snacks and prize-giving afterwards. Because each boat only has two crew it is possible for every single sailor who has taken part to sit around one large table for an hour or two of socialising. For those new to short-handed sailing it is a great opportunity to get advice and learn some tricks. Excelsior Wines have been a loyal sponsor of the Double-Handed series and provide their delicious wines both as prizes and for the enjoyment of the crews after each race. MYKONOS OFFSHORE REGATTA A very festive vibe was enjoyed by hundreds of sailors at Club Mykonos. It is almost unbelievable we had yet another north-wester for the race up to Langebaan. Despite this, the majority of the boats had a good race up the coast in a steady breeze. The reason many of us do the Mykonos Offshore race is for the pursuit race on Saturday. This year did not disappoint with a 15 knot south-westerly breeze and the usual flat seas. There are some fabulous photos of the fleet under spinnaker strung out in a long line across the bay. Phoenix was again the first boat across the line, with Cape Fling II in second and Nitro in third place. It was very special to watch these three taking on Warrior, Hollard Jacana, Raymarine Regardless and Radio Holland Gryphon in the stunning scenery of Saldanha Bay. I would like to say a special thank you to our team from RCYC, the Mykonos team and our volunteers. There is a huge amount of work that goes into an event of this size. Neville and Di Norton spend hours taking the times and running the races. The crew of Albacore sail up to Dassen the night before to set up the Harken gate first thing in the morning. FLING REGATTA There were a number of international sailors spotted on the likes of Phoenix, Cape Fling II and Nitro. The Fling Regatta has a reputation for innovation and good racing. Over the years, there have been a number of top International Race Officers brought in for the regatta and this edition was Stuart Childerley’s third in a row. A big thank you to the Fling Regatta benefactor, Lord Irvine Laidlaw who has undertaken to continue with his generous sponsorship for the 2019 event. SAP CAPE TOWN RACE WEEK SAP came on board as a title sponsor for this event and the plan was to have a daily prize giving followed by music and entertainment on the deck. Unfortunately the regatta never took place

SAILING REPORT - YEAR 2017/2018 due to gale force winds every day. Once again this the 1st time in Royal Cape Yacht Clubs history that a regatta failed take to place. SENIORS RACE With the entry list at 43 boats, our Race Chairman, Doug Alison, briefed the skippers at 12.30 of the course and harbour procedures for leaving the port. As this was a pursuit start, the first boat started at 14h00 with last boat in this ORC fleet heading off at 14h42. The overall winner was Peter Bam on Hors d Óevure, as well as being the the 1st Over 60. 1st Over 70 was Gordon Kling on Mwah and 1st Over 80 was Ernie Chicken on Nuthr Witch. SAILING OFFICE AND VOLUNTEERS RCYC is extremely fortunate to have two incredible, dedicated staff working full time on our sailing programme. Hilary Ackermann and Kerry Pryde who have now taken over the reins from Toni Mainprize and Fanie Naude put in a huge effort and many, many hours to make sure we all have the best sailing and racing in the country. Our boat Captain Geraldo Le Roux is our resident mark layer. They are assisted by a phenomenal team of volunteers, our Race Chairman, Race Officers, Protest Committees, mark laying, bridge crew and photographers. SAILING ACADEMY REPORT - YEAR 2017/2018 The academy owes its existence to many individuals too numerous to mention by name. It owes its culture to all club members and the history that is imbued in the waters of Table Bay. The boats that are used to allow the opportunity for youth to take up sailing have all been donated by various organisations, the club and club members. The club has carried the academy from inception, supporting it financially and providing necessary support and infrastructure to ensure its success. The initial impetus was to provide a channel for the youth to come to the club and have a space to acquire and grow their sailing skills. After a few years of success, the club then realised that the academy had to change its focus and allow opportunity for youth coming from backgrounds that had no path-way to the water, let alone yacht racing - this became an imperative. The stage had been set and what would follow would have to be equal to or better than the past. Lindani Mchunu would take up the new role of academy manager. The academy was in a state of flux facing some big challenges in how to bridge the divide. The incumbent Commodore was serving his last term and handing the reigns over to the next generation. Life as we all know works on the universal law of entropy, everything born is destined to die. So the question was how do we give the academy new life? The path was clear- we had to inject new ideas and systems for the rebirth of the academy. For the next couple of months the academy would embark on a trail of reinvention that would see many firsts. LIPTON CUP Through the continued sponsorship and support of Taverna, Vasco Da Gama and Kepu Trading, the academy is able to compete competitively building on success year after year. Building long term partners with shared visions being key. CPUT 2017 Due to the successful collaborations with South African Sailing and the Department of Sports and Recreation, the academy welcomed for the very first time, CPUT students from all Cape Town campuses who were all learning to sail for the very first time. This relationship would produce for Momelezi Funani, a CPUT student who elected to do his 6 month internship with the Club, an offer of taking up full time employment with the Academy which he accepted. EMAGQABINI FOUNDATION The relationship with this foundation, based in Khayelitsha, has grown from strength to strength to the extent that we received a whole new group of students from the foundation. This puts the tally of students to an amazing 20 girls who are all committed to our program. Out of these groups of girls, one has stood out and is showing true promise for the future - her name is Yonela Temela. Our relationship with Khayelitsha and its various foundations can only grow from strength to strength.

SAILING ACADEMY REPORT - YEAR 2017/2018 YOUTH SAILING INDABA In collaboration with Karen Slater, Lindani Mchunu established the first Youth Academies Sailing Indaba at the Royal Cape Yacht Club - the event was an all-round success and saw a few clubs come together under one roof and discuss the future of youth sailing, its challenges and how we can improve as a whole in getting more grass root development taking shape in townships and other challenged communities. Everyone walked away in agreement that more collaboration and coordination would yield better results. MARINE INSPIRATIONS The academy has a wonderful partner in Marine Inspirations based in Palma Mallorca. One of our students was afforded an incredible chance to go and take part in the Super Yacht Cup last year with more students taking part again this year. Learning about the Yachting industry in Europe and the racing circuit of the top boats and professionals is but one of the benefits. This trip serves to expose our young sailors to the maritime and yachting world at the highest level and hopefully inspires them to work harder and reach for their dreams. TABLE MOUNTAIN WALKS The academy lost a friend and a patron in Ian Slatem. We warmly refer to him now as Silver Moon and he will stay in our hearts for many years. The kids conquered not only the mountain but themselves and realised their limitations are only constructs of their minds. CNN INSIDE AFRICA A wonderful opportunity was presented to the academy to be featured in an Inside Africa episode covering the water front and the new Mocca Museum. This was such a success that a further three more episodes were shot featuring many aspects of our program and the various organisations we work with. This feature in CNN gave us a strong media presence and opened up a few more doors for us along the way. VOLVO OCEAN RACE The Volvo came into town and took over the city. We were asked to organize a match racing event in the waterfront to showcase our kid’s skills. The kids were taken on the Volvo boats, got to meet the professional sailors, went to the sail loft and saw all the back-end organisational aspects of the race. It was a truly mind-blowing experience for the youth and their dreams were brought closer to reality in the few days they spent mingling with the best sailors in the world. SOUTH AFRICAN INTERNATIONAL MARITIME INSTITUTE. SAIMI. After lengthy meetings and back and forth emails, drafts and redrafts of agreements, we were able to secure a whale -Moby Dick stuff. Operation Phakisa is the National Government’s vehicle for stimulating growth in the Blue economy which includes the yachting industry. Somehow, through

SAILING ACADEMY REPORT - YEAR 2017/2018 foresight and sheer tenacity, the academy was able to secure the organisation tasked with driving the key objectives of operation Phakisa as our main sponsor. Through their sponsorship and support the academy will be able to afford our students all Yachting and maritime related qualifications. Not only will it qualify our students with locally recognised tickets, but also international offshore tickets as well as making them employable beyond our shores. The academy’s footprint is going to be national and within a few years international. SAIMI has committed themselves to a 5yr partnership with our academy and great things are afoot. TRANSNET MARITIME TRAINING CENTRE’S There have been extensive talks with Transnet in terms of collaborating with their training centres in the near future to ensure synergy and possibly creating beneficial programs which aim to promote a student exchange channel whereby some of their potential cadets come and learn how to sail with us and gain confidence in the water and some of our students interested in pursuing a maritime career go and join their training centre for further study. PRESENT DAY As things stand we have about 70 academy students and probably will be sitting at around 100 by year end. We have trained a few new skippers and have retained a star in the making in the form of Sibu Sizatu, who will be heading up our training program as senior instructor and ably supported by two junior instructors, all SAS accredited. Arch Angel is on the hard and we are grafting away getting her ready to kick start our offshore campaign and hopefully in the future all the way to Rio. The path from here is laid out for us. There is an incredible amount of work to be done, but what we are sure of is we have long passed the point of no return - there is no going back to what we were before and we are pretty sure we are not going to remain where we are right now either. We can only set our sails accordingly, steer the right course and aim for our destination. At times it has been a moving target, yet our north star is empowering kids and as long as we are doing that, we are not lost at sea. INSIDE HOUSE REPORT - YEAR 2017/2018 Dear Royal Cape Yacht Club members, It feels like only yesterday when I sat down to write you last year’s report, a sign that it has been a good and active year at the Club. Firstly, I wish to once again thank you for the opportunity given by you the members, for me to be involved with the Club in this position. For the Inside House team, it has been a good year overall that however did present us with a suite of challenges. Having said that I am proud to see how the team has navigated itself to handle amongst others the water crisis coupled with a suppressed market which made it tough to achieve the set-out targets financially. There were many highlights though, some of which I would like to reflect on; This year we started with a phased approach of upgrading and refreshing our public spaces which resulted in the opening of the re-vamped Alcove space. It is evident from your feedback that this has been well-received and has given the ISH the encouragement to further roll out the scheduled upgrades in our restaurant and main hall areas. As the corporate activities are relevant to our financial sustainability as a Club, time and effort has also been spent on the Regatta Center in improving the acoustics as well as festooning a more representative hallway with a fine selection of club historical pictures. Interestingly though, this year has shown a substantial growth in functions being held at the Club which greatly assists the Inside House committee with our annual budgets and pricing advantage for you, the members. I would like to invite each and every one of you to broadcast this to your corporate relations for their enjoyment and our benefit. The mentioned drought situation accelerated quite rapidly at the start of this calendar year and in an effort to reduce our consumption, the ISH team assisted with relevant investments in water saving devices as well as changing habits and work flow practices. Some of these initiatives include installing waterless urinals, aerators in the showers and taps, and introducing wine sleeves instead of ice buckets, but there are many more examples. As for the ISH team, after the changing environment of last year which saw some structural team changes, this was a year of the team settling in and getting their heads down into delivery. The culinary team under the guidance of Jacques and Chad has really taken great shape with some excellent consistent feedback coming through. Whilst we realize that in a service industry you are only as good as your last service, I’d like to acknowledge the growth we have seen in your appreciation on the quality delivered.

INSIDE HOUSE REPORT - YEAR 2017/2018 The mentioned corporate events at the club have really taken great shape this year and shown a strong growth year on year. I can positively contribute this to the efforts of Natalie, who has taken to the streets to deliver some excellent events for well-known corporates and to the great satisfaction of our outside clients. The front of house team has shown some real strength this year and it is great to see the internal promotions within affording development opportunities for our team members. All of this was well brought together by Wesley who has really come to form in his role as F&B manager since his return to the Club. He has shown to be ready and willing to bring new ideas to the table and deliver on them. I am equally grateful to the members of the Inside House Committee - Martina Schmidt, Tim Jones and Alex van Nes as well as the newly co-opted Andrew Jones who represents a breath of fresh air with his youthful insights. OUTSIDE HOUSE REPORT - YEAR 2017/2018 RCYC Outside House is run by a dedicated team consisting of: RCYC Management Boet Koopmans - Marina Manager; Elliot Magadlela – Assistant Marina Manager Sam Pambili – Newly appointed hard area Supervisor; Diane Bright – Marina Secretary Toni Mainprize – General Manager guided by: Outside House Committee consisting of: Dave Elcock, Chrome Hunter, Ian Henderson, Alan Haefele To give some idea of what takes place on a daily basis, Boet has pulled out a few statistics for the 6-month period (total of 124 working days) from September 2017 to February 2018 which you may find interesting. RCYC Outside House Marina Staff have over this 6-month period, successfully carried out more than 550 individual safe lift operations totalling close on 4150 metric tons. This includes the lifting of all boats belonging to our members, visitors and our valued Corporate member – Robertson & Caine who have supported us for many years. This was done safely and without incident, a testament to the well-established expertise and teamwork of all involved. As we are only able to launch Roberson & Caine catamarans weighing less than 18 tons, we in conjunction with Roberson & Caine have been looking at the possibility of either upgrading our existing crane or perhaps replacing our crane with a new one that can lift all their boats (with the stepping of masts going forward). Hopefully we will have an outcome on this matter shortly. Apart from the activities with the crane and the hard as well as the constant and ongoing maintenance of the buildings, crane, slip and moorings – the following have also been achieved: • Elliot Magadlela has been appointed and has excelled as the new Assistant Marina Manager • Sam Pambili has been appointed as the Hard area Supervisor • The Slip has been refurbished and the uprights replaced. • Our Slip Winch House has been rebuilt • All our R&C Marinas on M Berth have been refurbished and some replaced • Two major marina refurbishments have been successfully undertaken under two successful Insurance claims

OUTSIDE HOUSE REPORT - YEAR 2017/2018 • Control of our electricity and water distribution has been re-established and rectified going back 3 years • We are in the process of building additional hard area contractors’ ablutions. • We introduced a successful “1 free lift per year” to reward qualifying boat-owning members • Marina Management has introduced a “Moorings in Front swop policy” – for a maximum of 3 months on application which is on a first come first served basis. This is to overcome what has been a bone of contention in the past • A RCYC Right of 1st refusal policy when any Mooring Right Agreement changes hands has been introduced • We are busy with a new agreement with our Corporate Members including R&C • We have almost completed the re measuring and auditing of all moorings • We are in the process of reviewing the costing and pricing of all Marina services applicable to all boat-owning members, visitors and corporate member categories with the aim of making the Marina services more equitable, profitable and efficient. We are pleased to report that everything was achieved significantly under budget and most importantly in a safe manner. Once again - I think you will join me in congratulating our professional team for a job well done. I would also like to thank my Outside House Committee as well as all the members who have supported and assisted us throughout the year, especially the wisdom and advice of past Commodores and Committee members who readily offered their time and expertise in solving some difficult problems. Although there were similarities between 2017 and 2018, 2018 proved to be slightly different. In spite of not hosting the Cape to Rio Race and lacking a few sponsors this year, the Income Statement was similar:• Income was up by 4.39%, R27 063 039 compared to R25 924 193 • Expenses were up by 4.5%, R25 370 039 compared to R24 285 596 and • Surplus for the year increased by 15%, R1 987 796 compared to R1 727 625. HONORARY TREASURER’S REPORT - YEAR 2017/2018 As I predicted in my report last year, Functions have gained traction and its revenue has increased significantly, up 40% from R870 909 in 2017 to R1 221 795 in 2018. Functions not only serve our members well, but allows the club to be seen by the general public which is a good source of potential members. Other turnovers were marginally up with inflation:• Bar and Restaurant were up 3.5% from R8 349 199 to R8 645 642 • Moorings, up 6.1% from R5 793 323 to R6 147 432 • Subscriptions up by 6.5% from R4 194 554 to R4 470 327, and • Hard slip and crane fees up 8% from R2 889 899 to R3 123 044. One real detractor was Sponsorship which was down 44% from R2 992 485 to R1 664 590. The main reason for the decline was not hosting the Cape to Rio Race this year. Having said that, Sponsorship is still up by 33% from 2016, which is not bad considering the low business confidence experienced in our country over the last 2 years. HONORARY TREASURER’S REPORT - YEAR 2017/2018 We have also managed to grow a much stronger balance sheet. Retained Income has grown from R12 613 919 in 2016 to R14 341 544 in 2017 and R16 329 340 in 2018. Cash assets are up, over the last two years, by 60% from R9 979 000 in 2016, R12 071 919 in 2017 and R15 973 941 in 2018. We have had great success in tackling bad debt and reducing our debtors. Our Debtors Book is more current and the potential for bad debts in the future has been significantly reduced. In 2016 it was R1 371 622 which then increased by 50% to R2 057 150 last year. This year, it is down to R630 612, 46% of the 2016 value. A very good improvement indeed. Our current Liabilities are up a bit at R2 816 018 in 2018 compared to R2 306 252 in 2017 and R1 827 173 in 2016. The increase in our Liabilities is partly due to deposits for Functions, which operations have grown significantly in the last year. RCYC is a good payer and we do pay timeously. During this last year the club has spent money wisely in reducing potentially high water bills and on office infrastructure in order to create more office space and to keep the offices in class with our club. In updating the office infrastructure we are now accommodating SAIMI (South African International Maritime Institute), who are to be a strategic partner in keeping sailing alive in Cape Town and in South Africa. To ensure longevity of the Club, it would help for the Club to become a Maritime Key Point and Cultural Centre. Over the last year, the RCYC has also registered a NPO for the Royal Cape Sailing Academy to become an independent enterprise. This NPO, together with the RCYC, promise to shape, in a positive way, many underprivileged children to become somebody in adulthood. The Academy over the last year has become very active under Lindani and the future looks very bright for the Academy. In the financial statements you may notice that the capital reserves go to zero. These balances comprised of donations received for the academy sailing development. Therefore, we transferred these donations from the RCYC to the new NPO, RCYC Sailing Academy. We have formed a WhatsApp group called Treasury which involves Amanda the FM, Toni the GM and myself the HT. The GM has become really involved in the accounts and as a result of these synergies, Treasury has become a force to be reckoned with. This bodes well for the future. The last 2 years have been very good as we have had good leadership from the Flag Officers and Committee who put in a lot of time to ensure that RCYC get through the challenges it is presented with. HONORARY TREASURER’S REPORT - YEAR 2017/2018 The Finance committee, for their support and guidance over the year. It has been my pleasure to work with Vitor Medina, Luke Scott, Alan Haefele, Neil Gregory, Dave Garrard, Joep Schoof, Amanda Munitz and Toni Mainprize on this committee. The Auditors, and the Audit committee who have comprehensively reviewed the operations of the club, completing the annual audit and offering valuable ongoing advice. Thank you to Vitor Medina, Henry Du Plessis, Carl Bosma, Ivor Sindler, Carl Beekmans, Andre Jansen van Rensburg and Anzelle Botha. Thank you to the Commodore Vitor Medina, Vice Commodore Luke Scott and my colleagues on the general committee for their competence and commitment, which is of a very high standard. I have enjoyed serving the club over the last 2 years. I now pass the baton to David Garrard who is more than qualified for the job, as he can spell the word Yacht, knows what a winch handle is used for and he, himself, is an accomplished accountant! David, I wish you all the best, you have a good team on your side to deal with the interesting challenges ahead. The RCYC is quite an enterprise, an asset to the City of Cape Town. I am hoping that in a short time, this club is recognised by the City and National Government as a Maritime Key Point and Cultural centre. CONSTITUTION OF THE ROYAL CAPE YACHT CLUB 1.
NAME
The name of the Club shall be ROYAL CAPE YACHT CLUB. (With which is incorporated the TABLE BAY YACHT CLUB). The shortened form of the Club’s name shall be “ROYAL CAPE YACHT CLUB”. 2.
OBJECT
The object of the Club shall be: 2.1 The promotion of yachting on Table Bay and adjacent waters. 2.2 The provision of facilities for members within the Table Bay harbour area. 2.3 The promotion of good seamanship amongst members. 2.4 The performance of all such other activities as is incidental to or conducive to the attainment of the above objects or any of them. 3.
MEMBERSHIP 3.1
The membership of the Club shall consist of – 3.1.1 Ordinary Members. 3.1.2 Intermediate Members. 3.1.3 Life Members. 3.1.4 Family Members. 3.1.5 Partner Members. 3.1.6 Junior Members. 3.1.7 Cadet Members. 3.1.8 Absentee Members. 3.1.9 Associate Members. 3.1.10 Honorary Life Members. 3.1.11 Honorary Members. 3.1.12 Temporary Members. 3.1.13 Reciprocity Members. 3.1.14 Corporate Members.
3.2
Ordinary Members shall consist of all members who usually reside or work within a radius of 80 kilometres of the club house, who do not fall within one of the other categories of membership.
3.3
Intermediate Membership is to bridge the difference between a young Member not qualifying as a Student, but being under the age of 28.
3.4
Life Members shall consist of those members who on 26 June 1981, were entered in the Register of Members as Life members. They shall have all the rights and obligations of Ordinary Members save that they shall be exempted from all further liabilities for subscriptions. Any reference to “Ordinary Members” in this Constitution or any bye-laws made thereunder shall be deemed to include a reference to Life Members save in so far as it relates to an obligation to pay subscriptions. When the Club no longer has any Life members then this Constitution shall in ipso facto be amended by the deletion of all reference to Life members.
3.5
Family Members shall consist of those members who are the spouses or school-going children of Ordinary Members; provided that a spouse may elect to be an Ordinary Member and a child may elect to be a Junior Member. Provided further that a wife who is a Family Member at the time of her husband’s death shall be entitled to continue being a Family Member

3.6
A Partner Member shall be a person nominated by an Ordinary Member who has not utilized the Family Membership category. Election and fees of Partner Members shall be as per Family Membership. The nominating Ordinary Member shall be wholly responsible for both the payment of fees and the conduct of the Partner Member, whose Membership card shall include such Ordinary Member’s name. A Partner Member shall be cancelled upon request by that Ordinary Member who shall then be entitled to nominate an alternative Partner.
3.7
Junior Members shall consist of members who are under the age of 21 years or who, being over the age of 21 years, are serving articles or an apprenticeship, or who are enrolled as students in full time study at a University, Technikon or other institution of tertiary education, provided that a member above the age of 21 years may elect to be an Ordinary Member or an Intermediate Member. Junior membership is to be applied for on an annual basis and the Membership Committee to use their discretion in granting this membership.
3.8
Cadet Members shall consist of members who are under the age of 18 years, provided that such members may, if they qualify, elect to be Family Members or Junior Members.
3.9
Absentee Members shall consist of members who ordinarily reside outside a radius of 80 kilometres from the Club premises or who during a particular year will be away from their normal residence for more than eleven months of that year and who give notice of such fact to the Club, provided that such members may, if they qualify, elect to be Ordinary Members.
3.10 Associate Members shall consist of members who have been Ordinary Members for not less than 20 years, do not habitually use the Club and who apply for such membership. 3.11 Honorary Life Members shall consist of persons who have rendered distinguished service to yachting or the Club and who, on the recommendation of the Committee, have been elected as such by the Club in a General Meeting. 3.12 Honorary Members shall consist of persons who have been granted such membership by the Committee for no more than a year at a time for good cause. 3.13
Temporary Members shall consist of persons – 3.13.1 Visiting Cape Town by yacht and wishing to use the Club’s facilities during the course of their visit. 3.13.2 Participating in a regatta or function organised or hosted by the Club. 3.13.3 Wishing to join the Club but are unable to do so because they have not known members for sufficient length of time who can propose or second them: 3.13.4 To whom the Committee in its discretion has granted such membership for a limited period of time not exceeding: 3.13.4.1 One (1) month in the case of persons mentioned in 3.1.12.1 which period may be extended from time to time.
3.13.5 The period of the regatta or function in the case of persons mentioned in 3.12.2 3.13.6 Six (6) months in the case of the persons mentioned in 3.12.3 3.14 Reciprocity Members shall consist of members of other yacht clubs with whom the Club has Reciprocity. 3.15 Corporate Members shall consist of persons who are bona fide employees and management of a business enterprise who, through its authorised officer, may nominate such persons for one year at a time and who may substitute any such member for another provided such alternate nominee applying for membership as provided for in terms of clause 4 below.

A business may apply for a minimum of three corporate members and a maximum of ten, unless the Committee sanctions such higher number. 3.16 Notwithstanding anything to the contrary herein contained, no person residing within 15 kilometres of the Club premises shall be eligible as an Honorary or Temporary or Reciprocity Member of the Club except where: 3.16.1 Such person holds a public office or is a bona fide candidate for membership or has conferred some special benefit upon the Club: Or 3.16.2 By resolution of the Committee such person is allowed the privileges of membership while engaged in any competition. 4.
ELECTION TO MEMBERSHIP 4.1
A person wishing to join the Club shall be proposed by an Ordinary or Honorary Life Member and seconded by another, both of whom shall have been members for not less than six (6) months and shall apply in such manner and furnish information as the Committee may from time to time determine, provided that this provision shall not apply to a person wishing to join as a Temporary or a Corporate Member who shall do so in such manner as the Committee may from time to time determine.
4.2
All proposals for membership together with a photograph of the nominee shall be posted on the Club notice board for a period of not less than fourteen (14) days prior to being considered by the Committee. Any member having any information which he considers relevant to such proposal shall be entitled to bring such information to the attention of the Committee within such fourteen (14) day period. The provisions of this clause shall not apply to Temporary Members.
4.3
The election of members shall be vested in the Committee, who shall vote by a show of hands. The Committee shall not be obliged to furnish reasons for any decision. A rejected candidate may not be re-proposed for at least twelve (12) months after his rejection.
4.4
Any person elected as a member of the Club shall be bound by the Constitution, rules and bye-laws of the Club in force from time to time.
4.5
A member, other than an Honorary Member or a Temporary Member, wishing to transfer from one class of membership to another, may do so on application to the Committee without the need of again complying with paragraphs 4.1 and 4.2.
4.6
No member shall have any right, title or interest in or to the property or funds of the Club.
4.7
Only Ordinary and Honorary Life Members shall be entitled to a mooring in waterspace controlled by the Club.
4.8
A member shall cease to be a member: 4.8.1 4.8.2 4.8.3
Upon his death or resignation; If his estate is sequestrated or he is convicted in a court of law of some grave offence, provided that in either case the Committee may reinstate him subject to such conditions as it deems fit if he applies for such reinstatement; If his membership is terminated in terms of any other provision of this Constitution.

5.
GENERAL MEETINGS 5.1
The Annual General Meeting of the Club shall be held during June of every year on such date as the Committee may determine for the purpose of: 5.1.1 5.1.2 5.1.3

Presentation of the Annual Report of the outgoing Committee; Presentation of the Financial Statements for the preceding financial year ended 31 March; Confirmation of the entrance fees, subscriptions and mooring fees for the current financial year in accordance with the provisions of clause 8;
5.1.4
Election of a President, two Trustees and Honorary Life Members, if any;
5.1.5
Election of the Committee for the ensuing year;
5.1.6
General business.
5.2
Special General Meetings of the Club may be held at any time determined by the Committee, provided that the Committee shall convene a Special General Meeting if requisitioned thereto in writing by not less than fifty (50) Ordinary members stating the purpose of the meeting.
5.3
A Special General Meeting shall have the power to raise, discuss and decide only such specific matters as have been set out for consideration in the notice of the meeting.
5.4
General meetings shall be convened by the Committee, who shall give notice thereof on the Club notice board and in writing to all members; such notices shall be displayed and posted, as the case may be, not less than 14 (fourteen) days prior to the holding of the meetings and shall set out the agenda. Notice may be given to the member by electronic mail, in which event it shall not be necessary to post a notice to such member.
5.5
A quorum shall consist of not less than such number as constitutes Five Percent (5%) of the Ordinary Members of the Club present in person. No business shall be transacted at any General Meeting unless a quorum is present, provided that if a quorum is not present at an Annual General Meeting within 15 minutes of the time stipulated for the meeting, the meeting shall stand adjourned to the same time the following week and the Ordinary Members then present shall form a quorum.
5.6
The Senior Flag Officer present, or failing him, a member selected by those present, shall preside as Chairman at every General Meeting, provided that the President, or failing him, a Member appointed by those present, shall preside at the Annual General Meeting during the election of the Commodore.
5.7
The Chairman may, with the consent of any meeting at which a quorum is present and shall, if so directed by the meeting, adjourn the meeting from time to time and from place to place, but no business shall be transacted at any adjourned meeting, other than the business left unfinished at the meeting at which the adjournment took place. In the event of a meeting being postponed, notice of the postponed date for the meeting shall forthwith be placed on the Club notice board.
5.8
At any General Meeting, a resolution put to the vote of the meeting shall be decided by Ordinary and Honorary Life Members on a show of hands save that the election of Committee Members at Annual General Meetings shall be by ballot. A declaration by the Chairman that a resolution has, on a show of hands been carried, or carried unanimously, or by a particular majority, or negatived, and an entry to that effect in the book containing the minutes of the proceedings of the meeting shall be conclusive evidence of the fact, without proof, of the number or proportion of the votes recorded

in favour of or against such resolution. In the case of an equality of votes, the Chairman of the meeting shall be entitled to a second or casting vote. 5.9
Every Ordinary and Honorary Life Member present at any general meeting shall have one vote, provided that all members who on 20 June 1991 were entered in the Register of Members as Associate Members shall continue to enjoy the right to vote at any General Meeting for so long as they remain members of the Club. When the Club no longer has any members who on 20 June 1991 were entered as Associate Members this Constitution shall ipso facto be amended by the deletion of the provisio to the preceding sentence and by the deletion of this sentence.
5.10 Other classes of members may attend and with the consent of the Chairman address the meeting, but shall not have any vote. 5.11 A member who is eligible to attend and vote at an Annual General Meeting but who will not be able to attend the Annual General Meeting shall be entitled to cast a special vote in regard to the election of committee members in accordance with the following provisions: 5.11.1 The member shall apply in writing to the Club for a printed voting paper. 5.11.2 The Club shall furnish the member with a voting paper and an identification envelope bearing the words “Voting Paper” printed thereon and the following declaration: I, ............................................................................................. being a member of Royal Cape Yacht Club in good standing and eligible to attend and vote at an Annual General Meeting do hereby declare that the enclosed voting paper has been marked by me personally: (followed by a place for signature and date). 5.11.3 The voting paper shall bear the names of the candidates for each office being voted for in alphabetical order. 5.11.4 The member shall mark upon the voting paper a cross against the name of the candidate/s for whom he intends to vote and shall thereupon place the voting paper in the identification envelope, seal it and sign the declaration appearing thereon and post or deliver it to the Club in an envelope marked “Voting Paper” so as to reach the Club at least by 16h00 of the Friday preceding the date of the Annual General Meeting, failing which the vote shall be invalid. 5.11.5 The sealed vote shall be opened and counted at the time of counting the votes cast at the Annual General Meeting at which the relevant election takes place, by the adjudicators who are appointed at the meeting for the counting of the votes. 6.
COMMITTEE 6.1
The affairs of the club shall be managed by a Committee which shall consist of: 6.1.1 The Flag Officers, being the Commodore, Vice-Commodore and three Rear-Commodores, one of whom shall be designated as Rear-Commodore, Sailing; another as Rear-Commodore, Inside House; and the third as Rear-Commodore, Outside House. 6.1.2

6.2
The Committee shall be elected annually at the Annual General Meeting provided that: 6.2.1 Only Ordinary Members, who have been members of the Club for at least two years, shall be members of the Committee. 6.2.2 6.2.3

A Flag Officer shall have been a member of the committee for, at least, one year. The Commodore and Vice-Commodore shall be owners of yachts recorded on the Club register.
The immediate past Commodore shall ex officio be a member of the Committee for the year following his vacating of the office. The Committee shall meet once a month or more often if necessary and shall keep proper minutes of its proceedings.
6.5
A quorum of the Committee shall consist of five (5) members, at least one of whom shall be a Flag Officer.
6.6
The Senior Flag Officer present shall act as Chairman at Committee meetings.
6.7
The Chairman shall have a casting vote.
6.8
A Committee Member shall cease to hold office if: 6.8.1
He ceases to be a member of the Club.
6.8.2
He resigns from office.
6.8.3
He becomes insolvent or assigns his Estate for the benefit of his creditors.
6.8.4 6.8.5
He is convicted in a court of law of any grave offence. He absents himself from three consecutive meetings without first having obtained leave of absence, unless he shall furnish a reasonable excuse. The Committee by the decision of three-quarters of its members resolves that his membership of the Committee should for good reason terminate, such as a dereliction of his duties as a Committee member provided that the Committee member shall have the right to appeal to a Special General Meeting of members convened for such purpose against such decision.
6.8.6

Not later than 15 April each year the Committee shall cause a notice calling for nominations for the Committee to be posted on the Club notice board and to all Ordinary members. Notice may be given to the member by electronic mail, in which event it shall not be necessary to post a notice to such member.
6.10 Nominations for the Committee shall be in writing, shall be signed by the Nominator, Seconder and the Nominee, and shall be lodged with the Manager of the Club by not later than 15 May prior to the Annual General Meeting at which the election is to take place. All nominations shall be displayed on the Club notice board for not less than fourteen days prior to the said Annual General Meeting. Only Ordinary Members and Honorary Life Members shall be eligible to nominate or second Committee Members. 6.11 Any vacancy occurring on the Committee during its term of office may be filled by co-opting an Ordinary Member to the vacant position. Such co-opted member shall hold office until the next Annual General Meeting provided that if a vacancy should occur in the office of Commodore or Vice-Commodore the co-opted member shall only hold office until the Committee can reasonably call a Special General Meeting for the purpose of electing a member to fill the vacancy. Members shall be informed of any co-option as soon as practically possible. 6.12 If no nominations for a vacant position are received, a vacancy shall be declared and clause 6.11 shall apply.

7.
POWERS OF THE COMMITTEE
The Committee shall have power; 7.1 To buy, sell, let, hire, exchange, transfer, receive by way of donation or otherwise, movable and immovable property, including debentures, stocks and shares, provided that: 7.1.1 Any major transaction in respect of the club premises (including water space) shall first be approved by the Club in a General Meeting; And: 7.1.2 Provided further that the property of the Club shall be vested in two Trustees from time to time who shall be elected at the Annual General Meeting and who shall hold same in trust on behalf of the Club. 7.2
To borrow money on the security of immoveable property, and pass mortgage bonds on the same, provided that all loans shall first be approved by the Club in General Meeting.
7.3
Generally to deal with the property and funds of the Club for the purposes of the Club, provided that all major capital expenditure shall first be approved by the Club in General Meeting.
7.4
To institute and defend legal proceedings in the Club’s name and perform all legal acts and execute such legal documents as may be necessary.
7.5
To make, amend and rescind bye-laws not inconsistent with this Constitution for the regulation of the affairs of the Club; all such bye-laws shall be notified to Members as soon as possible after adoption by means of publication in the first Newsletter following adoption and shall be recorded by the Secretary in a book kept expressly for that purpose.
7.6
To co-opt additional members for the purpose of serving in a temporary capacity on the Committee or any Sub-Committee.
7.7
To appoint Sub-Committees, consisting of a convenient number of Members, for any special purposes.
7.8
To consider and decide applications for membership.
7.9
To arrange terms of reciprocity and affiliation with other clubs, should they consider it in the interests of the Club.
7.10
To elect Club Consuls who shall be Members (including Honorary Members) to represent the interests of the Club in specific areas in South Africa or abroad.
7.11
To determine, from time to time, the entrance fee and subscriptions payable by each class of member in accordance with the provisions of clause 8
7.12
To investigate and decide whether a Member is the owner of a yacht.
7.13
To appoint and terminate the employment of staff for the Club and to arrange their conditions of employment and remuneration.
7.14 Generally to administer and manage the affairs of the Club. 7.15 8.
To review decisions of the disciplinary committee in terms of 14.2 and to hear appeals in terms of 14.3.
ENTRANCE FEES, SUBSCRIPTIONS AND MOORING FEE CHARGES 8.1
The entrance fees, subscriptions and mooring fee charges shall be as determined from time to time by the Committee provided that:

8.1.1
The annual subscriptions for Ordinary Members shall, pursuant to the provisions of the Liquor Act, be at least R12-00 (twelve rand). 8.1.2 A member, other than an Honorary Member or a Temporary Member, shall not be required to pay any additional entrance fee when transferring from one category of membership to another. 8.1.3 The entrance fees, subscriptions and mooring fee charges so determined shall be subject to confirmation at a General Meeting to be held within three (3) months of such determination and shall be deemed to have been so confirmed, unless rejected by two-thirds majority of such general meeting. 8.1.4 The Committee may waive the requirement that entrance fees be paid, or may reduce the amount of such fees at such times or for such period as it determines, if it deems it appropriate.

8.2
All subscriptions and mooring fees as determined by the Committee in terms of 8.1 shall fall due on 1 July each year and shall be paid either in full within 30 (thirty) days of due date or in 12 (twelve) equal monthly instalments on the last day of every month with effect from the last day of July each year. In the event of a member wishing to pay in instalments: 8.2.1 The total of the annual subscription shall be increased by such amount as the Committee may determine and the general meeting may approve in accordance with 8.1.3 to cover interest and collection charges. 8.2.2 The member shall, prior to the end of July, notify the Club and furnish the Club either with post-dated cheques to cover the outstanding monthly payments, or sign a bank debit order in respect thereof or make such other arrangements as may be acceptable to the Committee.
8.3
Members elected to membership during the course of a year will be liable for a pro rata share of the annual subscription as from the first day of the month in which they are elected to membership. 8.3 bis Entrance fees shall be payable at the time of a person applying to join the Club provided that an applicant for membership may elect to pay his entrance fee in 12 (twelve) equal monthly instalments with effect from the date on which he is admitted to membership. In the latter event the amount payable shall be increased by such amount as the Committee may determine and the General Meeting may approve in accordance with 8.1.3 to cover interest and collection charges and the provisions of 8.2.2 shall apply, mutatis mutandis, to such payments.
1.4
The Committee shall be entitled, on good cause shown, to reduce the subscription payable by any member for such period and upon such terms as the Committee may decide.
1.5
An Ordinary Member of or above the age of sixty-five (65) years who has been a member for not less than fifteen (15) years shall be entitled, on application, to such reduced subscriptions as may be determined from time to time.
1.6
The Committee shall be entitled to differentiate between the subscriptions payable by Absentee members who are permanently resident within the Republic of South Africa and those who are not.
1.7
Any member intending to resign from the Club shall in writing notify the Secretary of such resignation on or before 30 June in any year, and shall otherwise be liable for his subscription for the ensuing year.

1.8
A member who has been expelled or suspended, or who has resigned after 30 June during any year: 1.8.1 Shall remain liable for such payments, fees, subscriptions and mooring fee charges still due and unpaid by him. 1.8.2 Shall not be entitled to recover any sums by reason of the termination or suspension of his membership prior to the end of the current subscription year.
1.9
Any Member who fails to pay any amount owing to the Club, irrespective of the cause of the debt, within 3 (three) months of due date shall cease to be a member of the Club and his name shall be posted on the Club Notice Board, provided that the Committee shall be entitled on good cause to grant a member extended terms for the payment of his subscription or mooring fee.
1.10 The Committee shall be entitled to impose such penalty in respect of overdue payments by members as it may consider appropriate in the circumstances. 9.

CLUB RECORDS AND ACCOUNTING 9.1
The Committee shall keep proper records and books of account of the affairs of the Club including a Register of Members and a Register of Yachts.
9.2
The Committee shall cause the books of account to be audited annually by an auditor who may be a member of the Club, but shall not be a member of the Committee.
9.3
The Committee shall operate a club banking account with such bank or banks as the Committee may decide. All cheques drawn on account of the Club shall be signed by at least two (2) persons, who may be members of the Club’s permanent staff, in accordance with such signing procedures as the Committee may from time to time determine, provided that at least one of the signatories shall be the chief executive officer, or the administrative manager, or a committee member; and provided further that all payments up to the 20th day of a month shall be tabled for ratification by the Committee at the next following general committee meeting.
PROHIBITION AGAINST THE USE OF CLUB FOR BUSINESS 10.1 No member shall use the club address on any communication intended to appear in any newspaper, periodical or publication, or for use on radio or television, except such communications as may be authorised in writing by the Committee, nor shall any member use the Club address for business purposes. 10.2 No member shall carry on any business activities from the Club premises unless authorised in writing by the Committee. 10.3 No person shall be eligible to be or continue as a member of the Club who, in the opinion of the Committee, abuses for business reasons the privileges of membership. 10.4 No yacht used for Commercial Operations shall be on the Club’s register or enjoy the facilities of the Club, unless the Committee in exceptional circumstances otherwise agrees upon such conditions as it may deem fit.
11.
MISCELLANEOUS PROVISIONS 11.1 Every member shall cause his or her address or any change thereof to be recorded with the Secretary.

11.2 Any notice or communication of whatever kind to a Member shall, on being posted in an envelope, bearing such address as at the time of posting is recorded in the Club’s records or transmitted by electronic mail to such an e-mail address as is recorded in the Club’s records, be deemed for all purposes to have been received by such Member within forty-eight (48) hours of it being placed in the post. 11.3 The accidental omission to give notice of any meeting to any person or persons entitled to be present there at shall not invalidate the proceedings at that meeting. 11.4 Any making, alteration or repeal of a bye-law by the Committee shall be notified on the Club notice board for a period of two weeks and shall only on the lapse of such period become effective and binding. 11.5 Every member of the Club shall be entitled at all reasonable times to inspect the books of account and other documents of the Club, which the Secretary or other custodian shall accordingly be obliged to produce. 11.6 Should a member fail to discharge a debt owing by him to the Club on due date, he may be treated by the Committee as a member who has failed to pay his subscription on due date. 12.
GUESTS 12.1 Members may introduce guests on Club premises. 12.2 A member introducing his guest shall enter his or her name in a Visitor’s Book provided for that purpose, on entering Club premises. 12.3 Every member shall be responsible for the conduct of the guests introduced by him while on Club premises and liable for any damage caused by such guest. 12.4 Only members of the Club, including bona fide reciprocity members, are permitted to pay for any liquor or refreshments supplied therein.
13.
LEGAL STATUS 13.1 The Club shall be a person at law, with all the attributes of juristic personality. 13.2 The Club shall be able to institute and defend legal proceedings and execute all legal acts in its own name. 13.3 The Club chooses domicilium citandi et executandi at its Club premises, Table Bay Docks. 13.4 All legal documents shall be executed on behalf of the Club by the Commodore, or failing him the next senior flag officer available. 13.5 No member or any guest shall have any right of action against the Club for any damage suffered by him through any default or neglect of the Club or its servants. 13.6 Every member of the Committee or Sub-Committee, agent or servant of the Club, shall be indemnified out of the Club’s funds against all costs, charges, expenses, losses and liabilities incurred by him in the conduct of the Club’s business or in the discharge of his duties and no such person shall be liable for the acts or omissions of any other such person by reason of his having joined in any receipt of money not received by him personally, or for any loss on account of defect of title to any property acquired by the Club or on account of the insufficiency of any security in or upon which any monies of the Club shall be invested, or for any loss incurred upon any ground whatsoever other than his own wilful acts of defaults.

14.
DISCIPLINARY PROCEEDINGS 14.1 There shall be a disciplinary Sub-committee which shall: 14.1.1 Consist of a Committee Member (who shall act as Chairman of the SubCommittee) and such number of Ordinary Members as may be appointed by the Committee from time to time; 14.1.2 Have power to inquire into and decide on charges against members, and to impose such penalty, including fines, as they deem fit, including the right to suspend or expel members who have duly been found guilty of: 14.1.2.1 A wilful breach of the provisions of this Constitution or of the bye-laws made hereunder; 14.1.2.2
Conduct prejudicial to the interests or reputation of the Club; or
14.1.2.3 14.1.2.4
Conduct unbecoming a Lady or Gentleman; or Non-payment of any amount owing by a member to the Club including any fine imposed by the Sub-Committee;
14.1.3 Have power to summarily suspend a Member pending an enquiry in terms of the 14.1.2 if the Committee considers that the circumstances warrant such a suspension provided that the enquiry in terms of 14.1.2 shall in that event take place within ten days of such suspension. 14.2 All suspensions which exceed three (3) months in duration, expulsions and fines exceeding fifty percent (50%) of subscriptions current from time to time for Ordinary Members shall be subject to automatic review by the Committee. 14.3 An appeal shall lie from any decision or order made by the Disciplinary Sub-committee to the Committee, provided that: 14.3.1 A notice of appeal shall be lodged with the Secretary within seven (7) days of the date of the decision or order appealed against; 14.3.2 The quorum of the Committee at the hearing of such appeal shall be seven (7); and 14.3.3 The Committee shall have the power to confirm, alter or set aside in any manner whatever any such decision or order. 14.4 Members shall not be entitled to legal representation at any disciplinary hearing or at the appeal from its findings unless the Chairman of the tribunal concerned so rules. 15.
SAFETY AT SEA 15.1 There shall be a Safety at Sea Sub-Committee which shall: 15.1.1 Consist of six (6) members who shall be appointed by the General Committee at its first meeting after the Annual General Meeting of the Club in each year. At least two of the Sub-Committee Members shall be members of the General Committee, one of whom shall be designated as the Chairman who shall act as convener of the Safety Committee. 15.1.2 Be empowered: 15.1.2.1 To issue Certificates of Competence to members of the Club with regard to their boat handling ability and knowledge of seamanship and to set standards for the issue of such certificates;

To set minimum standards both in regard to the boat itself and in regard to her equipment, with which all craft, whether owned by members or others, leaving the yacht basin, should comply, and to enforce such standards; To investigate all mishaps involving yachts in Table Bay whether involving Yacht Club Members or not and to investigate all mishaps anywhere else involving Yacht Club Members; To withdraw Certificates of Competency if considered necessary in the interests of safety; To arrange lectures, discussions and demonstrations on small craft safety and generally to promote improved standards of seamanship in such manner as it considers appropriate; To liaise with all other institutions relevant to the safety of craft at sea and in particular to liaise with the port authorities with a view to furthering and enforcing the objectives herein set forth; To make and enforce rules and regulations for the achievement of its objectives; To interview persons and to inspect craft to ensure that its rules and regulations are being complied with; To do all such other things as may be necessary for or incidental to the better achievement of its objectives.
15.1.3 Keep a record of its deliberations, findings, rules and regulations. 15.2 The activities and decisions of the Safety at Sea Sub-Committee shall be subject to the control of the Committee. 15.3 The provisions of paragraphs 14.2 and 14.3 shall mutatis mutandis apply to the proceedings and decisions of the Safety at Sea Sub-Committee. 16.
CLUB INSIGNIA 16.1 The Club flag shall consist of a red burgee with a blue fly with a white hanging anchor surmounted by a gold crown superimposed on the burgee: an example of which shall be retained with the Club records for reference purposes. 16.2 The club tie shall consist of a blue tie with red and gold diagonal stripes running along its length at spaced intervals, or of a blue tie with club burgees embroidered all over it, examples of which ties shall be retained with the club records for reference purposes.
17.
RULES AND AMENDMENTS 17.1 The Committee shall have power to make rules relating to the conduct of its own proceedings or the proceedings of the club in general meetings, provided that any rules so made may be amended by a vote of at least two-thirds of Ordinary members present at the meeting. 17.2 If any dispute should arise at any Committee or general meeting in regard to the interpretation of the Constitution, the Chairman of the meeting shall rule thereon, provided that such ruling may be amended by a vote of at least two-thirds of Ordinary Members present at the meeting.

17.3 This Constitution may be amended at any Annual or Special General Meeting of the Club by a vote of at least two-thirds of Ordinary members present, provided that notice of the proposed amendments shall have been posted on the Club notice board not less than fourteen days prior to the date of the meeting, and special notice of the meeting and of the proposed amendments has been posted, or transmitted by electronic mail, to the last known address or electronic mail address, as is applicable, of each member not less than fourteen (14) days before the meeting. 18 .
DISSOLUTION 18.1 The Club may be dissolved, or merged with another club with similar purposes and objects, in each case only: 18.1.1 On a resolution passed by not less than two-thirds of Ordinary Members present at a duly constituted general meeting of members; Or 18.1.2 On an application to the Supreme Court by any Ordinary Members on the grounds that the Club has become dormant or is unable to fulfil its purposes and objects. 18.2 On merger, the assets of the Club shall accrue to the Club with which the merger is affected. 18.3 On dissolution, the assets of the Club shall be realised by a liquidator appointed by the general meeting or the court, as the case may be, and the proceeds shall be donated to such club having similar objects to this Club as the meeting or court may decide.
19.
INTERPRETATION
In this Constitution and any bye-laws thereunder, unless repugnant to the context – 19.1 The singular shall include the plural and vice versa; 19.2 The masculine gender shall include female gender; 19.3 “owner” shall mean a Member who either by himself or in conjunction with other members has the sole and exclusive use and control of a yacht entered or to be entered on the Club register; 19.4 “Senior Flag Officer” shall mean the Commodore or failing him the Vice-Commodore or failing him the Rear-Commodore who has served longest on the Committee as RearCommodore.

INSIDE HOUSE 1.1 Signing In: No guest may be signed in by any member or members on more than 6 (six) occasions in any continuous 12 month period. 1.2 Dress Code: All members shall wear smart casual clothes in the clubhouse after 19:00, and shall ensure that their guests do the same, except for people in the foyer who are in transit to the change rooms or book for signing in and out. 1.3 Children: Small children are welcome at the Club providing they are supervised by an adult club member or guest. 1.4 Scrutiny for Membership: Unless the general committee or a sub-committee charged with membership affairs decides on a different period (but not less than 14 days as required by paragraph 4.2 of the constitution) in a particular instance, the period for scrutiny shall be the following: 1.4.1 Ordinary: three months; 1.4.2 Family (related to an ordinary existing member) one month; 1.4.2 Other classes of membership: one month. 1.5 Identification: Club Members shall present their membership cards to any staff member, committee member or security officer upon request whilst on the club premises. Guests shall upon request identify themselves and their host. 1.6 Habitual Use of Associate Members: Habitual use of the Club in terms of Clause 3.10 of the Club Constitution will be interpreted as more than once a month, unless the Rear Commodore Inside House rules otherwise in an individual case. 1.7 Use of Club by Reciprocity Members: Reciprocity Members may not use Club facilities on a habitual basis. Reciprocity Members may only use Club facilities once a temporary membership card has been issued to such Reciprocity Member. 1.8

SAILING
Live-aboards: 1.8.1 No person (including any member of the Club), may live on board any vessel on Club premises (land or water), without the written permission of the General Committee. This consent may be granted for a maximum of three (3) months at a time. 1.8.2 All members or temporary members will be considered by the General Committee for the privilege of live-aboard status. 1.8.3 Live-aboard fees will be charged. Such fees will be determined by the General Committee, at its sole discretion, from time to time. Bona fide visiting yachtsmen (who must apply on arrival for Temporary membership) may apply to live on board their vessel whilst on stop over and berthed at RCYC and shall be exempt from these fees for the duration of their stay provided that the duration does not exceed three (3) months. 1.8.4 Members who live on board any vessel on Club premises for 14 or more days/nights per month must apply in writing to the General Committee for live-aboard status.
1.9 Definition of “spouse�: Spouse in relation to any member includes a person who at any time is a partner of such person

In a marriage or customary union recognized in terms of the Laws of the Republic of South Africa. In a union recognized as a marriage in accordance with the tenets of any religion, or In a same sex – or, heterosexual union which the committee, within it’s entire discretion, is satisfied is intended to be permanent.
OUTSIDE HOUSE 2.1 Duration of mooring rights agreements: The Club shall not enter into any mooring rights agreement (other than upon the transfer of an existing mooring right) which is valid for a period longer than the lesser of ten years and the present lease of the club over the Small Craft Basin or Elliott Basin. 2.2 Allocation of mooring rights in the event of relocation: The allocation of moorings, in the event of the Club moving its physical location, shall be based on the frequency of use of a yacht. 2.3 Allocation of mooring rights (physical position): The allocation of all moorings is at the discretion of the general committee, with due regard to existing mooring agreements, and the intention to promote active sailing. 2.4 Limitation of Mooring Rights: No member may enter into more than three (3) separate Mooring Rights Agreements at any one time without obtaining written permission from the General Committee. 2.5 Exercise of mooring rights: The allocation of mooring rights shall only be to Ordinary or Honorary Life members, who shall enter into a written mooring rights agreement. (At the discretion of the Committee such an agreement may be entered into in a representative capacity). Such a mooring right may be exercised by such a member by mooring a yacht not owned by the member, provided that: 2.5.1 it is owned by a company or close corporation in which the member or members acting together has a majority interest, or an immediate family member of such a member, or a trustee of a trust of which the member or his immediate family members are beneficiaries; and 2.5.2 such member will always remain liable for fees and charges relating to that mooring, and 2.5.3 the onus shall rest upon the responsible member or members acting together to prove to the satisfaction of the General Committee that such member, members acting together or such other legal entity contemplated in terms of sub-clause 2.4.1. above, has a bona fide majority interest in the yacht allocated to the designated mooring. The General Committee may in, within its entire discretion, call upon any supporting documentation which shall include, but not be limited to, the applicable deed of sale, partnership agreement, resolutions and or a confirming affidavit. 2.6 Failure to enter into written mooring rights agreement: Any person who fails to enter into a written mooring rights agreement within a period of four months of being called upon to do so, shall forfeit any right he might have, or had that has been transferred to another person during the four months period, without compensation or repayment of allocation fee. 2.7 Insolvency of Member Holding Mooring Rights: In the event of the sequestration of a member holding the mooring right, his or her trustee shall have the same rights as an executor to sell and transfer the mooring right to another member, within a period of six months from the date of final sequestration, failing which the mooring right shall revert to the club, without compensation or repayment of the allocation fee. 2.8
Duties of an owner: A vessel moored in terms of the mooring rights agreement must: 2.8.1 at all times hold a valid and current Certificate of Fitness issued as required

Insurance: 2.9.1. A vessel moored at the RCYC must hold a minimum of 3rd Party Insurance over to the value of R2,000,000.00. 2.9.2. All vessels will be required to complete a signed declaration confirming such cover upon either;

Completion of the annual Certificate of Safety 1.10 Safety: Every owner and skipper shall ensure that their vessel, or its equipment, does not protrude more than 25cm over any walkway. 1.11 Motor Vehicles, Trailers and Equipment: 1.11.1 No vehicle, trailer or equipment may be left unattended, stored or parked on Club premises for a period exceeding 24 hours without the written approval of the Club. This ruling shall not apply to Members who are sailing from the Club and/ or living aboard for a period not exceeding 4 days. 1.11.2 No Member who is authorised to live aboard shall be entitled to park more than one vehicle on Club premises. 1.11.3 No Member shall be entitled to park or store any unroadworthy motor vehicle, trailer or derelict equipment on the Club’s premises. 1.12 Cruising Mooring Rebates: A member who has validly entered into a written mooring rights agreement with the Club in terms of bye-law 2.5, and whose boat which is entered on the Club fleet register, is cruising in international waters, may apply in writing on an annual basis to the General Committee for mooring rebate. The General Committee may, in its discretion, grant a rebate on such condition(s) as it may deem fit. 1.13 Permanent Electricity Supply: Should a boatowner require a permanent electrical supply, application must be made in writing to the Outside House Committee. If approved, boat owners will then be invoiced for the installation and charged for the usage. The same applies to the use of electricity by container owners. 3.

Record of Rules: All rules made by the Safety at Sea Sub-committee shall be reported to the General Committee at its first meeting thereafter, and a record thereof shall be kept with the minutes of the General Committee. Publication of Rules: All rules made by the Safety at Sea Sub-committee shall remain posted on a notice board in the Club. Unless exempt as set out hereunder, no person shall be permitted to skipper a yacht unless he/she is in possession of a valid Certificate of Competence issued in terms of the Merchant Shipping (Small Vessel Safety) Regulations 2002 (“the SAMSA regs”). The Chairman of the Safety at Sea sub-committee may permit members not being in possession of a valid Certificate of Competence to skipper a yacht, but only in an event
CONSOLIDATED BYE-LAWS which is exempt from the application of the SAMSA regs, and provided that such permission is given for the specific event only. No unlimited exemptions shall be granted. 4.5 The skipper of a yacht shall ensure that the yacht is signed out and in the applicable Club register. 4.6 The skipper of a yacht sailed from the club’s moorings shall ensure that the Harbour Regulations and the International Rules for the Prevention of Collisions at Sea are observed. 4.7 Owners of yachts entered on the Club Register shall ensure that a Certificate of Fitness in respect of such yacht is issued in terms of the SAMSA regs. No member shall be permitted to operate a yacht in respect of which a valid Certificate of Fitness has not been issued. 4.8 Minimum Standards: All vessels moored on Club moorings shall attain the minimum of a D-class Certificate of Fitness in respect of such yacht as prescribed by the SAMSA regs. 4.9 Owners of yachts shall ensure that a copy of any Certificate of Fitness issued in respect of his/her yacht is lodged with the Club secretary within one month of the date of issue of such Certificate of Fitness. 4.10 All members to whom Certificates of Competence have been issued in terms of the SAM SA regs shall lodge a copy of such certificate with the Club secretary within one month of the date of the issue of such certificate. 4.11 The owner of a yacht shall ensure that moored yachts have no fewer than two fenders on each side and a yacht is moored with at least a bow, stern and spring lines of sufficient strength. The owner of a yacht shall also ensure that no loose line lies on the dockside or walkway / walk on mooring. 4.12 The standards of safety applicable to races organised by or on behalf of the Club shall be those set out in the applicable category of the Special Regulations for Sea Going Sailing Boats published in November 2001 by South African Sailing, as amended from time to time, unless the Safety at Sea sub-committee has given permission for these Regulations not to apply, which permission must be obtained before any Notice of Race is issued. 5.

All members shall render reasonable assistance to the disciplinary sub-committee (incl. a person appointed by it) in investigating and deciding on disciplinary matters. Use of Social Media 5.2.1. No member shall make use of any form of social media or other public platform to defame the Club or any club member. 5.2.2. Members suspected of defaming the Club or any club member will be dealt within terms of the provisions as contained within paragraph 14 of the RCYC Constitution. GENERAL 6.1
Publication of bye-laws: All bye-laws in force shall be posted on a notice board, and shall remain posted on such notice board.

Animals: Animals are not allowed on Club premises other than dogs accompanying persons with physical disabilities.
REPEAL
All previous bye-laws are repealed, and are replaced by these bye-laws.
