PRESIDENT’S REPORT - YEAR 2018/2019 At the outset I would like to congratulate our commodore, flag officers and general committee and all staff members on a very successful year where we have experienced harmony and a sense of positivity in the club – a testimony to good leadership with the evidence being the impression of a well-run ship. Despite the adverse economic climate, the club has prospered both financially and also in terms of new membership numbers. The forefront of concerns remains to be the issue of the extension of our lease. Continuing engagement with our landlord has been at the forefront of committee focus. A structured approach to address the requirements in terms of compliance is to be the focus of the leadership going forward, building upon the solid groundwork established in recent years. Sailing, Outside House and Inside House portfolios are reported on comprehensively, reflecting industrious activity. Our honorary treasurer needs a special vote of thanks for his sterling effort. COMMODORE’S REPORT - YEAR 2018/2019 My main objective when I became Commodore in 2016 was to unite the membership and bring peace and harmony to our beloved club. I believe that by and large we have achieved this judging by the comments received and the number of members frequenting the club both socially and participating in sailing events. I owe all the successes to my faithful and hard working Committee of the past 3 years without whom the task would have been impossible. Our General Manager, Toni Mainprize, has admirably led a team of dedicated and devoted staff members in all departments of our club to new heights, meeting all the required objectives and targets whilst ensuring that our members’ needs and requirements always remained top priority. Our relationship with our landlord, TNPA, has grown from strength to strength and we regularly meet to discuss the future of our club. The key word that is always the first point of discussion is - Transformation. We have been working very hard to improve our BEE status which is a requirement from Transnet to renew any leases within the Port and we are confident to meet the required level 4 well before our lease expires. Transforming the membership is more challenging. Our Academy is doing a superb job recruiting young students from various organisations such as CPUT, Embacqabini and various schools. Although many previously disadvantaged students are attending the program and hopefully will become members in the future, this will take many years to materialise, a luxury we unfortunately do not have. My request and plea is thus for every member of our club to introduce a person of colour to our club be it socially or to participate in sailing events. Our club has a lot to offer such as the Academy for the young, Twilight fun racing and social events such as First Sunday Rhythms. Potential members can also make use of a variety of facilities for functions. On the finance side I am happy to report that we have had a successful year under the guidance and leadership of Dave Garrard and his team. The positive figures posted are largely due to a concerted effort from our staff to go the extra mile whilst curtailing and minimising expenditure. Well done to all. A special acknowledgement and thank you to all the department heads: Wesley Young - Food and Beverages, Elliot Magadlela - Marina Operations Manager, Hilary Ackerman - Sailing, Amanda Munitz - Finance, and Lindani Mchunu - Academy. A huge thanks to you and your staff for your commitment, devotion and loyalty to our home, RCYC. I have enjoyed serving our club for the last 12 years on various committees and wish to thank the membership, staff and various committees for all the support guidance and friendship you have afforded me. TRANSFORMATION & FUTURE PLANNING REPORT - YEAR 2018/2019 While Royal Cape Yacht Club is in good shape financially and operationally, the very dark cloud on the horizon is the uncertainty over our security of tenure in the Port of Cape Town. On the positive side, our current lease signed in 1993 includes an option to extend the term for an additional 20 years from 1 January 2024, subject to a determination by PORTNET “in its absolute discretion” that the site we occupy is not needed for the purposes of the Port. On the challenging side, there is no real pressure on PORTNET to make this determination while the existing lease still has four full years to run, and even if this decision is favourable there is as yet no clarity on the lease rate that TRANSNET will consider acceptable. PORTNET have called a meeting of their decision-makers in July, and we believe this will give us an update on their current thinking. In the midst of this uncertainty, however, one thing has become clear - to be considered as a tenant going forward we need to be considered fully BEE compliant. In terms of the existing rules this means lifting our BEE status from the current Level 7 up to at least Level 4. Although very good progress has been made in this area over the past year, it is going to be a stretch to achieve Level 4 by the time negotiations begin. Apart from this measurable requirement of RCYC as a business operation, there is no doubt that our overall image amongst the key decision-makers in TNPA and TRANSNET is going to play a role in securing a favourable outcome. On this front the work done by Lindani Mchunu, Toni Mainprize and our Commodore Vitor in building and strengthening our relationships with key players in the Port Authority deserves great credit. This gives us the platform we need to ensure that the value we offer to the Port and to the local economy is better understood - As a responsible employer with a well-diversified staff and management team. - As a provider of safe and controlled access to the ocean for Capetonians across all communities. - As a provider of skills development and personal growth opportunities for youngsters from less-advantaged communities. Here the RCYC academy under Lindani’s leadership is playing an extraordinary role. - As an enabler for a very wide range of employers supplying products and services in the maritime industry. - As a contributor to tourism in the Western Cape. While it’s true that none of this guarantees our future in the Port, it surely helps establish our standing as a deserving tenant when decisions are made. Less satisfactory is the slow progress we are making in improving diversity amongst our membership, committees, flag officers and trustees. This is an area where all members can play a part. We do not underestimate the scale of this challenge, but we dare not underestimate its importance. David Hudson Chairman

CAPE TO RIO 2020
The Cape to Rio Ocean Race is the jewel in the Royal Cape Yacht Club’s crown. Dating back to 1971, the race across the South Atlantic Ocean, connecting the iconic cities of Cape Town and Rio de Janeiro, typically takes place every three years. The list of past participants reads like the who’swho of sailing, and the race attracts both club and professional sailors alike. With just seven months remaining before the start of the next edition of this great race, the build-up is certainly intensifying. There are two starts scheduled: the first being on Saturday 4 January 2020, and the second a week later on 11 January 2020. An update of the Notice of Race was published on 1 June 2019, and is available online at https://cape2rio2020.com/ The first start is intended for lower handicap racing yachts, but bona fide cruisers with any handicap can also elect to take this start. The initial Notice of Race had the first start scheduled slightly earlier, and the course for this start was routed via a compulsory 48-hour stopover at the mid-Atlantic Island of St Helena. However, as a result of RCYC’s successful resurrection of the Cape to St Helena Race earlier this year, it has now been decided that the St Helena stopover is cancelled, and that yachts in both starts will head directly to Rio de Janeiro. The second start will be for the bigger, faster racing yachts on higher handicaps. All yachts are eligible for the overall handicap prize of the South Atlantic Trophy for monohulls, or the SAR&H Trophy for multihulls. There will be line honours prizes for both starts, but the official race line honours accolades will be awarded to the shortest elapsed time for yachts entered in the second start, being the De Beers Line Honours Trophy for monohulls and the SA Marine Corp Trophy for multihulls. To date, there are six confirmed entries in Cape2Rio2020 – three local yachts: Sophie B, Indulgence and Argonaut; and three international entries: Almagores II [Italy], Haspa Hamburg [Germany], and Mercenario Cuatro [Argentina]. There has been a lot of communication with and interest from many prospective entries, such as the Brazilian Navy, the Indian Navy, and Chinese and Russian entries. The Mod 70 trimaran Maserati has indicated that Cape2Rio2020 is on her upcoming race calendar, and another large racing trimaran has requested a “placeholder” entry, with an official announcement to follow. It looks like there will be a serious challenge for the multihull record! The current monohull record of 10 days, 11 hours & 29 minutes, was set by the VO70 Maserati in 2014. There are some exciting new yachts that have yet to be splashed that have also stated intention to enter. Massive strides forward have been made in preparing and offering a World Sailing accredited crew safety training course for offshore and ocean sailing. This is a long overdue first for South Africa, initiated and pursued by the Cape2Rio2020 organising committee with the support and approval of South African Sailing. World Sailing Offshore Special Regulations are also in play to ensure world class best practice safety preparation of yachts and their crews. The World Sailing endorsed ORC rating platform will be used to calculate handicap times for monohull entries, and the Texel rating system will be used for multihull entries, although other multihull rating

CAPE TO RIO 2020 systems may be considered. The race time limit is set for noon on 2 February 2020, with the prize-giving gala dinner scheduled for that same evening at the Iate Clube Rio de Janeiro. The race finish will coincide with the ICRJ centenary celebration year. Yachts that are still racing but have not crossed the finish when the time limit expires will be scored as finished, but with a scoring dispensation placing them below yachts that crossed the line by the cut-off time, regardless of handicaps. The new Cape2Rio website has gone live with the intention that this will be built upon for future editions and become a useful resource with longevity. Much valuable effort and time has gone into capturing archived material and digitising records from previous editions. A professional title sponsorship proposal has been prepared for the market, and a number of top Sports Marketing and Sponsorship agencies are in position to target key players in due course to form a mutually valuable and beneficial partnership with this and future editions of the race. Tracking will be provided with world leading technology from Yellowbrick, and the World Sailing endorsed Virtual Regatta Offshore platform is on standby to present a virtual Cape2Rio2020 race for those not lucky enough to participate in person. Royal Cape will again roll out the carpet for all entrants and supporters, and you can look forward to a festival atmosphere at the club in the month preceding the start, kicking off with a mass Freedom Sail to Robben Island on 16 December in support of the race. SAILING REPORT - YEAR 2018/2019 As members at RCYC we are very privileged to have the best and most active keelboat sailing programme in the country. Whether you are a racer or a cruiser, or like many, enjoy taking part in both, there are events throughout the year that will appeal to you. However, these are challenging times in which to attract yachts to events. Aside from the costs associated with racing within a tough economy, our crews have limited time and other exciting sports such as mountain biking, kite surfing and dinghy sailing, not to mention their families, that demand their attention. The sailing office constantly debates what they need to do in order to increase participation. Some events just work and need to be left as they are. Portugal Day, Round Robben Island, the Double Handed series and Mykonos come to mind. Others have seen dwindling numbers, such as the Club Summer and Winter series, and we would very much like to grow the numbers for these events. RCYC is not the only club where boat owners struggle to find crew and time to take part in events. This is a global problem and has resulted in a trend towards boats that are set up to be sailed with smaller crews on courses with longer legs that can be tackled with a smaller crew. Boats such as the newly launched J99, the JPK 10.10, Sunfast 32 and 36 are all good examples. We introduced Open Course racing during this last season as it seemed to offer the perfect solution for those owners with limited time for training and fewer available crew, but it has not worked as we had hoped. While one worries about the future of some club sailing, the growth and success of the Cape 31 fleet is incredible. When Irvine Laidlaw first presented the Cape 31 to our sailors, one would never have imagined 12 boats on the water competing regularly in such a short space of time. High speed, one design racing has attracted young sailors back in numbers. The builder is producing a constant stream of new boats. There are even orders from overseas and it will be very exciting if this class can become an international one. The Cape 31 Invitational event attracts international crews to Cape Town and exposes them to the joys of sailing in Table Bay as well as our surrounding tourist attractions. We are able to forge relationships with these sailors and hopefully they will be tempted to take part in our premier events such as the Fling regatta, Cape2Rio and Cape to St Helena. Some have already taken part in the Mykonos Offshore. The Academy is growing in leaps and bounds under Jennifer Burger, Lindani Mchunu and Mo Funani. On Saturdays and Sundays the L26s are packed with laughing, smiling youngsters heading out to sea. The majority of them are black and we sincerely hope they will stick with the sport as they grow older and remain members of the club for many years to come. The Academy is a wonderful way to expose sailing to parts of our community who are not familiar with it and to open doors to careers they may not have considered in the past. DOUBLE HANDED SERIES WITH EXCELSIOR WINES The Double Handed Series has a very loyal following at the club. Short handed sailing is much easier than it may at first seem to someone who is used to sailing with a full crew. There is certainly a lot less shouting as invariably the person who needs to do the job at hand is yourself. After sailing a boat two-up with a friend for a while, you both know exactly what needs to be done for a specific manoeuvre and it is then just a matter of getting on with it.

SAILING REPORT - YEAR 2018/2019 There is a certain satisfaction one feels at the end of a double-handed race when you have managed to get your boat around the course with only the help of one other person. When that is combined with the very convivial single long table where every sailor who has competed that afternoon is present to enjoy a glass of Excelsior Wine and some snacks, you have a recipe for a successful event. This year the Van Aswegens, who only started taking part recently, kindly donated a magnificent trophy for the cruising division, where a third person is allowed on board as an observer. They have recently bought a bigger boat and intend to move to the racing class once their new boat has arrived at the club. NOVAMARINE WEST COAST OFFSHORE The course for this years’ race was to a mark at Elandsbaai and then the finish at SBYC in Saldanha. It is a course that has a long history and at a length of 180 miles is a true test of seamanship. The stretch along the coast to Cape Columbine is magnificent and requires very competent navigation. The race is a favourite with many sailors and the conditions for the 2018 race were excellent. The Class A boats and the lone multihull, Banjo, blasted out of Table Bay riding a 30 knot south easter. Gryphon had a breakage shortly after the start and retired. Windpower took line and handicap honours with an elapsed time of 21 hours and 4 minutes. Yachtport SA finished in second coming in 4 hours and 40 minutes later. In Class C Tin Tin finished in an elapsed time of 26 hours and 56 minutes, but they were beaten on handicap by Nuthr Witch who were only 36 minutes behind them across the line. The Class C boats had a tougher time when the wind went light in St Helena Bay and only Chazaq was able to finish after 33 hours of racing. CAPE TOWN RACE WEEK Cape Town Race Week falls in the middle of our sailing season, but as it is the last regatta for the year, it is meant to be a fun regatta to end off the year - a chance to enjoy a few days of great sailing as the work year ends and people head off on their holidays. For 2019 we have decided to move the regatta one week forward to the 6th, 7th and 8th December. Many sailors have said they are not able to take part in CTRW as they are already on holiday by the 15th. It also clashes with a major dinghy regatta. Hopefully by moving the regatta forward a weekend, we will attract a bigger entry. Those who did sail the 2018 CTRW were rewarded with some stellar sailing conditions. The fleet comprised 27 yachts with 4 Class A boats, 8 Class B boats, 8 Cape 31s and 7 Coastal Racing yachts. Similar to Spring Regatta, the Coastal Racing fleet took part in one long race each day, while the other classes sailed a total of 9 races over three days. The most competitive fleet was the Cape 31 fleet. This class has attracted a lot of young sailors back to the sport who are drawn by the close one design racing and adrenaline-fuelled downwind legs when the breeze is up.

SAILING REPORT - YEAR 2018/2019 A COASTAL RACER’S PERSPECTIVE OF CAPE TOWN RACE WEEK As the first race of Cape Town Race Week 2018 came closer, the race committee’s thumbs were tightly clenched. The previous year’s event had been completely blown out with not a single race sailed. This year, however, Table Bay provided some excellent sailing, despite the Friday Twilight race falling prey to a blowout. 27 yachts, including eight Cape 31s, lined up on the Saturday start line with a light south-easterly blowing. The format for the Racing fleet was a windward/leeward followed immediately by a bay race which started as you sailed through the finish of the first race, allowing for three races with no waiting around by the faster yachts. The Coastal racing fleet simply sailed a long bay race each day. A number of yachts elected to join the Coastal fleet either because they were short of crew, or because they were looking for simple, fun racing on longer courses. On the Saturday, a start line was set off Milnerton. The racing fleet sailed along the beach to a windward mark near Paarden Island. The Coastal fleet were sent to Barker Rock and then to Harken before finishing at No 10. Normally one would expect a tricky transition from the south-easterly to the westerly, but the yachts hardly slowed and were soon able to straight-line it to the rounding at Barker Rock. Carousel were caught out when they stayed too close to the shore at Clifton and ran out of wind. The spinnaker run back towards Harken along the Atlantic Seaboard was stunning. Weirdly we were able to hold our spinnaker until a few hundred metres before Harken when the south-easter then filled in strongly and allowed us to run to the finish. A very happy day on the water. On Sunday the Coastal fleet were sent around Robben Island via the Milnerton and Blouberg marks. Once again the start was off Milnerton and this meant a fast, reaching start (we don’t do those too often) followed by a spinnaker run along the beach to Blouberg. At Blouberg we transitioned into a light westerly which became lighter at the island. The south-easter filled in strongly later in the day and this resulted in a large, almost zero-wind transition zone requiring a lot of patience. Once through this patch, it was a hard beat to Harken before running to the finish at the Bridge Hut again. Argonaut persevered the most and took almost six hours to complete the course. Tenacity and Thunderchild were able to use superior boat speed to beat the growing transition zone and left the others far behind. The final race on the public holiday was sailed from Granger Bay as a lovely south-westerly breeze was blowing. We were sent around a mark laid off Sea Point swimming pool and then via Landfall to the Bridge Hut - No 10 finish. There is a big advantage to be gained by tacking closely along the shoreline when a south-westerly is blowing. This resulted in some great tacking duels along the coast. Once around the laid mark the rest of the race was straight forward with a long run to Landfall and a fetch to the finish. Another great day on the water. CAPE TO ST HELENA RACE John Levin resurrected this iconic race when the St Helena Island tourism department asked for a Cape Town yacht club to take on the running of the race. With only six months to the start on 26 December 2018, John quickly set up the needed structures and assembled a committee to make the race happen. The enthusiasm and support for the race was incredible and 15 yachts, including three multi-hulls, took part in the 11th St Helena Race. Three of the yachts retired, but the JML Rotary Scout crew managed to repair their yacht and continue to the island.

SAILING REPORT - YEAR 2018/2019 Dale Kushner sailed the race solo and thoroughly enjoyed his time at sea. Other crews were made up of groups of friends or families. Many had done the race before, but for a number of the crew it was their first time. All agreed they would be back to do the race again with most committing to be on the start line for the next race start on 26 December 2020. The fastest yacht was Banjo skippered by Kevin Webb who finished the race in 8 days 9 hours and 25 minutes, winning both overall line honours and multi-hull line honours. Nine hours later Rocket was the first monohull across the line. John Levin on Indaba was the overall winner on handicap of the Cape to St Helena 2018 Race together with his crew of Ken Bosenberg and Ivan Shamley. The handicap winner of the multihull class was Compromise. The race is very manageable in terms of time and cost. The race duration is around ten days and there is the easy option of the crew flying home while their boat is shipped back as deck cargo on the MV Helena. Dale Kushner will be the race chairman for the 2020 race and there is sure to be a large fleet taking part. Start making your preparations now. ROUND ROBBEN ISLAND RACES October 2018 This was the first Harken Round Robben Island race since the passing of Ankie Roux, so it was a particularly poignant race for all of us who knew and respected him. But it was also a very happy occasion as we remembered all that Ankie did for sailing and our club. The weather only enhanced the joy. Fortunately for all of those taking part, the actual wind on the day was much better than the forecast. The breeze was a very consistent 12 knots from the south west which meant the bulk of the fleet elected to leave the island to starboard, although the winners, Hors d’Ouevre, took the alternative option. The sea was flat, the breeze was pleasant and the sun was shining. We could not ask for more. Thank you to Harken for their continued support of this very popular event. Thank you to the bridge crew and volunteers for their hard work. And thank you to everyone who took part and made the day a great success. Jan 2019 If there was any doubt as to the popularity of the Round Robben Island races the 65 entries for the January edition is all the evidence you need. After the break over the festive season, many sailors were itching to get out on the start line again. The conditions were challenging with very light winds and a big sea making it difficult to get the boat going and keep it moving. Quite a number of boats retired. The race was won by Nitro, followed by Cape Fling and Windpower. Sibu Sizatu did an excellent job to finish fourth on one of the Academy’s L26s. LUFTHANSA TWILIGHT SERIES The Lufthansa Twilight Series always attracts a large fleet and this year we had around 60 boats taking part in the two series. Lufthansa have been a loyal sponsor of this event and have renewed their commitment to the 2019/2020 series. We are very grateful for their support. There are not many boats that are able to race all of the races. Work, school, family and other commitments sometimes put paid to a Wednesday evening on the water, but we all need to encourage as many of our fellow boat owners to join in the fun as possible. What could be better than a short, fun race followed by socialising in the club afterwards?

SAILING REPORT - YEAR 2018/2019 The south-easter habitually picks up a lot in the early evening which can be rather inconvenient for Twilight racing. This season we lost two races in the October to December series and another two in the January to March series. Nevertheless we managed to complete 14 races, often in superb conditions. In an effort to cater for all types of sailors at the club we have eight classes and this dilutes the fleet considerably. Fortunately with the move to ORC as a handicap system there are new options available. It is possible to score spinnaker and non-spinnaker boats together. Each yacht has a non-spinnaker rating and this can be used in races where the boat races without hoisting a spinnaker. We already use the non-spinnaker rating for all the non-spinnaker divisions. During the last series where each class sailed the same course for spinnaker and non-spinnaker we have taken the results and merged them to see what the result would have been if they raced together. Interestingly, in many cases non-spinnaker boats would have beaten the leading spinnaker boats. We can expect to have both non-spinnaker and spinnaker boats on the podium in all the classes. In the 2019/2020 series we will have one fleet for each of Class A, B and C. From a practical and administrative perspective each boat will declare at the start of each series whether they want to be scored using their spinnaker or non-spinnaker rating. MYKONOS The plague of light and contrary winds continued this year. After a very pleasant first 20 miles of sailing the wind switched off and the majority of the fleet threw in the towel and motored to Saldanha. 19 boats finished race 1, but only 9 made it all the way to the finish at Club Mykonos. Although so many boats retired from the Friday race, the positive aspect was most boats were tied up in the Club Mykonos marina by around 8pm and were able to enjoy a leisurely dinner and socialise with all the other crews. There are almost 400 sailors who take part in this race and most come for the social aspect of the weekend as much as the sailing. The best part of the weekend is undoubtedly the Pursuit Race. This year the course was extended by doing a leg around the iron ore jetty. At this point in the race the smaller boats were still in the lead and a few of them made a navigational error in rounding the incorrect buoy. A couple returned to round the correct mark, but others had to retire after the race. The breeze was a little lighter than most would have liked, but this did not make the race any less enjoyable for the majority of the crew. One boat, however, did not have a great weekend. Irvine Laidlaw on Cape Fling II had an unfortunate incident as they rounded Jutten Island. They cut inside a slower boat and although the charts show deep enough water, they hit a rock and were spun towards the island. They were forced to retire. This incident shows how even the most professional crews can make mistakes and also that charts are not perfect. The race was won by Nitro with Hollard Jacana in second and Tina Plattner and Tony Norris on TNT in third. The final result for the regatta was a clean sweep by Nitro, winning all four races and taking first place overall. Corum took second place and only one point behind them was Hollard Jacana.

SAILING REPORT - YEAR 2018/2019 Thank you I would like to say a big thank you to Hilary Ackermann and Kerry Pryde for the passion, dedication and long hours they put into organising and running our various events. Their jobs are high-stress and they have to deal with a myriad of details all while keeping hundreds of our sailors happy. Hilary and Kerry are supported by an incredible group of volunteers who give up their personal time in order for the rest of us to enjoy our time on the water. They deserve much gratitude from all of the club members. Our club is fortunate to have wonderful people with a wealth of experience that I am able to call on for advice. Among them are Dave Hudson, Lance Burger, Dale Kushner, Toni Mainprize, Luke Scott and Rick Nankin. And finally I would like to thank the sailing committee who willingly give of their time, knowledge and expertise. SAILING ACADEMY REPORT - YEAR 2018/2019 The story of our Academy in the past year is a story of people, organisations, government departments and other entities. The story of our Academy is the story of a collective. It is the story of chance meetings, hard lessons, personal battles and a complete transformation. It all happened in 2018 but it really all started before that. The more I observe our Academy the more I realise that it truly is a microcosm of our society. I will do my utmost best to capture in a few paragraphs all that took place during the year under review. Before I do that I would like to say that this club is being led by some bold people, as with every day that this Academy exists we break new ground. For an institution founded 114 years ago, the club is certainly open to learning new tricks. I feel so honoured and privileged to be at the helm in what I believe will be a historic period for our club. I am but a cog in a huge wheel as the support I get from my committee and all other club departments and sub-committees right to the top is invaluable. It all began with a chance meeting with an organisation called SAIMI (South African International Maritime Institute) in 2017. Fast forward to January 2018 and we received our first funding to train a few students to skippers level. Those students would later form the core of our on-water training team of instructors. All roads lead home. In that, I mean, no matter how much you may meander, if your heading is true then some day you shall arrive at your destination. I think it’s imperative that I explain to you, that ‘previously disadvantaged’ is a very loose term which uses a very broad brush to paint individuals who come from the same community, with the same challenges, as one particular group. In turn it makes us see individuals as a herd. Nothing could be further from the truth as in my experience people maintain their individuality in whatever circumstances they might find themselves. Probably more so when they are faced with similar challenges as this is where distinction is not just a requirement, but a necessity for progress. The Academy was successfully registered as an NPO in April 2018 and is currently securing its PBO status, with tax exemption certificates to be issued to potential donors and benefactors. TRANSPORT EDUCATION TRAINING AUTHORITY (TETA) We landed a whale. I cannot even mention the figure but all I can say is it’s huge. Through some luck and sheer tenacity, we were able to convince a government institution to fund 30 Academy students from swimming courses right up to Yachtmaster level for those that are eligible to go the whole mile. I can’t remember the last time I went sailing as I seem to spend most of my time behind a computer screen or in meeting rooms and conferences. Unfortunately resources are what keeps the heart pumping. Without funding the Academy would not be able to grow from strength to strength. We would not have been able to grow from 18 kids in 2016, to 82 and counting presently. We now know that at least for the next two years, 30 of our Academy students will be fully funded. Without this support from such entities, our train would run out of steam. All I can hope for is that our kids appreciate the effort and use the opportunity to propel themselves even further in their lives ashore. UNITED STATES OF AMERICA SUMMER CAMPS PROGRAMME Sometimes one can be so lucky that one literally falls and trips into a gold mine. This opportunity is one of those times. I was approached by a gentleman from Johannesburg who runs a company that places South African kids into various summer camps in America, depending on their skill sets. The gentleman was looking for kids who could sail and were available to go across to the USA and instruct young American kids for three months. I thought there was a catch. There wasn’t. All I had

SAILING ACADEMY REPORT - YEAR 2018/2019 to do was identify some suitable candidates and help them register into the program. They would then do the rest. I am pleased to announce that three of our candidates have been chosen to go to America with one of them being a 19 year old girl from Khayelitsha. This opportunity really is a huge one. I get teary just thinking about it. I hope these youngsters go over and represent us well. I hope they capitalize on the opportunity, coming back as great ambassadors of our Academy. ARCHANGEL From the day we went to pick her up in Gordon’s Bay in February 2018 to her first sail on the 21st of February 2019, complete with a new engine and shiny new instruments, the work that has gone into this yacht cannot be summed up in words. I find it funny that when one takes on a project that is focused on an inanimate object, so much life is required. The story of Archangel is not so much about the yacht, but rather how a yacht brought people together and tore them apart. It’s amazing to see how inanimate things can reveal so much about life. The story of Archangel begins with a Commodore’s wish. The wish to see our Academy have an offshore yacht, a wish in part, I believe, to leave a legacy. I find it funny how when people refer to wishes and dreams, they speak of them as though they will magically appear or some genie will make them come true. Nothing could be further from the truth. A Commodore’s wish was going to take resources and people. To all the sponsors that made this project a reality, thank you. We have signed a five year agreement with them in order to expose their cadets to sailing so that they can get real life experience on what it’s like to be out at sea with crew on a vessel. Not only that, but also to open up the greater yachting industry to them as a possible career path. The Academy is becoming an integral part of the maritime

I do believe this will be our focus for the next five years as we acquire more structure and scale up our programs and business offering. INSIDE HOUSE REPORT - YEAR 2018/2019 Dear Member, This has been a great year for Inside House! Following upon the foundations set up by the previous Rear Commodore Inside House, Joep Schoof, we have seen some major improvements. Namely: • Addition of folding doors between the Main Hall and Terrace restaurant; • Upgrade of the interior in the Alcove through to the Terrace restaurant; • Wine Pairing evenings where our food and beverage team show off their culinary skills to members and guests by providing Fine Dining quality food along with beautiful wines offered by our wine suppliers at an extremely reasonable price; • 1st Sunday Rhythms held on the first Sunday of every month on the RCYC Deck - these Sunday lunches continue to improve in quality and atmosphere! • the Friday evening Lucky Draws have become a major part of club life and illustrate what being part of a club like ours is all about! • Introduction of our own house wines which have proved extremely successful. • Continued improvement in the quality of our menus and wine list. • Several young people events aimed at encouraging more social interactions with our younger members and encouraging growth in our youth membership. Some important trends have been established such as the emergence of our restaurant as a superior Fish destination; a great venue for business lunches, ideal for business presentations and a superb site for weddings and other personal milestone events in one of our many private facilities. We remain committed to improving our BEE rating in areas including purchasing, staff training and career development as well as the use of ecofriendly materials in our catering. My thanks go to Toni Mainprize and Wesley Young and his team who have worked really hard this past year to achieve the events already mentioned but also to have met a challenging budget and have exceeded all expectations. OUTSIDE HOUSE REPORT - YEAR 2018/2019 Outside House Committee Elliot Magadlela – Marina Operations Manager Diane Bright – Marina Secretary Toni Mainprize – General Manager Tony Blackwell – OH Committee Member Ian Henderson – OH Committee Member Alan Haefele – OH Rear Commodore I am happy to report that this last year has been a good one for RCYC Outside House. The Outside House team, under the daily management of Elliot, Diane and Toni, has operated successfully and contributed significantly to the club coffers, all within budget and without any serious health or safety incidents. Apart from the daily activities with the crane and the hard as well as the ongoing maintenance of the buildings, crane, slip and moorings – the following items are noted: • Boet Koopmans - our previous Marina Manager - handed over seamlessly to Elliot Magadlela who is handling his new responsibilities like a true professional. • Sam Pambili - our new Hard Senior Supervisor – was involved in a bad traffic accident in the Transkei in December 2018 but with support from your club and especially Ian Henderson, is now back at work on Elliot’s team. • Ongoing training of our staff including certification of our crane drivers and welders has been arranged by Toni and Elliot and successfully completed. • The moorings, hard storage and crane services provided by Outside House to Robertson & Caine – (our important RCYC Corporate Member) has increased significantly. • Three new marinas have been built and installed on M Berth. • Emergency pumps in case of sinking boats have been installed and are available at the Marina Office and Security office after hours. • New life rings and ladders have been installed on the marinas. • The measuring and auditing of all moorings was completed, and our asset register adjusted. • Outside house was proud to host “Fleur de Passion” – the largest sailing vessel we have ever had in our small craft marina as well as all boats competing in the Cape to St Helena Race . • A RCYC Right of 1st refusal policy when any Mooring Right Agreement changes hands is now a RCYC bye law and is working well. • Long overdue dredging to achieve additional 1 m depth is well underway in front of the crane and the Club Restaurant deck • The building of the additional hard area contractors’ change rooms, ablutions and showers was successfully constructed “in house” by our outside house staff. • The review process of the costing and pricing of all marina services which is applicable to boat owning members, visitors and corporate member categories with the aim of making the marina services more equitable, profitable, efficient and full to capacity, is ongoing.

OUTSIDE HOUSE REPORT - YEAR 2018/2019 Negotiations and costings are close to completion for: •The replacement by R&C of our old crane with a new heavier crane that RCYC will own - although delayed last year, will be done this year as confirmed by R&C, enabling us to lift all our own boats and masts as well as theirs in the future. • The filling in of the existing unused dinghy slipway in front of the existing crane, and the levelling of hard area is in the planning stage. • Our good neighbours – De Beers – have offered us free desalinated water for the washing of our boats – the process of pumping the water through an underwater pipe to our tanks and then to the marinas is underway. • The Slip uprights were replaced last year – the chassis needs to be refurbished this year • Significant replacement of chains and some marinas is required this year I would like to thank our Outside House Committee especially Tony Blackwell and Ian Henderson, who generously offered their time and expertise in solving some difficult problems. After three enjoyable years as Rear Commodore Outside House, I will be standing down. HONORARY TREASURER’S REPORT - YEAR ENDING 31 MARCH 2019 This is my first report to you, the members, as your Honorary Treasurer, having taken over the position from Nick Russel last year. I have been fortunate to have been handed a position that has enjoyed good oversight and under control of an efficient financial team employed by the club. Generally, the club had a successful year financially. The first half of the year was somewhat sluggish requiring a close review of planned expenditures. The generally depressed economic environment impacted the club’s activities, requiring consequent cut-backs in budgeted expenditures to match cash flows. The detailed analysis of major revenue streams set out below clearly indicates the shift in revenues derived. Overall, Gross operations revenue was flat compared to the previous year. Revenues in the first half of the year were below expectations. However the second half of the year saw a substantial increase in revenue, which with cost curtailment, resulted in the club achieving targets set for the full year. HONORARY TREASURER’S REPORT - YEAR ENDING 31 MARCH 2019 * Functions food and beverage was separately recorded from normal operations activity from October 2018 onward. Strong performance in the second half of 2018/19 year resulted in the Bar & Restaurant activities exceeding its 2019 budget target revenue by R123k after lagging behind budget by approx’ R300k in the first half of the year. The second half of the year revenue trend for the restaurant activity was 62.3% (2018 – 47.4%) higher than the first six months, with gross revenue in the second half of R5,958k (2018 – R5 146k). Net margins on these activities increased to 5.6% on revenue (2019 - R595k) from 5.1% (2018 - R500k) for the full year.

Other Income in the year of R844k (2018-R706k), includes the line item of R830k (2018-NIL), specifically relating to the fair value adjustment of the previously donated L26’s, Beneteau 7.7 & the Lavranos 36 (Archangel). As these vessels were originally donated to RCYC and are required to be carried at ‘Fair Value’ in the records of the RCYC Sailing Academy under IFRS Accounting regulations, the increase in value and corresponding onward donation as a cost is carried in the RCYC books for the current year, the corresponding donation value of R830k being included in total expenditure of R26,467k. The valuations of these yachts have been provided by an accredited external valuator for the purposes of this transfer. Expenditure in the year indicates an increase of 4.3% over the comparative year, an increase of R1,097k. Included in the expenditure for 2019 is the fair value transfer of the Academy yachts, recorded as donation to the RCYC Sailing Academy – R830,000. Excluding this once-off transaction, the total expenditure increase year on year is R267k or 1,05%. The club Sailing activities continued to show a decline in attracting external sponsorships overall. The introduction of the St Helena race in its inaugural hosting by RCYC, assisted greatly in offsetting other reductions. Overall sailing sponsorship was down 45% year on year. The depressed general economy is a factor in this reduction, as well as non-hosting of certain events in 2019 year. With the hosting of the Lipton Cup and the Cape to Rio 2020 in the year ahead, this trend is anticipated to be remedied. RCYC Academy The activities of the RCYC Academy were separately accounted for in the 2019 year, with the RCYC Academy being incorporated as a Non-Profit Company – RCYC Sailing Academy (RF)(NPC), (Reg 2018/027688/08, NPO Registration ‘207-269 NPO’ on 17 April 2018). The NPC entity registration and subsequent Public Benefit Organisation (‘PBO’) approval granted by the South African Revenue Services (‘SARS’) confirmed the tax-exempt status of the NPC. The review by SARS to permit the application of tax deductibility of donations as envisaged by s18A of the income tax act is ongoing, with confirmation expected imminently. Confirmation of this status will then allow the RCYC Academy to issue receipts to donors, who in turn, would be entitled to claim tax relief on their donations to the Academy.

HONORARY TREASURER’S REPORT - YEAR ENDING 31 MARCH 2019 While the RCYC Academy operates as a separately incorporated legal entity, the management and control of the RCYC Academy resides with the GENCOM of RCYC as enshrined in the Memorandum of Incorporation of the RCYC Sailing Academy (RF)(NPC). In prior years, the activities of the Academy were dealt with as being specifically integral to those of RCYC, with surplus funds specifically designated to the Academy being carried over to the following year as an accrual of funds. The activities of the RCYC Academy have substantially grown in the 2019 year as a result of efforts to expand its activity base. Gross Revenue of the academy increased in 2019 to R2,719k (2018 - R687k). Further substantial growth is anticipated in the upcoming year specifically due to the successes of the 2018/19 activities. In 2018 (Comparative year), the RCYC Academy recorded a deficit of R194k which was included within overall RCYC results for that year, after a direct contribution of R300k toward expenses. Total cost of the Academy to RCYC activities for 2018 was therefore R494k during the 2018 comparative year. External donations received in 2018 amounted to R387k. Results for the RCYC Sailing Academy for the 2019 year are presented separately in the NPC results, indicating Total Income of R2,719 and a profit for the year of R606k. In 2019, the activities of RCYC recorded specific support of the RCYC Academy activities amounting to R952k (excluding the value of donations of yachts). Additional costs of providing the Academy activities were funded from training institutions subscribing to the Academy’s programme and recorded separately in the results of the NPC entity. RCYC Statement of Financial Position The balance sheet for the year indicates that total cash and cash equivalents have remained relatively constant with a nominal increase year on year of R10,2k. The net surplus realized in the year of R1,224k (2018 – R2,137k) has been applied to fund changes in the structure of balance sheet funding (working capital requirements), applied to the reduction of current payables and increase in gross receivables and inventory held at the accounting date. There were no other material changes in balances included in the statement of financial position at the year-end. Gross receivables at the year-end indicated an increase of R322k (R1 076k) over the 2018 balance of R754k. However, this amount remained significantly lower than amounts reported for 2017 - R2,307k. The 2019 increase is attributed to timing of the receipt of a single amount, received after the year-end close of R305k. Considering this, generally the debtors book continues to show positive reduction. A corresponding increase in cash balances & reduced debtors’ book would have otherwise been reflected at the year end. The continued significant reduction in receivables requires a special mention & is directly attributed to the significant efforts of the club’s administrative team. FINCOM has specifically commended the GM & FM for their team’ s ongoing efforts to collect outstanding receivables. The club is currently pursuing recovery through legal measures old outstanding receivables amounting to R61.2k.

HONORARY TREASURER’S REPORT - YEAR ENDING 31 MARCH 2019 An increase in inventory holding (16% - R107k) reflects the general increase in cost of food and beverage products. There were no significant increases in volumes held. Capital Expenditure processed in the year was maintained at moderate levels. Accounting policies adopted by RCYC require items of a capital nature to be expensed in the year of acquisition. The FINCOM has proposed a formalised policy to be implemented from the 2019/20 financial year, to maintain CAPEX costs at a maximum level of 50% of operating surplus realized in the year (may be increased if a CAPEX deficit arises from prior years under-expenditure). This policy seeks to prudently preserve cash resources especially due to current uncertainties regarding the future tenancy of the club’s location. Expenditure in excess of the prescribed policy would be considered where specific club requirements dictate & subject to specific approval. Application of the policy above would have allowed for additional Capital Expenditure in 2019 of R175k up to R1,048k as compared to actual expenditure of R873k. HONORARY TREASURER’S REPORT - YEAR ENDING 31 MARCH 2019 In summary, I would like to report that the club maintains a sound financial position which is especially significant considering the current climate, where other clubs are literally struggling for their very survival. I would like to thank the club’s financial manager Amanda Munitz and her team for keeping good control over the cash flows and accounting records, guided and assisted by Toni Mainprize the club’s General Manager and the administrative team. All of your combined efforts toward sound and effective financial management and control is very much appreciated. I would further like to thank the members of the FINCOM that have assisted me during the past year, comprising the RCYC flag officers, Toni Mainprize and Amanda Munitz. CONSTITUTION OF THE ROYAL CAPE YACHT CLUB 1.
NAME The name of the Club shall be ROYAL CAPE YACHT CLUB. (With which is incorporated the TABLE BAY YACHT CLUB). The shortened form of the Club’s name shall be “ROYAL CAPE YACHT CLUB”.
2.
OBJECT The object of the Club shall be: 2.1 The promotion of yachting on Table Bay and adjacent waters. 2.2 The provision of facilities for members within the Table Bay harbour area. 2.3 The promotion of good seamanship amongst members. 2.4 The performance of all such other activities as is incidental to or conducive to the attainment of the above objects or any of them.
3.
MEMBERSHIP 3.1
The membership of the Club shall consist of – 3.1.1 Ordinary Members. 3.1.2 Intermediate Members. 3.1.3 Life Members. 3.1.4 Family Members. 3.1.5 Partner Members. 3.1.6 Junior Members. 3.1.7 Cadet Members. 3.1.8 Absentee Members. 3.1.9 Associate Members. 3.1.10 Honorary Life Members. 3.1.11 Honorary Members. 3.1.12 Temporary Members. 3.1.13 Reciprocity Members. 3.1.14 Corporate Members.
3.2
Ordinary Members shall consist of all members who usually reside or work within a radius of 80 kilometers of the club house, who do not fall within one of the other categories of membership.
3.3
Intermediate Membership is to bridge the difference between a young Member not qualifying as a Student, but being under the age of 28.
3.4
Life Members shall consist of those members who on 26 June 1981, were entered in the Register of Members as Life members. They shall have all the rights and obligations of Ordinary Members save that they shall be exempted from all further liabilities for subscriptions. Any reference to “Ordinary Members” in this Constitution or any bye-laws made thereunder shall be deemed to include a reference to Life Members save in so far as it relates to an obligation to pay subscriptions. When the Club no longer has any Life members then this Constitution shall in ipso facto be amended by the deletion of all reference to Life members.
3.5
Family Members shall consist of those members who are the spouses or schoolgoing children of Ordinary Members; provided that a spouse may elect to be an Ordinary Member and a child may elect to be a Junior Member. Provided further

CONSTITUTION OF THE ROYAL CAPE YACHT CLUB that a wife who is a Family Member at the time of her husband’s death shall be entitled to continue being a Family Member 3.6
A Partner Member shall be a person nominated by an Ordinary Member who has not utilized the Family Membership category. Election and fees of Partner Members shall be as per Family Membership. The nominating Ordinary Member shall be wholly responsible for both the payment of fees and the conduct of the Partner Member, whose Membership card shall include such Ordinary Member’s name. A Partner Member shall be cancelled upon request by that Ordinary Member who shall then be entitled to nominate an alternative Partner.
3.7
Junior Members shall consist of members who are under the age of 21 years or who, being over the age of 21 years, are serving articles or an apprenticeship, or who are enrolled as students in full time study at a University, Technikon or other institution of tertiary education, provided that a member above the age of 21 years may elect to be an Ordinary Member or an Intermediate Member. Junior membership is to be applied for on an annual basis and the Membership Committee to use their discretion in granting this membership.
3.8
Cadet Members shall consist of members who are under the age of 18 years, provided that such members may, if they qualify, elect to be Family Members or Junior Members.
3.9
Absentee Members shall consist of members who ordinarily reside outside a radius of 80 kilometers from the Club premises or who during a particular year will be away from their normal residence for more than eleven months of that year and who give notice of such fact to the Club, provided that such members may, if they qualify, elect to be Ordinary Members.
3.10
Associate Members shall consist of members who have been Ordinary Members for not less than 20 years, do not habitually use the Club and who apply for such membership.
3.11
Honorary Life Members shall consist of persons who have rendered distinguished service to yachting or the Club and who, on the recommendation of the Committee, have been elected as such by the Club in a General Meeting.
3.12
Honorary Members shall consist of persons who have been granted such membership by the Committee for no more than a year at a time for good cause.
3.13
Temporary Members shall consist of persons – 3.13.1
Visiting Cape Town by yacht and wishing to use the Club’s facilities during the course of their visit.
3.13.2
Participating in a regatta or function organised or hosted by the Club.
3.13.3
Wishing to join the Club but are unable to do so because they have not known members for sufficient length of time who can propose or second them:
3.13.4
To whom the Committee in its discretion has granted such membership for a limited period of time not exceeding: 3.13.4.1
3.13.5

One (1) month in the case of persons mentioned in 3.13.1 which period may be extended from time to time.
The period of the regatta or function in the case of persons mentioned in 3.13.2

Six (6) months in the case of the persons mentioned in 3.13.3
3.14
Reciprocity Members shall consist of members of other yacht clubs with whom the Club has Reciprocity.
3.15
Corporate Members shall consist of persons who are bona fide employees and management of a business enterprise who, through its authorised officer, may nominate such persons for one year at a time and who may substitute any such member for another provided such alternate nominee applying for membership as provided for in terms of clause 4 below. A business may apply for a minimum of three corporate members and a maximum of ten, unless the Committee sanctions such higher number.
3.16
Notwithstanding anything to the contrary herein contained, no person residing within 15 kilometres of the Club premises shall be eligible as an Honorary or Temporary or Reciprocity Member of the Club except where: 3.16.1
3.16.2

Such person holds a public office or is a bona fide candidate for membership or has conferred some special benefit upon the Club: Or By resolution of the Committee such person is allowed the privileges of membership while engaged in any competition.
ELECTION TO MEMBERSHIP 4.1
A person wishing to join the Club shall be proposed by an Ordinary or Honorary Life Member and seconded by another, both of whom shall have been members for not less than six (6) months and shall apply in such manner and furnish information as the Committee may from time to time determine, provided that this provision shall not apply to a person wishing to join as a Temporary or a Corporate Member who shall do so in such manner as the Committee may from time to time determine.
4.2
All proposals for membership together with a photograph of the nominee shall be posted on the Club notice board for a period of not less than fourteen (14) days prior to being considered by the Committee. Any member having any information which he considers relevant to such proposal shall be entitled to bring such information to the attention of the Committee within such fourteen (14) day period. The provisions of this clause shall not apply to Temporary Members.
4.3
The election of members shall be vested in the Committee, who shall vote by a show of hands. The Committee shall not be obliged to furnish reasons for any decision. A rejected candidate may not be re-proposed for at least twelve (12) months after his rejection.
4.4
Any person elected as a member of the Club shall be bound by the Constitution, rules and bye-laws of the Club in force from time to time.
4.5
A member, other than an Honorary Member or a Temporary Member, wishing to transfer from one class of membership to another, may do so on application to the Committee without the need of again complying with paragraphs 4.1 and 4.2.
4.6
No member shall have any right, title or interest in or to the property or funds of the Club.

5.
4.7
Only Ordinary and Honorary Life Members shall be entitled to a mooring in waterspace controlled by the Club.
4.8
A member shall cease to be a member: Upon his death or resignation;
4.8.2
If his estate is sequestrated or he is convicted in a court of law of some grave offence, provided that in either case the Committee may reinstate him subject to such conditions as it deems fit if he applies for such reinstatement;
4.8.3
If his membership is terminated in terms of any other provision of this Constitution.
GENERAL MEETINGS 5.1

4.8.1
The Annual General Meeting of the Club shall be held during June of every year on such date as the Committee may determine for the purpose of: 5.1.1
Presentation of the Annual Report of the outgoing Committee;
5.1.2
Presentation of the Financial Statements for the preceding financial year ended 31 March;
5.1.3
Confirmation of the entrance fees, subscriptions and mooring fees for the current financial year in accordance with the provisions of clause 8;
5.1.4
Election of a President, two Trustees and Honorary Life Members, if any;
5.1.5
Election of the Committee for the ensuing year;
5.1.6
General business.
5.2
Special General Meetings of the Club may be held at any time determined by the Committee, provided that the Committee shall convene a Special General Meeting if requisitioned thereto in writing by not less than fifty (50) Ordinary members stating the purpose of the meeting.
5.3
A Special General Meeting shall have the power to raise, discuss and decide only such specific matters as have been set out for consideration in the notice of the meeting.
5.4
General meetings shall be convened by the Committee, who shall give notice thereof on the Club notice board and in writing to all members; such notices shall be displayed and posted, as the case may be, not less than 14 (fourteen) days prior to the holding of the meetings and shall set out the agenda. Notice may be given to the member by electronic mail, in which event it shall not be necessary to post a notice to such member.
5.5
A quorum shall consist of not less than such number as constitutes Five Percent (5%) of the Ordinary Members of the Club present in person. No business shall be transacted at any General Meeting unless a quorum is present, provided that if a quorum is not present at an Annual General Meeting within 15 minutes of the time stipulated for the meeting, the meeting shall stand adjourned to the same time the following week and the Ordinary Members then present shall form a quorum.
5.6
The Senior Flag Officer present, or failing him, a member selected by those present, shall preside as Chairman at every General Meeting, provided that the
CONSTITUTION OF THE ROYAL CAPE YACHT CLUB President, or failing him, a Member appointed by those present, shall preside at the Annual General Meeting during the election of the Commodore. 5.7
The Chairman may, with the consent of any meeting at which a quorum is present and shall, if so directed by the meeting, adjourn the meeting from time to time and from place to place, but no business shall be transacted at any adjourned meeting, other than the business left unfinished at the meeting at which the adjournment took place. In the event of a meeting being postponed, notice of the postponed date for the meeting shall forthwith be placed on the Club notice board.
5.8
At any General Meeting, a resolution put to the vote of the meeting shall be decided by Ordinary and Honorary Life Members on a show of hands save that the election of Committee Members at Annual General Meetings shall be by ballot. A declaration by the Chairman that a resolution has, on a show of hands been carried, or carried unanimously, or by a particular majority, or negatived, and an entry to that effect in the book containing the minutes of the proceedings of the meeting shall be conclusive evidence of the fact, without proof, of the number or proportion of the votes recorded in favour of or against such resolution. In the case of an equality of votes, the Chairman of the meeting shall be entitled to a second or casting vote.
5.9
Every Ordinary and Honorary Life Member present at any general meeting shall have one vote, provided that all members who on 20 June 1991 were entered in the Register of Members as Associate Members shall continue to enjoy the right to vote at any General Meeting for so long as they remain members of the Club. When the Club no longer has any members who on 20 June 1991 were entered as Associate Members this Constitution shall ipso facto be amended by the deletion of the provisio to the preceding sentence and by the deletion of this sentence.
5.10
Other classes of members may attend and with the consent of the Chairman address the meeting, but shall not have any vote.
5.11
A member who is eligible to attend and vote at an Annual General Meeting but who will not be able to attend the Annual General Meeting shall be entitled to cast a special vote in regard to the election of committee members in accordance with the following provisions: 5.11.1
The member shall apply in writing to the Club for a printed voting paper.
5.11.2
The Club shall furnish the member with a voting paper and an identification envelope bearing the words “Voting Paper� printed thereon and the following declaration:
I, ............................................................................................. being a member of Royal Cape Yacht Club in good standing and eligible to attend and vote at an Annual General Meeting do hereby declare that the enclosed voting paper has been marked by me personally: (followed by a place for signature and date). 5.11.3
The voting paper shall bear the names of the candidates for each office being voted for in alphabetical order.
5.11.4
The member shall mark upon the voting paper a cross against the name of the candidate/s for whom he intends to vote and shall thereupon place the voting paper in the identification envelope, seal it and sign the

CONSTITUTION OF THE ROYAL CAPE YACHT CLUB declaration appearing thereon and post or deliver it to the Club in an envelope marked “Voting Paper� so as to reach the Club at least by 16h00 of the Friday preceding the date of the Annual General Meeting, failing which the vote shall be invalid. 5.11.5
6.
COMMITTEE 6.1
6.2
The affairs of the club shall be managed by a Committee which shall consist of: 6.1.1
The Flag Officers, being the Commodore, Vice-Commodore and three Rear-Commodores, one of whom shall be designated as RearCommodore, Sailing; another as Rear-Commodore, Inside House; and the third as Rear-Commodore, Outside House.
6.1.2
A Treasurer
6.1.3
Six (6) additional members.
The Committee shall be elected annually at the Annual General Meeting provided that: 6.2.1
Only Ordinary Members, who have been members of the Club for at least one year, shall be members of the Committee.
6.2.2
A Flag Officer shall have been a member of the committee for, at least, one year.
6.2.3
The Commodore and Vice-Commodore shall be owners of yachts recorded on the Club register.
6.3
The immediate past Commodore shall ex officio be a member of the Committee for the year following his vacating of the office.
6.4
The Committee shall meet once a month or more often if necessary and shall keep proper minutes of its proceedings.
6.5
A quorum of the Committee shall consist of five (5) members, at least one of whom shall be a Flag Officer.
6.6
The Senior Flag Officer present shall act as Chairman at Committee meetings.
6.7
The Chairman shall have a casting vote.
6.8

The sealed vote shall be opened and counted at the time of counting the votes cast at the Annual General Meeting at which the relevant election takes place, by the adjudicators who are appointed at the meeting for the counting of the votes.
A Committee Member shall cease to hold office if: 6.8.1
He ceases to be a member of the Club.
6.8.2
He resigns from office.
6.8.3
He becomes insolvent or assigns his Estate for the benefit of his creditors.
6.8.4
He is convicted in a court of law of any grave offence.
6.8.5
He absents himself from three consecutive meetings without first having obtained leave of absence, unless he shall furnish a reasonable excuse.
6.8.6
The Committee by the decision of three-quarters of its members resolves that his membership of the Committee should for good reason
CONSTITUTION OF THE ROYAL CAPE YACHT CLUB terminate, such as a dereliction of his duties as a Committee member provided that the Committee member shall have the right to appeal to a Special General Meeting of members convened for such purpose against such decision.
7.
6.9
Not later than 15 April each year the Committee shall cause a notice calling for nominations for the Committee to be posted on the Club notice board and to all Ordinary members. Notice may be given to the member by electronic mail, in which event it shall not be necessary to post a notice to such member.
6.10
Nominations for the Committee shall be in writing, shall be signed by the Nominator, Seconder and the Nominee, and shall be lodged with the Manager of the Club by not later than 15 May prior to the Annual General Meeting at which the election is to take place. All nominations shall be displayed on the Club notice board for not less than fourteen days prior to the said Annual General Meeting. Only Ordinary Members and Honorary Life Members shall be eligible to nominate or second Committee Members.
6.11
Any vacancy occurring on the Committee during its term of office may be filled by co-opting an Ordinary Member to the vacant position. Such co-opted member shall hold office until the next Annual General Meeting provided that if a vacancy should occur in the office of Commodore or Vice-Commodore the co-opted member shall only hold office until the Committee can reasonably call a Special General Meeting for the purpose of electing a member to fill the vacancy. Members shall be informed of any co-option as soon as practically possible.
6.12
If no nominations for a vacant position are received, a vacancy shall be declared and clause 6.11 shall apply.
POWERS OF THE COMMITTEE The Committee shall have power; 7.1
To buy, sell, let, hire, exchange, transfer, receive by way of donation or otherwise, movable and immovable property, including debentures, stocks and shares, provided that: 7.1.1 7.1.2
Any major transaction in respect of the club premises (including water space) shall first be approved by the Club in a General Meeting; And: Provided further that the property of the Club shall be vested in two Trustees from time to time who shall be elected at the Annual General Meeting and who shall hold same in trust on behalf of the Club.
7.2
To borrow money on the security of immoveable property, and pass mortgage bonds on the same, provided that all loans shall first be approved by the Club in General Meeting.
7.3
Generally to deal with the property and funds of the Club for the purposes of the Club, provided that all major capital expenditure shall first be approved by the Club in General Meeting.
7.4
To institute and defend legal proceedings in the Club’s name and perform all legal acts and execute such legal documents as may be necessary.
7.5
To make, amend and rescind bye-laws not inconsistent with this Constitution for the regulation of the affairs of the Club; all such bye-laws shall be notified to Members as soon as possible after adoption by means of publication in the first

CONSTITUTION OF THE ROYAL CAPE YACHT CLUB Newsletter following adoption and shall be recorded by the Secretary in a book kept expressly for that purpose.
8.
7.6
To co-opt additional members for the purpose of serving in a temporary capacity on the Committee or any Sub-Committee.
7.7
To appoint Sub-Committees, consisting of a convenient number of Members, for any special purposes.
7.8
To consider and decide applications for membership.
7.9
To arrange terms of reciprocity and affiliation with other clubs, should they consider it in the interests of the Club.
7.10
To elect Club Consuls who shall be Members (including Honorary Members) to represent the interests of the Club in specific areas in South Africa or abroad.
7.11
To determine, from time to time, the entrance fee and subscriptions payable by each class of member in accordance with the provisions of clause 8
7.12
To investigate and decide whether a Member is the owner of a yacht.
7.13
To appoint and terminate the employment of staff for the Club and to arrange their conditions of employment and remuneration.
7.14
Generally to administer and manage the affairs of the Club.
7.15
To review decisions of the disciplinary committee in terms of 14.2 and to hear appeals in terms of 14.3.
ENTRANCE FEES, SUBSCRIPTIONS AND MOORING FEE CHARGES 8.1
The entrance fees, subscriptions and mooring fee charges shall be as determined from time to time by the Committee provided that: 8.1.1
The annual subscriptions for Ordinary Members shall, pursuant to the provisions of the Liquor Act, be at least R12-00 (twelve rand).
8.1.2
A member, other than an Honorary Member or a Temporary Member, shall not be required to pay any additional entrance fee when transferring from one category of membership to another. The entrance fees, subscriptions and mooring fee charges so determined shall be subject to confirmation at a General Meeting to be held within three (3) monthsofsuchdeterminationandshallbedeemedto havebeensoconfirmed, unless rejected by two-thirds majority of such general meeting.
8.1.3

The Committee may waive the requirement that entrance fees be paid, or may reduce the amount of such fees at such times or for such period as it determines, if it deems it appropriate.
All subscriptions and mooring fees as determined by the Committee in terms of 8.1 shall fall due on 1 July each year and shall be paid either in full within 30 (thirty) days of due date or in 12 (twelve) equal monthly instalments on the last day of every month with effect from the last day of July each year. In the event of a member wishing to pay in instalments: 8.2.1
The total of the annual subscription shall be increased by such amount
CONSTITUTION OF THE ROYAL CAPE YACHT CLUB as the Committee may determine and the general meeting may approve in accordance with 8.1.3 to cover interest and collection charges. 8.2.2
8.3
The member shall, prior to the end of July, notify the Club and furnish the Club either with post-dated cheques to cover the outstanding monthly payments, or sign a bank debit order in respect thereof or make such other arrangements as may be acceptable to the Committee.
Members elected to membership during the course of a year will be liable for a pro rata share of the annual subscription as from the first day of the month in which they are elected to membership.
8.3 bis Entrance fees shall be payable at the time of a person applying to join the
Club provided that an applicant for membership may elect to pay his entrance fee in 12 (twelve) equal monthly instalments with effect from the date on which he is admitted to membership. In the latter event the amount payable shall be increased by such amount as the Committee may determine and the General Meeting may approve in accordance with 8.1.3 to cover interest and collection charges and the provisions of 8.2.2 shall apply, mutatis mutandis, to such payments.
8.4
The Committee shall be entitled, on good cause shown, to reduce the subscription payable by any member for such period and upon such terms as the Committee may decide.
8.5
An Ordinary Member of or above the age of sixty-five (65) years who has been a member for not less than fifteen (15) years shall be entitled, on application, to such reduced subscriptions as may be determined from time to time.
8.6
The Committee shall be entitled to differentiate between the subscriptions payable by Absentee members who are permanently resident within the Republic of South Africa and those who are not.
8.7
Any member intending to resign from the Club shall in writing notify the Secretary of such resignation on or before 30 June in any year, and shall otherwise be liable for his subscription for the ensuing year.
8.8
A member who has been expelled or suspended, or who has resigned after 30 June during any year: 8.8.1
Shall remain liable for such payments, fees, subscriptions and mooring fee charges still due and unpaid by him.
8.8.2
Shall not be entitled to recover any sums by reason of the termination or suspension of his membership prior to the end of the current subscription year.
8.9
Any Member who fails to pay any amount owing to the Club, irrespective of the cause of the debt, within 3 (three) months of due date shall cease to be a member of the Club and his name shall be posted on the Club Notice Board, provided that the Committee shall be entitled on good cause to grant a member extended terms for the payment of his subscription or mooring fee.

The Committee shall be entitled to impose such penalty in respect of overdue payments by members as it may consider appropriate in the circumstances.

CLUB RECORDS AND ACCOUNTING 9.1
The Committee shall keep proper records and books of account of the affairs of the Club including a Register of Members and a Register of Yachts.
9.2
The Committee shall cause the books of account to be audited annually by an auditor who may be a member of the Club, but shall not be a member of the Committee.
9.3
The Committee shall operate a club banking account with such bank or banks as the Committee may decide. All cheques drawn on account of the Club shall be signed by at least two (2) persons, who may be members of the Club’s permanent staff, in accordance with such signing procedures as the Committee may from time to time determine, provided that at least one of the signatories shall be the chief executive officer, or the administrative manager, or a committee member; and provided further that all payments up to the 20th day of a month shall be tabled for ratification by the Committee at the next following general committee meeting.
PROHIBITION AGAINST THE USE OF CLUB FOR BUSINESS 10.1
No member shall use the club address on any communication intended to appear in any newspaper, periodical or publication, or for use on radio or television, except such communications as may be authorised in writing by the Committee, nor shall any member use the Club address for business purposes.
10.2
No member shall carry on any business activities from the Club premises unless authorised in writing by the Committee.
10.3
No person shall be eligible to be or continue as a member of the Club who, in the opinion of the Committee, abuses for business reasons the privileges of membership.
10.4
No yacht used for Commercial Operations shall be on the Club’s register or enjoy the facilities of the Club, unless the Committee in exceptional circumstances otherwise agrees upon such conditions as it may deem fit.
MISCELLANEOUS PROVISIONS 11.1
Every member shall cause his or her address or any change thereof to be recorded with the Secretary.
11.2
Any notice or communication of whatever kind to a Member shall, on being posted in an envelope, bearing such address as at the time of posting is recorded in the Club’s records or transmitted by electronic mail to such an e-mail address as is recorded in the Club’s records, be deemed for all purposes to have been received by such Member within forty-eight (48) hours of it being placed in the post.
11.3
The accidental omission to give notice of any meeting to any person or persons entitled to be present there at shall not invalidate the proceedings at that meeting.
11.4
Any making, alteration or repeal of a bye-law by the Committee shall be notified on the Club notice board for a period of two weeks and shall only on the lapse of such period become effective and binding.
11.5
Every member of the Club shall be entitled at all reasonable times to inspect the

Should a member fail to discharge a debt owing by him to the Club on due date, he may be treated by the Committee as a member who has failed to pay his subscription on due date.
GUESTS 12.1
Members may introduce guests on Club premises.
12.2
A member introducing his guest shall enter his or her name in a Visitor’s Book provided for that purpose, on entering Club premises.
12.3
Every member shall be responsible for the conduct of the guests introduced by him while on Club premises and liable for any damage caused by such guest.
12.4
Only members of the Club, including bona fide reciprocity members, are permitted to pay for any liquor or refreshments supplied therein.
LEGAL STATUS 13.1
The Club shall be a person at law, with all the attributes of juristic personality.
13.2
The Club shall be able to institute and defend legal proceedings and execute all legal acts in its own name.
13.3
The Club chooses domicilium citandi et executandi at its Club premises, Table Bay Docks.
13.4
All legal documents shall be executed on behalf of the Club by the Commodore, or failing him the next senior flag officer available.
13.5
No member or any guest shall have any right of action against the Club for any damage suffered by him through any default or neglect of the Club or its servants.
13.6
Every member of the Committee or Sub-Committee, agent or servant of the Club, shall be indemnified out of the Club’s funds against all costs, charges, expenses, losses and liabilities incurred by him in the conduct of the Club’s business or in the discharge of his duties and no such person shall be liable for the acts or omissions of any other such person by reason of his having joined in any receipt of money not received by him personally, or for any loss on account of defect of title to any property acquired by the Club or on account of the insufficiency of any security in or upon which any monies of the Club shall be invested, or for any loss incurred upon any ground whatsoever other than his own wilful acts of defaults.
DISCIPLINARY PROCEEDINGS 14.1
There shall be a disciplinary Sub-committee which shall: 14.1.1
Consist of a Committee Member (who shall act as Chairman of the Sub- Committee) and such number of Ordinary Members as may be appointed by the Committee from time to time;

Have power to inquire into and decide on charges against members, and to impose such penalty, including fines, as they deem fit, including the right to suspend or expel members who have duly been found guilty

14.1.3
A willful breach of the provisions of this Constitution or of the bye-laws made hereunder;
14.1.2.2
Conduct prejudicial to the interests or reputation of the Club; or
14.1.2.3
Conduct unbecoming a Lady or Gentleman; or
14.1.2.4
Non-payment of any amount owing by a member to the Club including any fine imposed by the Sub-Committee;
Have power to summarily suspend a Member pending an enquiry in terms of the 14.1.2 if the Committee considers that the circumstances warrant such a suspension provided that the enquiry in terms of 14.1.2 shall in that event take place within ten days of such suspension.
14.2
All suspensions which exceed three (3) months in duration, expulsions and fines exceeding fifty percent (50%) of subscriptions current from time to time for Ordinary Members shall be subject to automatic review by the Committee.
14.3
An appeal shall lie from any decision or order made by the Disciplinary Subcommittee to the Committee, provided that:

A notice of appeal shall be lodged with the Secretary within seven (7) days of the date of the decision or order appealed against;

The quorum of the Committee at the hearing of such appeal shall be seven (7); and

Members shall not be entitled to legal representation at any disciplinary hearing or at the appeal from its findings unless the Chairman of the tribunal concerned so rules.
SAFETY AT SEA 15.1
There shall be a Safety at Sea Sub-Committee which shall: 15.1.1 Consist of six (6) members who shall be appointed by the General Committee at its first meeting after the Annual General Meeting of the Club in each year. At least two of the Sub-Committee Members shall be members of the General Committee, one of whom shall be designated as the Chairman who shall act as convener of the Safety Committee. 15.1.2

To issue Certificates of Competence to members of the Club with regard to their boat handling ability and knowledge of seamanship and to set standards for the issue of such certificates;

To arrange lectures, discussions and demonstrations on small craft safety and generally to promote improved standards of seamanship in such manner as it considers appropriate;

To liaise with all other institutions relevant to the safety of craft at sea and in particular to liaise with the port authorities with a view to furthering and enforcing the objectives herein set forth;

To make and enforce rules and regulations for the achievement of its objectives;

To interview persons and to inspect craft to ensure that its rules and regulations are being complied with;
15.1.2.9
To do all such other things as may be necessary for or incidental to the better achievement of its objectives.
Keep a record of its deliberations, findings, rules and regulations.
15.2
The activities and decisions of the Safety at Sea Sub-Committee shall be subject to the control of the Committee.
15.3
The provisions of paragraphs 14.2 and 14.3 shall mutatis mutandis apply to the proceedings and decisions of the Safety at Sea Sub-Committee.
CLUB INSIGNIA 16.1
The Club flag shall consist of a red burgee with a blue fly with a white hanging anchor surmounted by a gold crown superimposed on the burgee: an example of which shall be retained with the Club records for reference purposes.
16.2
The club tie shall consist of a blue tie with red and gold diagonal stripes running along its length at spaced intervals, or of a blue tie with club burgees embroidered all over it, examples of which ties shall be retained with the club records for reference purposes.
RULES AND AMENDMENTS 17.1
The Committee shall have power to make rules relating to the conduct of its own proceedings or the proceedings of the club in general meetings, provided that any rules so made may be amended by a vote of at least two-thirds of Ordinary members present at the meeting.
17.2
If any dispute should arise at any Committee or general meeting in regard to the interpretation of the Constitution, the Chairman of the meeting shall rule thereon, provided that such ruling may be amended by a vote of at least twothirds of Ordinary Members present at the meeting.

This Constitution may be amended at any Annual or Special General Meeting of the Club by a vote of at least two-thirds of Ordinary members present, provided that notice of the proposed amendments shall have been posted on the Club notice board not less than fourteen days prior to the date of the meeting, and special notice of the meeting and of the proposed amendments has been posted, or transmitted by electronic mail, to the last known address or electronic mail address, as is applicable, of each member not less than fourteen (14) days before the meeting.
The Club may be dissolved, or merged with another club with similar purposes and objects, in each case only: 18.1.1
On a resolution passed by not less than two-thirds of Ordinary Members present at a duly constituted general meeting of members; Or
18.1.2
On an application to the Supreme Court by any Ordinary Members on the grounds that the Club has become dormant or is unable to fulfil its purposes and objects.
18.2
On merger, the assets of the Club shall accrue to the Club with which the merger is affected.
18.3
On dissolution, the assets of the Club shall be realised by a liquidator appointed by the general meeting or the court, as the case may be, and the proceeds shall be donated to such club having similar objects to this Club as the meeting or court may decide.

INSIDE HOUSE 1.1 Signing In: No guest may be signed in by any member or members on more than 6 (six) occasions in any continuous 12 month period. 1.2 Dress Code: All members shall wear smart casual clothes in the clubhouse after 19:00, and shall ensure that their guests do the same, except for people in the foyer who are in transit to the change rooms or book for signing in and out. 1.3 Children: Small children are welcome at the Club providing they are supervised by an adult club member or guest. 1.4 Scrutiny for Membership: Unless the general committee or a sub-committee charged with membership affairs decides on a different period (but not less than 14 days as required by paragraph 4.2 of the constitution) in a particular instance, the period for scrutiny shall be the following: 1.4.1 Ordinary: three months; 1.4.2 Family (related to an ordinary existing member) one month; 1.4.2 Other classes of membership: one month. 1.5 Identification: Club Members shall present their membership cards to any staff member, committee member or security officer upon request whilst on the club premises. Guests shall upon request identify themselves and their host. 1.6 Habitual Use of Associate Members: Habitual use of the Club in terms of Clause 3.10 of the Club Constitution will be interpreted as more than once a month, unless the Rear Commodore Inside House rules otherwise in an individual case. 1.7 Use of Club by Reciprocity Members: Reciprocity Members may not use Club facilities on a habitual basis. Reciprocity Members may only use Club facilities once a temporary membership card has been issued to such Reciprocity Member. 1.8
Live-aboards: 1.8.1 No person (including any member of the Club), may live on board any vessel on Club premises (land or water), without the written permission of the General Committee. This consent may be granted for a maximum of three (3) months at a time. 1.8.2 All members or temporary members will be considered by the General Committee for the privilege of live-aboard status. 1.8.3 Live-aboard fees will be charged. Such fees will be determined by the General Committee, at its sole discretion, from time to time. Bona fide visiting yachtsmen (who must apply on arrival for Temporary membership) may apply to live on board their vessel whilst on stop over and berthed at RCYC and shall be exempt from these fees for the duration of their stay provided that the duration does not exceed three (3) months. 1.8.4 Members who live on board any vessel on Club premises for 14 or more days/nights per month must apply in writing to the General Committee for live-aboard status.

In a marriage or customary union recognized in terms of the Laws of the Republic of South Africa. In a union recognized as a marriage in accordance with the tenets of any religion, or In a same sex – or, heterosexual union which the committee, within it’s entire discretion, is satisfied is intended to be permanent.
Mooring Rights Transfer Should any ordinary member (“the transferor”) wish to transfer his or her mooring right to another Ordinary member (“the transferee”), the transferor shall be entitled to transfer the right to transferee at such price as may be agreed between them. This right is subject thereto that the Club shall have the prior right to acquire the mooring right at the price agreed between the transferor and transferee, in which event the transferor shall transfer the mooring right to the Club at such price. Should the Club decline to exercise its right to acquire the mooring right from the transferor, the transferee shall be obliged to acquire the mooring right from the transferor, and the transferor shall be obliged to transfer the said mooring right to the transferee at the price at which it was offered to the Club. Duration of mooring rights agreements: The Club shall not enter into any mooring rights agreement (other than upon the transfer of an existing mooring right) which is valid for a period longer than the lesser of ten years and the present lease of the club over the Small Craft Basin or Elliott Basin. Allocation of mooring rights in the event of relocation: The allocation of moorings, in the event of the Club moving its physical location, shall be based on the frequency of use of a yacht. Allocation of mooring rights (physical position): The allocation of all moorings is at the discretion of the general committee, with due regard to existing mooring agreements, and the intention to promote active sailing. Limitation of Mooring Rights: No member may enter into more than three (3) separate Mooring Rights Agreements at any one time without obtaining written permission from the General Committee. Exercise of mooring rights: The allocation of mooring rights shall only be to Ordinary or Honorary Life members, who shall enter into a written mooring rights agreement. (At the discretion of the Committee such an agreement may be entered into in a representative capacity). Such a mooring right may be exercised by such a member by mooring a yacht not owned by the member, provided that: 2.6.1 it is owned by a company or close corporation in which the member or members acting together has a majority interest, or an immediate family member of such a member, or a trustee of a trust of which the member or his immediate family members are beneficiaries; and 2.6.2 such member will always remain liable for fees and charges relating to that mooring, and 2.6.3 the onus shall rest upon the responsible member or members acting together to prove to the satisfaction of the General Committee that such member, members acting together or such other legal entity contemplated in terms of sub-clause 2.4.1. above, has a bona fide majority interest in the yacht allocated to the designated mooring. The General Committee may in,
CONSOLIDATED BYE-LAWS within its entire discretion, call upon any supporting documentation which shall include, but not be limited to, the applicable deed of sale, partnership agreement, resolutions and or a confirming affidavit. 2.7

Failure to enter into written mooring rights agreement: Any person who fails to enter into a written mooring rights agreement within a period of four months of being called upon to do so, shall forfeit any right he might have, or had that has been transferred to another person during the four months period, without compensation or repayment of allocation fee. Insolvency of Member Holding Mooring Rights: In the event of the sequestration of a member holding the mooring right, his or her trustee shall have the same rights as an executor to sell and transfer the mooring right to another member, within a period of six months from the date of final sequestration, failing which the mooring right shall revert to the club, without compensation or repayment of the allocation fee. Duties of an owner: A vessel moored in terms of the mooring rights agreement must: 2.9.1 at all times hold a valid and current Certificate of Fitness issued as required by SAMSA regulations where required and complies with the RCYC safety requirements; and 2.9.2

Safety: Every owner and skipper shall ensure that their vessel, or its equipment, does not protrude more than 25cm over any walkway.

No vehicle, trailer or equipment may be left unattended, stored or parked on Club premises for a period exceeding 24 hours without the written approval of the Club. This ruling shall not apply to Members who are sailing from the Club and/ or living aboard for a period not exceeding 4 days. No Member who is authorised to live aboard shall be entitled to park more than one vehicle on Club premises. No Member shall be entitled to park or store any unroadworthy motor vehicle, trailer or derelict equipment on the Club’s premises.

whose boat which is entered on the Club fleet register, is cruising in international waters, may apply in writing on an annual basis to the General Committee for mooring rebate. The General Committee may, in its discretion, grant a rebate on such condition(s) as it may deem fit. Permanent Electricity Supply: Should a boatowner require a permanent electrical supply, application must be made in writing to the Outside House Committee. If approved, boat owners will then be invoiced for the installation and charged for the usage. The same applies to the use of electricity by container owners.

Unless exempt as set out hereunder, no person shall be permitted to skipper a yacht unless he/she is in possession of a valid Certificate of Competence issued in terms of the Merchant Shipping (Small Vessel Safety) Regulations 2002 (“the SAMSA regs”).
4.4
The Chairman of the Safety at Sea sub-committee may permit members not being in possession of a valid Certificate of Competence to skipper a yacht, but only in an eventwhich is exempt from the application of the SAMSA regs, and provided that such permission is given for the specific event only. No unlimited exemptions shall be granted. The skipper of a yacht shall ensure that the yacht is signed out and in the applicable Club register. The skipper of a yacht sailed from the club’s moorings shall ensure that the Harbour Regulations and the International Rules for the Prevention of Collisions at Sea are observed. Owners of yachts entered on the Club Register shall ensure that a Certificate of Fitness in respect of such yacht is issued in terms of the SAMSA regs. No member shall be permitted to operate a yacht in respect of which a valid Certificate of Fitness has not been issued.

Record of Rules: All rules made by the Safety at Sea Sub-committee shall be reported to the General Committee at its first meeting thereafter, and a record thereof shall be kept with the minutes of the General Committee. Publication of Rules: All rules made by the Safety at Sea Sub-committee shall remain posted on a notice board in the Club.
Minimum Standards: All vessels moored on Club moorings shall attain the minimum of a D-class Certificate of Fitness in respect of such yacht as prescribed by the SAMSA regs. Owners of yachts shall ensure that a copy of any Certificate of Fitness issued in respect of his/her yacht is lodged with the Club secretary within one month of the date of issue of such Certificate of Fitness. All members to whom Certificates of Competence have been issued in terms of the SAM SA regs shall lodge a copy of such certificate with the Club secretary within one month of the date of the issue of such certificate. The owner of a yacht shall ensure that moored yachts have no fewer than two fenders on each side and a yacht is moored with at least a bow, stern and spring lines of sufficient strength. The owner of a yacht shall also ensure that no loose line lies on the dockside or walkway / walk on mooring. The standards of safety applicable to races organised by or on behalf of the Club shall be those set out in the applicable category of the Special Regulations for Sea Going Sailing Boats published in November 2001 by South African Sailing, as

amended from time to time, unless the Safety at Sea sub-committee has given permission for these Regulations not to apply, which permission must be obtained before any Notice of Race is issued. The skipper of a yacht sailing from the Club’s moorings shall ensure that the yacht is either fitted with a VHF radio which has a speaker in the yacht’s cockpit enabling the skipper to clearly monitor the activity on the radio, or that there is a handheld VHF radio in the yacht’s cockpit for this purpose.
DISCIPLINE 5.1.
All members shall render reasonable assistance to the disciplinary subcommittee (incl. a person appointed by it) in investigating and deciding on disciplinary matters. 5.2. Use of Social Media 5.2.1. No member shall make use of any form of social media or other public platform to defame the Club or any club member. 5.2.2. Members suspected of defaming the Club or any club member will be dealt within terms of the provisions as contained within paragraph 14 of the RCYC Constitution. 6.

GENERAL 6.1
Publication of bye-laws: All bye-laws in force shall be posted on a notice board, and shall remain posted on such notice board.
6.2
Animals: Animals are not allowed on Club premises other than dogs accompanying persons with physical disabilities.
REPEAL All previous bye-laws are repealed, and are replaced by these bye-laws.
