ST. FRANCISVILLE — The West Feliciana Parish School Board spent much of its final meeting of 2015 celebrating accomplishments. The board recognized its three 2015-16 Teachers of the Year: Tonya Aaron for elementary, Heather Howle for middle school and Brandi Chism for high school. They will now compete for regional and possibly statewide honors. “These teachers are very dedicated to their students,� said Human Resources Supervisor Beverly Grant. Nicole Means, who teaches ninth grade classes in advanced placement human geography and world geography, traveled to the Galapagos Islands in September on a National Geographic Grosvenor Teacher Fellowship and discussed how her students used the trip to create books about conservation for students at Bains and Bains Lower. Panel changes course, votes to approve subdivision plat BY JAMES MINTON

Special to The Advocate CLINTON — After saying last week they would not approve a subdivision plat because a barn extends into a servitude of passage, East Feliciana Parish police jurors reversed themselves Tuesday. Jurors approved the subdivision plat for Barry Dwire Jr. after the seller, Mike Mullens, claimed Parish Planning and Commission Chairman Richard Howell overrode the commission by “speaking negatively� against the commission’s vote to grant the two a variance for the intrusion into the servitude. Howell said he merely pointed out in the Dec. 7 jury meeting that the commission, with two members dissenting, did not follow the parish’s ordinance because a variance requires a public hearing. Jurors said on Dec. 7 they agreed with Howell but changed their tune Tuesday when Mullens complained that Howell’s “personal decision� is

jeopardizing Dwire’s plans to be out of his current home by Dec. 26. The meeting was the last in the jurors’ current terms and the final meeting for jury President Dennis Aucoin and Juror Larry Beauchamp. Aucoin did not seek a third term in the fall elections, and Beauchamp was defeated Oct. 24 by Michael Cheatham. Beauchamp, who served a total of 20 years, thanked the other jurors for “coming together� during the past eight years to get the jury on a sound financial footing and to overlay 77 miles of parish roads with money the jury managed to save up over several years. “This is the first time that the jury has taken money generated only in this parish and overlaid any roads,� he said. Beauchamp also commended Aucoin as “the best man I’ve ever served with.� Aucoin, who only voted during his terms as president to break ties, was called into action Tuesday when jurors were

split 4-4 on filling a vacancy on the board of commissioners for Gas Utility District 2, which serves the Ethel area. Jurors Ed Brooks, Dwight Hill, Jason McCray and Louis Kent wanted to reappoint Donna Allen to the board, while Chris Hall, Keith Mills, Sean Smith and Beauchamp supported Johnny Strain. To break the tie, Aucoin voted for Strain. Jurors have been more attentive to the district since 2013, when several of them discovered the district’s equipment being used on private property on behalf of a private water company. They also criticized district Director Michael Bradford and district employees for working off the clock to install gas lines on private property and undercutting area plumbers. Hall said before the meeting he wanted Strain to sit on the board because Strain would not be “pushed around� by Bradford, who is the School Board president and a prominent political force in the parish.

committee. “I did my research on time capsules and learned that things have to be preserved a very specific way,� Salmon said. “There were so many things we couldn’t include, such as electronics, things with batteries or color photography. All of that stuff will not keep underground, which is one of the reasons we decided not to actually bury the time capsule.� The photographs of the town buildings, churches and street scenes, which were taken by Yolanda D’Aquilla, could only be submitted in black and white and printed on special acid-free paper. The photographer and her husband, St. Francisville Mayor Billy D’Aquilla, donated the printing costs for the images. Students from East Feliciana High School and Jackson Elementary listed popular movies, songs, television shows, books, toys, sports teams, electronic gadgets, cars, fashion and more from present day to be included in a cylindrical stainless steel capsule, which has been registered with an Atlanta-based company that keeps official records of capsules worldwide. Attendees of Saturday’s program were invited to sign their names using special archival ink on acid-free paper. Anything printed, such as copies of newspaper articles, pamphlets and menus will all have to be recopied on the special so they will last the next centennial, Salmon said.

Jackson Mayor Charles Coleman holds the time capsule that will be preserved, featuring memorabilia about the East Feliciana Parish community. Salmon, who has worked previously on the town’s Master Plan, thanked the dozens of volunteers and organizations who helped with the bicentennial events over the past year. “We especially want to thank Mayor Charles Coleman for making the bicentennial celebrations possible, both with funding and in direction,� Salmon said. During the program, the Rev. Clark Fooshee, pastor of Second Baptist Church in Jackson, said a prayer blessing Jackson leaders, first responders and program organizers. Women from the church’s choir and Fooshee sang Christmas carols, and refreshments were served.

ST. FRANCISVILLE — One thing became evident during Monday’s West Feliciana Parish Council meeting: Lea Williams is not going to go away without a fight. In the penultimate meeting of the present council, Williams sought to have the parish expropriate a parcel of land at the Mississippi riverfront that has been her target since she first was elected. She introduced an ordinance that would amend the parish’s Building and Grounds budget in order to appropriate funds either $62,000 or $65,000 to cover expenses related to expropriation. Fireworks between Williams and a number of people began almost immediately after her presentation about what property she wants the parish to expropriate. “I’m asking we be put right with what we originally had,� Williams said. Paul A. Lambert Jr., representing the heirs of Paul Lambert Sr., who own some of the property located on a map presented by Williams, asked how many acres she wished to expropriate because she hadn’t presented a survey or legal description of the land. She said 41.9 acres, but Lambert countered that the entire scope of land she wants the parish to expropriate is close to 103 acres. “I don’t think this description is legal. I don’t know how you can expropriate anything without a legal description,� Lambert said.

Alan Kirkpatrick, a member of the Port Commission, told Williams she is putting the cart before the horse because it isn’t clear how much money she is seeking and there isn’t a legal description for what she is seeking with the ordinance. She also sparred with Parish President Kevin Couhig, who accused her of being unprepared, and with Sydney Picou Walker, an incoming council member. Picou Walker said she was “utterly shocked� by the whole proceeding because Williams had not clearly identified what steps need to be taken to properly expropriate any property. “This whole mess with the riverfront has gone on too long,� Picou Walker said. “I don’t believe it’s legal, and I don’t believe it’s appropriate.� The council voted 3-3 on Williams’ request to add an amendment to the ordinance to include the $65,000 to begin expropriation. Melvin Percy, Melvin Young and John Kean voted against the request, while Otis Wilson, Heather Howle and Williams voted for it. Ricky Lambert abstained. At that point, Howle urged Williams to recess the public hearing and take up the issue at the final meeting on Dec. 28, which she did. “You can do what you want, but I’m going to veto this, and you’ll need a supermajority to override it,� Couhig said. “Unless you can get five votes, you’re wasting your time.�

Orientation helpful for Parish Council-elect

ST. FRANCISVILLE — The incoming West Feliciana Parish Council got a head start on learning about governing the parish’s business at an orientation session Dec. 4 at The Francis. The three new council members — Sydney Picou Walker, John Thompson and Bill May — joined Melvin Young and Mel Percy, the two returning councilmen, at the informal meeting, along with department heads and staff from the parish office. After introductory remarks from Parish President Kevin Couhig, the council-elect received briefings on the parish’s Home Rule Charter, Robert’s Rules of Order, parliamentary procedure and overall basic functions and responsibilities of the council. It also learned about the financial structure of the parish, the budget and the different funds and sources for revenue. They also considered committees and what issues they’ll be faced with immediately in January. “It was a very successful retreat,� said Picou Walker, who served previously on the Police Jury from 1987-1991. “The only thing is we ran out of time. Basically, we went through the organizational chart of the parish office. We received an overview of the parish charter and things like the difference between an ordinance and a

resolution. It was very beneficial and I thought a great idea. It was very well-organized and put together, and I wish the first time I served we had done something like that.� The new council will be sworn in Jan. 11 and will attend an orientation by the Police Jury Association of Louisiana in Baton Rouge on Jan. 13. “I wish somebody had been able to do that for me when I became Parish President,� Couhig said. “There’s so much information you have to learn so quickly. I think its main purpose was to give them information, so we’re all on same wavelength and start thinking as a body. I think the more they

talk with each other and the more they talk with us, the better everyone will be.� Several issues made for a rocky relationship between the Council and Couhig when he became the parish’s first elected president. There was often friction with some members over the council’s legislative obligations and responsibilities and his executive authority. He said at this juncture in the parish’s history it’s particularly important the transition from seven members to five is smooth, and it’s important they get off on the right foot. “The most important thing we could do is demonstrate to the public we take their business seriously, and we will treat each other professionally and how to disagree without being disagreeable,� Couhig said. “We need to change the council to one of professional cooperation, rather than a circus.� Bill McClendon, a retired attorney and an adjunct professor at LSU, discussed the importance of effective communication and listening. “The biggest point that was made is that personal feelings need to be left at the door and that everybody is to be treated with dignity and respect,� Walker said. “We want to turn the council around so the public has restored faith in government.� The orientation meeting is available for viewing online at WFParish.org.

Megan Miller, 25, hasn’t missed a beat since her “American Idol� audition on crutches three years ago. The Ethel native says being cut from the 2012 and 2013 seasons of “American Idol� was difficult, but she realizes receiving a golden ticket twice and making it to the Hollywood rounds in California is no small feat and something many aspiring singers only dream about. “I worked so hard to get there and then to be cut so soon — it was very hard,� Miller said. Continuing her dreams and aspirations of becoming a successful, full-time recording artist have never left Miller, who moved to Nashville after graduating LSU in May. A city full of aspiring recording artists and musicians like Miller, the kinesiology major and beauty pageant queen knows that to succeed in the business, one must never give up. “Singing is my passion. It’s my dream, and I won’t quit until I succeed,� said Miller, who appears to be doing just that. The past few months, she’s been filming as a six-episode member of Juliette’s entourage on ABC’s “Nashville.� Her day job includes working at a public relations and political consulting firm, and she recently completed her first summer tour. “I traveled throughout the southeast and northeast, from Louisiana and Florida all the way up to New York,� Miller said. “Upon returning, I competed in the Miss Tennessee USA pageant as Miss Brentwood, where I was named a semifinalist. Since then, I’ve been enjoying carbohydrates and booking shows in town.� Also, on Dec. 11, Miller released her first EP, aptly titled, “Aspire.� “I chose that title because of its literal definition — to direct one’s hopes or ambitions toward achieving something — and how it relates to my goal this past year, which was to finally have my own music,� Miller said. The EP contains four tracks produced and mixed by Travis Ball. Miller co-wrote two of the songs: “Trigger� with Heather Batchelor and “Only One� with Vanessa Olivarez, Karl Rybacki and Elizabeth Elkins. “Only One� is Miller’s fa-

It’s about caring for someone who is so bad for you but realizing love is not enough,� Miller admitted. “I wanted to write this to inspire people into realizing like I did: You are all you need to make yourself truly happy.� The other tracks are the stuff that good country and rock ’n’ roll songs are made of: love, heartache, redemption and going home. On “Guessed Wrong� by Lena Stone, Taylor Watson and Rybacki, the song is about the misconception of the person you are falling for. “Eyes Closed� by Vanessa Bransan and Rybacki is about someone who is appreciative of the big city and all that it offers, yet never forgets the small town where she is from. “This song is a reminder to those back home that I will never forget my roots and everyone who has helped me get to where I am today,� Miller. The lyrics, ‘I never really left, always gonna know how to get back home with my eyes closed’ are very much me.� Miller frequently returns to East Feliciana Parish to visit her parents, John and Donna Miller. In fact, on Wednesday, she’ll be in Baton Rouge performing from 8 p.m. until 11 p.m. at Uncle Earl’s in Baton Rouge, and from 11 a.m. to 3 p.m. on Dec. 24, Miller will sign autographs and copies of her new EP at T&T’s Liquor and Lounge, 6565 La. 19, Zachary. “Aspire� is available digitally everywhere, including Amazon, iTunes and Spotify.

Keeping at-risk youth On Track BY STACY GILL

sgill@theadvocate.com Wilson Police Chief Kenny Stewart and administrator Tammy Garig are working together with families in East Feliciana Parish as part of a plan to deter crime among area youth. The plan involves working with the families of juveniles who have been delinquent, strayed in school or at home but have not yet been arrested. Stewart and Garig have partnered with school administrators, school district officials, local judges, the district attorney and area jails and prisons for their On Track program. “We get so many calls from parents and grandparents involving these unruly juveniles,� Stewart said. “Our goal is to show them what can happen if they continue down the wrong path. It’s like a ‘scared straight’ program but we like to call it On Track.� Parents have to sign off on the program, as do the schools, since the students have to miss one day of school to participate. In the first phase of the program, the youth are taken through the court system, they talk with local law enforcement, judges, the district attorney and watch as offenders get sentenced in court. The second phase of the program includes taking the juveniles to parish prison. Three boys have already been through the On Track program and are in the follow-up phase, Garig said. Four teen girls who got into trouble shoplifting were not charged for their crimes in lieu of working with Garig and Stew-

Veteran Perkins, 93, honored for service Advocate staff report

In November, Fairview Baptist Church in Ethel, the Rev. Yoyo Hill, the congregation and the church’s youth ministry celebrated Veterans Day by honoring Deacon Gayden Perkins Sr., 93. Hill presented Perkins with a plaque and an American flag for his service in the U.S. Army. In 1942 at age 20, Perkins was drafted into the military while attending Southern University in Baton Rouge. He began serving as a private and was sent to North Carolina Agricultural and Technical College in Greensboro to complete

Soon, Perkins was promoted to sergeant over the anti-aircraft Range Section, serving for 28 months with the 503rd Coast Artillery Battalion in the Asiatic-Pacific Theater of Operations, the area of operations of U.S. forces during World War II in the Pacific War from 1941 to 1945. Perkins’ duties included supervising the Range Section in operations and maintenance of fire control instruments and equipment, among others. In 1946, he received a Battle Star and was honorably discharged as a corporal.

eryone up.� Both say they are eager for Sheriff-elect Jeff Travis to take office so that all police department heads can begin working together and get on the same page regarding the On Track program. Stewart said the program is working, and he and Garig believe it’s making a difference. The department is working on another program to help youths. Plans for the Wilson Police Department’s Junior Deputy program have already been submitted to East Feliciana Superintendent Carlos Sam.

West Feliciana High School has been named the state winner in the Samsung Solve for Tomorrow contest, a program that encourages teachers and students to solve real-world issues in their community using classroom skills in science, technology, engineering and math, or STEM. West Feliciana High is among the nation’s 51 state winners — representing all 50 states and Washington, D.C. — and will receive $20,000 in technology tools with a chance to become one of the contest’s 15 national finalists, according to a news release. One winner from each state was selected from more than 4,100 applicants. Each will receive a Samsung Galaxy Camera 2 and ATIV Book 9 laptop to create a video showcasing their proposed solution to the lo-

cal problem — as a low-income community, there often is little access to healthy, fresh produce or the space and means for families to grow their own. With a share of $2 million on the line, Jonathan Simmons, a 10th- through 12-grade teacher, and his students proposed a project to use STEM skills to design, develop and construct a working gardening system that may be used to grow fresh vegetables in the home. From the pool of 51 competitors, 15 national finalists will be selected to pitch their ideas to a panel of judges in New York. America will be able to vote on their favorite ideas. The West Feliciana men’s swimming team placed 11th and the women 15th at the LHSAA Division III swim championships at Sulphur Parks and Recreation Aquatic Center in Sulphur last month. The Lady Saints earned 34 points to place 15th out of 20 teams, while the men were 11th out of 16 teams with 66.5 points. ST. FRANCISVILLE — Educators from six states participated in an early childhood education symposium Dec. 10 hosted by the American Institutes for Research at Bains Lower Elementary. Founded in 1946, AIR is one of the world’s largest behavioral and social science research and evaluation organizations and seeks to facilitate improvement in education, health and workforce issues. More than 15 parishes were represented among the attendees, who heard from several experts, toured the facilities and participated in panel discussions and breakout sessions on early childhood literacy and mathematics. Dr. Virginia Buysse, a principal researcher with AIR and a specialist in early childhood education, was the keynote speaker for the all-day program. She emphasized the need to evaluate and measure how early childhood programs are working through effective policy, educational practices and research that advances knowledge and understanding in the field. “Guiding assessment principles should be clearly identified and should guide all subsequent decisions,� Buysse said. “Assessment is a tool to be used with input from families and other professionals.� Earlier, Bridget Plauche, Family Service Center supervisor and Head Start executive director, gave a brief history of the development of early childhood programming in West Feliciana Parish. She said the success of the programs is a cooperative endeavor, and West Feliciana has had a stellar track record in early childhood educational development

Fire rating improves to Class 4 BY HOWARD ARCENEAUX Special to The Advocate

ST. FRANCISVILLE — West Feliciana Parish property insurance rates should decrease, thanks to a decrease in the Fire Protection District No. 1’s rating from Class 5 to Class 4. Fire Chief James Wood made the announcement after receiving notification from the Property Insurance Association of Louisiana, which evaluates fire departments every five years on a 100-point scale. Fire Protection District No. 1 covers all areas of West Feliciana Parish outside the Town of St. Francisville. The previous rating was obtained 15 years ago “It’s the best rating we’ve ever had,� Wood said. “The bottom line is this validates the efforts of the fire department staff and volunteers to provide a certain quality of service over a lot of years. It means we have the ability to respond to emer-

gencies better and extinguish them.� The more points a department earns, the better the fire rating classification. In 2010, the Fire Protection District earned 57.12 points. The rating improved to 66.38 after the PIAL officials spent a week in September evaluating the FPD on three criteria: communications, fire department operations and water supply. Woods said West Feliciana worked diligently to improve the rating by reorganizing personnel, revamping the training program, adding staff, expanding fire prevention and community risk re-education activities, adding two fire stations and improving the fleet of fire apparatuses. Operations, worth 50 percent of the score, received a 30.09. Water supply, 40 percent of the score, earned a 28.91. Communications, 10 percent of the score, earned 9.80. Some points were deducted for minor penalties.

All of this was done without raising taxes or cutting services.� The new rating will go into effect Jan. 11 and will mean residential and commercial property owners should be eligible for a reduction in their fire insurance premiums. “This wasn’t done overnight; it’s taken five years,� Woods added. “The reduction was not possible without the hard work and dedication of many people, including volunteers, full- and part-time staff, past and present members of the Fire Board of Commissioners, the West Feliciana Water District, West Feliciana 911 District & Sheriff’s Office, the parish president and parish council, especially Mel Young and Mel Percy. I hope the people are happy and recognize the significance of this.�

R.S. 33:4163 and Article III, Section 12-33 of the Code of Ordinances of the Town, have adopted an ordinance, as amended from time to time, which provides for the levy and collection of fees and charges for the sale and distribution of gas by the Gas System, and is now collecting such fees and charges from the customers of the Gas System (the “Gas Revenues,” and, together with the Waterworks Revenues, the “Utilities Revenues”); and WHEREAS, the Issuer currently has no outstanding notes, bonds or other obligations payable from a pledge and dedication of the Utilities Revenues; and WHEREAS, pursuant to Section 1430 of Title 39 of the Louisiana Revised Statutes of 1950, as amended, Chapter 14-A of Title 39 of the Louisiana Revised Statutes of 1950, as amended, and other constitutional and statutory authority, it is now the desire of this Governing Authority to adopt this ordinance in order to provide for the issuance from time to time, and in one or more series, of utilities revenue bonds of the Issuer (the “Bonds”), for the purpose of constructing and acquiring capital improvements, extensions and replacements to the Utilities System, for refunding bonds and/or for providing for a reserve and paying the costs of issuance thereof; NOW, THEREFORE, BE IT ORDAINED by the Mayor and Board of Aldermen of the Town of St. Francisville, State of Louisiana, acting as the governing authority of the Issuer, that: ARTICLE I DEFINITIONS AND INTERPRETATION SECTION 1.1. Definitions. The following terms used in this Ordinance shall have the following meanings, unless the context clearly requires otherwise: “Act” means Section 1430 of Title 39 of the Louisiana Revised Statutes of 1950, as amended, and other constitutional and statutory authority. “Bonds” means any bonds authorized by this General Bond Ordinance

respectively become due and payable, and for the other purposes hereinafter set forth herein. The Pledged Revenues shall be set aside in the funds and accounts described in Section 5.01 and shall be and remain so pledged for the security and payment of the Bonds in principal and interest, and for all other payments provided in this Ordinance, until all of the Bonds shall be fully paid and discharged. SECTION 2.4. Series Ordinances The details of each series of the Bonds shall be set forth in a Series Ordinance to be adopted by the Governing Authority. Each Series Ordinance shall provide the following with respect to the applicable series of the Bonds: (a) the purposes, dated date, series designation and principal amount, and whether such series is issued under the Act and/or the Refunding Act; (b) whether such series will be Fixed Rate Bonds or Variable Rate Bonds, and a description of the applicable interest rate or rates and the first Interest Payment Date; (c) the schedule of principal maturities or installments, or a formula for establishing same; (d) the manner of payment of principal and interest; (e) the optional and/or mandatory redemption provisions; (f) the form or forms of bonds; (g) the designation of the Paying Agent; (h) the terms of sale to the purchaser thereof; (i) the Reserve Fund Requirement and the amount, if any, of proceeds to be deposited into the account in the Reserve Fund; (j) if the series is issued to refund any outstanding obligations, a description of the plan of refunding and approval of any matters necessary or convenient to effect such refunding including the designation of an escrow agent and approval of an escrow deposit agreement, if necessary; (k) except for the first series issued hereunder, a finding by this Governing Authority that the parity requirements of Section 6.01 will have been met with respect to such series, and a proposed form of parity certifications to be delivered on the Delivery Date of the series; (l) authorization of the Executive Officers and/or such other persons as may be so designated to execute documents in connection with such series; (m) the designation of such series as “qualified tax-exempt obligations” under Section 265(b)(3) of the Code, if applicable; (n) provisions for any continuing disclosure agreement as may be required by Rule 15c2-12(b) of the Securities and Exchange Commission [17 CFR §240.15c2-12(b)]; (o) provisions for obtaining the approval of the State Bond Commission for the issuance of such bonds and covenants with respect to compliance with applicable rules and regulations of the State Bond Commission; (p) provisions with respect to any Credit Enhancement; and (q) any other additional provisions as may be necessary in connection with the issuance and sale of such series. SECTION 2.5. Paying Agent The Issuer will at all times maintain a Paying Agent meeting the qualifications hereinafter described for the performance of the duties hereunder for the Bonds and as provided in Section 2.04(g) above will designate the Paying Agent for each series in the applicable Series Ordinance. The Issuer reserves the right to appoint a successor Paying Agent by (a) filing with the person then performing such function a certified copy of appropriate proceedings appointing a successor and (b) causing notice to be given to each Owner. Every successor Paying Agent appointed hereunder shall at all times be a bank or trust company organized and doing business under the laws of the United States of America or of any State, authorized under such laws to exercise trust powers, and subject to supervision or examination by Federal or State authority. SECTION 2.6. Execution The Bonds shall be executed in the name and on behalf of the Issuer by the manual or facsimile signatures of the Executive Officers, and the corporate seal of the Issuer (or a facsimile thereof) shall be thereunto affixed, imprinted, engraved or otherwise reproduced thereon. If facsimile signatures are used, then such signatures shall have been registered with the Louisiana Secretary of State in the manner required by La. R.S. 39:244. SECTION 2.7. Regularity of Proceedings The Issuer, having investigated the regularity of the proceedings had in connection with the issuance of the Bonds, and having determined the same to be regular, each of the Bonds shall contain the following recital, to-wit:

“Paying Agent” means the person or organization designated as such in a Series Ordinance.

“It is certified that this bond is authorized by and is issued in conformity with the requirements of the Constitution and statutes of this State.”

“Parity Obligations” means any additional pari passu indebtedness issued by the Issuer and payable from the Utilities Revenues in accordance with Section 6.01 hereof.

SECTION 2.8. Registration with Secretary of State Each series of the Bonds shall be registered with the Secretary of State and shall bear the legend described in La. R.S. 39:698.9.

“Person” means any individual, corporation, partnership, joint venture, association, joint-stock company, trust, unincorporated organization, or government or any agency or political subdivision thereof.

PREPAYMENT OF BONDS

“Pledged Revenues” means the Utilities Revenues, after provision has been made for payment therefrom for the reasonable and necessary expenses of administration, operation and maintenance of the Utilities System. “Principal Payment Date” means each date on which principal on any series of the Bonds is payable, as shall be set forth in the applicable Series Ordinance, which dates shall occur annually unless otherwise required by the purchaser of any series of the Bonds. “Project” means any additions and improvements to the Utilities System or for other capital improvements that may be financed by the sale of a series of the Bonds. “Refunding Act” means Chapter 14-A, Title 39 of the Louisiana Revised Statutes of 1950, as amended (La. R.S. 39:1444, et seq.), and other constitutional and statutory authority supplemental thereto. “Reserve Fund Requirement” with respect to any issue of the Bonds means a sum set forth in the applicable Series Ordinance equal to at least onehalf of the highest principal and interest requirements on such issue of the Bonds for any future Bond Year. “Series Ordinance” means an ordinance adopted by the Governing Authority in accordance with Section 2.04 authorizing the issuance and sale of any additional series of the Bonds. “State” means the State of Louisiana. “Utilities Revenues” has the meaning set forth in the preambles hereto. “Variable Rate Bonds” means any series of Bonds issued with a variable, adjustable, convertible or other similar rate or rates which are not fixed for the entire term thereof. “Waterworks Revenues” has the meaning set forth in the preambles hereto. “Waterworks System” has the meaning set forth in the preambles hereto. SECTION 1.2. Rules of Interpretation. Unless the context clearly indicates to the contrary, the following rules shall apply to the interpretation and construction of this Ordinance: (a) (b) (c) (d)

words importing the singular number shall include the plural number and vice versa; all references to particular articles or sections herein are references to articles or sections of this Ordinance; the captions and headings herein are solely for convenience of reference and shall not constitute a part of this Ordinance, nor shall they affect its meaning, construction or effect; the terms “hereby,” “hereof,” “hereto,” “herein,” “hereunder” and any similar terms as used in this Ordinance refer to the Ordinance in its entirety and not the particular article or section of this Ordinance in which they appear; and the term “hereafter” means after the date of execution of this Ordinance and the term “heretofore” means before the date of the execution of this Ordinance. ARTICLE II AUTHORIZATION, ISSUANCE AND SALE OF BONDS

SECTION 2.1. Authorization and Issuance of Bonds This General Bond Ordinance authorizes the issuance of indebtedness of the Issuer to be designated “Utilities Revenue Bonds (or Utilities Revenue Refunding Bonds, as the case may be) of the Town of St. Francisville, State of Louisiana,” and provides for the full and final payment of the principal or prepayment price of and interest thereof. All of the Bonds shall be issued under the authority of the Act and/or the Refunding Act, as the case may be. The Bonds shall be issued for the purpose of financing the costs of constructing and acquiring improvements, extensions and replacements to the Utilities System or for other capital improvements, and/or for the purpose of refunding any obligations issued for the same purposes. Proceeds of the Bonds may also be used to pay costs of issuance, costs of credit enhancement, capitalized interest and any initial deposit to the Reserve Fund. SECTION 2.2. Ordinance to Constitute Contract In consideration of the purchase and acceptance of the Bonds by those who shall own the same from time to time, the provisions of the Ordinance shall be a part of the contract of the Issuer with the Owners and shall be deemed to be and shall constitute a contract between the Issuer and the Owners from time to time of the Bonds. SECTION 2.3. Obligation of Bonds All of the Bonds, regardless of the date of issue, shall enjoy complete parity of lien on the Pledged Revenues despite the fact that any of the Bonds may be delivered at an earlier date than any other of the Bonds. Subject to the foregoing, the Pledged Revenues are irrevocably and irrepealably pledged in an amount sufficient for the payment of the Bonds in principal and interest as they shall

ARTICLE III

SECTION 3.1. Optional Prepayment of Bonds The principal installments of the Bonds shall be subject to prepayment by the Issuer in the manner set forth in the applicable Series Ordinance, pursuant to Section 2.04(e) above. SECTION 3.2. Notice of Prepayment Official notice of such call of any of the Bonds for prepayment shall be given by means of first class mail, postage prepaid by notice deposited in the United States Mail not less than thirty (30) days prior to the prepayment date addressed to the Owner of each Bond to be prepaid at his address as shown on the registration records of the Paying Agent, which notice may be waived by any Owner. In the event a portion of the Bonds is to be prepaid, such Bonds shall be surrendered to the Paying Agent, who shall note the date and amount of such prepayment in the space provided therefor on the Bonds. ARTICLE IV APPLICATION OF BOND PROCEEDS SECTION 4.1. Issuance of Bonds; Application of Proceeds All of the proceeds derived from the sale of each series of the Bonds, except for any proceeds as may be designated in a Series Ordinance for deposit into the Reserve Fund or as accrued interest into the Debt Service Fund or as may be required in connection with the refunding of any indebtedness, shall be deposited by the Issuer in a construction fund to be established for such series of the Bonds (the “Construction Fund”). The funds in the Construction Fund shall be used solely for the purpose of paying Costs of the Project. However, in the case of refunding bonds, the proceeds to be used for refunding shall be applied to the immediate prepayment of the refunded obligations, or deposited into an escrow fund, as may be set forth in a Series Ordinance. Any accrued interest and premium received upon the sale of the Bonds shall be deposited in the debt service fund described in Section 5.01(a) hereof. SECTION 4.2. Investment of Construction Fund Moneys in the Construction Fund may be temporarily invested in the manner provided by Louisiana law. Said moneys shall be sacred funds and the Owners shall have a lien thereon until said funds are paid out as provided in the Loan Agreement and this Ordinance. Any investment earnings on moneys in the Construction Fund may be retained in the Construction Fund and applied for the purposes described in this Section, or may be transferred to the Debt Service Fund described in Section 5.01(a) hereof and applied to the payment of interest accruing on the Bonds during the period of construction of Project. All moneys in the Construction Fund shall at all times be secured to the full extent thereof by the banks or trust companies holding such funds by direct obligations of the United States of America or the State of Louisiana having a market value not less than the amount of moneys then on deposit in said funds. ARTICLE V PAYMENT OF BONDS; FLOW OF FUNDS SECTION 5.1. Funds and Accounts The Waterworks Revenues shall be deposited daily as the same may be collected in the Issuer’s existing “Water Fund” (the “Water Fund”), and the Gas Revenues shall be deposited daily as the same may be collected in the Issuer’s existing “Gas Fund” (the “Gas Fund”). Funds in the Water Fund and the Gas Fund, after payment of the reasonable and necessary expenses of administration, operation and maintenance of the Utilities System, shall be expended in the following order of priority and for the following express purposes: (a) The establishment and maintenance of a “Utilities Bond Debt Service Fund” (the “Debt Service Fund”), sufficient in amount to pay promptly and fully the principal of and the interest on the Bonds, as they severally become due and payable, by transferring from funds in the Water Fund and the Gas Fund to the Debt Service Fund, except as provided below, monthly on or before the 25th day of each month of each year, a sum equal to 1/6th of the interest falling due on the Bonds on the next Interest Payment Date and a sum equal to 1/12th of the principal falling due on the Bonds on any Principal Payment Date that occurs within the next ensuing twelve months, together with such additional proportionate monthly sum as may be required to pay said principal and interest as the same become due. Provided, however, with respect to principal and interest payments due on the Bonds on or before December 1, 2016, the monthly transfers described hereinabove shall not be applicable and transfers from funds in the Water Fund and the Gas Fund to the Debt Service Fund with respect to interest payments and principal payments due on the Bonds on or before December 1, 2016, shall be transferred to the Debt Service Fund three (3) days prior to the applicable interest payment date and principal payment date. The Issuer shall transfer from said Debt Service Fund to the paying agent(s) for all Bonds payable from the Debt Service Fund, or directly to the Owners, not less than three days prior to each Interest Payment Date, funds fully sufficient to pay promptly the principal and interest of the Bonds falling due on such date. The Debt Service Fund shall be maintained at the Bank of St. Francisville. (b) Any money remaining in the Water Fund and Gas Fund after making the above-required payments may be used by the Issuer for the purpose of calling

10290 and/or purchasing and paying any bonds payable from the Pledged Revenues, or for such other lawful corporate purposes as the Governing Authority may determine. SECTION 5.2. Notification of Deficiencies As required by La. R.S. 39:1410.62 the Issuer will notify the State Bond Commission, in writing, whenever (i) transfers to any fund required to be established by this Ordinance or any ordinance authorizing the issuance of indebtedness of the Issuer have not been made timely or (ii) principal, interest, premiums, or other payments due on the Issuer Bonds or any other outstanding indebtedness of the Issuer have not been made timely. SECTION 5.3. Investment of Funds All or any part of the moneys in the foregoing funds and accounts shall, at the written request of the Issuer, be invested in accordance with the provisions of the laws of the State of Louisiana, except that moneys in any account in the Reserve Fund, if any, must be invested in Government Securities maturing in five (5) years or less from the date of investment. All income derived from such investments shall be added to the money in said respective funds or to the Revenue Fund and such investments shall, to the extent at any time necessary, be liquidated and the proceeds thereof applied to the purpose for which the respective funds are herein created. For the purpose of determining if the required amount is being maintained in any of the funds, such investment securities shall be valued at least annually at the lesser of amortized cost (exclusive of accrued interest) or fair market value. SECTION 5.4. Deposit of Funds and Security Therefor All of the Utilities Revenues shall be deposited daily as provided in Section 5.01 hereof in the Water Fund and the Gas Fund, as the case may be, which Funds shall be maintained separate and apart from all other funds of the Issuer. The Debt Service Fund and the Reserve Fund shall be held by the depository banks as special trust funds for the purposes provided in this Ordinance, and all other funds shall be held by the designated banks as special deposits for the purposes set forth in this Ordinance, and subject to such reasonable instructions as the Governing Authority may give in writing to the banks holding such funds. The Owners are hereby granted a lien on all funds established pursuant to the requirements of this Ordinance until applied in the manner herein provided, provided that the Owners will only have a lien or claim against the account in the Reserve Fund that pertains to the issue of the Bonds that such Owners own. The moneys on deposit in all of the funds herein required shall at all times be secured to the full extent thereof by the banks or trust companies holding such funds by direct obligations of the United States of America or the State of Louisiana having a market value not less than the amount of moneys then on deposit in said funds. ARTICLE VI ISSUANCE OF PARITY OBLIGATIONS SECTION 6.1. Issuance of Parity Obligations; Parity Requirements The Issuer hereby covenants that after the issuance of the initial series of bonds hereunder, it shall issue no other bonds hereunder or otherwise, or obligations of any kind or nature payable from or enjoying a lien on any part of the Pledged Revenues having priority over or parity with any of the Bonds, except that Parity Obligations may be issued hereunder and hereafter if the following conditions are met: (a)

(b)

If any outstanding bonds of the Issuer are proposed to be refunded with reduced annual debt service in each Bond Year and no extension of the final maturity date, then the Issuer may issue refunding bonds to effect such refunding, and such refunding bonds shall enjoy complete equality of lien with any portion of the Bonds that is still outstanding; or Parity Obligations may also be issued if all of the following conditions are met: (i)

The average Pledged Revenues received by the Issuer for the two (2) completed Fiscal Years immediately preceding the issuance of the Parity Obligations must have been not less than 1.25 times the average debt service requirements of the Bonds and any Parity Obligations theretofore issued and then outstanding and any other bonds or obligations whatsoever then outstanding which are payable from the Pledged Revenues (but not including Bonds which have been refunded or provisions otherwise made for their full and complete payment and prepayment), and the Parity Obligations so proposed to be issued; provided, however, that if Parity Obligations are being issued as Variable Rate Bonds, this calculation shall be made assuming interest on said bonds at historical levels of the applicable variable rate during the previous three (3) years as determined by a nationally recognized underwriter experienced in handling bonds with similar variable rates; and provided further that this limitation may be waived or modified by the written consent of the owners of any bonds then outstanding.

(ii)

The payments required to be made into the various funds provided in Section 5.01 hereof must be current;

(iii)

The existence of the facts required by paragraphs (i) and (ii) above must be determined and certified to by an independent firm of certified public accountants who have previously audited the books of the Issuer, or such successors thereof as may have been employed for that purpose, or may be certified by a registered municipal advisor;

(iv)

(v)

The proceeds of the Parity Obligations must be used solely for the making of improvements, extensions, renewals, replacements or repairs to the Issuer’s sewerage system or for other capital improvements, or to refund any outstanding revenue bonds payable from a pledge of the Pledged Revenues issued for such purposes; and The Issuer must certify that all conditions prescribed in this Section have been met. ARTICLE VII PARTICULAR COVENANTS

SECTION 7.1. Levy and Collection of the Utilities Revenues. The Issuer is obligated and is bound under the terms and provisions of law to levy, impose, enforce and collect the Utilities Revenues for the full period of its authorization and to provide for all reasonable and necessary rules, regulations, procedures and penalties in connection therewith, including the proper application of the proceeds of the Utilities Revenues. The Issuer has a legal right to issue the Bonds and to pledge the net revenues of the Utilities Revenues as herein provided and the Bonds issued hereunder will have a lien and privilege on the net revenues of the Utilities Revenues until all of such Bonds have been retired as to both principal and interest and all obligations to the provider of Credit Enhancement, if any, have been paid. Nothing herein contained shall be construed to prevent the Issuer from altering, amending or repealing from time to time as may be necessary this Ordinance or any other ordinance or resolution that provides with respect to the Utilities Revenues, said alterations, amendments or repeals to be conditioned upon the consent of any provider of Credit Enhancement and the continued preservation of the rights of the Owners and the provider of any Credit Enhancement, with respect to the net revenues of the Utilities Revenues. The ordinances imposing the Utilities Revenues and pursuant to which the Utilities Revenues is being levied, collected and allocated, and the obligations to continue to levy, collect and allocate the Utilities Revenues and to apply the revenues therefrom in accordance with the provisions of the propositions authorizing the levy and collection of the Utilities Revenues, shall be irrevocable for the full period of its authorization until the Bonds have been paid in full as to principal, premium, if any, and interest, and shall not be subject to amendment in any manner which would impair the rights of the Owners from time to time of the Bonds or which would in any way jeopardize the prompt payment of principal thereof and interest thereon. More specifically, neither the Legislature of Louisiana nor the issuer may discontinue or decrease the Utilities Revenues or permit to be discontinued or decreased the Utilities Revenues in anticipation of the collection of which the Bonds are being issued, or in any way make any change which would diminish the amount of the net revenues of the Utilities Revenues pledged to the payment of the Bonds received by the Issuer, until all of such Bonds shall have been retired as to both principal and interest and all amounts payable under this Ordinance and any Supplemental Ordinance have been paid in full. SECTION 7.2. Enforcement of Rights The Owners of any of the Bonds may, either at law or in equity, by suit, action, mandamus or other proceeding, enforce and compel performance of all duties required to be performed as a result of issuing the Bonds and may similarly enforce the provisions of any ordinance imposing the Utilities Revenues and any proceedings authorizing the issuance of the Bonds. SECTION 7.3. General Tax Covenants In the event that any of the Bonds are issued as tax-exempt bonds for federal income tax purposes, the Issuer covenants and agrees that, to the extent permitted by the laws of the State of Louisiana, it will comply with the requirements of the Code in order to establish, maintain and preserve the exclusion from “gross income” of interest on the Bonds under the Code. The Issuer further covenants and agrees that it will not take any action, fail to take any action, or permit any action within its control to be taken, or permit at any time or times any of the proceeds of the Bonds or any other funds of the Issuer to be used directly or indirectly in any manner, the effect of which would be to cause the Bonds to be “arbitrage bonds” or would result in the inclusion of the interest on any of the Bonds in gross income under the Code, including, without limitation, (i) the failure to comply with the limitation on investment of Bond proceeds or (ii) the failure to pay any required rebate of arbitrage earnings to the United States of America or (iii) the use of the proceeds of the Bonds in a manner which would cause the Bonds to be “private activity bonds”.

For any one or more of the following purposes, in addition to the adoption of Series Ordinances pursuant to Section 2.04 with respect to the issuance of additional series of the Bonds, and at any time from time to time, an ordinance supplemental hereto may be adopted, which, upon the filing with the Paying Agent and any rating agency which is then rating the Bonds, of a notice thereof at least fifteen (15) days prior to the adoption thereof, and thereafter with a certified copy thereof, but without any consent of the Owners, shall be fully effective in accordance with its terms: a)

to add to the covenants and agreements of the Issuer in the Ordinance other covenants and agreements to be observed by the Issuer which are not contrary to or inconsistent with the Ordinance as theretofore in effect;

(b)

to add to the limitations and restrictions in the Ordinance other limitations and restrictions to be observed by the Issuer which are not contrary to or inconsistent with the Ordinance as theretofore in effect; to surrender any right, power or privilege reserved to or conferred upon the Issuer by the terms of the Ordinance, but only if the surrender of such right, power or privilege is not contrary to or inconsistent with the covenants and agreements of the Issuer contained in the Ordinance;

(c)

(d)

to cure any ambiguity, supply any omission, or cure or correct any defect or inconsistent provision of the Ordinance; or

(e)

to insert such provisions clarifying matters or questions arising under the Ordinance as are necessary or desirable and are not contrary to or inconsistent with the Ordinance as theretofore in effect.

SECTION 8.2. Supplemental Ordinances Effective With Consent of Owners Except as provided in Sections 2.04 and 8.01, any modification or amendment of the Ordinance or of the rights and obligations of the Issuer and of the Owners hereunder, in any particular, may be made by a supplemental Ordinance, with the written consent of the Owners of a majority of the Outstanding principal amount of the Bonds at the time such consent is given. The Issuer shall give a notice thereof to the Paying Agent and any rating agency which is then rating the Bonds, at least fifteen (15) days prior to the adoption thereof, and thereafter shall furnish to said persons a certified copy thereof. No such modification or amendment shall permit a change in the terms of prepayment or maturity of the principal of any outstanding Bond or of any installment of interest thereon or a reduction in the principal amount or the prepayment price thereof or in the rate of interest thereon without the consent of the Owner of such Bond, or shall reduce the percentages of Bonds the consent of the Owner of which is required to effect any such modification or amendment, or change the obligation of the Issuer to levy and collect the Utilities Revenues as provided herein, without the consent of the Owners of all of the Bonds then outstanding, or shall change or modify any of the rights or obligations of either the Paying Agent without its written assent thereto. ARTICLE IX EVENTS OF DEFAULT; REMEDIES SECTION 9.1. Events of Default If one or more of the following events (in this Ordinance called “Events of Default”) shall happen, that is to say, (a) if default shall be made in the due and punctual payment of the principal of any Bond when and as the same shall become due and payable, whether at maturity or otherwise; or (b) if default shall be made in the due and punctual payment of any installment of interest on any Bond when and as such interest installment shall become due and payable; or (c) if default shall be made by the Issuer in the performance or observance of any other of the covenants, agreements or conditions on its part in the Ordinance, any supplemental Ordinance or in the Bonds contained and such default shall continue for a period of forty-five (45) days after written notice thereof to the Issuer by the Owners of not less than 25% of the Outstanding principal amount of the Bonds; or (d) if the Issuer shall file a petition or otherwise seek relief under any Federal or State bankruptcy law or similar law; then, upon the happening and continuance of any Event of Default the Owners shall be entitled to exercise all rights and powers for which provision is made under Louisiana law. ARTICLE X MISCELLANEOUS SECTION 10.1. Defeasance (a) If the Issuer shall pay or cause to be paid to the Owners of all Bonds then outstanding, the principal and interest and prepayment premium, if any, to become due thereon, at the times and in the manner stipulated therein and in the Ordinance, then the covenants, agreements and other obligations of the Issuer to the Owners shall be discharged and satisfied. In such event, the Paying Agent shall, upon the request of the Issuer, execute and deliver to the Issuer all such instruments as may be desirable to evidence such discharge and satisfaction and the Paying Agent shall pay over or deliver to the Issuer all moneys, securities and funds held by them pursuant to the Ordinance which are not required for the payment or prepayment of Bonds not theretofore surrendered for such payment or prepayment. (b)

Bonds or interest installments for the payment of which money shall have been set aside and shall be held in trust (through deposit by the Issuer of funds for such payment or otherwise) at the maturity date thereof shall be deemed to have been paid within the meaning and with the effect expressed above in this Section if they have been defeased using Defeasance Obligations pursuant to Chapter 14 of Title 39 of the Louisiana Revised Statutes of 1950, as amended, or any successor provisions thereto.

SECTION 10.2. Parties Interested Herein Nothing in the Ordinance expressed or implied is intended or shall be construed to confer upon, or to give to, any person or corporation, other than the Issuer, the Paying Agent and the Owners any right, remedy or claim under or by reason of the Ordinance or any covenant, condition or stipulation thereof; and all the covenants, stipulations, promises and agreements in the Ordinance contained by and on behalf of the Issuer shall be for the sole and exclusive benefit of the Issuer, the Paying Agent and the Owners. SECTION 10.3. No Recourse on the Bonds No recourse shall be had for the payment of the principal of or interest on the Bonds or for any claim based thereon or on this Ordinance against any member of the Governing Authority or officer of the Issuer or any person executing the Bonds. SECTION 10.4. Successors and Assigns Whenever in this Ordinance the Issuer is named or referred to, it shall be deemed to include its successors and assigns and all the covenants and agreements in this Ordinance contained by or on behalf of the Issuer shall bind and enure to the benefit of its successors and assigns whether so expressed or not. SECTION 10.5. Severability In case any one or more of the provisions of the Ordinance or of the Bonds issued hereunder shall for any reason be held to be illegal or invalid, such illegality or invalidity shall not affect any other provision of the Ordinance or of the Bonds, but the Ordinance and the Bonds shall be construed and enforced as if such illegal or invalid provisions had not been contained therein. Any constitutional or statutory provision enacted after the date of the Ordinance which validates or makes legal any provision of the Ordinance or the Bonds which would not otherwise be valid or legal shall be deemed to apply to the Ordinance and to the Bonds. SECTION 10.6. Publication of Ordinance; Peremption This Ordinance shall be published one time in the official journal of the Issuer. SECTION 10.7. Effective Date This Ordinance shall become effective immediately. SECTION 10.8. Recordation. As required by La. R.S. 33:4163 and Article IV, Section 12-44 of the Code of Ordinances of the Town, the Mayor and Board of Aldermen, acting as the governing authority of the Town (the “Governing Authority”), have adopted an ordinance, as amended from time to time, which provides for the levy and collection of fees and charges for the sale and distribution of water by the Waterworks System, and is now collecting such fees and charges from the customers of the Waterworks System (the “Waterworks Revenues”); and WHEREAS, the Governing Authority pursuant to La. In addition to words and terms elsewhere defined in the General Bond Ordinance and this First Supplemental Bond Ordinance, the following words and terms as used in this First Supplemental Bond Ordinance shall have the following meanings, unless some other meaning is plainly intended: “First Supplemental Ordinance” means this ordinance authorizing the issuance of the Series 2015 Bonds, as adopted on December 8, 2015. “General Bond Ordinance” means the General Bond Ordinance described in the preambles hereof. “Interest Payment Date” means each June 1 and December 1, commencing June 1, 2016. “Paying Agent” with respect to the Series 2015 Bonds means the Town Clerk of the Issuer, unless and until a successor Paying Agent shall have assumed such responsibilities pursuant to the General Bond Ordinance. “Pledged Revenues” means the Utilities Revenues, after provision has been made for payment therefrom for the reasonable and necessary expenses of administration, operation and maintenance of the Utilities System. “Purchaser” means the Bank of St. Francisville. “Series 2015 Bonds” means the Issuer’s Utilities Revenue Bonds, Series 2015, authorized to be issued by this First Supplemental Ordinance and particularly by Section 2 hereof. “Town” means the Town of St. Francisville, State of Louisiana. “Utilities Revenues” has the meaning set forth in the preambles hereto. “Utilities System” has the meaning set forth in the preambles hereto. SECTION 2. Authorization of Series 2015 Bonds. (a) Pursuant to the provisions of the General Bond Ordinance and the Act, and other constitutional and statutory authority, it is hereby authorized a series of bonds of the Issuer to be designated “Utilities Revenue Bonds, Series 2015”, for the purpose of paying the costs of constructing capital improvements, extensions and replacements to the Utilities System owned and/or operated by the Issuer, which Series 2015 Bonds shall be issued in the aggregate original principal amount of not exceeding Eight Hundred Thousand Dollars ($800,000). The Series 2015 Bonds shall be dated the Delivery Date and shall be issued as a single fully registered bond numbered R-1. The Series 2015 Bonds shall bear interest from the date thereof with

(c) The principal and interest on the Series 2015 Bonds shall be payable by check or wire transfer to the registered owner of the Series 2015 Bonds (determined as of the Interest Payment Date) at the address shown on the registration books kept by the Paying Agent for such purpose, provided that payment of the final installment of principal on the Series 2015 Bonds shall be made only upon presentation and surrender of the Series 2015 Bonds to the Paying Agent. (d) The principal installments of the Series 2015 Bonds are subject to prepayment at the option of the Issuer at any time, in whole or in part, at a prepayment price of par plus accrued interest, if any, to the prepayment date and in such case the remaining principal of the Series 2015 Bonds shall continue to mature in installments calculated using the percentages shown in Section 2(b) above. (e) Each series of the Series 2015 Bonds shall be issued in the form of a single fully registered bond, initially numbered R-1, and shall be in substantially the form attached hereto as Exhibit A. (f) The Town Clerk of the Issuer shall be the initial Paying Agent for the Series 2015 Bonds. (g) The Series 2015 Bonds are hereby awarded to and sold to the Purchaser at a price of par, and after their execution and authentication by the Paying Agent, the Series 2015 Bonds shall be delivered to the Purchaser or its agents or assigns, upon receipt by the Issuer of the agreed purchase price. (h) No proceeds of the Series 2015 Bonds will be used to refund any outstanding obligations. (i) The Series 2015 Bonds being the initial emission of bonds under the General Bond Ordinance, the parity requirements of Section 6.01 of the General Bond Ordinance are not applicable. (j) The Executive Officers are each hereby empowered, authorized and directed to do any and all things necessary and incidental to carry out all of the provisions of the General Bond Ordinance and this First Supplemental Ordinance, to execute and deliver the Loan Agreement, and to cause the Series 2015 Bonds to be prepared and/or printed, to issue, execute and seal the Series 2015 Bonds and to effect delivery thereof as hereinafter provided. In connection with the issuance and sale of the Series 2015 Bonds, the Executive Officers and the chief financial officer of the Issuer are each authorized, empowered and directed to execute on behalf of the Issuer such additional documents, certificates and instruments as they may deem necessary, upon the advice of bond counsel, to effect the transactions contemplated by this First Supplemental Ordinance. The signatures of said on such documents, certificates and instruments shall be conclusive evidence of the due exercise of the authority granted hereunder. (k) The Series 2015 Bonds have been designated as “qualified tax-exempt obligations” within the meaning of Section 265(b)(3) of the Code. (l) It is recognized that the Issuer will not be required to comply with the continuing disclosure requirements described in the Rule 15c2-12(b) of the Securities and Exchange Issuer [17 CFR §240.15c2-12(b)], because (i) the Series 2015 Bonds are not being purchased by a broker, dealer or municipal securities dealer acting as an underwriter in a primary offering of municipal securities, and (ii) the Series 2015 Bonds are being sold to only one financial institution (i.e., no more than thirty-five persons), which has such knowledge and experience in financial and business matters that it is capable of evaluating the merits and risks of the prospective investment in the Series 2015 Bonds and is not purchasing the Series 2015 Bonds for more than one account or with a view to distributing the Bonds. (m) The Series 2015 Bonds have been previously approved by the State Bond Commission. (n) There will be no Credit Enhancement with respect to the Series 2015 Bonds. SECTION 3. Construction Fund; Disbursements from Construction Fund. The Construction Fund created and established pursuant to Section 4.01 of the General Bond Ordinance shall be held and maintained at the Bank of St. Francisville. Purchase price installments of the Bonds for the payment of Costs of the Project shall be made by the Purchaser to the Issuer for deposit into the Construction Fund from time to time as the construction of the Project progresses, subject to the satisfaction of the following conditions: (a) in connection with each disbursement, the Issuer shall submit a requisition to the Purchaser in the form attached hereto as Exhibit C; (b) disbursement shall be made by the Purchaser to the Issuer not more frequently than twice per calendar month; and (c) each disbursement shall be subject to the review and approval of the Purchaser. SECTION 4. Parties Interested Herein Nothing in this First Supplemental Ordinance expressed or implied is intended or shall be construed to confer upon, or to give to, any person or corporation, other than the Issuer, the Paying Agent and the Owners of the Series 2015 Bonds any right, remedy or claim under or by reason of this First Supplemental Ordinance or any covenant, condition or stipulation thereof; and all the covenants, stipulations, promises and agreements in this First Supplemental Ordinance contained by and on behalf of the Issuer shall be for the sole and exclusive benefit of the Issuer, the Paying Agent and the Owners of the Series 2015 Bonds. SECTION 5. No Recourse on the Series 2015 Bonds No recourse shall be had for the payment of the principal of or interest on the Series 2015 Bonds or for any claim based thereon or on this First Supplemental Ordinance against any member of the Governing Authority or officer of the Issuer or any person executing the Series 2015 Bonds. SECTION 6. Successors and Assigns Whenever in this First Supplemental Ordinance the Issuer is named or referred to, it shall be deemed to include its successors and assigns and all the covenants and agreements in this First Supplemental Ordinance contained by or on behalf of the Issuer shall bind and enure to the benefit of its successors and assigns whether so expressed or not. SECTION 7. Severability In case any one or more of the provisions of this First Supplemental Ordinance or of the Series 2015 Bonds issued hereunder shall for any reason be held to be illegal or invalid, such illegality or invalidity shall not affect any other provision of this First Supplemental Ordinance or of the Series 2015 Bonds, but this First Supplemental Ordinance and the Series 2015 Bonds shall be construed and enforced as if such illegal or invalid provisions had not been contained therein. Any constitutional or statutory provision enacted after the date of this First Supplemental Ordinance which validates or makes legal any provision of this First Supplemental Ordinance or the Series 2015 Bonds which would not otherwise be valid or legal shall be deemed to apply to this First Supplemental Ordinance and to the Series 2015 Bonds. SECTION 8. Publication; Peremption This First Supplemental Ordinance shall be published one time in the official journal of the Issuer, or if there is none, in a newspaper having general circulation in the Issuer. It shall not be necessary to publish the exhibits to this First Supplemental Ordinance but such exhibits shall be made available for public inspection at the offices of the Governing Authority at reasonable times and such fact must be stated in the publication within the official journal. For a period of thirty (30) days after the date of such publication any persons in interest may contest the legality of this First Supplemental Ordinance and any provisions herein made for the security and payment of the Series 2015 Bonds. After such thirty day period no one shall have any cause or right of action to contest the regularity, formality, legality, or effectiveness of this First Supplemental Ordinance and the provisions hereof or of the Series 2015 Bonds authorized hereby for any cause whatsoever. If no suit, action, or proceeding is begun contesting the validity of the Series 2015

Bonds authorized pursuant to this First Supplemental Ordinance within the thirty days herein prescribed, the authority to issue the Series 2015 Bonds or to provide for the payment thereof, and the legality thereof, and all of the provisions of this First Supplemental Ordinance and such Series 2015 Bonds shall be conclusively presumed, and no court shall have authority or jurisdiction to inquire into any such matter. SECTION 9. Effective Date This First Supplemental Ordinance shall become effective immediately. SECTION 10. Recordation As required by La. R.S. 39:698.13, this First Supplemental Ordinance shall be filed for recordation in the Mortgage Records of West Feliciana Parish. SECTION 11. Post-Issuance Guidelines The Mayor and Board of Alderman do hereby adopt and approve the postissuance guidelines attached hereto as Exhibit B. The principal of this Bond, upon maturity or redemption, is payable in such coin or currency of the United States of America which at the time of payment is legal tender for payment of public and private debts by check mailed by the Issuer to the registered owner, provided that the final payment of principal shall be made only upon presentation and surrender hereof. Interest shall be payable by check mailed by the Issuer to the registered owner. The interest so payable on any Interest Payment Date will, subject to certain exceptions provided in the First Supplemental Bond Ordinance (hereinafter defined), be paid to the person in whose name this Bond is registered as of the Record Date (which is the 15th calendar day of the month next preceding an Interest Payment Date). Any interest not punctually paid or duly provided for shall be payable as provided in the First Supplemental Bond Ordinance. The principal installments of this Bond shall be subject to prepayment at the option of the Issuer at any time, in whole or in part, in inverse order of maturity, at a prepayment price of par plus accrued interest to the prepayment date. This Bond represents the entire series of bonds of the Issuer designated “Utilities Revenue Bonds, Series 2015” aggregating in principal the sum of Eight Hundred Thousand Dollars ($800,000) (the “Bond”), this Bond having been issued by the Issuer pursuant to a resolution adopted by the governing authority of the Issuer on October 13, 2015, and pursuant to the provisions of the General Bond Ordinance adopted by the Governing Authority on December 8, 2015, as supplemented by the First Supplemental Bond Ordinance adopted by the Governing Authority on December 8, 2015 (collectively, the “Bond Ordinance”), for the purpose of (1) providing funds to finance a portion of the costs of constructing and acquiring capital improvements, extensions and replacements to the waterworks system and gas system owned and /or operated by the Issuer (collectively, the “Utilities System”); and (2) paying the issuance costs thereof; under the authority of Section 1430 of Title 39 of the Louisiana Revised Statutes of 1950, as amended, and other constitutional and statutory authority. THIS BOND AND THE ISSUE OF WHICH IT FORMS A PART ARE PAYABLE AS TO BOTH PRINCIPAL AND INTEREST SOLELY FROM THE UTILITIES REVENUES (AS DEFINED HEREIN), AND DOES NOT CONSTITUTE AN INDEBTEDNESS OR PLEDGE OF THE GENERAL CREDIT OF THE ISSUER WITHIN THE MEANING OF ANY CONSTITUTIONAL OR STATUTORY PROVISIONS RELATING TO THE INCURRING OF INDEBTEDNESS. This Bond and the issue of which it forms a part are payable as to both principal and interest solely from the levy and collection by the Issuer of fees and charges for the sale and distribution of water by the waterworks system, and the levy and collection by the Issuer of fees and charges for the sale and distribution of gas by the gas system (the “Utilities Revenues”), after provision has been made for payment therefrom for the reasonable and necessary costs of administering, operating and maintaining the Utilities System, all as provided in the Bond Ordinance and this Bond does not constitute an indebtedness or pledge of the general credit of the Issuer within the meaning of any constitutional and statutory limitation of indebtedness. The governing authority of the Issuer has covenanted and agreed not to discontinue or decrease or permit to be discontinued or decreased the Utilities Revenues in anticipation of the collection of which bonds to be issued by the Issuer pursuant to the Bond Ordinance have been issued, nor in any way make any change which would diminish the amount of the Utilities Revenues pledged to the payment of such bonds until all such bonds payable therefrom shall have been paid as to both principal and interest. For a more complete statement of the Utilities Revenues from which and conditions under which this Bond is payable, a statement of the conditions under which additional bonds may hereafter be issued pursuant to Bond Ordinance, and the general covenants and provisions to which this Bond is issued, reference is hereby made to the Bond Ordinance. This Bond shall not be valid or become obligatory for any purpose or be entitled to any security or benefit under the Bond Ordinance until the certificate of registration hereon shall have been signed by the Town Clerk of the Issuer, as registrar. This Bond is issued with the intent that the laws of the State of Louisiana shall govern its construction. It is certified that this Bond is authorized by and is issued in conformity with the requirements of the Constitution and statutes of the State of Louisiana.
