Letter of Agreement AGREEMENT made this 25th Day of March 2008 between “Teatro de Chile” (the “Company”)
and Latino International Theater Festival of New York, Inc. (the “Presenter”) Presenter and Company are entering into an agreement to co-present four (4) performances of NARCISO by Manuela Infante (the “Engagement”) involving 2 performers and 3 artistic personnel from Teatro Chile (collectively, the “Artists”), at a theater festival organized by Presenter under the name “TeatroStageFest”. Presenter and Company mutually agree to the following terms: Company agrees that Artists will perform the Engagement hereinafter provided, upon all the following terms and conditions stated below, including those entitled “Additional Terms and Conditions:” 1. 3. COMPANY FULL FEE AGREED UPON: Two Thousand Dollars ($2,000.00 USD) as a fee paid out as conditioned below, and One Thousand Five Hundred Dollars ($1,500.00 USD) in per diem paid out as conditioned below.
Additional Terms and Conditions: A. Compensation Terms: All payments to Company shall be paid by check issued by the Presenter. Company’s fee shall be paid in two (2) installments predicated upon the approval in the U.S. of Presenter’s petition for Artists’ visa by the US Homeland Security Department. The first installment of One Thousand Dollars ($1,000) to be paid on first load in day; and the second and final installment of One Thousand Dollars ($1,000) to occur following the load-out of the Engagement. Such compensation shall be the only compensation of any kind payable by the Presenter for Company’s and Artists’ services hereunder, and Company shall be responsible for any payments to the Artists. In the event that the Presenter, Company and Artists, by mutual consent, agree to a fifth ( 5th) performance for Sunday, June 8th at 6:00pm, then Company will be compensated with an additional Five Hundred Dollars ($500.00 USD), to be paid at the time of the final installment.

Presenter will provide three (3) hotel rooms (1 single room and 2 double rooms) for the night of Tuesday, June 3, 2008 through the night of Sunday, June 8, 2008 for a noon checkout of Monday, June 9, 2008. The above per diem table is subject to change should there be an adjustment to the Company’s and Artists’ itinerary, actual stay in New York and/or their participation through the Engagement. Local transportation will be provided by the Presenter for transportation between the airport and hotel. Presenter will retain all ticket revenues from performance (s) without deduction. Presenter shall further retain any and all revenue derived from the sale of festival related merchandise without deduction. Company shall refrain from selling any merchandise during the Engagement without prior written approval of Presenter.
B. Advertising and Publicity; Personal Appearances: B-Roll Footage; Documentary Company and Artists hereby grant Presenter the perpetual use of Company’s and Artists' photographs, likeness, voice, artwork, and logos in television commercials, radio commercials, print advertising, Playbill, and all press and publicity related to the Engagement without further compensation to Company or Artists. Company and Artists acknowledge that the Presenter intends to video tape short segments of the Engagement (commonly understood in the theatrical industry as “B-Roll” footage) to be used for news and archival purposes. No additional compensation will be required for the taping of B-Roll footage. Company’s and Artists’ press obligations are intrinsic to the production and a consideration for the total compensation hereunder. Therefore Company and Artists shall, at Presenter's request, be available at reasonable times for personal appearances, including, without limitation, post-show audience discussions, interviews for newspapers, magazines, and other publications, and appearances on radio and television, in connection with the promotion and publicizing of the Engagement without additional compensation. Company and Artists will not, without Presenter’s prior written approval, issue or authorize the publication of any news stories or publicity relating primarily to the Engagement, and agree that all personal publicity will be cleared in advance through the Press Representative for the Engagement during the term hereunder. Should Presenter elect to tape footage for documentary purposes during rehearsal and/or performances of the Engagement, Company and Artists consent to the use of their voice and likeness for use in such documentary and further agree to participate in interviews for the documentary as is reasonably requested by Presenter. Company and Artists also consent to the use of his/her voice and likeness should Presenter elect to tape performances from the festival for non-broadcast archival purposes and/or produce a video highlight reel from the festival for use in Presenter’s future fundraising and publicity efforts promoting TeatroStageFest.
C. Production: Company’s production elements, including but not limited to all scenery, props, costumes, Artists and other company members, crew, travel, related cartage and all related materials needed to present the work beyond repertory inventory of the hosting theater (“Production Elements”), will arrive in the United States at the loading Page 2 of 4
dock of the theater designated above on or before the first Load-In day and time stipulated herein. Except for certain mutually agreed upon set furniture and props to be provided by Presenter, costs for all other Production Elements are to be paid by Company. Presenter will provide the theatre space and local crew listed above, according to the quantity and time designated. Any occurrence or act under Company’s control that extends this allocation and incurs additional expense to Presenter will be the responsibility of Company and the cost of such deducted from the final installment of Company’s fee payment. Presenter and Company will mutually agree upon a technical rider that identifies set elements and hand props to be provided by the Presenter. Presenter is under no obligation to provide the exact sizes, dimensions, colors and shapes of items listed on the technical rider but will use best efforts to adhere to these specifications when possible. Any material deviation by either party from the agreed upon technical rider must be in writing and signed by an authorized representative from the Company and the Presenter.
