The Implementation Rules for the Board of Trustees of Effat University
Article 1
Chapter 1: Definitions
In this Law, the following terms shall have the meanings assigned thereto:
1. Law: Law of Universities rendered by the Royal Order No. (M/27) on 2/3/1441 H and its amendments.
2. The implementation rules: The implementation rules for the Board of Trustees of Effat University.
3. The General Secretariat: The General Secretariat of the Council of Universities Affairs.
4. The Owner: King Faisal Foundation.
5. The Board: Effat University Board of Trustees
6. The Chair: Chair of the Board of Trustees of Effat University
7. The Vice Chair: Vice Chairman of the Board of Trustees of Effat University.
8. Member: Member of the Board of Trustees of Effat University.
9. Board Secretary: Secretary of the Board of Trustees of Effat University.
Chapter 2: Objectives
Article # 2
These implementation rules aim at regulating the Board’s affairs, ensuring the integrity of its decisions in accordance with the provisions, regulations, and rules issued by the Council of Universities Affairs.
Chapter 3: Board of Trustees Formations
Article # 3
The University shall have a board of trustees appointed by the Minister for a term of three years, subject to renewal, and formed as follows:
1. Four (4) members from the private sector with expertise in finance, investment, and law, nominated by the Owner and not employed by the University.
2. Three (3) members with expertise in university education. nominated by the owner, and not employed by the University.
3. University’s President.
4. A representative from the General Secretariat.
▪ The Board of Trustees may increase the number of the members with the approval of the Minister.
▪ If any position of the Board of Trustees members becomes vacant, a replacement shall be appointed for the remaining term with the approval of the Minister.
The Minister may extend the term of the Board of Trustees cycle after the end of the term for a period not exceeding one year.
Article 4
Chapter 4: The Board of Trustees’ Roles & Responsibilities
The Board of Trustees shall be in charge of establishing the overall policy of the University in a way that ensures the effective fulfilment of its mission and the achievement of its administrative, financial, and academic objectives. The Board of Trustees’ role includes, but is not limited to:
1. Approving the University Charter and its amendments, in accordance with the regulations and laws of the Kingdom of Saudi Arabia.
2. Establishing the academic, financial, administrative and educational policies, as well as the objectives of the University.
3. Assuming the governance of the University and ensuring the realization of its vision, mission, and objectives.
4. Approving the development plans of the University.
5. Nominating the University President, appointing the Vice President, the Provost, the Deans, and the Supporting Deans.
6. Approving the internal bylaws and regulations governing the financial, administrative, academic, and other matters, as well as its amendments and modifications.
7. Approving scholarships and the governing rules for the training and the professional development of the faculty members and the like.
8. Approving the regulations governing the support for research, innovation, authorship, translation, and publication.
9. Approving the regulations governing the provision of consultation and academic services.
10. Approving investment and endowment policies, and accepting donations, grants, and other forms of funds, provided they do not contradict with the University’s goals, nor violate its relevant laws and regulations.
11. Recommending the approval of academic programs for the degrees offered by the University and submitting them to The General Secretariat of the Council of University Affairs.
12. Approving the tuition fees for academic programs.
13. Approving the formation of the Scientific Council.
14. Recommending the approval of the establishment, merging, abolition, or amendment of the names of colleges, deanships, institutes, centres, and academic departments, and submitting them to the General Secretariat of the Council of the Universities Affairs.
15. Approving the establishment of scientific chairs.
16. Approving the formation of advisory Councils, defining their authorities, and establishing their operating rules.
17. Approving academic and technical collaborative agreements and memoranda of understanding.
18. Approving the social responsibility plan.
19. Appointing one or more external auditors for the University’s accounts.
20. Approving the University’s annual report and providing copies to the owner and the Secretariat General.
21. Approving the University’s final accounts and submitting them to the owner.
22. Recommending the approval of the University’s annual budget and submitting it to the owner.
23. Reviewing matters referred to by its Chair or proposed by any of its members.
24. The Board may delegate certain powers to its Chair or any other Councils in the University, and it has the right to form as well as nullify interim or standing ad hoc committees or Councils from among its members, or others to review matters referred thereto.
Article 5
Subject to the Article (9) of Effat University Charter, Administrativeand academicexpertise, familiarity with universitysystems andregulations shall be taken into consideration when nominating council member. They should have expertise in higher education, regulatory affairs, investment, and finance.
Article 6
A Remuneration for the president, vice president, and members shall be disbursed from the university budget in accordance with the regulations set by The Owner.
Chapter 5: End of Appointment
Article 7
The appointment of the Chair, Vice Chair, or any Board member may be terminated before the specified term by an order of the Minister of Education.
Article 8
If any position of the Chairman, Vice-Chair or any member becomes vacant for any reason such as incapacity, death, resignation, or dismissal, a replacement shall be appointed for the remaining term, according to the procedures for appointment.
Chapter 6: Board Meetings
Article 9
Based on Article (14) of the regulations, Chair may call for a meeting when necessary or upon a written request by at least half of its members. The Board decisions shall be passed by majority vote of attending members.
Article 10
The invitation should be sent at least ten days prior to the meeting date. The agenda items shall be shared with the Council members.
Article 11
No member of the Board is permitted to abstain from voting, members may delegate other members to vote on their behalf.
Article 12
The Board member is obligated to declare any potential conflict of interest, and they are not allowed to vote or participate in decision-making if they have a direct or indirect interest in the matter. It is the responsibility of the Chair to clarify such situations.
Article 13
The Board may, when necessary and in urgent cases as determined by the Chair, conduct an exceptional meeting. The agenda shall be limited to the specific matters for which the Board is meeting for.
Article 14
▪ The Board of Trustees shall meet upon a call by its Chair or Vice Chair at least once every month during the academic year. The Chair may call for a meeting when necessary or upon a written request by at least one third of its members, or at the request of the University President who may add items to the meeting agenda.
▪ All Board members are required to attend its meetings and its sub-committees, and to efficiently and effectively carry out assigned tasks. Members should provide advance notice of their absence. They must be prepared to discuss, vote on agenda items, and sign minutes, while respecting the authority of the Chair and the opinions of others. Members should accept the majority decision of the Board, maintain confidentiality regarding discussions and decisions until they are officially announced.
Article 15
In accordance with the powers and jurisdictions specified by Effat University Charter for both the Board of Trustees and the University Council, if either party objects to the jurisdiction of the other, the objecting council/board shall formally notify the other party in writing of their objection and the reasons for it. The matter shall then be reconsidered. If the objection persists, it shall be escalated to The University Council for further discussion in the next session. The Board sets its meeting calendar for the following academic year during its final meeting of the academic year.
Chapter 7: Board Secretariat
Article 16
The Board, in coordination with the University President, shall select a member of the University’s staff to serve as the secretary of the Board. The secretary is not entitled to vote in the Board of Trustees meetings and is not counted on the quorum of attendance.
Article 17
The Secretary is responsible for:
1. preparing the agendas for the Council meetings, and related committees.
2. Supervising the documentation of the meeting minutes, circulating meeting agendas to members at sufficient time before the meeting.
3. Recordingallboardproceedingsinthemeetingminutes,preparingtheminutes,andensuring signing them.
4. Notifying the relevant councils with the Board’s decisions.
5. Performing the administrative tasks of the Board.
6. Handling tasks assigned by the Board or the Chair.
7. Receiving the member’s suggestions related to the meetings’ agendas.
Chapter 8: General Provisions
Article 18
The University should provide to The General Secretariat of the Council of University Affairs the following:
1. Submit an annual progress report outlining the achievements and activities.
2. Acopy oftheminutesoftheBoardofTrustees, its decisions with their attachments, after they have been approved. Implementation of some of these decisions require the approval of the General Secretariate of the Universities’ Affairs is needed.
Article 19
The Board shall establish implementation rules to organize its operations in a manner consistent with Effat University Charter
Article 20
The Council of University Affairs oversees the Board’s performance, ensuring the integrity of its decisions. It has the authority to request any additional information or data to fulfill this responsibility
Article 21
This regulation shall enter into force from the date of its approval by Effat University Board of Trustees.
Article 22
The Board of Trustees of Effat University has the authority to interpret this regulation.
