Elia establishes a Euro Medium Term Note Programme Elia System Operator SA/NV (the “Issuer”, or “Elia”) has established a Euro Medium Term Note Programme (the “EMTN Programme”) for the aggregate amount of EUR 3 Billion. BNP Paribas is the arranger of the programme and BNP Paribas, J.P. Morgan Securities plc, KBC Bank NV and Coöperatieve Centrale Raiffeisen-Boerenleenbank B.A. (Rabobank International) will act as dealers of the EMTN Programme. Under the EMTN Programme, Elia may at various moments in time issue notes (the “Notes”) in series or tranches denominated in Euros. The Notes will be listed on the NYSE Euronext Brussels. The features of the EMTN Programme are described hereafter. Under the EMTN Programme, Notes for institutional or retail investors can be issued. The Notes will constitute unsecured obligations (subject to provisions of a negative pledge) of the Issuer and rank pari passu, without any preference among them and with all other unsecured and unsubordinated indebtedness. The Notes may be issued in various amounts and tenors, and may bear fixed, floating interest, or may not bear interest. If, in respect of any particular issue, there is a particular identified use of proceeds, this will be clearly stated and detailed in the applicable Final Terms. The net proceeds arising from the Notes under the EMTN Programme will be used for general corporate purposes. In most cases, the general corporate purposes include (i) the refinancing of currently outstanding loans and other debt, (ii) the financing of Elia’s investment programmes. The prospectus describing the programme in detail has been approved by the FSMA, the Financial Services and Markets Authority in Belgium.
