NICOSIA The foundation of the city dates back around 2250 years and it is now the capital of the island with a population of around 110,000 and was developed mainly during the Lusignan period. The city is divided into Turkish and Greek sectors by a boundary known as the green line, which runs in an east - west direction. The ramparts, were built by the Venetians in 1570 to protect the city from the Turks. They encircle the city and are 4.5km in length and consisting of 11 towers. Inside the city walls are numerous remains of the Venetian and Ottoman periods. KYRENIA Kyrenia was founded in the 10th Century BC by Achaean settlers. The Byzantine, who built the original castle, fortified it again in the 7th Century and the castle was later expanded first by the Lusignans and then by the Venetians. The British built a harbour and a quay under British Empire and the town was an en-route resting place for officers, captains and their families for its picturesque situation, beautiful harbour and leisurely and romantic atmosphere. The town still retains its character with many restaurants and bars along the harbour and hotels spreading east and west of the town along the coastline, which rises to form an impressive backdrop with the mountains behind. The region, now an attractive holiday resort, boasts many historic sites worth visiting. Among these are the Kyrenia Harbour, Kyrenia Castle, the Shipwreck Museum, St. Hilarion Castle, Bellapais Abbey and the Cypriot Folk Arts Museum.

FAMAGUSTA Famagusta was founded by Ptolemy Philadelphus of Egypt in the 3rd Century BC. Originally a fishing village, Famagusta was grown by the influx of refugees first from Salamis in 648 then by the Christian refugees after the invasion of the Holy Lands (1291 AD.) It soon became one of the most important and wealthy cities in the region. At one time (early 14th Century) about 350 churches and many trading posts were built within the area, later fortified with impressive defensive walls by the Venetians. In 1372 the Genoese invaded the island and the city, sacking most of its wealth. In 1571 under the long siege by the Ottoman Turks many buildings were damaged by the cannon balls. The British used the stones to build the Suez Canal and the Quays of Port Said. In 1974 the City was again under siege by Greek Cypriots, with 11,000 Turkish Cypriots defending the city, until it was ended by the arrival of the Turkish troops. The important historical monuments worth visiting are: The Walls and Bastions, Lala Mustafa Pasha Mosque (St. Nicholas Cathedral) and Othello Tower. Also Salamis Ruins, Royal Tombs, St. Barnabas Monastery and The Ruins of Enkomi are places to visit around Famagusta. Company Incorporation process in Northern Cyprus Company Incorporation process in Northern Cyprus: The legal form widely used for business undertakings in the TRNC both by foreign investors and by the local businessmen, is the private limited company. The provisions concerning the limited companies are set out in the Companies Law, Cap. 113. In relation to setting up company, TRNC laws allow %100 foreign partnership. However, if the field of activity is property development or buying more than one or bigger than 1340 Square meter land the majority shares (i.e. 51%) should be hold by TRNC citizens. For such incorporation, 100.000 USD should be deposited as capital contribution of the company. This money is regarded as capital of the company, and the blockage on this amount is lifted once the incorporation is completed. The incorporation process is as follow: a) Company Name Search; b) Ministry of Economy Affairs Approval; c) Companies Registry Approval; d) Registry to Tax Office. Corporate Structure to Secure the Foreign Shareholders’ Interest: As mentioned above, the foreign shareholders can only own 49% in a company if the Company is ıntendıng to regıster more than one proeprty or bigger than 1340 sqaure meter land and the majority of the shares in the company (i.e. 51%) should be owned by TRNC citizens in accordance with the Immovable Property Acquisition (Foreigners) Law (the “Law). In order to minimize the risks, besides the below mentioned mechanisms, the shareholding percentages that the TRNC citizens own can be divided into portions. As an example, in a property company having 51% TRNC citizen shareholding, a TRNC citizen nominee may hold less than 51% (i.e. 49%) and another TRNC citizen nominee may hold 2% so that together the total shares that the TRNC citizens hold in the company become 51%. In this way, the foreign shareholders shall be in majority with 49%, however, no shareholder in the company shall be able to get a shareholders resolution by himself. a) Trust Mechanism: This mechanism includes a trust deed to be signed by all the TRNC citizen shareholders (hereinafter referred to as the “nominee shareholders”) and the foreign shareholder(s) that the nominee shareholders are holding the shares in the company as nominees, all the rights arising from the shares (including but not limited to voting, dividend, appointment of the directors and auditor rights etc.) belong to the foreign shareholders, the nominee shareholders shall transfer the shares to foreign shareholders and/or their nominees immediately whenever required by the foreign shareholders. BUYING A PROPERTY IN TRNC BUYING A PROPERTY IN TURKISH REPUBLIC OF NORTHERN CYPRUS (TRNC) Buying a property in TRNC can be a complicated and strenuous procedure for those who are not familiar with the law and legal procedure. At MS Advocates and Legal Consultants we pride ourselves with the benefit of many years of extensive experience in the conveyancing procedures for the sale and purchase of both residential and commercial property in North Cyprus. TAXES IN RELATION TO PROPERTY PURCHASE There are four main taxes involved in any property sale and purchase transaction these taxes are: • Capital gains tax • V.A.T. • Transfer fee • Stamp duty Capital Gains Tax Capital Gains Tax (Stopaj) which is payable to the Tax Office is payable by the Vendor. The Tax Office requires a copy of the Contract of Sale to be presented to it prior to transfer of title. It will then calculate the Capital Gains Tax based on either the Assessed Value or the Contract value, whichever is the highest. V.A.T. The Tax Office requires a copy of the Contract of Sale to be presented to it prior to transfer of title. It will then calculate the VAT based on either the Assessed Value or the Contract value, whichever is the highest. V.A.T is currently 5% of Assessed Value or the Contract Value. The payment of VAT depends on whether or not the transaction is subject to VAT. This depends on whether the Vendor (the person who has title to the property not simply contractual ownership or possession of the property) is deemed by the Tax Office to be a ‘Professional Vendor’ (i.e. whether the transaction is of a commercial nature or for profit). If the Vendor is deemed to be a Professional Vendor, the transaction will be subject to VAT. If the Vendor is a private individual, not a Professional Vendor, the transaction will not be subject to VAT. Transfer Fee Transfer Fee which is payable to Land Registry Office just before transfer of title takes place is usually paid by the purchaser and is is currently 6% of the property assessed value or the contract price whichever is the highest. Everyone is entitled to a once in a lifetime exemption to pay 3%. Stamp Duty Stamp duty which is payable to the Tax Office and is calculated on the contract value of the property. Generally Stamp Duty is payable by the Purchaser, although this can always be varied by the parties by an express clause in the Contract of Sale. All Contracts of Sale must be registered at the District Lands Office within 21 days of being signed and it is now compulsory for the Stamp Duty to be paid at the rate of 0.5% before registration can take place.

At the initial meeting we will obtain the particulars of the property you have chosen to purchase and look at any informal agreements you have made with the vendor regarding the purchase price, payment schedule and any items included in the sale. We will explain the procedure that you will need to follow including the taxes and fees you will need to pay and recommend that a lawyer is appointed to carry out the preliminary investigations on your behalf to ensure the transactions are carried out securely and efficiently. The general principles of our services are outlined below:a) In order to protect your rights and interests we will prepare a Contract of Sale tailored to your specific requirements identifying the particulars of sale, the completion dates, responsibilities of both parties and default penalties and compensation clauses. The contract will be given to you and the vendor for review and if both parties are satisfied with the contents the contract will be signed. b) We will undertake a land regisrty search at the relavant Land Registry Office in order to confirm that the seller is the registered freehold owner of the immovable property, that the property is free from any liens, charges or encumbrances. We will analyse the documents and check that the relavant building permits, construction permissions and approvals have been obtained. c) Once we are satisfied with the results of the search we will proceed to register the Contract of Sale at the District Land Registry office. It is compulsory for the registration of all contracts of sale for the purchase of immovable property at the District Land Registry office within 21 days of the contract being signed and for the stamp duty to be paid at the rate of 0.5% of the property value before registratıon can take place. Registering the contract ensures that you are protected from the property being sold or transferred to a third party and from any subsequent liens being placed on the property. d) Under the laws of the TRNC non-TRNC Citizens are entitled to take title to only one property up to a maximum area of 5 donums per household providing that the property only consists of one dwelling (unless you form a company or constitute a trust with a local person). The Immovable Property Acquisition and Long term Lease (Aliens) Law (52-2008) of Turkish Republic Northern Cyprus (TRNC) requires that every non-TRNC citizen has to obtain Permissıon to Purchase from the TRNC Council of Ministers before the title to the property can be registered in their name. At MS Advocates and Legal Consultants we will make the applicatıon for a purchase permit on your behalf. e) The Council of Ministers will carry out relavant searches these include land searches, military searches and immigration authorities searches. The Council of Ministers will also need to be satisfied that you are of good character and have no criminal records. Provided that these are satisfactory permission to purchase wıll be granted. We will notify you once your permission has been granted and we will complete the necessary land registry valuation forms. The taxes due on completion will be paid and we will then instigate the transfer of the title deeds into your name. The obtainıng of permission to purchase is a long procedure and can take up to two years or longer but this does not mean that you wıll be unable to take possession your new property once the contracts have been exchanged. CITIZENSHIP BY INVESTMENT Citizenship by Investment in Cyprus According to the programme a non-Cypriot investor in Cyprus economy may apply for the acquisition of the Cypriot citizenship through Naturalization by exception. Advantages: • An express procedure. Within 3 months from the moment the documents have been submitted, the passport is issued for an applicant and his spouse, and then within one more month to the dependent children; • No need to reside in Cyprus any single day. This is not something up to the government official’s judgment – the directive is clear: no need to reside in Cyprus. Some applicants were coming only once to submit the fingertips; • The investments must be kept in place for 3 years. After the expiration of the 3 years, the assets can be realized while the passport remains. The Directive stipulates that a property of minimum value of €500,000+VAT must be kept as a residence FOR LIFETIME- can be exchanged for another property but of the same value. Vat can be reduced from 19% to 5% provided that it is used as the primary residency of the applicant under certain conditions. • All moneys are invested for the benefit of the applicant in own assets. • An applicant is receiving not just a passport, but an EU passport. That means he can enjoy the basic freedoms of the EU Treaties such as freedom of establishment and movement throughout the EU. The applicant can freely reside, establish work, study, have business in any of the EU-member states as well as in the EEA countries: Switzerland, Liechtenstein, Norway and Iceland, and also travel visa-free in 157 countries in total. EU passport not only provides an opportunity to spend as much time and work throughout the EU with no visa requirements or working permits. The changes include the reduction of the minimum investment amount to EUR 2 million (from EUR 2,5 million) and the possibility to include the parents of the main applicant provided that an additional EUR 500,000 + VAT will be invested in the purchase of a private residence in Cyprus. Any non-Cypriot citizen may apply for Cypriot citizenship through Naturalization by Exception if they meet one of the


investment criteria presented below. The qualification may either be done personally or through a company/companies in which the applicant acts as a shareholder or even as a high-ranking senior manager. 1. Investment in real estate, developments and infrastructure projects The applicant should make an investment of at least EUR 2 million for the purchase or construction of real estate. 2. Purchase, establishment, or participation in Cypriot businesses and companies The applicant must make an investment of at least EUR 2 million in the purchase, creation or participation in businesses or companies that are based and operating in the Republic. These businesses or companies should have a demonstrable and tangible presence in Cyprus and employ at least five Cypriot citizens. 3. Investment in Alternative Investment Funds or financial assets of Cypriot enterprises or Cypriot organizations licensed by the Securities and Exchange Commission The applicant should purchase units amounting to at least EUR 2 million from Alternative Investment Funds (AIF). This criterion also covers the purchase of financial assets of Cypriot businesses or organizations for at least EUR 2 million, in the form of bonds, securities and debt securities. 4. Combination of the above investments The applicant may invest in a combination of the above, provided that the total investment amounts to at least EUR 2 million. The applicant’s investment combination may include the purchase of special government bonds of the Republic of Cyprus of up to EUR 500,000. Another important requirement that applies, regardless of the investment option chosen, is the purchase and life-time possession of a property in Cyprus that will be declared as the applicant’s residence in Cyprus. The purchase price of the particular property should be at least EUR 500,000 plus VAT. In the case that the applicant proceeds with the real estate option, this property can be included in the EUR 2 million investment (VAT is additional to the investment requirement.)
