Introduction

Welcome to VGM Group’s 2023 year in review.

Every single day, we as employee owners at VGM Group have the opportunity to make a difference. Even seemingly small gestures, like taking one extra phone call at the end of the day, have an incredible impact—for our company, our community, and our customers. Multiply that effort across more than 1,500 employee owners, and you have the makings of something special.

This is the power of 100% employee ownership. This is what makes VGM Group a little different. We’re not just focused on the day, week, or quarter. We are always looking ahead. Because we are Creating a Future. Building a Legacy.

This is why we call our annual report “Stories of Opportunity.” It’s our way of spotlighting the successes we’ve had over the past year and the employee owners behind them. And the stories you’ll read in this report are but a fraction of what our employee owners have achieved.

There truly is something for everyone here. No matter what your background or where you are in your career, you belong at VGM. Here are some of the things that brought us together in 2023.

Founders’ Day on Van Miller Way

On Thursday, Aug. 31, we recognized Van G. Miller and his many contributions to our company and the Waterloo community with a special Founder’s Day event. Employee owners and members of the community gathered at VGM Group headquarters as we unveiled the new street sign marking our updated address on Van Miller Way.

It’s been 15 years since Van and his business partners sold VGM to its employees, making the company 100% employee owned. We’re a much larger and more diverse company today, but we still do many things…the Van Miller Way.

My Van Miller Way is building relationships. Connect with a customer and they’ll do business with you. Connect with a coworker and they’ll teach you something. One of the best ways we can invest in our company is by getting to know other people.

How fast do you think you and 3-5 friends could: eat a large pizza, complete a 300-piece puzzle, and drink 8 beverages of your choice? VGM employee owners found out at the firstever Pizza, Puzzles & Pints event, held at the VGM Farm in August. The winning time? 23 minutes and 27 seconds!

Events All Summer Long

Who doesn’t like a little competition, networking, and fun? Especially when paired with hot eats and cool drinks! Throughout July and August employee owners got to Find the Fun in Their Day with trivia, music bingo, pickleball, and ping pong competitions. Plus! Various local food trucks rolled onto VGM’s Waterloo locations for Tasty Tuesdays, and we invited everyone to grab a cold one from our VGM bar cart for regular Thirsty Thursdays!

Connections and Coasters

In June, we hosted our annual Heartland Conference in our hometown of Waterloo, Iowa. Heartland is a little different from other industry conferences, though. We kick off the festivities with a Midwest cookout and fireworks display. And this year, attendees got to do some networking…while riding some rollercoasters. This Connections and Coasters event was a new addition to the conference and a perfect way to welcome our record number of new attendees:

We Value Diversity, Equity, and Inclusion

At VGM Group, we’re creating a workplace where everyone feels they belong. Allyship and supporting one another as employee owners are vital to those efforts. This year, guided by our Diversity, Equity, and Inclusion (DEI) Committee, we updated one of our Power of One Principles to reflect that.

Cohorts of Support

VGM continues to invest in programs that help employee owners build their networks and learn from one another. The Evolving Leader Program recognized its second graduating class this year, while Women in Leadership (WIL) celebrated its eighth year. VGM Young Professionals (YP) hosted numerous social and educational events, from family visits to a pumpkin patch to podcasts. And the VGM OWLs, a group for 40+ professionals, added impactful networking events, like watching the UNI women’s basketball team take on Caitlin Clark and the Iowa Hawkeyes from the bird’s eye view of a McLeod Center suite.

A Taste of Employee Ownership

Nothing brings people together quite like food. That might be especially true at VGM. This year, VGM YP and the DEI Committee partnered to create the Taste of VGM Cookbook With over 80 pages of recipes from employee owners throughout the country, there’s a dish for everyone and every occasion…and it’s available in both English and Spanish.

Our Growing VGM Families: VGM Opens On-site

Child Care Center

VGM is the home for many working parents in the Cedar Valley. For years, and more so after the COVID-19 pandemic, the Cedar Valley had a shortage of child care options for these working parents, putting extra stress on their shoulders. Over the past five years, VGM parents welcomed nearly 300 newborns into the world. To help alleviate the stress many working parents at VGM were beginning to feel, plans began to implement a solution.

“We wanted to be part of the solution,” said Sara Laures, VGM’s chief people officer. “And we are excited to offer much-needed support to families by helping address child care needs with a reliable, quality, reasonably-priced option.”

VGM already had a history of supporting working parents. Flexible schedules and work from home options are available for most positions. And in HOMELINK, one of VGM’s largest divisions, they assembled a SWAT team consisting of employee owners with extensive knowledge of HOMELINK’s various services. When someone is out for an extended time—such as parental leave—someone from the team jumps in to cover.

In 2022, VGM took their efforts to the next level, after being awarded a grant by the State of Iowa’s Child Care Business Incentive Grant Program. This program, announced by Gov. Kim Reynolds in May of 2022, provided $25 million to support child care projects across the state. This was a spark of relief for many VGM parents struggling to secure a place for their children elsewhere in the Cedar Valley. The new child care center would allow for 66 children, ages 5 weeks to 5 years, to enroll. Enrollment officially opened on June 1, 2023, to anyone employed at VGM.

For the child care center, VGM partnered with Community United Child Care Centers (CUCCC), Cardinal Construction Inc., Align Architecture & Planning PLC, the Iowa Women’s Foundation, and Iowa Child Care Resource & Referral, as well as Iowa Workforce Development to make this undertaking possible. Teachers for the on-site child care center are employed by CUCCC, but also receive a few of the benefits that VGM offers to its own employee owners, like access to our fitness facility and free health clinic.

“At VGM, we are committed to making a difference in the lives of our employee owners and our communities,” said Mike Mallaro, VGM’s executive chairman of the board who served as CEO during the project. “We are honored to be able to partner with Community United to ease the way for working parents and their children.”

Construction was well underway to allow for a Nov. 1, 2023, opening. In preparation for the opening of the on-site child care center, VGM put out a call to action to its employee owners to help come up with names for the different classrooms for the center. It was HOMELINK’s Nicole Thompson that delivered the animal-themed names:

• Caterpillar Canopy –Infant classroom

• Butterfly Park –under 2 years classroom

• Frog Pond – 2 years classroom

• Owl Cove – 3 years classroom

• Tiger Den – 4+ classroom

In addition to making each classroom fit their themes, a playground was also built outside of the VGM building by the pergola. A huge perk of the onsite center is working parents could spend time with their children enrolled with CUCCC’s open-door policy. A semi-private lactation room is available for mothers if needed.

Ahead of the Nov. 1 opening of the child care center, VGM held a Grand Opening event on Oct. 27 for employee owners to tour the new space and could feel like a kid again by being treated to mac and cheese and chicken strips for lunch. VGM employee owners also

helped fill the space by donating dozens of books and toys for the children to enjoy on day one.

“We’re thrilled to be able to offer this benefit to our employee owners,” Laures said. “We will continue to explore solutions that make a difference for our VGM families and the communities we serve.”

On opening day, VGM welcomed 40 kids to the child care center. And due to children aging out of their class, and new teachers being hired, spots are frequently available for VGM parents to enroll their children. Employees can get more information and enroll their child on the VGM Intranet.

Caring for Our Employee Owners

As a 100% employee-owned company, we know that to take care of the company, we have to take care of each other. That’s why we continually add new ways to ensure employee owners can create a future that’s as happy and healthy as it is bright.

HR Gets Mental Health First Aid (MHFA) Certified

Similar to physical First Aid and CPR, MHFA helps people assist someone experiencing a mental health or substance use crisis until professional assistance is obtained or the crisis is resolved. It has been shown to increase the chances of individuals receiving the help they need. MHFA certification—like our employee assistance program (EAP) or free on-site fitness facility—is just one more way we’re working to protect the well-being of VGM employee owners.

My team and I want VGM employee owners to know that we are here for them. In HR, we help people through some of the most complicated situations, at times during some of the hardest moments in their lives. VGM employee owners can always come to us.

Health and Wellness Fair

VGM brought back its Health and Wellness Fair this year. It’s a chance for employee owners to learn about area providers and services that are available to help them reach their physical, emotional, and financial health goals. And, in true VGM fashion, employee owners also got to network with their peers and grab a free, healthy lunch. It’s a great event that reminds employee owners, VGM is here to support you.

Keeping VGM a Safe Spot to Work

Maintaining a safe work environment means constantly looking ahead to see what potential hazards may arise. We have employee owners working in 36 different states in a variety of environments, from offices to warehouses. By working together, we can ensure everyone continues to go home healthy and safe, and shares in all the opportunity and lifechanging wealth provided by employee ownership.

Accessing Benefits Wherever You Are

Life happens, and for many employee owners, accessing the various benefits and resources can’t always happen on a work computer. Now, VGM employee owners can access on the go with the VGM Benefits App. Review benefit plan information, find online provider directories, look up and print ID cards, and more. Because finding the care you need should be easy.

Employee Spotlight Kelsi

Gerholdt, Health and Safety Program Manager

VGM has always had a robust Health and Safety Program. But when something impacts our employee owners, nothing is ever “good enough.” This is where Kelsi comes in. Kelsi, who joined VGM in 2016, started her current role in January 2023. Her mission? Foster a culture of health and safety.

Kelsi has a knack for continuous improvement and compliance, using it to enhance VGM’s current program. She’s the driving force behind several key initiatives, including the SafeSpot campaign which gets employee owners involved in keeping our warehouses safe and the formation of a Health and Safety Committee to further identify potential hazards before they’re an issue.

I am passionate and dedicated to helping both our clients and our employees. I am a problem solver. I love to dive in and get into the weeds when necessary. And I thrive on continuous learning and development. With any role, I truly aim to do whatever I can to make VGM better.

While she has a passion for health and safety, Kelsi still has a sense of adventure. She loves boating, snowmobiling, ATVing, and pretty much anything outside (except snakes and ticks). She’s a mom to two girls, and she and her husband Dana married in October 2022.

Kelsi also knows how to hit the books when she needs to. She holds a Bachelor of Science degree in health administration from Upper Iowa University, graduating summa cum laude. She’s also a Certified Professional in Healthcare Quality (CPHQ), Certified in Healthcare Compliance (CHC), a certified fall protection equipment inspector, and has completed the OSHA 30-hour training.

VGM Group is committed to making a difference beyond the walls of our building. In 2023, we doubled down on that commitment, donating to area projects that positively impact the communities where employee owners live for years to come. Donations for the year totaled

$168,550!

Make a Difference Be the Change

On Valentine’s Day, the VGM Community Giving Committee announced our 2023 Be the Change Partners. The places we call home are important. They are where we make memories, where we celebrate, and where we connect and build relationships. That’s why for this year’s Be the Change projects, we focused on supporting projects that improve or enhance the communities that VGM employee owners call home.

We are proud to announce that this year, we donated a record amount of Be the Change funds: A total of $45,000 was distributed to four incredible projects!

MAKEA DIFFERENCE

City of Jesup –Jesup Splash Pad

The City of Jesup, Iowa (which is approximately 25 miles east of VGM’s headquarters) aimed to build an all-inclusive splash pad at Liberty Volunteer Park. This splash pad combines the sensations of water movement and water-based activities in a “zerodepth” safe zone. Prior to this project, there was no all-inclusive play area in Jesup where kids of all ages and abilities could play. Thanks in part to VGM employee owners, the splash pad is now ready to open in spring of 2024!

Cedar Valley Youth Sports (CVYS) –Deerwood Park Upgrades

CVYS is a nonprofit organization for youth sports. Their mission is to provide children in the Cedar Valley a place to learn sportsmanship, inclusion, and fun! Their Deerwood Park project (located in Evansdale, Iowa, which is approximately eight miles east of VGM’s main campus) aims to completely upgrade nearly every aspect of the park, including: baseball diamond repairs, seating replacements, and dugouts. They also aim to purchase new bats, balls, and other sports equipment so children of the Cedar Valley can continue participating in the sport that they love. This project was a fan favorite and received multiple nominations from employees.

City

of Des Moines Park and Recreation – Cohen

Park Adaptive Equipment

Located just two blocks away from Two Rivers Marketing in Des Moines, Iowa, the Cohen Park Site Renovation program is making a number of updates to the park to make use of the underutilized space. One of the main updates was the addition of bouldering equipment, a type of rock-climbing wall for park goers of all abilities to use. This includes an adaptive climbing setup for park visitors with physical impairments, and it’s the first of its kind in the State of Iowa. Other updates include: a half basketball court, an interactive ball wall called Sutu, and cultural and historical signage.

Fairbank Elementary –Every Child Plays

Every Child Plays is a project formed by staff at Fairbank Elementary School (located in Fairbank, Iowa, approximately 30 miles northeast of VGM headquarters). The project both replaces incredibly outdated equipment, while also providing equipment that is inclusive for children of any ability. Not only does the new equipment benefit children attending Fairbank elementary, but also children and families who visit the community. Every Child Plays aims to create limitless opportunities for children to move, communicate, and create lasting friendships.

VGM Family Fund

In January of 2021, VGM Group, Inc. launched the VGM Family Fund, an employee-funded program that helps fellow employee owners in their time of need. The response from employee owners has been overwhelming. This year, the Fund hit an incredible milestone:

More than $150,000 has been awarded to help nearly 200 employee owners get back on their feet!

Stories like this and the $150,000 milestone show there’s almost no limit to what VGM employee owners can accomplish together. When we see an opportunity to help—whether it’s for our customers, our community, or the employee owner next to us—we find a way to Make a Difference.

Life-Changing Wealth

A Heated Shop, a GTO, and Plenty of Projects: Brad Werkmeister’s Retirement

Brad started with VGM on Aug. 13, 1990, in Freedom Link, a service that helps patients find home medical equipment—particularly oxygen—when they’re traveling. And nearly 33 years to the day, Brad retired, having worked in Freedom Link his entire VGM career. The ESOP played a key part in his retirement, though maybe not for the reason you’d expect.

I would have never retired.

“I would have never retired,” Brad said. “I could have changed roles over the years, but I liked it. I got to help people every single day, and that feels pretty good.”

The decision to retire came while Brad was enjoying one of his many hobbies, camping and mushroom hunting. The day? May 11, 2023—the night of The Reveal, VGM’s annual event where we unveil the share price and ESOP contribution level.

“My wife and I were sitting around a fire, watching The Reveal on our campsite’s Wi-Fi,” Brad said. “Now,

just a month earlier, I’d said I wasn’t planning to retire. But when they announced this year’s share price, I logged into my account and said, ‘Holy $4!%! It might be time to retire.’”

Brad now spends his days completing his various projects, thanks in part to his heated workshop. He’s replaced some roofs, completely redone the upstairs of his 120-year-old home, and he plans to finally finish his 1967 Pontiac GTO this year.

“The ESOP is one hell of a cushion,” Brad said. “It will definitely change your life for the better. I sure didn’t see that coming when VGM announced we were becoming employee owned.”

Celebrating 15 years of 100% Employee Ownership

In 2008, VGM’s founders officially sold the company in its entirety to VGM employees, making them employee owners. Now, 15 years later, VGM has evolved beyond what anyone could have imagined. It has diversified and grown nearly 5x in size, and it is destined to become even bigger.

“I’d like to say we mapped this all out,” said Executive Chairman of the Board Mike Mallaro, who oversaw the move to 100% employee ownership as the company’s CFO and instilled an ownership culture as CEO.

“We never imagined that the company would be the size it is today or that the share price would be where it is today. It just shows the power of employee ownership. And when you have 1,500 people rowing in the same direction, it’s hard to knock them off course.”

The Reveal Brings the Company Together

Each year, VGM announces the annual share price and ESOP contribution level in an event called “The Reveal.” It’s a well-deserved celebration for each of our more than 1,500 employee owners who Make a Difference every day. To make sure everyone can join in the celebration, we broadcast the event and host Reveal watch parties for individual teams across our company and across the country.

We make a point to Cheer Each Other On and celebrate the wins. Throughout 2023, VGM Group and its individual companies were honored to receive recognition from a variety of institutions. A finalist for the 2023 VGM Ace of Initiative Award, Dawn demonstrates what it means to make a difference at VGM. She’s been with VGM for over 24 years, all of them in HOMELINK, which connects patients with medical equipment and healthcare services.

Dawn has created her future at VGM, working in several HOMELINK departments throughout her tenure. But in every role she has taken and every challenge she’s been asked to tackle, she’s been known for the support she provides to her team. She’s always there to lend her hand and her knowledge to help those around her succeed.

“I have worked with so many people and departments during my career here and have learned so much from them. I currently work with a great team with wonderful leadership—stay focused, work hard, and you will achieve great success!”

What does success look like beyond VGM for Dawn? She hopes to continue offering support…by one day building an acreage to rescue abandoned, special needs, or senior dogs. Thank you, Dawn, for making a difference.

Planning Ahead to Create a Future

One of the many benefits of 100% employee ownership, is that we get to focus on the future. We’re not looking at short-term gains to appease shareholders. Our shareholders are our employees, and we’re building something worthy of being passed on to the next group of employee owners.

Part of that future-focused approach means planning ahead for change, and there was plenty of change in 2023.

In October, VGM announced a planned leadership transition years in the making. Under this plan, effective Jan. 1, 2024, VGM Group CEO Mike Mallaro would take a new role as Executive Chairman of the Board. Jeremy Stolz, who served as president of two VGM core businesses, would succeed him.

One motivating factor behind the succession plan was Jim Walsh’s own plans to retire at the end of 2023. Jim was a co-founder of VGM along with Van Miller and John Deery JR., as well as chairman of the board and a trustee. Part of his role as chairman was to call the board meeting to order on the morning of Oct. 12, the day the board approved the VGM succession plan. Sadly, that very evening, Jim passed away of natural causes in his home surrounded by family.

CREATEYOUR FUTURE

“Jim poured every ounce of passion he had into this company and the Waterloo community. And I think he truly was going to hold on until he knew for sure the future of VGM was secure, and that we would continue to serve the community as we have for nearly four decades. I’m grateful to have learned so much from Jim, and honored to help carry on his legacy in some way.”

Removing Language Barriers Builds Connections

In June of this year, VGM launched its Language Learning Program, and over a six-month period, 37 participants successfully obtained a new level of mastery of either English or Spanish. The program was self-paced, but allowed participants to spend four hours each week during work hours. It’s not a small investment, but it’s one worth taking.

Language education creates opportunities for growth and development at work. And it also helps individuals to better engage and feel belonging in the communities where they live. Congratulations to our Language Learning Program graduates!

Talent and Tech You Might Not Expect

VGM may not look like a traditional tech company, but nearly every industry we serve, such as healthcare, is complex. That means, we need a lot of tech talent keeping things secure and efficient. In 2023, they raised the bar.

Dakota Rueber: Protecting Employee Ownership

Dakota keeps some pretty strange hours thanks to his role at VGM. But on the offhand you see him roaming the halls, you should give him a high five and say thanks. He’s putting in serious work to Protect Our Company.

Dakota started with VGM over four years ago as a help desk tech, working his way up to network administrator I. What does that mean? Well, as Dakota puts it, “I make sure the network is working, secure, and available. When I do my job right, it means everyone else can do theirs. And if I don’t, well, the whole company notices.”

To ensure everyone has access to the systems they need when they need them, much of Dakota’s work has to take place outside regular business hours.

“Dakota regularly works overnight and several weekends throughout the year,” said VGM CIO

We all have the same goal, to build and protect our ESOP.

One notable example came in early 2023, when VGM moved the main internet connection from headquarters to a central data center. It was a project nearly a year in the making. Dakota saw it through from beginning to end. Following the switch, Dakota worked for nearly 60 hours straight with minimal sleep to ensure everyone was connected.

Why go through so much effort? For Dakota, it all comes back to employee ownership.

“At VGM, what you do matters,” Dakota said. “Everyone is on the same team. And my performance impacts everyone. We all have the same goal, to build and protect our ESOP.”

Forbin’s Managed IT Team

Manages to Get Even Better

This year, Forbin worked with their software vendor to find a way to offer better integration, automation, and reporting for their customers. And, they saved roughly 35% on annual software costs by doing so. How’s that for feeding the ESOP?

Terry Johnson of VGM Insurance Challenges Legacy Processes

When VGM Insurance was looking to automate a workflow in their system, Terry, a finalist for the 2023 Ace of Initiative award, was determined to make it happen. He coordinated with the team to understand the current process vs. expectation, then went to work. Many initial ideas were dead ends, but Terry was not deterred. He kept at it until he found a way to develop APIs to solve the issue, which has had a huge impact on VGM Insurance and VGM as a whole.

Corporate Compliance Team Leads the SOC Compliance Charge

Several VGM companies, including HOMELINK, Forbin, Human Capital, and IT, must maintain some level of SOC (Service Organization Control) compliance. SOC compliance, in general, is a way for organizations to demonstrate that certain controls are in place, such as the secure storage of patient data or processing of payments.

This year, VGM Fulfillment had to prepare for its own SOC compliance. This meant implementing new controls and remediating gaps, as well as undergoing not one, but two, SOC compliance audits for the first time. Our now-centralized Corporate Compliance team was there to guide VGM Fulfillment every step of the way.

Automating Success

The HOMELINK follow-up team has quite an undertaking, having to ensure that every order has been completed, which includes making multiple phone calls, emails, and even checking tracking links. Cardinal is one of HOMELINK’s frequently used providers—shipping countless pieces of DME and medical supplies to patients. The Robotic Process Automation (RPA) team stepped in to help develop the Cardinal Tracking Bot, a bot that automatically checks if orders from Cardinal have been delivered and completes follow up.

Implemented in Q4 of 2023, the Cardinal Tracking Bot completed on average 2,300 follow ups per month, which was estimated to have saved 457 hours in Q4, or the equivalent of 1.13 full-time employees. In its short time, the Cardinal Tracking Bot has had a 97% accuracy rate for completing follow ups. By automatically completing these follow ups, the bot reduces overtime, allows for more timely billing and reimbursement, reduces unnecessary calls from patients and providers, and gives the follow up team more time to assist in other areas.
