STATEMENT OF POLICIES and PROCEDURES Effective September 2005

CORPORATE MISSION STATEMENT

Ardyss has a strong corporate structure dedicated to the developing and marketing of quality products and services. Ardyss has an exceptional plan of compensation with one of the best computer systems and

an excellent training program. All of this has been designed to help you develop your own business. With our support and your effort and dedication, you can make your dreams and aspirations a reality.

INTRODUCTION

2.1 - Policies and Compensation Plan Incorporated into Distributor Agreement These Policies and Procedures, in their present form and as amended at the sole discretion of Ardyss, Inc. (hereafter “Ardyss” or the “Company”), are incorporated into, and form an integral part of, the Ardyss Distributor Agreement.

Throughout these Policies, when the term “Agreement” is used, it collectively refers to the Ardyss Distributor Application and Agreement, these Policies and Procedures, the Ardyss Marketing and Compensation Plan, and the Ardyss Business Entity Application (if applicable). These documents are incorporated by reference into the Ardyss Distributor Agreement (all in their current form and as amended by Ardyss). It is the responsibility of each Distributor to read, understand, adhere to, and ensure that he or she is aware of and operating under the most current version of these Policies and Procedures. When sponsoring or enrolling a new Distributor,

it is the responsibility of the sponsoring Distributor to ensure that the applicant is provided with or has online access to the most current version of these Policies and Procedures and the Ardyss Marketing and Compensation Plan to the applicant prior to his or her execution of the Distributor Agreement.

2.2 - Purpose of Policies Ardyss is a direct sales company that markets products and services through Independent Distributors. It is important to understand that your success and the success of your fellow distributors is dependent upon the integrity of the men and women who market our products and services. To clearly define the relationship that exists between Distributors and Ardyss, and to explicitly set a standard for acceptable business conduct, Ardyss has established the Agreement.

Ardyss Distributors are required to comply with all of the Terms and Conditions set forth in the Agreement which Ardyss may

amend at its sole discretion from time to time, as well as all federal, state, and local laws governing their Ardyss business and their conduct. Because you may be unfamiliar with many of these standards of practice, it is very important that you read and abide by the Agreement. Please review the information in this manual carefully. It explains and governs the relationship between you, as an independent contractor and the Company. If you have any questions regarding any policy or rule, do not hesitate to seek an answer from anyone in your upline or Ardyss.

2.3 - Changes to the Agreement Because federal, state, and local laws, as well as the business environment, periodically change, Ardyss reserves the right to amend the Agreement and its prices in its sole and absolute discretion. By signing the Distributor Agreement, a Distributor agrees to abide by all amendments or modifications that Ardyss elects to make.

Notification of amendments shall be published in official Ardyss materials. The Company shall provide or make available to all distributors the amended provisions in Ardyss official newsletter.

2.4 - Delays Ardyss shall not be responsible for delays or failures in performance of its obligations when performance is made commercially impracticable due to circumstances beyond its reasonable control. This includes, without limitation, strikes, labor difficulties, riot, war, fire, death, curtailment of a party’s source of supply, or government decrees or orders.

2.5 - Policies and Provisions Severable If any provision of the Agreement, in its current form or as may be amended, is found to be invalid, or unenforceable for any reason, only the invalid portion(s) of the provision shall be severed and the remaining terms and provisions shall remain in full force and effect and shall be construed as if such invalid, or unenforceable provision never comprised a part of the Agreement.

BECOMING A DISTRIBUTOR

3.1 - Requirements to Become a Distributor To become an Ardyss Distributor, each applicant must: 3.1.1 - Be of the age of majority in his or her state of residence.

3.1.2 - Reside in the United States or U.S. Territories or country that Ardyss has officially announced is open for business.

3.1.3 - Have a valid Social Security or Federal Tax ID number.

3.1.4 - Purchase an Ardyss Business Kit. 3.1.5 - Submit a properly completed (originals only - no copies) and signed Distributor Application and Agreement to Ardyss.

3.2 - No Product Purchase Required No person is required to purchase Ardyss products to become a Distributor. In order to familiarize new Distributors with Ardyss products, services, sales techniques, sales aids, and other matters, the Company recommends that they purchase an Ardyss Business Kit. Ardyss will repurchase resalable Ardyss Business Kits from any Distributor who terminates his or her Distributor Agreement pursuant to the terms of Section 8.2.

2.6 - Waiver The Company never gives up its right to insist on compliance with the Agreement and with the applicable laws governing the conduct of a business. No failure of Ardyss to exercise any right or power under the Agreement or to insist upon strict compliance by a Distributor with any obligation or provision of the Agreement, and no custom or practice of the parties at variance with the terms of the Agreement, shall constitute a waiver of Ardyss’s right to demand exact compliance with the Agreement.

Waiver by Ardyss can be effectuated only in writing by an authorized officer of the Company. Ardyss’s waiver of any particular breach by a Distributor shall not affect or impair Ardyss’s rights with respect to any subsequent breach, nor shall it affect in any way the rights or obligations of any other Distributor.

Nor shall any delay or omission by Ardys’s to exercise any right arising from a breach affect or impair Ardys’s rights as to that or any subsequent breach.

The existence of any claim or cause of action of a Distributor against Ardyss shall not constitute a defense to Ardys’s enforcement of any term or provision of the Agreement.

3.3 - Telephone and Fax Enrollment If an applicant purchases an Ardyss Business Kit only at the time of enrollment, the applicant must submit his or her Distributor Application and Agreement to the company via fax. Both sides of the Agreement must be faxed.

If an applicant purchases an Business Ardyss Kit at the time of enrollment, the application may be taken over the telephone.

The applicant’s Sponsor or the applicant may call the Ardyss home office during regular business hours to receive a temporary Distributor Identification Number and temporary authorization for a new business. (See the front of the Distributor Ap-

plication and Agreement for phone numbers and appropriate business hours.) The caller must be able to provide all necessary Distributor Agreement information over the telephone or fax. A new Distributor Business Ardyss Kit may be ordered at this time using a valid credit card.

The new Distributor’s ID number and authorization for someone who enrolls via telephone will be valid for 30 days, pending receipt of the completed and signed Distributor Application and Agreement by Ardyss, which may be submitted via fax or mail. Once the original Distributor Application and Agreement is received at the Ardyss Home Office, the new Distributor Agreement will receive a permanent Distributor ID Number. If the new Distributor Application and Agreement is not received within the temporary 30-day time period, the temporary ID number will be suspended, and the Distributor Application and Agreement will be automatically suspended.

3.4 - Distributor Benefits Once a Distributor Application and Agreement has been accepted by Ardyss, the benefits of the Marketing and Compensation Plan and the Distributor Agreement are available to the new Distributor. These benefits include the right to: 3.4.1 - Sell Ardyss products and services.

3.4.2 - Participate in the Ardyss Marketing and Compensation Plan (receive bonuses and commissions, if eligible).

3.4.3 - Sponsor other individuals as Preferred Customers or Distributors into the Ardyss business and thereby, build a marketing organization and progress through the Ardyss Marketing and Compensation Plan.

3.4.4 - Receive periodic Ardyss literature and other Ardyss communications.

3.4.5 - Participate in Ardyss-sponsored support, service, training, motivational and recognition functions, upon payment of appropriate charges, if applicable.

3.4.6 - Participate in promotional and incentive contests and programs sponsored by Ardyss for its Distributors.

OPERATING AN ARDYSS BUSINESS

4.1 - Adherence to the Ardyss Marketing and Compensation Plan Distributors must adhere to the terms of the Ardyss Marketing and Compensation Plan as set forth in official Ardyss literature.

Distributors shall not offer the Ardyss opportunity through, or in combination with, any other system, program, or method of marketing other than that specifically set forth in official Ardyss literature. Distributors shall not require or encourage other current or prospective Customers or Distributors to participate in Ardyss in any manner that varies from the program as set forth in official Ardyss literature. Distributors shall not require or encourage other current or prospective Customers or Distributors to execute any agreement or contract other than official Ardyss agreements and contracts in order to become an Ardyss Distributor. Similarly, Distributors shall not require or encourage other current or prospective Customers or Distributors to make any purchase from, or payment to, any individual or other entity to participate in the Ardyss Marketing and Compensation Plan other than those purchases or payments identified as recommended or required in official Ardyss literature.

4.2 - Advertising 4.2.1 - General All Distributors shall safeguard and promote the good reputation of Ardyss and its products. The marketing and promotion of Ardyss, the Ardyss opportunity, the Marketing and Compensation Plan, and Ardyss products shall be consistent with the public interest, and must avoid all discourteous, deceptive, misleading, unethical or immoral conduct or practices.

To promote both the products and services, and the tremendous opportunity Ardyss offers, Distributors should use the sales aids and support materials produced by Ardyss. The rationale behind this requirement is simple.

Ardyss has carefully designed its products, product labels, Marketing and Compensation Plan, and promotional materials to ensure that each aspect of Ardyss is fair, truthful, substantiated, and complies with the vast and complex legal requirements of federal and state laws. If Ardyss Distributors were allowed to develop their own sales aids and promotional materials (which includes Internet advertising), notwithstanding their integrity and good intentions, the likelihood that they would unintentionally violate any number of statutes or regulations affecting an Ardyss business is almost certain. These violations, although they may be relatively few in number, would jeopardize the Ardyss opportunity for all Distributors.

Accordingly, distributors must submit all written sales aids, promotional materials, advertisements, and other literature (including proposed Internet advertising) to the Company for approval. Unless the Distributor receives specific

written approval to use the material, the request shall be deemed denied.

4.2.2 - Distributor Web Sites If a Distributor desires to utilize an Internet web page to promote his or her business, he or she may do so through the Company’s official web site, using official Ardyss templates. Alternatively, Distributors may develop their own web pages, however, any Distributor who does so: (a) must use the text of the Company’s official web site; and (b) may not supplement the content of his or her web site with text from any source other than the Company. Distributors who develop or publish their own web sites must register their site(s) with the Company and receive written approval from the Company prior to the site(s) public availability. The failure to register constitutes a material breach of these policies and procedures.

4.2.3 - Domain Names Distributors may not use or attempt to register any of Ardyss’s trade names, trademarks, service names, service marks, product names, the Company’s name, or any derivative thereof, for any Internet domain name.

4.2.4 - Trademarks and Copyrights Ardyss will not allow the use of its trade names, trademarks, designs, or symbols by any person, including Ardyss Distributors, without its prior, written permission. Distributors may not produce for sale or distribution any recorded Company events and speeches without written permission from Ardyss nor may Distributors reproduce for sale or for personal use any recording of Company-produced audio or video tape presentations.

4.2.5 - Media and Media Inquiries Distributors must not attempt to respond to media inquiries regarding Ardyss, its products or services, or their independent Ardyss business. All inquiries by any type of media must be immediately referred to Ardyss’s Advertising Department. This policy is designed to assure that accurate and consistent information is provided to the public as well as a proper public image.

4.2.6 - Unsolicited Email (Spam) Ardyss does not permit Affiliates to send unsolicited commercial emails unless such emails strictly comply with applicable laws and regulations including, without limitation, the federal CAN SPAM Act. Any email sent by an Affiliate that promotes Ardyss, the Ardyss opportunity, or Ardyss products and services must comply with the following: i. There must be a functioning return email address to the sender. ii. There must be a notice in the email that advises the recipient that he or she may reply to the email, via the functioning return email address, to request that future email solicitations or correspondence not be sent to

POLICIES and PROCEDURES him or her (a functioning “opt-out” notice). iii. The email must include the Affiliate’s physical mailing address. iv. The email must clearly and conspicuously disclose that the message is an advertisement or solicitation. v. The use of deceptive subject lines and/or false header information is prohibited. vi. All opt-out requests, whether received by email or regular mail, must be honored. If an Affiliate receives an opt-out request from a recipient of an email, the Affiliate must forward the opt-out request to the Company.

Ardyss may periodically send commercial emails on behalf of Affiliates. By entering into the Affiliate Agreement, Affiliate agrees that the Company may send such emails and that the Affiliate’s physical and email addresses will be included in such emails as outlined above. Affiliates shall honor opt-out requests generated as a result of such emails sent by the Company.

4.2.1 - Unsolicited Faxes & Autodialers Except as provided in this section, Distributors may not use or transmit unsolicited faxes or use an automatic telephone dialing system relative to the operation of their Ardyss businesses. The term “automatic telephone dialing system” means equipment which has the capacity to: (a) store or produce telephone numbers to be called, using a random or sequential number generator; and (b) to dial such numbers. The terms “unsolici-ted faxes” mean the transmission via telephone facsimile, of any material or information advertising or promoting Ardyss, its products, its compensation plan or any other aspect of the company which is transmitted to any person, except that these terms do not include a fax: (a) to any person with that person’s prior express invitation or permission; or (b) to any person with whom the Distributor has an established business or personal relationship. The term “established business or personal relationship” means a prior or existing relationship formed by a voluntary two way communication between a Distributor and a person, on the basis of: (a) an inquiry, application, purchase or transaction by the person regarding products offered by such Distributor; or (b) a personal or familial relationship, which relationship has not been previously terminated by either party.

4.3 - Bonus Buying Prohibited Bonus buying is strictly and absolutely prohibited. “Bonus buying“ includes: (a) the enrollment of individuals or entities without the knowledge of and/or execution of an Independent Distributor Application and Agreement by such individuals or entities; (b) the fraudulent enrollment of an individual or entity as a Distributor or Customer; (c) the enrollment or attempted enrollment of non-existent individuals or entities as Distributors or Customers (“phantoms”); (d) buying products for yourself or another Distributor simply to fulfill volume quotas.

4.4 - Business Entities A corporation, partnership or trust (collectively referred to in this section as a “Business Entity”) may apply to be an Ardyss

Distributor by submitting its Certificate of Incorporation, Partnership Agreement or trust documents (these documents are collectively referred to as the “Entity Documents”) to Ardyss, along with a properly completed Business Entity Registration form. An Ardyss business may change its status under the same sponsor from an individual to a partnership, corporation or trust, or from one type of entity to another. There is a $25.00 fee for each change requested, which must be included with the written request and the completed Distributor Application and Agreement. The Business Entity Registration form must be signed by all of the shareholders, partners or trustees. Members of the entity are jointly and severally liable for any indebtedness or other obligation to Ardyss.

4.5 - Changes to an Ardyss Business 4.5.1 - General Each Distributor must immediately notify Ardyss of all changes to the information contained on his or her Distributor Application and Agreement. Distributors may modify their existing Distributor Agreement (i.e., change Social Security number to Federal I.D. number, or change the form of ownership from an individual proprietorship to a business entity owned by the Distributor) by submitting a written request, a properly executed Distributor Application and Agreement, and appropriate supporting documentation. Changes shall be processed only once per year. All changes must be submitted by November 30 to become effective on January 1 of the following year.

4.5.2 - Addition of Co-Applicants When adding a co-applicant (either an individual or a business entity) to an existing Ardyss business, the Company requires both a written request as well as a properly completed Distributor Application and Agreement containing the applicant and co-applicant’s Social Security Numbers and signatures. To prevent the circumvention of Section 4.24 (regarding transfers and assignments of Ardyss business), the original applicant must remain as a party to the original Distributor Application and Agreement. If the original Distributor wants to terminate his or her relationship with the Company, he or she must transfer or assign his or her business in accordance with Section 4.24. If this process is not followed, the business shall be canceled upon the withdrawal of the original Distributor. All bonus and commission checks will be sent to the address of record of the original Distributor. Please note that the modifications permitted within the scope of this paragraph do not include a change of sponsorship. Changes of sponsorship are addressed in Section 4.5.3, below. Ardyss may, at its discretion, require notarized documents before implementing any changes to an Ardyss business. Please allow thirty (30) days after the receipt of the request by Ardyss for processing.

4.5.3 - Change of Sponsor To protect the integrity of all marketing organizations and safeguard the hard work of all Distributors, Ardyss strongly discourages changes in sponsorship. Maintaining the integrity of sponsorship is critical for the success of every

Distributor and marketing organization. Accordingly, the transfer of an Ardyss business from one sponsor to another is rarely permitted.

Requests for change of sponsorship must be submitted in writing to the Distributor Services Department, and must include the reason for the transfer. Transfers will only be considered in the following two (2) circumstances: 4.5.3.1 - In cases involving fraudulent inducement or unethical sponsoring, a Distributor may request that he or she be transferred to another organization with his or her entire marketing organization intact. All requests for transfer alleging fraudulent enrollment practices shall be evaluated on a case by case basis.

4.5.3.2 - The Distributor seeking to transfer submits a properly completed and fully executed Sponsorship Transfer Form which includes the written approval of his or her immediate four upline Distributors. Photocopied or facsimile signatures are not acceptable.

All Distributor signatures must be notarized. The Distributor who requests the transfer must submit a fee of $50.00 for administrative charges and data processing. If the transferring Distributor also wants to move any of the Distributors in his or her marketing organization, each downline Distributor must also obtain a properly completed Sponsorship Transfer Form and return it to Ardyss with the $50.00 change fee (i.e., the transferring Distributor and each Distributor in his or her marketing organization multiplied by $50.00 is the cost to move an Ardyss business.) Downline Distributors will not be moved with the transferring Distributor unless all of the requirements of this paragraph are met. Transferring Distributors must allow thirty (30) days after the receipt of the Sponsorship Transfer Forms by Ardyss for processing and verifying change requests. Ardyss will consider waiving the six month waiting period under exceptional circumstances. Such requests for waiver must be submitted to Ardyss in writing.

4.5.4 - Cancellation and Re-application A Distributor may legitimately change organizations by voluntarily canceling his or her Ardyss business and remaining inactive (i.e., no purchases of Ardyss products for resale, no sales of Ardyss products, no sponsoring, no attendance at any Ardyss functions, participation in any other form of Distributor activity, or operation of any other Ardyss business) for six (6) full calendar months. Following the six month period of inactivity, the former Distributor may reapply under a new sponsor.

4.6 - Unauthorized Claims and Actions 4.6.1 - Indemnification A Distributor is fully responsible for all of his or her verbal and written statements made regarding Ardyss products, services, and the Marketing and Compensation Plan which are not expressly contained in official Ardyss materials.

Distributors agree to indemnify Ardyss and Ardyss’s directors, officers, employees, and agents, and hold them harmless from any and all liability including judgments, civil penalties, refunds, attorney fees, court costs, or lost business incurred by Ardyss as a result of the Distributor’s un-

authorized representations or actions. This provision shall survive the termination of the Distributor Agreement.

4.6.2 - Product Claims No claims (which include personal testimonials) as to therapeutic, curative or beneficial properties of any products offered by Ardyss may be made except those contained in official Ardyss literature. In particular, no Distributor may make any claim that Ardyss products are useful in the cure, treatment, diagnosis, mitigation or prevention of any diseases. Such statements can be perceived as medical or drug claims.

Not only do such claims violate Ardyss’s policies, but they potentially violate federal and state laws and regulations, including the federal Food, Drug, and Cosmetic Act and Federal Trade Commission Act. 4.6.3 - Income Claims In their enthusiasm to enroll prospective Distributors, some Distributors are occasionally tempted to make income claims or earnings representations to demonstrate the inherent power of network marketing. This is counterproductive because new Distributors may become disappointed very quickly if their results are not as extensive or as rapid as the results others have achieved. At Ardyss, we firmly believe that the Ardyss income potential is great enough to be highly attractive, without reporting the earnings of others.

Moreover, the Federal Trade Commission and several states have laws or regulations that regulate or even prohibit certain types of income claims and testimonials made by persons engaged in network marketing. While Distributors may believe it beneficial to provide copies of checks, or to disclose the earnings of themselves or others, such approaches have legal consequences that can negatively impact Ardyss as well as the Distributor making the claim unless appropriate disclosures required by law are also made contemporaneously with the income claim or earnings representation. Because Ardyss Distributors do not have the data necessary to comply with the legal requirements for making income claims, a Distributor, when presenting or discussing the Ardyss opportunity or Marketing and Compensation Plan to a prospective Distributor, may not make income projections, income claims, or disclose his or her Ardyss income (including the showing of checks, copies of checks, bank statements, or tax records).

4.7 - Trade Shows, Expositions and Other Sales Forums Distributors may display and/or sell Ardyss products at trade shows and professional expositions. Before submitting a deposit to the event promoter, Distributors must contact the Distributor Services department in writing for conditional approval, as Ardyss’s policy is to authorize only one Ardyss business per event. Final approval will be granted to the first Distributor who submits an official advertisement of the event, a copy of the contract signed by both the Distributor and the event official, and a receipt indicating that a deposit for the booth has been paid. Approval is given only for the event specified. Any requests to participate in future events must again be submitted to the Customer Service Department. Ardyss further reserves the right to refuse authorization to participate at any function which it does not deem a suitable forum for the promotion of its

POLICIES and PROCEDURES products, services, or the Ardyss opportunity. Approval will not be given for swap meets, garage sales, flea markets or farmer’s markets as these events are not conducive to the professional image Ardyss wishes to portray.

4.8 - Conflicts of Interest 4.8.1 - Nonsolicitation Ardyss Distributors are free to participate in other multilevel or network marketing business ventures or marketing opportunities (collectively “network marketing”). However, during the term of this Agreement, Distributors may not recruit other Ardyss Distributors or Preferred Customers for any other network marketing business. Following the cancellation of this Agreement, and for a period of six months thereafter, a former Distributor may not recruit any Ardyss Distributor or Customer for another network marketing business if: 1) that Distributor or Customer was in the former Distributor’s downline marketing organization; or 2) the former Distributor met, developed a relationship with, or gained knowledge of the Distributor or Customer by virtue of their mutual participation in Ardyss. The term “recruit” means actual or attempted solicitation, enrollment, encouragement, or effort to influence in any other way, either directly or through a third party, another Ardyss Distributor or customer to enroll or participate in another multilevel marketing, network marketing or direct sales opportunity. This conduct constitutes recruiting even if the Distributor’s actions are in response to an inquiry made by another Distributor or Customer.

Distributors must not sell, or attempt to sell, any competing non-Ardyss programs, products or services to Ardyss Customers or Distributors. Any program, product or services in the same generic category as Ardyss products or services is deemed to be competing, regardless of differences in cost, quality, or ingredient content.

Distributors may not display Ardyss promotional material with any other promotional material, products or services in a fashion that might in any way confuse or mislead a prospective customer or Distributor into believing there is a relationship between the Ardyss and non-Ardyss products or services. Distributors may not offer the Ardyss opportunity, products or services to prospective or existing Customers or Distributors in conjunction with any non-Ardyss program, opportunity, product or service. Distributors may not offer any non-Ardyss opportunity, products or services at any Ardyss-related meeting, seminar or convention, or immediately following such event.

4.8.2 - Downline Activity (Genealogy) Reports Downline Activity Reports are available for Distributor access and viewing at Ardyss’s official web site. Distributor access to their Downline Activity Reports is password protected. All Downline Activity Reports and the information contained therein are confidential and constitute proprietary information and business trade secrets belonging to Ardyss. Downline Activity Reports are provided to Distributors in strictest confidence and are made available

to Distributors for the sole purpose of assisting Distributors in working with their respective Downline Organizations in the development of their Ardyss business. Distributors should use their Downline Activity Reports to assist, motivate, and train their downline Distributors. The Distributor and Ardyss agree that, but for this agreement of confidentiality and nondisclosure, Ardyss would not provide Downline Activity Reports to the Distributor. A Distributor shall not, on his or her own behalf, or on behalf of any other person, partnership, association, corporation or other entity: 4.8.2.1 - Directly or indirectly disclose any information contained in any Downline Activity Report to any third party.

4.8.2.2 - Directly or indirectly disclose the password or other access code to his or her Downline Activity Report.

4.8.2.3 - Use the information to compete with Ardyss or for any purpose other than promoting his or her Ardyss business.

4.8.2.4 - Recruit or solicit any Distributor or Customer of Ardyss listed on any report, or in any manner attempt to influence or induce any Distributor or Preferred Customer of Ardyss, to alter their business relationship with Ardyss.

4.8.2.5 - Use or disclose to any person, partnership, association, corporation, or other entity any information contained in any Downline Activity Report.

Upon demand by the Company, any current or former Distributor will return the original and all copies of Downline Activity Reports to the Company.

4.9 - Cross-Sponsoring Actual or attempted cross sponsoring is strictly prohibited.

“Cross sponsoring” is defined as the enrollment of an individual who or entity that already has a current Customer or Distributor Agreement on file with Ardyss, or who has had such an agreement within the preceding six calendar months and has not submitted a written cancellation notice to Ardyss, within a different line of sponsorship. The use of a spouse’s or relative’s name, trade names, DBAs, assumed names, corporations, partnerships, trusts, federal ID numbers, or fictitious ID numbers to circumvent this policy is prohibited. Distributors shall not demean, discredit or defame other Ardyss Distributors in an attempt to entice another Distributor to become part of the first Distributor’s marketing organization. This policy shall not prohibit the transfer of an Ardyss business in accordance with Section 4.24.

If Cross Sponsoring is discovered, it must be brought to the Company’s attention immediately. Ardyss may take disciplinary action against the Distributor that changed organizations and/or those Distributors who encouraged or participated in the Cross Sponsoring. Ardyss may also move all or part of the offending Distributor’s downline to his or her original downline organization if the Company deems it equitable and feasible to do so. However, Ardyss is under no obligation to move the Cross Sponsored Distributor’s downline organization, and the

ultimate disposition of the organization remains within the sole discretion of Ardyss. Distributors waive all claims and causes of action against Ardyss arising from or relating to the disposition of the Cross Sponsored Distributor’s downline organization.

4.10 - Errors or Questions If a Distributor has questions about or believes any errors have been made regarding commissions, bonuses, Downline Activity Reports, or charges, the Distributor must notify Ardyss in writing within 60 days of the date of the purported error or incident in question. Ardyss will not be responsible for any errors, omissions or problems not reported to the Company within 60 days.

4.11 - Governmental Approval or Endorsement Neither federal nor state regulatory agencies or officials approve or endorse any direct selling or network marketing companies or programs. Therefore, Distributors shall not represent or imply that Ardyss or its Marketing and Compensation Plan have been “approved,” “endorsed” or otherwise sanctioned by any government agency.

4.12 - Identification All Distributors are required to provide their Social Security Number, or a Federal Employer Identification Number to Ardyss on the Distributor Application and Agreement if they will receive a bonus, commission, or other remuneration from Ardyss.

Upon enrollment, the Company will provide a unique Distributor Identification Number to the Distributor by which he or she will be identified. This number will be used to place orders, and track commissions and bonuses.

While recognizing the right of persons to remain “unnumbered”, the Company chooses, under its right of contract, to only offer the Ardyss opportunity to persons or business entities willing to provide a Social Security Number or a Federal Employer Identification Number.

4.13 - Income Taxes Each Distributor is responsible for paying local, state, and federal taxes on any income generated as an Independent Distributor. If an Ardyss business is tax exempt, the Federal tax identification number must be provided to Ardyss. Every year, Ardyss will provide an IRS Form 1099 MISC (Non-employee Compensation) earnings statement to each U.S. resident who: 1) Had earnings of over $600 in the previous calendar year; or 2) Made purchases during the previous calendar year in excess of $5,000.

4.14 - Independent Contractor Status Distributors are independent contractors, and are not purchasers of a franchise or a business opportunity. The agreement between Ardyss and its Distributors does not create an employer/ employee relationship, agency, partnership, or joint venture between the Company and the Distributor. Distributors shall not be treated as an employee for his or her services or for Federal or State tax purposes. All Distributors are responsible for paying local, state, and federal taxes due from all compensation earned as a Distributor of the Company. The Distributor has no authority (expressed or implied), to bind the Company to any obligation. Each Distributor shall establish his or her own

goals, hours, and methods of sale, so long as he or she complies with the terms of the Distributor Agreement, these Policies and Procedures, and applicable laws.

The name of Ardyss and other names as may be adopted by Ardyss are proprietary trade names, trademarks and service marks of Ardyss. As such, these marks are of great value to Ardyss and are supplied to Distributors for their use only in an expressly authorized manner. Use of Ardyss name on any item not produced by the Company is prohibited except as follows:

Distributor’s Name Independent Ardyss Distributor

All Distributors may list themselves as an “Independent Ardyss Distributor” in the white or yellow pages of the telephone directory under their own name. No Distributor may place telephone directory display ads using Ardyss’s name or logo.

Distributors may not answer the telephone by saying “Ardyss”, “Ardyss Incorporated”, or in any other manner that would lead the caller to believe that he or she has reached corporate offices of Ardyss.

4.15 - Insurance You may wish to arrange insurance coverage for your business.

Your homeowner’s insurance policy does not cover business-related injuries, or the theft of or damage to inventory or business equipment. Contact your insurance agent to make certain that your business property is protected. This can often be accomplished with a simple “Business Pursuit” endorsement attached to your present home owner’s policy.

4.16 - International Marketing Because of critical legal and tax considerations, Ardyss must limit the resale of Ardyss products and the presentation of the Ardyss business to prospective customers and Distributors located within Mexico, the United States, U.S. Territories, and other countries that Ardyss has announced in Ardyss literature are open for business. Moreover, allowing a few Distributors to conduct business in markets not yet opened by Ardyss would violate the concept of affording every Distributor the equal opportunity to expand internationally.

Accordingly, Distributors are authorized to sell Ardyss products, and enroll Preferred Customers or Distributors, only in the countries in which Ardyss is authorized to conduct business, as announced in official Company literature. Ardyss products or sales aids cannot be shipped into or sold in any foreign country.

Distributors may sell, give, transfer, or distribute Ardyss products or sales aids only in those countries that Ardyss has announced are officially open for business. In addition, no Distributor may, in any unauthorized country: (a) conduct sales, enrollment or training meetings; (b) enroll or attempt to enroll potential customers or Distributors; or (c) conduct any other activity for the purpose of selling Ardyss products, establishing a marketing organization, or promoting the Ardyss opportunity.

4.17 - Adherence to Laws and Ordinances 4.17.1 - Local Ordinances Many cities and counties have laws regulating certain home-based businesses. In most cases these ordinances

POLICIES and PROCEDURES are not applicable to Distributors because of the nature of their business. However, Distributors must obey those laws that do apply to them. If a city or county official tells a Distributor that an ordinance applies to him or her, the Distributor shall be polite and cooperative, and immediately send a copy of the ordinance to the Compliance Department of Ardyss. In most cases there are exceptions to the ordinance that may apply to Ardyss Distributors.

4.17.2 - Compliance With Federal, State, Local Laws Distributors shall comply with all federal, state, and local laws and regulations in the conduct of their businesses.

4.18 - Minors A person who is recognized as a minor in his/her state of residence may not be an Ardyss Distributor. Distributors shall not enroll or recruit minors into the Ardyss program.

4.19 - One Ardyss Business Per Distributor and Per Household A Distributor may operate or have an ownership interest, legal or equitable, as a sole proprietorship, partner, shareholder, trustee, or beneficiary, in only one Ardyss business. No individual may have, operate or receive compensation from more than one Ardyss business. Individuals of the same family unit may not enter into or have an interest in more than one Ardyss Business. A “family unit” is defined as spouses and dependent children living at or doing business at the same address.

In order to maintain the integrity of the Ardyss Marketing and Compensation Plan, husbands and wives or common-law couples (collectively “spouses”) who wish to become Ardyss Distributors must be jointly sponsored as one Ardyss business.

Spouses, regardless of whether one or both are signatories to the Distributor Application and Agreement, may not own or operate any other Ardyss business, either individually or jointly, nor may they participate directly or indirectly (as a shareholder, partner, trustee, trust beneficiary, or any other legal or equitable ownership) in the ownership or management of another Ardyss business in any form.

An exception to the one business per Distributor rule will be considered on a case by case basis if two Distributors marry or in cases of a Distributor receiving an interest in another business through inheritance. Requests for exceptions to policy must be submitted in writing to the Customer Service Department.

4.20 - Actions of Household Members or Affiliated Individuals If any member of a Distributor’s immediate household engages in any activity which, if performed by the Distributor, would violate any provision of the Agreement, such activity will be deemed a violation by the Distributor and Ardyss may take disciplinary action pursuant to the Statement of Policies against the Distributor. Similarly, if any individual associated in any way with a corporation, partnership, trust or other entity (collectively “affiliated individual”) violates the Agreement, such action(s) will be deemed a violation by the entity, and Ardyss may take disciplinary action against the entity.

4.21 - Requests for Records Any request from a Distributor for copies of invoices, applications, downline activity reports, or other records will require a fee of $1.00 per page per copy. This fee covers the expense of mailing and time required to research files and make copies of the records.

4.22 - Roll-up of Marketing Organization When a vacancy occurs in a Marketing Organization due to the termination of an Ardyss business, each Distributor in the first level immediately below the terminated Distributor on the date of the cancellation will be moved to the first level (“front line”) of the terminated Distributor’s sponsor. For example, if A sponsors B, and B sponsors C1, C2, and C3, if B terminates her business, C1, C2, and C3 will “roll-up” to A and become part of A’s first level.

4.23 - Sale, Transfer or Assignment of Ardyss Business Although an Ardyss business is a privately owned, independently operated business, the sale, transfer or assignment of an Ardyss business is subject to certain limitations. If a Distributor wishes to sell his or her Ardyss business, the following criteria must be met: 4.23.1 - The selling Distributor must first offer the business to his/her immediate upline. If the immediate upline declines to buy the business, it is next offered to the selling Distributor’s second, third, and fourth upline Distributors, in that order.

4.23.2 - If the selling Distributor’s upline do not purchase the business, it must be offered to the company on the same terms as it was offered to the upline.

4.23.3 - If neither the upline nor the company purchase the business, the selling Distributor may offer it to a third party on the same terms as the business was offered to the upline and the company.

4.23.4 - Protection of the existing line of sponsorship must always be maintained so that the Ardyss business continues to be operated in that line of sponsorship.

4.23.5 - No changes in line of sponsorship can result from the sale or transfer of an Ardyss business.

4.23.6 - The buyer or transferee must be (or must become) a qualified Ardyss Distributor. If the buyer is an active Ardyss Distributor, he or she must first terminate his or her Ardyss business prior to the purchase, transfer, assignment or acquisition of any interest in the new Ardysss business.

4.23.7 - Before the sale, transfer or assignment can be finalized and approved by Ardyss, any debt obligations the selling Distributor has with Ardyss must be satisfied.

4.23.8 - The selling Distributor must be in good standing and not in violation of any of the terms of the Agreement in order to be eligible to sell, transfer or assign an Ardyss business.

4.23.9 - Prior to selling an Ardyss business, the selling Distributor must notify Ardyss’s Customer Service Department of his or her intent to sell the Ardyss business and receive written authorization for the transfer.

4.24 - Separation of an Ardyss Business Ardyss Distributors sometimes operate their Ardyss businesses as husband-wife partnerships, regular partnerships, corporations, or trusts. At such time as a marriage may end in divorce or a corporation, partnership or trust (the latter three entities are collectively referred to herein as “entities”) may dissolve, arrangements must be made to assure that any separation or division of the business is accomplished so as not to adversely affect the interests and income of other businesses up or down the line of sponsorship. If the separating parties fail to provide for the best interests of other Distributors and the Company, Ardyss will involuntarily terminate the Distributor Agreement and roll-up their entire organization pursuant to Section 4.23.

During the pendency of a divorce or entity dissolution, the parties must adopt one of the following methods of operation: 4.24.1 - One of the parties may, with consent of the other(s), operate the Ardyss business pursuant to an assignment in writing whereby the relinquishing spouse, shareholders, partners or trustees authorize Ardyss to deal directly and solely with the other spouse or non-relinquishing shareholder, partner or trustee.

4.24.2 - The parties may continue to operate the Ardyss business jointly on a “business-as-usual” basis, whereupon all compensation paid by Ardyss will be paid according to the status quo as it existed prior to the divorce filing or dissolution proceedings. This is the default procedure if the parties do not agree on the format set forth above.

Under no circumstances will the Downline Organization of divorcing spouses or a dissolving business entity be divided.

Similarly, under no circumstances will Ardyss split commission and bonus checks between divorcing spouses or members of dissolving entities. Ardyss will recognize only one Downline Organization and will issue only one commission check per Ardyss business per commission cycle. Commission checks shall always be issued to the same individual or entity. In the event that parties to a divorce or dissolution proceeding are unable to resolve a dispute over the disposition of commissions and ownership of the business, the Distributor Agreement shall be involuntarily canceled.

If a former spouse or a former entity affiliate has completely relinquished all rights in their original Ardyss business, they are thereafter free to enroll under any sponsor of their choosing, so long as they meet the waiting period requirements set forth in Section 4.4.4. In such case, however, the former spouse or partner shall have no rights to any Distributors in their former organization or to any former retail customer. They must develop the new business in the same manner as would any other new Distributor.

4.25 - Sponsoring All active Distributors in good standing have the right to sponsor and enroll others into Ardyss. Each prospective Preferred Customer or Distributor has the ultimate right to choose his or her own Sponsor. If two Distributors claim to be the Sponsor of the same new Distributor or Preferred Customer, the Company shall regard the first application received by the Company as controlling.

4.26 - Stacking “Stacking” is strictly prohibited. The term “stacking” includes: (a) providing financial assistance to new Distributors; (b) violating the one business per household rule; and/or (c) fraudulently enrolling actual or fictitious individuals or entities into the Ardyss compensation plan.

4.27 - Succession Upon the death or incapacitation of a Distributor, his or her business may be passed to his or her heirs. Appropriate legal documentation must be submitted to the Company to ensure the transfer is proper. Accordingly, a Distributor should consult an attorney to assist him or her in the preparation of a will or other testamentary instrument. Whenever an Ardysss business is transferred by a will or other testamentary process, the beneficiary acquires the right to collect all bonuses and commissions of the deceased Distributor’s marketing organization provided the following qualifications are met. The successor(s) must: 4.27.1 - Execute a Distributor Agreement.

4.27.2 - Comply with terms and provisions of the Agreement.

4.27.3 - Meet all of the qualifications for the deceased Distributor’s status.

4.27.4 - Bonus and commission checks of an Ardyss business transferred pursuant to this section will be paid in a single check jointly to the devisees. The devisees must provide Ardyss with an “address of record” to which all bonus and commission checks will be sent; 4.27.5 - If the business is bequeathed to joint devisees, they must form a business entity and acquire a federal taxpayer Identification number. Ardyss will issue all bonus and commission checks and one 1099 to the business entity.

4.28 - Transfer Upon Death of a Distributor To effect a testamentary transfer of an Ardyss business, the successor must provide the following to Ardyss: (1) an original death certificate; (2) a notarized copy of the will or other instrument establishing the successor’s right to the Ardyss business; and (3) a completed and executed Distributor Agreement.

4.29 - Transfer Upon Incapacitation of a Distributor To effectuate a transfer of an Ardyss business because of incapacity, the successor must provide the following to Ardyss: (1) a notarized copy of an appointment as trustee; (2) a notarized copy of the trust document or other documentation establishing the trustee’s right to administer the Ardyss business; and (3) a completed Distributor Agreement executed by the trustee.

4.30 - Telemarketing Techniques The Federal Trade Commission and the Federal Communications Commission each have laws that restrict telemarketing practices. Both federal agencies (as well as a number of states) have “do not call” regulations as part of their telemarketing laws. Although Ardyss does not consider Distributors to be “telemarketers” in the traditional sense of the word, these government regulations broadly define the term “telemarketer” and “telemarketing” so that your inadvertent action of calling someone whose telephone number is listed on the federal “do not call” registry could cause you to violate the law. Moreover, these regulations must not be taken lightly, as they carry signifi-

POLICIES and PROCEDURES cant penalties (up to $11,000.00 per violation).

Therefore, Distributors must not engage in telemarketing in the operation of their Ardyss businesses. The term “telemarketing” means the placing of one or more telephone calls to an individual or entity to induce the purchase of a Ardyss product or service, or to recruit them for the Ardyss opportunity. “Cold calls” made to prospective customers or Distributors that promote either Ardyss’s products or services or the Ardyss opportunity constitute telemarketing and are prohibited. However, a telephone call(s) placed to a prospective customer or Distributor (a “prospect”) is permissible under the following situations: 4.30.1 - If the Distributor has an established business relationship with the prospect. An “established business relationship” is a relationship between a Distributor and a prospect based on the prospect’s purchase, rental, or lease of goods or services from the Distributor, or a financial transaction between the prospect and the Distributor, within the eighteen (18) months immediately preceding the date of a telephone call to induce the prospect’s purchase of a product or service.

4.30.2 - The prospect’s personal inquiry or application regarding a product or service offered by the Distributor, within the three (3) months immediately preceding the

RESPONSIBILITIES OF DISTRIBUTORS

5.1 - Change of Address or Telephone To ensure timely delivery of products, support materials, and commission checks, it is critically important that the Ardyss’s files are current. Street addresses are required for shipping, since FedEx cannot deliver to a post office box, although post office boxes are acceptable for shipments to Puerto Rico and the Virgin Islands. Distributors planning to move should send their new address and telephone numbers to Ardyss’s Corporate Offices to the attention of the Distributor Services Department.

To guarantee proper delivery, two weeks advance notice must be provided to Ardyss on all changes.

5.1.1 Annual Renewal Fee for services Ardyss will maintain records and files of Distributors in exchange of an $20.00 annual fee to be paid by Distributor every year on its anniversary date. It is responsibility of the Distributor to make such payment every year, otherwise the Distributor will have to voluntary cancel his or her Distributor Agreement and therefore to all bonuses and commissions.

date of such a call.

4.30.3 - If the Distributor receives written and signed permission from the prospect authorizing the Distributor to call. The authorization must specify the telephone number(s) which the Distributor is authorized to call.

4.30.4 - You may call family members, personal friends, and acquaintances. An “acquaintance” is someone with whom you have at least a recent first-hand relationship within the preceding three months. Bear in mind, however, that if you make a habit of “card collecting” with everyone you meet and subsequently calling them, the FTC may consider this a form of telemarketing that is not subject to this exemption. Thus, if you engage in calling “acquaintances,” you must make such calls on an occasional basis only and not make this a routine practice.

4.30.5 - In addition, Distributors shall not use automatic telephone dialing systems relative to the operation of their Ardyss businesses. The term “automatic telephone dialing system” means equipment which has the capacity to: (a) store or produce telephone numbers to be called, using a random or sequential number generator; and (b) to dial such numbers.

5.2 - Continuing Development Obligations 5.2.1 - Ongoing Training Any Distributor who sponsors another Distributor into Ardyss must perform a bona fide assistance and training function to ensure that his or her downline is properly operating his or her Ardyss business. Distributors must have ongoing contact and communication with the Distributors in their Downline Organizations. Examples of such con-

tact and communication may include, but are not limited to: newsletters, written correspondence, personal meetings, telephone contact, voice mail, electronic mail, and the accompaniment of downline Distributors to Ardyss meetings, training sessions, and other functions. Upline Distributors are also responsible to motivate and train new Distributors in Ardyss product knowledge, effective sales techniques, the Ardyss Marketing and Compensation Plan, and compliance with Company Policies and Procedures.

Communication with and the training of downline distributors must not, however, violate Section 4.2 (regarding the development of distributor-produced sales aids and promotional materials).

Distributors must monitor the Distributors in their Downline Organizations to ensure that downline Distributors do not make improper product or business claims, or engage in any illegal or inappropriate conduct. Upon request, every Distributor should be able to provide documented evidence to Ardyss of his or her ongoing fulfillment of the responsibilities of a Sponsor.

5.2.2 - Increased Training Responsibilities As Distributors progress through the various levels of leadership, they will become more experienced in sales techniques, product knowledge, and understanding of the Ardyss program. They will be called upon to share this knowledge with lesser experienced Distributors within their organization.

5.2.3 - Ongoing Sales Responsibilities Regardless of their level of achievement, Distributors have an ongoing obligation to continue to personally promote sales through the generation of new customers and through servicing their existing customers.

5.3 - Nondisparagement Ardyss wants to provide its independent Distributors with the best products, compensation plan, and service in the industry.

Accordingly, we value your constructive criticisms and comments. All such comments should be submitted in writing to the Customer Service Department. Remember, to best serve you, we must hear from you! While Ardyss welcomes constructive input, negative comments and remarks made in the field

by Distributors about the Company, its products, or compensation plan serve no purpose other than to sour the enthusiasm of other Ardyss Distributors. For this reason, and to set the proper example for their downline, Distributors must not disparage,

5.4 - Providing Documentation to Applicants Distributors must provide the most current version of the Policies and Procedures and the Compensation Plan to individuals whom they are sponsoring to become Distributors before the applicant signs a Distributor Agreement. Additional copies of Policies and Procedures can be downloaded from Ardyss’s website.

5.5 - Reporting Policy Violations Distributors observing a Policy violation by another Distributor should submit a written report of the violation directly to the attention of the Ardyss Compliance Department. Details of the incidents such as dates, number of occurrences, persons involved, and any supporting documentation should be included in the report.

SALES REQUIREMENTS

6.1 - Product Sales The Ardyss Marketing and Compensation Plan is based upon the sale of Ardyss products and services to end consumers. Distributors must fulfill personal and Downline Organization retail sales requirements (as well as meet other responsibilities set forth in the Agreement) to be eligible for bonuses, commissions and advancement to higher levels of achievement. The following sales requirements must be satisfied for Distributors to be eligible for commissions: 6.1.1 - Distributors must satisfy the Personal Sales Volume and Group Sales Volume requirements to fulfill the requirements associated with their rank as specified in the Ardyss Marketing and Compensation Plan. “Personal Sales Volume” includes purchases made by the Distributor and purchases made by the Distributor’s personal customers.

Group Sales Volume shall include the total Sales Volume of all Distributors in his or her marketing organization, but shall not include the Distributor’s Personal Sales Volume.

6.1.2 - At least 70% of a Distributor’s total monthly personal sales volume must be sold to personal retail customers.

demean, or make negative remarks about Ardyss, other Ardyss Distributors, Ardysss’s products, the Marketing and Compensation plan, or Ardyss’s directors, officers, or employees.

6.1.3 - Distributors must develop or service at least adequate Customers every month.

6.2 - No Territory Restrictions There are no exclusive territories granted to anyone. No franchise fees are required.

6.3 - Sales Receipts All Distributors must provide their retail customers with two copies of an official Ardyss sales receipt at the time of the sale.

These receipts set forth the Customer Satisfaction Guarantee as well as any consumer protection rights afforded by federal or state law.

Distributors must maintain all retail sales receipts for a period of two years and furnish them to Ardyss at the Company’s request.

Records documenting the purchases of Distributors’ Direct Customers will be maintained by Ardyss.

Remember that customers must receive two copies of the sales receipt. In addition, Distributors must orally inform the buyer of his or her cancellation rights.

BONUSES AND COMMISSIONS

7.1 - Bonus and Commission Qualifications A Distributor must be active and in compliance with the Agreement to qualify for bonuses and commissions. So long as a Distributor complies with the terms of the Agreement, Ardyss shall pay commissions to such Distributor in accordance with the Marketing and Compensation plan 7.2 - Adjustment to Bonuses and Commissions Distributors receive bonuses and commissions based on the ac-

tual sales of products and services to end consumers. When a product is returned to Ardyss for a refund or is repurchased by the Company, the bonuses and commissions attributable to the returned or repurchased product(s) will be deducted, in the month in which the refund is given, and continuing every pay period thereafter until the commission is recovered, from the Distributors who received bonuses and commissions on the sales of the refunded products.

POLICIES and PROCEDURES 7.3 - Reports All information provided by Ardyss in online or telephonic downline activity reports, including but not limited to personal and group sales volume (or any part thereof), and downline sponsoring activity is believed to be accurate and reliable. Nevertheless, due to various factors including the inherent possibility of human and mechanical error; the accuracy, completeness, and timeliness of orders; denial of credit card and electronic check payments; returned products; credit card and electronic check charge-backs; the information is not guaranteed by Ardyss or any persons creating or transmitting the information.

ALL PERSONAL AND GROUP SALES VOLUME INFORMATION IS PROVIDED “AS IS” WITHOUT WARRANTIES, EXPRESS OR IMPLIED, OR REPRESENTATIONS OF ANY KIND WHATSOEVER. IN PARTICULAR BUT WITHOUT LIMITATION THERE SHALL BE NO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE, OR NON‑INFRINGEMENT. PRODUCT RETURNS AND INVENTORY REPURCHASE

8.1 - Returns by Distributors Distributors that purchaseArdyss products for personal use may return merchandise within 60 days from the date of purchase for an exchange. No cash refunds are issued.

8.2 - Returns by Retail Customers Distributors shall offer a 100% day money-back guarantee to all retail customers. Every Distributor is bound to honor the retail customer guarantee. If, for any reason, a retail customer is dissatisfied with any Ardyss product, the retail customer may return the unused portion of the product to the Distributor from whom it was purchased, within 60 days, for a replacement.

OF OR ACCESS TO PERSONAL AND GROUP SALES VOLUME INFORMATION (INCLUDING BUT NOT LIMITED TO LOST PROFITS, BONUSES, OR COMMISSIONS, LOSS OF OPPORTUNITY, AND DAMAGES THAT MAY RESULT FROM INACCURACY, INCOMPLETENESS, INCONVENIENCE, DELAY, OR LOSS OF THE USE OF THE INFORMATION), EVEN IF Ardyss OR OTHER PERSONS CREATING OR TRANSMITTING THE INFORMATION SHALL HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, Ardyss OR OTHER PERSONS CREATING OR TRANSMITTING THE INFORMATION SHALL HAVE NO RESPONSIBILITY OR LIABILITY TO YOU OR ANYONE ELSE UNDER ANY TORT, CONTRACT, NEGLIGENCE, STRICT LIABILITY, PRODUCTS LIABILITY OR OTHER THEORY WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT OR TERMS AND CONDITIONS RELATED THERETO.

8.3 - Return of Product Inventory and Sales Aids by Distributors Upon cancellation of a Distributor’s Agreement, the Distributor may return nutritional and cosmetic products and sales aids held in his or her inventory for a refund. A Distributor may only return products and sales aids that he or she personally purchased and which are in resalable condition. Upon receipt of the products and sales aids, the Distributor will be reimbursed 90% of the net cost of the original purchase price(s), less shipping charges. If the purchases were made through a credit card, the refund will be credited back to the same account.

If a Distributor was paid a commission based on a product(s) purchase, and such product(s) is subsequently returned for a refund, the commission that was paid to the Distributor will be

deducted from the amount of the refund. Undergarments are non-returnable. Distributors are therefore strongly discouraged from carrying large quantities of inventories, as they risk losing their inventory investment should they cancel their business.

8.3.1 - Montana Residents A Montana resident may cancel his or her Distributor Agreement within 15 days from the date of enrollment, and may return his or her Ardyss Business Kit for a full refund within such time period.

8.4 - Procedures for All Returns The following procedures apply to all returns for refund, repurchase, or exchange: 8.4.1 - All merchandise must be returned by the Distributor or customer who purchased it directly from Ardyss.

8.4.2 - The return is accompanied by: 8.4.2.1 - a completed and signed Consumer Return Form; 8.4.2.2 - a copy of the original dated invoice; and 8.4.2.3 - the unused portion of the product in its original container.

8.4.2.4 - The appropriate exchange and return shipping fees. If the Distributor returns the merchandise to an Ardyss distribution center and picks up the exchange, a $3.00 exchange fee will be charged. If Ardyss is to ship exchanged merchandise back to the Distributor, a $7.00 exchange and shipping fee will

be charged.

8.4.3 - Proper shipping carton(s) and packing materials are to be used in packaging the product(s) being returned for replacement, and the best and most economical means of shipping is suggested. All returns must be shipped to Ardyss shipping pre-paid. Ardyss does not accept shipping-col-

lect packages. The risk of loss in shipping for returned product shall be on the Distributor. If returned product is not received by the Company’s Distribution Center, it is the responsibility of the Distributor to trace the shipment.

No refund or replacement of product will be made if the conditions of these rules are not met.

DISPUTE RESOLUTION AND DISCIPLINARY PROCEEDINGS

9.1 - Disciplinary Sanctions Violation of the Agreement, these Policies and Procedures, or any illegal, fraudulent, deceptive or unethical business conduct by a Distributor may result, at Ardyss’s discretion, in one or more of the following corrective measures: 9.1.1 - Issuance of a written warning or admonition.

9.1.2 - Requiring the Distributor to take immediate corrective measures.

9.1.3 - Imposition of a fine, which may be withheld from bonus and commission checks.

9.1.4 - Loss of rights to one or more bonus and commission checks.

9.1.5 - Ardyss may withhold from a Distributor all or part of the Distributor’s bonuses and commissions during the period that Ardyss is investigating any conduct allegedly violative of the Agreement. If a Distributor’s business is canceled for disciplinary reasons, the Distributor will not be entitled to recover any commissions withheld during the investigation period.

9.1.6 - Suspension of the individual’s Distributor Agreement for one or more pay periods.

9.1.7 - Involuntary termination of the offender’s Distributor Agreement.

9.1.8 - Any other measure expressly allowed within any provision of the Agreement or which Ardyss deems practicable to implement and appropriate to equitably resolve injuries caused partially or exclusively by the Distributor’s policy violation or contractual breach.

9.1.9 - In situations deemed appropriate by Ardyss, the Company may institute legal proceedings for monetary and/or equitable relief.

9.2 - Grievances and Complaints When a Distributor has a grievance or complaint with another Distributor regarding any practice or conduct in relationship to their respective Ardyss businesses, the complaining Distributor should first report the problem to his or her Sponsor who should review the matter and try to resolve it with the other party’s upline sponsor. If the matter cannot be resolved, it must be reported in writing to the Distributor Services Department at the Company. The Distributor Services Department will review the facts and attempt to resolve it.

9.3 - Arbitration Any controversy or claim arising out of or relating to the Agreement, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Distributors waive all rights to trial by jury or to any court. All arbitration proceedings shall be held in Las Vegas, Nevada. All parties shall be entitled to all discovery rights pursuant to the Federal Rules of Civil Procedure. There shall be one arbitrator, an attorney at law, who shall have expertise in business law transactions with a strong preference being an attorney knowledgeable in the direct selling industry, selected from the panel which the American Arbitration Panel provides. Each party to the arbitration shall be responsible for its own costs and expenses of arbitration, including legal and filing fees. The decision of the arbitrator shall be final and binding on the parties and may, if necessary, be reduced to a judgment in any court of competent jurisdiction. This agreement to arbitration shall survive any termination or expiration of the Agreement.

Nothing in these Policies and Procedures shall prevent Ardyss from applying to and obtaining from any court having jurisdiction a writ of attachment, a temporary injunction, preliminary injunction, permanent injunction or other relief available to safeguard and protect t’s interest prior to, during or following the filing of any arbitration or other proceeding or pending the rendition of a decision or award in connection with any arbitration or other proceeding.

9.4 - Governing Law, Jurisdiction and Venue Jurisdiction and venue of any matter not subject to arbitration shall reside in Clark County, State of Nevada, unless the laws of the state in which a Distributor resides expressly require the application of its laws. The Federal Arbitration Act shall govern all matters relating to arbitration. The law of the State of Nevada shall govern all other matters relating to or arising from the Agreement unless the laws of the state in which a Distributor resides expressly require the application of its laws. Notwithstanding the foregoing, and the arbitration provision in Policy 9.3, residents of the State of Louisiana may bring an action against the Company with jurisdiction and venue as provided

by Louisiana law.

PAYMENT AND SHIPPING

10.1 - Returned Checks All checks returned by a Distributor’s bank for insufficient funds will be re-submitted for payment. A $25.00 returned check fee will be charged to the account of the Distributor. After receiving a returned check from a customer or a Distributor, all future

INACTIVITY AND CANCELLATION

11.1 - Effect of Cancellation So long as a Distributor remains active and complies with the terms of the Distributor Agreement and these Policies and Procedures, Ardyss shall pay commissions to such Distributor in accordance with the Marketing and Compensation Plan. A Distributor’s bonuses and commissions constitute the entire consideration for the Distributor’s efforts in generating sales and all activities related to generating sales (including building a downline organization). Following a Distributor’s cancellation for inactivity, or the voluntary or involuntary cancellation of his or her Distributor Agreement (all of these methods are collectively referred to as “cancellation”), the former Distributor shall have no right, title, claim or interest to the marketing organization which he or she operated, or any commission or bonus from the sales generated by the organization. A Distributor whose business is cancelled will lose all rights as a Distributor. This includes the right to sell Ardyss products and services and the right to receive future commissions, bonuses, or other income resulting from the sales and other activities of the Distributor’s former downline sales organization. In the event of cancellation, Distributors agree to waive all rights they may have, including but not limited to property rights, to their former downline organization and to any bonuses, commissions or other remuneration derived from the sales and other activities of his or her former downline organization.

Following a Distributor’s cancellation of his or her Distributor Agreement, the former Distributor shall not hold himself or herself out as an Ardyss Distributor and shall not have the right to sell Ardyss products or services. A Distributor whose Distributor Agreement is canceled shall receive commissions and bonuses only for the last full pay period he or she was active prior to cancellation (less any amounts withheld during an investigation preceding an involuntary cancellation).

orders must be paid by Credit Card, money order or cashier’s check.

Any outstanding balance owed to Ardyss by a Distributor for NSF checks and returned check fees will be withheld from subsequent bonus and commission checks.

11.2 - Cancellation Due to Inactivity It is the Distributor’s responsibility to lead his or her marketing organization with the proper example in personal production of sales to end consumers. Without this proper example and leadership, the Distributor will lose his or her right to receive

commissions from sales generated through his or her marketing organization. Therfore, Distributors who do not personally produce their qualifying monthly order will be inactive for that month and not receive a commission for the sales generated through their marketing organization for that month.

11.3 - Involuntary Cancellation A Distributor’s violation of any of the terms of the Agreement, including any amendments that may be made by Ardyss in its sole discretion, may result in any of the sanctions listed in Section 9.1, including the involuntary cancellation of his or her Distributor Agreement. Cancellation shall be effective on the date on which written notice is mailed, faxed, or delivered to an express courier, to the Distributor’s last known address (or fax number), or to his/her attorney, or when the Distributor receives actual notice of cancellation, whichever occurs first.

Ardyss reserves the right to terminate all Distributor Agreements upon thirty (30) days written notice in the event that it elects to: (1) cease business operations; (2) dissolve as a corporate entity; or (3) terminate distribution of its products via direct selling.

11.4 - Voluntary Cancellation A participant in this network marketing plan has a right to cancel at any time, regardless of reason. Cancellation must be submitted in writing to the Company at its principal business address. The written notice must include the Distributor’s signature, printed name, address, and Distributor I.D. Number 11.5 - Non-renewal A Distributor may also voluntarily cancel his or her Distributor Agreement by failing to renew the Agreement on its anniversary date. The Company may also elect not to renew a Distributor’s Agreement upon its anniversary date.

Active Customer. A Customer who purchases Ardyss products and whose account has been paid for the ensuing year.

Active Distributor. A Distributor who personally generates at least 250 Qualifying Points per month.

DEFINITIONS

Agreement. The contract between the Company and each Distributor includes the Distributor Application and Agreement, the Ardyss Policies and Procedures, the Ardyss Marketing and Compensation Plan, and the Business Entity Form (where appropriate), all in their current form and as amended by Ardyss in its sole discretion. These documents are collectively referred to as the “Agreement.”

Cancel. The termination of a Distributor’s business. Cancellation may be either voluntary, involuntary, through non-renewal or inactivity.

(Section 4.7), the term “recruit” means actual or attempted solicitation, enrollment, encouragement, or effort to influence in any other way, either directly or through a third party, another Ardyss Distributor or Customer to enroll or participate in another multilevel marketing, network marketing or direct sales opportunity. This conduct constitutes recruiting even if the Distributor’s actions are in response to an inquiry made by another Distributor or Preferred Customer.

Downline Activity Report. A monthly report generated by Ardyss that provides critical data relating to the identities of Distributors, sales information, and enrollment activity of each Distributor’s Marketing Organization. This report contains confidential and trade secret information which is proprietary to Ardyss.

Resalable. Products and Sales aids shall be deemed “resalable” if each of the following elements is satisfied: 1) they are unopened and unused; 2) packaging and labeling has not been altered or damaged; 3) they are in a condition such that it is a commercially reasonable practice within the trade to sell the merchandise at full price; 4) it is returned to Ardyss within one year from the date of purchase; 5) the product contains current Ardyss labeling. Any merchandise that is clearly identified at the time of sale as non returnable, discontinued, or as a seasonal item, shall not be resalable.

Downline Leg. Each one of the individuals enrolled immediately underneath you and their respective marketing organizations represents one “leg” in your marketing organization.

Retail Customer. An individual who purchases Ardyss products from a Distributor but who is not a participant in the Ardyss compensation plan.

Group Qualifying Points.The commissionable value of Ardyss products or services sold by a Distributor’s Marketing Organization. Group Qualifying Points includes the Personal Sales Volume of the subject Distributor. (Distributor Kits and sales aids have no Sales Volume.)

Roll-Up. The method by which a vacancy in a Marketing Organization left by a Distributor whose Distributor Agreement has been canceled is filled.

Downline. See “Marketing Organization” below.

Immediate Household. Heads of household and dependent family members residing in the same house.

Level. The layers of downline Customers and Distributors in a particular Distributor’s Marketing Organization. This term refers to the relationship of a Distributor relative to a particular upline Distributor, determined by the number of Distributors between them who are related by sponsorship. For example, if A sponsors B, who sponsors C, who sponsors D, who sponsors E, then E is on A’s fourth level.

Official Ardyss Material. Literature, audio or video tapes, and other materials developed, printed, published and distributed by Ardyss to Distributors.

Sponsor. A Distributor who enrolls a Preferred Customer or another Distributor into the Company, and is listed as the Sponsor on the Distributor Application and Agreement. The act of enrolling others and training them to become Distributors is called “sponsoring.”

Ardyss Business Kit. A selection of Ardyss training materials and business support literature that each new Independent Marketing Distributor is required to purchase. The Ardyss Business Kit is sold to Distributors at the Company’s cost.

Upline. This term refers to the Distributor or Distributors above a particular Distributor in a sponsorship line up to the Company. Conversely stated, it is the line of sponsors that links any particular Distributor to the Company.

Personal Production. Moving Ardyss products or services to an end consumer for personal use.

Personal Qualifying Points. The commissionable value of products sold in a calendar month: (1) by the Company to a Distributor; and (2) by the Company to the Distributor’s personally enrolled Customers.

Recruit. For purposes of Ardyss’s Conflict of Interest Policy

INTRODUCCIÓN

2.1- Políticas y Plan de Compensación Incorporados al Convenio de Distribuidor Estas Políticas y Procedimientos, y las enmiendas que pudiera realizar Ardyss, Inc. (en lo sucesivo Ardyss o la Compañía ), forman parte del Convenio de Distribuidor Ardyss. En el contenido de estas Políticas, cuando se utiliza el término Convenio, éste se refiere en general a la Solicitud como Distribuidor Ardyss y al Convenio, a estas Políticas y Procedimientos, al Plan de Mercadeo y Compensación de Ardyss y en su caso a la Solicitud de Entidad Comercial Ardyss. Estos documentos forman parte del Convenio de Distribuidor Ardyss. Es responsabilidad de cada Distribuidor leer, entender, cumplir y asegurarse de conocer y estar operando bajo la versión más reciente de estas Políticas y Procedimientos. Al patrocinar o inscribir a un nuevo Distribuidor, es responsabilidad del Distribuidor patrocinante cerciorarse de que el solicitante reciba o tenga acceso a la versión más reciente de estas

Políticas y Procedimientos y entregar el Plan de Mercadeo y Compensación de Ardyss al solicitante antes de que éste firme el Convenio de Distribuidor.

2.2- Objetivo de las Políticas Ardyss es una empresa de ventas directas que comercializa productos y servicios por medio de Distribuidores Independientes. Es importante entender que su éxito y el éxito de sus compañeros distribuidores dependen de la integridad de los hombres y mujeres que comercializan nuestros productos y servicios. El Convenio ha sido elaborado por Ardyss para definir claramente la relación que existe entre los Distribuidores y Ardyss, y para establecer explícitamente un estándar de conducta comercial aceptable.

Los Distribuidores Ardyss deben cumplir con todos los Términos y Condiciones establecidos en el Convenio, el cual puede ser modificado por Ardyss en cualquier momento, así como con todas las leyes federales, estatales y locales que regulan

su negocio con Ardyss y sus actividades.

Debido a que es posible que usted no conozca muchos de estos estándares de conducta, es muy importante que lea y cumpla con el Convenio. Por favor revise la información de este manual cuidadosamente, el cual explica y regula la relación entre usted, como contratista independiente, y la Compañía. 2.3- Cambios al Convenio Debido a que hay cambios periódicos en las leyes federales, estatales y locales, así como en el medio comercial, Ardyss se reserva el derecho de modificar el Convenio y sus precios a su entera y exclusiva discreción. Al firmar el Convenio de Distribuidor, un Distribuidor acepta sujetarse a todas las enmiendas o modificaciones que Ardyss decida realizar. Las enmiendas entrarán en vigor al notificar

POLICIES and PROCEDURES a todos los distribuidores que el Convenio ha sido modificado.

La notificación de las enmiendas se publicará en los materiales oficiales de Ardyss.

La Compañía proporcionará o pondrá a disposición de todos los distribuidores las disposiciones modificadas en el boletín informativo oficial de Ardyss.

2.4 - Retrasos Ardyss no será responsable por retrasos o fallas en el cumplimiento de sus obligaciones cuando dicho cumplimiento sea comercialmente impráctico debido a circunstancias fuera de su control razonable. Esto incluye, sin limitación, huelgas, dificultades laborales, disturbios, guerras, incendios, muertes, restricción de fuentes de abastecimiento o decretos u órdenes gubernamentales.

2.5 - Políticas y Disposiciones Inválidas Si se determina que cualquier disposición del Convenio, en su forma actual o enmendada, es inválida o no ejecutable por cualquier motivo, sólo la(s) porción(es) inválida(s) de la disposición deberá(n) ser eliminada(s), conservando el resto de los términos y disposiciones toda su fuerza y vigor y deberán interpretarse como si dicha disposición inválida o no ejecutable nunca hubiese sido parte del Convenio.

3

CONVERTIRSE EN DISTRIBUIDOR

3.1 - Requisitos para Convertirse en Distribuidor Para convertirse en Distribuidor de Ardyss, cada uno de los solicitantes debe: 3.1.1.- Ser mayor de edad en su estado de residencia.

3.1.2.- Residir en los Estados Unidos de América o en los Te-rritorios de los E.U.A. o en un país en el que Ardyss haya anunciado oficialmente la apertura de sus negocios.

3.1.3.- Tener un número válido de Seguro Social o Número de Contribuyente Federal.

3.1.4.- Comprar un Kit de Negocios de Ardyss.

3.1.5.- Entregar una Solicitud y Convenio de Distribuidor debidamente llenados y firmados (sólo originales, no copias) a Ardyss.

3.2 - No se Requiere Compra de Producto Ninguna persona está obligada a comprar productos Ardyss para convertirse en Distribuidor. Para familiarizar a los nuevos Distribuidores con los productos, servicios, técnicas de ventas, materiales de ventas y otros aspectos de Ardyss, la Compañía recomienda la compra de un Kit de Negocios de Ardyss.

Ardyss comprará los Kits de Negocios que estén en condiciones de volver a ser vendidos a cualquier Distribuidor que rescinda su Convenio de Distribuidor de acuerdo a los términos de la Sección 8.2.

2.6 - Renuncia La Compañía nunca renuncia a su derecho a exigir en el cumplimiento con el Convenio y con las leyes aplicables que gobiernan la conducta de un negocio. Ninguna omisión por parte de Ardyss en el ejercicio de cualquier derecho o poder bajo el Convenio o para insistir en el estricto cumplimiento por parte de un Distribuidor con cualquier obligación o disposición del Convenio, y ninguna costumbre o práctica de las partes distinta con los términos del Convenio, constituirá una renuncia al derecho de Ardyss a exigir el cumplimiento exacto con el Convenio. La renuncia por parte de Ardyss puede ser realizada sólo por escrito por un funcionario autorizado de la Compañía.

La renuncia de Ardyss de cualquier incumplimiento particular por parte de un Distribuidor no afectará ni disminuirá los derechos de Ardyss respecto de ningún incumplimiento subsiguiente, ni afectará de manera alguna los derechos u obligaciones de ningún otro Distribuidor. Ninguna demora u omisión por parte de Ardyss en el ejercicio de cualquier derecho derivado de un incumplimiento afectará ni disminuirá los derechos de Ardyss en lo referente a dicho incumplimiento o a cualquier incumplimiento posterior. La existencia de cualquier reclamación o acción de un Distribuidor en contra de Ardyss no constituirá una defensa contra la ejecución por parte de Ardyss de cualquier término o disposición del Convenio.

3.3 - Inscripción por Teléfono y Fax Si un solicitante compra un Kit de Negocios sólo al momento

de su inscripción, el solicitante debe entregar su Solicitud y Convenio de Distribuidor a la compañía vía fax. Ambos lados del Convenio deben ser transmitidos por fax.

Si un solicitante compra un Kit de Negocios al momento de su inscripción, la solicitud puede ser hecha por teléfono. El Patrocinador del solicitante o el solicitante puede llamar a la oficina central de Ardyss durante horas hábiles para recibir un Número de Identificación de Distribuidor temporal y una autorización temporal para nuevo negocio. (Consulte en el anverso de la Solicitud y Convenio de Distribuidor los teléfonos y horarios de oficina.) La persona que llama debe estar en condiciones de proporcionar todos los datos necesarios del Convenio de Distribuidor por teléfono o fax. Se puede ordenar un nuevo Kit de Negocios de Ardyss de Distribuidor en ese momento utilizando una tarjeta de crédito vigente.

El nuevo número de identificación de Distribuidor y autorización para una persona que se inscribe por teléfono será válido durante 30 días, mientras Ardyss recibe la Solicitud y Convenio de Distribuidor llenados y firmados, los cuales pueden enviarse por fax o correo. Una vez que la Oficina Central de Ardyss reciba el original de la Solicitud y Convenio de Distribuidor, se asignará un Número de Identificación de Distribuidor permanente al nuevo Convenio de Distribuidor. Si la Solicitud y Convenio de Distribuidor no se reciben dentro del periodo temporal de 30 días, el número temporal de identificación será suspendido y la Solicitud y Convenio de Distribuidor se suspenderán automáticamente.

3.4 - Beneficios de los Distribuidores Una vez que Ardyss haya aceptado una Solicitud y Convenio de Distribuidor, los beneficios del Plan de Mercadeo y Compensación y el Convenio de Distribuidor están disponibles para el nuevo Distribuidor. Estos beneficios incluyen el derecho de: 3.4.1 - Vender los productos y servicios de Ardyss.

3.4.2 - Participar en el Plan de Mercadeo y Compensación de Ardyss (recibir bonos y comisiones, de ser elegible).

3.4.3 - Patrocinar a otras personas como Clientes Preferidos o Distribuidores para incorporarse al negocio Ardyss y por

lo tanto, construir una organización de mercadeo y avanzar en el Plan de Mercadeo y Compensación de Ardyss.

3.4.4 - Recibir literatura de Ardyss periódicamente y otros comunicados de Ardyss.

3.4.5 - Participar en eventos de apoyo, servicio, capacitación, motivación y reconocimiento patrocinados por Ardyss, con el pago de los cargos correspondientes, en su caso.

3.4.6 - Participar en concursos promocionales e incentivos patrocinados por Ardyss para sus Distribuidores.

OPERAR UN NEGOCIO ARDYSS

4.1 - Cumplimiento del Plan de Mercadeo y Compensación de Ardyss Los Distribuidores deben respetar los términos del Plan de Mercadeo y Compensación de Ardyss, establecidos en la literatura oficial de Ardyss. Los Distribuidores no ofrecerán la oportunidad Ardyss por medio de, ni en combinación con, ningún otro sistema, programa o método de mercadeo que no sea aquél específicamente establecido en la literatura oficial de Ardyss.

Los Distribuidores no exigirán ni alentarán a otros Clientes o Distribuidores actuales o potenciales a participar en Ardyss de ninguna manera que varíe del programa descrito en la literatura oficial de Ardyss. Los Distribuidores no exigirán ni alentarán a otros Clientes o Distribuidores actuales o potenciales a firmar ningún convenio o contrato distinto a los convenios y contratos oficiales de Ardyss para convertirse en Distribuidores de Ardyss.

De la misma forma, los Distribuidores no exigirán ni alentarán a otros Clientes o Distribuidores actuales o potenciales que realicen ninguna compra o pago a ninguna persona ni otra entidad para participar en el Plan de Mercadeo y Compensación de Ardyss fuera de aquellas compras o pagos identificados como recomendados o requeridos en la literatura oficial de Ardyss.

4.2 - Publicidad 4.2.1 - General Todos los Distribuidores deberán salvaguardar y promover la buena reputación de Ardyss y sus productos. El mercadeo y promoción de Ardyss, la oportunidad Ardyss, el Plan de Mercadeo y Compensación y los productos Ardyss serán consistentes con el interés público y deben evitar cualquier conducta o práctica descortés, engañosa, tendenciosa, poco ética o inmoral.

Para promover tanto los productos como los servicios y la excelente oportunidad ofrecida por Ardyss, los Distribuidores deben utilizar los materiales de ventas y de apoyo producidos por Ardyss. El motivo que respalda este requisito es simple: Ardyss se ha esmerado en el diseño de sus productos, marcas, Plan de Mercadeo, Compensaciones, y materiales promocionales a fin de asegurar que cada aspecto de Ardyss sea justo, verdadero, sustanciado y cumpla con los vastos y complejos requisitos legales de la legislación federal y estatal. Si los Distribuidores Ardyss tuviesen permitido desarrollar sus propios materiales de ventas y de promoción (lo cual incluye anuncios por Internet), sin importar su integridad y buenas intenciones,

la probabilidad de que violasen sin intención cualquier número de leyes y reglamentos que afectan al negocio de Ardyss es casi segura. Dichas violaciones, aunque pudiesen ser relativamente pocas, pondrían en peligro la oportunidad Ardyss para todos los Distribuidores.

Por lo tanto, los Distribuidores deben presentar a la Compañía para su aprobación todos los materiales escritos de ventas, materiales promocionales, anuncios publicitarios y otra literatura (incluyendo anuncios propuestos por Internet). A menos que el Distribuidor reciba aprobación escrita específica para utilizar el material, la solicitud deberá considerarse negada.

4.2.2 - Sitios Web de los Distribuidores Si un Distribuidor desea utilizar una página de Internet para promover su negocio, puede hacerlo a través del sitio web oficial de la Compañía, utilizando las plantillas oficiales de Ardyss. Alternativamente, los Distribuidores pueden desarrollar sus propias páginas web. Sin embargo, cualquier Distribuidor que lo haga: (a) debe utilizar el texto del sitio oficial de la Compañía; y (b) no puede complementar el contenido de su sitio web con texto de ninguna fuente externa a la Compañía. Los Distribuidores que desarrollen o publiquen sus propios sitios web deben registrarlos con la Compañía y recibir aprobación escrita de la misma antes de que sus sitios estén disponibles al público. El no registrar dichos sitios constituye un incumplimiento formal de estas políticas y procedimientos.

4.2.3 - Nombres y Marcas Los Distribuidores no pueden utilizar ni tratar de registrar ninguno de los nombres comerciales, marcas registradas, nombres de servicio, marcas de servicio, nombres de productos de Ardyss, el nombre de la Compañía ni ninguna derivación de los mismos, para ningún nombre de dominio de Internet.

4.2.4 - Marcas Registradas y Derechos de Autor Ardyss no permitirá el uso de sus nombres comerciales, marcas registradas, diseños ni símbolos por parte de ninguna persona, incluyendo a los Distribuidores Ardyss, sin su previo consentimiento por escrito. Los Distribuidores no pueden producir para venta o distribución ninguno de los eventos y/o discursos grabados por la Compañía sin permiso por escrito de Ardyss, ni pueden reproducir para venta o uso personal ninguna grabación de presentaciones en cinta de audio o video producidas por la Compañía.

4.2.5 - Medios de Comunicación y Entrevistas Los Distribuidores no deben intentar responder a preguntas ante los medios de comunicación respecto a Ardyss, sus productos o servicios o su negocio independiente Ardyss.

Todas las preguntas de cualquier tipo por parte de los medios de comunicación deben ser referidas de inmediato al Departamento de Publicidad de Ardyss. Esta política está diseñada para asegurar que se proporcione información precisa y consistente al público además de proyectar la imagen pública adecuada.

4.2.6 - Correo Electrónico No Solicitado (Spam) Ardyss no permite a sus Afiliados enviar correos electrónicos comerciales no solicitados a menos que dichos correos electrónicos cumplan estrictamente con las leyes y reglamentos aplicables incluyendo, sin limitación, la ley federal CAN SPAM. Cualquier correo electrónico enviado por un Afiliado que promueva a Ardyss, la oportunidad Ardyss, o los productos y servicios Ardyss debe cumplir con lo siguiente: i. Debe incluirse una dirección de correo electrónico válida del remitente. ii. Debe haber una notificación en el correo electrónico indicando al destinatario que puede responder al mensaje a la dirección del remitente para solicitar que no se le envíen más anuncios o correspondencia por correo electrónico (una notificación operativa de exclusión voluntaria). iii. El mensaje de correo electrónico debe incluir el domicilio físico del Afiliado. iv. El mensaje de correo electrónico debe decir de manera clara y manifiesta que el mensaje es un anuncio o una promoción. v. Se prohíbe el uso de frases engañosas en el asunto y/o información falsa en el título. vi. Deben respetarse todas las peticiones de exclusión voluntaria, ya sea que se reciban por correo electrónico o por correo normal. Si un Afiliado recibe una petición de exclusión voluntaria de un destinatario de correo electrónico, el Afiliado debe dirigir la solicitud a la Compañía.

Ardyss puede enviar de forma periódica correos electrónicos comerciales a nombre de los Afiliados. Al firmar el Convenio de Afiliado, el Afiliado acepta que la Compañía puede enviar dichos correos electrónicos y que las direcciones físicas y electrónicas del Afiliado se incluirán en dichos correos electrónicos como se indicó anteriormente. Los Afiliados deberán respetar las peticiones de exclusión voluntaria generadas como resultado de dichos correos electrónicos enviados por la Compañía.

4.2.7 - Faxes No Solicitados y Marcación Automática Excepto por lo dispuesto en esta sección, los Distribuidores no pueden utilizar ni transmitir faxes no solicitados ni un sistema de marcación telefónica automática para operar sus negocios Ardyss. El término sistema de marcación telefónica automática significa equipo que tenga la capacidad de: (a) almacenar o producir números telefónicos a llamar, utilizando un generador de números aleatorio o

secuencial; y (b) marcar dichos números. La frase “faxes no solicitados” significa la transmisión por fax de cualquier material o información que anuncia o promueve a Ardyss, sus productos, su plan de compensación o cualquier otro aspecto de la compañía que sea transmitido a cualquier persona, excepto: (a) a cualquier persona con la invitación o permiso expreso de dicha persona; o (b) a cualquier persona con la cual el Distribuidor tiene una relación comercial o personal establecida. El término “relación comercial o personal establecida” significa una relación previa o existente formada por una comunicación voluntaria de dos vías entre un Distribuidor y una persona, como resultado de: (a) una consulta, solicitud, compra o transacción por parte de la persona respecto a productos ofrecidos por dicho Distribuidor; o (b) una relación personal o familiar, la cual no ha sido previamente terminada por ninguna de las partes.

4.3 - Prohibición de Compra de Bonos Se prohíbe estricta y absolutamente la compra de bonos, la cual incluye: (a) la inscripción de individuos o entidades sin el conocimiento y/o firma de una Solicitud y Convenio de Distribuidor Independiente por parte de dichos individuos o entidades; (b) la inscripción fraudulenta de un individuo o entidad como Distribuidor o Cliente; (c) la inscripción o el intento de inscripción de individuos o entidades no existentes como Distribuidores o Clientes (fantasmas ); y (d) comprar productos para usted mismo o para otro Distribuidor simplemente para cubrir las cuotas de volumen.

4.4 - Entidades Comerciales Una corporación, sociedad o fideicomiso (colectivamente llamadas Entidades Comerciales en esta sección) puede presentar una solicitud para convertirse en Distribuidor de Ardyss entregando su Acta Constitutiva, Convenio de Sociedad o documentos de fideicomiso (a estos documentos se les llama colectivamente Documentos de la Entidad ) a Ardyss, junto con un formulario de Registro de Entidad Comercial debidamente llenado. Un negocio de Ardyss puede cambiar su estatus bajo el mismo patrocinador de un individuo a una sociedad, corporación o fideicomiso o de un tipo de entidad a otro. Existe una cuota de $25.00 dólares por cada cambio solicitado, la cual debe ser incluida con la petición por escrito, además de la Solicitud y Convenio de Distribuidor con todos los datos. El formulario de Registro de Entidad Comercial debe ser firmado por todos los accionistas, socios o fiduciarios. Los miembros de la entidad son responsables de forma conjunta y separada por cualquier adeudo u otra obligación hacia Ardyss.

4.5 - Cambios a un Negocio Ardyss 4.5.1 - General Cada Distribuidor debe notificar inmediatamente a Ardyss de todos los cambios de la información contenida en su Solicitud y Convenio de Distribuidor. Los Distribuidores pueden modificar su Convenio de Distribuidor (es decir, cambiar el número de seguro social a número de identificación de contribuyente federal o cambiar la forma de propiedad de un propietario individual a una entidad co-

mercial que sea propiedad del Distribuidor) presentando una petición por escrito, una Solicitud y Convenio de Distribuidor debidamente firmados y la documentación de respaldo correspondiente. Los cambios serán procesados sólo una vez por año. Todos los cambios deben ser presentados a más tardar el día 30 de Noviembre para entrar en vigor el 1° de Enero del siguiente año.

4.5.2 - Adición de Co-Solicitantes Al añadir un co-solicitante (ya sea un individuo o una entidad comercial) a un negocio Ardyss existente, la Compañía requiere tanto de una petición escrita como una Solicitud y Convenio de Distribuidor debidamente llenados conteniendo los números de seguro social y firmas del solicitante y del co-solicitante. Para evitar el incumplimiento de la Sección 4.24 (en lo relativo a transferencias y asignaciones del negocio Ardyss), el solicitante original debe permanecer como parte de la Solicitud y Convenio de Distribuidor originales. Si el Distribuidor original desea terminar su relación con la Compañía, debe transferir o asignar su negocio de acuerdo con la Sección 4.24 Si no se sigue este proceso, el negocio se cancelará al retirarse el Distribuidor original. Todos los cheques de bonos y comisiones serán enviados al domicilio registrado del Distribuidor original. Por favor tenga en mente que las modificaciones permitidas dentro del alcance de este párrafo no incluyen un cambio de patrocinador. Los cambios de patrocinador se señalan en la Sección 4.5.3. Ardyss puede, a su discreción, requerir documentos notariados antes de implantar cualquier cambio a un negocio Ardyss. Sírvase esperar treinta (30) días después de que Ardyss reciba la solicitud para su procesamiento.

4.5.3 - Cambio de Patrocinador Para proteger la integridad de todas las organizaciones de mercadeo y salvaguardar el arduo trabajo de todos los Distribuidores, Ardyss no recomienda los cambios de patrocinador. Mantener la integridad del patrocinio es crítico para el éxito de todos los Distribuidores y organizaciones de mercadeo. Por lo tanto, la transferencia de un negocio Ardyss de un patrocinador a otro rara vez se permite.

Las peticiones de cambio de patrocinador deben ser presentadas por escrito al Departamento de Servicios al Distribuidor y deben incluir la razón para la transferencia. Las transferencias sólo se considerarán bajo las siguientes dos (2) circunstancias: 4.5.3.1 - En casos que involucren inducción fraudulenta o patrocinio no ético, un Distribuidor puede solicitar ser transferido a otra organización manteniendo intacta toda su organización de mercadeo. Todas las peticiones de transferencia que aleguen prácticas fraudulentas de inscripción serán evaluadas caso por caso.

4.5.3.2 - El Distribuidor que pretende transferirse presenta un Formulario de Transferencia de Patrocinio que incluye la aprobación escrita de sus cuatro Distribuidores inmediatos en línea ascendente. No se aceptan firmas en fotocopias ni en facsímil. Todas las firmas de los Distribuidores deben ser notariadas. El Distribuidor que solicita la transferencia debe enviar una cuota de $50.00 dólares por cargos administrati-

vos y procesamiento de datos. Si el Distribuidor que se transfiere también desea mover a cualquiera de los Distribuidores en su organización de mercadeo, cada Distribuidor en línea descendente debe además enviar un Formulario de Transferencia de Patrocinio debidamente llenado y enviarlo a Ardyss junto con la cuota de cambio de $50.00 dólares (es decir, el Distribuidor que se transfiere y cada uno de los Distribuidores en su organización de mercadeo multiplicados por $50.00 dólares es el costo de cambiar un negocio Ardyss.) Los Distribuidores en línea descendente no se moverán junto con el Distribuidor que se transfiere a menos que se cumplan todos los requisitos de este párrafo. Los Distribuidores que se transfieren deben esperar treinta (30) días después de que Ardyss reciba los Formularios de Transferencia de Patrocinio para su procesamiento y verificación de las peticiones de cambio. Ardyss considerará renunciar al periodo de espera de seis meses bajo circunstancias excepcionales. Dichas peticiones de renuncia deben ser entregadas a Ardyss por escrito.

4.5.4 - Cancelación y Nueva Solicitud Posterior Un Distribuidor puede cambiar de organización legítimamente cancelando de forma voluntaria su negocio Ardyss y permaneciendo inactivo (es decir, sin realizar compras de productos Ardyss para reventa, ni vender productos Ardyss, ni patrocinar ni asistir a ningún evento Ardyss, participar en ninguna otra forma en actividades de Distribuidores ni operar ningún otro negocio Ardyss) durante seis (6) meses calendarios completos. Después del periodo de inactividad de seis meses, el ex-distribuidor puede reincorporarse bajo un nuevo patrocinador.

4.6 - Afirmaciones y Acciones No Autorizadas 4.6.1 - Exención de Responsabilidad Un Distribuidor es plenamente responsable de todas sus declaraciones orales y escritas respecto a los productos, servicios y el Plan de Mercadeo y Compensación de Ardyss que no estén expresamente contenidas en los materiales oficiales de Ardyss. Los Distribuidores convienen el liberar de responsabilidad a Ardyss y a sus directores, funcionarios, empleados y agentes, y liberarlos de toda responsabilidad, incluyendo juicios, penas civiles, reembolsos, honorarios legales, costos de los tribunales o pérdidas comerciales incurridos por Ardyss como resultado de las declaraciones o acciones no autorizadas del Distribuidor.

Esta disposición subsistirá el vencimiento del Convenio de Distribuidor.

4.6.2 - Afirmaciones de Productos No se pueden hacer afirmaciones de ningún tipo (lo cual incluye testimonios personales) en lo relativo a las propiedades terapéuticas, curativas o benéficas de ninguno de los productos ofrecidos por Ardyss, excepto por aquellas contenidas en la literatura oficial de Ardyss. En particular, ningún Distribuidor puede hacer ninguna afirmación en el sentido de que los productos Ardyss son útiles en la curación, tratamiento, diagnóstico, alivio o prevención de ninguna enfermedad. Dichas declaraciones pueden entenderse como afirmaciones médicas o de medicamentos.

Dichas afirmaciones no sólo violan las políticas de Ardyss,

POLICIES and PROCEDURES sino que potencialmente violan las leyes y reglamentos federales y estatales, incluyendo la Ley Federal de Alimentos, Medicamentos y Cosméticos y la Ley Federal de la Comisión de Comercio.

4.6.3 - Declaraciones de Ingresos En su entusiasmo por inscribir a posibles Distribuidores, algunos Distribuidores ocasionalmente se ven tentados a hacer declaraciones acerca de ingresos o ganancias para demostrar el poder inherente de la mercadotecnia en red.

Esto es contraproductivo debido a que los nuevos Distribuidores pueden desilusionarse rápidamente si sus resultados no son tan extensos ni tan rápidos como los resultados que otros han logrado. En Ardyss creemos firmemente que el potencial de ingresos de Ardyss es lo suficientemente grande para ser altamente atractivo sin reportar las ganancias de otras personas.

Además, la Comisión Federal de Comercio y varios estados cuentan con leyes o reglamentos que regulan o incluso prohíben ciertos tipos de declaraciones de ingresos y testimonios realizados por personas que participan en la mercadotecnia en red. Mientras que los Distribuidores pueden creer que es benéfico proporcionar copias de cheques o revelar las ganancias de ellos mismos o de otras personas, dichos métodos tienen consecuencias legales que pueden afectar a Ardyss y al Distribuidor que hace tal declaración a menos que se hagan las divulgaciones correspondientes requeridas por la ley al mismo tiempo que se hace la declaración de ingresos o presentación de ganancias. Puesto que los Distribuidores Ardyss no cuentan con los datos necesarios para cumplir con los requisitos legales para hacer afirmaciones respecto de los ingresos, un Distribuidor, al presentar o discutir la oportunidad Ardyss o el Plan de Mercadeo y Compensación a un Distribuidor potencial, no puede hacer proyecciones de ingresos, afirmaciones de ingresos ni divulgar su ingreso Ardyss (incluyendo mostrar cheques, copias de cheques, estados de cuenta ni registros fiscales).

4.7 - Ferias Comerciales, Exposiciones y Otros Foros de Ventas Los Distribuidores pueden mostrar y/o vender los productos Ardyss en ferias comerciales y exposiciones profesionales. Antes de entregar un depósito al promotor del evento, los Distribuidores deben contactar al departamento de Servicios al Distribuidor por escrito para recibir aprobación condicionada, puesto que la política de Ardyss es autorizar únicamente un negocio Ardyss por evento. La aprobación final será otorgada al primer Distribuidor que entregue el anuncio oficial del evento, una copia del contrato firmado tanto por el Distribuidor como por el funcionario del evento y un recibo indicando que se pagó un depósito por el stand. La aprobación se otorga únicamente para el evento especificado. Cualquier solicitud para participar en futuros eventos debe entregarse de nuevo al Departamento de Servicio al Cliente. Ardyss se reserva además el derecho de negar la autorización para participar en cualquier evento que no considere un foro adecuado para la promoción

de sus productos, servicios o la oportunidad Ardyss. No se darán aprobaciones para (tianguis) ferias de cambalache, ventas de garage, mercados de pulgas o mercados agrícolas, puesto que estos eventos no son adecuados para la imagen profesional que Ardyss desea proyectar.

4.8 - Conflictos de Intereses 4.8.1 - Prohibición para invitar a vender otros productos o servicios.

Los Distribuidores Ardyss son libres de participar en otros negocios multinivel o de red o en otras oportunidades de mercadeo (colectivamente mercadeo en red ). Sin embargo, durante la vigencia de este Convenio, los Distribuidores no pueden reclutar a otros Distribuidores ni Clientes de Ardyss para ningún otro negocio de mercadeo en red. Después de la cancelación de este Convenio, y por un periodo de seis meses después del mismo, un ex-distribuidor no puede reclutar a ningún Distribuidor ni Cliente de Ardyss para otro negocio de mercadeo en red si: 1) dicho Distribuidor o Cliente estuvo en la organización de mercadeo de línea descendente del ex-distribuidor; o 2) el ex-distribuidor conoció, desarrolló una relación, o supo acerca de dicho Distribuidor o Cliente debido a su participación mutua en Ardyss. El término reclutar significa invitar, inscribir, alentar, o esforzarse por influenciar de cualquier otra manera, de forma real o como intento, ya sea directamente o por medio de un tercero, a otro Distribuidor o cliente de Ardyss para que se inscriba o participe en otra oportunidad de mercadeo multinivel, mercadeo en red o de ventas directas. Esta conducta constituye reclutamiento incluso si las acciones del Distribuidor son en respuesta a una pregunta de otro Distribuidor o Cliente.

Los Distribuidores no deben vender ni intentar vender, ningún programa, producto o servicio que compita con Ardyss a Clientes o Distribuidores Ardyss. Cualquier programa, producto o servicio en la misma categoría genérica que los productos o servicios Ardyss se considera competidor, sin importar diferencias en el costo, calidad o contenido de ingredientes.

Los Distribuidores no pueden exhibir material promocional de Ardyss con ningún otro material promocional, productos o servicios de manera que puedan de alguna forma confundir o engañar a un posible cliente o Distribuidor haciéndole creer que existe una relación entre los productos Ardyss y otros productos o servicios que no sean de Ardyss. Los Distribuidores no pueden ofrecer la oportunidad, productos o servicios Ardyss a Clientes o Distribuidores potenciales o existentes en conjunto con ningún otro programa, oportunidad, producto o servicio ajeno a Ardyss. Los Distribuidores no pueden ofrecer ninguna oportunidad, producto o servicio ajeno a Ardyss en ninguna reunión, seminario o convención relacionada con Ardyss, ni inmediatamente después de dicho evento.

4.8.2 - Informes de Actividad de Línea Descendente (Genealogía) Los Informes de de Actividad de Línea Descendente es-

tán disponibles para acceso y consulta por parte del Distribuidor en el sitio oficial Ardyss. El acceso del Distribuidor a sus Informes de Actividad de Línea Descendente está protegido por una contraseña. Todos los Informes de Actividad de Línea Descendente y los datos contenidos en los mismos son confidenciales y constituyen información exclusiva y secretos comerciales que pertenecen a Ardyss.

Los Informes de Actividad de Línea Descendente se proporcionan a los Distribuidores bajo la más estricta confidencialidad y se ponen a disposición de los Distribuidores para el exclusivo propósito de ayudar a los Distribuidores a trabajar con sus respectivas Organizaciones de Línea Descendente en el desarrollo de su negocio Ardyss. Los Distribuidores deben utilizar sus Informes de Actividad de Línea Descendente para ayudar, motivar y capacitar a los Distribuidores en su línea descendente. El Distribuidor y Ardyss aceptan que, si no existiese este convenio de confidencialidad y no-divulgación, Ardyss no proporcionaría Informes de Actividad de Línea Descendente al Distribuidor.

Un Distribuidor no llevara a cabo lo siguiente, ya sea a nombre propio ni a nombre de cualquier otra persona, sociedad, asociación, corporación u otra entidad: 4.8.2.1 - Divulgar directa o indirectamente ninguna información contenida en ninguno de los Informes de Actividad de Línea Descendente a ningún tercero.

4.8.2.2 - Divulgar directa o indirectamente la contraseña u otro código de acceso a su Informe de Actividad de Línea Descendente.

4.8.2.3 - Utilizar la información para competir con Ardyss o para cualquier propósito distinto a la promoción de su negocio Ardyss.

4.8.2.4 - Reclutar o hacer promoción con cualquier Distribuidor o Cliente de Ardyss que aparezca en cualquier informe, o intentar de cualquier manera influenciar o inducir a cualquier Distribuidor o Cliente Preferido de Ardyss, a alterar su relación comercial con Ardyss.

4.8.2.5 - Utilizar o divulgar a cualquier persona, sociedad, asociación, corporación u otra entidad cualquier información contenida en cualquier Informe de Actividad de Línea Descendente.

Cuando lo exija la Compañía, cualquier Distribuidor o ex-distribuidor regresará el original y todas las copias de Informes de Actividad de Línea Descendente a la Compañía.

4.9 - Patrocinio Cruzado Está estrictamente prohibido practicar o incluso intentar practicar el patrocinio cruzado. Patrocinio cruzado se define como la inscripción de un individuo o entidad que ya tiene un Convenio de Distribuidor o Cliente vigente en archivo con Ardyss, o que ha tenido un convenio de dicho tipo dentro de los seis meses calendarios anteriores y no ha presentado una notificación de cancelación por escrito a Ardyss, dentro de una línea diferente de patrocinio. Se prohíbe el uso del nombre de un cónyuge o un familiar, nombres comerciales, apodos, nombres asumidos, corporaciones, sociedades, fideicomisos, números de identificación federal o números de identificación ficticios para eludir esta política. Los Distribuidores no degradarán, de-

sacreditarán ni difamarán a otros Distribuidores Ardyss en un intento por convencer a otro Distribuidor a convertirse en parte de su organización de mercadeo.

Esta política no prohibirá la transferencia de un negocio Ardyss de acuerdo con la Sección 4.24.

Si se descubre Patrocinio Cruzado, la Compañía debe ser notificada de inmediato. Ardyss puede tomar acción disciplinaria en contra del Distribuidor que cambió de organización y/o aquellos Distribuidores que alentaron o participaron en el Patrocinio Cruzado. Ardyss puede también mover la totalidad o una parte de la línea descendente del Distribuidor que haya actuado mal con su organización de línea descendente original si la Compañía considera que es justo y factible hacerlo.

Sin embargo, Ardyss no tiene obligación alguna de mover la organización de línea descendente que existe bajo patrocinio cruzado y la disposición final de la organización queda a entera discreción de Ardyss. Los Distribuidores renuncian a todas las reclamaciones y causas de acción en contra de Ardyss derivadas o relacionadas con la disposición de la organización de línea descendente del Distribuidor que realice patrocinio cruzado.

4.10 - Errores o Preguntas Si un Distribuidor tiene preguntas o cree que se han cometido errores respecto a comisiones, bonos, Informes de Actividad de Línea Descendente o cargos, el Distribuidor debe notificar a Ardyss por escrito dentro de los 60 días siguientes a la fecha del supuesto error o del incidente en cuestión. Ardyss no será responsable de ningún error, omisión o problema no reportado a la Compañía dentro de dicho periodo de 60 días.

4.11 - Aprobación o Respaldo Gubernamental Ni las dependencias regulatorias federales o estatales, ni sus funcionarios aprueban ni respaldan a ninguna compañía ni programa de ventas directas o mercadeo en red. Por lo tanto, los Distribuidores no expresarán ni implicarán que Ardyss o su Plan de Mercadeo y Compensación han sido “aprobados,” “respaldados” o autorizados de forma alguna por alguna dependencia gubernamental.

4.12 - Identificación Todos los Distribuidores deben proporcionar su Número de Seguro Social o un Número Federal de Identificación de Trabajo a Ardyss en la Solicitud y Convenio de Distribuidor si ellos recibirán un bono, comisión u otra remuneración de Ardyss.

Al momento de la inscripción, la Compañía proporcionará un Número de Identificación de Distribuidor único al Distribuidor por medio del cual se le identificará. Este número se utilizará para hacer pedidos y rastrear comisiones y bonos.

Mientras que reconoce el derecho de las personas a no ser numeradas, la Compañía decide, bajo su derecho de contrato, ofrece la oportunidad Ardyss sólo a personas o entidades comerciales dispuestas a proporcionar un Número de Seguro Social o Número Federal de Identificación de Trabajo.

4.13 - Impuestos sobre la Renta Cada Distribuidor es responsable de pagar los impuestos locales, estatales y federales sobre cualquier ingreso generado como Distribuidor Independiente. Si un negocio Ardyss está exento de impuestos, debe proporcionarse a Ardyss el número

POLICIES and PROCEDURES federal de identificación de contribuyente. Cada año, Ardyss proporcionará una declaración de ganancias por medio del Formulario 1099 MISC del IRS (Compensación a Personas que No Son Empleados) a cada residente de Estados Unidos que: 1) Haya tenido ganancias de más de $600 dólares en el año calendario anterior; o 2) Haya realizado compras durante el año calendario anterior por más de $5,000 dólares.

4.14 - Estatus de Contratista Independiente Los Distribuidores son contratistas independientes y no son compradores de una franquicia o una oportunidad de negocios.

El convenio entre Ardyss y sus Distribuidores no crea una relación patrón/empleado, agencia, sociedad ni negocio conjunto entre la Compañía y el Distribuidor. Los Distribuidores no serán tratados como empleados por sus servicios ni para fines fiscales federales o estatales. Todos los Distribuidores son responsables de pagar los impuestos locales, estatales y federales generados a partir de toda la compensación obtenida como Distribuidor de la Compañía. El Distribuidor no tiene autoridad (expresa ni implícita) para comprometer a la Compañía a ninguna obligación.

Cada Distribuidor establecerá sus propias metas, horarios y métodos de venta, siempre y cuando cumpla con los términos del Convenio de Distribuidor, con estas Políticas y Procedimientos, y con las leyes correspondientes.

El nombre de Ardyss y otros nombres que puedan ser adoptados por Ardyss son nombres comerciales de su propiedad, marcas registradas y marcas de servicios de Ardyss. Como tales, estas marcas representan un gran valor para Ardyss y se proporcionan a los Distribuidores para ser utilizados únicamente de una forma expresamente autorizada. Se prohíbe el uso del nombre Ardyss en cualquier artículo no producido por la Compañía excepto por lo siguiente:

Nombre del Distribuidor Distribuidor Independiente de Ardyss

Todos los Distribuidores pueden anunciarse como Distribuidor Independiente de Ardyss en la sección blanca o amarilla del directorio telefónico bajo su propio nombre. Ningún Distribuidor puede colocar anuncios en el directorio telefónico utilizando el nombre o logotipo de Ardyss. Los Distribuidores no pueden contestar el teléfono diciendo Ardyss, Ardyss Incorporated , ni de ninguna otra forma que haga pensar a la persona que llama que se ha comunicado a las oficinas corporativas de Ardyss.

4.15 - Seguros Usted puede desear comprar cobertura de seguros para su negocio. Su póliza de seguros como propietario de vivienda no cubre las lesiones relacionadas con los negocios, ni el robo o daño a inventario ni equipo de negocios. Contacte a su agente de seguros para asegurarse de que sus bienes comerciales estén protegidos. Esto puede lograrse frecuentemente por medio de un sencillo documento de Empresa Comercial que se adjunta a su póliza de propietario de vivienda.

4.16 - Mercadeo Internacional Debido a consideraciones legales y fiscales críticas, Ardyss

debe limitar la reventa de los productos Ardyss y la presentación del negocio Ardyss a clientes y Distribuidores potenciales localizados dentro de México, Estados Unidos, los Territorios de Estados Unidos y otros países que Ardyss haya anunciado en la literatura Ardyss como abiertos para negocios. Adicionalmente, permitir que unos cuantos Distribuidores realicen negocios en mercados que aún no han sido abiertos por Ardyss violaría el concepto de permitir que todos los Distribuidores tengan la misma oportunidad de expandirse internacionalmente.

Por lo tanto, los Distribuidores están autorizados para vender productos Ardyss y para inscribir Clientes Preferenciales o Distribuidores, sólo en los países en los que Ardyss está autorizado para conducir negocios, según lo anunciado en la literatura oficial de la Compañía. Los productos o materiales de ventas Ardyss no pueden ser enviados ni vendidos en ningún país extranjero. Los Distribuidores pueden vender, entregar, transferir o distribuir productos o materiales de ventas Ardyss únicamente en aquellos países que Ardyss haya anunciado oficialmente como abiertos para negocios. Además, ningún Distribuidor puede, en ningún país no autorizado: (a) realizar ventas, inscripciones ni reuniones de capacitación; (b) inscribir o intentar inscribir a clientes o Distribuidores potenciales; o (c) realizar ninguna otra actividad que tenga por objeto la venta de productos Ardyss, establecer una organización de mercadeo o promover la oportunidad Ardyss.

4.17 - Cumplimiento con las Leyes, Reglamentos y Normatividad.

4.17.1 - Reglamentos Locales Muchas ciudades y condados cuentan con reglamentos que regulan ciertos negocios basados en el hogar. En la mayoría de los casos estas normas no son aplicables a los Distribuidores debido a la naturaleza de su negocio. Sin embargo, los Distribuidores deben obedecer aquellas leyes que apliquen a ellos. Si un funcionario de la ciudad o condado le dice a un Distribuidor que una norma aplica en su caso, el Distribuidor debe ser amable y cooperativo y enviar inmediatamente una copia de la norma al Departamento de Cumplimiento de Ardyss. En la mayoría de los casos existen excepciones a las normas que pueden aplicar a los Distribuidores Ardyss.

4.17.2 - Cumplimiento con las Leyes Federales, Estatales y Locales Los Distribuidores deben cumplir con todas las leyes y reglamentos federales, estatales y locales al conducir sus negocios.

4.18 - Menores de Edad Una persona reconocida como menor de edad en su estado de residencia no puede ser un Distribuidor de Ardyss. Los Distribuidores no inscribirán ni reclutarán menores de edad en el programa Ardyss.

4.19 - Un Negocio Ardyss por Distribuidor y por Familia Un Distribuidor puede operar o tener una participación de propiedad, legal o equitativa, como propietario único, accionista, fiduciario o beneficiario únicamente en sólo un negocio

Ardyss. Ninguna persona puede tener, operar o recibir compensación de más de un negocio Ardyss. Las personas de la misma unidad familiar no pueden involucrarse o tener participación en más de un negocio Ardyss. Una unidad familiar se define como cónyuges e hijos dependientes que viven y realizan negocios en el mismo domicilio.

A fin de mantener la integridad del Plan de Mercadeo y Compensación de Ardyss, los esposos y esposas o las parejas por derecho consuetudinario (colectivamente cónyuges ) que deseen convertirse en Distribuidores Ardyss deben ser patrocinados conjuntamente como un negocio Ardyss. Los cónyuges, sin importar si uno o ambos son signatarios de la Solicitud y Convenio de Distribuidor, no pueden poseer ni operar ningún otro negocio Ardyss, ya sea individual o conjuntamente, ni pueden participar directa ni indirectamente (como accionista, socio, fiduciario, beneficiario de un fideicomiso o alguna otra propiedad legal o equitativa) en la propiedad o administración de otro negocio Ardyss de ninguna forma.

Una excepción a la regla de un negocio por Distribuidor se considerará caso por caso si dos Distribuidores contraen matrimonio o en los casos en que un Distribuidor reciba una participación en otro negocio por medio de una herencia. Las peticiones para excepciones a la política deben entregarse por escrito al Departamento de Servicio al Cliente.

4.20 - Acciones de los Miembros de la Familia o Individuos Afiliados Si cualquier miembro de la familia inmediata de un Distribuidor participa en una actividad que, si fuese realizada por el Distribuidor, violaría cualquier disposición del Convenio, dicha actividad será considerada una violación por parte del Distribuidor y Ardyss puede tomar acción disciplinaria de acuerdo a la Declaración de Políticas en contra del Distribuidor.

Del mismo modo, si cualquier persona asociada de cualquier manera con una corporación, sociedad, fideicomiso u otra entidad (colectivamente individuo afiliado ) viola el Convenio, dicha(s) acción(es) será(n) considerada(s) como una violación por parte de la entidad y Ardyss puede tomar acción disciplinaria contra la misma.

4.21 - Solicitud de Registros Cualquier solicitud por parte de un Distribuidor de copias de facturas, solicitudes, informes de actividad de línea descendente u otros registros, tendrá un costo de $1.00 dólar por copia.

Esta cuota cubre los gastos de envío y el tiempo requerido para buscar los expedientes y hacer las copias de los registros.

4.22 - Ascenso o movimiento de una Organización de Mercadeo Cuando ocurre una vacante en una Organización de Mercadeo debido a la terminación de un negocio Ardyss, cada Distribuidor que en la fecha de cancelación se encuentre en el primer nivel inmediatamente debajo del Distribuidor desaparecido será movido al primer nivel ( línea frontal ) del patrocinador del Distribuidor desaparecido. Por ejemplo, si A patrocina a B, y B patrocina a C1, C2, y C3, si B cancela su negocio, C1, C2, y C3 ascenderán a A y se convertirán en parte del primer nivel de A. 4.23 - Venta, Transferencia o Asignación de un Negocio Ardyss

Aunque un negocio Ardyss es un negocio privado y operado independientemente, la venta, transferencia o asignación de un negocio Ardyss está sujeta a ciertas limitaciones. Si un Distribuidor desea vender su negocio Ardyss, deben cumplirse con los siguientes criterios: 4.23.1 - El Distribuidor que vende debe primero ofrecer el negocio a su línea ascendente inmediata. Si la línea ascendente inmediata declina la compra del negocio, entonces se ofrece a los Distribuidores de la segunda, tercera y cuarta línea ascendente del Distribuidor, en ese orden.

4.23.2 - Si la línea ascendente del Distribuidor no compra el negocio, éste debe ser ofrecido a la compañía en los mismos términos en los que se ofreció a la línea ascendente.

4.23.3 - Si ni la línea ascendente ni la compañía compran el negocio, el Distribuidor que vende puede ofrecerlo a un tercero en los mismos términos que se ofreció el negocio a la línea ascendente y a la compañía.

4.23.4 - La protección de la línea existente de patrocinio siempre debe mantenerse, de forma tal que el negocio Ardyss siga operando dentro de dicha línea de patrocinio.

4.23.5 - No pueden hacerse cambios en la línea de patrocinio como resultado de la venta o transferencia de un negocio Ardyss.

4.23.6 - El comprador o cesionario debe ser (o debe convertirse) en un Distribuidor calificado de Ardyss. Si el comprador es un Distribuidor activo de Ardyss, debe primero terminar su negocio Ardyss existente antes de la compra, transferencia, asignación o adquisición de cualquier participación en un nuevo negocio Ardyss.

4.23.7 - Antes de que la venta, transferencia o asignación pueda ser finalizada y aprobada por Ardyss, debe liquidarse cualquier obligación de deuda que el Distribuidor que vende tenga con Ardyss.

4.23.8 - El Distribuidor que vende su negocio debe estar en buena situación y no violar ninguno de los términos del Convenio para ser elegible para vender, transferir o asignar un negocio Ardyss.

4.23.9 - Antes de la venta de un negocio Ardyss, el Distribuidor que vende debe notificar al Departamento de Servicio al Cliente de Ardyss acerca de su intención de vender el negocio Ardyss y recibir autorización por escrito para la transferencia.

4.24 - Separación de un negocio Ardyss Los Distribuidores Ardyss en ocasiones operan sus negocios Ardyss como sociedades entre esposos, sociedades regulares, corporaciones o fideicomisos. Cuando un matrimonio pueda terminar en divorcio o una corporación, sociedad o fideicomiso (a estas tres entidades se les llamará de forma colectiva entidades ) pueda disolverse, deben hacerse arreglos para asegurar que cualquier separación o división del negocio se logre de forma que no afecte adversamente los intereses e ingresos de los otros negocios en la línea de patrocinio ya sea ascendente o descendente. Si las partes que se separan no hacen lo necesario por proteger los intereses de los otros Distribuidores y de la Compañía, Ardyss terminará de forma automática el Convenio de Distribuidor y ajustara toda su organización de acuerdo con lo estipulado en la Sección 4.23. Mientras está pendiente un divorcio o la disolución de una entidad, las partes deben adoptar

POLICIES and PROCEDURES uno de los siguientes métodos de operación: 4.24.1 - Una de las partes puede, con el consentimiento de la(s) otra(s), operar el negocio Ardyss de acuerdo a una designación por escrito en la que el cónyuge, los accionistas, los socios o los fiduciarios renunciantes autorizan a Ardyss a tratar de forma directa y exclusiva con el otro cónyuge o accionista, socio o fiduciario no-renunciante.

4.24.2 - Las partes pueden continuar operando el negocio Ardyss de forma conjunta como si no hubiese habido cambios, y toda la compensación pagada por Ardyss se pagará de acuerdo a como se hacía antes del divorcio o disolución. Este es el procedimiento normal si las partes no se ponen de acuerdo con el formato arriba descrito.

Por ningún motivo se dividirá la Organización en Línea Descendente de cónyuges que se divorcien ni de una entidad de negocios que se disuelva. De la misma forma, por ningún motivo Ardyss dividirá cheques de comisiones y bonos entre cónyuges divorciados ni entre miembros de entidades que se disuelvan. Ardyss reconocerá únicamente la Organización en Línea Descendente y expedirá únicamente un cheque de comisión por negocio Ardyss por ciclo de comisiones. Los cheques de comisiones se expedirán siempre a la misma persona o entidad.

En caso de que las partes de un divorcio o proceso de disolución no puedan resolver una disputa sobre la disposición de las comisiones y propiedad del negocio, el Convenio de Distribuidor se cancelará de forma automática.

Si un ex-cónyuge o ex-afiliado de una entidad ha renunciado por completo a todos sus derechos en el negocio original Ardyss, queda libre para inscribirse bajo cualquier patrocinador de su elección, siempre y cuando cumplan con los requerimientos del periodo de espera establecidos en la Sección 4.4.4. En dicho caso, sin embargo, el ex-cónyuge o ex-socio no tendrá derechos a ninguno de los Distribuidores de su anterior organización ni a ninguno de sus anteriores clientes de menudeo.

Debe desarrollar su nuevo negocio de la misma forma que lo haría cualquier otro Distribuidor nuevo.

4.25 - Patrocinio Todos los Distribuidores activos en buenos términos tienen el derecho a patrocinar y a inscribir a otras personas en Ardyss.

Cada prospecto de Cliente Preferido o Distribuidor tiene el derecho final de elegir a su propio Patrocinador. Si dos Distribuidores dicen ser el Patrocinador del mismo nuevo Distribuidor o Cliente Preferido, la Compañía considerará válida la primera solicitud recibida por la Compañía.

4.26 - Acumulamiento Queda estrictamente prohibido el acumulamiento. El término incluye: (a) proporcionar asistencia financiera a nuevos Distribuidores; (b) violar la regla de un negocio por familia; y/o (c) inscripción fraudulenta de individuos o entidades reales o ficticias en el plan de compensación Ardyss.

4.27 - Sucesión Al momento de la muerte o incapacidad de un Distribuidor, su negocio puede pasar a sus herederos. La documentación legal correspondiente debe ser entregada a la Compañía para

asegurar que la transferencia sea correcta. Por lo tanto, un Distribuidor debe consultar a un abogado para que le apoye en la elaboración de un testamento u otro instrumento testamentario.

Siempre que un negocio Ardyss sea transferido por medio de un testamento u otro proceso testamentario, el beneficiario adquiere el derecho de cobrar todos los bonos y comisiones de la organización de mercadeo del Distribuidor finado siempre y cuando se cumplan los siguientes requisitos. El (los) sucesor(es) debe(n): 4.27.1 - Firmar un Convenio de Distribuidor.

4.27.2 - Cumplir con los términos y disposiciones del Convenio.

4.27.3 - Cumplir con todos los requisitos del estatus del Distribuidor finado.

4.27.4 - Los cheques de bonos y comisiones de un negocio Ardyss transferido de acuerdo con esta sección se pagarán en un solo cheque de forma conjunta a los legatarios. Los legatarios deben proporcionar a Ardyss un domicilio registrado al cual se enviarán todos los cheques de bonos y comisiones; 4.27.5 - Si el negocio es heredado a legatarios conjuntos, éstos deben formar una entidad comercial y adquirir un número federal de identificación de contribuyente. Ardyss expedirá todos los cheques de bonos y comisiones y un formulario 1099 a la entidad comercial.

4.28 - Transferencia al Fallecer un Distribuidor Para efectuar una transferencia testamentaria de un negocio Ardyss, el sucesor debe proporcionar lo siguiente a Ardyss: (1) un acta de defunción original; (2) una copia notariada del testamento o de otro instrumento que establezca el derecho del sucesor al negocio Ardyss; y (3) un Convenio de Distribuidor llenado y firmado.

4.29 - Transferencia al Ocurrir Incapacidad de un Distribuidor Para efectuar una transferencia de un negocio Ardyss debido a incapacidad, el sucesor debe proporcionar lo siguiente a Ardyss: (1) una copia notariada de una asignación como fiduciario; (2) una copia notariada del documento de fideicomiso u otra documentación que establezca el derecho de un fiduciario a administrar el negocio Ardyss; y (3) un Convenio de Distribuidor llenado y firmado por el fiduciario.

4.30 - Técnicas de Telemercadeo La Comisión Federal de Comercio y la Comisión Federal de Comunicaciones tienen leyes que restringen las prácticas de telemercadeo. Ambas dependencias federales (así como varios estados) tienen regulaciones de no llamar como parte de sus leyes de telemercadeo. Aunque Ardyss no considera que los Distribuidores sean televendedores en el sentido tradicional de la palabra, estas regulaciones gubernamentales definen ampliamente el término televendedor y telemercadeo de forma tal que si usted inocentemente llama a una persona cuyo número telefónico está registrado en el padrón federal de no llamar, podría estar violando la ley. Además, estas regulaciones no deben ser tomadas a la ligera, puesto que conllevan sanciones

importantes (hasta $11,000.00 dólares por violación).

Por lo tanto, los Distribuidores no deben participar en telemercadeo para operar su negocio Ardyss. El término telemercadeo significa hacer una o más llamadas telefónicas a una persona o entidad para inducir la compra de un producto o servicio Ardyss, o para reclutarlos para la oportunidad Ardyss. Las llamadas en frío” realizadas a prospectos de clientes o Distribuidores que promueven los productos o servicios Ardyss o la oportunidad Ardyss constituyen telemercadeo y están prohibidas. Sin embargo, una o varias llamadas telefónicas realizadas a un prospecto de cliente o Distribuidor (un “prospecto”) son permisibles bajo las siguientes situaciones: 4.30.1 - Si el Distribuidor tiene una relación comercial establecida con el prospecto. Una relación comercial establecida es una relación entre un Distribuidor y un prospecto basada en la compra, renta o arrendamiento de bienes o servicios del prospecto al Distribuidor, o una transacción financiera entre el prospecto y el Distribuidor, dentro de los dieciocho (18) meses inmediatamente anteriores a la fecha de una llamada telefónica para inducir la compra de un producto o servicio por parte del prospecto.

4.30.2 - La consulta o solicitud personal del prospecto respecto a un producto o servicio ofrecido por el Distri-

buidor, dentro de los tres (3) meses inmediatamente anteriores a la fecha de dicha llamada.

4.30.3 - Si el Distribuidor recibe permiso por escrito y firmado del prospecto que autoriza al Distribuidor a llamarle.

La autorización debe especificar los números telefónicos que el Distribuidor está autorizado para llamar.

4.30.4 - Usted puede llamar a miembros de la familia, amigos personales y conocidos. Un conocido es alguien con quien usted ha tenido al menos una relación reciente de primera mano en los tres meses anteriores. Recuerde, sin embargo, que si usted desarrolla el hábito de obtener tarjetas de presentación de todas las personas que conoce y luego les llama, la FTC puede considerar esto una forma de telemercadeo no sujeta a esta exención. Por lo tanto, si usted llama a sus “conocidos”, debe hacer dichas llamadas de forma ocasional y no convertir esto en una práctica rutinaria.

4.30.5 - Además, los Distribuidores no deben utilizar sistemas automáticos de marcación telefónica en la operación de sus negocios Ardyss. El término sistema automático de marcación telefónica significa equipo que tiene la capacidad de: (a) almacenar o producir números telefónicos, utilizando un generador de números aleatorio o secuencial; y (b) marcar dichos números.

RESPONSABILIDADES DE LOS DISTRIBUIDORES

5.1 - Cambio de Domicilio o Teléfono Para asegurar la entrega oportuna de productos, materiales de apoyo y cheques de comisiones, es sumamente importante que los expedientes Ardyss estén actualizados. Se requieren domicilios físicos para envíos, puesto que FedEx no puede entregar a un apartado postal, aunque éstos son aceptables para envíos a Puerto Rico y a las Islas Vírgenes. Los Distribuidores que planeen mudarse deben enviar su nuevo domicilio y números telefónicos a las Oficinas Corporativas de Ardyss con atención al Departamento de Servicios al Distribuidor. Para garantizar una entregar correcta, todos los cambios deben ser notificados a Ardyss con dos semanas de anticipación.

5.1.1 Cuota Anual por servicios Ardyss al ofrecer estos servicios computarizados a los Distribuidores requiere a cambio de una cuota anual de $20.00 pagadera cada año en la misma fecha de su Solicitud de Distribución. Es responsabilidad del Distribuidor asegurarse que esta cuota sea pagada cada año, ya que en caso de que un Distribuidor no la pague en la fecha correspondiente se considerará necesario a que el Distribuidor renuncie a su condición de Distribuidor y por lo tanto a todos los derechos e intereses de su línea y al derecho por ingresos adicionales por bonos y comisiones.

5.2 - Obligaciones de Desarrollo Continuo 5.2.1 Capacitación Continua Cualquier Distribuidor que patrocine a otro Distribuidor para integrarse a Ardyss debe realizar una función adecuada de ayuda y capacitación para asegurarse de que su línea descendente opere adecuadamente su negocio Ardyss.

Los Distribuidores deben tener contacto y comunicación

constante con los Distribuidores de sus Organizaciones de Línea Descendente. Ejemplos de dicho contacto y comunicación pueden incluir, pero no se limitan a: boletines informativos, correspondencia escrita, reuniones personales, contacto telefónico, correo de voz, correo electrónico y acompañar a los Distribuidores de la línea descendente a las reuniones Ardyss, sesiones de capacitación y otros eventos.

Los Distribuidores de Línea Ascendente son también responsables de motivar y capacitar a los nuevos Distribuidores en conocimiento de los productos Ardyss, técnicas efectivas de ventas, el Plan de Mercadeo y Compensación de Ardyss, y cumplimiento con las Políticas y Procedimientos de la Compañía. Sin embargo, la capacitación y comunicación con los distribuidores de la línea descendente no debe violar la Sección 4.2 (respecto al desarrollo de materiales de ventas y materiales promocionales producidos por el distribuidor).

Los Distribuidores deben monitorear a los Distribuidores de sus Organizaciones de Línea Descendente para asegurar que éstos no hagan afirmaciones inadecuadas acerca del producto o el negocio ni participen en ninguna conducta ilegal o inapropiada. Al solicitársele, cada Distribuidor debe ser capaz de proporcionar evidencia documentada a Ardyss del cumplimiento continuo de las responsabilidades de un Patrocinador.

5.2.2 - Mayores Responsabilidades de Capacitación A medida que los Distribuidores avancen por los diferentes niveles de liderazgo, adquirirán más experiencia en las técnicas de ventas, conocimiento del producto y entendimiento del programa Ardyss. Se les pedirá que compar-

POLICIES and PROCEDURES tan este conocimiento con Distribuidores menos experimentados dentro de su organización.

5.2.3 - Responsabilidades Continuas de Ventas Sin importar su nivel de logro, los Distribuidores tienen una obligación continua de seguir promoviendo personalmente las ventas por medio de la generación de nuevos clientes y dando servicio a clientes existentes.

5.3 - No-Desacreditación Ardyss desea proporcionar a sus Distribuidores independientes los mejores productos, plan de compensación y servicio de la industria. Por lo tanto, valoramos sus críticas y comentarios constructivos. Todos estos comentarios deben ser entregados por escrito al Departamento de Servicio al Cliente. Recuerde que para servirle mejor, debemos saber lo que usted piensa.

Si bien Ardyss recibe abiertamente las sugerencias constructivas, los comentarios negativos que hacen los Distribuidores en el campo acerca de la Compañía, sus productos o su plan de compensación sólo afectan el entusiasmo de otros Distribuidores Ardyss. Por este motivo, y a fin de dar el ejemplo ade-

5.4 - Proporcionar Documentación a los Solicitantes Los Distribuidores deben proporcionar la versión más actualizada de las Políticas y Procedimientos y del Plan de Compensación a las personas que patrocinan para convertirse en Distribuidores antes de que el solicitante firme un Convenio de Distribuidor. Desde el sitio web de Ardyss pueden descargarse copias adicionales de las Políticas y Procedimientos.

5.5 - Reporte de Violaciones a la Política Los Distribuidores que observen una violación a la Política por parte de otro Distribuidor deben entregar un informe por escrito de la violación directamente con atención al Departamento de Cumplimiento de Ardyss. El reporte debe incluir detalles de los incidentes, tales como fechas, número de veces que ocurrió, personas involucradas y cualquier documentación de apoyo.

REQUERIMIENTOS DE VENTAS

6.1 - Ventas de Productos El Plan de Mercadeo y Compensación de Ardyss se basa en la venta de productos y servicios Ardyss a consumidores finales.

Los Distribuidores deben cumplir con requisitos de ventas al menudeo tanto a nivel personal como a nivel de Organización de Línea Descendente (además de cumplir con las demás responsabilidades establecidas en el Convenio) para ser elegibles para bonos, comisiones y avance a los niveles más altos de logro. Los siguientes requisitos de ventas deben ser satisfechos para que los Distribuidores sean elegibles para comisiones: 6.1.1 - Los Distribuidores deben satisfacer los requisitos del Volumen de Ventas Personal y el Volumen de Ventas en Grupo para cubrir los requerimientos asociados con su rango como se especifica en el Plan de Mercadeo y Compensación de Ardyss. El Volumen Personal de Ventas incluye compras realizadas por el Distribuidor y compras realizadas por los clientes personales del Distribuidor. El Volumen de Ventas en Grupo incluirá el Volumen de Ventas total de todos los Distribuidores en su organización de mercadeo pero no incluirá el Volumen Personal de Ventas del Distribuidor.

6.1.2 - Al menos el 70% del Volumen Personal de Ventas mensual total de un Distribuidor debe corresponder a ven-

6.1.3 - Los Distribuidores deben desarrollar o dar servicio a un numero adecuado de clientes cada mes.

6.2 - No Hay Exclusividad de Territorio No se otorgan territorios exclusivos a nadie. No se requieren cuotas de franquicia.

6.3 - Recibos de Ventas Todos los Distribuidores deben entregar a sus clientes al menudeo dos copias de un recibo de ventas oficial de Ardyss al momento de la venta. Estos recibos establecen la Garantía de Satisfacción del Cliente así como cualquier derecho de protección al consumidor estipulado en la legislación federal o estatal. Los Distribuidores deben mantener todos los recibos de ventas al menudeo por un periodo de dos años y entregarlos a Ardyss a solicitud de la Compañía. Ardyss mantendrá registros documentando las compras de los Clientes Directos de los Distribuidores.

Recuerde que los clientes deben recibir dos copias del recibo de ventas. Además, los Distribuidores deben informar verbalmente al comprador acerca de sus derechos de cancelación.

7

BONOS Y COMISIONES

7.1 - Calificaciones para Bonos y Comisiones Un Distribuidor debe estar activo y cumplir con el Convenio para tener derecho a los bonos y comisiones. En tanto un Distribuidor cumpla con los términos del Convenio, Ardyss pagará las comisiones a dicho Distribuidor de acuerdo con el plan de Mercadeo y Compensación.

7.2 - Ajuste a los Bonos y Comisiones Los Distribuidores reciben bonos y comisiones con base en las ventas reales de productos y servicios a consumidores finales.

Cuando un producto es regresado a Ardyss para una devolución o es comprado de nuevo por la Compañía, se restarán los bonos y comisiones atribuibles al producto devuelto o comprado de nuevo en el mes en el que se haga el reembolso y seguirán durante cada periodo de pago posterior hasta recuperar la comisión de los Distribuidores que recibieron bonos y comisiones sobre la venta de los productos reembolsados.

7.3 - Informes Se cree que toda la información proporcionada por Ardyss en informes de actividad de línea descendente en línea o vía telefónica es correcta y confiable, incluyendo pero sin limitarse a Volumen de Ventas Personal y en Grupo (o cualquier parte del mismo), y actividad de patrocinio de línea descendente. Sin embargo, debido a distintos factores, incluyendo la inherente posibilidad de error humano y mecánico, la precisión, integridad y oportunidad de los pedidos, declinación de tarjetas de crédito y pagos por medio de cheque electrónico, productos devueltos, devoluciones de tarjetas de crédito y cheques electrónicos, la información no es garantizada por Ardyss ni por ninguna de las personas que preparan o transmiten la información.

TODA LA INFORMACIÓN DE VOLÚMENES DE VENTAS PERSONALES Y EN GRUPO SE PROPORCIONA “COMO ESTÁ” SIN GARANTÍAS, EXPRESAS NI IMPLÍCITAS, NI AFIRMACIO-

NES DE NINGÚN TIPO. EN PARTICULAR, PERO SIN LIMITACIÓN, NO HABRÁ GARANTÍAS DE MERCADEO, IDONEIDAD PARA UN USO PARTICULAR O NO-INFRACCIÓN. HASTA DONDE LO PERMITA LA LEY APLICABLE, Ardyss Y/ O LAS DEMÁS PERSONAS QUE PREPARAN O TRANSMITEN LA INFORMACIÓN NO SERÁN EN NINGÚN CASO RESPONSABLES FRENTE A NINGÚN DISTRIBUIDOR NI NINGUNA OTRA PERSONA POR NINGÚN DAÑO DIRECTO, INDIRECTO, EMERGENTE, INCIDENTAL, ESPECIAL O PUNITIVO DERIVADO DEL USO O ACCESO A LA INFORMACIÓN DE VOLUMEN DE VENTAS PERSONALES Y EN GRUPO (INCLUYENDO MAS NO LIMITADO A PÉRDIDA DE UTILIDADES, BONOS O COMISIONES, PÉRDIDA DE OPORTUNIDAD Y DAÑOS Y PERJUICIOS QUE PUEDAN RESULTAR DE LA IMPRECISIÓN, FALTA DE INTEGRIDAD, INCONVENIENCIA, DEMORA O PÉRDIDA DEL USO DE LA INFORMACIÓN), INCLUSO SI Ardyss O LAS DEMÁS PERSONAS QUE PREPARAN O TRANSMITEN LA INFORMACIÓN HAN SIDO INFORMADOS DE LA POSIBILIDAD DE DICHOS DAÑOS. HASTA DONDE LO PERMITA LA LEY, Ardyss O LAS DEMÁS PERSONAS QUE PREPARAN O TRANSMITEN LA INFORMACIÓN NO TENDRÁN RESPONSABILIDAD ALGUNA ANTE USTED NI ANTE NINGUNA OTRA PERSONA POR NINGUN AGRAVIO NI NINGUNA TEORÍA DE DAÑOS Y PERJUICIOS, CONTRATO, NEGLIGENCIA, RESPONSABILIDAD DIRECTA, RESPONSABILIDAD DE PRODUCTOS NI NINGUNA OTRO AGRAVIO AL OBJETO DE ESTE CONTRATO O A LOS TÉRMINOS Y CONDICIONES RELACIONADOS CON EL MISMO. El acceso y uso de los servicios de informes en línea y por teléfono de Ardyss y su dependencia de dicha información es bajo su propio riesgo. Toda esta información se proporciona como está . Si usted está insatisfecho con la precisión o calidad de la información, su único y exclusivo recurso es descontinuar el uso y acceso a los servicios de informes en línea y por teléfono de Ardyss y su dependencia de dicha información.

BONOS Y COMISIONES

8.1 - Devoluciones de los Distribuidores Los Distribuidores que compran productos Ardyss para uso personal pueden devolver la mercancía dentro de los 60 días siguientes a la fecha de compra para intercambio. No se hacen reembolsos en efectivo.

8.2 - Devoluciones de Clientes al Menudeo Los Distribuidores ofrecerán una garantía de devolución del dinero del 100% a todos los clientes al menudeo. Cada Distribuidor está obligado a respetar la garantía de los clientes al menudeo. Si por algún motivo un cliente al menudeo está insatisfecho con cualquier producto Ardyss, dicho cliente puede devolver la porción no utilizada del producto al Distribuidor

que se lo vendió, en un plazo de 60 días, para obtener su reposición.

8.3 - Devolución de Inventario de Producto y Materiales de Ventas por Parte de los Distribuidores Al cancelar el Convenio de un Distribuidor, el Distribuidor puede devolver los productos nutritivos y cosméticos y los materiales de ventas que tenga en inventario para obtener un reembolso. Un Distribuidor puede sólo devolver productos y materiales de ventas que haya comprado personalmente y que estén en condiciones de volverse a vender. Al entregar los productos y materiales de ventas, el Distribuidor recibirá un reembolso del 90% del costo neto de los precios originales de com-

POLICIES and PROCEDURES pra, menos los gastos de envío. Si las compras se hicieron con tarjeta de crédito, el reembolso se acreditará a la misma cuenta.

Si un Distribuidor recibió el pago de una comisión con base en la compra de un producto, y dicho producto es posteriormente devuelto para obtener un reembolso, la comisión que se pagó al Distribuidor será descontada del monto del reembolso. La ropa interior no se puede devolver. Por lo tanto, es recomendable que los distribuidores no tengan grandes cantidades de inventario, puesto que se arriesgan a perder su inversión en inventario si cancelan su negocio.

8.3.1 - Residentes de Montana Un residente de Montana puede cancelar su Convenio de Distribuidor dentro de los 15 días posteriores a la fecha de inscripción y puede devolver su Kit de Negocios de inicio para obtener un reembolso completo dentro de dicho periodo.

8.4 - Procedimientos para Todas las Devoluciones Los siguientes procedimientos aplican a todas las devoluciones para reembolso, recompra o intercambio: 8.4.1 - Toda la mercancía debe ser devuelta por el Distribuidor o cliente que la compró directamente a Ardyss.

8.4.2 - La devolución se acompaña de: 8.4.2.1 - un Formulario de Devolución de Consumi-

dor llenado y firmado.

8.4.2.2 - una copia de la factura original con fecha.

8.4.2.3 - la porción no utilizada del producto en su recipiente original.

8.4.2.4 - Las cuotas correspondientes del intercambio y devolución. Si el Distribuidor devuelve la mercancía a un centro de distribución Ardyss y recoge el producto de intercambio, se cobrará una comisión de intercambio de $3.00. Si Ardyss debe enviar la mercancía intercambiada al Distribuidor, se cobrará una cuota de $7.00 de intercambio y envío.

8.4.3 - Deben utilizarse cajas y materiales de empaque adecuados para empacar el producto que se devolverá para reemplazo, y se sugiere utilizar el medio más económico de envío. Todas las devoluciones deben ser enviadas a Ardyss con envío prepagado. Ardyss no acepta paquetes cuyo envío sea por cobrar a la entrega. El riesgo de pérdidas durante el envío de productos devueltos será asumido por el Distribuidor. Si el producto devuelto no se recibe en el Centro de Distribución de la Compañía, es responsabilidad del Distribuidor rastrear el envío.

No se harán reembolsos ni reemplazo de productos si no se cumplen las condiciones de estas reglas.

9 RESOLUCIÓN DE CONTROVERSIAS Y PROCEDIMIENTOS DISCIPLINARIOS

9.1 - Sanciones Disciplinarias La violación del Convenio, de estas Políticas y Procedimientos, o cualquier conducta ilegal, fraudulenta, engañosa o poco ética por parte de un Distribuidor puede resultar, a discreción de Ardyss, en una o más de las siguientes medidas correctivas: 9.1.1 - Emisión de una advertencia o amonestación por escrito.

9.1.2 - Requerir que el Distribuidor tome medidas correctivas.

9.1.3 - Imposición de una multa, la cual puede ser retenida de los cheques de bonos y comisiones.

9.1.4 - Pérdida de derechos a uno o más cheques de comisiones.

9.1.5 - Ardyss puede retener a un Distribuidor la totalidad o una parte de los bonos y comisiones del Distribuidor durante el periodo que Ardyss esté investigando cualquier conducta que supuestamente viole el Convenio. Si el negocio de un Distribuidor se cancela por motivos disciplinarios, el Distribuidor no tendrá derecho a recuperar ninguna de las comisiones retenidas durante el periodo de investigación.

9.1.6 - La suspensión del Convenio de Distribuidor individual por uno o más periodos de pago.

9.1.7 - La terminación automática del Convenio de Distribuidor.

9.1.8 - Cualquier otra medida explícitamente permitida dentro de cualquier disposición del Convenio o que Ardyss

considere práctica de implantar y adecuada para resolver de forma equitativa los daños causados parcial o exclusivamente por la violación de la política del Distribuidor o por el incumplimiento de contrato.

9.1.9 - En situaciones que Ardyss considere adecuadas, la Compañía puede instituir procedimientos legales para obtener indemnización monetaria y/o equitativa.

9.2 - Quejas y Reclamaciones Cuando un Distribuidor tiene una reclamación o queja contra otro Distribuidor respecto a cualquier práctica o conducta relacionada con sus respectivos negocios Ardyss, el Distribuidor quejoso debe reportar primero el problema a su Patrocinador, quien debe revisar el asunto y tratar de resolverlo con el patrocinador de línea ascendente del otro distribuidor. Si el asunto no puede ser resuelto, debe ser informado por escrito al Departamento de Servicios del Distribuidor de la Compañía. El Departamento de Servicios al Distribuidor revisará los hechos e intentará resolver el asunto.

9.3 - Arbitraje Cualquier controversia o reclamación derivada o relacionada con el Convenio, o con su incumplimiento, será resuelta por medio de arbitraje administrado por la Asociación Americana de Arbitraje bajo sus Reglas de Arbitraje Comercial, y la resolución emitida por el árbitro puede presentarse ante cualquier

corte que tenga la jurisdicción correspondiente. Los Distribuidores renuncian a todos los derechos a un juicio con jurado o a cualquier corte. Todos los procedimientos de arbitraje se llevarán a cabo en Las Vegas, Nevada. Todas las partes tendrán derecho a todos los derechos de intercambio de pruebas de acuerdo a las Reglas Federales del Procedimiento Civil. Habrá un árbitro, un abogado que deberá tener experiencia en transacciones de derecho comercial, siendo preferible que se trate de un abogado con conocimientos de la industria de ventas directas, seleccionado del panel que provee el Panel Americano de Arbitraje. Cada una de las partes del arbitraje será responsable de sus propios costos y gastos de arbitraje, incluyendo los honorarios legales y gastos de trámite. La decisión del árbitro será definitiva y obligatoria para todas las partes y puede, de ser necesario, reducirse a una resolución en cualquier corte de jurisdicción competente. Esta aceptación del arbitraje subsistirá cualquier terminación o terminación del Convenio.

Nada de lo contenido en estas Políticas y Procedimientos evitará que Ardyss solicite y obtenga de cualquier corte con jurisdicción un mandamiento de embargo, un interdicto temporal, interdic-

9.4 - Ley Aplicable, Jurisdicción y Foro La jurisdicción y foro de cualquier asunto no sujeto a arbitraje residirá en el Condado de Clark, estado de Nevada, a menos que las leyes del estado en el cual reside un Distribuidor expresamente requieran la aplicación de sus leyes. La Ley Federal de Arbitraje gobernará todos los asuntos relacionados con el arbitraje. La ley del estado de Nevada gobernará todos los asuntos relacionados o derivados del Convenio a menos que las leyes del estado en el cual reside un Distribuidor expresamente requieran la aplicación de sus leyes. Sin perjuicio de lo anterior y de la disposición de arbitraje en la Política 9.3, los residentes del estado de Louisiana pueden presentar una acción contra la Compañía en la jurisdicción y el foro indicados por la ley de Louisiana.

PAGOS Y ENVÍOS

1.1 - Cheques Devueltos Todos los cheques devueltos por el banco de un Distribuidor por fondos insuficientes serán reenviados para su pago. Se cobrará una cuota de $25.00 dólares por cheque devuelto a la cuenta del Distribuidor. Después de recibir un cheque devuelto de un cliente o Distribuidor, todos los pedidos futuros deben ser

to preliminar, interdicto permanente u otro recurso disponible para salvaguardar y proteger el interés de Ardyss antes, durante o después de la presentación de cualquier arbitraje u otro procedimiento o mientras está pendiente una decisión o resolución en conexión con cualquier arbitraje u otro procedimiento.

pagados por medio de Tarjeta de Crédito, giro postal o cheque de caja. Cualquier saldo pendiente adeudado a Ardyss por un Distribuidor por cheques con fondos insuficientes y cuotas por cheques devueltos será retenido de futuros cheques de bonos y comisiones.

INACTIVIDAD Y CANCELACIÓN

11.1 - Efecto de la Cancelación Mientras que un Distribuidor permanezca activo y cumpla con los términos del Convenio de Distribuidor y con estas Políticas y Procedimientos, Ardyss pagará las comisiones a dicho Distribuidor de acuerdo con el Plan de Mercadeo y Compensación.

Los bonos y comisiones de un Distribuidor constituyen la totalidad del pago por los esfuerzos del Distribuidor por generar ventas y por todas las actividades relacionadas con la generación de ventas (incluyendo la creación de una organización en línea descendente). Después de la cancelación de un Distribuidor por inactividad, o de la cancelación voluntaria o automática de su Convenio de Distribuidor (a todos estos métodos se les llama de forma colectiva cancelación ), el ex-distribuidor no tendrá derecho, título, reclamación ni participación en la organización de mercadeo que antes operaba ni a ninguna comisión ni bono por las ventas generadas por la organización. Un Distribuidor cuyo negocio es cancelado perderá todos los derechos como Distribuidor. Esto incluye el derecho a vender productos y servicios Ardyss y el derecho a recibir futuras comisiones, bonos u otros ingresos resultantes de las ventas y otras actividades de la organización de ventas en línea descendente que anteriormente perteneciera al Distribuidor. En caso de

una cancelación, los Distribuidores aceptan renunciar a todos los derechos que puedan tener, incluyendo pero no limitados a derechos de propiedad, a su anterior organización en línea descendente y a cualquier bono, comisión u otra remuneración derivada de las ventas y demás actividades de su anterior organización en línea descendente.

Después de la cancelación del Convenio de un Distribuidor, el ex-distribuidor no se presentará como Distribuidor de Ardyss y no tendrá derecho a vender productos o servicios Ardyss. Un Distribuidor cuyo Convenio de Distribuidor es cancelado recibirá comisiones y bonos sólo por el último periodo completo de pago en el que estuvo activo antes de la cancelación (menos cualquier cantidad retenida durante una investigación previa a una cancelación automática).

11.2 - Cancelación Debido a Inactividad El distribuidor tiene la responsabilidad de liderar su red de comercialización dando el apropiado ejemplo en la producción, alcanzando sus metas personales basadas en ventas a consumidores finales. Sin este buen ejemplo y liderazgo, el Distribuidor perderá su derecho a recibir comisiones por las ventas generadas a través de su red.

POLICIES and PROCEDURES Por consiguiente, los distribuidores que no alcancen sus metas personales de calificación mensual, estarán inactivos ese mes y no recibirán ninguna comisión por concepto de ventas generadas a través de su Red de comercialización.

11.3 - Cancelación Automática La violación por parte de un Distribuidor de cualquiera de los términos del Convenio, incluyendo cualquier enmienda que pueda ser realizada por Ardyss a su exclusiva discreción, pue-de ocasionar cualquiera de las sanciones enumeradas en la Sección 9.1, incluyendo la cancelación automática de su Convenio de Distribuidor. La cancelación entrará en vigor en la fecha en la que la notificación escrita sea enviada por correo normal, por fax o sea entregada a un mensajero express, al último domicilio conocido del Distribuidor (o número de fax), o a su abogado, o cuando el Distribuidor reciba la notificación de cancelación, lo que ocurra primero.

Ardyss se reserva el derecho de terminar todos los Convenios de Distribuidor notificando con treinta (30) días de anticipación por escrito en caso de que decida: (1) cesar sus operaciones comerciales; (2) disolverse como entidad corporativa; o (3) dejar

de distribuir sus productos por medio de ventas directas.

11.4 - Cancelación Voluntaria Un participante en este plan de mercadeo en red tiene el derecho de cancelar en cualquier momento, sin importar el motivo.

La cancelación debe ser entregada por escrito a la Compañía en su domicilio comercial principal. La notificación escrita debe incluir la firma del Distribuidor, el nombre en letra de imprenta, su domicilio y número de identificación de Distribuidor.

1.5 - No-Renovación Un Distribuidor también puede de forma voluntaria cancelar su Convenio de Distribuidor al no renovar el Convenio en su fecha de aniversario. La Compañía puede también decidir no renovar el Convenio de un Distribuidor en su fecha de aniversario.

Cliente Activo. Un Cliente que compra productos Ardyss y cuya cuenta ha sido pagada por el año siguiente.

Distribuidor Activo. Un Distribuidor que personalmente genera al menos 250 Puntos Calificantes por mes.

DEFINICIONES

Convenio. El contrato entre la Compañía y cada Distribuidor incluye la Solicitud y Convenio de Distribuidor, las Políticas y Procedimientos de Ardyss, el Plan de Mercadeo y Compensación de Ardyss, y el Formulario de Entidad Comercial (en su caso), todo en su forma actual y con las enmiendas realizadas por Ardyss bajo su exclusiva discreción. A estos documentos se les llama colectivamente el Convenio.

de Mercadeo de un Distribuidor. Los Puntos Calificantes en Grupo incluyen el Volumen Personal de Ventas del Distribuidor en cuestión. (Los kits de Distribuidor y los materiales de ventas no tienen Volumen de Ventas.)

Cancelar. La terminación del negocio de un Distribuidor. La cancelación puede ser voluntaria, automática, por no-renovación o por inactividad.

Nivel. Las colocaciones de Clientes y Distribuidores en línea descendente en la Organización de Mercadeo de un Distribuidor específico. Este término se refiere a la relación de un Distribuidor relativa a un Distribuidor específico de línea ascendente, determinada por el número de Distribuidores entre ellos que están relacionados por patrocinio. Por ejemplo, si A patrocina a B, quien a su vez patrocina a C, quien a su vez patrocina a D, quien a su vez patrocina a E, entonces E está en el cuarto nivel de A.

Línea Descendente. Ver Organización de Mercadeo más adelante.

Informe o Reporte de Actividad de Línea Descendente.

Un informe mensual generado por Ardyss que ofrece datos críticos relacionados con las identidades de los Distribuidores, información de ventas y actividad de inscripciones de la Organización de Mercadeo de cada Distribuidor. Este informe contiene información confidencial y secretos comerciales que son propiedad de Ardyss.

Rama Descendente. Cada uno de los individuos inscritos inmediatamente debajo de usted y sus respectivas Organizaciones de Mercadeo representa una rama en su Organización de Mercadeo.

32 Puntos Calificantes en Grupo. El valor comisionable de los productos o servicios Ardyss vendidos por una Organización

Familia Inmediata. Jefes de familia y familiares dependientes que residen en la misma casa.

Material Oficial de Ardyss. Literatura, audio o videocintas y otros materiales desarrollados, impresos, publicados y distribuidos por Ardyss a los Distribuidores.

Producción Personal. Desplazar productos o servicios Ardyss a un consumidor final para uso personal.

Puntos Calificantes Personales. El valor comisionable de los productos vendidos en un mes calendario: (1) por la Compañía a un Distribuidor; y (2) por la Compañía a los Clientes personalmente inscritos por el Distribuidor.

Reclutar. Para fines de la Política de Conflicto de Intereses

de Ardyss (Sección 4.7), el término reclutar significa invitar, inscribir, alentar, o esforzarse por influenciar de cualquier otra manera, de forma real o como intento, ya sea directamente o por medio de un tercero, a otro Distribuidor o cliente de Ardyss para que se inscriba o participe en otra oportunidad de mercadeo multinivel, mercadeo en red o de ventas directas. Esta conducta constituye reclutamiento incluso si las acciones del Distribuidor son en respuesta a una pregunta de otro Distribuidor o Cliente Preferencial.

Revendible. Los productos y materiales de ventas se consideran “revendibles” si se satisfacen cada uno de los siguientes elementos: 1) si no están abiertos ni utilizados; 2) si el empaque y el etiquetado no ha sido alterado ni dañado; 3) si están en condiciones tales que sea una práctica comercialmente razonable dentro de la industria vender la mercancía por su precio completo; 4) si son devueltos a Ardyss en un plazo no mayor de un año a partir de la fecha de compra; 5) el producto contiene etiquetas actuales de Ardyss. Cualquier mercancía que esté claramente identificada al momento de la venta como no retornable, descontinuada, o artículo de temporada, no será revendible.

Cliente al Menudeo. Una persona que compra productos Ardyss a un Distribuidor pero que no participa en el plan de compensación Ardyss.

Ascenso o movimiento. El método por el cual se cubre una vacante dejada en una Organización de Mercadeo por un Distribuidor cuyo Convenio de Distribuidor ha sido cancelado.

Patrocinador. Un Distribuidor que inscribe a un Cliente o a otro Distribuidor en la Compañía, y que es nombrado como Patrocinador en la Solicitud y Convenio de Distribuidor. El acto de inscribir a otras personas y capacitarlas para que se conviertan en Distribuidores se conoce como patrocinio.

Kit de Inicio. Una selección de materiales de capacitación y literatura comercial de apoyo de Ardyss que cada nuevo Distribuidor Independiente de mercadeo debe comprar. El Kit de Inicio se vende a los Distribuidores al costo que tiene para la Compañía.

Línea Ascendente. Este término se refiere al Distribuidor o Distribuidores arriba de un Distribuidor específico en una línea de patrocinio que sube hacia la Compañía. Dicho de otra manera, es la línea de patrocinadores que vincula a un Distribuidor específico con la Compañía.
