Are You Selling Highly Appreciated Farm, Ranch or Other Investment Property? Turn your investment property into potential cash-flowing real estate...and defer taxes after you sell.

ABOUT PETRA

Petra Capital Properties is a national real estate investment firm specializing in diversified 1031/DST exchange solutions. We are passionate about helping our investors discover the potential of income producing real estate without the burden of day-to-day property management. All 1031/DST transactions carry risks and are not suitable for every investor.

To learn more about 1031/DST investment opportunities, please call Brad Watt at 719.649.7770, or email at bradwatt@petracapitalproperties.com

Re-imagining

1031 Tax Deferred Investment Solutions

“We’re going to give you our money. We worked really hard for it. Please don’t lose it.” These were the words from a third-generation farm-owner who had just made one of the most pivotal decisions of his life… To sell the family farm that had provided a living, built a family, and established a legacy for the next generation. As I sat across the kitchen table with the patriarch, his daughter, and granddaughter, I was reminded that the most valuable form of currency isn’t money—it’s trust. Trust is the foundation of relationships and starts with shared values and aligned interests. We are seeing the perfect storm with the convergence of highly appreciated property, aging demographics, and the desire to transition from the burden of day-to-day property management to passive lifestyle income. With recent increases in property values of agricultural land1 , we believe investment property owners are more motivated than ever to explore their exit strategies through 1031 tax deferred reinvestment options. For many active property owners, the hardest part of the hold/sell decision is letting go of the familiar…to embrace the unfamiliar. Any worthwhile investment solution begins with education and trusted research. Under IRS 1031 exchange rules, sellers of investment property can defer capital gains and other taxes, provided they reinvest proceeds into another qualified investment property. However, at its core, a 1031 tax deferred exchange should always be a fundamental investment strategy first and a

tax strategy second. The surging demand for investment real estate has resulted in a limited supply of quality 1031 replacement properties. As a result, many investors can be hesitant to sell their relinquished property until they have reasonable assurance of locating and closing a suitable 1031 replacement solution. So, what are generational farmers, ranchers, sporting and lifestyle property owners to do when evaluating the hold-versus-sell decision? Is it possible to achieve both tax deferral and preservation of investment value in this competitive real estate market? Is there an integrated 1031 solution that combines tax deferral with potential streams of passive income, simplified estate planning, and diversified real estate holdings? If you are asking these questions and ready to transition from actively managed property to passively owned investment real estate, then read on…

Sample DST Investment Property Types

Self-Storage

One of the fastest growing segments of the 1031 exchange market is the Delaware Statutory Trust (“DST”)2. Pre-structured DSTs are intended to be a “turn-key” solution designed for diversified property ownership, potential for multiple streams of passive income, and efficient replacement property identification and closing. Many DSTs are pre-structured programs, sponsored by national investment management companies with proven Multifamily track records. In some cases, investors can identify and close on their individual DST property interests within days of selling their relinquished property and potentially begin enjoying passive cash flow. DSTs can be offered as either all-cash investments or partially leveraged programs with non-recourse debt. With low investment minimums, investors can combine multiple property interests like building blocks or “Legos” to arrange highly-diversified and personalized real estate investment portfolios. DSTs represent diverse asset classes and investment strategies, including: Medical New Class “A” multifamily residential communities, Industrial properties such as Amazon and Ford distribution facilities, Manufactured Housing, Self-Storage portfolios, Healthcare/Medical properties, and Essential Service properties such as Kroger Grocery, Dollar General, Tractor Supply, Walmart, and Walgreens. Depending on the investment amount, and the investor’s risk tolerance and investment objectives, Petra can generally allocate to each of these asset classes in an attempt to increase diversification and optimize performance outcomes.

Essential Properties

Industrial

While there is always risk to real estate investing, DSTs are offered as securitized real estate that must pass through multiple levels of due diligence and underwriting before being offered to qualified investors. If you are interested in learning how to transform your hard-earned wealth into a diversified portfolio of DST properties with the potential for passive income, please give us a call.

Investment results and distributions are not guaranteed. 1031/DST transactions are speculative investments and are suitable only for investors with high risk tolerance that understand the risks, including: loss of entire investment, illiquidity, lack of marketability, long-term investment horizons, risks associated with real estate investment, and general market risks. 1 2

The incredible, 12,393.29-acre Bently Ranch is being sold as one unit, offering a once-ina-lifetime opportunity. The original owners began accumulating land in Nevada in 1997. Over the last several years, they have focused on sustainable farming, aiming to grow a variety of crops that are used in their distilling industry. Current crops grown on the property include 2,700 acres of wheat, rye, barley, hops, and oats, as well as premium alfalfa. Their sister company, Bently Heritage Estate Distillery, exclusively uses these grains and botanicals to create some of the world’s finest spirits. Water is plentiful on the property which makes it possible for such a successful farming operation. Currently, there are 6,046 irrigated acres. Water features on the property include 3,746-acre-foot Mud Lake and 1,784-acrefoot East Valley Reservoir as well as 34 pivots and seven domestic wells and nine Ag wells. Senior water rights are from the East and West fork of the Carson River. The cattle on Bently Ranch are grass-centered, GMO-free, certified hormone-free, certified natural, and GAP Step 4 certified. There is a mix of Angus, Hereford, and Charolais cattle. The Charolais cattle breed strengthens the calves’ quality of life and adaptability while helping the local ecosystem. The breed is also great for its ability to adapt well to high desert plains, thriving on fewer natural resources than other cattle. There are separate pastures to ensure proper pasture management. Improvements on the property include 10 homes, 4 bunkhouses, 7 shops, 5 horse barns, 12 hay barns, 12 storage barns, a feedlot, and a compost facility. The compost facility is one of the largest sites in Nevada and is an integral part of the ranching operation. Biomass and biosolids are accepted and can be mixed and used as nutrient dense compost which is spread across fields and pastures. This eliminates the need for chemical fertilizers. With both the compost and intelligent crop rotation, the land is therefore improved and not depleted. This offering is a once-in-alifetime opportunity! Listed by Todd Renfrew; Broker/Owner.

BOB

By: Melissa Hemken

A group of friends head into the Bob Marshall Wilderness for a bucket list pack trip.

THIS

was our first night in. Yesterday was an 11-hour drive to the trailhead. It

had been a busy day with getting on the trail and riding 12 miles. Now, in camp, came the cool evening air and the slower pace of the mountains. I led my horses down to water at the river. Hikers, from a neighboring camp, sat on the river’s boulders to soak their feet in the cool water while they ate supper. We greeted each other, the hikers and I. They asked, “Do horses like to be in the mountains?” I glanced at my bays. “Yes,” I said, “they do, because they get bored standing in a pasture. You have to take care of them, though. They must have food, water, and adequate rest.” My horses finished drinking. I led them back up to the electric fence where they are hobbled overnight. The hikers question left me pondering: Why do we humans go to the mountains, with our horses? Packers and their stock are vital to carry gear and people for things like wildfire crews and research projects. Yet, my friends and I were out in the mountains solely to see the scenery. On this trip, we packed through Montana’s Bob Marshall Wilderness Complex to see the Chinese Wall. As an icon of the Continental Divide—the escarpment is 12 miles long and over 1,000 feet high—it’s easily viewable on the Internet. It isn’t so easy to stand atop it and beneath it, as we did. LeeAnne led planning the pack trip for us. It takes logistics to prepare, and then meet, eight people and 13 horses from Wyoming and Missouri at a Montana trailhead. And, from there, embark on a 9-day pack trip into new country. LeeAnne’s research informed us to carry supplemental feed due to the drought and high stock usage lowering the amount of forage in the few meadows tucked into the heavily wooded mountainous terrain. This proved sound advice. It’s impressive how little grass grows in the Lewis and Clark Mountains.

MOUNTAIN LIFE For our trip’s route we circled the Chinese Wall. On our second day we rode up and over the Continental Divide and dropped into the valley on the “backside” of the wall. The day’s trail wound past bubbling waterfalls. We flushed two bears. One was, as bears often do, utilizing the trail as an easy path. I rode in the lead and didn’t see that bear. My horse and I came around a sharp corner to spot trailside plants spring upright from the bear’s recent bailing off of the trail. A bear’s trail is denoted by its width, because the bear’s paws and stance lay down vegetation in a swath broader than an ungulate. The trail over the pass above was precariously exposed. We rested at the head of the valley to check horses’ tack. Were pannier loads riding balanced? Breast collars adjusted for the steepness ahead? Check. Once on a skinny tread with terrain straight up and down on either side, there’s no room for pause. From the pass’s saddle, the smoke of distant wildfires shrouded the view. Down we rode into the valley below. It took several hours to locate a suitable camp for our second night. We needed a large meadow with enough feed for three consecutive nights. When we spotted a camp, miles off of our intended route, we were across a river and up a ridge from it. First, we scouted how to ride down to the river. We were blocked by downed timber from a long-ago wildfire and the steep grade. We backtracked a few miles to reach the river. It was a bushwhack on the opposite river bank. We elected to ride right down the riverbed. Finally, in the meadow, we were a tired crew that dropped camp. The next day we rode out early for a day ride to view the Wall from above. From the mountain summit, the river below showed us the origin of its name. It sinuous path gleamed white. From the mountain heights

the clear water that flowed over the white rocks was indistinguishable. On the mountain, butterflies tussled above the alpine flowers. In their orbit they tumbled off of the Wall, soon to reappear on an uplift. I rode up the mountain in wool vest, windbreaker, and tightly wound wild rag. Due to the nippy chill, I almost pulled on my leather gloves. On the return to camp it felt like we passed an open convection oven the entire trek down the valley. To take a break from the saddle to hike, I hitched my packhorse—who trailed along empty of tack on this day ride—to my piggin’ string attached to my saddle’s crupper ring. The dust swirled so thickly on the trail from our passage that I struggled to see where to place my feet. The horses didn’t show that they experienced the same difficulty. Back in camp, once the horses were cared for, we repaired to the river. Bathing and laundry were a daily occurrence to cool off. In the kitchen that evening Perry swatted a hummingbird that zipped by her head, because she thought it a bee. It continued to hover in the kitchen, likely attracted by the fuchsia underwear that hung to dry in a tree. continued on page 76

Perhaps that’s why we go to the mountains? To show ourselves that we can live without modern technology; to return to the simpler rhythm that nature still follows.

T

he Castle Valley Ranches (CVR) offering represents an exceptionally rare opportunity to purchase a fully “turn-key” enterprise, which not only has it all, but has the best of it all. At nearly 10,000 deeded acres, plus an additional 325,000 acres of public grazing permits that provide over 7,000 AUMs, the CVR is an absolute giant. The 10,000 acres of private land are strategically located along waterways and adjoining National Forest and BLM lands. They comprise 1,500 acres of sprinkler-irrigated farmland and 1,000 9,955± ACRES acres of riparian and river bottom lands, with the balance of the land varying between high desert to high mountain landscapes. Utah // Emery & Sevier Counties // Emery The CVR has three fully appointed and separate headquarters, one for the hunting/recreational enterprises (Castle Valley Outdoors), one for the farming and livestock enterprises (Emery Farms and Ranch), and one for the cattle ranching enterprise (Baker Ranch). The quality building improvements on CVR total over 40,000-square-feet and include an extraordinary 8,000-square-foot hunting and guest lodge, numerous homes, cabins, bunkhouses, and the full complement of both recreational and agricultural support buildings. The lifeblood of this massive operation is the incredible water resource and rights it controls, with over 15 miles of bisecting streams, three large fishing ponds, and several irrigation reservoirs. Cattle and wildlife enjoy easy access to water, while most of the farmland is pivot irrigated and supplied by buried and pressurized mainlines. For hunters, the CVR is both a registered CWMU (Cooperative Wildlife Management Unit) for mule deer and antelope, and is also an OrvisEndorsed Wingshooting Lodge, the only one in the state. The turn-key offering includes all the furnishings and equipment for the Castle Valley Outdoors enterprise, as well as the owner’s current inventory of farming equipment and machinery. The owner’s existing herd of over 600 premium Angus cattle can also be purchased and will be priced at the prevailing market price at time of sale. Carefully and strategically assembled by the Johnson family over several decades, this incredibly complete and economically diverse ranching/recreational enterprise is an unparalleled opportunity of a lifetime. $19,000,000 (excluding cattle which are offered but priced separately).

REASONS FOR WILDERNESS In our next camp, up valley, the loitering wildlife was a whitetail doe. The resident deer have learned that stock tack carries delicious sweat salt. Ruth and Gary, members of the expedition, once had deer raid their tack pile and carry off bridles. To prevent this, we fully covered our tack pile with mantie tarps and tightly wrapped it with lash ropes. The deer skulked through camp, yet were unsuccessful in gaining our sweaty tack. On our way back over the Divide to “front” side of the Wall, one side of the pass was a recent, sooty wildfire burn. The other sported ribbons of vibrant wildflowers that cascaded over lush vegetation. There were conifer trees of the kind I had never seen. Their branches were studded by clumps of short needles. Then, I realized the map denoted where we rode as Larch Hill. They were Larch trees! 76

About that time the trail narrowed and slotted itself into the slope. My mare Bailey, which I rode, wants to peer over every precipice. Because of my attentiveness to Bailey and her shiny object distractions, I glanced at the lake below us when she did so. A brightly colored tent squatted a few feet from the water. Our plan was to camp by that lake. From above, we could see that the largest nearby meadow was on the opposite of the lake from the trail. When we reached the valley, we off-trailed directly to that meadow. We reined up by the lake to decide where to place the kitchen, night fences, high-line and tents. The hikers of the bright tent yelled at us, Summer 2022

from across the small lake, “No horses within 500 feet of the lake!” Considering that the US Forest Service rules regarding dispersed camping set that all tents must be 100 feet from water sources, we thought the hikers—who had their tent a mere yard from the lake—rude. We investigated. On the trail side of the lake, where most travellers approach it, there was a sign nailed to a tree regarding stock use and 500 feet. We arranged our camp accordingly. Horses up the rise. Tents in the middle, close enough to keep “ears” on horse movement overnight and at least 200 feet from cooking area for bear safety protocol. The kitchen closest to the lake, yet a 100 feet back from the shoreline. That evening, we watched a family of Bufflehead ducks paddle the lake. The mama duck likely would not choose to hatch and raise her ducklings there if its shores were denuded by overuse. The trail that passes the lake is designated as the Continental Divide Trail (CDT), a popular route. There are often reasons for rules. In Wilderness Areas, they are established to protect and preserve land in its natural conditions. To leave its community of life untrammeled by man, as stated by the Wilderness Act of 1964. That decades-old legislation enables us to continue to enjoy landscapes as they were created. The following day was a layover for us, where we stayed in the same camp for two consecutive nights to rest the horses. Layover days are also choose-your-level-of-activity days. I went on an exploratory day ride, baked brownies for the crew, and set my repair shop up. My rule of repair: If you want me to fix your gear, you must help. I opened shop to patch my jacket. By the time I closed it, we had set new rivets to fix Perry’s horn bags, LeeAnne’s headstall, and Gary’s breast collar. Self-sufficiency feels good. Perhaps that’s why we go to the mountains? To show ourselves that we can live without modern technology; to return to the simpler rhythm that nature still follows.
