It Has Been a Great Year!

t is hard to believe another year has gone by and this is my last President’s message. At the FIADA Annual Convention this month I will pass the gavel of President to Dino Mercurio. Many of you may know that Dino served as President previously and this will be his second tour of duty for the association. FIADA will be well served with Dino’s experience and longstanding commitment to the association and I look forward to working with, and supporting him over the next year.

I have truly enjoyed the opportunity to serve as the FIADA President for the past year. I have met many of our members, worked with a very strong board of directors and a great association staff led by Lisette Mariner in Tallahassee. It is a pleasure to work with

to encourage each of you to take advantage of your membership and get involved. Talk to Dino Mercurio and ask if he could use your help on a committee over the next year. Come out and participate in one or all of our town hall meetings that is already scheduled for next year. Make some new dealer friends at the Annual FIADA Convention. I believe that the more good dealers we have involved in the association the stronger it makes all of us so don’t be shy – get involved at whatever level is comfortable for you.

We are making some great progress in Tallahassee with rolling back registration fees and other key issues and this is largely due to our legislative effort and our PAC. The PAC is funded by contributions from me an you. I try to give generously to the PAC two or three times per year. ctober is always an eventful month in the FIADA office! We’re finalizing our preparations for the Annual Convention which includes coordinating speaker needs, designing the program, organizing our exhibit hall, and making sure all of our attendees have a fun-filled, educational experience…in other words, details, details, details!

In addition to the time we’re dedicating to the Convention, we’ve had several exciting events in the past few weeks. Here is a look at a few of the things we have been up to.

Cars for Kids Drive On September 23-25 in Gainesville, Florida, a Cars for Kids Drive was co-hosted by Southeast Car Agency, FIADA and the Alachua County Sherriff ’s Office to benefit the Florida Sheriff ’s Youth Ranches. This year was a great success as Gainesville citizens donated used vehicles, furniture, clothing, housewares, and even a baby grand piano.

New Members at the Sanford Auto Dealers Exchange We had a great time at the SADE Auction. In addition to seeing familiar FIADA faces, we were happy to welcome a few new dealers to the FIADA family.

Do I Really Need to Get The DR-123 Notarized?

You maybe getting away with not notarizing your DR-123, but you actually need to. Understand how this form works and how it relates to paying sales tax for each sale.

By TERRY MYERS Q: Is it really necessary to have the DR-123, Partial Exemption for a Motor Vehicle Sold to a Resident of Another State? I have been signing the document but not getting it notarized. I’ve never had a problem when they got the vehicle home.

A: Yes. Florida Statute 211.08(10(a) (Exhibit A) requires it, and a message I received when asking the Department of Revenue this exact question confirms it. Because you have not had any problems to date does not mean you will survive a Department of Revenue audit. Should the examiner not find a Notarized version of the DR-123, your dealership could be responsible to pay any deficiencies between 6% and what the dealer collected, plus interest, plus penalties.

212.08(10) PARTIAL EXEMPTION; MOTOR VEHICLE SOLD TO RESIDENT OF ANOTHER STATE.— (a) The tax collected on the sale of a new or used motor vehicle in this state to a resident of another state shall be an amount equal to the sales tax which would be imposed on such sale under the laws of the state of which the purchaser is a resident, except that such tax shall not exceed the tax that would otherwise be 12 — Independent Dealer —October 2013

imposed under this chapter.

At the time of the sale, the purchaser shall execute a notarized statement of his or her intent to license the vehicle in the state of which the purchaser is a resident within 45 days of the sale and of the fact of the payment to the State of Florida of a sales tax in an amount equivalent to the sales tax of his or her state of residence and shall submit the statement to the appropriate sales tax collection agency in his or her state of residence. Nothing in this subsection shall be construed to require the removal of the vehicle from this state following the filing of an intent to license the vehicle in the purchaser’s home state if the purchaser licenses the vehicle in his or her home state within 45 days after the date of sale.

For example, a customer in a 2% state takes possession at your dealership in Florida and drives it back to his/her home state. The dealership is required to get a notarized version of the DR123. The customer takes the notarized version back to his/her home state to avoid paying the 2% a second time. The dealership retains proof of the notarized document for audit purposes. When the dealer is audited, he/she has to prove they had a right to charge that state’s rate of 2%. That is accomplished with the notarized DR-123. Without the required documentation, the dealer could be required to pay the difference between the 2% collected and 6%. In other words, 4%, plus interest, plus penalties.

This powerful tool helps the dealer overcome the fear of double taxation when the customer goes to register the vehicle in his/her home state. It levels the selling field. Because of the DR-123 the customer only pays sales tax once. Also, the dealer has proof in an audit that he/she had a right to only charge that state’s sales tax rate, as long as the document has been properly completed, including notarization.

You may not notarize any document you have financial interest in.

However, the DR-123 has nothing to do with financial interest. The sale is done. The purpose of this document is to keep the customer from overpaying his/her sales tax.

To obtain the latest version of each state’s sales tax rate, go to: http://dor. myflorida.com/dor/tips/tip13a01-02. html Reminder: If the customer takes responsibility for title and registration in his/her own country, the dealership needs to obtain an HSMV 84061 Affidavit for Customer Who Will Title & Register a Vehicle in Another State or Country. This is applicable whether the customer takes possession inside or outside of Florida.

The Affordable Care Act Roadmap It’s one of the most controversial pieces of legislation to come down from the Capitol, but don’t let the confusion keep you from being prepared. Know what is, and is not, required of small businesses like yours so you will be ready.

T

he Patient Protection and Affordable Care Act, also referred to as the Affordable Care Acts (ACA), was signed into law on March 23, 2010, with the intent to reform the health care industry and provide affordable health coverage for more than 40 million uninsured Americans.

Under the ACA, every legal resident of the United States who is not already covered by Medicare, Medicaid, other qualifying governmental programs such as TriCare, or an employerprovided health care plan may seek to purchase coverage through an online health insurance exchange, (called the Federally Facilitated Exchange in Florida), where income depending, they may qualify for an Advanced Premium Tax Credit and/or subsidies to help offset the financial cost and impact of obtaining the coverage.

Today, smaller businesses are much less likely to offer health coverage to their employees than larger companies.

In 2011, according to the Kaiser Family Foundation, 57 percent of small businesses with 50 or fewer workers offered health benefits to employees, compared to 92 percent of businesses with 51 to 100 workers, and 97 percent of businesses with 101 or more 14 — Independent Dealer —October 2013

workers. Because of that, some provisions of the ACA will have a larger effect on small businesses, and their employees and families.

Expectations of the impact on small businesses are mixed.

Some anticipate employees’ hours being cut, costs being passed on to consumers or shareholders, a reduction in hiring and more outof-pocket costs for larger businesses.

Others see benefits for small businesses and their employees. For example, the ACA allows certain qualifying small employers to qualify for a federal tax credit in return for providing coverage to their employees.

Some provisions of the ACA are already in effect. Others will begin in 2014 and beyond.

As with any major change in policy, the prospect of what the ACA entails can be overwhelming for small business owners with limited resources. So what does the ACA mean for your business?

PLANNING YOUR ROUTE: DETERMINE THE SIZE OF YOUR ORGANIZATION The ACA specifically exempts small

businesses with fewer than 50 full-time equivalent (FTE) employees. By some estimates, that means more than 90 percent of businesses will be not be subject to the Employer Shared Responsibility provisions (ESRP) of the ACA. Before you can begin to assess the impact on your business you must determine the size of your organization. Sounds simple, right?

Well, not entirely.

The ACA defines a full-time employee as an individual working at least 30 hours per week on average. However, for the purposes of calculating your organization’s size, you can’t simply count the number of full-time employees – part-time employees are also factored into the equation as full time equivalent employees (FTE’s).

In essence, you have to add up the hours of part-time employees and divide by 30 hours. So, for example, 100 half-time employees at 15 hours Continued on Page 16. www.fiada.com

per week each equates to 50 FTEs at 30 hours per week. Similarly, 40 full-time and 20 half-time employees (whose hours combined then divided by 30 equals 10 FTE employees) would also be considered equivalent to 50 FTEs and make the employer subject to the ESRP. If you are an owner in more than one company, this may also need to be taken into account as you would need to determine if each entity is part of a controlled group. It’s a bit like an umbrella: If an entrepreneur owns 100% of five businesses and each business has 10 FTEs, together they are considered a large business with 50 FTEs, and all five businesses are subject to the Employer Shared Responsibility provision, although no one entity alone had 50 or more employees.

Obviously, determining FTE counts will be more complex for some businesses than for others. Any businesses that fall close to the 50-employee threshold would be best served by working closely with their accountants and attorneys to ensure counts are accurate rather than risk penalties for inadvertently being over the threshold.

OUTSIDE YOUR FRONT DOOR: WHAT’S ALREADY IN PLACE Several provisions of the ACA are already in place, or will become effective in 2013. Those of most importance to small businesses include:

Grants for wellness programs: Certain small businesses that did not have a workplace wellness program in effect as of March 2010 are eligible for grants to start one.

Additional Medicare tax: The additional medicare tax is a 0.9 percent tax increase that applies to an individual’s wages, Railroad Retirement Tax Act compensation and self-employment income above $200,000 if single and $250,000 if married.

Grandfathered group plans: Small businesses with insurance plans that were in place prior to March 23, 2010 may keep their current plan. According to the Kaiser Family Foundation, approximately 72 percent of businesses with 100 or fewer workers had at least one plan grandfathered under the ACA in 2011. Those plans are subject to fewer requirements when it comes to coverage levels and access. Under the grandfather provision, companies are even able to change insurance carriers, provided employee costs and benefits remain mostly the same as the health plan you had in place for your employees when the law passed in March 2010.

Small Business Health Care Tax Credit, phase one: The Small Business Health Care Tax Credit helps certain small businesses and small tax-exempt organizations – particularly those with low-to moderate-income employees – afford the cost of covering their employees. From 2010 through 2013, if your company has fewer than 25 FTEs with average annual wages of less than $50,000 and you purchase health insurance for your employees, you might be eligible to receive a credit of up to 35 percent of your contribution toward employee health insurance premiums. The small business health care tax credit increases the tax credit for qualified small businesses who offer group coverage purchased through a statebased exchange to a maximum of 50 percent (up from 35 percent). Remember, if you’re a small business with less than 50 FTEs or an employer who offers adequate (a plan that offers minimum essential coverage and covers at least 60% of average claim costs) and affordable (the cost to an employee for the employee only premium is not more than 9.5% of their income) health coverage, you will not be subject to the Employer Shared Responsibility provisions.

THE LONG HAUL: 2015 AND BEYOND Employer Shared Responsibility payments: Employer Shared Responsibility liability for 2015 (assessment of the penalty has been delayed from 2014 to 2015) will begin being assessed in 2016. The IRS will contact employers to inform them of any potential liability and provide them an opportunity to respond before liability is assessed or notice and demand for payment is made.

It is important to note that while part-time employees factor into the determination of employer size,

there is no penalty for not offering coverage to part-time employees, and all employers are allowed an exclusion from the no coverage penalty for the first 30 employees. So if an employer with 40 eligible full-time and 20 halftime employees (for a total of 50 FTE employees) fails to provide health coverage and is assessed the Employer Shared Responsibility payment, the amount due would be $2,000 times 10 employees – 40 full-time employees minus the 30-employee exclusion – or $20,000.

Additional ACA provisions scheduled for 2015 and beyond include: • Expanding the parameters of employer-provided health care to include dependents.

• Auto-enrollment for companies with more than 200 employees.

• Implementation of antidiscrimination provisions, which would prevent employers from offering different packages to employees based on seniority, job title/classification, compensation level or race/gender. business employees (only a single option is available in 2014) Assessment of the Cadillac tax (2018) – a 40% excise tax assessed on the value of employer provided benefits provided over preestablished thresholds.

LOST? WHEN IN DOUBT, ASK FOR DIRECTIONS The ACA represents a major change in the way many businesses operate, and there are more than a few gray areas, so small businesses might find themselves with more questions than answers.

Your best bet is to maintain a healthy relationship with your advisors: insurance brokers, accountants, lawyers and association executives and partners. They’ll help keep you in the loop on any major changes that take effect and help you adjust your course as needed to ensure you don’t encounter any hazards along the way.

Senator Brandes indicated he has a bill in drafting to fix the Surrender Stop issue and make it work in the same manner as the Storage and

Towing industry. We are awaiting the draft legislation but optimistic that this will solve our problems.

He also talked about the reduction in fees and indicated he has even discussed this policy issue with Governor Scott.

This is a priority for the coming session.

Senator Brandes, along with Senator Simmons and Rep. Workman are also scheduled to speak at the FIADA Annual Convention and will be discussing these and other issues during the legislative forum.

Whether it’s through compiled financial statements, a review or audited financial statements, business owners should fully understand, and be forwardthinking about the value in having

current, as well as a history of reliable financial statements.

Whether or not your banking relationship currently requires compiled, reviewed or audited financial statements, there is added value in a business that has a history of reliable financial information that meets the expectations of today’s skeptical and demanding market. Utilizing the expertise of a well-qualified CPA firm, in reviewing or auditing your financial statements can set you apart from others and reinforce your image as being sophisticated and trustworthy. Business Succession Planning and Insurance Another area that should be considered by business owners is business succession planning. This is one of the most important, yet most often procrastinated topics for closely-held business owners. It might be your general tendency to ignore difficult issues, or the thought that ‘nothing will ever happen to me’; but for some reason many businesses do not pay enough attention to succession planning.

Some basic issues that need to be considered in your succession plan are: • Proper valuation of the business – consider the need for a valuation if you do not have a general idea for an approximate value and sales price.

• Plan for disability or unforeseen circumstances – have a plan in place that you can fall back on in case of emergency or disability.

• Identify those who should be involved in the plan and those that will be affected by the plan. For a succession plan to work going forward, everyone needs to be on board with the transition.

• Structure key man insurance policies for key employees and current owners. Key employees are probably more valuable to your business than other assets.

Therefore, they should be insured in order to provide cash to continue operations, offset any loss in business that may occur, and any costs that would be incurred for hiring and training a replacement employee. Avoid a situation where an unexpected death could cripple your company.

provisions for who buys the stock of a deceased owner. The provisions of those agreements may require the company to buy the stock of the deceased owner, which could require a significant amount of cash. Based on the value of the company, and in the likely event that the surviving partners do not have the cash available for the purchase, funding a buy-sell agreement can help avoid this issue.

Purchasing life insurance policies on each owner (with the surviving owners as beneficiaries of the policies) would provide funding for the purchase of the deceased owner’s stock.

A Look At Current Legal Issues

A monthly collection of selected legislative and regulatory highlights, and a recap of some of the many auto sale and financing lawsuits followed each month.

COMPLIANCE TIP The Uniform Commercial Code provides that sales of goods create certain “implied warranties.” Except in a few states, dealers selling cars are permitted by the UCC to “disclaim” these implied warranties. To do so, any disclaimer must contain certain words and must be conspicuous. Take a look at your buyers order. Does it attempt to say that implied warranties do not apply? If so, have you run that wording by your lawyer? If not, and if you want a court to permit you to disclaim these warranties, you need to get your lawyer to bless your disclaimer language.

Federal Law FTC Hammers Two Auto Dealers.

Two car dealers from Maryland and Ohio have agreed to settle the Federal Trade Commission’s charges that they falsely advertised the cost or available discounts for their vehicles.

The settlements, part of the FTC’s continuing crackdown on deceptive motor vehicle dealer practices, prohibit the dealers from advertising discounts or prices unless the ads clearly disclose any qualifications or restrictions.

The FTC charged that Timonium Chrysler, Inc., of Cockeysville, Md., violated the FTC Act by advertising discounts and prices not available to a typical consumer. Ganley Ford West, Inc., in Cleveland, also is charged with misrepresenting that vehicles were available at a specific dealer discount, when in fact the discounts only applied to specific, 26 — Independent Dealer — October 2013

and more expensive, models of the advertised vehicles.

Timonium Chrysler’s website touted specific “dealer discounts” and “internet prices,” but allegedly failed to disclose adequately that consumers would need to qualify for a series of smaller rebates not generally available to them.

The complaint further alleges that, in many instances, even if a consumer qualified for all the rebates, the cost of the vehicle was still greater than the advertised price. Ganley Ford advertised its discounted vehicles on its website and in local newspapers, and allegedly failed to disclose that its advertised discounts generally applied only to more expensive versions of the vehicles advertised.

The proposed orders settling the FTC’s charges are designed to prevent the two dealers from engaging in similar deceptive advertising practices in the future.

The dealers cannot advertise prices or discounts unless accompanied by clear disclosures of any required qualifications or restrictions. The auto dealers are also barred from misrepresenting: • •

the existence or amount of any discount, rebate, bonus, incentive, or price; the existence, price, value, coverage, or features of any product or service associated with the motor vehicle purchase;

• •

the number of vehicles available at particular prices; or any other material fact about the price, sale, financing, or leasing of motor vehicles.

The dealers must maintain and make available copies of all advertisements and promotional materials to the Commission for inspection upon request for the next five years, and they are required to comply with the FTC’s order for 20 years.

LITIGATION Arbitration Clause in Lease Applied to Lessees’ Claims of Willful or Negligent Credit Reporting A car buyer sued the dealership where she bought her car after it informed her that she was no longer part of a promotional program in which customers could buy a new vehicle for less than $100 a month and then return the vehicle to the dealership within 10 to 12 months in exchange for a new vehicle at the same monthly rate. The dealership moved to compel arbitration based on an arbitrocument, the supreme court determined that the arbitration agreement was not voided by the merger clause and, therefore, was enforceable. See Johnson v. JF Enterprises, LLC, 2013 Mo. LEXIS 31 (Mo. June 11, 2013).

Arbitration Clause in Lease Applied to Lessees’ Claims of Willful or Negligent Credit Reporting: A husband and wife entered into an agreement to lease a vehicle. The agreement included an arbitration clause. The lessees later sued several entities in connection www.fiada.com

with the lease agreement, alleging that the defendants wrongfully reported a debt on their credit reports, in violation of the Fair Debt Collection Practices Act and the Fair Credit Reporting Act. The defendants moved to compel arbitration, and the U.S. District Court for the Northern District of New York granted the motion. Noting the broad, expansive language of the arbitration clause, which encompassed all claims arising out of or relating to the lease agreement and to the relationship of the parties to the lease, the court concluded that the claims of willful or negligent credit reporting concerned a dispute over payments under the lease agreement and, therefore, were related to the parties’ relationship that arose from the lease. See Gaul v.

Chrysler Financial Services Americas LLC, 2013 U.S. Dist. LEXIS 102563 (N.D.N.Y. July 23, 2013).

Dealer Violated TILA by Failing to Pay Off Balance Owed on Trade-In: A buyer bought a car, unaware that the car had previously been used as a rental car.

As part of the sale, the buyer traded in a 2006 Ford Taurus, and the dealership agreed to pay off the balance owed, but it never did so. After the finance company repossessed the Taurus, the buyer sued the dealership under a number of theories. The U.S. District Court for the District of Maryland granted summary judgment to the buyer on one of her Truth in Lending Act claims. Because the dealership indicated it would pay off the balance owed on the Taurus and failed to do so, the court found that the dealership incorrectly itemized that amount as an amount paid to a third party, in violation of TILA. The buyer also alleged that the dealership violated the Maryland Consumer Protection Act by failing to pay off the balance owed on the Taurus. The court refused to grant either party summary judgment on this claim, noting that because the buyer settled with the finance company, there was a genuine issue www.fiada.com

of fact regarding whether she could prove damages. See Jones v. Koons Automotive, Inc., 2013 U.S. Dist.

LEXIS 98284 (D. Md. July 15, 2013).

Car Buyer’s Rescission and Revocation of Acceptance Claims Failed for Lack of Reasonable Reliance on Dealer’s Statements Regarding Condition of Vehicle: When a buyer bought a car, the salesman told him that the vehicle was clean and undamaged and showed him a report from the Carfax website reflecting no accidents or damage to the car. However, the Buyer’s Order stated that “THIS VEHICLE WAS ANNOUNCED HAVING UNIBODY DAMAGE AT THE AUCTION” and that the dealership “STRONGLY RECOMMEND[ED] CUSTOMERS SHOULD GET VEHICLE INSPECTED BY A MECHANIC OF THEIR CHOICE BEFORE MAKING THE PURCHASE.” The Buyer’s Order also included a disclaimer that the car was being sold “AS-IS NO

WARRANTY” and that the “Customer will pay all costs for any repairs. The dealership assumes no responsibility for any repairs regardless of any oral statements about the vehicle.” When the buyer later learned that the car had significant body damage from a prior accident, he sued the dealership for rescission and revocation of acceptance. The trial court dismissed the complaint, and the Georgia Court of Appeals affirmed. The appellate court explained that the buyer’s rescission and revocation of acceptance claims failed because the buyer could not show that he reasonably relied on the car dealer’s statement that the car was undamaged since the Buyer’s Order clearly warned that the car may be damaged. See Raysoni v. Payless Auto Deals, LLC, 2013 Ga. App. LEXIS 607 (Ga. App. July 9, 2013).

Manheim Reports Used Vehicle Prices Rising in Q3 Manheim is reporting that wholesale used vehicle prices in the U.S. rose in the third quarter of 2013, reversing course from the previous quarter. Prices increased in each of the three months of the quarter, with August marking the biggest monthly gain since the impact from Hurricane Sandy at the end of 2012. Pricing was up slightly year over year. The findings were part of the company’s quarterly Used Vehicle Value Index conference call presentation held earlier today.

Ample availability of consumer financing, low inventories of new vehicle models and higher transaction prices in the new vehicle market were primary drivers of the strong wholesale pricing for used cars. This contrasts with the second quarter of 2013 in which used vehicle wholesale prices fell on both a linked-quarter and yearover-year basis.
