MAINTENANCE CONTRACT The undersigned, the private company 123DEUR B.V. registered and with offices in TOWN/CITY, legally represented in this by Mr/Mrs NAME, hereinafter to be designated 123DEUR and the private company CLIENT B.V. registered and with offices in TOWN/CITY, legally represented in this by Mr/Mrs NAME, hereinafter to be designated contracting party contract as follows: 1

General Contracting party instructs 123DEUR, during the currency of this contract, to carry out maintenance and inspection work to the overhead doors and electric drives stipulated in appendix 1 in conformity with the instructions hereunder.

Activities 123DEUR stipulates to carry out the following works and make the following deliveries with respect to the overhead doors and electric drives specified in appendix 1: -

General inspection for proper operation and condition of the overhead door or drive Lubrication and oiling of bearings, moving parts and hinges Checking the tension of the torsion springs. Where necessary adjusting the tension and lubricating the torsion springs.

Checking and where necessary adjusting, couplings, settings and fastenings Adjusting remote sensing for people or animals walking under the door (electrically operated doors) Adjusting wicket door protection(electrically operated doors) Checking the coupling and limit switch (electrically operated doors) Checking the chain tension (electrically operated doors) Checking the spring rupture protection, cable rupture protection and slack cable protection for correct operation and damage Reporting the periodic inspections using a completed checklist. This list will be submitted to the contracting party as confirmation of the work carried out.

Response to defects The contracting party is assured of a 24-hour response to defects reported. This service means that 123DEUR will have within 24 hours of receiving the telephone defect report a competent overhead door fitter on site to assess the repair work and where possible to start with it.

Contract lifetime and commencement date This contract is concluded for a period of 12 months, commencing on the date of signature. The contract will be tacitly renewed for a period of 12 month, when not terminated by registered letter at least 2 months prior to the end of the period in question.

Initial situation Contracting party undertakes that the overhead doors and electrical drives stipulated in appendix 1 shall upon the commencement date of this contract be in a good state of maintenance and display no defects.

For overhead doors that have been in service longer than 2 years, a maintenance servicing on the basis of later calculation will be required before the provisions of this contract can come into force.

Costs The following costs are included in this contract: travel expenses and call-out charges the work and supplies stipulated under article 2 lubricants and detergents used Costs not included in this contract are: the costs of parts that are replaced by 123DEUR during the maintenance visit. These will be charged at the prices applying on our price list for service parts. the costs of a tower wagon or moveable scaffolding. These will be charged directly to the contracting party on the basis of the rental prices applying. When the contracting party hires a tower wagon or moveable scaffolding, the contractor should inform 123DEUR well in advance of the maintenance visit. the wage costs for the replacement of parts on the basis of later calculation. the costs of minor parts up to an amount of Euro 100.--, without prior consultation being required.

Repairs not connected with work pursuant to this contract will be carried out at a time to be further determined and for costs to be further determined in consultation with the contracting party.

Warranty 123DEUR guarantees that the work will be carried out by qualified fitters.

A warranty will be extended to repairs of 6 months for materials and assembly.

The warranty will be revoked: when damage is caused by third parties when repairs or adjustments are carried out in the meantime by third parties in the case of injudicious use of the doors.

Price changes The contract price shall change annually without prior approval in conformity with inflation figure applying locally as published by the national government. 123DEUR will provide the contracting party with at least one month’s notice of the intended price increase. When the contracting party does not agree to the proposed price increase, the maintenance contract may be terminated on the date on which the new prices take effect.

Terms and conditions 123DEUR undertakes during the work to meet the general requirements and instructions for the safety, health and well-being of the employees.

The contracting party must offer the fitters of 123DEUR the opportunity to arrange the workplace such that 123DEUR can reasonably meet the foregoing requirements and instructions.

This contract is governed by the METAALUNIE TERMS AND CONDITIONS, lodged with the Registry of the Court in Rotterdam, as they are expressed in the version most recently lodged there. These terms and conditions of delivery are added as enclosure. Contracting party stipulates to having received these terms and conditions.

Maintenance consists of visiting once per year the doors above on location and carrying out the work stipulated in article 2. In the event of more than 50 door operations per day an overhead door will require at least twice per year a maintenance visit.

The price of this contract is

For each maintenance visit an invoice will be submitted.

The maintenance visits will be made on normal workdays and during normal working hours.

Exceptions to this must be established in writing and any additional costs incurred as a result hereof shall be charged to the contracting party. Necessary auxiliary resources, such as electricity, must be provided to 123DEUR.
