Fortegra seeks better results with new IPO

The Jacksonville-based specialty insurance company saw its stock falter after first going public in 2010.

The Fortegra Group Inc. is looking for better results this time than after its first initial public offering in 2010.

The Jacksonville-based specialty insurance company filed a registration statement March 15 for its second IPO. After the first one, investment company Tiptree Inc. bought out Fortegra in 2014 for $218 million.

Fortegra went public at $11 a share in 2010 but the stock traded below that level for most of its first life as a public company.

The stock was trading near $7 before Tiptree agreed to buy the company for $10 a share.

Publicly traded Tiptree said in a news release it is hoping this IPO will unlock unrecognized value for its shareholders.

chairman and CEO but gives up the additional title of president, FIS said in a Securities and Exchange Commission filing.

The filing did not say why the changes were made.

Lowthers, 56, had been serving as president of the company’s banking and merchant solutions business.

He has served in several executive roles with FIS, starting as general manager of the global payment software business in 2007.

Before joining FIS, he was a senior vice president at eFunds.

FIS is a Fortune 500 company and the largest Jacksonvillebased company with $12.55 billion in revenue in 2020.

The company is building a riverfront headquarters structure near its offices on Riverside Avenue.

Jacksonville investors have been able to count on Landstar System Inc.’s stock rising steadily over the past two decades, and it reached a record high of $168 this month.

However, Goldman Sachs analyst Jordan Alliger is looking for the stock to drop. He downgraded the company last week from “neutral” to “sell” as part of an overall downgrade of trucking stocks.

Alliger said in his report he is expecting a drop in truck rates later this year.

“With this possible inflection looming, we do not see a clear path for further meaningful truckload share price re-acceleration at this time (especially with truckload shares under our coverage up around 18% YTD on average),” he said.

“Landstar is a high quality, asset-light business with below-peer-average cyclicality, but given where we currently sit in the spot trucking cycle and in conjunction with our asset-based truckload downgrades, we believe the risk/reward is less favorable in the near term relative to other names in our coverage universe,” he said.

Alliger has a $140 price target on Landstar’s stock.

Acquired Sales Corp. changing name Acquired Sales Corp. announced last week it is

changing its name to LFTD Inc., reflecting the name of a company it acquired last year.

Acquired Sales, which is focused on making hempderived, cannabinoid-infused products, acquired a business in February 2020 called Lifted Made.

“We have decided to replace a somewhat confusing and uninspiring company name with LFTD Inc., which better reflects what we are doing,” Acquired Sales President William Jacobs said in a news release.

Acquired Sales in January moved its executive office from Lake Forest, Illinois, to Jacksonville. Lifted Made is headquartered in Kenosha, Wisconsin.

The company trades on the OTCQB Venture Market under the ticker symbol “AQSP” but said it will request a new symbol to reflect its new corporate name.

Tiptree reported total revenue of $810.3 million in 2020, while Fortegra produced $691 million.

Fortegra’s IPO filing said Tiptree will maintain voting control of the company after the stock sale, but it does not give details of how much stock will be sold.

Fortegra intends to trade on the New York Stock Exchange under the ticker “FRF,” the same symbol it had during its first go-around as a public company.

Before the public IPO filing this week, Fortegra filed a confidential registration statement with the Securities and Exchange Commission in January. So, the company has had time to gauge interest in the second IPO and can hope for a better greeting on Wall Street this time.

Dream Finders revenue increases Dream Finders Homes Inc. reported March 16 that fourthquarter revenue rose 82% to $461.1 million, helped by acquisitions.

The Jacksonville-based home building company reported net income more than doubled to $40.2 million.

This was Dream Finders’ first quarterly report since it completed its initial public offering in January.

and also is featuring four top contractors that do business in the area but are based elsewhere.

Contractors provided the information that is used in this edition.

To produce this report, we solicited contractors from Dec. 1 through mid-February to complete the online form and submit the information.

To make the Top Contractors list, companies must be based in the fivecounty Northeast Florida area of Baker, Clay, Duval, Nassau and St. Johns.

We extended the boundary to include two Gainesville-based firms.

A limited schedule of criminal and civil jury trials is planned to begin in April.

Judges in the 4th Judicial Circuit adapted to the challenges created the past year by the coronavirus pandemic and they look forward to the court returning soon to conducting business as usual.

That return is scheduled to begin, slowly and with personal safety precautions in place, in April, said Chief Judge Mark Mahon.

The chief judge led a remote panel discussion March 16 with the circuit’s administrative judges, presented for CLE credit by the Jacksonville Bar Association.

Mahon said Duval County’s coronavirus positive test statistics continue to improve and the court is moving to begin conducting in-person trials with juries seated within weeks.

There will be some changes.

Instead of summoning about 600 potential jurors to the Duval County Courthouse in one group each Monday morning, jurors will be summoned in groups of about 50 five days a week in morning and afternoon sessions. Their service will be designated for circuit criminal cases, county court and civil trials.

“We’ll also try to seat a jury for a first-degree murder trial.

It’s ambitious,” Mahon said.

“The judiciary is looking forward to the day when everyone can return to the courthouse,” said Circuit Judge Adrian Soud.

He said many proceedings in criminal court other than jury trials are conducted virtually and the court expects to be able to expand the number of in-person hearings, providing that the defendant, prosecutor and defense attorneys agree to appear in the courthouse.

“The felony judges have made a Herculean effort,” Mahon said.

Circuit Judge Waddell Wallace said he’s been successfully using Zoom for routine hearings. The feedback from participants, who don’t have to be at the courthouse for a short hearing, has been positive.

“I’m of the mind we ought to use it when available. It’s a tremendous advantage,” Wallace said.

Probate cases probably have been the least affected after the courthouse closed 12 months ago, said Circuit Judge Jack

Schemer.

He said probate cases don’t rely as much on litigation as other cases, but the judicial assistants are more involved in the process. They are scanning documents that are emailed after remote hearings and then filing them with the clerk’s office instead of the attorneys filing their documents at the courthouse.

“Everything is working,” Schemer said.

That will be even more important as the justice system begins its return to its prepandemic operational level.

Mahon said an estimated 1.2 million cases are waiting to be processed, a combination of those that were in the pipeline when the courts shut down in March 2020 and those that have been filed since.

There also will be an additional workload resulting from the pandemic, such as evictions and foreclosures that will be filed when the federal coronavirus emergency moratorium on such cases expires.

“The process has got to come back to its natural place or we’ll be forever behind,” Flower said.

Mahon said he hears from judges every day about how stressful it must be for attorneys to continue to make a living and produce good outcomes for their clients as everyone adapts to the new ways of conducting cases.

“We like to hear from practitioners. All of this is a work in progress,” Mahon said.

cases and the first county court jury trials were scheduled March 17 and March 18.

“The court system was hit with something way beyond society’s compass. Within a year, we retooled to provide as much due process as we humanly can,” Flower said.

Circuit Judge Don Lester is assigned to Clay County. He is a member of a work group formed to make procedural recommendations to the state Supreme Court as the justice system plans its future in response to safety restrictions required by the coronavirus.

“We’re reviewing the rules to account for virtual proceedings – to bring the rules into the 21st century,” he said.

Traffic court in Clay County is proceeding smoothly on Zoom.

“That will likely continue even after we go back to normal operations,” Lester said.

However, technology can’t fully replace tradition, Lester said.

“Despite the efficiency of Zoom, some things are done better in person. We’re social animals.”

Mahon said with the state Legislature in session, there is “a lot of anxiety about funding” for the courts.

Sugarfire Smoke House to offer ‘Florida vibe’

The St. Louis-based barbecue chain is preparing to open Atlantic Boulevard.

St. Louis-based Sugarfire Smoke House hopes to open its first Florida location in about eight weeks at 12959 Atlantic Blvd., east of Girvin Road.

Franchise owners for the Missouri-based barbecue chain estimate they are investing at least $600,000 in renovating a former Panera Bread restaurant at the end of a multitenant building in front of Lowe’s.

The almost 4,880-squarefoot location will seat 90, hire 30-40 employees and operate 11 a.m.- 9 p.m. daily, according to operating partner Shy Patel.

It will serve beer and wine.

Sugarfire will offer the same menu as the chain’s other locations, with some Florida touches that include what Juli Dharna, one of the four franchise partners, calls “a Florida vibe.”

That includes a hanging fiberglass shark and a boat.

Anil and Juli Dharna are longtime friends with Sugarfire founder Mike Johnson, who was at the location March 11. The Dharnas moved to Daytona Beach five years ago from St. Louis and missed the food.

“Why don’t we bring Sugarfire here?” Juli Dharna wondered.

With a franchise agreement, they and other franchise partners chose Jacksonville for the first site because of its demographics.

Anil Dharna saw similarities between Jacksonville and St. Louis, plus “it has a beach.”

Johnson said Jacksonville has great barbecue and he invites customers to try the Sugarfire fare, which combines several barbecue styles: Texas brisket, Memphis ribs and Kansas City ribs.

Plus, he said, “St. Louis is the barbecue sauce capital of the world.”

Johnson said the Jacksonville restaurant will buy local, including seafood and meats,

and also will hire a chef and a pastry chef. “We do a lot of pies,” he said.

He said Sugarfire locations hire and train high-end chefs in the company’s barbecue style and to produce local specialties.

Sugarfire’s menu includes smoked ribs, brisket, pulled pork, turkey and sausage links, salmon, burgers, specialty sandwiches, salads, sides, desserts, shakes and floats, a kid’s meal and more.

The Jacksonville restaurant will offer more seafood options, Patel said.

The restaurant offers dine-in counter service, carryout and delivery as well as catering.

The Dharnas and Patel said they will open more Sugarfire locations throughout Florida.

“As many as we can,” Johnson said.

They are considering Bartram Park and Mandarin for the next sites. Johnson said the franchise group, all from St. Louis, has the right of first refusal for development statewide.

LLC, intends to open at least eight locations in Florida.

Johnson said Sugarfire prefers second-generation space, like the former Panera Bread.

Those are more economical to retrofit than building new locations, although Sugarfire has developed ground-up restaurants, such as $4 million and $2.5 million new construction projects in the St. Louis area.

“I prefer second-generation ones,” Johnson said.

Those average $600,000 to $800,000.

The group began work toward the Jacksonville location almost a year ago, but the pandemic sidelined the timetable.

Johnson, Carolyn Downs and Charlie Downs opened the first Sugarfire in 2012. There now are 15 locations in six states.

Johnson said four sites are company owned.

Sugarfiresmokehouse.com said Johnson has studied with Myron Mixon, cooked under Emeril Lagasse and Charlie Trotter, and has overseen the creation of six other restaurants.

RESTAURANT NOTES Culver’s in Regency: The city issued mobility fee calculation and concurrency reservation certificates for a 4,365-square-foot Culver’s restaurant on 1.9 acres at 101 Monument Road.

There is no fee because the site previously was a restaurant. Kimley-Horn and Associates is the civil engineer.

The Culver’s franchisee intends to demolish a closed 4,709-square-foot restaurant to build the 126-seat Culver’s with a drive-thru.

Chick-fil-A at Town Center: The city is reviewing a permit for Chick-fil-A to remodel its 4,682-square-foot store at 4625 Town Center Parkway at a construction cost of $850,000.

Rocky’s Street Food to Oakleaf: The city issued a permit for Rocky’s NYC Street Food to build-out at 8324 Merchants Way in Oakleaf Station. Premier American Construction Inc. of Green Cove Springs is the contractor for the $88,000 project for the 1,377-squarefoot space in Unit 6.

Starbucks at Boulevard Crossing: The city issued a permit for Starbucks to build-out a shell building at 5753 Beach Blvd., No. 1, in Boulevard Crossing at a cost of $275,000. Elfrink Custom Construction Inc. of Oviedo is the contractor for the 2,235-squarefoot project.

Starbucks at Parkway Village: St. Johns County is reviewing plans for a 2,533-square-foot Starbucks with a drive-thru in Parkway Village at International Golf Parkway and Florida 16 in World Commerce Center.

Island Wing to Bartram Market: St. Johns County approved a permit for the $1.15 million construction for a 10,528-square-foot Island Wing Company restaurant at 360 Bartram Market Drive in Saint Johns.

Whataburger in St. Johns: Plans continue in review for Whataburger on an outparcel in the Shoppes of St. Johns Parkway in St. Johns County. The site

is at northwest County Road 210 and St. Johns Parkway.

Norikase Japanese to Greenbriar: St. Johns County issued a permit for the $300,000 build-out for Norikase Japanese Restaurant at 304 Ashourian Way, Suite 101, in 2,315 square feet of space in The Forum at Greenbriar in St. Augustine.

Wendy’s at Longleaf: St. Johns County is reviewing a permit for a 2,224-square-foot Wendy’s restaurant and drive-thru on 1.2 acres a northeast Longleaf Pine Parkway and Greenbriar Road.
